Xxxxx Shareholders definition

Xxxxx Shareholders means the holders of Xxxxx Shares;

Xxxxx Shareholders means (i) Xxxxxx X. Xxxxx, Xx. and any executor, administrator, guardian, conservator or similar legal representative thereof, (ii) any member of the immediate family of Xxxxxx X. Xxxxx, Xx., (iii) any person directly or indirectly controlled by one or more of the immediate family members of Xxxxxx X. Xxxxx, Xx., (iv) any Person acting as agent for any Person described in clauses (i) through (iii) hereof and (v) the HCA Foundation so long as a majority of the members of its board of directors consist of (a) Xxxxx Shareholders, (b) Continuing Directors, (c) Management Investors and/or (d) any other member of management of the Borrower.

Xxxxx Shareholders means Xxxxx and his direct and indirect Permitted Transferees so long as any such Person shall beneficially own any Common Stock.

• In order to become Effective, the Scheme must be approved by a majority in number of the Xxxx Xxxxx Shareholders voting at the Court Meeting, either in person or by proxy, representing at least 75 per cent.

• In addition, a special resolution approving and implementing the Scheme must be passed by Xxxx Xxxxx Shareholders representing at least 75 per cent.

More Definitions of Xxxxx Shareholders

Xxxxx Shareholders means, as long as they hold Xxxxx Securities, the Original Xxxxx Shareholders, and the Estate Entities, Trusts and Relatives of the Original Xxxxx Shareholders who may become the owners of Xxxxx Securities and Parties to this Agreement in accordance with the terms hereof, provided that the Xxxxx Shareholders shall be deemed at all times to constitute a single Party for the purposes hereof;

Xxxxx Shareholders means all of the registered and beneficial owners of Xxxxx Shares.

Xxxxx Shareholders means (i) Xxxxxx X. Xxxxx, Xx. and any executor, administrator, guardian, conservator or similar legal representative thereof, (ii) any member of the immediate family of Xxxxxx X. Xxxxx, Xx., (iii) any person directly or indirectly controlled by one or more of the immediate family members of Xxxxxx X. Xxxxx, Xx., (iv) any Person acting as agent for any Person described in clauses (i) through (iii) hereof and (v) the HCA Foundation so long as a majority of the members of its board of directors consist of (a) Xxxxx Shareholders, (b) Continuing Directors, (c) Management Investors and/or (d) any other member of management of the Parent Borrower (provided in the case of this subclause (v)(d) that no Change of Control under clause (a) of the definition thereof (with any reference in such clause (a) to the Xxxxx Shareholders determined without regard to this subclause (v)(d)) shall have occurred on the date such person became a member of management of the Parent Borrower).

Xxxxx Shareholders means the holders of Xxxxx Shares prior to the filing of the Amalgamation Application;

Xxxxx Shareholders means Xxxxx and its Permitted Transferees; provided that a Xxxxx Shareholder shall not be considered a Xxxxx Shareholder unless it is controlled by (directly or indirectly) by Xxxxx Equity Partners.

Xxxxx Shareholders means Xx X. Xxxxx, Xxxxx X. Xxxxx, Xxx Xxx Xxxxx and Xxx X. Xxxxx.

Xxxxx Shareholders have the meanings assigned to them in the Preamble.
