Xxxxxx Group definition

Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

Xxxxxx Group has the meaning set forth in the Preamble.

Xxxxxx Group means collectively Xxxxxx Xxxx Ventures and certain other investors affiliated therewith.

Xxxxxx Group has the meaning set forth in the Recitals.

Xxxxxx Group means the Company and its Subsidiaries, collectively.

Xxxxxx Group means Xxxxxx X. Xxxxxx and/or his assignees.

Xxxxxx Group means (i) each of JCM and LM, (ii) each other Person who is required to or becomes a party to this Agreement and a member of the Xxxxxx Group pursuant to any provision of this Agreement, (iii) each other Person who at any time acquires any High Vote Shares of any Company in a transaction or a chain of transactions initiated by another member of the Xxxxxx Group, other than Exempt Transfers and (iv) each spouse or other Related Party of any Member of the Xxxxxx Group, in each case so long as such Person is or is required to be a party to this Agreement or such Person or any of its Related Parties is the direct or indirect Beneficial Owner of any High Vote Shares of any Company.

Xxxxxx Group means (i) Xx. Xxxx X. Warren, Jr., (ii) Xx. Xxxxxx’x estate, (iii) Xx. Xxxxxx’x spouse, lineal descendants (whether by blood or adoption) and heirs (whether by will or intestacy), (iv) any trust, family partnership or family limited liability company, the sole beneficiaries, partners or members of which are Xx. Xxxxxx, Xx. Xxxxxx’x spouse or Xx. Xxxxxx’x lineal descendants (whether by blood or adoption) and heirs (whether by will or intestacy) and (v) any Affiliate of any of the Persons set forth in (i), (ii), (iii) or (iv) for so long as such Affiliate is controlled by any of the Persons set forth in (i), (ii), (iii) or (iv). For purposes of this paragraph, Xx. Xxxxxx’x estate shall be deemed a party to this Agreement, subject to all rights and obligations hereof, pending the settlement of such estate.

Xxxxxx Group means (a) the estate of H. Xxxxx Xxxxxx, (b) spouses, heirs, legatees, lineal descendants, and spouses of lineal descendants, other blood relatives, and/or estates or representatives of estate of H. Xxxxx Xxxxxx, (c) trusts established for the benefit of spouses, lineal descendants and spouses of lineal descendants and/or other blood relatives of H. Xxxxx Xxxxxx and (d) any Person who is directly or indirectly Controlled by a Person described in the preceding clauses (a), (b) or (c).

Xxxxxx Group means (i) each of Xxxxxxx Xxxxxx, the late Xxxxxx Xxxxxx and Xxxx Xxxxxx; (ii) the wife of any of the persons referred to in clause (i) above; (iii) any lineal descendants of any of the persons referred to in clause (i) or (ii) above; (iv) any guardian or other legal representative of the person or estate of any of the persons referred to in clause (i) or (ii) above; (v) any trust of which at least one of the trustees is any of the persons referred to in clause (i) or (ii) above, or the principal beneficiaries of which are any one or more of the persons referred to in clauses (i) through (iv) above; (vi) any Person which is controlled by any one or more of the Persons in clauses (i) through (v) above; and (vii) any group (within the meaning of the Exchange Act and the rules of the Commission thereunder) that includes one or more of the Persons described in clauses (i) through (vi) above, provided that such Persons described in clauses (i) through (vi) above control more than 50% of the voting power of such group.
