Xxxxxxxx Agreement definition

Xxxxxxxx Agreement means the agreement (as amended from time to time) the execution of which was authorized by the Iron Ore (XxXxxxx’x Monster) Agreement Authorization Xxx 0000;

Xxxxxxxx Agreement means the Consulting Agreement dated as of August 4, 2014 between the Company and P. Xxxxxx Xxxxxxxx.

Xxxxxxxx Agreement means that certain “Development and License Agreement” between Palomar and Xxx Xxxxxxxx Xxxxxxx dated as of February 14, 2003, as such agreement is amended as of the Execution Date and as such agreement may be amended or restated thereafter in a manner that is not materially inconsistent with the terms of this Agreement. A copy of the Xxxxxxxx Agreement, excluding exhibits thereto and redactions of other commercially sensitive information, as amended as of the Execution Date is attached hereto at Appendix A.

Xxxxxxxx Agreement means that certain “Development and License Agreement” between Palomar and Xxx Xxxxxxxx Xxxxxxx dated as of February 14, 2003, as such agreement is amended as of the Effective Date and as such agreement may be amended or restated thereafter, provided that any such amendment or restatement that limits or restricts Cutera’s or Cutera Affiliates’ rights under this Agreement, or imposes any obligations on Cutera or Cutera Affiliates, other than as specified hereunder (each a “Restrictive Xxxxxxxx Amendment”), shall not be binding on Cutera or Cutera Affiliates. In the event that there is any Restrictive Xxxxxxxx Amendment, only those terms set forth in the unamended/unrestated version of the Xxxxxxxx Agreement shall apply to Cutera and Cutera Affiliates, and Palomar (and not Cutera or any Cutera Affiliates) shall be responsible to Xxxxxxxx for any liability arising out of any Restrictive Xxxxxxxx Amendment. A copy of the Xxxxxxxx Agreement, excluding exhibits thereto and redactions of other commercially sensitive information, as amended as of the Effective Date is attached hereto at Appendix A.

Xxxxxxxx Agreement means the Agreement dated as of July 24, 1998 between College Television Network, Inc. and Xxxxxxxx Communications, Inc.

Xxxxxxxx Agreement the registration rights agreement to be entered into by the Company and Xxxxxxxx Energy Management, LP.

Xxxxxxxx Agreement means an agreement between the Company, Xxxxxxx X. Xxxxxxxx and UTS that, in the sole discretion of each of the Purchasers, positions the Company and its Subsidiaries to pursue arrangements similar to that entered into by UTS and NYNEX with regional Xxxx operating companies other than NYNEX on terms acceptable to the Purchasers.

Xxxxxxxx Agreement shall have the meaning set forth in Section 10.3(g).
