Xxxxxxxx Stockholders means Xxxxxx Xxxxxxxx and his Controlled Investment Affiliates.

• Until the date on which the Xxxxxxxx Stockholders cease to Beneficially Own at least 25% of the Outstanding Shares in the aggregate, the Xxxxxxxx Majority shall have the right to require, and the Board shall (if requested by the Xxxxxxxx Majority) cause, each Committee to contain at least one Xxxxxxxx Designee as a member, subject to applicable Law and meeting the qualifications required for service on the applicable Committee.

• Until the date on which the Stephens Stockholders cease to Beneficially Own more than 15% of the Outstanding Shares in the aggregate, at any annual or special meeting of stockholders of the Company, the Xxxxxxxx Stockholders shall cause all of the Voting Securities Beneficially Owned by the Xxxxxxxx Stockholders to be present in person or by proxy for quorum purposes.

Xxxxxxxx Stockholders means Xxxxxxxx Consulting LLP, an Illinois --------------------- limited liability partnership, AC Ventures B.V., a Netherlands limited liability corporation, and all Affiliates of the foregoing.

Xxxxxxxx Stockholders means the Stockholders, other than the Clear Channel Stockholders, listed on the signature pages of this Agreement and the transferees of such Stockholders (other than a Clear Channel Stockholder) authorized under this Agreement, excluding, however, a transferee in an Exempt Transfer or a Third-Party Sale.

Xxxxxxxx Stockholders means the Initial Xxxxxxxx Stockholders and any Permitted Transferee that becomes an owner of any shares of Common Stock from the Initial Xxxxxxxx Stockholders or another Xxxxxxxx Stockholder by virtue of a Transfer described in (x) Section 4.1(b)(i) or Section 4.1(b)(ii) or (y) Section 4.1(b)(iii) or Section 4.1(b)(iv), but subject, in the case of clause (y), to executing a joinder agreement substantially in the form of Exhibit A hereto and agreeing to be bound by the terms of this Agreement as if they were an original party hereto (in the capacity of Xxxxxxxx Stockholder) .
