Xxxxxxxxx Facility definition

Xxxxxxxxx Facility has the meaning given to it in Section 5.2(e).

Xxxxxxxxx Facility means, collectively, (a) the second lien facilities agreement dated 12 August 2019 (as amended and restated as of the date hereof) between, among others, Steenbok Lux Xxxxx 2 S.A.R.L and the lenders named therein, (b) the facility agreement in respect to convertible bonds due 2021 and 2022 originally made by Xxxxxxxxx Finance Holding GmbH (as borrower), dated 12 August 2019 between, among others, Xxxxxxxxx Finance Holding GmbH and Steenbox Lux Xxxxx 1 SARL (as amended and restated as of the date hereof), and (c) the facility agreement in respect to convertible bonds due 2023 originally made by Xxxxxxxxx Finance Holding GmbH (as borrower), dated 12 August 2019 between, among others, Xxxxxxxxx Finance Holding GmbH and Steenbox Lux Xxxxx 1 SARL (as amended and restated as of the date hereof).

Xxxxxxxxx Facility means (i) Pennzoil's facilities on the Xxxxxxxxx Unit for producing, processing, storing and loading sulphur and (ii) all related xxxxx, buildings, fixtures and equipment.

• The consent of the Mansfield Parties shall be required for any sale that includes Unit 1 of the Xxxxx Xxxxxxxxx Facility and/or the Ancillary Facilities.

More Definitions of Xxxxxxxxx Facility

Xxxxxxxxx Facility means the Xxxxxxxxx generating facility located near Xxxxxx, Pennsylvania in Xxxxxxxxx County, Pennsylvania and owned by the Borrower.

Xxxxxxxxx Facility means the retired peaking generation facility owned by a Subsidiary of Borrower and located in Granite City, Illinois.

Xxxxxxxxx Facility means the $55,000,000 postpetition financing facility provided to Borrowers by Xxxxxxxxx pursuant to a credit agreement dated October 9, 1996 and approved by the Bankruptcy Court on a final basis on November 5, 1996.

Xxxxxxxxx Facility means all real property owned or leased by the Company or any Subsidiary in Xxxxxxxxx County, Kentucky, and all buildings, structures, improvements and fixtures located thereon, whether owned, leased or otherwise held or used by the Company or any Subsidiary and all equipment and other personal property used or useful in connection with any such real property, buildings, structures, improvements or fixtures.

Xxxxxxxxx Facility means funding facility established pursuant to the Master Facility Agreement, dated as of August 19 2022, between Xxxxxxxxx Funding LLC and ReAlpha Acquisitions Xxxxxxxxx, LLC.

Xxxxxxxxx Facility. Means the Dickerson Base-Load Units 1, 2 and 3, ------------------ 546 MW net coal-fired electric generating units located in Upper Xxxxxxxxxx County, Maryland.
