Attached hereto as Schedule 4.6(a) are the balance sheets of the Division as of December 31, 1997 (the "YEAR-END BALANCE SHEET" and such date the "BALANCE SHEET DATE"), and December 31, 1996, with the related statements of operations and cash flows for the fiscal years ended on such dates and the accompanying notes (collectively, the "YEAR-END FINANCIAL STATEMENTS").
All Liabilities of either of the Companies at December 31, 1995 required to be reflected or reserved for by GAAP are fully reflected or reserved for in the Companies' consolidated balance sheet at December 31, 1995 (the "LATEST YEAR-END BALANCE SHEET", and, together with the related consolidated statements of income and retained earnings, the "LATEST YEAR-END FINANCIAL SHEET").
December 31, 1995 is referred to as the "LATEST YEAR-END BALANCE SHEET DATE" in other parts of this Agreement.
The term of this Agreement shall remain in existence until the expiration of the last Patent licensed hereby which takes place on October 6, 2009, unless sooner terminated pursuant to the terms of this Agreement.
