Licensee shall be responsible for and pay all taxes based on the transfer, use, distribution of Licensed Products, or the program storage media, or upon payments due under this Agreement including, but not limited to, sales, use or value- added taxes, duties, withholding taxes and other assessments now or hereafter imposed on or in connection with this Agreement or with any sublicense granted hereunder, exclusive of taxes based upon Licensor's net income.
