CONFLICT RESOLUTION. 16.1. Friendly resolution The Parties shall use their best efforts to settle amicably any dispute, controversy or claim arising in connection with this Contract or violation, termination or invalidity thereof. If the parties wish to seek such an amicable settlement through conciliation process, the same will take place in accordance with the Conciliation Rules of UNCITRAL (in English, UNCITRAL) then in effect or under any other procedure the parties may agree.
16.2. Arbitration Unless, any such dispute, controversy or claim between the Parties arising in connection with this Agreement, or the breach, termination or invalidity thereof is settled amicably in accordance with the provisions of the preceding paragraph of this Article within sixty (60) days after receipt by one Party of the other Party's request for amicable settlement, such dispute, controversy or claim shall be referred by either Party to the initiation of arbitration proceedings under the Rules UNCITRAL Arbitration then in effect, including its provisions on applicable law. The decisions of the arbitral tribunal shall be based on general principles of international commercial law. For any interviews for evidence, the arbitral tribunal shall be guided by the Supplementary Rules Governing the Presentation and Reception of Evidence in International Commercial Arbitration of the International Bar Association, edition May 28, 1983. The arbitral tribunal shall have the right to order the return or destruction of goods or any property, whether tangible or intangible, or of any confidential information provided under this Contract, or order the termination, or cause to be taken any other preventive measure with respect to goods, services or any other property, whether tangible or intangible, or of any confidential information provided under this Agreement, properly, and in accordance with the authority of the arbitral tribunal as provided in Article 26 ("Interim Measures of Protection") and Article 32 ("Form and Effect of the Award") of the Arbitration Rules of UNCITRAL. The arbitral tribunal shall have no authority to award punitive damages. Also, unless stated otherwise in the Contract, the arbitral tribunal shall have no authority to award interest in excess of LIBOR in effect upon, and any interest shall be simple interest only. The Parties shall be bound by any arbitration award resulting from such arbitration as the final adjudication of any such controversy, claim or dispute.
CONFLICT RESOLUTION. Any litigious issues arising from the performance of the contract shall be resolved by mutual agreement between the parties and, failing that, shall be submitted to the jurisdiction of the Spanish courts, in the case of Spanish companies. In all other cases, these matters shall be submitted to the jurisdiction of the Spanish Courts if the Contractor so accepts, pursuant to the declaration included in the bid proposal, pursuant to the form attached to the letter of invitation. If the Contractor does not accept this, any dispute arising out of or relating to this contract, including any question relating to its existence, validity, termination, interpretation or performance, shall be definitively settled by arbitration at law (International Court of Arbitration).
CONFLICT RESOLUTION. Las cuestiones litigiosas que se susciten en la ejecución del contrato se resolverán de mutuo acuerdo entre las partes y, en su defecto, se someterán a la jurisdicción de los Tribunales españoles, en el caso de que se trate de empresas españolas. En los demás supuestos, estas cuestiones se someterán a la jurisdicción de los Tribunales españoles si el Contratista así lo acepta, de conformidad a lo indicado en la declaración incluida en la propuesta de la oferta, de conformidad al modelo que se acompaña junto a la carta de invitación. Si no lo aceptara, para resolver cualquier controversia derivada de este contrato o que guarde relación con él, incluida cualquier cuestión relativa a su existencia, validez, terminación, interpretación o ejecución, será resuelta definitivamente mediante arbitraje de Derecho, (Corte internacional de Arbitraje).
