DECRETO 666 DE 2017

“Por medio del cual se modifica la Planta de Empleos del Despacho xxx Xxxxxxx y Secretaría de Seguridad y Convivencia del Municipio de Medellín”
EL ALCALDE DE MEDELLÍN
En uso de sus facultades Constitucionales y Legales, y especialmente las conferidas por el numeral del artículo 315 de la Constitución Política, la Ley 136 de 1994, modificada por la Ley 1551 de 201 y el Decreto 1083 de 2015, y
CONSIDERANDO QUE:
1. El Alcalde de Medellín, como Representante Legal de la Entidad, es la máxima autoridad municipal y la Constitución Nacional en el artículo 315, numeral 7 le confiere la atribución de “Crear, suprimir o fusionar los empleos de sus dependencias, señalarles funciones especiales, y fija sus emolumentos con arreglo a los acuerdos correspondientes (…)”.
2. Del mismo modo, el numeral 4 del literal D) del artículo 91 de la Ley 136 de 1994, modificado por el artículo 29 de la Ley 1551 de 2012, literal d), numeral 4, reitera que los Alcaldes tienen la potestad de “Crear, suprimir o fusionar los empleos de sus dependencias, señalarles funciones especiales y fijarles sus emolumentos con arreglo a los acuerdos correspondientes (…)”.
3. El artículo 2.2.12.1 del Decreto 1083 de 2015, señala que las reformas de las plantas de empleos de las entidades de la Rama Ejecutiva de los órdenes nacional y territorial deberán motivarse, fundarse en necesidades del servicio o en razones de modernización de la administración y basarse en justificaciones o estudios técnicos que así lo demuestren.
4. Así mismo, el artículo 2.2.12.2 del citado Decreto, establece que se entiende que la modificación de una planta de empleos está fundada en necesidades del servicio o en razones de modernización d la administración, cuando las conclusiones del estudio técnico de la misma deriven en la creación o supresión de empleos.
5. Mediante la Resolución 2044 del 08 de julio de 2015 se estableció la Planta de Empleos del Despacho xxx Xxxxxxx.
6. Igualmente a través de la Resolución 2062 del 09 de julio de 2015, se adopta la Planta de Emple de la Secretaría de Seguridad.
7. En la Planta de empleos del Despacho xxx Xxxxxxx del Municipio de Medellín, se encuentra en Vacancia Definitiva una (01) plaza de empleo de Libre Nombramiento y Remoción, denominado Profesional Especializado, que puede suprimirse para compensar la creación de empleos, de acuerd con el estudio técnico APE 236, xx xxxxxx 08 de 2017, realizado por la Secretaría de Gestión Humana y Servicio a la Ciudadanía, Subsecretaría de Desarrollo Institucional.
8. La Secretaría de Seguridad y Convivencia, Subsecretaría de Espacio Público, tiene una gran
responsabilidad desde el Plan de Desarrollo 2016 – 2019, “Programa Todos Convivimos en el Espacio Público Responsable”, por lo que requiere de un empleo que Asesore a la Dependencia par cumplir cabalmente con éste Proyecto.
DECRETA:
ARTÍCULO 1o. Suprimir una (01) plaza de empleo Profesional Especializado, adscrito al Despacho xxx Xxxxxxx, de acuerdo con lo expuesto en la parte motiva del presente acto administrativo, así:

Asesorar, recomendar, interpretar y brindar soporte jurídico a la dependencia en los temas relacionados con el aprovechamiento económico y social del espacio público formulado en el Plan de Desarrollo, mediante la aplicación de los conocimientos, metodologías, normatividad, técnicas y herramientas establecidas, contribuyendo al logro de los objetivos y metas institucionales.
IV. DESCRIPCIÓN DE LAS FUNCIONES ESENCIALES
1. | Orientar el diseño y desarrollo de los Proyectos y Programas establecidos en el Plan d Desarrollo de acuerdo a las metodologías establecidas, garantizando con ello el cumplimient de los objetivos y metas de la Dependencia. |
2. | Asesorar al superior inmediato en temas relacionados a la formulación e implementación d políticas y estrategias que promuevan el control del uso del espacio público, con el fin d avanzar en una recuperación que posibilite la apropiación, disfrute y goce de los espacio públicos por parte de toda la comunidad. |
3. | Preparar y presentar propuestas de recuperación del espacio público a través de la regulación a uso y aprovechamiento económico (actividades económicas formales e informales), teniend en cuenta la normatividad vigente. |
4. | Proponer y realizar estudios e investigaciones que lleven al buen uso y aprovechamient adecuado del espacio público, con el fin de que posibilite la movilización ciudadana y e encuentro e integración de la comunidad. |
5. | Asesorar al Secretario de Despacho en la implementación de estrategias de vigilancia, control regulación en torno a la ocupación del Espacio Público, así como también la ejecución d estrategias de protección, recuperación y accesibilidad para todas las poblaciones. |
6. | Asesorar en temas relacionados con el proyecto a su cargo, comunicando las particularidade de interés colectivo, con el fin de unificar criterios, integrar esfuerzos y facilitar el trabajo e equipo. |

ARTÍCULO 4o. Para la creación del empleo ASESOR, Código 105, Grado 01, Código Interno 10501043, se cuenta con la certificación de Viabilidad presupuestal No. 004 del 16 xx xxxxxx de 2017 refrendada mediante radicado 201720048849 del 17 xx xxxxxx de 2017, emitido por la Secretaría de Hacienda, recibida en la Unidad Administración Planta de Empleos el 17 xx xxxxxx.
ARTÍCULO 5o. Modificar el artículo 7o de la Resolución 2044 del 8 de julio de 2015, ya el empleo Profesional Especializado no conformará la Planta de Empleos del Despacho xxx Xxxxxxx, como consecuencia de la supresión del empleo realizado en el artículo primero del presente Decret
ARTÍCULO 6o. Modificar el artículo 3o de la Resolución 2062 del 9 de julio de 2015, ya que e Despacho del Secretario de Seguridad y Convivencia contará con un empleo de Asesor creado en e artículo segundo del presente Decreto.
ARTÍCULO 7o. El presente Decreto rige a partir de la fecha de su publicación, en la Gaceta Oficial del Municipio de Medellín.

U.S.$300,000,000 Credit Agreement Amendment Fee Letter
Ladies and Gentlemen:
This letter is delivered to you in connection with (i) the credit agreement dated August 4, 2016 (the “Credit Agreement”) among Empresas Públicas de Medellín E.S.P., as borrower (the “Borrower” o “you”), the lenders named therein and Export Development Canada, as administrative agent (in suc
capacity, the “Administrative Agent”) and (ii) the First Amendment Agreement to U.S.$300,000,00 Credit Agreement, dated [?], 2017 (the “Amendment”), among the Borrower, the lenders referred t therein and
the Administrative Agent. Capitalized terms not otherwise defined herein have the meaning ascribe to them in the Credit Agreement or in the Amendment. In connection with, and in consideration of the agreements contained in, the Amendment, you agree with us as follows:
1. Extension Fee. You will pay to the Administrative Agent, for the account of the Lenders (to be shared ratably among the Lenders based on their respective commitments as of the Fee Payment Date (as defined below)), an extension fee (the “Extension Fee”) of 0.08% of the aggregate amount of the Commitments of all Lenders as of the Amendment Effective Date (prior to giving effect to any borrowing of the Loans on the Fee Payment Date). The Extension Fee shall be earned on the Amendment Effective Date and shall be due and payable in full on the earlier of (i) the day that is 1 days after the Amendment Effective Date and (ii) the date of first disbursement under the Credit Agreement following the Amendment Effective Date (such date, the “Fee Payment Date”).
2. General. All of the fees described above in this letter agreement shall be fully earned upon becoming due and payable in accordance with the terms hereof, shall be nonrefundable for any reason whatsoever and shall be in addition to any other fees, costs and expenses payable pursuant t the Credit Agreement. All fees received hereunder may be shared among the Lenders with their respective affiliates, as the Lenders may determine in their sole discretion. You agree that, except a expressly contemplated by this Amendment Fee Letter, no additional structuring, arrangement, participation, upfront, or similar fees will be paid to any Lender or any affiliate thereof (acting in an capacity) in connection with the execution and delivery of the Amendment, unless agreed in writin by all Lenders.
Section 4.01 (Taxes) of the Credit Agreement is hereby incorporated by reference.
All fees payable hereunder shall be paid in cash in Dollars, in immediately available funds. To the fullest extent permitted by law, the Borrower shall make all payments hereunder without set-off an regardless of any defense or counterclaim, including, without limitation, any defense or counterclai based on any law, rule or policy which is now or hereafter promulgated by any governmental authority or regulatory body and which may adversely affect the Borrower's obligation to make, or the right of the Lenders to receive, such payments.
Both the Administrative Agent and the Borrower agree: (i) not to disclose this Amendment Fee Letter or the contents hereof other than to their respective affiliates and their respective officers, directors, employees, advisors, agents and representatives and as may be required by Applicable La and (ii) that their obligations under this paragraph shall survive the termination of the Credit Agreement and the funding of the Loans.
This Amendment Fee Letter may not be amended or any provision hereof waived or modified exce by an instrument in writing signed by each of the parties hereto. THIS AMENDMENT FEE LETTER SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE
WITH, THE LAWS OF THE STATE OF NEW YORK. This Amendment Fee Letter may be executed in any number of counterparts, each of which shall be an original and all of which, when taken together, shall constitute one agreement. Delivery of an executed counterpart of a signature page of this Amendment Fee Letter by facsimile or other customary means of electronic transmission shall be effective as delivery of a manually executed counterpart of this Amendment
Fee Letter. Section headings used herein are for convenience of reference only, are not part of this Amendment Fee Letter, and are not to affect the construction of, or to be taken into consideration i interpreting, this Amendment Fee Letter.

FIRST AMENDMENT AGREEMENT TO U.S.$300,000,000 CREDIT AGREEMENT
FIRST AMENDMENT AGREEMENT TO U.S.$300,000,000 CREDIT AGREEMENT, dated as o
August 3, 2017 (this “Amendment”), among (i) EMPRESAS PÚBLICAS DE MEDELLÍN E.S.P., public utility services company organized and existing under the laws of the Republic of Colombia as borrower (the “Borrower”) under the Credit Agreement (as defined below), (ii) each of the lenders identified under the caption “Lenders” on the signature pages hereof (each a “Lender” and, collectively, the “Lenders”) and (iii) the Administrative Agent (as defined below).
WHEREAS, the Borrower, the Lenders and EXPORT DEVELOPMENT CANADA, as administrative agent (in such capacity, the “Administrative Agent”) entered into that certain U.S.$300,000,000 Credit Agreement, dated as of August 4, 2016, (as amended, supplemented or
otherwise modified from time to time, the “Credit Agreement”),
WHEREAS, the Borrower requested the Administrative Agent and the Lenders to agree to, among other things, extend the Availability Period (as defined in the Credit Agreement) by 12 additional months as a result of the absence of disbursement as of the date of this Amendment, and consequently to modify the Maturity Date (as defined in the Credit Agreement) in order to maintain the originally agreed repayment timetable (hereinafter, the “Amendment Request”), and the Lender are willing to agree to the Amendment Request on the terms and subject to the conditions containe in this Amendment; and
WHEREAS, the Borrower, in accordance with Section 11.06 of the Credit Agreement, obtained on August 2, 2017 the approval from the Ministry of Finance to amend the Credit Agreement as provided herein (the “Ministry Approval”).
In consideration of the mutual covenants set forth in this Amendment, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the undersigned agree as follows:
SECTION 1. Ratification; Capitalized Terms; Other Definitional Provisions.
(a) This Amendment is entered into in accordance with Section 11.06 of the Credit Agreement and constitutes an integral part of the Credit Agreement. Except as amended by the Amendment, the provisions of the Credit Agreement are in all respect ratified and confirmed and shall remain in full force and effect.
(b) Capitalized terms used and not otherwise defined herein shall for all purposes of this Amendment, including the preceding recitals, have the respective meanings specified therefor in th Credit Agreement. The principles of construction set forth in Section 1.02 of the Credit Agreement shall be incorporated herein mutatis mutandis.
SECTION 2. Amendment. Effective as of the Amendment Effective Date (as defined below):
(a) Section 1.01 of the Credit Agreement is hereby amended by,
(i) adding the following definition of the term “Commitment Fee Payment Date” in the corresponding alphabetical order:
“”Commitment Fee Payment Date” means (i) March 22, 2017, (ii) August 4, 2017, (iii) February 4 2018, and (iv) the last day of the Availability Period, provided that if any of such dates is not a Business Day, such Commitment Fee Payment Date shall be the immediately preceding Business Day.”
(ii) replacing the definitions of the terms “Availability Period” and “Maturity Date” in their entirety with the following:
“”Availability Period” means the period from and including the Agreement Date to and including the earlier of (i) the second anniversary of the date hereof and (ii) the date on which the Total Commitment is reduced to zero or otherwise terminated.
“Maturity Date” means the sixth anniversary of the Agreement Date, provided that if such date is not a Business Day, the Maturity Date shall be the immediately preceding Business Day.”
(b) Section 2.08 of the Credit Agreement is hereby amended by replacing clause (a) thereof in its entirety with the following:
“The Borrower agrees to pay to the Administrative Agent for the account of each Lender on each Commitment Fee Payment Date, a commitment fee (the “Commitment Fee”), at a rate per annum equal to 30% of the Applicable Margin on the daily average unused and uncancelled portion of the Commitment of such Lender. The Commitment Fee due to each Lender shall commence to accrue on the Closing Date, shall be payable in arrears and shall cease to accrue on the last day of the Availability Period.”
SECTION 3. Conditions to Effectiveness of this Amendment. This Amendment shall become effective upon the date first written above (the “Amendment Effective Date”) only upon the satisfaction of each of the following conditions precedent on or prior to such date in a manner satisfactory to the Administrative Agent:
(a) the Administrative Agent shall have received a true, correct and complete copy of (i) this Amendment duly executed and delivered by the Borrower, the Administrative Agent and each Lender and (ii) a fee letter dated the date hereof between the Borrower and the Administrative Agent, duly executed and delivered by the Borrower and the Administrative Agent providing for th payment of an extension fee pursuant to the terms and conditions set forth herein;
(b) the Administrative Agent shall have received an opinion dated as of the Amendment Effective Date of Xxxxxxx & Urrutia Abogados, Colombian counsel to the Administrative Agent and the Lenders, covering such matters relating to the transactions contemplated hereby as the Administrative Agent may reasonably request, and addressed to the Lenders and the Administrative Agent; and
(c) the representations and warranties made by the Borrower in this Amendment and the Loan Documents shall be true and correct in all material respects as if made on the date hereof and after giving effect to this Amendment; provided that representations and warranties qualified as to materiality shall be true and correct in all respects; provided, further that to the extent any representation and warranty specifically refers to a given date or period, such representation and warranty shall be true and correct in all material respects (or, if qualified as to materiality, true and correct in all respects) as of such date or for such period.
SECTION 4. Representations and Warranties. The Borrower represents and warrants that (i) this Amendment has been duly authorized, executed and delivered by it and this Amendment and the Credit Agreement, as amended by this Amendment, constitute direct, general and unconditional obligations that are legal, valid and binding upon the Borrower and enforceable against the Borrow in accordance with their respective terms, subject to the limitations and qualifications set forth in Section 6.01(e) of the Credit Agreement; (ii) as per Section 11.06(a) of the Credit Agreement, the Ministry of Finance has granted the Ministry Approval and all other consents, licenses, permits, authorizations and approvals of, and exemptions by, any Governmental Authority that are necessar for the execution and delivery by the Borrower of this Amendment, and for the performance and observance by the Borrower of this Amendment and the Credit Agreement, as amended by this Amendment, have been obtained and are in full force and effect, (iii) as of the date hereof and after giving effect to this Amendment, no Potential Default or Event of Default will exist; (iv) the representations and warranties contained in this Amendment and in the Loan Documents are true and correct in all material respects as if made on the date hereof and after giving effect to this Amendment; provided that representations and warranties qualified as to materiality shall be true
and correct in all respects; provided, further that to the extent any representation and warranty specifically refers to a given date or period, such representation and warranty shall be true and correct in all material respects (or, if qualified as to materiality, true and correct in all respects) as o such date or for such period; (v) the Borrower paid to the Administrative Agent, on March 22, 2017 the amount of U.S.$801,500.00 on account of
Commitment Fees; and (vi) since December 31, 2016, there has not occurred any change, event, circumstance or occurrence that has had or could reasonably be expected to have a material adverse effect on the business, operations, properties, condition (financial or otherwise), results or prospect of the Borrower.
SECTION 5. Effect of Amendment; Miscellaneous.
(a) Except as expressly stated herein, this Amendment shall not by implication or otherwise limit, impair, constitute a waiver of or otherwise affect the rights and remedies of the Administrative Agent or any Lender under the Credit Agreement or any other Loan Document, and shall not alter, modify, amend or in any other way affect any of the terms, conditions, obligations, covenants or agreements contained in the Credit Agreement or provision of any Loan Document, all of which ar ratified and affirmed in all respects and shall remain and continue in force and effect in accordance with their terms, and shall constitute and remain as the legal, valid, binding, and enforceable obligations of the Borrower, subject to the limitations and qualifications set forth in Section 6.01(e of the Credit Agreement. Without limiting the generality of the foregoing, the Borrower hereby confirms, ratifies and reaffirms its payment and other obligations, as applicable, under and subject t the terms of this Amendment and each other Loan Document to which it is a party, and acknowledges and agrees that all such payment and other obligations shall not be impaired or limited by the execution or effectiveness of this Amendment or any of the transactions contemplate hereby. Nothing herein shall be deemed to entitle the Borrower to a consent to, or a waiver, amendment, modification or other change of, any of the terms, conditions, obligations, covenants o agreements contained in the Credit Agreement or any other Loan Document in similar or different circumstances.
(b) From and after the Amendment Effective Date, references in the Credit Agreement to “this Agreement” (and indirect references such as “hereunder,” “hereby,” “herein” and “hereof,” or word of like import referring to the Credit Agreement), and references in the Loan Documents to “the Credit Agreement” (and indirect references such as “hereunder,” “hereby,” “herein” and “hereof,” o words of like import referring to the Credit Agreement) shall be deemed to be references to the Credit Agreement, as amended by this Amendment.
SECTION 6. Governing Law; Miscellaneous. THIS AMENDMENT AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES UNDER THIS AMENDMENT SHALL BE GOVERNED BY AND CONSTRUED AND INTERPRETED IN ACCORDANCE WITH, THE LAW OF THE
STATE OF NEW YORK. The provisions of Sections 9.01 through 9.06 (inclusive) and Section
11.12 of the Credit Agreement shall be incorporated herein mutatis mutandis.
SECTION 7. Severability. Any provision of this Amendment which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.
SECTION 8. Headings. The section headings used in this Amendment are for convenience of reference only and are not to affect the construction hereof or be taken into consideration in the interpretation hereof.
SECTION 9. Counterparts. This Amendment may be executed in any number of counterparts and b the different parties hereto on separate counterparts, each of which, when executed and delivered, shall be effective for purposes of binding the parties hereto, but all of which shall together constitut one and the same instrument. Delivery of an executed counterpart of the signature page of this Amendment by telecopy, emailed pdf. or any other electronic means that reproduces an image of th actual executed signature page shall be effective as delivery of a manually executed counterpart of this Amendment.
SECTION 10. Loan Document. This Amendment is a Loan Document.
SECTION 11. Concerning the Administrative Agent. The Administrative Agent assumes no responsibility for the correctness of the recitals contained herein, and the Administrative Agent sha not be responsible or accountable in any way whatsoever for or with respect to the validity, execution or sufficiency of this Amendment and makes no representation with respect thereto. In entering into this Amendment, the Administrative Agent shall be entitled to the benefit of every provision of the Credit Agreement relating to, without limitation, the rights, exculpations or conduc of, affecting the liability of or otherwise affording protection to the Administrative Agent.
