CONVENIO MARCO DE COOPERACIÓN INTERINSTITUCIONAL ENTRE EL INSTITUTO NACIONAL DE INNOVACIÓN AGRARIA (INIA) X
LA UNIVERSIDAD DE AGRICULTURA Y TECNOLOGÍA DE TOKYO (TUAT)
El presente Convenio Xxxxx de Cooperación Interinstitucional se celebra entre el
INSTITUTO NACIONAL DE INNOVACIÓN AGRARIA, identificado con RUC N°
20131365994, con domicilio legal en Av. La Xxxxxx N° 1981, distrito La Xxxxxx, provincia de Lima y departamento de Lima, en lo sucesivo denominado INIA, debidamente representado por su Jefe, XXXXX XXXX XXXXXXX XXXXXXXX Ph. D., identificado con DNI N° 00000000, designado mediante Resolución Suprema N° 007-2019-MINAGRI, publicada en el diario oficial “El Peruano” el 10 de julio de 2019, y la UNIVERSIDAD DE AGRICULTURA Y TECNOLOGIA DE TOKYO, en lo sucesivo denominada TUAT, situada en 0-0-0 Xxxxxx-xxx, Xxxxx-xxx, Xxxxx 000-0000 Japón, debidamente representada por su Presidente, XXXXXXXX XXXXX Ph. D., con Pasaporte N° XX0000000; en los términos y condiciones contenidos en las siguientes cláusulas:
CLÁUSULA PRIMERA: DE LAS PARTES
1.1 INIA, una Organización Técnica Especializada adscrita al Ministerio de Desarrollo Agrario y Riego, se encarga de gestionar y promover la estrategia nacional de investigación, el desarrollo tecnológico, la innovación, y la transferencia de tecnología (I+D+i) en materia agraria. El INIA tiene representación legal, así como autonomía técnica, administrativa, económica y financiera y desarrolla actividades de conservación y uso de los recursos genéticos, producción de semillas, plántulas y reproductores de alto valor genético; asimismo es responsable de la zonificación de cultivos y ganado en todo el territorio nacional.
INIA, a través de las direcciones de línea, lleva a cabo actividades técnicas en las Estaciones Experimentales Agrarias (EEA), que son órganos descentralizados ubicados en zonas agroecológicas de todo el país, donde se generan, desarrollan y comunican las actividades de investigación y transferencia de tecnología agropecuaria.
1.2 TUAT, es una universidad distinguida en Japón dedicada a la ciencia y la tecnología. TUAT se centra en la agricultura y la ingeniería que forman la base de la industria, y promueve los campos de la educación y la investigación.
1.3 TUAT e INIA están facultados para firmar acuerdos que promuevan la cooperación y la colaboración interinstitucional mediante el desarrollo e implementación de programas de capacitación, asistencia técnica, actividades de investigación y transferencia de tecnología.
Dentro del presente convenio, cuando se haga referencia a TUAT e INIA conjuntamente, se llamarán LAS PARTES.
CLÁUSULA SEGUNDA: EL OBJETO
Establecer una relación de cooperación Interinstitucional para aunar esfuerzos e impulsar el desarrollo de proyectos en materia de investigación, innovación tecnológica, conservación y valoración de los recursos genéticos, transferencia de conocimientos, y capacitación, con el propósito de fortalecer la I+D+i, modernización y competitividad del sector agrario, a fin de propiciar el fortalecimiento de la agricultura familiar en el marco del Sistema Nacional de Innovación Agraria (SNIA).
CLÁUSULA TERCERA: COMPROMISOS DE AMBAS PARTES
3.1 Promover la investigación, la innovación, la transferencia de tecnología, la cogestión de proyectos de I+D+i, el desarrollo de tecnología agraria, el intercambio de investigadores y científicos, así como información sobre métodos y técnicas científicas y otros de interés común.
3.2 Organizar eventos de transferencia científica y tecnológica de alcance regional y nacional, que contribuyan al enriquecimiento del conocimiento y al desarrollo técnico y científico de estudiantes universitarios y profesionales de ambas instituciones como prácticas y programas de visitas científicas.
3.3 Proporcionar apoyo técnico y logístico mutuo para el cumplimiento y ejecución de proyectos y actividades, tales como el intercambio de materiales y/o equipos científicos.
3.4 Cooperar conjuntamente en la formulación y ejecución de proyectos de investigación, transferencia de tecnología e innovación, que deben estar sujetos a la disponibilidad presupuestaria de cada una de LAS PARTES.
3.5 Facilitar el uso de instalaciones físicas como campos experimentales, invernaderos, viveros, laboratorios, salas de procesamiento, aulas, auditorios, entre otros.
CLÁUSULA CUARTA: DEL FINANCIAMIENTO
LAS PARTES acuerdan que la ejecución de este convenio no generará transferencia de recursos financieros, ni pago como compensación entre LAS PARTES, sino más bien colaboración efectiva que contribuya al cumplimiento de sus propósitos.
CLÁUSULA QUINTA: DE LOS CONVENIOS ESPECÍFICOS
Los convenios específicos establecerán, entre otras disposiciones, la financiación, responsabilidades, así como los derechos de propiedad intelectual de los productos y procesos o resultados de los Proyectos, Programas o investigaciones desarrollados en este convenio. Además, deben incluir un programa de varios años que demuestre el cumplimiento del convenio (Programación Multianual).
Los detalles específicos de las actividades señaladas en este convenio están sujetos a la aprobación de cada parte. Las visitas de investigadores y estudiantes estarán sujetas a las normas de visado de la jurisdicción de la parte anfitriona. Antes de participar en cualquier actividad colaborativa, cada parte obtendrá la aprobación previa por escrito de los representantes autorizados, que puede incluir convenios específicos separados.
CLÁUSULA SEXTA: DE LA COORDINACIÓN
Con el fin de alcanzar los objetivos de este convenio, LAS PARTES designan a los siguientes funcionarios como Coordinadores Institucionales:
- Para TUAT: El Representante Institucional de Educación y Vicepresidente de TUAT.
- Para INIA: El Director General de la Dirección de Recursos Genéticos y Biotecnología (DRGB).
En el caso de que cualquiera de LAS PARTES decida cambiar sus Coordinadores Institucionales; debe ser comunicado por escrito por el Representante Institucional correspondiente.
CLÁUSULA SÉPTIMA: DE LA DURACIÓN Y VIGENCIA
El presente convenio tendrá una vigencia de cinco (5) años, contados a partir de la fecha de su suscripción, y podrá renovarse o prorrogarse por acuerdo común tras la evaluación de LAS PARTES. Cualquiera de LAS PARTES podrá rescindir este convenio enviando una notificación escrita con al menos seis (6) - meses de anticipación a la otra parte. Sin embargo, la rescisión no afectará a los convenios escritos separadamente entre LAS PARTES (ya sea que se adjunte o no como complemento a este convenio) que se regirán de acuerdo con sus términos. Ninguna modificación de los términos de este convenio será efectiva a menos que se haga por escrito y esté firmada por el signatario autorizado de cada parte.
CLÁUSULA OCTAVA: DE LA COMUNICACIÓN DE LAS PARTES
Toda comunicación que deba ser cursada entre LAS PARTES deberá realizarse válidamente en los domicilios consignados en la parte introductoria de este documento. Cualquier variación de domicilio, durante la vigencia del presente convenio, deberá ser comunicada por escrito a la otra parte, con una anticipación de no menos de cinco (5) días hábiles; de lo contrario surtirán efecto las comunicaciones y/o notificaciones cursadas al domicilio anterior.
CLÁUSULA NOVENA: DE LA NO EXCLUSIVIDAD
Este convenio no impedirá la firma y ejecución de convenios similares con otras entidades.
CLÁUSULA DÉCIMA: DE LAS MODIFICACIONES Y/O AMPLIACIONES
LAS PARTES sólo podrán modificar o ampliar los términos de este convenio de mutuo consentimiento.
CLÁUSULA DÉCIMA PRIMERA: DE LA SOLUCIÓN DE CONTROVERSIAS
Cualquier controversia o discrepancia que surja de la interpretación o aplicación de este convenio se resolverá de manera amistosa y expeditiva mediante consulta o negociación entre LAS PARTES o cualquier otro medio que decidan mutuamente.
CLÁUSULA DÉCIMA SEGUNDA: DE LA RESOLUCIÓN
El presente convenio podrá rescindirse por cualquiera de las siguientes razones:
12.1 Por acuerdo común de LAS PARTES.
12.2 Por una Parte que notifique de acuerdo a lo establecido en la Cláusula Séptima.
12.3 Por mandato legal expreso.
12.4 Cuando una de LAS PARTES no pueda continuar sus obligaciones por fuerza mayor o caso fortuito debidamente justificado.
12.5. Por incumplimiento de las obligaciones establecidas en el convenio. La parte afectada por dicho incumplimiento exigirá a la otra Parte mediante comunicación escrita, de
modo que en un plazo de treinta (30) días, adapte sus actividades conforme a sus compromisos asumidos. De lo contrario, el convenio se rescindirá automáticamente.
Si a la resolución del convenio, se está llevando a cabo cualquier actividad relevante, la resolución permitirá la realización de las actividades relevantes en curso hasta su finalización.
CLÁUSULA DÉCIMA TERCERA: DE LA PROPIEDAD INTELECTUAL
13.1 Los derechos de propiedad intelectual de los productos y procesos o resultados de los Proyectos, Programas o investigaciones desarrolladas en el Marco del presente Convenio, serán pactados por LAS PARTES en los Convenios Específicos que se deriven y se sujetarán a la legislación peruana vigente sobre la materia.
13.2 Los artículos científicos u otras publicaciones que se realicen en base a los resultados de los trabajos de investigación desarrollados, consignarán como autores a los especialistas de ambas instituciones e indicarán que se elaboró según el
«CONVENIO MARCO DE COOPERACIÓN INTERINSTITUCIONAL ENTRE EL INSTITUTO NACIONAL DE INNOVACIÓN AGRARIA (INIA) Y LA UNIVERSIDAD DE AGRICULTURA Y TECNOLOGÍA DE TOKYO (TUAT)”. En caso de propiedad
intelectual común, ésta deberá ser autorizada por LAS PARTES a través de sus representantes. Cualquiera sea el caso se deberá otorgar el reconocimiento correspondiente a quienes hayan intervenido en la generación de dicho patrimonio intelectual.
13.3 LAS PARTES acuerdan que las actividades de colaboración llevadas a cabo en virtud de este convenio se realizarán sin la divulgación de la información confidencial o de propiedad de alguna de LAS PARTES a la otra parte o a terceros. En caso de que sea necesario que LAS PARTES divulguen información confidencial o de propiedad exclusiva, la parte reveladora notificará a la parte receptora con antelación y por escrito, con el fin de acordar términos razonables para la protección de dicha información. Toda la información confidencial se indicará claramente como tal y por escrito.
De conformidad con los términos y condiciones del presente Convenio Marco, LAS PARTES lo suscriben en dos (2) copias originales con el mismo valor y efecto.

INTER-INSTITUTIONAL COOPERATION FRAMEWORK AGREEMENT BETWEEN THE NATIONAL INSTITUTE OF AGRARIAN INNOVATION AND TOKYO UNIVERSITY OF AGRICULTURE AND TECHNOLOGY
This document serves as an Inter-institutional Cooperation Framework Agreement made between the NATIONAL INSTITUTE OF AGRARIAN INNOVATION, identified with RUC N° 20131365994, with legal address at Xx. Xx Xxxxxx Xx 0000, Xx Xxxxxx xxxxxxxx, xxxxxxxx of Lima and department of Lima, hereinafter referred to as INIA, duly represented by its Head, XXXXX XXXX XXXXXXX XXXXXXXX Ph.D., identified with DNI N° 00000000,
entrusted by Supreme Resolution N° 007-2019-MINAGRI, published in the Official Gazette “El Peruano” on July 10th, 2019, and the TOKYO UNIVERSITY OF AGRICULTURE AND TECHNOLOGY, hereinafter referred to as TUAT, located at 0-0-0 Xxxxxx-xxx, Xxxxx-xxx, Xxxxx 000-0000 Xxxxx, duly represented by its President, XXXXXXXX XXXXX Ph. D., with Passport N° XX0000000, in the terms and conditions contained in the following clauses:
FIRST CLAUSE: ON BEHALF OF
1.1 INIA, a Specialized Technical Organization attached to the Ministry of Agrarian Development and Irrigation, is in charge of managing and promoting the national research strategy, technological development, innovation, and technology transfer (R&D+i) in agrarian matters. INIA has legal representation as well as technical, administrative, economic and financial autonomy and develops conservation activities and use of genetic resources, production of seeds, seedlings and reproducers of high genetic value; it is also responsible for the zoning of crops and livestock throughout the national territory.
INIA, through its directorates, conducts technical activities in the Agrarian Experimental Stations (EEA), which are decentralized bodies located in agroecological zones across the country, where research and agricultural technology transfer activities are generated, developed and communicated.
1.2 TUAT, is a distinguished university in Japan dedicated to science and technology. TUAT focuses on agriculture and engineering that form the basis of the industry, and promotes the fields of education and research.
1.3 TUAT and INIA are empowered to sign agreements to promote inter-institutional cooperation and collaboration through the development and implementation of training programs, technical assistance, research activities and technology transfer.
Within the present agreement, when referring to TUAT and INIA jointly, they will be called “THE PARTIES”.
SECOND CLAUSE: THE OBJECTIVE
Establish an inter-institutional cooperation relationship to join forces and promote the development of projects focused on research, technological innovation, conservation and valuation of genetic resources, knowledge transfer, and training activities with the purpose of strengthening the R&D+i, modernization and competitiveness of the agrarian sector, to xxxxxx the family farming within the National System of Agrarian Innovation (SNIA).
THIRD CLAUSE: COMMITMENTS OF BOTH PARTIES
3.1 Promote research, innovation, technology transfer, co-management of R&D+i projects, agrarian technology development, exchange of researchers and scientists, as well as information on scientific methods and techniques and others of common interest.
3.2 Organize scientific and technological transfer events of regional and national scope, which contribute to the enrichment of knowledge and to the technical and scientific development of university students and professionals of both institutions such as internships and scientific visiting programs.
3.3 Provide technical and logistical support to each other for the fulfillment and execution of projects and activities, such as the exchange of materials and/or scientific equipment.
3.4 Cooperate jointly in the formulation and execution of research projects, technology transfer and innovation, which must be subject to the budgetary availability of each of THE PARTIES.
3.5 Facilitate the use of physical facilities such as experimental fields, greenhouses, nurseries, laboratories, processing rooms, classrooms, auditoriums, among others.
FOURTH CLAUSE: FUNDING
THE PARTIES agree that the execution of this agreement will not generate financial resources transfer, nor payment as any compensation between THE PARTIES, but rather effective collaboration that contributes to the fulfillment of their purposes.
FIFTH CLAUSE: SPECIFIC TERMS OF AGREEMENT
Specific agreements will establish, among other provisions, the financing, responsibilities, as well as intellectual property rights of the products and processes or results of the Projects, Programs, or research developed in this agreement. In addition to this, it must include a multi-year program that demonstrates compliance with the agreement.
Specific details of the activities noted in this agreement are subject to the approval of each party. Visits by researchers and students shall be subject to the visa regulations of the hosting party’s jurisdiction. Prior to engaging in any collaborative activity, each party shall obtain the prior written approval from the authorized representatives, which may include separate specific agreements.
SIXTH CLAUSE: COORDINATION
In order to achieve the objectives of this agreement, THE PARTIES designate the following officers as Institutional Coordinators:
- For TUAT: The Trustee for Education and Vice-President of TUAT.
- For INIA: The General Director of the Directorate of Genetic Resources and Biotechnology (DRGB).
In the event that either of THE PARTIES decide to change their Institutional Coordinators; it must be communicated in writing by the corresponding Institutional Representative.
SEVENTH CLAUSE: DURATION AND VALIDITY
The present agreement will be valid for five (5) years, counted from the date of its subscription, and this may be renewed or extended by common agreement in writing after evaluation by THE PARTIES. Either party may terminate this agreement by giving at least six (6) - month notice in writing to the other party. However, termination will not affect separate written agreements between the parties (whether or not attached as addenda to this agreement) which will be governed in accordance with its terms. No amendment to the terms of this agreement will be effective unless made in writing and signed by each party’s authorized signatory.
EIGHT CLAUSE: COMMUNICATION BETWEEN PARTIES
Any communication that must be submitted between THE PARTIES should be validly made in the addresses consigned in the introductory part of this document. Any variation of address, during the validity of this agreement, must be communicated in writing to the other party, with an anticipation no less than five (5) business days; otherwise, the communications and/or notifications sent to the previous address will take effect.
NINTH CLAUSE: NON-EXCLUSIVITY
This agreement shall not prevent the sign and execution of similar agreements with other entities.
TENTH CLAUSE: MODIFICATIONS AND EXTENSIONS
THE PARTIES may only modify or extend the terms of this agreement by mutual consent.
ELEVENTH CLAUSE: SETTLEMENT OF DISPUTES
Any dispute or controversy arising from the interpretation or implementation of this agreement will be resolved amicably and expeditiously by consultation or negotiation between THE PARTIES or such other means as they may mutually decide.
TWELFTH CLAUSE: TERMINATION OF THE AGREEMENT
The present agreement may be terminated for any of the following reasons:
12.1 By common agreement of THE PARTIES.
12.2 By one Party providing notice in accordance with the Seventh Clause.
12.3 By express legal mandate.
12.4 When one of THE PARTIES is unable to continue its obligations due to force majeure or fortuitous case duly justified.
12.5 For breach of obligations established in the agreement. The party affected by such non-compliance will require the other Party by written communication, so that within a period of thirty (30) days, it adapts its activities according to its commitments assumed. Otherwise, the agreement will be automatically terminated.
If, upon the resolution of the agreement, any relevant activity is being carried out; the resolution will allow the relevant activities in progress continue until their completion.
THIRTEENTH CLAUSE: INTELLECTUAL PROPERTY
13.1 All intellectual property of the products and processes or results of projects, programs or research carried out under this agreement, will be negotiated by THE PARTIES in the specific agreements that arise and will be subject to current Peruvian legislation on the matter.
13.2 Scientific articles or other publications made based on the results of the research developed will consider as authors to the specialists of both institutions indicating that they were developed in the framework of the “Inter-Institutional Cooperation Framework Agreement between the National Institute of Agrarian Innovation (INIA) and Tokyo University of Agriculture and Technology (TUAT)”. In case of common intellectual property, this must be authorized by THE PARTIES through their representatives. In any case, the corresponding recognition must be granted to those who have participated in the generation of the intellectual heritage.
13.3 THE PARTIES agree that the collaborative activities carried out under this agreement will be performed without the disclosure of confidential or proprietary information of any of THE PARTIES to the other party or to a third party. In the event that it is necessary for THE PARTIES to disclose confidential or proprietary information, the disclosing party will notify to the receiving party in advance and in writing, in order to agree on reasonable terms for the protection of such information. All confidential information will be clearly stated as such and in writing.
In accordance with the terms and conditions of this Framework Agreement, THE PARTIES
subscribe it in two (2) original copies with equal value and effect.
