TÉRMINOS Y CONDICIONES GENERALES
Los presentes términos y condiciones generales de servicio (los “Términos y Condiciones Generales”) regulan la relación contractual entre los Usuarios y XQ S.A., CUIT 30-71109007-6, Xxxx. Xxxxxxxx Xxxxx 000, Xxxx 0, Xxxxxxx, Xxxxxxxxx Xxxxxxxxx y cualquiera de sus empresas vinculadas (“doinGlobal” y junto con los Usuarios, las “Partes”). Los Términos y Condiciones Generales podrán ser modificados, complementados y/o sustituidos en lo pertinente por los términos y condiciones expresamente previstos para cada Curso, publicados o que se publiquen en el futuro (los “Términos y Condiciones Particulares” y junto con los Términos y Condiciones Generales, los “Términos y Condiciones”). Los Usuarios estarán sujetos a los Términos y Condiciones conforme los mismos sean actualizados y modificados periódicamente.
El Usuario conoce y acepta de manera total, incondicional e irrestricta los Términos y Condiciones, así como de las decisiones que doinGlobal adopte sobre cualquier cuestión no prevista en las mismas. Cualquier persona que no acepte estos Términos y Condiciones deberá abstenerse de utilizar el Sitio y/o los Cursos.
En caso de corresponder, el Usuario es responsable de conocer y dar cumplimiento a las políticas internas que establezca el Aliado en su relación con el Usuario a los fines del Curso.
CLÁUSULA PRIMERA. Definiciones.
1.1 Los términos cuya primera letra figura en mayúscula en los Términos y Condiciones Generales (salvo cuando se deba exclusivamente a que inician una oración o se trate de un nombre propio), tienen el significado que se les asigna en la presente Cláusula 1.1.
● “Aliados”: instituciones educativas con las que doinGlobal posee convenios a fin de desarrollar y proveer los Cursos.
● “Cursos”: significa indistintamente los programas y/o cursos brindados por
doinGlobal y/o por los Aliados.
● “doinGlobal”:tiene el significado que se le asigna en el Encabezado.
● “Incumplimiento Académico”: tiene el significado que se le asigna en la
Cláusula 3.7.
● “Cuota de Admisión/Admission Fee”: tiene el significado que se le asigna en la Cláusula 2.2 b.
● “Partes”: tiene el significado que se le asigna en el Encabezado.
● “Plagio”: significa aquel caso en que el Usuario incorpore como producción propia una idea, frase, párrafo u obra completa ajena en relación con lo cual no se indique de manera explícita el origen, ni se cite la fuente original de la cual está tomada la información, aún si dicha omisión fuera resultado del desconocimiento de quien la presenta como propia
● “Plataformas”: significa todas las plataformas ya sean de doinGlobal y/o de los Aliados, donde los Usuarios encontrarán los materiales de estudio y el acceso al aula virtual de los Cursos a las cuales podrán acceder mediante su usuario y clave personal.
● “Precio del Curso/Tuition Fee”: tiene el significado que se le asigna en la
Cláusula 4.1.
● “Proceso de Admisión”: tiene el significado que se le asigna en la Cláusula 2.3.
● “Requisitos Administrativos”: tiene el significado que se le asigna en la
Cláusula 2.2
● “Requisitos Técnicos”: tiene el significado que se le asigna en la Cláusula 2.6.
● “Sitio”: significa la plataforma en el dominio y subdominios de xxx.xxxxxxxxxx.xxx y la página de destino del carrito de compras xxxxx://xxxxxxxxxxxxxxxxxxxxxxxxxxx.xxx/
● “Términos y Condiciones”: tiene el significado que se le asigna en el Encabezado.
● “Términos y Condiciones Generales”: tiene el significado que se le asigna en el Encabezado.
● “Términos y Condiciones Particulares”: tiene el significado que se le asigna en el Encabezado.
● “Usuario”: son todas las personas que ingresen y/o naveguen el Sitio y/o las Plataformas
1.2 Según lo requiera el contexto, las palabras en singular incluyen el plural, y las palabras en plural incluyen el singular, y las palabras que denotan cualquier género incluyen todos los géneros. Cuando una palabra o frase sea definida en los Términos y Condiciones Generales, cada una de sus otras formas gramaticales tendrá su correspondiente significado.
CLÁUSULA SEGUNDA. Inscripción.
2.1. Los Usuarios podrán navegar en el Sitio e informarse sobre los Cursos que doinGlobal y sus Aliados ofrecen. El Sitio y los Cursos están dirigidos para mayores de edad. En caso de que algún menor tenga acceso a los mismos, su uso deberá estar supervisado por los padres, tutores o responsables legales. Los Cursos están disponibles para quienes tengan capacidad legal para contratar en los términos del Código Civil y Comercial de la Nación y cumplan las previsiones establecidas en los Términos y Condiciones.
2.2. En el caso de que los Usuarios deseen desarrollar los Cursos, deberán seguir el procedimiento de inscripción detallado a continuación (los “Requisitos Administrativos”):
(a) Inscripción online: el Usuario deberá completar el registro con la información solicitada en el Sitio.
(b) Pago de la Cuota de Admisión: el Usuario deberá abonar la cuota de admisión correspondiente para asegurar su vacante en el Curso (la “Cuota de Admisión/Admission Fee”). El monto de la Cuota de Admisión/Admission Fee no será reembolsable bajo ningún concepto, excepto por lo previsto en los Términos y Condiciones.
2.3. Una vez cumplido con los Requisitos Administrativos, en caso de corresponder, el Usuario completará el proceso de admisión al Curso, a través del cual se requerirá al Usuario la entrega de cierta documentación y/o información (el “Proceso de Admisión”).
2.4. doinGlobal y/o los Aliados analizarán la información brindada por el Usuario en el marco del Proceso de Xxxxxxxx y determinarán, a su solo criterio, la admisibilidad al Curso. El Proceso de Admisión podrá extenderse más allá del inicio de la cursada, período en el cual el Usuario tendrá acceso al Curso y Plataformas y, de corresponder, deberá abonar el Precio del Curso/Tuition Fee conforme las disposiciones de la Cláusula 4.
2.5. De no ser admitido en el marco del Proceso de Xxxxxxxx, doinGlobal reembolsará al Usuario los montos abonados hasta el momento en concepto de Cuota de Admisión/Admission Fee y de Precio del Curso/Tuition Fee si, y sólo si, el Usuario (i) hubiese presentado toda la información solicitada por doinGlobal y/o los Aliados en el marco del Proceso de Admisión; y (ii) la información mencionada en el punto (i) fuese verídica, completa, exacta, vigente y auténtica. En caso contrario, de no ser admitido en el marco del Proceso de Xxxxxxxx, doinGlobal reembolsará al Usuario únicamente los montos abonados hasta el momento en concepto de Precio del Curso/Tuition Fee.
2.6. Para participar en los Cursos con modalidad de cursada en línea o con instancias en línea y para acceder a las Plataforma del Curso, el Usuario deberá disponer de un dispositivo electrónico con acceso a internet, cámara web y micrófono (los “Requisitos Técnicos”)
2.7. Luego de cumplir con los Requisitos Administrativos, el Usuario será contactado por doinGlobal para obtener acceso, oportunamente, a las Plataformas del Curso.
CLÁUSULA TERCERA. Condiciones Generales de los Cursos.
3.1. La modalidad de cursada de los Cursos podrá ser en línea, presencial o bajo una modalidad híbrida, combinando instancias presenciales y en línea. La modalidad o instancia en línea podrá ser asíncrona y síncrona. La carga horaria y días de cursada serán oportunamente informados por doinGlobal y/o estarán publicadas en las Plataformas.
3.2. El Usuario conoce y acepta que la fecha de inicio informada, de modo excepcional, podría retrasarse en caso de no haberse llegado al cupo mínimo necesario de Usuarios para dar inicio a la cursada.
3.3. doinGlobal y/o los Aliados se reservan el derecho de realizar cualquier modificación en el contenido, programa, docentes, y/o en la agenda de clases del Curso.
3.4. doinGlobal no será responsable si el Usuario no cuenta con los Requisitos Técnicos necesarios para participar del Curso con modalidad o instancias en línea o para acceder a las Plataformas del Curso.
3.5. El Usuario se compromete a (i) no grabar las clases; (ii) no compartir los materiales del Curso con personas ajenas al mismo ni utilizarlos con fines ilícitos, ilegales o contrarios a lo establecido en los Términos y Condiciones, la buena fe y el orden público; (iii) completar las actividades académicas del Curso; (iv) mantener un trato respetuoso hacia los demás Usuarios, los profesores y/o tutores del Curso, el equipo de doinGlobal y los Aliados o cualquier otro tercero, evitando actos abusivos, de violencia, discriminación y/o que vulneren los derechos; (v) hacer un uso adecuado y lícito del Sitio, la Plataforma y contenido del Curso de conformidad con la legislación aplicable, los Términos y Condiciones, y la moral y las buenas costumbres; (vi) no introducir ni difundir videos informáticos o cualquier otro sistema que sea susceptible de provocar daños en el Curso y/o las Plataformas; y (vii) no cometer Plagio. El incumplimiento de cualquiera de los compromisos asumidos por el Usuario en la presente Cláusula 3.5 podrá acarrear penalidades que incluyan la suspensión o expulsión del Curso. En caso de
suspensión se limitará el acceso del Usuario a la Plataforma hasta tanto doinGlobal determine su rehabilitación nuevamente en el Curso. En caso de expulsión del Curso, aplicará lo dispuesto por la Cláusula 5.5.
3.6. doinGlobal ofrece al Usuario un canal de comunicación exclusivo para informar, de manera anónima y confidencial, la existencia de irregularidades éticas o cualquier incumplimiento a sus compromisos asumidos en los Términos y Condiciones por parte de cualquier Usuario y/o miembro de doinGlobal y/o de los Aliados. El mencionado canal de comunicación es: xxxxxxxxx@xxxxxxxxxx.xxx.
3.7. El Curso se encontrará sujeto a un calendario de actividades académicas que el Usuario deberá cumplir para estar en condiciones de completar y aprobar el Curso. Se considerará incumplimiento académico a la falta de participación del Usuario por más de 30 días corridos (el “Incumplimiento Académico”).
3.8. Para que el Usuario pueda obtener el certificado o título del Curso, según corresponda, una vez finalizada la cursada del mismo, el Usuario deberá (i) haber aprobado todas las instancias evaluativas del Curso; (ii) haber abonado el valor total del Curso y las tasas de titulación o certificación correspondientes; y (iii) cumplir con los requisitos para la gestión de emisión y expedición del título que pudieran corresponder, tal como corroborar datos personales para la impresión del certificado o título y verificar domicilio de expedición.
3.9. El Usuario conoce y acepta que la emisión y expedición del certificado o título, según corresponda, puede implicar el pago de tasas y/o costos de gestión adicionales al costo del Curso.
3.10. El Usuario conoce y acepta que la entrega de calificaciones y/o la emisión de certificados o títulos por parte de los Aliados puede presentar demoras sin que ello genere derecho a reclamo alguno por parte del Usuario. Asimismo, el Usuario conoce y acepta que la emisión de certificados o títulos de Aliados puede estar sujeta a fechas de vencimiento establecidas por los Aliados y que luego de dichas fechas no será posible iniciar la gestión para obtener el certificado y/o título correspondiente.
CLÁUSULA CUARTA. Pagos.
4.1. El Usuario podrá abonar la Cuota de Admisión/Admission Fee, el costo del Curso (el “Precio del Curso/Tuition Fee”) y cualquier otro importe comprometido al pago, a través de transferencia o depósito bancario, tarjeta de crédito o débito. Las opciones de financiación del Precio del Curso/Tuition Fee estarán disponibles en el Sitio.
4.2. El Usuario autoriza a que doinGlobal recurra a un tercero a fin de procesar los pagos de la Cuota de Admisión/Admission Fee y del Precio del Curso/Tuition Fee y de cualquier otro importe comprometido al pago, y acepta la divulgación de su información de pago a dicho operador.
4.3. Si el Curso ya hubiese comenzado, el pago de la primera cuota y/o el pago total del Precio del Curso/Tuition Fee, según corresponda, será abonado dentro de los 30 días posteriores al pago de la Cuota de Admisión/Admission Fee. En el caso de que se hubiera abonado la Cuota de Admisión/Admission Fee pero el Curso no hubiese dado inicio, el pago de la primera cuota y/o el pago total del Precio del Curso/Tuition Fee, según corresponda, será abonado dentro de los 30 días posteriores al inicio del mismo.
4.4. doinGlobal podrá suspender y/o finalizar el acceso del Usuario a las Plataformas y/o el acceso al Curso si el Usuario debiera alguna cuota del Curso por más de 30 días corridos, sin que ello genere derecho a reclamo alguno por parte del Usuario.
4.5. El Usuario autoriza a que doinGlobal lo contacte a través de correo electrónico y/o telefónicamente en relación con el pago de la Cuota de Admisión/Admission Fee o del Precio del Curso/Tuition Fee o de cualquier otro importe comprometido al pago.
4.6. doinGlobal podrá tomar todas las medidas judiciales y/o extrajudiciales que estime pertinentes en aquellos casos que se registren deuda por parte del Usuario.
CLÁUSULA QUINTA. Políticas de cancelación y modificación de los Cursos. Cancelación de la inscripción y baja por Incumplimiento Académico.
5.1. doinGlobal podrá cancelar el Curso, en cuyo caso, a elección del Usuario, doinGlobal (i) restituirá al Usuario el importe abonado en concepto de Cuota de Admisión/Admission Fee y el importe abonado hasta el momento en concepto de Precio del Curso/Tuition Fee; o (ii) tomará los montos abonados en concepto de Precio del Curso/Tuition Fee como crédito a favor del Usuario para la utilización en cualquier otro Curso de doinGlobal y/o con sus Aliados.
5.2. El Usuario reconoce y acepta que doinGlobal no abonará intereses ni ningún otro costo en el que pudiera haber incurrido el Usuario como consecuencia de la cancelación del Curso.
5.3. La cancelación del Usuario a la participación del Curso no lo exime de sus compromisos de pagos previos no abonados ni le otorga derecho a reembolso de ningún tipo. Para solicitar dicha cancelación, deberá enviar un correo electrónico a doinGlobal expresando su voluntad, indicando la fecha de cancelación y la razón por la cual la solicita. El pedido de cancelación del
Curso por parte del Usuario no cancela los compromisos de pagos previos no abonados por el Usuario.
5.4. La cancelación del Curso en nivel Máster o MBA por parte del Usuario se podrá regir por reglamentos internos de las Alianzas.
5.5. Ante un Incumplimiento Académico o un incumplimiento de los compromisos asumidos por el Usuario conforme la Cláusula 3.5, doinGlobal podrá cancelar la inscripción del Usuario en el Curso. Si el Usuario quisiera volver a participar del Curso, deberá cumplir con los Requisitos Administrativos y, en caso de corresponder, el Proceso de Admisión.
5.6. En los casos que corresponda según normativa aplicable, la cancelación en la inscripción del Usuario en el Curso puede implicar la pérdida de los créditos ECTS obtenidos hasta el momento.
5.7. El Usuario podrá revocar su solicitud de inscripción al Curso dentro de los 10 días corridos, contados a partir del pago de la Cuota de Admisión/Admission Fee, al hacer click en “Botón de Arrepentimiento” que se encuentra en el Sitio.
5.8. La solicitud de la Cláusula 5.7 no generará costo ni responsabilidad alguna siempre y cuando se respeten los términos de los artículos 34 de la Ley N°
24.240 y 1110 del Código Civil y Comercial de la Nación, Resolución 424/2020 de la Secretaría de Comercio Interior y concordantes Verificado el cumplimiento de los términos de los artículos 34 de la Ley N° 24.240 y 1110 del Código Civil y Comercial de la Nación, Resolución 424/2000 de la Secretaría de Comercio Interior y concordantes, doinGlobal realizará el reembolso de lo abonado sin costo alguno..
CLÁUSULA SEXTA. Responsabilidad
6.1. doinGlobal pone a disposición del Usuario Cursos de Aliados. doinGlobal no será responsable por cambios y cancelaciones.
6.2. doinGlobal pone a disposición de los Usuarios las Plataformas para ofrecer los Cursos, conforme a lo previsto en la Cláusula 2.7, y ofrece los mismos de acuerdo con los Términos y Condiciones. doinGlobal no será responsable por cualquier otra obligación.
6.3. El Usuario es responsable por el acceso y comportamiento en el Sitio y las Plataformas.
6.4. doinGlobal en ningún momento será responsable por lucro cesante, daño y/o perjuicio que haya podido sufrir el Usuario debido a los Cursos.
6.5. El Usuario posee todos los derechos de propiedad intelectual e industrial sobre las producciones creadas en el marco del Curso y garantiza que no violan ningún derecho de terceros. doinGlobal no será responsable si el Usuario infringiere y/o violare derechos de autor, patentes, marcas, secretos comerciales o cualquier otro derecho de un tercero. Por lo tanto, el Usuario se compromete a mantener indemne a doinGlobal y/o las Alianzas, sus respectivos directores, empleados, agentes, representantes y/o apoderados de la totalidad de los costos y/o gastos en que estos últimos deban incurrir como consecuencia de la violación de la presente Cláusula 6.5.
CLÁUSULA SÉPTIMA. Uso y garantía del Sitio y las Plataformas.
7.1. doinGlobal hará lo posible para que el Sitio y/o las Plataformas estén disponibles las 24 horas del día, los 7 días de la semana con excepción de las interrupciones programadas para realizar tareas de mantenimiento. No obstante, doinGlobal no garantiza que por razones que no pudiese controlar, el Sitio y/o las Plataformas pudieran verse afectados.
7.2. doinGlobal no garantiza la ausencia de virus ni otros elementos en el Sitio y/o las Plataformas introducidos por terceros que puedan producir alteraciones en los sistemas de los Usuarios..
7.3. doinGlobal y sus Alianzas no serán responsables por cualquier daño y/o perjuicio que pudieran generarse como consecuencia de lo previsto en la Cláusula 7.1 y Cláusula 7.2 Por lo tanto, el Usuario se compromete a mantener indemne a doinGlobal, sus Alianzas, directores, empleados, agentes, representantes y apoderados de la totalidad de los costos y/o gastos en que estos últimos deban incurrir como consecuencia de la violación de la presente Cláusula 7.3.
CLÁUSULA OCTAVA. Derechos de Propiedad Intelectual e Industrial.
8.1. El Usuario, reconoce y acepta que todos los derechos de propiedad intelectual e industrial del Sitio, la Plataforma y todos los materiales de los Cursos pertenecen a doinGlobal y/o los Aliados, según corresponda.
8.2. doinGlobal autoriza al Usuario a utilizar, visualizar, imprimir, descargar y almacenar los materiales de Cursos exclusivamente para el desarrollo del Curso.
8.3. El Usuario otorga a doinGlobal el derecho irrestricto, gratuito, no exclusivo para adaptar, editar, reproducir, difundir, transmitir, ejecutar públicamente o exhibir los contenidos desarrollados por el Usuario en el marco del Curso con fines educativos y de investigación sin que ello genere derecho a reclamo alguno por parte del Usuario.
CLÁUSULA NOVENA. Datos Personales. Imagen.
9.1. Los Usuarios declaran y garantizan que toda la información proporcionada a doinGlobal y/o los Aliados será verídica, completa, exacta, vigente y auténtica y se obligan a comunicar a doinGlobal cualquier modificación en esta.
9.2. El Usuario, por medio del presente, autoriza a doinGlobal y a los Aliados en los términos de la Ley N°25.326 a (i) utilizar los datos personales proporcionados a los efectos de la inscripción en los Cursos, como también procesarlos y verificarlos; (ii) almacenarlos en una base de datos; (iii) dar a conocer la base de datos o los datos que la componen y autorizar su uso a terceros, siempre que ello resulte necesario para el desarrollo del Curso y/o resulte necesario para cumplir con sus objetivos; (iv) establecer perfiles de consumo con fines promocionales o comerciales; (v) utilizarlos para el envío de comunicaciones y/o contactos sobre actividades, eventos, encuestas, sondeos, productos o servicios actuales o futuros que preste u ofrezca doinGlobal o empresas con las cuales doinGlobal celebre convenios comerciales, con fines publicitarios y de marketing en general.
9.3. El Usuario podrá, en cualquier momento, solicitar de manera gratuita la rectificación y/o actualización de sus datos personales contenidos en la base de datos como así el retiro o bloqueo total o parcial de los mismos, enviando un correo electrónico a xxxxxxx@xxxxxxxxxx.xxx.
9.4. El Usuario tiene la facultad de ejercer el derecho de acceso a sus datos personales en forma gratuita en intervalos no inferiores a 6 meses, salvo que se acredite un interés legítimo al efecto conforme lo establecido en el artículo 14, inciso 3 de la Ley N°25.326.
9.5. doinGlobal se reserva el derecho de exigir al titular de los datos las constancias que estime razonablemente necesarias a fin de acreditar su identidad y dar curso a la solicitud. doinGlobal adoptará los niveles de seguridad de protección de los datos personales legalmente requeridos, e instalará todos los medios y medidas técnicas razonablemente a su alcance para evitar la pérdida, mal uso, alteración, acceso no autorizado y robo de los datos personales del Usuario. Sin perjuicio de ello, el Usuario acepta y reconoce que las medidas de seguridad en Internet no son inexpugnables y pueden resultar insuficientes frente a ciertas circunstancias particulares o difíciles de prever. Por tal motivo, los Usuarios deben tener presente que siempre que divulguen voluntariamente información personal, ésta puede ser recogida y utilizada por terceros no autorizados. En consecuencia, si bien doinGlobal destinará recursos y medios para proteger los datos personales del Usuario, doinGlobal no será responsable por la difusión de éstos efectuada por terceros ni por los daños y perjuicios que tal difusión pudiera generar.
9.6. La Agencia de Acceso a la Información Pública, es la autoridad de aplicación de la Ley Nº 25.326, tiene la atribución de atender las denuncias y reclamos que se interpongan con relación al incumplimiento de las normas sobre protección de datos personales.
9.7. Para contactar a la Agencia de Acceso a la Información Pública ingresar a xxxx://xxx.xxx.xxx.xx/xxxxx-xxxxxxxxxx/, o llamar al 2821-0047, o personalmente en Xx. Xxx. Xxxx. Xxxxx X. Xxxx 000, Xxxx 0x - Xxxxxx Xxxxxxxx xx Xxxxxx Xxxxx.
9.8. El Usuario autoriza de manera gratuita, definitiva e irrevocable a que doinGlobal filme, fotografíe, obtenga, almacene, grabe o capte en cualquier formato y a través de cualquier medio la imagen del Usuario durante el desarrollo del Curso o producciones fotográficas organizadas por doinGlobal. El Usuario autoriza de manera gratuita, definitiva e irrevocable a doinGlobal a utilizar, divulgar, reproducir, comunicar, distribuir, transmitir, imprimir, exhibir y publicar la imagen del Usuario con el objeto de publicitar los Cursos y/o la actividad de doinGlobal. A esos efectos, doinGlobal está autorizado, a su exclusivo criterio y sin restricciones, a editar, alterar, suprimir o adaptar la imagen del Usuario a fin de adaptarla a las acciones publicitarias, promocionales, institucionales o comerciales que desarrolle.
CLÁUSULA DÉCIMA. Misceláneas
10.1. El Usuario no podrá ceder los derechos y obligaciones establecidas en los Términos y Condiciones. El Usuario, por la presente, autoriza a que doinGlobal ceda total o parcialmente los derechos y las obligaciones establecidas en los Términos y Condiciones a cualquiera de sus compañías relacionadas o vinculadas. doinGlobal podrá transferir la información del Usuario en caso de venta o fusión o de una adquisición de los activos principales de doinGlobal o cualquier otra clase de transferencia de doinGlobal a otra entidad.
10.2. doinGlobal se reserva el derecho de modificar, en cualquier momento y a su exclusivo criterio, los Términos y Condiciones (incluyendo, sin limitación, en su alcance o contenido; vigencia temporal y/o geográfica; naturaleza y forma de participación; etc.), en cuyo caso las nuevas versiones de los Términos y Condiciones serán notificadas al Usuario al correo electrónico informado en la inscripción y publicadas en el Sitio, con una anticipación no inferior a 20 días de la fecha de su entrada en vigencia. El Usuario acepta las modificaciones al continuar utilizando el Sitio, las Plataformas y desarrollando el Curso.
10.3. El hecho de que un término o cláusula de los Términos y Condiciones sea considerado inválido, nulo o no aplicable por un tribunal con jurisdicción competente en cualquier jurisdicción no afectará la validez o ejecución de los Términos y Condiciones o la validez o ejecución del término o cláusula objetable en cualquier otra situación o en cualquier otra jurisdicción. sentencia definitiva de un tribunal con jurisdicción competente resolviese que cualquier término o cláusula de los Términos y Condiciones es inválido, nulo o inaplicable, las Partes negociarán de buena fe para modificar los Términos y Condiciones para mantener en la mayor medida posible el espíritu de dicho término o cláusula inválido o inaplicable.

10.5. A los efectos de los Términos y Condiciones, doinGlobal constituye domicilio especial en Xxxx. Xxxxxxxx Xxxxx 000, Xxxx 0, Xxxxxxx, Xxxxxxxxx Xxxxxxxxx y el Usuario en el domicilio informado en la inscripción al Curso.
10.6. Los Términos y Xxxxxxxxxxx se regirán por, y se interpretarán de acuerdo con las leyes de la República Argentina.
10.7. Toda controversia que se suscite entre las partes con relación a los Términos y Condiciones, su existencia, validez, calificación, interpretación, alcance, cumplimiento o resolución, se resolverá definitivamente por los Tribunales Nacionales Ordinarios con sede en la Ciudad Autónoma de Buenos Aires, con exclusión de cualquier otro fuero o jurisdicción que pudiera corresponder. Cada Parte de manera irrevocable e incondicionada renuncia a cualquier objeción que pueda tener actualmente o en el futuro a dicha jurisdicción incluyendo objeciones por razón de falta de jurisdicción personal, jurisdicción improcedente o foro inconveniente.

GENERAL TERMS AND CONDITIONS
The present general terms and conditions of service (the "General Terms and Conditions") govern the contractual relationship between Users and XQ S.A., CUIT 30-71109007-6, 000 Xxxxxxxx Xxxxx Xxxxxx Xxxxx 0, Xxxxxxx, Xxxxxxxxx, and any of its related companies ("doinGlobal" and together with Users, the "Parties"). The General Terms and Conditions may be modified, supplemented and/or replaced as applicable by the terms and conditions expressly provided for each Course, published or to be published in the future (the "Specific Terms and Conditions" and together with the General Terms and Conditions, the "Terms and Conditions"). Users shall be bound by the Terms and Conditions as they may be updated and amended from time to time.
The User acknowledges and fully, unconditionally and unreservedly accepts the Terms and Conditions and doinGlobal's decisions on any matter not covered by the Terms and Conditions. Any person who does not agree to these Terms and Conditions must refrain from using the Site and/or the Courses.
Where applicable, the User is responsible for knowing and following the internal policies established by the Partner in its relationship with the User for the purposes of the Course.
CLAUSE ONE. Definitions.
Terms whose first letter is capitalized in the General Terms and Conditions (except where this is solely because they begin a sentence or are proper nouns) have the meaning assigned to them in this Clause 1.1.
● "Partners": means educational institutions with which doinGlobal has agreements for the purpose of developing and providing the Courses.
● "Courses": means, without limitation, the programmes and/or courses provided by doinGlobal and/or the Allies.
● "doinGlobal": has the meaning assigned to it in the Header.
● "Academic Unfulfillment": has the meaning assigned to it in Section 3.7.
● "Admission Fee": has the meaning assigned to it in Section 3.7.
● “Parties": has the meaning assigned to it in the Header.
● "Plagiarism": means the case in which the User incorporates as his/her own production an idea, phrase, paragraph or complete work of others in relation to which the origin is not explicitly indicated, nor is the original source from which the information is taken cited, even if such omission is the result of ignorance of the person who presents it as his/her own.
● "Platforms": means all doinGlobal and/or Allied platforms where Users will find the study materials and access to the virtual classroom of the Courses, which can be accessed through their personal username and password.
● "Tuition Fee": has the meaning assigned to it in Clause 4.1.
● "Admission Process": has the meaning assigned to it in Clause 2.3.
● "Administrative Requirements": has the meaning assigned to it in Clause 2.2.
● "Technical Requirements": has the meaning assigned to it in Clause 2.6.
● "Site": means the platform on the domain and sub-domains of xxx.xxxxxxxxxx.xxx and the shopping cart landing page xxxxx://xxxxxxxxxxxxxxxxxxxxxxxxxxx.xxx/.
● "Terms and Conditions": has the meaning assigned to it in the Header.
● "General Terms and Conditions": has the meaning assigned to it in the Header.
● "Particular Terms and Conditions": has the meaning assigned to it in the Header.
● "User": means all persons accessing and/or browsing the Site and/or the Platforms.
1.1 As the context requires, words in the singular include the plural, and words in the plural include the singular, and words denoting any gender include all genders. Where a word or phrase is defined in the General Terms and Conditions, each of its other grammatical forms shall have a corresponding meaning.
CLAUSE TWO. Registration.
2.1. Users may browse the Site and learn about the Courses offered by doinGlobal and its Partners. The Site and the Courses are intended for adults. In the event that a minor has access to them, their use must be supervised by parents, guardians or legal guardians. The Courses are available to those who have legal capacity to contract under the terms of the Civil and Commercial Code of the Nation and comply with the provisions set out in the Terms and Conditions.
2.2. In the event that Users wish to take the Courses, they must follow the registration procedure detailed below (the "Administrative Requirements"): Online Registration: the User must complete the registration with the information requested on the Site.
Payment of the Admission Fee: the User must pay the applicable admission fee to secure a place on the Course (the "Admission Fee"). The amount of the Admission Fee is non-refundable under any circumstances, except as provided for in the Terms and Conditions.
2.3. Once the Administrative Requirements have been fulfilled, if applicable, the User will complete the admission process to the Course, through which the User will be required to provide certain documentation and/or information (the "Admission Process").
2.4. doinGlobal and/or the Partners will review the information provided by the User as part of the Admission Process and will determine, in its sole discretion, eligibility for the Course. The Admission Process may extend beyond the beginning of the Course, during which time the User will have access to the Course and Platforms and, if applicable, will be required to pay theTuition Fee in accordance with the provisions of Clause 4.
2.5. If not admitted under the Admission Process, doinGlobal will refund to the User the amounts paid to date for the Admission Fee and Tuition Fee if, and only if, the User (i) has submitted all information requested by doinGlobal and/or the Partners under the Admission Process; and (ii) the information referred to in (i) above is true, complete, accurate, current and authentic. Otherwise, if not admitted under the Admission Process, doinGlobal will refund to the User only the amounts paid to date in respect of the Tuition Fee.
2.6. To participate in the online Courses or Courses with online instances and to access the Course Platform, the User must have an electronic device with internet access, webcam and microphone (the "Technical Requirements").
2.7. After fulfilling the Administrative Requirements, the User will be contacted by
doinGlobal to access, in due time, to the Course Platforms.
CLAUSE THREE. General Conditions of Courses
3.1. Courses may be taken online, onsite or under a hybrid modality, combining onsite and online instances. Online courses may be asynchronous or synchronous. The time load and days of the course will be duly informed by doinGlobal and/or will be published on the Platforms.
3.2. The User understands and accepts that the start date may exceptionally be delayed in the event that the minimum number of Users required to start the course has not been reached.
3.3. doinGlobal and/or the Partners reserve the right to make any changes to the content, programme, teachers, and/or class schedule of the Course.
3.4. doinGlobal shall not be liable if the User does not have the necessary Technical Requirements to participate in the Course in an online mode or instances or to access the Course Platforms.
3.5. The User agrees to (i) not record the classes; (ii) not share the Course materials with persons outside the Course or use them for illicit, illegal or contrary to the provisions of the Terms and Conditions, good faith and public order; (iii) complete the academic activities of the Course; (iv) maintain a respectful treatment towards other Users, teachers and/or tutors of the Course, the doinGlobal team and Partners or any other third party, avoiding abusive acts, violence, discrimination and/or infringement of rights; (v) make proper and lawful use of the Site, the Platform and Course content in accordance with applicable law, the Terms and Conditions, and morality and decency; (vi) not to introduce or disseminate computer videos or any other system that is likely to cause damage to the Course and/or the Platforms; and (vii) not to commit Plagiarism. Failure to comply with any of the commitments made by the User in this Clause 3.5 may result in penalties up to and including suspension or expulsion from the Course. In the event of suspension, the User's access to the Platform will be limited until such time as doinGlobal determines the User's reinstatement in the Course. In the event of expulsion from the Course, the provisions of Clause 5.5 will apply.
3.6. doinGlobal offers the User an exclusive communication channel to report, anonymously and confidentially, the existence of ethical irregularities or any breach of the commitments assumed in the Terms and Conditions by any User and/or member of doinGlobal and/or the Partners. 3.7. The Course will be subject to a schedule of academic activities that the User must comply with in order to be able to complete and pass the Course. Failure of the User to participate for more than 30 calendar days shall be considered Academic Unfulfillment (the "Academic Unfulfillment").
3.8. In order for the User to obtain the Course certificate or title, as the case may be, once the Course has been completed, the User must (i) have passed all the evaluative instances of the Course; (ii) have paid the total value of the Course and the corresponding qualification or certification fees; and (iii) comply with the requirements for the issuing and issuing of the title that may be applicable, such as corroborating personal data for the printing of the certificate or title and verifying the address of issue.
3.9. The User understands and accepts that the issuance and delivery of the certificate or title, as applicable, may involve the payment of fees and/or administration costs in addition to the cost of the Course.
3.10. The User understands and accepts that the delivery of qualifications and/or the issuance of certificates or titles by the Partners may be subject to delays without the User being entitled to any claim whatsoever. Likewise, the User understands and accepts that the issue of certificates or titles from Partners may be subject to expiry dates set by the Partners and that after such dates it will not be possible to initiate the procedure to obtain the corresponding certificate and/or title.
CLAUSE FOUR. Payments.
4.1. The User may pay the Admission Fee, the cost of the Course (the "Tuition Fee") and any other amounts committed to payment, by bank transfer or deposit, credit or debit card. Tuition Fee financing options will be available on the Site.
4.2. The User authorized doinGlobal to use a third party to process payments of the Admission Fee and Tuition Fee and any other amounts committed for payment, and consents to the disclosure of its payment information to such third party operator.
4.3. If the Course has already begun, payment of the first fee and/or the full Tuition Fee, as applicable, shall be due within 30 days of payment of the Admission Fee. In the event that the Admission Fee has been paid but the Course has not commenced, the first payment and/or the full Tuition Fee, as applicable, shall be paid within 30 days of the commencement of the Course.
4.4. doinGlobal may suspend and/or terminate the User's access to the Platforms and/or access to the Course if the User owes any Course fees for more than 30 calendar days, without giving rise to any claim by the User.
4.5. The User authorises doinGlobal to contact the User by email and/or telephone in relation to the payment of the Admission Fee or Tuition Fee or any other amount committed to payment.
4.6. doinGlobal may take any legal and/or extra-legal measures it deems appropriate in those cases in which the User is in debt.
CLAUSE FIVE. Course cancellation and modification policies. Cancellation of enrolment and deregistration due to Academic Unfulfillment.
5.1. doinGlobal may cancel the Course, in which case, at the User's option, doinGlobal will (i) refund to the User the amount paid for the Admission Fee and the amount paid to date for the Tuition Fee; or (ii) take the amounts paid for
the Tuition Fee as a credit to the User for use in any other Course with
doinGlobal and/or its Partners.
5.2. The User acknowledges and agrees that doinGlobal will not pay interest or any other costs that the User may have incurred as a result of the cancellation of the Course.
5.3. Cancellation of the User's participation in the Course does not release the User from any unpaid pre-payment commitments or entitle the User to a refund of any kind. To request such cancellation, the User must send an email to doinGlobal expressing his/her wishes, stating the date of cancellation and the reason for the cancellation. The User's request for cancellation of the Course does not cancel the User's unpaid pre-payment commitments.
5.4. Cancellation of the Course at Master or MBA level by the User may be governed by internal regulations of the Alliances.
5.5. In the event of an Academic Unfulfillment or a breach of the User's commitments under Section 3.5, doinGlobal may cancel the User's enrolment in the Course. If the User wishes to return to participate in the Course, the User must comply with the Administrative Requirements and, if applicable, the Admission Process.
5.6. Where appropriate according to applicable regulations, cancellation of the User's enrolment in the Course may result in the loss of the ECTS credits obtained to date.
5.7. The User may revoke his/her application for enrolment in the Course within 10 calendar days of payment of the Admission Fee by clicking on the "Withdrawal Button" on the Site.
5.8. The application of Clause 5.7 will not generate any cost or liability provided that the terms of Articles 34 of Law No. 24.240 and 1110 of the Civil and Commercial Code of the Nation, Resolution 424/2020 of the Secretariat of Internal Trade and concordant. Once compliance with the terms of Articles 34 of Law No. 24.240 and 1110 of the Civil and Commercial Code of the Nation, Resolution 424/2000 of the Secretariat of Internal Trade and concordant, doinGlobal will refund the amount paid at no cost.
CLAUSE SIX. Liability
6.1. doinGlobal makes available to the User Partner Courses. doinGlobal will not be liable for changes and cancellations.
6.2. doinGlobal makes the Platforms available to Users to offer the Courses, as set out in Clause 2.7, and offers the Courses in accordance with the Terms and Conditions. doinGlobal shall not be liable for any other obligations.
6.3. The User is responsible for access to and conduct on the Site and the Platforms.
6.4. doinGlobal shall at no time be liable for any loss of profit, damage and/or harm that the User may have suffered as a result of the Courses.
6.5. The User owns all intellectual and industrial property rights over the productions created within the framework of the Course and warrants that they do not violate any third party rights. doinGlobal shall not be liable if the User infringes and/or violates any copyright, patent, trademark, trade secret or any other right of a third party. Therefore, the User agrees to indemnify and hold harmless doinGlobal and/or the Alliances, their respective directors, employees, agents, representatives and/or attorneys-in-fact from all costs and/or expenses incurred by them as a result of any violation of this Clause 6.5.
CLAUSE SEVEN. Use and Warranty of the Site and Platforms.
7.1. doinGlobal will use reasonable efforts to make the Site and/or the Platforms available 24 hours a day, 7 days a week with the exception of scheduled maintenance outages. However, doinGlobal does not guarantee that for reasons beyond its control, the Site and/or the Platforms may be affected.
7.2. doinGlobal does not guarantee the absence of viruses or other elements on the Site and/or the Platforms introduced by third parties that may cause alterations to Users' systems.
7.3. doinGlobal and its Partners shall not be liable for any loss and/or damage that may arise as a result of the provisions of Clause 7.1 and Clause 7.2. Therefore, the User agrees to hold doinGlobal, its Partners, directors, employees, agents, representatives and attorneys-in-fact against all costs and/or expenses incurred by them as a result of a breach of this Clause 7.3.
CLAUSE EIGHT. Intellectual and Industrial Property Rights.
8.1. The User acknowledges and agrees that all intellectual and industrial property rights in the Site, the Platform and all Course materials belong to doinGlobal and/or the Partners, as applicable.
8.2. doinGlobal authorizes the User to use, view, print, download and store Course materials only for the purposes of the Course.
8.3. The User grants doinGlobal the unrestricted, free, non-exclusive right to adapt, edit, reproduce, disseminate, transmit, publicly perform or display the content developed by the User within the framework of the Course for educational and research purposes without giving rise to any claim by the User.
CLAUSE NINE. Personal data. Image
9.1. The User represents and warrants that all information provided to doinGlobal and/or the Partners shall be true, complete, accurate, current and authentic and undertake to notify doinGlobal of any changes thereto.
9.2. The User hereby authorizes doinGlobal and the Partners under the terms of Law No. 25. 326 to (i) use the personal data provided for the purposes of registration for the Courses, as well as to process and verify them; (ii) store them in a database; (iii) disclose the database or the data that compose it and authorize its use to third parties, provided that this is necessary for the development of the Course and/or is necessary to achieve its objectives; (iv) establish consumer profiles for promotional or commercial purposes; (v) use them to send communications and/or contacts about activities, events, surveys, polls, surveys, current or future products or services provided or offered by doinGlobal or companies with which doinGlobal has commercial agreements, for advertising and marketing purposes in general.
9.3. The User may, at any time, request, free of charge, the rectification and/or updating of his/her personal data contained in the database, as well as the total or partial withdrawal or blocking of such data, by sending an e-mail to xxxxxxx@xxxxxxxxxx.xxx.
9.4. The User has the faculty to exercise the right of access to his/her personal data free of charge at intervals of no less than 6 months, unless a legitimate interest to that effect is accredited in accordance with the provisions of article 14, paragraph 3 of Law No. 25.326.
9.5. doinGlobal reserves the right to require from the owner of the data such evidence as it deems reasonably necessary in order to prove his or her identity and to process the request. doinGlobal will adopt the legally required levels of security for the protection of personal data, and will install all technical means and measures reasonably available to it to prevent the loss, misuse, alteration, unauthorized access and theft of the User's personal data. Notwithstanding the foregoing, the User accepts and acknowledges that Internet security measures are not impregnable and may be insufficient in the face of certain particular circumstances or circumstances that are difficult to foresee. For this reason, Users should bear in mind that whenever they voluntarily disclose personal information, it may be collected and used by unauthorized third parties. Consequently, although doinGlobal will allocate resources and means to protect the User's personal data, doinGlobal will not be liable for the
dissemination of such data by third parties or for any damages that such dissemination may cause.
9.6. The Agency for Access to Public Information is the enforcement authority of Law No. 25.326, and is responsible for dealing with complaints and claims filed in relation to non-compliance with the rules on personal data protection.

9.8. The User hereby authorizes, free of charge, definitively and irrevocably, doinGlobal to film, photograph, obtain, store, record or capture in any format and by any means the image of the User during the Course or photographic productions organized by doinGlobal. The User authorizes doinGlobal free of charge, definitively and irrevocably to use, disclose, reproduce, communicate, distribute, transmit, print, exhibit and publish the image of the User for the purpose of advertising the Courses and/or the activity of doinGlobal. For these purposes, doinGlobal is authorized, at its sole discretion and without restriction, to edit, alter, delete or adapt the image of the User in order to adapt it to the advertising, promotional, institutional or commercial actions that it carries out.
CLÁUSULA DÉCIMA. Miscellaneous
10.1. The User may not assign the rights and obligations set forth in the Terms and Conditions. The User hereby authorizes doinGlobal to assign all or part of the rights and obligations set forth in the Terms and Conditions to any of its related or affiliated companies. doinGlobal may transfer the User's information in the event of a sale or merger or an acquisition of doinGlobal's principal assets or any other kind of transfer of doinGlobal to another entity.
10.2. doinGlobal reserves the right to modify, at any time and at its sole discretion, the Terms and Conditions (including, without limitation, in their scope or content; temporal and/or geographical validity; nature and form of participation; etc.), in which case the new versions of the Terms and Conditions will be notified to the User at the email address provided at registration and posted on the Site, no less than 20 days prior to their effective date. The User accepts the modifications by continuing to use the Site, the Platforms and the Course.
10.3. The fact that any term or provision of the Terms and Conditions is held to be invalid, void or unenforceable by a court of competent jurisdiction in any jurisdiction shall not affect the validity or enforceability of the Terms and Conditions or the validity or enforceability of the objectionable term or provision in any other situation or in any other jurisdiction. If a final judgment of
a court of competent jurisdiction finds any term or provision of the Terms and Conditions to be invalid, void or unenforceable, the Parties shall negotiate in good faith to modify the Terms and Conditions to maintain as nearly as possible the spirit of such invalid or unenforceable term or provision.

10.5. For the purposes of the Terms and Conditions, doinGlobal has a special address at 000 Xxxxxxxx Xxxxx Xx, 0xx xx, Xxxxxxx, Xxxxxxxxx and the User has a special address at the address provided in the Course registration.
10.6. The Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Argentina.
10.7. Any dispute arising between the parties in relation to the Terms and Conditions, their existence, validity, qualification, interpretation, scope, performance or resolution, shall be finally resolved by the Ordinary National Courts located in the Autonomous City of Buenos Aires, to the exclusion of any other jurisdiction or venue that may be applicable. Each Party irrevocably and unconditionally waives any objection it may have now or in the future to such jurisdiction including objections on the grounds of lack of personal jurisdiction, improper venue or inconvenient forum.
