CONTRATO DE INVERSIÓN QUE CELEBRAN POR UNA PARTE, STAKE GROUP SA DE CV, REPRESENTADA EN ESTE ACTO POR EL SEÑOR XXXXXX XXXXXX XXXXXX, EN LO SUCESIVO ‘EMPRESA’, Y POR LA OTRA, INMOBILIARIA VALEMI SA DE CV, REPRESENTADA EN ESTE ACTO POR EL SEÑOR XXXXXX XXXXXX XXXXXXX, EN LO SUCESIVO ‘INVERSIONISTA’, Y QUE EN SU CONJUNTO SE LES DENOMINARÁ ‘LAS PARTES’, DE CONFORMIDAD CON LAS SIGUIENTES:	INVESTMENT AGREEMENT ENTERED INTO BY STAKE GROUP SA DE CV, REPRESENTED IN THIS ACT BY MR. XXXXXX XXXXXX XXXXXX, HEREINAFTER ‘COMPANY’, AND INMOBILIARIA VALEMI SA DE CV, REPRESENTED IN THIS ACT BY MR. XXXXXX XXXXXX XXXXXXX, HEREINAFTER REFERRED TO AS ‘INVESTOR’, AND COLLECTIVELY REFERRED TO AS ‘THE PARTIES’, IN ACCORDANCE WITH THE FOLLOWING:

III. De ‘LAS PARTES’:	III. About ‘THE PARTIES’

Estando de acuerdo ambas partes con las declaraciones que anteceden, de común acuerdo se obligan al tenor de las siguientes:	Both parties agree to the above statements and are bound by the following:
C L Á U S U L A S	C L A U S E S
PRIMERA. Objeto. En este acto el ‘INVERSIONISTA’ otorga a la ‘EMPRESA’ la cantidad de $54,948.07 (CINCUENTA Y CUATRO MIL NOVECIENTOS CUARENTA Y OCHO DÓLARES CON SIETE CENTAVOS) Moneda de Curso Legal en los Estados Unidos de América, en lo sucesivo ‘INVERSIÓN’, a efecto de utilizarla en los proyectos propios de la misma.	FIRST. Xxxxxxx.Xx this act the ‘INVESTOR’ grants the ‘COMPANY’ the amount of $54,948.07 (FIFTY FOUR THOUSAND NINE HUNDRED FORTY EIGHT DOLLARS AND SEVEN CENTS) currency of legal course in the United States of America, hereinafter ‘INVESTMENT’, in order to use it in the projects of its own.
La cantidad referida como ‘INVERSIÓN’ será transferida o depositada de la siguiente forma:	The amount referred to as ‘INVESTMENT’ will be transferred or deposited as follows:
El ‘INVERSIONISTA’ ordenará a la persona moral ‘XXXXXXX, LP’ con domicilio en Xxxxx Unido y número de identificación fiscal 0000000000, para que por cuenta y a nombre del ‘INVERSIONISTA’ transfiera el monto pactado de la ‘INVERSIÓN’; el monto de la ‘INVERSIÓN’ deberá transferirse a cuenta bancaria número 511787308 y número de enrutamiento 322271627 de la institución ‘Xxxxx Bank’ abierta a nombre de ‘STAKE HOLDINGS LLC’, quien recibe por nombre y a cuenta de la ‘EMPRESA’.	The ‘INVESTOR’ will order the legal entity ‘XXXXXXX, LP’ with residence in the United Kingdom and tax identification number 8768596027, to transfer the agreed amount of the ‘INVESTMENT’ on behalf of and in the name of the ‘INVESTOR’; the amount of the ‘INVESTMENT’ must be transferred to bank account number 511787308 and routing number 000000000 of ‘Xxxxx Bank’ opened in the name of ‘STAKE HOLDINGS LLC’, which receives in the name and on behalf of the ‘COMPANY’.
La ‘INVERSIÓN’ deberá ser devuelta al ‘INVERSIONISTA’ al término de vigencia de este instrumento.	The ‘INVESTMENT’ shall be returned to the ‘INVESTOR’ at the end of the term of this agreement.
SEGUNDA. Rendimientos. La ‘EMPRESA’ se compromete a pagar al ‘INVERSIONISTA’ por concepto de rendimientos el 15% anual del monto de la ‘INVERSIÓN’, dichos rendimientos se pagarán parcialmente de forma mensual acorde al (anexo A)	SECOND. Yields. The ‘COMPANY’ undertakes to pay the ‘INVESTOR’ 15% of the amount of the ‘INVESTMENT’ per annum, said income will be partially paid on a monthly basis according to (annex A)

Los rendimientos serán pagados en Moneda de Curso Legal de México, es decir, pesos mexicanos, aún y cuando la ‘INVERSIÓN’ se hubiere pactado y/o transferido en cualquier otro tipo de moneda, efectuando la conversión con el tipo de cambio aplicable a la firma del presente contrato.	The yields will be paid in Mexican Legal Currency, that is, Mexican pesos, even if the ‘INVESTMENT’ has been agreed and/or transferred in any other type of currency, making the conversion with the applicable exchange rate at the signing of this contract.
En caso de adeudo de rendimientos por parte de la ‘EMPRESA’ al finalizar la vigencia referida en la Cláusula Tercera de este instrumento, la ‘EMPRESA’ deberá entregar al ‘INVERSIONISTA’ el monto pactado como ‘INVERSIÓN’ además de los montos que se adeuden por concepto de rendimientos.	In the event that the ‘COMPANY’ owes yields at the end of the term referred to in Clause Third of this agreement, the ‘COMPANY’ shall deliver to the ‘INVESTOR’ the amount agreed as ‘INVESTMENT’ in addition to the amounts owed for yields.
TERCERA. Vigencia. ‘LAS PARTES’ convienen que el presente contrato tendrá una vigencia de 24 meses contados a partir de la fecha de firma de este instrumento.	THIRD. Term. ‘THE PARTIES’ agree that this agreement shall be effective for 24 months from the date of signature of this agreement.
Al finalizar el plazo descrito en el párrafo que antecede, la ‘EMPRESA’ deberá devolver el monto de la ‘INVERSIÓN’ al ‘INVERSIONISTA’ en Pesos mexicanos al tipo de cambio que publiqu el Diario Oficial de la Federación el día en que se realice el pago.	At the end of the term described in the preceding paragraph, the ‘COMPANY’ shall return the amount of the ‘INVESTMENT’ to the ‘INVESTOR’ in Mexican pesos at the exchange rate published by the Official Gazette of the Federation on the day the payment is made.
CUARTA. Intereses Moratorios. ‘LAS PARTES’ convienen que en caso de que la ‘EMPRESA’, una vez vencida la vigencia estipulada en la Cláusula que antecede, no devuelva la cantidad entregada como ‘INVERSIÓN’ así como los rendimientos que se adeuden, la ‘EMPRESA’ pagará al ‘INVERSIONISTA’ el 3% (tres por ciento) de interés mensual sobre la cantidad que se adeude, hasta la fecha en que liquide la totalidad de los mismos.	FOURTH. Moratorium Interest. ‘THE PARTIES’ agree that in event that the ‘COMPANY’, once the term stipulated in the preceding Clause has expired, does not return the amount delivered as ‘INVESTMENT’ as well as the yields that are due, the ‘COMPANY’ will pay the ‘INVESTOR’ 3% (three percent) monthly interest on the amount that is due, until the date on which it settles all the outstanding balances.
Los pagos que puedan derivarse de esta Cláusula, deberán efectuarse en un plazo de 30 (treinta) días naturales, contados a partir de simple requerimiento por escrito por parte del ‘INVERSIONISTA’.	The payments that may derive from this Clause must be made within a period of 30 (thirty) calendar days, counted from the simple written request by the ‘INVESTOR’.
QUINTA. Terminación Anticipada. En caso de que el ‘INVERSIONISTA’ requiera solicitar la terminación de este contrato debido a una	FIFTH. Early Termination. In case the ‘INVESTOR’ requires to request the termination of this agreement due to an

emergencia, podrá solicitar a la ‘EMPRESA’ con al menos 2 (dos) meses de anticipación para poder estructurar el retiro de la inversión.	emergency, he may request to the ‘COMPANY’ at least 2 (two) months in advance in order to structure the withdrawal of the investment.
SEXTA. Domicilios. ‘LAS PARTES’ manifiestan que, para efectos del presente contrato, los domicilios señalados en el apartado de declaraciones serán considerados como válidos para oír y recibir toda clase de notificaciones y documentos, por lo que, cualquier cambio de domicilio deberá notificarse por escrito a la otra parte, en caso contrario, las notificaciones realizadas en el domicilio señalado en este instrumento se tendrán como válidas y surtirán todos sus efectos legales.	SIXTH. Domiciles. ‘THE PARTIES’ agree that, for the purposes of this agreement, the addresses indicated in the section of Statements will be considered as valid to hear and receive all kinds of notifications and documents, therefore, any change of address must be notified in writing to the other party, otherwise, the notifications made in the address indicated in this agreement will be considered as valid and will have all effects.
SÉPTIMA. Resolución de Controversias. En caso de controversias derivadas de la interpretación de este contrato o relacionadas con el y, previo a acudir a la jurisdicción ordinaria, ‘LAS PARTES’ se comprometen a señalar un Especialista mediador para dirimirlas en términos de la Ley de Mecanismos Alternativos de Solución de Controversias del Estado de Baja California Sur.	SEVENTH. Dispute Resolution. In case of controversies derived from the interpretation of this agreement or related to it and, prior to resorting to the ordinary jurisdiction, ‘THE PARTIES’ are committed to indicate a Specialist mediator to solve them in terms of the Law of Alternative Mechanisms of Solution of Controversies of the State of Baja California Sur.
OCTAVA. Especificaciones. El presente contrato se encuentra redactado en español e inglés, sin embargo, en caso de controversia en cuanto a su interpretación o aplicación, prevalecerá la versión escrita en idioma español.	EIGHTH. Specifications. This agreement is written in Spanish and English, however, in case of dispute regarding its interpretation, the written version in Spanish will prevail.
Los encabezados o títulos de las Cláusulas del presente contrato son destinados únicamente para facilitar la lectura del mismo.	The headings or titles of the clauses of this agreement are intended only to facilitate the reading of it.
Cualquier modificación, total o parcial de cualquier disposición de este contrato deberá efectuarse por escrito y firmado por ambas partes.	Any modification, in whole or in part, of any provision of this agreement, must be made in writing and signed by both parties.
NOVENA. Interpretación y Jurisdicción. ‘LAS PARTES’ acuerdan que, para cualquier interpretación respecto del presente Contrato, se someterán a la jurisdicción de los Tribunales competentes para el Estado de Baja California Sur, renunciando a cualquier otra jurisdicción	NINTH. Interpretation and Jurisdiction. ‘THE PARTIES’ agree that, for any interpretation regarding this agreement, they will submit to the jurisdiction of the competent Courts for the State of Baja California Sur, waiving any other

jurisdiction that may correspond to them in the present or in the future.

After reading this agreement and being aware of the value, consequences and legal scope of its contents, the parties hereto have expressed their full understanding of this instrument, and in order to give their consent and conformity it is signed in duplicate in the margin and at the bottom of each page, on the 5th day of June, 2020.
