CONDICIONES DE LICENCIA PARA LOS PRODUCTOS MAGIX (EULA)
1. OBJETO DEL CONTRATO:
MAGIX le otorga al cliente una licencia no exclusiva para el correspondiente pro ducto MAGIX. Mediante esta licencia el cliente recibe el derecho a utilizar el p rograma y los archivos de música y vídeo adquiridos en su ordenador (con una CPU o u n multiprocesador) o en una red bajo ciertas condiciones que permitan el acceso
a los datos solo a los ordenadores de la red. Si diversos ordenadores de la red tuvieran acceso a los datos, sería necesaria una nueva licencia para cada uno de e llos (para cada estación de trabajo). La propiedad intelectual u otros derechos de protección del software son propiedad de MAGIX. El cliente reconoce que todo dere cho de propiedad sobre el software y los archivos de vídeo y música pertenece al lic enciante. La responsabilidad sobre un uso del programa licenciado de acuerdo con
el contrato recae sobre el comprador del programa.
2. INSTALACIÓN
Junto con el software recibirá un número de serie que debe ingresar en el momento de la instalación. En el caso de las versiones de descarga se requerirá una activación o nline en su PC. En caso de que no tenga acceso a Internet, también es posible una activación por fax o carta. Con el número de serie puede activar el software hasta t res veces, en caso de que haya un cambio de hardware/CPU. MAGIX le posibilitará más activaciones en caso de que las precise para su nuevo hardware/CPU. Para ello es necesario que haya desinstalado el software de su hardware/CPU antiguo.
Si una función necesita una activación gratuita o paga (p. ej. activación de un códec), la activación se podrá realizar hasta tres veces, en caso de que esta sea necesaria debido a un cambio de hardware/CPU. En caso de ser necesario, MAGIX le proveerá ot
ros códigos de activación que le sean requeridos. También es posible una activación por fax o carta.
3. PROHIBICIÓN DE COPIA Y ALQUILER / OTRO USO COMERCIAL:
Queda completamente prohibida la reproducción completa o parcial del programa bajo licencia, así como de la documentación escrita que lo acompaña, a excepción de la creac ión de una copia de seguridad del programa.
El cliente no podrá en ningún caso alquilar con fines de lucro el programa licenciad o ni la documentación escrita, ni de cualquier otra forma ponerlos a la disposición de un tercero a cambio de una retribución económica. Lo mismo es aplicable en el cas o de alquiler del programa instalado en un ordenador que se ponga a la disposición de un tercero a cambio de una retribución económica.
La utilización comercial del programa se permite siempre que no sea contraria a la s disposiciones de los puntos 1 a 6.
4. TRANSFERENCIA Y ACUERDOS ADICIONALES:
La transferencia de derechos y deberes de este contrato de licencia a un tercero sólo es posible con la aceptación de MAGIX. Si la persona autorizada transfiere de este modo el producto MAGIX legítimamente adquirido, tendrá que destruir las posible s copias de seguridad y borrar las instalaciones. La reproducción de un producto M
AGIX no entregada en un medio de almacenamiento físico (versión de descarga) no es vál ida, la entrega de un número de serie está totalmente prohibida. Ninguna declaración o ral de un trabajador de MAGIX u otra persona de MAGIX podrá modificar o poner en d
uda la efectividad de estas condiciones de licencia.
5. PROHIBICIÓN DE MODIFICACIÓN:
Según §§ 69 de UrhG, el cliente no podrá realizar modificación alguna del software ni dire ctamente ni por medio de un tercero. Además, el Cliente no podrá dividir el software
en sus diversos módulos, transformarlo en código objeto, descifrarlo, copiarlo o ut ilizarlo de forma diferente a la establecida en este contrato.
6. UTILIZACIÓN DE LOS ARCHIVOS DE MÚSICA, VÍDEO y FOTO:
Los archivos de vídeo/foto y música contenidos en los productos MAGIX se podrán utiliz ar en principio sólo para fines no comerciales (únicamente en el ámbito privado). Sola
mente los archivos de música incluidos en la línea de productos MAGIX Music Maker y Soundpool DVD Collection pueden utilizarse con fines lucrativos en lo que se ref iere a la comercialización de piezas musicales.
7. DERECHO A INDEMNIZACIÓN POR DAÑOS Y PERJUICIOS:
Los derechos de propiedad intelectual del software licenciado y de los archivos
de música y vídeo pertenecen a MAGIX. El Cliente podrá ser demandado por MAGIX por cua lquier vulneración de los derechos de propiedad intelectual.
8. GARANTÍA Y RESPONSABILIDAD
a) El Cliente reconoce que, según el estado de la tecnología, podría haber fallos en l os programas de software y en su respectiva documentación y que no es posible la c reación de programas de procesamiento de datos de modo que queden libres de error
para todas sus condiciones de uso y requerimientos y libres de error para su uso con programas y hardware de terceros. MAGIX no asegura la garantía de las determi nadas propiedades o de la disponibilidad de las aplicaciones individuales planea das por el Cliente.
b) Si MAGIX pusiera a la disposición del Cliente programas y servicios de forma gr atuita, la garantía de evicción y saneamiento en cuanto a estos artículos gratuitos se vería limitada a los casos de ocultación dolosa de vicios por parte de MAGIX.
El resto de responsabilidades de MAGIX se limitan en cuanto a los artículos gratui tos a los casos antes indicados y al caso de negligencias graves.
c) La responsabilidad de MAGIX en cuanto a los servicios gratuitos por daños en lo s bienes en cualquier condición contractual y extracontractual, incluyendo el caso de culpabilidad en las discusiones contractuales (sea cual fuera la causa) se l imita al siguiente ámbito:
- La responsabilidad por daño de naturaleza contractual o extracontractual por par te de MAGIX o de uno de sus mediadores se considera únicamente en caso de incumpl imiento de sus deberes contractuales esenciales, es decir, aquellos deberes que
el cliente espera especialmente que se tengan que cumplir. La exención de responsa bilidad no se aplica en caso de daños corporales, premeditación o imprudencia temera ria.
- La responsabilidad de MAGIX no se extiende a los daños no típicos e imprevisibles.
Queda expresamente prohibida la responsabilidad por menoscabo o daños consecuente s debidos a defectos, a menos que se pueda inculpar a MAGIX por dolo o imprudenc ia temeraria. El cliente reconoce la creación de copias de seguridad de forma regu
lar y meticulosa para evitar daños y la pérdida de datos. Por ello, MAGIX se respons abiliza sólo de los daños producidos mediante la pérdida de datos que se encuentren ta mbién en las copias de seguridad correspondientes.
- No obstante las regulaciones anteriores, la responsabilidad de MAGIX se limita en todo caso a un cuádruplo de los derechos de licencia o del precio de compra se
gún el siniestro. Esta exención de responsabilidad no se aplica en caso de daños en lo s que se pueda inculpar a MAGIX por dolo o imprudencia temeraria.
Las regulaciones de ProdHaftG (la ley alemana de responsabilidad civil de produc tos) permanecen inalteradas.
Los defectos manifiestos se tendrán que anunciar sin demora, como muy tarde 30 días después de ser descubiertos. Si el Cliente anunciara de la forma debida dentro de este periodo una anomalía del programa que se desviara de la descripción del program a, tendrá el derecho a devolver el software defectuoso a su suministrador a cambio de una corrección del defecto. El defecto se tendrá que reparar dentro de un period
o razonable y, según la elección de MAGIX, la reparación del defecto corresponderá a la entrega de un nuevo producto correspondiente o una nueva versión del programa con
un volumen de prestaciones comparable. Si no fuera posible dicha corrección (incl. nueva entrega) dentro de un periodo razonable, o dicha corrección fracasara, el C liente tendrá derecho a anular el contrato, teniendo que destruir cualquier copia realizada o versión defectuosa.
d) MAGIX garantiza la accesibilidad a su servidor en un 98% de media anual para los servicios que dependan de un servidor online. Esto no incluye los periodos e n los que el servidor no se encuentre disponible en Internet debido a problemas
técnicos o de otra naturaleza que no se encuentren dentro del ámbito de influencia d e MAGIX (fuerza mayor, faltas por parte de terceros, etc.). MAGIX no tiene la re sponsabilidad, por lo tanto, de asegurar la disponibilidad en todo momento de la
s circunstancias exteriores del software que permitan su utilización. No obstante, MAGIX hará todo lo posible para asegurar la disponibilidad de la conexión durante e l periodo de duración normal del software (ciclo de vida), es decir, al menos cuat ro años a partir de la fecha de licencia del Cliente.
MAGIX podrá limitar temporalmente o suprimir el acceso a los servicios con el fin
de protección del público, protección de red, conservación de la integridad de la red, i nteroperabilidad de los servicios, protección de los datos, lucha contra correos n
o deseados (spam) o virus informáticos o por tener que llevar a cabo los necesario
s trabajos de mantenimiento o técnicos. Las limitaciones anteriores no se tendrán en cuenta para realizar el cálculo de la disponibilidad anteriormente indicado.
9. CONDICIONES DE LICENCIA DE OTROS FABRICANTES:
Si el producto licenciado contara con software adicional o acompañara a otro softw are adicional, se tendrán que tener en cuenta también las condiciones de uso y xx xx cencia del fabricante del software adicional.
10. ASISTENCIA TÉCNICA:
Los usuarios registrados contarán con asistencia técnica por Internet durante el per iodo que dure la garantía. La asistencia técnica gratuita comprende la aclaración de d udas sobre la instalación o la reparación de problemas de instalación por Internet o e
-mail.
11. VALIDEZ DE LAS CONDICIONES DE CONTRATO:
Si una o más de las condiciones de este contrato perdieran su validez, ello no afe ctaría a la validez del resto del contrato. En el lugar de la condición no válida se t endrá que introducir otra con un objeto lo más similar posible. El lugar de cumplim iento para las entregas en Europa es Berlín. Se aplica el derecho de la República Fe deral Alemana.
INTERBASE PUBLIC LICENSE
Version 1.0
1. Definitions.
1.0.1. "Commercial Use" means distribution or otherwise making the Covered Code available to a third party.
1.1. ''Contributor'' means each entity that creates or contributes to the creati on of Modifications.
1.2. ''Contributor Version'' means the combination of the Original Code, prior M odifications used by a Contributor, and the Modifications made by that particula r Contributor.
1.3. ''Covered Code'' means the Original Code or Modifications or the combinatio n of the Original Code and Modifications, in each case including portions thereo f.
1.4. ''Electronic Distribution Mechanism'' means a mechanism generally accepted in the software development community for the electronic transfer of data.
1.5. ''Executable'' means Covered Code in any form other than Source Code.
1.6. ''Initial Developer'' means the individual or entity identified as the Init ial Developer in the Source Code notice required by Exhibit A.
1.7. ''Larger Work'' means a work which combines Covered Code or portions thereo f with code not governed by the terms of this License.
1.8. ''License'' means this document.
1.8.1. "Licensable" means having the right to grant, to the maximum extent possi ble, whether at the time of the initial grant or subsequently acquired, any and all of the rights conveyed herein.
1.9. ''Modifications'' means any addition to or deletion from the substance or s tructure of either the Original Code or any previous Modifications. When Covered
Code is released as a series of files, a Modification is:
A. Any addition to or deletion from the contents of a file containing Original C ode or previous Modifications.
B. Any new file that contains any part of the Original Code or previous Modifica tions.
1.10. ''Original Code'' means Source Code of computer software code which is des cribed in the Source Code notice required by Exhibit A as Original Code, and whi ch, at the time of its release under this License is not already Covered Code go verned by this License.
1.10.1. "Patent Claims" means any patent claim(s), now owned or hereafter acquir ed, including without limitation, method, process, and apparatus claims, in any patent Licensable by grantor.
1.11. ''Source Code'' means the preferred form of the Covered Code for making mo difications to it, including all modules it contains, plus any associated interf ace definition files, scripts used to control compilation and installation of an Executable, or source code differential comparisons against either the Original Code or another well known, available Covered Code of the Contributor's choice. The Source Code can be in a compressed or archival form, provided the appropria te decompression or de-archiving software is widely available for no charge.
1.12. "You'' (or "Your") means an individual or a legal entity exercising rights under, and complying with all of the terms of, this License or a future version of this License issued under Section 6.1. For legal entities, "You'' includes a ny entity which controls, is controlled by, or is under common control with You. For purposes of this definition, "control'' means (a) the power, direct or indi rect, to cause the direction or management of such entity, whether by contract o r otherwise, or (b) ownership of more than fifty percent (50%) of the outstandin g shares or beneficial ownership of such entity.
2. Source Code License.
2.1. The Initial Developer Grant.
The Initial Developer hereby grants You a world-wide, royalty-free, non-exclusiv e license, subject to third party intellectual property claims:
(a) under intellectual property rights (other than patent or trademark) Licensab le by Initial Developer to use, reproduce, modify, display, perform, sublicense and distribute the Original Code (or portions thereof) with or without Modificat ions, and/or as part of a Larger Work; and
(b) under Patents Claims infringed by the making, using or selling of Original C ode, to make, have made, use, practice, sell, and offer for sale, and/or otherwi se dispose of the Original Code (or portions thereof).
(c) the licenses granted in this Section 2.1(a) and (b) are effective on the dat e Initial Developer first distributes Original Code under the terms of this Lice nse.
(d) Notwithstanding Section 2.1(b) above, no patent license is granted: 1) for c ode that You delete from the Original Code; 2) separate from the Original Code; or 3) for infringements caused by: i) the modification of the Original Code or i
i) the combination of the Original Code with other software or devices.
2.2. Contributor Grant.
Subject to third party intellectual property claims, each Contributor hereby gra nts You a world-wide, royalty-free, non-exclusive license
(a) under intellectual property rights (other than patent or trademark) Licensab le by Contributor, to use, reproduce, modify, display, perform, sublicense and d istribute the Modifications created by such Contributor (or portions thereof) ei ther on an unmodified basis, with other Modifications, as Covered Code and/or as part of a Larger Work; and
(b) under Patent Claims infringed by the making, using, or selling of Modificati ons made by that Contributor either alone and/or in combination with its Contrib utor Version (or portions of such combination), to make, use, sell, offer for sa le, have made, and/or otherwise dispose of: 1) Modifications made by that Contri butor (or portions thereof); and 2) the combination of Modifications made by tha t Contributor with its Contributor Version (or portions of such combination).
(c) the licenses granted in Sections 2.2(a) and 2.2(b) are effective on the date
Contributor first makes Commercial Use of the Covered Code.
(d) Notwithstanding Section 2.2(b) above, no patent license is granted: 1) for a ny code that Contributor has deleted from the Contributor Version; 2) separate f rom the Contributor Version; 3) for infringements caused by: i) third party modi fications of Contributor Version or ii) the combination of Modifications made by that Contributor with other software (except as part of the Contributor Version
) or other devices; or 4) under Patent Claims infringed by Covered Code in the a bsence of Modifications made by that Contributor.
3. Distribution Obligations.
3.1. Application of License.
The Modifications which You create or to which You contribute are governed by th e terms of this License, including without limitation Section 2.2. The Source Co de version of Covered Code may be distributed only under the terms of this Licen se or a future version of this License released under Section 6.1, and You must include a copy of this License with every copy of the Source Code You distribute
. You may not offer or impose any terms on any Source Code version that alters o r restricts the applicable version of this License or the recipients' rights her xxxxxx. However, You may include an additional document offering the additional rights described in Section 3.5.
3.2. Availability of Source Code.

3.4. Intellectual Property Matters
(a) Third Party Claims.
If Contributor has knowledge that a license under a third party's intellectual p roperty rights is required to exercise the rights granted by such Contributor un der Sections 2.1 or 2.2, Contributor must include a text file with the Source Co de distribution titled "LEGAL'' which describes the claim and the party making t he claim in sufficient detail that a recipient will know whom to contact. If Con tributor obtains such knowledge after the Modification is made available as desc xxxxx in Section 3.2, Contributor shall promptly modify the LEGAL file in all co pies Contributor makes available thereafter and shall take other steps (such as notifying appropriate mailing lists or newsgroups) reasonably calculated to info rm those who received the Covered Code that new knowledge has been obtained.
(b) Contributor APIs.
If Contributor's Modifications include an application programming interface and Contributor has knowledge of patent licenses which are reasonably necessary to i mplement that API, Contributor must also include this information in the LEGAL f ile.
(c) Representations.
Contributor represents that, except as disclosed pursuant to Section 3.4(a) abov e, Contributor believes that Contributor's Modifications are Contributor's origi nal creation(s) and/or Contributor has sufficient rights to grant the rights con veyed by this License.
3.5. Required Notices.
You must duplicate the notice in Exhibit A in each file of the Source Code. If i t is not possible to put such notice in a particular Source Code file due to its structure, then You must include such notice in a location (such as a relevant directory) where a user would be likely to look for such a notice. Once Covered Code has been published under a particular version of the License, You may always continue to use it under the terms of that version. You may also choose to use such Covered Code under the terms of any subsequent version of the

6.3. Derivative Works.

onfusion with Netscape#s or Inprise#s license and must include a description of xxxx ges from the InterBase Public License.
3. The name of the license in Exhibit A is the "InterBase Public License".
4. The reference to an alternative license in Exhibit A has been removed.
5. Amendments I, II, III, V, and VI have been deleted.
6. Exhibit A, Netscape Public License has been deleted
7. A new amendment (II) has been added, describing the required and restric xxx rights to use the trademarks of Inprise Corporation.
7. DISCLAIMER OF WARRANTY.
COVERED CODE IS PROVIDED UNDER THIS LICENSE ON AN "AS IS'' BASIS, WITHOUT XXXXXX XX OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, XXXX ANTIES THAT THE COVERED CODE IS FREE OF DEFECTS, MERCHANTABLE, FIT FOR A PARTICU LAR PURPOSE OR NON-INFRINGING. 8. TERMINATION.

8.2. If You initiate litigation by asserting a patent infringement claim (exclud ing declaratory judgment actions) against Initial Developer or a Contributor (th e Initial Developer or Contributor against whom You file such action is referred to as "Participant") alleging that:
(a) such Participant's Contributor Version directly or indirectly infringes any patent, then any and all rights granted by such Participant to You under Section s 2.1 and/or 2.2 of this License shall, upon 60 days notice from Participant ter minate prospectively, unless if within 60 days after receipt of notice You eithe r: (i) agree in writing to pay Participant a mutually agreeable reasonable royal ty for Your past and future use of Modifications made by such Participant, or (i
i) withdraw Your litigation claim with respect to the Contributor Version agains t such Participant. If within 60 days of notice, a reasonable royalty and paymen t arrangement are not mutually agreed upon in writing by the parties or the liti gation claim is not withdrawn, the rights granted by Participant to You under Se ctions 2.1 and/or 2.2 automatically terminate at the expiration of the 60 day no
tice period specified above.
(b) any software, hardware, or device, other than such Participant's Contributor Version, directly or indirectly infringes any patent, then any rights granted t o You by such Participant under Sections 2.1(b) and 2.2(b) are revoked effective as of the date You first made, used, sold, distributed, or had made, Modificati ons made by that Participant.
8.3. If You assert a patent infringement claim against Participant alleging that such Participant's Contributor Version directly or indirectly infringes any pat ent where such claim is resolved (such as by license or settlement) prior to the initiation of patent infringement litigation, then the reasonable value of the licenses granted by such Participant under Sections 2.1 or 2.2 shall be taken in to account in determining the amount or value of any payment or license.
8.4. In the event of termination under Sections 8.1 or 8.2 above, all end user l icense agreements (excluding distributors and resellers) which have been validly granted by You or any distributor hereunder prior to termination shall survive termination.
9. LIMITATION OF LIABILITY.
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, WHETHER TORT (INCLUDING NEGLIG ENCE), CONTRACT, OR OTHERWISE, SHALL YOU, THE INITIAL DEVELOPER, ANY OTHER CONTR IBUTOR, OR ANY DISTRIBUTOR OF COVERED CODE, OR ANY SUPPLIER OF ANY OF SUCH PARTI ES, BE LIABLE TO ANY PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENT IAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER C OMMERCIAL DAMAGES OR LOSSES, EVEN IF SUCH PARTY SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES. 10. U.S. GOVERNMENT END USERS.
The Covered Code is a ''commercial item,'' as that term is defined in 48 C.F.R.
2.101 (Oct. 1995), consisting of ''commercial computer software'' and ''commerci al computer software documentation,'' as such terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government End Users acquire Covered Code with only those rights set forth herein.
11. MISCELLANEOUS.
This License represents the complete agreement concerning subject matter hereof. If any provision of this License is held to be unenforceable, such provision sh all be reformed only to the extent necessary to make it enforceable. 13. MULTIPLE-LICENSED CODE.
Initial Developer may designate portions of the Covered Code as "Multiple-Licens
