1. Lepingus kasutatavad mõisted

1.1. Tehing – toote või teenuse eest tasumine kaardiga.

1.2. Kaardi vastuvõtmise seade – elektrooniline seade, mis tagab kaartide vastuvõtmise ja tehingute töötlemise müüja asukohas (näiteks müügikoha terminalis, kassasüsteemis või samaväärse lahendusega xxxx kohas).

1.3. Kaardi töötlemise keskus – panga valitud väline teenuseosutaja.

1.4. Maksekaartide vastuvõtmise leping – panga ja müüja sõlmitud maksekaartide vastuvõtmiseleping.

2. Lepingu ese

2.1. Kooskõlas lepingusätetega pank paigaldab xx xxxxx üle ning müüja võtab kasutamiseks vastu kaardi vastuvõtmise seadme (edaspidi müügikoha terminal). Müüja xx xxxx või vastava teenuse osutaja, kes paigaldab müügikoha terminali ja teenindab seda panga ülesandel, edaspidi teenuseosutaja, allkirjastavad iga üleantud müügikoha terminali kohta vastuvõtuakti. Iga kahepoolselt allkirjastatud vastuvõtuakt on lepingu lahutamatu osa.

3. Lepinguosaliste õigused ja kohustused

3.1. Müüja teeb lepingusätete alusel järgmist:

3.1.1. müüjal on õigus kasutada müügikoha terminali lepingu kogu kehtivuse jooksul;

3.1.2. müüja vastutab müügikoha terminali eest selle paigaldamise hetkest ning hüvitab pangale müügikoha terminali kahjustamisega seotud kahju (kahju, xxxxxx xxx), olenemata sellest, kas kahju on tekkinud müüja või kolmanda isiku tegevuse või tegevusetuse tagajärjel. Müügikoha terminali varguse või kahjustamise korral, mille tagajärjel ei ole müügikoha terminali võimalik enam kasutada, hüvitab müüja pangale müügikoha terminali väärtuse, võttes seejuures arvesse 20% amortisatsioonimäära aastas, või müügikoha terminali hüvitusväärtuse, xxx xxxx peab xxxxx maksma kolmandatele isikutele;

3.1.3. müüja on kohustatud kasutama müügikoha terminali hoolikalt ja kohusetundlikult kooskõlas kõikide müügikoha terminali kasutamist käsitlevate kasutusjuhendite ja reeglitega;

3.1.4. müüja teenindab VISA ja MasterCardi süsteemi maksekaarte xxxx panga kaudu, kasutades selleks müügikoha terminali;

3.1.5. müüja tagab võimalikult suures ulatuses müügikoha terminali ja kaardi töötlemise keskuse vaheliste sideliinide stabiilse töö;

3.1.6. müüja tagab, et müügikoha terminali kasutavad asjakohaste oskuste ja väljaõppega töötajad;

3.1.7. müüja teavitab xxxxx xx teenuseosutajat viivitamata müügikoha terminali kahjustamisest xx xxxxx töös esinevatest häiretest;

3.1.8. müüja tellib vähemalt 2 (kaks) päeva varem materjalid, mida teenuseosutaja vajab müügikoha terminali käitamiseks;

3.1.9. müüja vastutab tehinguandmete eest nende edastamiseni kaardi töötlemise keskusele ning andmeedastust käsitlevate eeskirjade täitmise eest (mille on kinnitanud müüja ja kaartide töötlemise keskus);

3.1.10. müüja kannab kõik kulud, mis on tekkinud müügikoha terminali mittenõuetekohase kasutamise või tahtliku kahjustamise tõttu. Iga sellise juhtumi kohta koostatakse eraldi akt;

3.1.11. müüja teavitab xxxxx vähemalt 5 (viis) tööpäeva ette müüja iga sellise kauplemiskoha sulgemisest, kus asub müügikoha terminal, ning annab sulgemise ajaks müügikoha terminali pangale või teenuseosutajale üle, allkirjastades selle kohta vastuvõtuakti;

3.1.12. müüja teavitab xxxxx igast uuest kauplemiskohast, kuhu on vaja paigaldada müügikoha terminal, ning kauplemiskoha aadressi muutusest. Müügikoha terminali ei tohi xxxx panga xxxxx xxxxx paigutada;

3.1.13. müüja hüvitab pangale kõik kulud ja kahjud, mis on tekkinud lepingu punktis 3.1.11 sätestatud nõuete täitmata jätmise tõttu;

3.1.14. müüja esitab panga nõudmisel viivitamata teabe müügikoha terminali kasutamisega seotud asjaolude kohta;

3.1.15. müüja maksab pangale koolituse eest, millele on viidatud lepingu punktis 3.2.1.1.

3.2. Kui müüja kasutab panga müügikoha terminali:

1. Terms and Definitions Used in this Agreement

1.1. Transaction – a payment for a product or service made using the Card.

1.2. Card Acceptance Device – an electronic device, which ensures acceptance of the Cards and processing of the Transaction at the Merchant's place (such as a POS terminal, cash register system or an equivalent alternative solution).

1.3. Card Processing Centre – an external service provider selected by the Bank.

1.4. Card Acceptance Agreement – the Agreement on Acceptance of Payment Cards concluded by the Bank and Merchant.

2. Subject of the Agreement

2.1. Pursuant to provisions of the Agreement, the Bank installs and transfers and the Merchant accepts for use the Card Acceptance Device, hereinafter referred to as POS. The Merchant and the Bank, or, upon assignment of the Bank, a provider of the respective service who installs and services POS, hereinafter referred to as the Service Provider, sign an acceptance certificate in relation to each transferred POS. Each bilaterally signed acceptance certificate becomes an integral part of the Agreement.

3. Rights and Responsibilities of the Parties

3.1. Pursuant to the provisions of the Agreement, the Merchant:

3.1.1. is entitled to use POS during the entire period of validity of the Agreement;

3.1.2. is responsible for POS from the moment of installation of POS and compensates the Bank for losses related to damage to POS (damage, theft, etc.) regardless of whether the damage has been done as a result of action or inaction of the Merchant or a third party. In case of theft or damage of POS as a result of which the further use of POS is impossible, the Merchant compensates the Bank for the value of POS taking into account the depreciation rate of 20% per annum or POS compensation value if such value shall be paid to third parties by the Bank;

3.1.3. undertakes to use POS carefully and conscientiously in accordance with all manuals and rules related to the use thereof;

3.1.4. services payment cards of VISA and MasterCard systems only via the Bank using POS;

3.1.5. to the extent possible, ensures stable operation of communication lines between POS and the Card Processing Centre;

3.1.6. ensures qualified and trained personnel to use POS;

3.1.7. immediately notifies the Bank and the Service Provider of damages and disruptions in operation of POS;

3.1.8. orders the materials that are necessary for the Service Provider for exploitation of POS at least 2 (two) days in advance;

3.1.9. is held responsible for the data of the Transaction until their transfer to the Card Processing Centre as well as for the compliance with the data transfer regulations (approved by and between the Merchant and Card Processing Centre);

3.1.10. covers all expenses inflicted due to improper use or intentional damage of POS. A separate certificate is executed with regard to each such case;

3.1.11. notifies the Bank of closing of each trading venue of the Merchant where POS is located, not later than 5 (five) business days in advance and, by the time of closing, transfers POS to the Bank or to the Service Provider signing a respective acceptance deed;

3.1.12. informs the Bank about each new trading place where it is necessary to install POS as well as about change of the address of a trading place. POS cannot be relocated without permission of the Bank;

3.1.13. to indemnify the Bank for all costs and damages due to the failure to observe the provisions of Clause 3.1.11 of the Agreement;

3.1.14. upon request of the Bank, immediately provides information regarding matters related to use of POS;

3.1.15. pays to the Bank for the training referred to in Clause

3.2.1.1 of the Agreement in full.

3.2. If the Merchant uses POS of the Bank:

3.2.1. the Bank, in accordance with provisions of the Agreement, ensures itself or via the Service Provider:

3.2.1.1. installation of POS and transfer of POS to the Merchant

3.2.1. tagab pank kooskõlas lepingusätetega ise või teenusepakkuja kaudu järgmist:

3.2.1.1. müügikoha terminali paigaldamise xx xxxxx üleandmise müüja kasutusse ning müüja nõudmisel müüja töötajate koolitamise tööks müügikoha terminaliga;

3.2.1.2. müügikoha terminali teenindamise ja hooldamise, et see oleks töökorras;

3.2.1.3. müügikoha terminali vigade kõrvaldamise või müügikoha terminali väljavahetamise (kui puudusi ei ole võimalik remontida) 5 (viie) tööpäeva jooksul xxxx lisatasuta;

3.2.1.4. ööpäevaringse (24-tunnise) andmete haldamise ja autoriseerimise teenuse, millega kaasnevad järgmised ülesanded:

3.2.1.4.1. kiirpäringud;

3.2.1.4.2. ostude autoriseerimine;

3.2.1.4.3. teabevahetuse kontroll;

3.2.1.4.4. müüja abistamine ettenägematutes olukordades, mis on seotud müügikoha terminali tööga;

3.2.2. on pangal õigus:

3.2.2.1. kontrollida ja uurida xxxx xxxx müügikoha terminali kasutamise tingimusi;

3.2.2.2. saada müüjalt teavet müügikoha terminali tööga seotud asjaolude kohta;

3.2.2.3. xxxxx müügikoha terminal müüjalt xxxx xxxx ära, kui müüja rikub müügikoha terminali kasutamise käigus lepingut, xxxx 1, xxxx 2 ja/või xxxx 3 ning kui müügikoha terminali kaudu tehtud tehingute summa ei ületa 3 (kolme) järjestikuse kuu jooksul 350 eurot (kolmsada viiskümmend eurot ja 00 eurosenti);

3.2.2.4. nõuda müüjalt pärast sellekohase arve koostamist müügikoha terminali väärtuse hüvitamist, võttes seejuures arvesse 20% (kahekümneprotsendilist) amortisatsioonimäära aastas müügikoha terminali vastuvõtmise hetkest, või müügikoha terminali hüvitusväärtuse hüvitamist, xxx xxxx peab xxxxx maksma kolmandatele isikutele, kui müüja on viivitanud müügikoha terminali tagastamisega kauem kui 2 (kaks) nädalat pärast kauplemiskoha sulgemist.

3.3. Lepingu punktis 3.1.11 nimetatud asjaolude korral arvestab pank esimese 14 (neljateistkümne) üleandmisega viivitatud kalendripäeva eest ja peab xxxxx müügikoha terminali kuutasu kinni ka vahendustasu 7,11 eurot (seitse eurot ja 11 eurosenti), millele lisandub õigusaktides sätestatud käibemaks, ning iga järgmise üleandmisega viivitatud päeva eest 14,23 eurot (neliteist eurot ja 23 eurosenti), millele lisandub õigusaktides sätestatud käibemaks.

4. Lepinguosalised on kokku leppinud järgmises müügikoha terminali kuutasus.

4.1. Müüja maksab pangale iga paigaldatud müügikoha terminali eest järgmist kuutasu:

Müügikoha terminali kuutasule lisandub õigusaktides sätestatud käibemaks. Pank peab kuutasu xxxx müüjaga sõlmitava lisakokkuleppeta kinni maksekaartidega tehtud müüja tehingute käibe kogusummast või pangas avatud müüja arvelduskontolt iga kuu 5. (viiendaks) päevaks sama kuu eest. Kuutasu maksmise kohustus lõpeb pärast müügikoha terminali üleandmist pangale.

4.2. Kui müüja arvelduskontol ei ole lepingu punktis 4.1 nimetatud kuupäevaks kuutasu maksmiseks vajalikku raha ja/või tehingute käibest ei piisa nimetatud tasu kinnipidamiseks, on pangal õigus pidada kuutasu kinni müüja arvelduskontole ülekantud summa või mis tahes tehingusumma arvelt.

4.3. Kui müüja ei ole taganud, et tema arvelduskontol oleks kuu lõpuks kuutasu maksmiseks vajalik raha, ning kuutasu ei ole võimalik kinni pidada tehingusummadest, esitab pank müüjale arve, mille müüja on kohustatud maksma 10 (kümne) kalendripäeva jooksul selle kättesaamisest.

5. Lepingu jõustumine ja kehtivus

5.1. Leping xx xxxxx punktis 5.6 nimetatud ülesütlemise tingimus jõustub päeval, mil mõlemad lepingosalised lepingu allkirjastavad. Leping on sõlmitud määramata ajaks, kui lepinguosalised ei ole lepingu tähtajas kokku leppinud. Leping lõpetatakse lepinguosaliste kirjalikul kokkuleppel või lepingu punktis 5.2 sätestatud korra alusel.

5.2. Kui lepinguosaline ütleb lepingu ühepoolselt üles, esitab

for use as well as ensures training of the Merchant's employees for work with POS at the Merchant's request;

3.2.1.2. ensures servicing and maintenance of POS in working condition;

3.2.1.3. ensures elimination of defects of POS or replacement of POS in case of irreparable defects within 5 (five) business days without extra charge;

3.2.1.4. ensures round-the-clock (24 hour) data administration and authorisation service with the following functions:

3.2.1.4.1. urgent inquiries;

3.2.1.4.2. authorisation of purchases;

3.2.1.4.3. follow-up of exchange of information;

3.2.1.4.4. rendering assistance to the Merchant in unforeseen situations that are related to operation of POS;

3.2.2. The Bank is entitled to:

3.2.2.1. control and inspect conditions of use of POS at any time;

3.2.2.2. receive from the Merchant information on the matters related to operation of POS;

3.2.2.3. take away POS at any time, if the Merchant, using POS, violates the Agreement, Annex 1, Annex 2 and/or Annex 3 as well as, if the amount of transactions executed via POS does not exceed EUR 350 (three hundred and fifty euro 00 euro cents) within 3 (three) months in succession;

3.2.2.4. request the Merchant, preparing a respective invoice, to repay the value of POS taking into account the depreciation rate of 20% (twenty percent) per annum starting from the moment of acceptance of POS, or POS compensation value if such value shall be paid to third parties by the Bank, if the Merchant has delayed return of POS for more than 2 (two) weeks from the moment of closing of a trading venue.

3.3. Upon occurrence of the circumstances specified in Clause

3.1.11 of the Agreement, the Bank calculates and withdraws, in addition to the monthly fee for POS, the commission fee EUR

7.11 (seven euro 11 euro cents) and the value added tax in the amount stipulated in the regulatory enactments for the first 14 (fourteen) calendar days and EUR 14.23 (fourteen euro 23 euro cents) and the value added tax in the amount stipulated in the regulatory enactments for each next day of delay.

4. The Parties agreed upon the monthly fee for POS:

4.1. The Merchant pays the following monthly fee to the Bank for each installed POS:

In addition to the POS monthly fee, the Merchant pays the value added tax in the amount stipulated in the regulatory enactments. The Bank withholds the monthly fee without additional agreement with the Merchant until the 5th (fifth) day of each month for the same month from the Merchant's total amount of turnover of the Transactions with payment cards or Xxxxxxxx'x current account with the Bank. The monthly fee is cancelled only after the transfer of POS to the Bank.

4.2. If by the date specified in Clause 4.1 of the Agreement the funds required to pay for the monthly fee are not available in the Merchant's current account and/or the turnover of the Transactions is not sufficient to withhold the aforementioned fee, the Bank is entitled to transfer any amount transferred to the Merchant's current account or any amount of the Transaction to withhold the monthly fee.

4.3. If by the end of the month the Merchant has not ensured the funds, required to pay for the monthly fee, in the current account or from the amounts of the Transactions, the Bank submits an invoice to the Merchant which the Merchant undertakes to pay within 10 (ten) calendar days from the moment of receipt thereof.

5. Coming into Force and Period of Validity of the Agreement

5.1. This Agreement with its condition of cancellation as stated in article 5.6. of this Agreement comes in force on the day of signing of the Agreement by both Parties and it is concluded for an unlimited time, unless the Parties have agreed on a specific term of the Agreement. The Agreement is terminated by written agreement of the Parties or under the procedure stipulated in Clause 5.2 of the Agreement.

5.2. If any Party terminates the Agreement unilaterally, said

nimetatud lepinguosaline teisele lepinguosalisele sellekohase xxxxx hiljemalt 30 (kolmekümne) päeva jooksul enne lepingu

lõpetamist. Lepingu ühepoolne lõpetamine ei ole lubatud enne, kui lepingu allkirjastamisest on möödunud 1 (üks) aasta, välja arvatud lepingu punktis 5.3 sätestatud juhtudel või kui leping on sõlmitud määratud ajaks.

5.3. Lepingu punktis 3.2.2.3 nimetatud asjaolude korral või kui müüja ei täida lepingu punktides 3.1.3 või 4 sätestatud kohustusi või kui mingil põhjusel lõpetatakse panga ja müüja vahel sõlmitud kaartide vastuvõtmise leping, on pangal õigus leping viivitamata ühepoolselt üles öelda.

5.4. Kui lepinguosaline ei täida lepingu kehtivuse ajal oma kohustusi, ei vabasta lepingu lõpetamine lepinguosalisi nende kohustuste täielikust täitmisest.

5.5. Leping loetakse lõppenuks hetkest, mil lepinguosalised allkirjastavad müügikoha terminali vastuvõtmise akti viimase müügikoha terminali tagastamise kohta pangale või teenuseosutajale.

5.6. Kui müüja nõuetele vastavuse kontrollimise tagajärjel tuvastatakse, et esineb asjaolusid, mis ei võimalda müüjaga koostööd teha, teatab pank müüjale lepingu ülesütlemisest kümne tööpäeva jooksul pärast lepingu jõustumise päeva.

6. Vaidluste lahendamise kord

6.1. Lepingust tulenevad või sellega seotud vaidlused, erimeelsused või nõuded, mis puudutavad lepingut või selle rikkumist, lõpetamist või kehtetust, lahendatakse esitatud dokumentide alusel lõplikult Harju Maakohtus.

7. Lisasätted

7.1. Lepinguosaliste esindajad kinnitavad, et xxxx on kõik õigused (volitused) sõlmida leping nende poolt esindatavate lepinguosaliste nimel, omandades seeläbi esindatavate lepinguosaliste õigused ja kohustused, mis on sätestatud lepingus Kui lepingut allkirjastanud isikul ei olnud õigus- ja teovõimet või volitusi selle lepinguosalise esindamiseks, xxxxx esindaja ta oma väidete kohaselt on, vastutab ta lepingu allkirjastamise hetkest lepingu täitmise eest füüsilise isikuna.

7.2. Leping on koostatud Eesti Vabariigis kehtivate õigusaktide alusel xx xxxx tõlgendatakse samade õigusaktide alusel. Lepingu osaliste vahelised küsimused, mida ei ole lepingus reguleeritud ja mis tulenevad lepingust, lahendatakse Eesti Vabariigis kehtivate õigusaktide kohaselt.

7.3. Kui lepinguosaline restruktureeritakse, on leping lepinguosalise õigusjärglastele siduv.

7.4. Müüjat on teavitatud sellest ja ta nõustub, et pank kasutab oma kohustuste täitmisel müüja vastu ka kolmandate isikute teenuseid. Sellisel juhul ei vastuta pank müüjale tekitatud kahju ega ebamugavuste eest, kui need on tekkinud kolmanda isiku hooletuse või pahatahtliku kavatsuse tõttu.

7.5. Lepingu muudatused ja täiendused koostatakse üksnes lepinguosaliste kirjalikul kokkuleppel ning need moodustavad lepingu lahutamatu osa.

7.6. Pank alustab lepingus sätestatud teenuste osutamist 5 (viie) tööpäeva jooksul pärast lepingu jõustumist.

7.7. Leping on koostatud eesti ja inglise keeles 2 (kahes) võrdse õigusjõuga eksemplaris. Mõlemale lepinguosalisele jääb lepingust 1 (üks) eksemplar.

Party submits to the other Party a notice of respective content not later than within 30 (thirty) days prior to termination of the

Agreement. Unilateral termination of the Agreement is possible not earlier than 1 (one) year after the signing thereof except for what is stipulated in Clause 5.3 of the Agreement or if the Agreement is concluded for a definite period of time.

5.3. Upon occurrence of the circumstances specified in Clause

3.2.2.3 of the Agreement or if the Merchant fails to fulfil the obligations stipulated in Clause 3.1.3 or in Section 4 of the Agreement, or if the Agreement on Acceptance of Cards concluded between the Bank and Merchant is terminated due to any reason, the Bank is entitled to immediately terminate the Agreement unilaterally.

5.4. If any Party fails to fulfill its obligations during the period of validity of the Agreement, termination of the Agreement does not release the Parties from complete fulfillment of these obligations.

5.5. The Agreement is also deemed terminated as of the moment when the POS acceptance deed is mutually signed regarding the return of the last POS returned to the Bank or Service Provider.

5.6. In case as a result of compliance verification of the Merchant it is established that there are circumstances, which do not allow cooperation with the Merchant, the Bank not later than within 10 working days from the day the Agreement becomes effective gives notice to the Merchant on cancellation of the Agreement.

6. Procedure of Consideration of Disputes

6.1. Any dispute, controversy or claim arising out of or in connection with this Agreement, which concerns it or its infringement, termination or invalidity shall be finally settled by Xxxxx Country Court, which is located in Estonia, in accordance with the effective laws of the Republic of Estonia and rules of this arbitration court in the Estonian language on the basis of the submitted documents, provided that the number of arbitrators shall be one or at discretion of the Bank in a court of the Republic of Estonia with according jurisdiction.

7. Additional Provisions

7.1. The representatives of the Parties hereby confirm that they have all the rights (powers) to conclude the Agreement on behalf of the Parties that they represent, acquiring thereby the rights and obligations of the represented Parties that are stipulated in this Agreement. If a person signing the Agreement has not been legally capable or authorised to represent the Party whose representative it claims to be, as of the moment when the Agreement was signed, then he/she shall be responsible for execution of the Agreement as a natural person.

7.2. This Agreement has been drawn up and is to be interpreted pursuant to the effective regulatory enactments of the Republic of Estonia. Any relationships between the Parties that have not been regulated herein and arise out of the Agreement shall be resolved pursuant to the effective regulatory enactments of the Republic of Estonia.

7.3. This Agreement is binding upon the successors to the rights of a Party if the Party is restructured.

7.4. The Merchant is informed and agrees that the Bank also uses the services of third parties for performance of its obligations before the Merchant. In such case the Bank is not responsible for losses and inconveniences sustained by the Merchant if they have occurred due to negligence by or malicious intent of any third parties.

7.5. Any amendments and supplements to the Agreement shall only be made by written agreement of the Parties, and they shall therefore become an integral part of the Agreement.

7.6. Bank will commence to provide services as stated in the Agreement not later than within 5 working days from the moment the Agreement becomes effective.

7.7. This Agreement is executed in the Estonian and English language (in case of any discrepancies wording of the Agreement in Estonian language shall prevail) in 2 (two) counterparts having equal legal force. Each Party shall keep 1

(one) counterpart of the Agreement.
