SUCCESSORS AND ASSIGNS. The provisions of this Agreement will be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns; provided that no party may assign, delegate or otherwise Transfer (including by merger or operation of Law) any of its rights or obligations under this Agreement without the consent of each other party hereto. Notwithstanding the foregoing, YHTIÖ may assign its rights and delegate its obligations under this Agreement to an Affiliate of YHTIÖ without the consent of Xxxxx.xxx. Any assignment in violation of this Article 11.6 will be void and of no force and effect.
SUCCESSORS AND ASSIGNS. This Agreement shall inure to the benefit of and be binding upon YHTIÖ and the Executive and their respective successors, executors, administrators, heirs and/or permitted assigns; provided, however, that neither the Executive nor YHTIÖ may make any assignments of this Agreement or any interest herein, by operation of law or otherwise, without the prior written consent of the other party, except that, without such consent, YHTIÖ may assign this Agreement to any successor to all or substantially all of its assets and business by means of liquidation, dissolution, merger, consolidation, transfer of assets, or otherwise.
