Le presenti condizioni generali disciplinano i rapporti contrattuali di acquisto tra la società xxxxxxx Italia srl società Unipersonale (nel

seguito “xxxxxx Italia” ) e i propri fornitori, ai quali viene data attuazione attraverso singoli ordini.

1. PREMESSE

1.1. Le “Condizioni Generali” che seguono sono da intendersi valide in ogni caso e trovano applicazione anche se non espressamente richiamate e sottoscritte nei singoli ordini. Eventuali condizioni particolari dovranno essere espressamente riportate nel contesto dell’Ordine d’Acquisto (di seguito “Ordine”) o concordate con lettera a parte.

1.2. Tutte le clausole qui riportate si intendono accettate dal Fornitore indipendentemente dalla sottoscrizione del documento da parte sua, dovendosi considerare le medesime parte essenziale dell’ordinazione ed in particolare con l’accettazione dell’ordine, il Fornitore accetta ed approva ai sensi e per gli effetti di cui agli artt. 1341-1342 c.c. italiano gli articoli 5,6,7,10 del presente contratto.

1.3. Tutte le condizioni a stampa contenute nell’offerta, nella conferma d’Ordine o in qualsiasi documento del Fornitore, non sono

considerate valide se non espressamente accettate per iscritto da xxxxxxx Italia.

1.4 Le presenti condizioni generali hanno efficacia fino a quando non siano state espressamente revocate da xxxxxxx Italia ovvero siano sostituite da nuove condizioni.

2. OBBLIGAZIONI DEL FORNITORE

2.1. Gli ordini formulati da xxxxxxx italia per iscritto, via email o altri mezzi telematici ed elettronici si intendono sempre integrati dalle presenti condizioni generali che rimangono nel complesso valide anche se alcune previsioni non fossero applicabili.

2.2 Il Fornitore invierà a xxxxxxx Italia, su richiesta della stessa, tutte le dichiarazioni e le documentazioni, sia attuali che future, quali dichiarazioni di origine preferenziale e non preferenziale, certificazioni di origine e informazioni necessarie ai fini doganali e di export, che devono essere fornite a corredo dei prodotti e che sono previste dalle leggi vigenti e dai regolamenti interni xxxxxxx Italia in materia.

2.3. Fornirà di volta in volta i Prodotti corrispondenti al disegno nella versione indicata nell’Ordine salvo diversa ed esplicita comunicazione.

2.4. Leggerà e farà propri i principi del codice etico adottato da xxxxxxx Italia, la cui versione attuale è scaricabile all’indirizzo xxxxx://xxx.xxxxxxxxxxxxx.xx/xx-xx/xxxxxxx Il mancato soddisfacimento del codice etico può essere motivo di interruzione per giusta causa del rapporto commerciale.

2.5. Per i prodotti soggetti al regolamento europeo REACH (n. 1907/2006) , In caso di ispezione a cura degli organismi di vigilanza previsti dalle normative, il fornitore dovrà dare a xxxxxxx Italia tutte le informazioni richieste dall’organismo di controllo. In alternativa, su mandato di xxxxxxx Italia, il fornitore potrà rispondere direttamente all’organismo di vigilanza.

3. ORDINI E FORNITURE

3.1. L’accettazione e il rifiuto degli Ordini da parte del Fornitore, con eventuali modifiche, dovrà avvenire entro 24 (ventiquattro) ore dal loro ricevimento, esclusi i giorni non lavorativi. In assenza di una comunicazione del Fornitore entro i termini previsti, l’Ordine si intenderà tacitamente accettato.

3.2. Nel caso in cui il Fornitore non sia in grado di soddisfare integralmente un Ordine dovrà informarne xxxxxxx Italia entro 48 (quarantotto)

ore dal verificarsi dell’evento sopravvenuto che non consente l’esecuzione integrale dell’Ordine, specificandone le cause e proponendo

eventuali termini e condizioni a modifica dell’Ordine.

3.3. In caso di ritardo del Fornitore nella consegna dei prodotti oltre le 48 (quarantotto) ore, xxxxxxx Italia potrà annullare l’Ordine o

comunque rifiutare la consegna tardiva senza nessun costo a proprio carico.

3.4. xxxxxxx Italia potrà cancellare l’Ordine in qualsiasi momento, previo avviso scritto al Fornitore. Al ricevimento dell’avviso, il Fornitore interromperà immediatamente il proprio lavoro e cancellerà tutti gli eventuali ordini e sub-contratti relativi all’Ordine cancellato. Per la cancellazione dell’Ordine al Fornitore sarà dovuto il prezzo dei Prodotti consegnati prima della cancellazione e i costi di produzione eventualmente già sostenuti per la realizzazione dei Prodotti, se documentati. In nessun caso xxxxxxx Italia sarà responsabile nei confronti del Fornitore per il costo della manodopera e il lucro cessante.

3.5. Il Fornitore si impegna a consegnare i prodotti a xxxxxxx Italia presso il proprio stabilimento di Padova o al luogo di consegna di volta in volta indicato negli ordini e nel termine in essi indicato. Il Fornitore risponderà dei danni e del perimento dei Prodotti fino alla consegna (DAP – Incoterms 2010).

4. CORRISPETTIVO E PAGAMENTI

4.1. Il corrispettivo per la fornitura di ciascun Prodotto, comprensivo di tutte le obbligazioni a carico del Fornitore, è conforme a quanto preventivamente concordato tra le Parti.

4.2. Termini e modalità di pagamento sono indicati nell’Ordine di Acquisto e in mancanza di accordi specifici preliminari il pagamento avverrà tramite bonifico bancario entro 90 (novanta) giorni dalla data della fattura, pagamento con valuta fissa al giorno 20 del mese e sarà in ogni caso condizionato alla consegna a xxxxxxx Italia dei beni ordinati.

4.3. In deroga a quanto definito al punto 4.2, xxxxxxx Italia si riserva la facoltà di effettuare il pagamento a partire da un minimo di 14 (quattordici) giorni dalla data di ricevimento della fattura stessa, a fronte di uno sconto cassa concordato preventivamente col Fornitore.

4.4. In caso di contestazioni xxxxxxx italia potrà ritardare e/o sospendere il pagamento a titolo precauzionale ed il Fornitore non potrà sospendere la consegna dei Prodotti in caso di ritardo nei pagamenti da parte di Xxxxxxx, fermo restando il suo diritto agli interessi per ritardato pagamento pari a EURIBOR (3 MESI) + 1%.

5. DIVIETO CEDIBILITA’ DEL CREDITO

5.1. Il Fornitore si impegna ed obbliga nei confronti di xxxxxxx Italia a non cedere, per nessuna ragione, a chicchessia, il credito derivante dal presente Ordine di fornitura.

5.2. Qualora xxxxxxx Italia ricevesse informativa di avvenuta cessione del credito, in violazione del patto di incedibilità, sempreché il patto stesso non sia opponibile al cessionario, il Fornitore solleverà xxxxxxx Italia dal pagamento delle fatture relative al credito ceduto fino a che

tutti i documenti (dichiarazione del Fornitore sugli estremi della cessione ed estratto intellegibile del contratto di cessione stesso) relativi alla suddetta cessione siano stati recapitati a xxxxxxx Italia. Il Fornitore solleverà, inoltre, xxxxxxx Italia dal pagamento di eventuali interessi per tardivo pagamento dovuto alle ragioni sopra citate, salva in ogni caso la responsabilità contrattuale e/o extracontrattuale del Fornitore stesso inadempiente nei confronti di xxxxxxx Italia.

6. GARANZIA E QUALITA’ – TRACCIABILITÀ – CONTROLLI E PENALI

6.1. Il Fornitore si impegna a realizzare Prodotti esenti da difetti, ben funzionanti e rispondenti alle specifiche indicate nell’Ordine o concordate congiuntamente, e li garantisce per un periodo di due (2) anni dalla consegna a xxxxxxx Italia, ovvero, ove previsto, dal loro collaudo, impregiudicato tuttavia l’eventuale diritto di xxxxxxx Italia di essere manlevata da ogni danno imputabile al Fornitore, nel caso di azione del consumatore finale nei termini previsti dall’art. 132 del D. Lgs. 205/2005 (Codice del Consumo).

6.2. Nel caso emergano vizi o difetti dei Prodotti, xxxxxxx Italia dovrà denunciarli entro 30 (trenta) giorni dalla loro scoperta e il Fornitore dovrà prontamente sostituire i prodotti viziati o difettosi con altri esenti da vizi, a proprie esclusive spese.

6.3. In ogni caso, il Fornitore si impegna a manlevare e tenere indenne Xxxxxxx da ogni conseguenza pregiudizievole derivante dalla mancanza di qualità e/o da difetti dei Prodotti imputabile a Fornitore.

6.4. Affinché la capacità di consegna di xxxxxxx Italia al Cliente finale non venga compromessa, il Fornitore deve comunque sostituire immediatamente, comunque entro 5 giorni di calendario, i prodotti non conformi da lei forniti con prodotti conformi. Se ciò non fosse possibile, il Fornitore procederà immediatamente alla rilavorazione della merce sobbarcandosi i costi connessi.

6.5. Qualora l’urgenza o altre cause non permettano la sostituzione del materiale non conforme da parte del Fornitore, xxxxxxx Italia procederà ove possibile alla rilavorazione per proprio conto imputandone i costi al Fornitore secondo le modalità che seguono:

• Per ogni rilavorazione eseguita presso il proprio stabilimento, verrà addebitato al Fornitore il costo complessivo delle ore lavorate

applicando una tariffa oraria di 40 (quaranta) €/h + IVA.

• Per ogni rilavorazione eseguita presso un terzista esterno, al Fornitore verranno addebitati completamente i costi sostenuti da xxxxxxx Italia, comprovati da idonea documentazione.

6.6. L’assistenza eventualmente fornita da xxxxxxx Italia al Fornitore per la realizzazione dei Prodotti e/o la definizione delle specifiche dei Prodotti, nonché i controlli che xxxxxxx Italia si riserva di effettuare durante la produzione non implicano l’approvazione dei metodi di

produzione del Fornitore o della qualità di Prodotti, né limitano l’obbligazione del Fornitore di fornire Prodotti di qualità.

7. TERMINI DI CONSEGNA E PENALI

7.1. L'Ordine potrà ritenersi consegnato a xxxxxxx Italia quando:

• tutte le Forniture siano state consegnate e/o fornite in conformità con quanto disposto nell'Ordine stesso e siano state accettate da xxxxxxx Italia;

• tutti i documenti stabiliti nell'Ordine e/o tutti i documenti ed i certificati previsti per la fornitura, in conformità con le disposizioni vigenti, siano stati ricevuti ed accettati da xxxxxxx Italia.

7.2. In presenza di ritardi della fornitura oggetto dell’Ordine di acquisto e nel caso in cui si decida di non risolvere l’Ordine, xxxxxxx Italia si riserva di applicare al Fornitore una penale dello 0,5% del valore indicato nell’Ordine, imposte escluse, per ogni giorno di rinvio, fino ad un massimo, per ogni singola ipotesi di ritardo, del 10% del valore (oltre IVA).

8. DIRITTI DI PROPRIETÀ INDUSTRIALE

8.1. Il Fornitore dichiara e garantisce che i Prodotti non violano alcun diritto di proprietà industriale di terzi.

8.2. Il Fornitore apporrà sui Prodotti e/o sulle confezioni dei Prodotti esclusivamente i segni distintivi comunicati da xxxxxxx Italia. In

relazione ai Segni Distintivi, Il Fornitore, anche dopo il perfezionamento dell’Ordine, si impegna a:

• non utilizzare, esporre, né permettere a terzi di utilizzare e/o esporre i Segni Distintivi, salvo che per quanto previsto dall’Ordine e/o in separati accordi scritti. In ogni caso l’utilizzo da parte del Fornitore dei Segni Distintivi limitatamente all’esecuzione dell’Ordine, non gli conferirà alcun altro diritto su di essi;

• non registrare e/o utilizzare segni distintivi identici, simili e/o confondibili con i Segni Distintivi.

9. RISERVATEZZA

9.1. Durante l’esecuzione dell’Ordine e successivamente alla sua cessazione, per qualunque causa:

• Il Fornitore si impegna a non divulgare alcuna informazione commerciale riguardante xxxxxxx Italia e/o i clienti di xxxxxxx Italia di

cui venga a conoscenza in relazione e/o nell’esecuzione dell’Ordine, salvo per quanto necessario all’esecuzione dell’Ordine stesso;

• Xxxxxxx Italia si impegna a non divulgare alcuna informazione riguardante il Fornitore di cui venga a conoscenza in relazione e/o in

occasione e/o nell’esecuzione del presente Ordine.

9.2. Le informazioni, gli accorgimenti organizzativi e le documentazioni tecniche o tecnologiche, incluse le Specifiche Tecniche, fatte salvo il know-how acquisito dal Fornitore nel corso della propria attività, nonché i modelli e/o campioni (“Informazioni Tecniche”) che xxxxxxx Italia comunichi o metta a disposizione del Fornitore per lo sviluppo e/o la realizzazione dei Prodotti e/o dei relativi prototipi o campioni, restano di proprietà esclusiva di xxxxxxx Italia e possono essere utilizzati dal Fornitore esclusivamente per l’esecuzione degli Ordini.

10. LEGGE APPLICABILE

10.1. Il presente accordo (Ordine) è regolato dalla legge italiana. Qualsiasi controversia dovesse insorgere tra le Parti in relazione

all’accordo (Ordine) stesso sarà devoluta in via esclusiva al Tribunale di Padova.

11. PRIVACY

11.1 Nell’esecuzione del presente contratto potranno essere comunicati o comunque messi a disposizione dei rispettivi referenti aziendali, reciprocamente, i dati personali e di contatto (nominativi, identificativi, recapiti e mail e telefonici e mobili aziendali, e con il consenso dell’interessato altri recapiti utilizzati dal singolo ad uso lavorativo, ecc.) di amministratori, dipendenti e collaboratori che, in funzione delle mansioni e degli incarichi, gestiscono le relazioni interaziendali o il contratto, o partecipano nella sua esecuzione.

Pertanto, entrambe le parti tratteranno tali dati personali nei limiti in cui essi risultino strettamente necessari per la gestione di tutti gli aspetti del contratto e con loro trasferimento, in considerazione dell’esecuzione del contratto e/o della gestione contabile amministrativa informatica ad esso correlata, anche in Paese/Paesi extra UE.

I dati verranno conservati fino al completamento delle reciproche prestazioni oggetto del contratto e, successivamente, in ragione dei termini di conservazione documentale previsti da disposizioni di legge, o dei termini di prescrizione dei diritti. Il singolo dipendente o collaboratore di ciascuna parte può esercitare tutti i diritti elencati agli articoli da 15 a 21 del Regolamento UE 2016/679, fermi restando, tuttavia, i limiti derivanti dal legittimo interesse del datore di lavoro e, se ricorre il caso, della terza parte.

ALLGEMEINE LIEFERBEDINGUNGEN

Diese allgemeinen Bedingungen regeln die durch die einzelnen Aufträge zustande kommenden Kaufvertragsbeziehungen zwischen der Firma xxxxxxx Italia srl Unipersonale (im Folgenden „xxxxxxx Italia“) und ihren Lieferanten.

1. VORBEMERKUNGEN

1.1. Die folgenden „Allgemeinen Geschäftsbedingungen” gelten für alle Geschäftsbeziehungen und kommen auch dann zur Anwendung, wenn sie nicht ausdrücklich in den einzelnen Aufträgen aufgeführt und unterzeichnet wurden. Eventuelle Sonderbedingungen müssen ausdrücklich im Kaufauftrag (im Folgenden „Auftrag“) aufgeführt oder mit separatem Schreiben vereinbart werden.

1.2. Alle hier aufgeführten Klauseln sind als wesentlicher Teil des Auftrags anzusehen und gelten als vom Lieferanten angenommen, auch wenn er das Dokument nicht unterzeichnet hat. Im Einzelnen bestätigt der Lieferant mit der Annahme des Auftrags die Bestimmungen 1341-1342 des Codice Civile und die Klauseln 5, 6, 7 und 10 dieses Vertrages.

1.3. Sämtliche im Angebot, in der Auftragsbestätigung oder in anderen Dokumenten des Lieferanten enthaltenen gedruckten Bedingungen sind nur dann gültig, wenn xxxxxxx Italia sie ausdrücklich schriftlich angenommen hat.

1.4 Diese allgemeinen Geschäftsbedingungen sind, sofern sich nicht ausdrücklich von xxxxxxx Italia aufgehoben bzw. durch neue Bedingungen ersetzt werden, rechtswirksam.

2. PFLICHTEN DES LIEFERANTEN

2.1 Die von xxxxxxx Italia per E-Mail oder anderen telematischen und elektronischen Mitteln formulierten Aufträge verstehen sich immer durch diese allgemeinen Geschäftsbedingungen ergänzt, die in ihrer Gesamtheit gültig bleiben, auch wenn einige Bedingungen nicht anwendbar sein sollten.

2.2. Der Lieferant wird xxxxxxx Italia auf Verlangen alle derzeitigen und künftigen mit den Produkten mitzuliefernden Erklärungen und Unterlagen, wie Erklärungen für den präferenziellen und nichtpräferenziellen Ursprung, Ursprungszeugnisse und erforderliche Informationen für Zoll- und Ausfuhrzwecke, zusenden, die von den einschlägigen Rechtsvorschriften und internen Regelungen der xxxxxxx Italia vorgesehen sind.

2.3. Die von ihm gelieferten Produkte müssen jeweils der Zeichnung in der im Auftrag angegebenen Version entsprechen, sofern nicht ausdrücklich anderslautende Weisungen erteilt wurden.

2.4. Er wird die Grundsätze des Verhaltenskodexes der xxxxxxx Italia, dessen aktuelle Version unter der Adresse xxxxx://xxx.xxxxxxxxxxxxx.xx/xx-xx/xxxxxxx heruntergeladen werden kann, lesen und sich zu eigen machen. Die Nichteinhaltung des Verhaltenskodexes kann zum Abbruch der Geschäftsbeziehung aus wichtigem Grund führen.

2.5. Für diejenigen Produkte, die unter die europäische REACH-Verordnung (Nr. 1907/2006) fallen, ist der Lieferant im Fall einer Inspektion durch die von den Normen vorgesehenen Aufsichtsorgane gehalten, xxxxxxx Italia alle vom betreffenden Aufsichtsorgan geforderten Informationen bereitzustellen. Alternativ dazu besteht für den Lieferanten die Möglichkeit, im Auftrag von xxxxxxx Italia dem Aufsichtsorgan direkt zu antworten.

3. AUFTRÄGE UND LIEFERUNGEN

3.1. Der Lieferant muss die Annahme (ggf. mit Änderungen) oder Ablehnung von Xxxxxxxxx xxxxxxxxx xxx 00 (xxxxxxxxxxxxxx) Xxxxxxx nach Eingang, ausgenommen arbeitsfreie Tage, mitteilen. Versäumt der Lieferanten die Mitteilung innerhalb der vorgesehenen Frist, versteht sich der Auftrag als stillschweigend angenommen.

3.2. Falls der Lieferant einen Auftrag nicht vollständig ausführen kann, muss er innerhalb von 48 (achtundvierzig) Stunden ab Eintreten des Ereignisses, das keine vollständige Ausführung des Auftrags zulässt, xxxxxxx Italia darüber informieren und neben der Begründung auch ggf. einen Vorschlag für andere Fristen und Bedingungen als im Auftrag vorgesehen unterbreiten.

3.3. Kommt der Lieferant mit der Lieferung der Produkte in einen Verzug von mehr als 48 (achtundvierzig) Stunden, kann xxxxxxx Italia den Auftrag stornieren oder die verspätete Lieferung zurückweisen, ohne irgendwelche Kosten dafür zu übernehmen.

3.4. xxxxxxx Italia kann den Auftrag jederzeit nach vorheriger schriftlicher Benachrichtigung des Lieferanten stornieren. Der Lieferant wird bei Erhalt der Benachrichtigung unverzüglich seine Arbeit abbrechen und alle anderen Aufträge und Unteraufträge, die eventuell mit dem stornierten verbunden sind, auflösen. Bei Auftragsstornierung stehen dem Lieferanten der Preis der vor Stornierung gelieferten Produkte sowie die eventuell bereits getragenen Kosten für die Produktion der Produkte, sofern diese belegt sind, zu. In keinem Fall haftet xxxxxxx Italia gegenüber dem Lieferanten für Arbeitskosten und Gewinnausfall.

3.5. Der Lieferant verpflichtet sich, die Produkte an das Werk der xxxxxxx Italia in Padua oder an den jeweils im Auftrag angegebenen Lieferort innerhalb der darin spezifizierten Frist zu liefern. Der Lieferant haftet für die Beschädigung und den Untergang der Produkte bis zur Ablieferung am vereinbarten Lieferort (DAP – Incoterms 2010).

4. VERGÜTUNG UND ZAHLUNGEN

4.1. Die Vergütung für die Lieferung eines jeden Produkts, einschließlich aller Pflichten zu Lasten des Lieferanten, entspricht den vorher zwischen den Parteien getroffenen Vereinbarungen.

4.2. Die Zahlungsfristen und -modalitäten sind im Kaufauftrag angegeben. Falls keine vorherigen Sonderabsprachen getroffen wurden, erfolgt die Zahlung per Banküberweisung innerhalb von 90 (neunzig) Tagen ab Rechnungsdatum mit Festvaluta zum 20. des Monats. Voraussetzung für die Zahlung ist in jedem Fall die Lieferung der bestellten Güter an xxxxxxx Italia.

4.3. Abweichend von den Bedingungen in Punkt 4.2 behält sich xxxxxxx Italia das Recht vor, die Zahlung ab einer Mindestfrist von 14 (vierzehn) Tagen nach Rechnungserhalt gegen einen vorher mit dem Lieferanten vereinbarten Kassenskonto zu leisten.

4.4. In keinem Fall ist der Lieferant dazu berechtigt, die Lieferung der Produkte einzustellen, falls xxxxxxx mit den Zahlungen im Rückstand sein sollte. Der Anspruch auf Zinsen bei Zahlungsverzug zum Zinssatz EURIBOR (3 MONATE) + 1 % bleibt unberührt.

5. VERBOT DER FORDERUNGSABTRETUNG

5.1. Der Lieferant verpflichtet sich gegenüber xxxxxxx Italia, die Forderung aus diesem Lieferauftrag aus keinem Grund an andere abzutreten.

5.2. Falls xxxxxxx Italia von einer erfolgten Forderungsabtretung xxxxxxxx xxx Xxxxxxxxxxxx xxx Xxxxxxxxxxxxxxxxxx erfahren sollte, und falls diese Vereinbarung nicht beim Übernehmer anfechtbar ist, befreit der Lieferant xxxxxxx Italia von der Zahlung der Rechnungen in Bezug auf die abgetretene Forderung, bis sämtliche Unterlagen (Erklärung des Lieferanten mit Angaben zur Abtretung und verständlicher Auszug des Abtretungsvertrags) dieser Abtretung an xxxxxxx Italia zugestellt worden sind. Der Lieferant wird xxxxxxx Italia außerdem von der Zahlung eventueller Zinsen befreien, wenn sie aus den vorgenannten Xxxxxxx mit der Zahlung in den Rückstand kommen sollte. Die vertragliche und/oder außervertragliche Haftung des vertragsbrüchigen Lieferanten gegenüber xxxxxxx Italia bleibt in jedem Fall unberührt.

6. GARANTIE UND QUALITÄT – RÜCKVERFOLGBARKEIT – KONTROLLEN UND VERTRAGSSTRAFEN

6.1. Der Lieferant verpflichtet sich, mängelfreie und gut funktionierende Produkte herzustellen, die den im Auftrag angegebenen oder gemeinsam vereinbarten Spezifikationen entsprechen. Er übernimmt für einen Zeitraum von zwei (2) Jahren ab ihrer Lieferung an xxxxxxx Italia oder, sofern vorgesehen, ab ihrer Abnahme die Gewährleistung für die Produkte. Unberührt davon bleibt das Recht der xxxxxxx Italia, im Falle einer Xxxxxxxxxxxxxxxx xxxxxxxxx xxx xxx Xxx. 000 xxx XxX 000/0000 (Xxxxxxxxxxxxxxxx) vorgesehenen Frist für jeden dem Lieferanten zurechenbaren Schaden schadlos gehalten zu werden.

6.2. Zeigen sich bei den Produkten Mängel oder Fehler, muss xxxxxxx Italia diese binnen 30 (dreißig) Tagen nach Feststellung rügen. Der Lieferant muss die mangel- oder fehlerhaften Produkte durch andere mangelfreie ersetzen und dafür die gesamten Kosten tragen.

6.3. Auf jeden Fall verpflichtet sich der Lieferant, Xxxxxxx bei nachteiligen Folgen durch die mangelnde Qualität und/oder durch dem Lieferanten zurechenbare Produktfehler xxxxx- und klaglos zu halten.

6.4. Der Lieferant muss die nicht konformen Produkte unverzüglich bzw. innerhalb von 5 Kalendertagen ersetzen, damit xxxxxxx Italia ihre Lieferungen an den Endkunden weiterhin ordnungsgemäß ausführen kann. Sollte dies nicht möglich sein, wird der Lieferant unverzüglich auf seine Kosten für die Nachbesserung der Ware sorgen.

6.5. Falls es aus Dringlichkeit oder anderen Xxxxxxx nicht möglich ist, dass der Lieferant das nichtkonforme ersetzt, wird xxxxxxx Italia, soweit es möglich ist, selbst die Nachbesserung vornehmen und dem Lieferanten dafür die Kosten mit folgenden Bedingungen in Rechnung stellen:

• Für jede Nachbesserung im eigenen Werk werden dem Lieferanten die Gesamtkosten für die geleisteten Xxxxxxxxxxxxxx xxx

xxxxx Xxxxxxxxxxxx xxx 00 (xxxxxxx) €/h + MwSt. in Rechnung gestellt.

• Für jede im Werk eines externen Auftragnehmers vorgenommene Nachbesserung werden dem Lieferanten alle von xxxxxxx Italia getragenen, ordnungsgemäß belegten Kosten in Rechnung gestellt.

6.6. Die Unterstützung, die xxxxxxx Italia dem Lieferanten bei der Fertigung der Produkte und/oder Definition der Produktspezifikationen eventuell liefert sowie die Kontrollen während der Produktion, die sich xxxxxxx Italia vorbehält, bedeuten weder eine Genehmigung der Produktionsverfahren des Lieferanten oder der Produktqualität, noch schränken sie die Pflicht des Lieferanten zur Lieferung von Qualitätsprodukten ein.

7. LIEFERFRISTEN UND VERTRAGSSTRAFEN

7.1. Der Auftrag gilt als an xxxxxxx Italia geliefert, wenn:

• alle Lieferungen gemäß den Vorgaben im Auftrag übergeben und/oder geliefert und von xxxxxxx Italia angenommen wurden;

• alle im Auftrag bestimmten Unterlagen und/oder alle für die Lieferung vorgesehenen Unterlagen und Bescheinigungen gemäß den geltenden Bestimmungen von xxxxxxx Italia erhalten und angenommen wurden.

7.2. Wenn bei Verzug der Lieferung, die Gegenstand des Kaufauftrags ist, beschlossen wird, den Auftrag nicht zu stornieren, behält sich xxxxxxx Italia das Recht vor, dem Lieferanten eine Vertragsstrafe in Höhe von 0,5 % des im Auftrag angegebenen Xxxxx (ohne Steuern) für jeden Verzugstag bis zu maximal 10 % des Xxxxx (zuzgl. MwSt.) für jeden einzelnen Verzugsfall aufzuerlegen.

8. GEWERBLICHE EIGENTUMSRECHTE

8.1. Der Lieferant bestätigt und versichert, dass die Produkte keine gewerblichen Eigentumsrechte Dritter verletzen.

8.2. Der Lieferant wird ausschließlich die von xxxxxxx Italia vorgeschriebenen Kennzeichen auf die Produkte und/oder Verpackungen aufbringen. Diesbezüglich verpflichtet sich der Lieferant, auch nach Erledigung des Auftrags:

• die Kennzeichnen weder selbst zu nutzen oder zu führen, noch Dritten zu erlauben, diese zu nutzen und/oder zu führen, außer wenn dies im Auftrag vorgesehen und/oder separat schriftlich vereinbart wurde. Auf jeden Fall erwächst dem Lieferanten aus der auf den Auftrag begrenzten Nutzung der Kennzeichen kein weiteres Recht auf diese;

• keine Kennzeichen anzumelden und/oder zu nutzen, die gleich oder ähnlich wie die vorgeschriebenen Kennzeichen sind und/oder mit diesen verwechselbar sind.

9. VERTRAULICHKEIT

9.1. Während der Ausführung des Auftrags und nach dessen Beendigung, gleich aus welchem Grund,

• Verpflichtet sich der Lieferant, keine Geschäftsinformationen in Bezug auf xxxxxxx Italia und/oder die Kunden von xxxxxxx Italia zu verbreiten, von denen er im Zusammenhang und/oder im Rahmen der Ausführung des Auftrags Kenntnis erlangen kann, außer für die Ausführung des Auftrags, soweit dies erforderlich ist.

• xxxxxxx Italia verpflichtet sich, keine Informationen in Bezug auf den Lieferanten zu verbreiten, von denen sie im Zusammenhang und/oder im Rahmen der Ausführung dieses Auftrags Kenntnis erlangen kann.

9.2. Die Informationen, organisatorischen Maßnahmen und technischen oder technologischen Unterlagen, einschließlich der Technischen Spezifikationen, mit Ausnahme des vom Lieferanten im Laufe seiner Tätigkeit erlangten Know-hows, sowie die Modelle und/oder Muster („Technische Informationen”), die xxxxxxx Italia dem Lieferanten für die Entwicklung und/oder Realisierung der Produkte und/oder der entsprechenden Prototypen oder Muster mitteilt oder zur Verfügung stellt, bleiben ausschließliches Eigentum der xxxxxxx Italia und können vom Lieferanten ausschließlich zu Ausführung der Aufträge genutzt werden.

10. ANWENDBARES RECHT

10.1. Dieser Vertrag (Auftrag) ist durch das italienische Recht geregelt. Für Streitigkeiten zwischen den Parteien im Zusammenhang mit dem Vertrag (Auftrag) ist ausschließlich das Gericht Padua zuständig.

11. DATENSCHUTZ

11.1 Im Rahmen der Ausführung dieses Vertrags können die Unternehmen personenbezogene und Kontaktdaten (Namen, Kennungen, E- Mail-Adressen, betriebliche Telefon- und Handynummern sowie, vorbehaltlich der Zustimmung der betroffenen Person, andere von einzelnen Personen für Arbeitszwecke usw. verwendete Kontaktdaten) von Geschäftsführern, Angestellten und Mitarbeitern, die je nach Aufgabe und Funktion die Geschäftsbeziehungen zwischen den Unternehmen oder den Vertrag abwickeln oder an seiner Ausführung beteiligt sind, den jeweiligen Ansprechpartnern offenlegen bzw. einander zur Verfügung stellen.

Beide Parteien werden deshalb diese personenbezogenen Daten nur Rahmen des unbedingt Notwendigen, um alle vertraglichen Aspekte und die mit der Erfüllung des Vertrags verbundene administrative EDV-Buchhaltung abzuwickeln, verarbeiten und ggf. an Drittländer übermitteln.

Die Daten werden bis zum Abschluss der vertragsgegenständlichen gegenseitigen Leistungen gespeichert und danach in Anbetracht der gesetzlichen Aufbewahrungsfristen für Dokumente oder Verjährungsfristen gespeichert. Angestellte oder Mitarbeiter einer jeden Partei können von xxxxx in den Artikeln 00 xxx 00 xxx Xxxxxxxxxx (XX) 2016/679 aufgeführten Rechten Gebrauch machen, jedoch vorbehaltlich der Einschränkungen durch das rechtmäßige Interesse des Arbeitgebers und ggf. der dritten Partei.

GENERAL SUPPLY CONDITIONS

These general conditions govern the contractual purchase relationships between xxxxxxx Italia srl società Unipersonale (hereinafter “xxxxxxx Italia”) and its suppliers established by means of individual orders.

1. PREAMBLES

1.1. The “General Conditions” set out below shall be considered valid in all circumstances and shall apply even if not specifically referred and agreed to in the individual orders. Any special conditions must be set out expressly in the Purchase Order (hereinafter referred to as “Order”) or agreed in a separate letter.

1.2. All the clauses contained herein shall be taken as accepted by the Supplier regardless of whether or not it has signed the document, and shall be considered to form a fundamental part of the order placed. In particular, by accepting the order, the Supplier accepts and approves articles 5, 6, 7 and 10 of this contract for the intents and purposes of articles 1341-1342 of the Italian Civil Code.

1.3. All the printed conditions contained in the offer, in the order confirmation or in any document drawn up by the Supplier, shall not be considered valid unless expressly accepted in writing by xxxxxxx Italia.

1.4 These general conditions are valid until specifically revoked by xxxxxxx Italia or replaced by new conditions.

2. OBLIGATIONS OF THE SUPPLIER

2.1. Orders issued by xxxxxxx Italia in writing, by email or other digital or electronic means, are always supplemented by these general conditions, which remain valid overall even if some provisions are not applicable.

2.2. The Supplier shall send xxxxxxx Italia, at its request, all the declarations and documents, whether existing or drawn up in the future, such as declarations of preferential and non-preferential origin, certificates of origin and information necessary for customs and export purposes, which must accompany the products supplied and are required under current legislation and the relevant in-house rules adopted by xxxxxxx Italia.

2.3. He shall, from time to time, supply the Products corresponding with the design in the version indicated in the Order, unless otherwise expressly notified.

2.4. He shall read and adopt the principles contained in xxxxxxx Italia’s code of ethics, the current version of which can be downloaded at the following address xxxxx://xxx.xxxxxxxxxxxxx.xx/xx-xx/xxxxxxx Failure to comply with the code of ethics may be a ground for interrupting the working relationship for just cause.

2.5 For products subject to the European REACH Regulation (no. 1907/2006), in the event of inspection by the supervisory bodies envisaged by the regulations, the supplier shall provide xxxxxxx Italia with all the information requested by the inspection body. Otherwise, the supplier may supply information directly to the supervisory body, with xxxxxxx Italia’s authorization.

3. ORDERS AND SUPPLIES

3.1. Orders shall be accepted or rejected by the Supplier, with any modifications, within 24 (twenty-four) hours from receipt thereof, excluding non-working days. In the absence of notice from the Supplier within the fixed period, the Order shall be taken to have been impliedly accepted.

3.2. In the event that the Supplier is unable to process an Order in full, it shall inform xxxxxxx Italia within 48 (forty-eight) hours from the date on which the event preventing the full execution of the Order arose, specifying the causes and proposing any terms and conditions modifying the Order.

3.3. In the event of a delay on the part of the Supplier in the delivery of the products exceeding 48 (forty-eight) hours, xxxxxxx Italia may cancel the Order or, in any event, refuse to accept the delayed consignment, without incurring any cost.

3.4. xxxxxxx Italia may cancel the Order at any time, giving the Supplier prior written notice. Upon receipt of any such notice, the Supplier shall immediately interrupt its work and cancel all orders and sub-orders relating to the cancelled Order. If an Order is cancelled, the Supplier shall be entitled to receive the price of the Products delivered prior to the cancellation and to have any production costs incurred in order to manufacture the Products reimbursed, if documentary proof is available. xxxxxxx Italia shall not, under any circumstances, be held liable towards the Supplier for the cost of labour or loss of profit.

3.5. The Supplier undertakes to deliver the Products to xxxxxxx Italia at its factory premises in Padova or the place of delivery indicated from time to time in the orders, respecting the terms indicated therein. The Supplier shall be liable for damage and deterioration of the Products up to the time of delivery (DAP – Incoterms 2010).

4. PRICE AND PAYMENTS

4.1. The price for the supply of each Product, covering all the obligations imposed on the Supplier, is that agreed in advance by the Parties.

4.2. Payment terms and methods are indicated in the Purchase Order. In the absence of specific preliminary agreement, payment shall be made by bank transfer within 90 (ninety) days from the date of the invoice, payment with value date fixed as the 20th of the month and, in any event, conditional upon delivery to xxxxxxx Italia of the goods ordered.

4.3. As an exception to the provision contained in clause 4.2, xxxxxxx Italia reserves the right to pay a minimum of 14 (fourteen) days onwards from the date of receipt of the invoice, in return for a cash discount agreed in advance with the Supplier.

4.4. The Supplier is not permitted, under any circumstances, to suspend delivery of the Products in the event of delayed payment on the part of xxxxxxx, without prejudice to its right to interest for delayed payment at the rate EURIBOR (3 MONTHS) + 1%.

5. NON-ASSIGNMENT OF CREDIT

5.1. The Supplier is obliged and gives xxxxxxx Italia an undertaking not to assign, for any reason, to any subject, the credit stemming from this supply Order.

5.2. Should xxxxxxx Italia be informed that the credit has been assigned, in breach of the covenant against assignment, unless the covenant can be relied upon against the assignee, the Supplier shall relieve xxxxxxx Italia of its obligation to settle the invoices relating to the assigned credit until all the documents (Supplier’s declaration giving details of the assignment and intelligible extract from the assignment contract) relating to the aforementioned assignment have been forwarded to xxxxxxx Italia. The Supplier shall also relieve xxxxxxx Italia of its obligation to pay any interest for delayed payment on the grounds described above, without prejudice to the Supplier’s contractual and/or extracontractual liability for breach towards xxxxxxx Italia.

6. WARRANTY AND QUALITY – TRACEABILITY – CONTROLS AND PENALTIES

6.1. The Supplier undertakes to manufacture the Products free of any defects, in good working order and conforming to the specifications stated in the Order or agreed jointly, and gives a warranty to this effect for a period of two (2) years from delivery to xxxxxxx Italia, or, if envisaged, from testing, without prejudice however to the right on the part of xxxxxxx Italia to be indemnified against any damage attributable to the Supplier, in the event that an action is brought by the final consumer within the terms laid down in art. 132 of Italian Legislative Decree no. 205/2005 (Consumer Code).

6.2. xxxxxxx Italia shall report any faults or defects in the Products that may emerge within 30 (thirty) days from their discovery and the Supplier shall promptly replace the faulty or defective products with others free of defects, exclusively at its own expense.

6.3. In any event, the Supplier undertakes to indemnify and hold harmless xxxxxxx against any prejudicial consequences deriving from lack of quality and/or defects in the Products attributable to the Supplier.

6.4. In order that the capability of xxxxxxx Italia to deliver to the final Customer is not adversely affected, the Supplier must immediately replace non-conforming products it has supplied with conforming products, in any event, within 5 calendar days. If this is not possible, the Supplier shall proceed with the re-processing of the goods, assuming the costs connected therewith.

6.5. If, as a matter of urgency or for other reasons, the non-conforming material cannot be replaced by the Supplier, xxxxxxx Italia shall deal with the re-processing directly, in so far as it is able, charging the Supplier with the relevant costs in the following manner:

• For every re-processing operation carried out at its own factory premises, the Supplier shall be charged with the overall cost of

the hours worked at the hourly rate of 40 (forty) €/h + VAT.

• For every re-processing operation carried out at the premises of an external operator, the Supplier shall be charged with the overall costs incurred by xxxxxxx Italia, substantiated by suitable documentary proof.

6.6. Any assistance offered by xxxxxxx Italia to the Supplier in the manufacturing of the Products and/or establishing the specifications applying to the Products, as well as controls that xxxxxxx Italia reserves the right to carry out during production, shall not imply that the production methods used by the Supplier or the quality of the Products have been approved, nor limit the obligation on the part of the Supplier to supply Products meeting the required quality standards.

7. DELIVERY TERMS AND PENALTIES

7.1. The Order may be considered to have been delivered to xxxxxxx Italia when:

• all the Supplies have been delivered and/or consigned in keeping with the terms stated in the Order and have been accepted by xxxxxxx Italia;

• all the documents referred to in the Order and/or all the documents and certificates that must accompany the Supply, in accordance with current legislative provisions, have been received and accepted by xxxxxxx Italia.

7.2. In the event of delays in the delivery of the consignment covered by the Purchase Order, xxxxxxx Italia reserves the right, if it has decided not to cancel the Order, to impose a penalty on the Supplier at the rate of 0.5% of the value indicated in the Order, excluding taxes, for each day’s delay, up to a maximum, for each delayed consignment, of 10% of the value (plus VAT).

8. INDUSTRIAL PROPERTY RIGHTS

8.1. The Supplier declares and warrants that the Products do not infringe any industrial property rights of third parties.

8.2. The Supplier shall affix, on the Products and/or the packaging for the Products, exclusively the distinctive signs indicated by xxxxxxx Italia. In relation to the Distinctive Signs, the Supplier undertakes, also after the Order has been processed:

• not to use, display, or permit third parties to use and/or display the Distinctive Signs, unless envisaged in the Order and/or separate written agreements. In any event, the use on the part of the Supplier of the Distinctive Signs solely in the execution of the Order, shall not confer any rights over such signs;

• not to register and/or use distinctive signs that are identical, similar to and/or may be confused with the Distinctive Signs.

9. CONFIDENTIALITY

9.1. While the Order is being processed and after it has been completed, on any ground:

• The Supplier undertakes not to disclose any commercial information relating to xxxxxxx Italia and/or xxxxxxx Italia customers that are brought to his knowledge in relation to and/or in the execution of the Order, unless such disclosure is necessary for the execution of the Order in question;

• xxxxxxx Italia undertakes not to disclose any information regarding the Supplier that is brought to its knowledge in relation to and/or as a result of and/or in the execution of this Order.

9.2. Information, organisational expedients and technical or technological documentation, including the Technical Specifications, without prejudice to the know-how acquired by the Supplier while conducting its activities, as well as the models and/or samples (“Technical

Information”) that xxxxxxx Italia passes on or makes available to the Supplier for the development and/or manufacturing of the Products and/or related prototypes or samples, shall remain the exclusive property of xxxxxxx Italia and may only be used by the Supplier for the purpose of processing Orders.

10. APPLICABLE LAW

10.1. This agreement (Order) is governed by Italian law. Any dispute that may arise between the Parties in connection with the agreement (Order) shall be referred to the exclusive jurisdiction of the Court of Padova.

11. DATA PROTECTION

11.1 During the execution of this contract, the respective company contacts of both parties may reciprocally disclose or provide the personal and contact data (names, ID and company contact details, email, telephone and cell phone numbers, and with the consent of the data subject other contacts used by the individual for working purposes, etc.) of the directors, employees and associates who, by reason of their duties and roles, manage intercompany relations or the contract, or are involved in its execution.

Therefore, both parties will process the said personal data only as far as strictly necessary for the management of all aspects of the contract, and, as required for the execution of the contract and/or the IT administrative and accounting procedures related to it, may also transfer them to one or more non-EU member states.

Data will be conserved until completion of the reciprocal obligations arising from the contract and subsequently on the basis of the document conservation times required by law, or the terms for the time-limitation of rights. Any employee or associate of either party may exercise all the rights listed in articles 15 to 21 of Regulation (EU) 2016/679, with the limitations arising from the legitimate interest of the employer or, if applicable, of the third parties.
