DELIBERAZIONE DEL DIRETTORE GENERALE
OGGETTO: Approvazione dello schema di contratto per l`espletamento di attività di docenza/formazione tra l`IZSVe e Elanco Animal Health
Si sottopone al Direttore generale la seguente relazione del Responsabile della SCA1 – Xxxxxxx Xxxxx, Rapporti Esterni e Gestione Documenti.
PREMESSO che:
- l’IZSVe si occupa di diagnosi e di ricerca sulle malattie infettive del bestiame e delle zoonosi, di controllo di qualità degli alimenti di origine animale destinati al consumo umano, di controllo di alimenti per animali, di sorveglianza epidemiologica e di monitoraggio, di pianificazione di programmi di salute degli animali, di formazione del personale dei servizi veterinari e di produzione di biofarmaci;
- ai sensi dell’art. 3, comma 3, lett. l), dell’Accordo sulla gestione dell’IZSVe, approvato dalla Regione del Veneto, dalla Regione Autonoma Friuli Venezia Giulia e dalle Province Autonome di Bolzano e Trento, rispettivamente con Leggi n. 5/2015, n. 9/2015,
n. 5/2015 e n. 5/2015, rientrano tra i compiti istituzionali dell’IZSVe, la formazione di personale specializzato nel campo della zooprofilassi anche presso istituti e laboratori di paesi esteri.
Attese tali competenze, con nota acquisita al prot. IZSVe n. 158 del 9 gennaio 2019 la società ELANCO Animal Health con sede in Alcobendas (Spagna) ha espresso l’intenzione di affidare all’IZSVe l’esecuzione di attività di docenza/formazione professionale nell’ambito dei micoplasmi aviari e delle patologie aviarie.
L’IZSVe è interessato a svolgere i servizi richiesti dalla predetta società, in conformità alle norme vigenti in materia di gestione dell’Ente, disponendo di personale esperto in possesso delle qualifiche necessarie, da individuarsi in base all’ambito di attività, alla materia oggetto dell’attività di docenza/formazione ed alle competenze richieste.

Con nota acquisita al prot. 878 del 17 gennaio 2019 il Direttore Generale dell’IZSVe ha individuato il Xxxx. Xxxxxxxxx Xxxxxxx, dirigente veterinario con incarico di natura professionale ai sensi dell’art. 27, comma 1, lett. c) del CCNL 8 giugno 2000, in servizio presso il Laboratorio di Medicina Aviare della SCT1 – Sezione Territoriale di Verona e Vicenza, quale dirigente in possesso delle competenze per svolgere le attività citate.
E’ stato pertanto condiviso tra le parti (come da e-mail prot. 1699 del 4 febbraio 2019) il contratto per l’effettuazione di attività di docenza/formazione, attività che verrà espletata dal predetto Xxxx. Xxxxxxxxx Xxxxxxx, secondo quanto previsto dal contratto allegato al presente provvedimento quale parte integrante e sostanziale (Allegato n. 1).
Ai sensi dell’art. 4 (“Compensation and payment methods”) del contratto allegato, per l’espletamento delle suddette attività la società ELANCO Animal Health corrisponderà all’IZSVe l’importo di € 800,00 (oltre IVA) per ogni giornata di svolgimento dell’attività di docenza/formazione da parte del Xxxx. Xxxxxxxxx Xxxxxxx, presso la sede spagnola della ELANCO Animal Health.
Tutto ciò premesso, si propone al Direttore generale quanto segue:
1. di approvare lo schema di contratto per l’effettuazione di attività di docenza/formazione tra l’Istituto Zooprofilattico Sperimentale delle Venezie, rappresentato dal Direttore Generale e legale rappresentante pro tempore, xxxx. Xxxxxxx Xxxxxxxxxx e la società ELANCO Animal Health, rappresentata dal legale rappresentante Mr. Xxxx Xxxxxx Xxxxxxxxx Xxxxx, documento che si allega al presente provvedimento quale parte integrante e sostanziale (Allegato n. 1);
2. di procedere, per l’effetto, alla sottoscrizione dello schema di contratto per lo svolgimento di attività di docenza/formazione, di cui al punto precedente, ai sensi degli artt. 15 e 16 dell’Accordo interregionale sulla gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie;
3. di prendere atto che ELANCO Animal Health con la sottoscrizione del predetto contratto, con validità per il periodo 2018-2019, si impegna a corrispondere all’Istituto un importo di € 800,00 (oltre IVA) per ogni giorno lavorato, secondo le modalità di cui all’art. 4 del medesimo contratto;
4. di imputare, per l’effetto, l’importo di cui al precedente punto n. 3, al sottoconto 620020022 “Ricavi per prestazioni non sanitarie – Organizzazione corsi di formazione v/privati” del Bilancio Economico Preventivo 2019 ed eventuali futuri (centro di costo da individuarsi).

VISTO il Decreto del Ministro della Salute 14 marzo 2016 con il quale il Xxxx. Xxxxxxx Xxxxxxxxxx è stato nominato Direttore generale dell’Istituto Zooprofilattico Sperimentale delle Venezie.
ACQUISITI i pareri favorevoli del Direttore amministrativo e del Direttore sanitario per quanto di rispettiva competenza, espressi ai sensi dell’art. 15, commi 3 e 6, dello Statuto dell’Istituto.
VISTI gli artt. 15 e 16 dell’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie tra la Regione del Veneto, la Regione Autonoma Friuli Venezia Giulia e le Province Autonome di Trento e Bolzano, approvato dai suddetti Enti, rispettivamente, con leggi n. 5/2015, n. 9/2015, n. 5/2015 e n. 5/2015.

1. di approvare lo schema di contratto per l’effettuazione di attività di docenza/formazione tra l’Istituto Zooprofilattico Sperimentale delle Venezie, rappresentato dal Direttore Generale e legale rappresentante pro tempore, xxxx. Xxxxxxx Xxxxxxxxxx e la società ELANCO Animal Health, rappresentata dal legale rappresentante Mr. Xxxx Xxxxxx Xxxxxxxxx Xxxxx, documento che si allega al presente provvedimento quale parte integrante e sostanziale (Allegato n. 1);
2. di procedere, per l’effetto, alla sottoscrizione dello schema di contratto per lo svolgimento di attività di docenza/formazione, di cui al punto precedente, ai sensi degli artt. 15 e 16 dell’Accordo interregionale sulla gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie;

Il presente provvedimento non è soggetto al controllo previsto dall’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie approvato dagli Enti cogerenti con le leggi regionali e provinciali citate nelle premesse.

TEACHING/TRAINING ACTIVITIES AGREEMENT BETWEEN

ISTITUTO ZOOPROFILATTICO SPERIMENTALE DELLE VENEZIE (Experimental

Hereinafter individually referred to as the “Party” and jointly as the “Parties”.
Whereas
IZSVe is a research institute providing a specialized technical support to national and regional authorities and to international organizations in relation to veterinary and public health activities;
IZSVe deals with: diagnosis and research on livestock infections and zoonosis; the quality control of animal source foods intended for human consumption; the quality control of animal feed; the epidemiological surveillance and the monitoring and planning of animal health programs; the training of veterinary services and biopharmaceuticals production personnel; pursuant to sect. 3, par. 3, lect. 1), of the Agreement on the management of IZSVe, approved by the Region of Veneto, the Autonomous Region of Friuli Venezia Giulia and by the Autonomous Provinces of Bolzano and Trento, respectively with Laws n. 5/2015, n. 9/2015, n. 5/2015 and n. 5/2015, the institutional tasks of IZSVe include the training of personnel specialized in the field of zooprophylaxis, also in institutes and laboratories overseas;
Client wishes to entrust IZSVe with the execution of professional training activities, through the performance of training activities to be carried out for such Client;
IZSVe wishes to perform the services required by the Client according to the applicable law on the management of the Institution, and it has skilled personnel holding the qualifications required, to be identified according to the scope of the activities, the subject matter of training activities and the expertise required.
Now therefore, in consideration of the foreword, which forms integral and substantial part of this agreement,
THE PARTIES HEREBY AGREE AS FOLLOWS Article 1. SUBJECT OF THE AGREEMENT
The subject under this agreement is the performance by IZSVe of the Training Services (training, teaching and educating) detailed in Annex 1 for the benefit of the Company staff members or of its
employees and customers regarding the Global poultry industry and related areas of interest to Elanco. IZSVe shall perform the Training and Services pursuant to the specifications set forth in Annex 1 using its best efforts for training on field of avian pathology.
Such activities shall be performed with the utmost diligence and in compliance with the terms provided for by art. 3 of this agreement.
Article 2. DIRECTOR OF THE ACTIVITIES
For the performance of the teaching/training activities specified above, IZSVe appoints as director of the activities Mr. Xxxxxxxxx Xxxxxxx (hereinafter the Speaker) holding the required expertise in the field of avian pathology.
In case of replacement of the Speaker of the activities by the IZSVe, the Client’s approval shall be required.
The Speaker undertakes to sign the no conflict of interest statement (annex A).
Article 3. TIMING AND METHOD OF PERFORMANCE OF THE SERVICE
The teaching/training activities shall be performed from 01/01/2018 to 31/12/2019 further to the details agreed upon by both Parties in a separate document.
IZSVe undertakes to notice any temporary impediment to carry out the contractual activities within 20 days before the date set out for such activities.
The Speaker of the activities shall perform the contractual activities, during his/her working hours, on the dates, times and in the locations agreed by the Parties, well in advance of the training event and in agreement with the Speaker appointed by IZSVe, according to the mutual availability and compatibly with the institutional activities.
Whether any change to the program originally agreed may be required, the dates of performance of the activities may be modified, by mutual agreement between the Parties and in writing, within such term.
Article 4. COMPENSATION AND PAYMENT METHODS
The Client shall pay to IZSVe, as a consideration for the service performed in the relevant teaching/training activity days, as provided for by this agreement, an amount of € 800,00 per full day the Speaker stays in Spanish territory providing the agreed Services (plus VAT), as per sect. 10 of
D.P.R. n. 642/1972), subject to submission of a proper invoice by IZSVe. Such amount includes the consideration for all preparation, rehearsal, travel time and other time required for the provision of the agreed services.
The payment shall be made within 60 days date of end-of-month invoice by bank transfer to the Treasury of Istituto Zooprofilattico Sperimentale delle Venezie, using the following details:

The invoices shall be submitted and sent according to the applicable law on payments to Public Administrations.
Whether the payment is delayed of more than 20 days, legal interests shall accrue on the outstanding amount, pursuant to leg. decree 231/2002 as amended; such interests shall be payable from the original payment term until settlement of the amount. Whether the payment is delayed of
more than 180 days, IZSVe shall be entitled to terminate this agreement, according to art. 12 below, notwithstanding the right to claim greater damages.
Article 5. SUBSIDIARY OBLIGATIONS
The Client undertakes to perform the following ancillary services:
1. arrangement of the travels and assignments of the Speaker of the activities of IZSVe, in agreement with the Speaker , and any cost and expense shall be borne by the Client (including, but not limited to, airplane tickets, travel insurance, transport costs from/to the airport, bus tickets, taxi fares, etc.)
2. food and lodging costs of the Speaker;
3. visa application;
4. printing of the teaching materials prepared by the Speaker.
IZSVe shall not handle any of the aforementioned activities, costs or expenses, nor any administrative expense, cost or management of the recipients of the teaching activity/training activities.
IZSVe and/or Speaker shall:
provide any slide or other media to accompany Speaker’s presentation electronically to Client not less than one (1) week prior to the event;
participate in Q&A sessions related to the presentations;
notify the Client of any possible Adverse Events or Product Complaints encountered while conducting his activity on behalf of the Client;
perform the services with the highest standards of skill, care and diligence and in accordance with the terms of this Agreement and shall not cause or permit any illegal act in the course of the services;
comply with all applicable laws, regulatory requirements and any other code of practice issued by a relevant industry association
not make any profit from the performance of the services which has not been disclosed to the Client other than the agreed consideration;
disclose to the audience the Client’s sponsorship as well as any other ties Speaker may have with the Client as a Speaker, advisor, investigator, or other capacity.
Article 6. WORK SAFETY
The Client acknowledges and undertakes to comply with and enforce, in its premises, or in those made available for the teaching/training activities, including if owned by third parties, the applicable law on occupational safety and health.
The Client ensures that the spaces, materials and equipment used for the performance of the contractual activities meet the requirements set out by the applicable Italian regulations and, in particular, the provisions of leg. decree n.81/2008.
The Client undertakes to provide IZSVe’s personnel with the relevant documents on emergency and evacuation plan and to ensure the presence of employees suitably trained to handle any emergency throughout the training event.
Furthermore, the Client ensures that IZSVe’s personnel shall not be exposed to risks other than those generally faced by a visitor, implementing to that purpose suitable preventive and protective measures.
If the Client recognizes other risks in addition to those specified above, it shall promptly give notice to IZSVe, in order to make the relevant assessments.
Article 7. GUARANTEES AND LIABILITIES
The Client undertakes to indemnify and hold harmless IZSVe against any direct, indirect or consequential damage suffered by the Speaker of the activities during the travel/assignment or in the performance of the teaching activity/training activities caused by gross negligence or willful misconduct of its employees/collaborators.
IZSVE ensures the full INAIL and third party liability insurance cover in relation to all the activities performed under this agreement, without exceptions.
Article 8. CONFIDENTIALITY (CONFIDENTIALITY CLAUSE)
IZSVe, throughout the term of the agreement, may not disclose to any person not involved in the contractual activities any fact, information, knowledge or document of which it becomes aware, or disclosed by the Client, in the performance of this agreement.
Likewise, the Client may not disclose to any person not involved in the contractual activities any fact, information, knowledge or document of which it becomes aware, or disclosed by the Speaker of the activities, or by its collaborators, in the performance of this agreement and which does not constitute the subject of such agreement.
Article 9. PROHIBITION TO USE THE NAME AND LOGO
Each Party undertakes to refrain from using the name or logo of the other Party, in any advertisement, release or publication without the prior written consent by the other Party. The Parties agree that all the intellectual property rights on the logo shall be the exclusive property of the owner Party; in particular, the use of the logo shall not be construed as transferring to the user Party any right or title in respect thereof.
Article 10. TERMINATION
In case of material breach, each of the Party shall be entitled to terminate this agreement upon 30- days written notice to be sent to the other Party. Material breach shall mean an infringement of any (main or ancillary) obligation, repeated in spite of the warning to abide sent by the other Party. In particular:
- failure to pay the Consideration due under article 4 of this Agreement within 90 (ninety) days from the expiry of the terms set out therein;
- if there is a substantial change and/or modification in the structure or organization of the Client, such as mergers, demergers, incorporations, acquisitions, transformations or transfer of a branch of the company;
- material breach by the Client of the obligations undertaken under articles 6, 7, 8, 9, 10.
The Party wishing to terminate the agreement on these grounds shall give notice to the other Party with the methods set out in art. 21 below.
The termination shall be effective upon receipt of the notice. The performance of the relevant obligations by the defaulting Party, shall be construed as a remedy, but shall not prejudice the right of the other Party to claim for indemnification in relation to any damage suffered. If this agreement is terminated, such termination shall not affect the obligations already performed by the Parties nor the rights they acquired before the termination.
Article 11. UNILATERAL TERMINATION
The Parties reserve the right to unilaterally terminate at any time this agreement, with a prior notice of 30 days after the receipt of such notice. If the Client does not meet the notification term, IZSVe shall be entitled to claim the payment of an amount equal to the 10 % of the consideration of this agreement, as a penalty for early termination.
In case of termination under the conditions specified above, the Client shall reimburse to IZSVe the expenses incurred, under the agreement, until the receipt of the termination notice.
Article 12. FORCE MAJEURE
IZSVe shall not be held liable for any failure, improper or delayed performance of the obligations under this agreement, or for direct or indirect damages caused to the Client or to third parties, if arising, directly or indirectly, in connection with accidental cases, force majeure event or any other cause beyond its reasonable control. In such case, IZSVe shall promptly notify in writing to the Client the occurrence of the force majeure event.
Article 13. EXTENDED VALIDITY CLAUSE
In consideration of the purposes pursued by the Parties, the termination of the agreement, occurred for whatsoever reason, shall not prejudice their rights whose extended validity is provided for by this agreement, or by the national and international applicable regulations.
Article 14. LEGAL NATURE AND SAFETY COSTS
The Parties expressly acknowledge that the legal nature of the relationship governed by this agreement shall not be construed as creating any joint venture, association, subordination, agency or representation. Any difficulty in the construction may not be referred to, by analogy, any of the relationships specified above.
The Client acknowledges and undertakes to comply with and enforce in its premises the applicable law on prevention, protection, safety and health of employees.
Article 15. PERSONAL DATA PROCESSING
In compliance with the conditions set out by the European General Data Protection Regulation (GDPR) 2016/679 the Parties mutually undertake to treat and, if appropriate, disclose to third parties the personal data contained herein, or however gathered during its performance, for the sole purpose of fulfilling the contractual obligations or comply with the provisions in relation thereof. Each Party gives its consent to the processing of its personal data by IZSVe, directly or, if appropriate, indirectly by means of third parties, according to the provisions of GDPR, for the purposes related to the management of this agreement.
Article 16. RIGHTS OF THE PARTIES
No delay or failure by one of the Parties in relation to the exercise of any right or faculty under this agreement shall be construed by the other Party as a waiver to the relevant right or to the power of the Party to exercise such right at any time in the future, except in case of forfeiture or limitation.
Article 17. INVALIDITY OF THE AGREEMENT
Whether one or more provisions of the agreement are found to be invalid, unenforceable or void, in full or in part, this shall not prejudice the validity of the agreement, except if such provisions are of the essence; the invalid, unenforceable or void provisions shall be replaced by fully valid and enforceable provisions.
Article 18. ASSIGNMENT OF THE AGREEMENT
The Parties may not assign to third parties, in full or in part, this agreement nor any right or obligation arising therefrom, without the prior written consent of the other Party.
Article 19. PUBLIC EMPLOYEES CODE OF PRACTICE D.P.R. N.62/2013
The Client declares to have read the Public Employees Code of Practice set out by D.P.R. dated 16th April 2013, n.62, and IZSVe’s Code of Practice, approved by Acting Commissioner Decree n.12/2017, available in the “Transparent Administration/General Provisions” section of the Institute’s website, at the following link xxxx://xxx.xxxxxxxxxx.xx/xxxxxxxxxxxxxxx- trasparente/DL33/atticodice.xml and that it shall meet the requirements contained therein and shall comply with the rules set out by such Codes, insofar as they are compatible.
Any failure to fulfill the obligations arising from such code of practice shall lead to the termination of this agreement, pursuant to sect. 1456 of Civil Code, notwithstanding the right to indemnification.
Furthermore, the Parties undertake to comply with the national anti-bribery regulations (Law n. 190/2012 as amended) and with IZSVe’s Anti-bribery and Transparency three-years plan, as applicable.
To protect the institutional value of IZSVe’s image and to ensure the absence of any conflict of interest between the public and private activities, the Client excludes the advertisement aimed at marketing its own products.
To that purpose, the Client ensures that the events shall be characterized by the prevalence of technical nature criteria and that they shall be oriented towards the development of technical and scientific knowledge. The organizational methods and the material used shall not prejudice or damage the ethics of the primary institutional public function of IZSVe and shall not expose it to the risk of being considered unduly conditioned by private interests of advertising or commercial nature.
IZSVe reserves the right, at its sole discretion, to refrain from executing or to suspend this agreement if it:
- deems that there may be a conflict of interest between the public and private activities;
- recognizes a potential prejudice or damage to its image or initiatives or activities.
Article 20. APPLICABLE LAW AND JURISDICTION
This agreement shall be entirely governed and construed in accordance with the Italian law. Any dispute between the Parties arising in relation to the construction and/or execution of this agreement shall be subject to the exclusive jurisdiction of the Courts of Padua, Italy.
Article 21. AMENDMENTS AND NOTICES
This agreement may be amended and modified only with the mutual agreement of the Parties. Any modification, change, integration and any other notice or communication concerning this agreement shall be sent by registered letter with acknowledgment of receipt to the addresses specified above (or to a different address subsequently specified in writing) or by certified e-mail, where the use of such instrument is provided for by the applicable law.
Article 22. VALUE ADDED TAX, EXECUTION AND REGISTRATION CHARGES
The Parties acknowledge that this agreement, undersigned by uncertified private instrument, is subject to value added tax, pursuant to D.P.R. 633/1972 as amended. This agreement shall be subject to registration only in case of use, as per D.P.R. 131/1986, and the expenses shall be entirely borne by the applicant. Stamp duty shall be paid by the Client.
Article 23. NEGOTIATION
This document, executed in two counterparts, to be used by IZSVe and Elanco Spain S.L.U has been read, agreed and signed.

PROJECT DOCUMENT
“Training activities in poultry sector, with specific focus in Avian diseases and Avian Mycoplasmosis”
Introduction
In poultry sector infectious diseases are related with important economic losses. The diagnosis in this particular field is really important, because it allows the practitioners to apply the right measure to contain the clinical problem (antibiotic treatment) and the spread of pathogens (biosecurity measure).
The diagnosis of avian disease is mainly supported by molecular and serological methods and of course based on the clinical signs that could be seen during the outbreak. Moreover in particular for mycoplasma diagnosis we can use specific laboratory methods in order to maintain the live strain for further laboratory investigations that could be helpful for a better therapeutic approach or epidemiological study.
The IZSVe working on the avian diseases issue by several years and have a large quantity of experience and data regarding the avian pathogens including Mycoplasma spp.
In IZSVe laboratory mycoplasma culture and isolation is considered a standard procedure as well storing the isolates in a strain bank. This allows us to keep live strains for a long period and for any further laboratory investigations.
Nowadays the poultry industry requires more data on drug susceptibility of mycoplasma in order to implement new therapy strategies and to obtain successful recovering of bird containing the economic losses.
Object of the Agreement
During the term of this Agreement, the IZSVe expert will perform some specific oral presentation focused of avian disease in poultry industry, with specific and particular focusing on the clinical features, gross pathological findings, method of diagnosis, samples collection procedure, transmission route and epidemiology and MIC data, for the most important avian pathogens including Mycoplasma species (Mycoplasma gallisepticum, Mycoplasma Synoviae, Mycoplasma iowae) that it will be showed, by expert during specific meeting arranged by the Company.
Expert shall provide - within 20 days from the request of Elanco or, in any case, as arranged at mutually convenient times- Training Services on an ad hoc basis. During the course of agreement’s services, it is anticipated that Expert may visit Elanco facilities from time to time. In addition, members of Xxxxxx’x staff shall be free to contact Expert at reasonable intervals by telephone, by letter, or by personal visit
