At renewal, the commercial terms shall remain at Talkwalker's complete and sole discretion.
Upon signature, this Order Form comprises a binding agreement between Talkwalker Sàrl and the Client. This Order Form, the Terms of Service (as accessible at xxxxx://xxx.xxxxxxxxxx.xxx/xxxxx-xx-xxxxxxx), along with the Basic Conditions of Use (accessible at
xxxxx://xxx.xxxxxxxxxx.xxx/xxxxx-xxxxxxxxxx-xx-xxx), the Content Limitations (accessible at xxxxx://xxx.xxxxxxxxxx.xxx/xxxxxxx- limitations), the Service Level Agreement (accessible at xxxxx://xxx.xxxxxxxxxx.xxx/xxxxxxx-xxxxx-xxxxxxxxx), and the Privacy Addendum (available at xxxxx://xxx.xxxxxxxxxx.xxx/xxxxx) constitute the sole and entire agreement of the Parties with respect to the subject matter (the “Contract”) and supersedes all prior and/or contemporaneous understandings, agreements, representations, and warranties, both written and oral. Please be notified that our Terms of Service have been last updated on June 10, 2020 which you expressly acknowledge by way of signing this Order Form. Any use by the Client of the Talkwalker Services is in acceptance of the Contract and use is not permitted on any other terms.
The Client also acknowledges and agrees that the usage rights granted by Talkwalker in this Contract to the Client are granted for the exclusive use of the Client corporate entity. This Contract does not grant Client the right to sublicense, or allow access to, the Talkwalker Services to any third parties, including any affiliated companies or subsidiaries, without the prior written consent of Talkwalker.
Upon subscribing to the Services via an Order Form, Client shall receive an invoice or multiple invoices depending upon the invoicing period or the payment structure defined above listing the Services acquired by Client and the applicable payments due by Client (“Fee”). Client shall pay Talkwalker the Fee under the conditions specified in the invoice within thirty (30) days from the date of invoice. “Due Date” shall mean the date of invoice plus thirty (30) days. If Client subscribes to additional Services via an additional Order Form, Talkwalker has the right to deduct additional amounts due from any prior advance payments and Customer agrees to abide by the payment terms of such specific Service made available to Client in the agreed Order Form.
In case of a default of payment, such late payment fees shall be without prejudice to the application of the then- applicable Luxembourg legal rate of interest, as determined in accordance with the Luxembourg law of 18 April 2004, as amended and Client shall Automatically owe Talkwalker fixed debt collection fees amounting to forty (40) euros, as provided by the abovementioned law of 18 April 2004. If Client fails to pay the amount due once the Cure Period, as defined in Section 8.1 of the Terms of Service, has elapsed, Talkwalker may, without penalty, terminate this Agreement. Talkwalker reserves the right to immediately discontinue the provision of the Service, without further formality.
