PREVISTO UN AUMENTO DI CAPITALE IN OPZIONE MEDIANTE ESERCIZIO PARZIALE DELLA DELEGA EX ART. 2443 COD. CIV.
Trieste, 4 dicembre 2023 - Ulisse Biomed S.p.A. (“UBM”, la “Società” o l’“Emittente”) (Ticker EGM: UBM), healthcare biotech company italiana attiva nei settori della diagnostica, teranostica e nel campo terapeutico, rende noto che, in data odierna, la Società ha sottoscritto un accordo quadro vincolante (l'"Accordo Quadro") avente a oggetto l'acquisizione, da parte di UBM, dell’intera partecipazione nel capitale sociale di Hyris Limited (“Hyris” e l’“Acquisizione”) mediante il conferimento delle quote rappresentative il 100% del capitale di Hyris in UBM (la “Partecipazione Hyris”) a liberazione di apposito aumento di capitale a pagamento di UBM, con esclusione del diritto di opzione, riservato ai soci di Hyris (l’“Aumento di Capitale in Natura”).
Nel contesto dell’operazione è altresì previsto, con efficacia subordinata all’esecuzione del conferimento della Partecipazione Hyris in favore di UBM (il “Conferimento”), l’esercizio parziale della delega attribuita al Consiglio di Amministrazione, ai sensi dell’articolo 2443 del codice civile, dall’Assemblea straordinaria del 20 luglio 2021, per un aumento del capitale sociale, a pagamento e in via scindibile, per un importo massimo complessivo di Euro 3,55 milioni, comprensivo di sovrapprezzo, mediante emissione di azioni ordinarie UBM senza valore nominale espresso, aventi le stesse caratteristiche di quelle in circolazione e godimento regolare, da offrire in opzione agli Azionisti della Società, prima dell’efficacia dell’Aumento di Capitale in Natura e pertanto non rivolto anche ai soci di Hyris, ai sensi dell’articolo 2441, commi 1, 2 e 3, del codice civile, al medesimo prezzo unitario convenzionalmente pattuito per l’Aumento di Capitale in Natura (l’“Aumento di Capitale in Opzione”).
Il Consiglio di Amministrazione ha deliberato di convocare l'Assemblea degli Azionisti di UBM, in sede ordinaria e straordinaria, per il 20 dicembre 2023, in prima convocazione, e, occorrendo, il 21 dicembre 2023, in seconda convocazione, per deliberare, inter alia, in relazione all’Acquisizione (in quanto, come infra meglio descritto, la stessa si qualifica quale operazione di reverse take-over ai sensi dell’articolo 14 del Regolamento Emittenti Euronext Growth Milan (il “Regolamento EGM”) e all’Aumento di Capitale in Natura.
Xxxxxx Xxxxx, Amministratore Delegato della Società ha dichiarato: “siamo entusiasti di annunciare l’opportunità di integrazione con Xxxxx. Unendo le forze, potenzieremo la nostra offerta di prodotti, combinando le competenze esclusive di Hyris con la nostra esperienza e capacità di sviluppo. L'obiettivo di questa integrazione è di capitalizzare sulle sinergie tra le due aziende, massimizzando il valore per i nostri azionisti e offrendo soluzioni diagnostiche integrate ai nostri clienti”.
Xxxxxxx Xx Xxxxxx, Founder e Amministratore Delegato di Hyris, nonché suo socio di riferimento, ha dichiarato: “Siamo orgogliosi di questa operazione in essere fra Ulisse Biomed e Xxxxx. Abbiamo un progetto industriale congiunto di forte visione e che ha già riscontrato dai primi clienti un ottimo feedback sulla proposizione congiunta delle nostre soluzioni. Come compagine unita potremo attuare il progetto in maniera sinergica e daremo vita ad una realtà unica e distintiva sul panorama globale, ed ancor più italiano, nell’ambito biotech”.
Descrizione di Xxxxx e dell'attività svolta dalla stessa
Hyris è una società hi-tech di diritto inglese a capo dell’omonimo gruppo (il “Gruppo Hyris”) operante nei settori biotech e cloud computing; attraverso lo sviluppo di soluzioni innovative il Gruppo Hyris ha realizzato una piattaforma tecnologica integrata, composta da software, hardware e reagenti proprietari, che, incorporando algoritmi proprietari, permette di eseguire in maniera intuitiva test molecolari basati su tecnologia real-time PCR su campioni biologici, consentendone l’utilizzo sia a specialisti che ad utenti privi di competenza nel settore della biologia molecolare.
A partire dalla fondazione del gruppo nel 2014, il management di Hyris, forte di un’esperienza internazionale ventennale nell’ambito dello sviluppo e industrializzazione di soluzioni biomedicali e high-tech, ha dimostrato il mantenimento di un solido presidio del mercato nordamericano. È da tale mercato che il Gruppo Hyris ha conseguito buona parte del proprio fatturato, in particolare nel periodo pandemico con la vendita della propria tecnologia per test Covid-19.
Nel 2022, il Gruppo Hyris ha conseguito ricavi pari a Euro 4.251 mila, beneficiando, seppur in misura inferiore rispetto al biennio 2020-2021, dei ricavi derivanti dalle vendite legate al Covid-19; EBITDA negativo di Euro 1.528 mila e perdita netta pari a Euro 1.401 mila.
In seguito al Covid-19, il Gruppo Hyris ha eseguito una ristrutturazione della propria proposizione, creando ex-novo nuove linee di prodotto non medicali e medicali ed integrando soluzioni di partner terzi, inclusa UBM. La composizione delle vendite ha già cominciato a beneficiare della nuova proposizione.
Nei primi sei mesi del 2023, il Gruppo Hyris ha conseguito ricavi pari a Euro 476 mila, EBITDA negativo di Euro 1.294 mila e perdita netta pari a Euro 1.401 mila. Il Gruppo Hyris evidenziava al 30 giugno 2023 un patrimonio netto di Euro 4.116 mila e una posizione finanziaria netta negativa (cassa netta) pari a Euro 323 mila.
Obiettivi dell'Acquisizione
L’Acquisizione ha l’obiettivo di creare un nuovo gruppo integrato operante nell’industria della diagnostica in vitro, ed in particolare della biologia molecolare, con un posizionamento distintivo garantito dal presidio dell’intera filiera industriale e dalle caratteristiche di innovazione tecnologica dei reagenti progettati e prodotti da UBM, da un lato, e delle strumentazioni PCR e dei software interpretativi di Hyris, dall’altro.
In particolare, l’integrazione di UBM e del Gruppo Hyris si basa su una forte complementarietà delle rispettive tecnologie, che, unite, permettono di sfruttare i reciproci punti di forza e controbilanciare le rispettive debolezze, definendo un portafoglio di competenze distintive. Attraverso l’unione sinergica delle predette tecnologie il Gruppo risultante dall’Acquisizione si propone di fornire una soluzione integrata di prodotti con performance di alta gamma, ad un costo competitivo, tale da favorire un posizionamento distintivo sul mercato.
La sinergia è sia tecnologica che di business: dal punto di vista tecnico, è opinione del management che il gruppo facente capo a UBM, come risultante a seguito dell’Acquisizione (il “Gruppo UBM Post Acquisizione”), acquisirebbe un vantaggio competitivo rispetto alla tecnologia disponibile sul mercato su tutte le componenti del sistema (hardware, software e reagenti); inoltre, la disponibilità interna di una piattaforma tecnologica completa, validata e integrata verticalmente – quale quella realizzata di titolarità di Hyris – è, alla data odierna, appannaggio di un numero ristretto di aziende di grandi dimensioni. Questo costituisce un vantaggio strategico di mercato rispetto alla possibilità di fornire solo una parte del sistema, dovendo dipendere da partner esterni sulle componenti mancanti.
Inoltre, le competenze verticali delle due società, derivanti dagli anni di esperienza acquisita, garantiscono la capacità di adattare le piattaforme tecnologiche di riferimento alla dinamicità del contesto di mercato, potendo velocemente integrare nuove applicazioni e soluzioni sul sistema, sia in logica di closed-platform (soluzioni chiuse completamente sviluppate internamente) che di open-platform (soluzioni di terze parti integrate sulla piattaforma tecnologica integrata realizzata da Hyris).
Termini e condizioni dell'Acquisizione
Ai sensi dell'Accordo Quadro sottoscritto tra UBM nonché Xxxxx Xxxxxx, Copernico Innovazione S.r.l. e Xxxxxx Xxxxx, in qualità di soci di UBM (i “Soci di Riferimento UBM”), e i soci di Hyris, UBM si è impegnata ad acquistare la Partecipazione Hyris, con conseguente adempimento dei relativi obblighi di pagamento, e i soci di Hyris si sono impegnati a cedere la Partecipazione Hyris.
Il corrispettivo dovuto da UBM a fronte del conferimento della Partecipazione Hyris in favore di UBM (il “Conferimento”), pattuito pari a Euro 26,2 milioni, sarà corrisposto in azioni ordinarie UBM rivenienti dall’Aumento di Capitale in Natura, prive di valore nominale espresso e automaticamente ammesse alle negoziazioni sull’Euronext Growth Milan, sistema multilaterale di negoziazione organizzato e gestito da Borsa Italiana S.p.A. (l’“EGM”), ed è stato determinato sulla base di un prezzo convenzionale di Euro 1,94 per azione, pari alla media ponderata del prezzo ufficiale delle azioni ordinarie UBM sull’Euronext Growth Milan nei sei mesi antecedenti al 4 dicembre 2023 (data di sottoscrizione dell’Accordo Quadro).
In particolare, in esecuzione dell’Aumento di Capitale in Natura, a fronte del Conferimento, saranno emesse n. 13.505.156 azioni ordinarie UBM, corrispondenti al 62,61% del capitale sociale di UBM post esecuzione dell’Aumento di Capitale in Natura. Le Nuove Azioni (come infra definite) saranno depositate provvisoriamente a nome di ciascuno dei soci Hyris presso il conto corrente titoli della Società e rimarranno vincolate presso il medesimo restando in ogni caso intrasferibili, ai sensi dell’articolo 2343-quater, comma 4, del codice civile, e fermo ogni altro diritto amministrativo e patrimoniale in capo a ciascuno dei soci di Hyris connesso alle Nuove Azioni (come infra definite), fino al completamento di tutte le attività ed eventi previsti ai sensi dell’articolo 2440, commi 5 e 6, del codice civile.
Il perfezionamento dell’Acquisizione è subordinato al soddisfacimento delle (o alla rinuncia alle) seguenti condizioni:
- il “reverse take-over” e l'Aumento di Capitale in Natura siano approvati da parte dell’Assemblea degli Azionisti di UBM;
- i soci di Xxxxx, per sé e per il fatto di Hyris, abbiano completato i seguenti adempimenti entro il 20 dicembre 2023: (i) effettuare tempestivamente le comunicazioni di “cambio di controllo” previste nei contratti con Unicredit S.p.A., Mediocredito Centrale S.p.A., Aigon Medica S.r.l., QlickHealth QFZ LLC, Pensabio, Quantum Infinity S.r.o., Xxxxx Xxxxx S.p.A., Empermed S.r.l., SIA Medhouse Baltic e Fondazione Policlinico Universitario Xxxxxxxx Xxxxxxx IRCCS; (ii) concludere con BPER Banca S.p.A., in qualità di Euronext Growth Advisor di UBM (l’“EGA) un accordo di lock-up avente ad oggetto le limitazioni al trasferimento delle Nuove Azioni (come infra definite); (iii) consegnare
all’EGA una “rep letter”; (iv) risolvere consensualmente il Subscription and Shareholders Agreement concluso dai soci Hyris in data 27 maggio 2020 relativo a Hyris ;
- i Soci di Riferimento UBM per sé e per il fatto di UBM, abbiano completato i seguenti adempimenti entro il 20 dicembre 2023 (i) far convocare l’Assemblea degli Azionisti per l’approvazione dell’Acquisizione, dell’Aumento di Capitale in Natura e della modifica dello statuto della Società mediante l’introduzione nello stesso di mere modifiche formali, (ii) fare in modo che il Consiglio di Amministrazione approvi l’Aumento di Capitale in Opzione, (iii) far pubblicare il Documento Informativo (come infra definito), (iv) ottenere il rilascio dalla Società e dall’EGA a Borsa Italiana delle attestazioni richieste, rispettivamente, dalla Scheda 7, parti I e II, del Regolamento Emittenti EGM e dalla Scheda 4, parti I e II, del Regolamento EGA, (v) fare in modo che sia risolto il patto parasociale attualmente in essere tra i Soci di Riferimento UBM con efficacia alla data del conferimento della Partecipazione Hyris nella Società a liberazione dell’Aumento di Capitale in Natura (la “Data di Esecuzione Conferimento”) e subordinatamente al perfezionamento del Conferimento,
(vi) fare in modo che siano pubblicate le relazioni illustrative richieste con riferimento ai punti all’ordine del giorno della summenzionata Assemblea degli Azionisti;
- non sia stato violato alcuno degli obblighi di gestione interinale di cui all’Accordo Quadro, previsti rispettivamente in capo, da un lato, ai soci di Xxxxx, e, dall’altro lato, alla Società e ai Soci di Riferimento UBM; e
- non si sia verificato alcun evento pregiudizievole rilevante afferente a Hyris e alle società dalla stessa controllate, nonché alla Società.
Ai sensi dell’Accordo Quadro, i Soci di Riferimento UBM e la Società si sono impegnati a far sì che: (i) alla Data di Esecuzione Conferimento, il Presidente del Consiglio di Amministrazione, Xxxxxxx Xxxxxx, rassegni le proprie dimissioni con effetto immediato e il Consiglio di Amministrazione della Società nomini per cooptazione Xxxxxxx Xx Xxxxxx quale nuovo Presidente; e (ii) tempestivamente a seguito del perfezionamento del Conferimento, nei minori tempi tecnici successivi al perfezionamento di tutte le attività da porsi in essere alla Data di Esecuzione Conferimento, tutti i restanti membri del Consiglio di Amministrazione e tutti i membri del Collegio Sindacale rassegnino le proprie dimissioni, prevedendosi altresì l’impegno di tenere, sempre tempestivamente a seguito del perfezionamento del Conferimento, una riunione del Consiglio di Amministrazione che approvi, inter alia, la convocazione dell’Assemblea degli Azionisti per deliberare in merito al rinnovo degli organi sociali. Nel contesto di tale Assemblea degli Azionisti, i Soci di Riferimento UBM e i Soci di Riferimento Hyris, in esecuzione
di quanto previsto dall’Accordo Quadro, si sono impegnati a presentare: (i) una lista per la nomina del nuovo Consiglio di Amministrazione che sarà composto da 5 membri, con indicazione del relativo compenso complessivo, nonché con proposta di delegare al nuovo Consiglio di Amministrazione la ripartizione tra i consiglieri di tale compenso complessivo e la determinazione della remunerazione degli amministratori investiti di particolari cariche; e (ii) una lista per la nomina del nuovo del Collegio Sindacale della Società, con indicazione del relativo compenso.
Inoltre, è previsto che i Soci di Riferimento UBM e Maximilian Holding Limited (società riconducibile a Xxxxxxx Xx Xxxxxx, socio di controllo di Hyris), Xxxxxxx Xx Xxxxxx e Xxxxxxx Xxxxxxx (i "Soci di Riferimento Hyris") sottoscrivano un patto parasociale – della durata di 5 anni dalla data di sottoscrizione con rinnovo automatico per ulteriori 5 anni – volto a disciplinare la governance dell’Emittente e la circolazione delle Azioni di UBM detenute dagli azionisti aderenti al patto all’esito dell’Acquisizione, i quali, a seguito del conferimento della Partecipazione Hyris nella Società in esecuzione dell’Aumento di Capitale in Natura, saranno titolari di complessive n. 5.586.816 azioni ordinarie UBM, tutte conferite al summenzionato patto parasociale, rappresentative del 25,91% del capitale sociale della Società.
Nell’ambito dell’Accordo Quadro sono previste limitazioni al trasferimento delle Nuove Azioni (come infra definite) di titolarità dei Soci di Riferimento UBM e dei soci di Xxxxx. Inoltre, anche il summenzionato patto parasociale, che sarà sottoscritto dai Soci di Riferimento UBM e dai Soci di Riferimento Hyris, stabilirà impegni di lock-up gravanti sui rispettivi azionisti paciscenti. Infine, è previsto che i Soci di Riferimento UBM, i soci di Xxxxx e Xxxx Xxxxxxxxx (Direttore Scientifico e azionisti significativo di UBM) concludano, prima della pubblicazione del Documento Informativo, appositi accordi di lock-up con l’EGA (e con la Società) contenenti limitazioni analoghe a quelle previse nell’Accordo Quadro e nel predetto patto parasociale.
Nell’ambito dell’Accordo Quadro, la Società e i soci di Hyris hanno rilasciato talune dichiarazioni e garanzie in relazione, rispettivamente, a UBM e al Gruppo Hyris in linea con la prassi di mercato per questa tipologia di operazione.
L’Acquisizione si configura quale operazione di “reverse take-over” ai sensi e per gli effetti dell’articolo 14 del Regolamento Emittenti EGM.
Gli Aumenti di Capitale
L’Aumento di Capitale in Natura
L'Accordo Quadro prevede, quanto all’Aumento di Capitale in Natura, che venga sottoposta all'Assemblea degli Azionisti di UBM una proposta di aumento di capitale sociale, a pagamento e in via inscindibile, con esclusione del diritto di opzione ai sensi dell’articolo 2441, comma 4, primo periodo, del codice civile, da
effettuarsi entro il 30 dicembre 2023, per un importo complessivo pari a Euro 26.200.002,64 – di cui Euro 135.051,56 da imputarsi a capitale ed Euro 26.064.951,08 a sovrapprezzo – con emissione di 13.505.156 nuove azioni ordinarie, prive di valore nominale espresso e aventi le stesse caratteristiche di quelle in circolazione (le “Nuove Azioni”), da riservarsi ai soci di Hyris e da liberarsi mediante conferimento della Partecipazione Hyris.
Alla Partecipazione Hyris è stata attribuita dal Consiglio di Amministrazione di UBM una valutazione complessiva di Euro 26.200.002,64 in termini di valore del capitale economico (c.d. “equity value”), inferiore e quindi nei limiti della valutazione rilasciata in data 4 dicembre 2023 da RSM Società di Revisione e Organizzazione Contabile S.p.A., in qualità di esperto indipendente ai sensi dell’articolo 2343-ter, comma 2, lettera b), del codice civile, a ciò appositamente incaricato da Hyris. Più nello specifico, l’esperto indipendente ha concluso che il valore relativo al 100% del capitale economico di Xxxxx è pari a quello determinato mediante la metodologia finanziaria (UDCF) e quindi pari a Euro 26.370.000,00.
È previsto che il Conferimento della Partecipazione Hyris in UBM con la correlata dichiarazione di sottoscrizione dell’aumento vengano effettuati subito dopo l’Assemblea degli Azionisti e che la sottoscrizione sia efficace dal 28 dicembre 2023, ove la relativa delibera sia iscritta presso il Registro delle Imprese in epoca precedente a tale momento, oppure – in caso di mancata iscrizione della delibera entro quel momento – dal giorno in cui la delibera stessa verrà iscritta presso il Registro delle Imprese.
Entro il termine di 30 giorni dalla data di esecuzione del Conferimento ovvero, se successiva, dalla data di iscrizione della deliberazione dell’Aumento di Capitale in Natura presso il Registro delle Imprese, il Consiglio di Amministrazione della Società sarà chiamato a svolgere le verifiche di cui agli articoli 2343-quater, comma 1, e 2440, comma 5, del codice civile, nonché le ulteriori verifiche utili per il rilascio della dichiarazione di cui all’articolo 2343-quater, comma 3, del codice civile. Ai sensi di legge, fino all’iscrizione presso il Registro delle Imprese della suddetta dichiarazione le Nuove Azioni saranno inalienabili e non potranno essere assegnate ai sottoscrittori dell’Aumento di Capitale in Natura.
Nel termine indicato all’articolo 2440, comma 5, del codice civile, uno o più soci che rappresentino, e che rappresentavano alla data della delibera di Aumento di Capitale in Natura, almeno il ventesimo del capitale sociale, nell’ammontare precedente l’aumento medesimo, possono, ai sensi dell’articolo 2440, comma 6, del codice civile, richiedere che si proceda, su iniziativa degli amministratori, ad una nuova valutazione ai sensi e per gli effetti dell’articolo 2343 del codice civile.
L’Aumento di Capitale in Opzione
Nel contesto dell’operazione è altresì previsto, con efficacia subordinata all’esecuzione del Conferimento, in esercizio parziale della delega attribuita al Consiglio di Amministrazione, ai sensi dell’articolo 2443 del codice civile, dall’Assemblea straordinaria del 20 luglio 2021, un aumento del capitale sociale, a pagamento e in via scindibile, per un importo massimo complessivo di Euro 3,55 milioni, comprensivo di sovrapprezzo, mediante emissione di azioni ordinarie UBM senza valore nominale espresso, aventi le stesse caratteristiche di quelle in circolazione e godimento regolare, da offrire in opzione agli azionisti della Società ai sensi dell’articolo 2441, commi 1, 2 e 3, del codice civile, al medesimo prezzo unitario convenzionalmente pattuito per l’Aumento di Capitale in Natura (i.e., Euro 1,94 per azione ordinaria UBM).
L’obiettivo dell’Aumento di Capitale in opzione è di consentire agli Azionisti di UBM di limitare l’effetto diluitivo inevitabilmente conseguente all’Aumento di Capitale in Natura, usufruendo delle medesime condizioni riconosciute ai soci di Xxxxx.
L’Aumento di Capitale in Opzione sarà avviato a seguito del Conferimento ma prima che l’Aumento di Capitale in Natura diventi efficace e, pertanto, non sarà rivolto ai soci di Xxxxx.
L’esercizio della delega per l’Aumento di Capitale in Opzione verrà formalmente deliberato intorno alla metà del mese di dicembre 2023, con definizione dell’importo definitivo dell’Aumento di Capitale in Opzione (entro il predetto limite massimo di Euro 3,55 milioni) e di tutti gli altri termini. La Società informerà il mercato, mediante pubblicazione e diffusione di apposito comunicato stampa ai sensi di legge e di regolamento, dei termini e condizioni di dettaglio dell’Aumento di Capitale in Opzione che saranno formalmente deliberati dal Consiglio di Amministrazione.
Convocazione dell'Assemblea e pubblicazione del Documento Informativo

SIGNING OF A BINDING AGREEMENT TO ACQUIRE THE ENTIRE SHARE CAPITAL OF HYRIS LIMITED
SHARE CAPITAL INCREASE BY WAY OF PARTIAL EXERCISE OF THE PROXY PURSUANT TO ARTICLE 2443 OF THE ITALIAN CIVIL CODE
Trieste, 4 December 2023 - Ulisse Biomed S.p.A. ("UBM", the "Company" or the "Issuer") (Ticker EGM: UBM), an Italian healthcare biotech company active in the fields of diagnostics, theranostics and therapeutics, announces that, today, the Company has entered into a binding framework agreement (the "Framework Agreement") concerning the acquisition by UBM of the entire participation in the share capital of Hyris Limited ("Hyris" and the "Acquisition") through the contribution of the shares representing 100% of Hyris' capital in UBM (the "Hyris Shareholding") to be paid up by means of a specific capital increase of UBM, with exclusion of the pre-emption right, reserved to Hyris' shareholders (the "Capital Increase in Kind").
In the context of the transaction it is also envisaged, with effect subject to the execution of the contribution of the Hyris Shareholding in favour of UBM (the "Contribution"), the partial exercise of the proxy granted to the Board of Directors, pursuant to Article 2443 of the Italian Civil Code, by the Extraordinary Shareholders' Meeting of 20 July 2021, for a share capital increase, for cash and in divisible form, for a maximum total amount of Euro 3.55 million, including share premium through the issuance of UBM ordinary shares without express par value, having the same characteristics as those in circulation and regular dividend entitlements, to be offered under option to the Company's Shareholders, prior to the effectiveness of the Capital Increase in Kind and therefore not also addressed to Hyris' Shareholders, pursuant to Article 2441, paragraphs 1, 2 and 3, of the Italian Civil Code, at the same unit price conventionally agreed for the Capital Increase in Kind (the "Capital Increase in Kind").
The Board of Directors resolved to call the Shareholders' Meeting of UBM, in ordinary and extraordinary session, on 20 December 2023, on first call, and, if necessary, on 21 December 2023, on second call, to resolve, inter alia, in relation to the Acquisition (since, as better described below, it qualifies as a reverse take-over transaction pursuant to Article 14 of the Euronext Growth Milan Issuers' Regulations (the "EGM Regulations") and to the Capital Increase in Kind.

Description of Hyris and its activities
Hyris is a hi-tech company under British law and the parent company of the group of the same name (the 'Hyris Group') operating in the biotech and cloud computing sectors. Through the development of innovative solutions, the Hyris Group has created an integrated technology platform, consisting of proprietary software, hardware and reagents, which, by incorporating proprietary algorithms, allows for intuitive real-time PCR-based molecular testing of biological samples, enabling both specialists and users without expertise in molecular biology to use it.
Since the founding of the group in 2014, Hyris' management, backed by 20 years of international experience in the development and industrialisation of biomedical and high-tech solutions, has demonstrated the maintenance of a solid foothold in the North American market. It is from this market that the Hyris Group generated a large part of its turnover, particularly in the pandemic period with the sale of its Covid-19 test technology.
In 2022, the Hyris Group reported revenue of Euro 4,251,000, benefiting, albeit to a lesser extent than in 2020-2021, from sales revenue related to Covid-19; negative EBITDA of Euro 1,528,000 and net loss of Euro 1,401,000.
Following Covid-19, the Hyris Group restructured its proposition, creating from scratch new non-medical and medical product lines and integrating solutions from third-party partners, including UBM. The sales mix has already started to benefit from the new proposition.
In the first six months of 2023, the Hyris Group reported revenue of Euro 476,000, negative EBITDA of Euro 1,294,000 and a net loss of Euro 1,401,000. As at 30 June
2023, the Hyris Group had shareholders' equity of Euro 4,116,000 and a negative net financial position (net cash) of Euro 323,000.
Acquisition Objectives
The purpose of the Acquisition is to create a new integrated group operating in the in vitro diagnostics industry, and in particular in molecular biology, with a distinctive positioning guaranteed by the control of the entire industrial chain and by the technologically innovative features of the reagents designed and produced by UBM, on the one hand, and of Hyris' PCR instrumentation and interpretation software, on the other.
In particular, the integration of UBM and the Hyris Group is based on the strong complementarity of their respective technologies, which, combined, allow them to exploit each other's strengths and counterbalance each other's weaknesses, defining a portfolio of distinctive competencies. Through the synergetic combination of the aforementioned technologies, the Group resulting from the Acquisition aims to provide an integrated solution of products with high-end performance, at a competitive cost, such as to favour a distinctive market positioning.
The synergy is both technological and business-related: from a technical point of view, it is the management's opinion that the group headed by UBM, as resulting from the Acquisition (the 'UBM Post Acquisition Group'), would acquire a competitive advantage over the technology available on the market on all the components of the system (hardware, software and reagents); moreover, the in- house availability of a complete, validated and vertically integrated technological platform - such as the one realised by Hyris - is, to date, the prerogative of a small number of large companies. This constitutes a strategic market advantage compared to the possibility of supplying only part of the system, having to depend on external partners for the missing components.
In addition, the vertical competences of the two companies, stemming from their years of experience, guarantee the ability to adapt the relevant technology platforms to the dynamic market environment, being able to quickly integrate new applications and solutions on the system, both closed-platform (closed solutions completely developed in-house) and open-platform (third-party solutions integrated on the integrated technology platform built by Hyris).
Terms and Conditions of the Acquisition
Pursuant to the Framework Agreement entered into between UBM as well as Xxxxx Xxxxxx, Copernico Innovazione S.r.l. and Xxxxxx Xxxxx, as shareholders of UBM (the 'UBM Reference Shareholders'), and the shareholders of Hyris, UBM undertook to purchase the Hyris Shareholding, and the Hyris shareholders undertook to fulfil their payment obligations.
The consideration to be paid by UBM for the contribution of the Hyris Shareholding in favour of UBM (the "Contribution"), equal to Euro 26.2 million, will be paid in UBM ordinary shares deriving from the Capital Increase in Kind, without any express par value and automatically admitted to trading on Euronext Growth Milan, multilateral trading system organized and managed by Borsa Italiana S.p.A. (the "EGM"), and was determined on the basis of a conventional price of Euro 1.94 per share, equal to the weighted average official price of UBM's ordinary shares on Euronext Growth Milan in the six months prior to 4 December 2023 (the date of signing of the Framework Agreement).
In particular, in execution of the Capital Increase in Kind, 13,505,156 ordinary shares of UBM, corresponding to 62.61% of UBM's share capital post completion of the Capital Increase in Kind, will be issued against the Contribution. The New Shares (as defined below) will be provisionally deposited in the name of each of the Hyris shareholders in the securities account of the Company and will remain blocked in the same, being in any case non-transferable, pursuant to article 2343-quater, paragraph 4, of the Italian Civil Code, and without prejudice to any other administrative and patrimonial right of each of the Hyris shareholders connected to the New Shares (as defined below), until the completion of all the activities and events provided for under article 2440, paragraphs 5 and 6, of the Italian Civil Code.
Completion of the Acquisition is subject to the fulfilment of (or waiver of) the following conditions:
- the reverse take-over and the Capital Increase in Kind are approved by the UBM Shareholders' Meeting;
- the shareholders of Hyris, for themselves and on behalf of Hyris, have completed the following actions by 20 December 2023: (i) timely complete the "change of control" notices required under the agreements with Unicredit S.p.A., Mediocredito Centrale S.p.A., Aigon Medica S.r.l., QlickHealth QFZ LLC, Pensabio, Quantum Infinity S.r.o., Xxxxx Xxxxx S.p.A., Empermed S.r.l, SIA Medhouse Baltic and Fondazione Policlinico Universitario Xxxxxxxx Xxxxxxx IRCCS; (ii) to enter into a lock-up agreement with BPER Banca S.p.A., in its capacity as Euronext Growth Advisor of UBM (the "EGA"), with respect to the restrictions on the transfer of the New Shares (as defined below); (iii) to deliver
to the EGA a "rep letter"; (iv) to terminate by mutual consent the Subscription and Shareholders Agreement entered into by Hyris on 27 May 2020 relating to Xxxxx ;
- the Reference Shareholders UBM for themselves and for the fact of UBM, have completed the following steps by 20 December 2023 (i) to have the Shareholders' Meeting convened to approve the Acquisition, the Capital Increase in Kind and the amendment of the Company's by-laws by introducing mere formal amendments thereto (ii) to have the Board of Directors approve the Capital Increase in kind, (iii) to have the Information Document (as defined below) published, (iv) to obtain the issuance by the Company and the EGA to Borsa Italiana of the required certifications (iv) to obtain the issuance by the Company and by the EGA to Borsa Italiana of the certificates required by, respectively, Schedule 7, Parts I and II, of the EGM Regulation and Schedule 4, Parts I and II, of the EGA Regulation, (v) to cause the termination of the shareholders' agreement currently in force among the Reference Shareholders UBM with effect as of the date of the contribution of the Hyris Shareholding in the Company to release the Capital Increase in Kind (the "Contribution Implementation Date") and subject to the completion of the Contribution (vi) arrange for the publication of the required explanatory reports with reference to the items on the agenda of the aforesaid Shareholders' Meeting;
- there was no breach of any of the interim management obligations set forth in the Framework Agreement, as applicable to the Hyris Shareholders, on the one hand, and the Company and the UBM Reference Shareholders, on the other hand, respectively; and
- no material adverse event occurred with respect to Hyris and its subsidiaries and the Company.
Pursuant to the Framework Agreement, the Reference Shareholders UBM and the Company have undertaken that: (i) on the Contribution Closing Date, the Chairman of the Board of Directors, Xxxxxxx Xxxxxx, resigns with immediate effect and the Company's Board of Directors appoints by co-optation Xxxxxxx Xx Xxxxxx as new Chairman and (ii) promptly following the completion of the Contribution, within the shortest technical time following the completion of all the activities to be carried out as of the Closing Date, all the remaining members of the Board of Directors and all the members of the Board of Statutory Auditors shall resign, also providing for the undertaking to hold, also promptly following the completion of the Contribution, a meeting of the Board of Directors to approve, inter alia, the call of the Shareholders' Meeting to resolve upon the renewal of the corporate bodies. In the context of such Shareholders' Meeting, the Leading Shareholders UBM and
the Leading Shareholders Xxxxx, in execution of the provisions of the Framework Agreement, undertook to submit: (i) a list for the appointment of the new Board of Directors, which shall be composed of five members, with an indication of the relevant overall remuneration, as well as a proposal to delegate to the new Board of Directors the allocation among the directors of such overall remuneration and the determination of the remuneration of the directors holding special offices; and
(ii) a list for the appointment of the new Board of Statutory Auditors of the Company, with an indication of the relevant remuneration.
In addition, it is provided that the Reference Shareholders UBM and Maximilian Holding Limited (a company owned by Xxxxxxx Xx Xxxxxx, controlling shareholder of Hyris), Xxxxxxx Xx Xxxxxx and Xxxxxxx Xxxxxxx (the "Hyris Reference Shareholders") will enter into a shareholders' agreement - with a duration of 5 years from the date of signature with automatic renewal for a further 5 years - aimed at regulating the Issuer's governance and the circulation of the UBM Shares held by the shareholders adhering to the agreement upon completion of the Acquisition, who, following the contribution of the Hyris Shareholding in the Company in execution of the Capital Increase in Kind, will own a total of no. 5,586,816 ordinary shares of UBM, all of which have been contributed to the above- mentioned shareholders' agreement, representing 25.91% of the Company's share capital.
The Framework Agreement provides for restrictions on the transfer of the New Shares (as defined below) owned by the UBM Reference Shareholders and the Hyris Reference Shareholders. In addition, the above-mentioned shareholders' agreement, which will be entered into by the UBM Reference Shareholders and the Hyris Reference Shareholders, will also set forth lock-up commitments incumbent upon the respective Paciscente Shareholders. Finally, it is envisaged that the UBM Reference Shareholders, the Hyris Reference Shareholders and Xxxx Xxxxxxxxx (Scientific Director and significant shareholder of UBM) will enter into, prior to the publication of the Information Document, specific lock-up agreements with the EGA (and with the Company) containing limitations similar to those set forth in the Framework Agreement and in the above-mentioned shareholders' agreement.
As part of the Framework Agreement, the Company and the shareholders of Hyris made certain representations and warranties with respect to UBM and the Hyris Group, respectively, in line with market practice for this type of transaction.
The Acquisition qualifies as a reverse take-over transaction pursuant to Article 14 of the EGM Regulation on Issuers.
Capital Increases
The Capital Increase in Kind
With regard to the Capital Increase in Kind, the Framework Agreement provides that a proposal will be submitted to the Shareholders' Meeting of UBM for a share capital increase, against payment and inseparable, with the exclusion of option rights pursuant to Article 2441, paragraph 4, first sentence, of the Italian Civil Code, to be carried out by 30 December 2023, for a total amount of Euro 26.200,002.64 - of which Euro 135,051.56 is to be allocated to share capital and Euro 26,064,951.08 to share premium - by issuing 13,505,156 new ordinary shares, with no express par value and with the same characteristics as the outstanding shares (the "New Shares"), to be reserved for the shareholders of Hyris and to be paid up by means of the contribution of the Hyris Shareholding.
The Board of Directors of UBM attributed to the Xxxxx Xxxxxxxxxxxx an overall valuation of Euro 26,200,002.64 in terms of economic capital value (so-called "equity value"), which is lower than and therefore within the limits of the valuation issued on 4 December 2023 by RSM Società di Revisione e Organizzazione Contabile S.p.A., as independent expert pursuant to Article 2343-ter, paragraph 2, letter b), of the Italian Civil Code, specifically appointed by Xxxxx. More specifically, the independent expert concluded that the value of 100% of Hyris' economic capital was equal to the value determined by means of the financial methodology (UDCF) and thus amounted to EUR 26,370,000.00.
It is envisaged that the Contribution of the Hyris Shareholding in UBM with the related declaration of subscription to the increase will be carried out immediately after the Shareholders' Meeting and that the subscription will be effective as of 28 December 2023, if the relevant resolution is registered with the Commercial Register at an earlier time, or - if the resolution is not registered by that time - as of the day on which the resolution is registered with the Commercial Register.
Within the term of 30 days from the date of execution of the Contribution or, if later, from the date of registration of the resolution of the Capital Increase in Kind with the Companies' Register, the Board of Directors of the Company will be required to carry out the verifications pursuant to Articles 2343-quater, paragraph 1, and 2440, paragraph 5, of the Italian Civil Code, as well as the further verifications useful to issue the declaration pursuant to Article 2343-quater, paragraph 3, of the Italian Civil Code. Pursuant to the law, until the registration with the Register of Enterprises of the aforementioned declaration, the New Shares will be inalienable and may not be assigned to the subscribers of the Capital Increase in Kind.
Within the term indicated in Article 2440, paragraph 5, of the Civil Code, one or more shareholders representing, and who represented at the date of the resolution
to increase the share capital in kind, at least one-twentieth of the share capital, in the amount prior to the said increase, may, pursuant to Article 2440, paragraph 6, of the Civil Code, request that a new valuation be carried out on the initiative of the directors, pursuant to Article 2343 of the Civil Code.
The Capital Increase
In the context of the transaction it is also envisaged, with effectiveness subject to the execution of the Contribution, in partial exercise of the proxy granted to the Board of Directors, pursuant to Article 2443 of the Italian Civil Code, by the Extraordinary Shareholders' Meeting of 20 July 2021, a share capital increase, for payment and in divisible form, for a maximum total amount of Euro 3,55 million, including share premium, through the issue of ordinary UBM shares without express par value, having the same characteristics as those in circulation and regular dividend entitlements, to be offered under option to the Company's shareholders pursuant to Article 2441, paragraphs 1, 2 and 3, of the Italian Civil Code, at the same unit price conventionally agreed for the Capital Increase in Kind (i.e., Euro 1.94 per UBM ordinary share).
The purpose of the Capital Increase in option is to allow UBM's shareholders to limit the dilutive effect inevitably resulting from the Capital Increase in Kind, benefiting from the same conditions granted to Hyris' shareholders.
The Capital Increase in Option will be initiated following the Contribution but before the Capital Increase in Kind becomes effective and, therefore, will not be addressed to the shareholders of Hyris.
The exercise of the proxy for the Capital Increase will be formally resolved around mid-December 2023, with definition of the final amount of the Capital Increase (within the aforementioned maximum limit of Euro 3.55 million) and all other terms. The Company will inform the market, through the publication and dissemination of a specific press release pursuant to the law and regulations, of the detailed terms and conditions of the Capital Increase under option that will be formally resolved upon by the Board of Directors.
Convening the Shareholders' Meeting and Publication of the Information Document
As mentioned above, the Board of Directors also resolved to call the Ordinary and Extraordinary Shareholders' Meeting for 20 December 2023, on first call, and, if necessary, for 21 December 2023, on second call, to submit to the same, as to the ordinary session, the approval of the Acquisition and the ratification of the co- optation of the Independent Director and, as to the extraordinary session, the approval of the Capital Increase in Kind and certain amendments to the Articles of Association, and, in particular the amendment of the references to AIM Italia (now
Euronext Growth Milan), to the AIM Italia Issuers' Regulations (now Euronext Growth Milan Issuers' Regulations) and to the Nominated Adviser (now Euronext Growth Advisor) contained, as the case may be, in articles 5, 6, 9, 10, 11, 12, 13, 14, 15, 17, 22, 30 and 35 of the current text of the bylaws as well as the elimination of the references to the prior identification or positive evaluation of the independent directors by the Euronext Growth Advisor contained in article 22 of the current text of the bylaws. The notice of call containing the indication of the place, day and time of the Shareholders' Meeting will be made available to the public, together with the documentation for the Shareholders' Meeting, within the terms of the law and regulations, at the Company's registered office, on the Company's website (xxx.xxxxxxxxxxxx.xxx), in the section "Investor relations/meetings" as well as on the website of Borsa Italiana S.p.A. (xxx.xxxxxxxxxxxxx.xx), section "Shares/Documents". The notice of call shall also be published, in extracts, in the daily newspaper "Il Gazzettino" in accordance with the law and the regulations.
