IL DIRETTORE GENERALE

Visto il D. Lgs.vo 30/12/1992 n. 502 e sue successive modifiche ed integrazioni e la L. R. Toscana n. 40 del 24/02/2005 e s.m.i. di disciplina del Servizio Sanitario Regionale;
Dato atto:
- che con deliberazione del Direttore Generale n. 133 del 29.12.2015 è stato approvato il nuovo Atto Aziendale dell’A.O.U. Xxxxx, ai sensi dell’art. 6 del Protocollo d’intesa del 22.04.2002 fra Regione Toscana e Università degli Studi di Firenze, Siena e Pisa, con decorrenza dal 1.1.2016;
- che con deliberazione del Direttore Generale n. 134 del 30.12.2015 si è provveduto a definire l’organigramma complessivo dell’A.O.U. Xxxxx e sono stati assunti i primi provvedimenti attuativi relativi al conferimento degli incarichi di direzione delle strutture Dipartimentali e/o a valenza dipartimentale, delle Aree Funzionali Omogenee, dell’Area Servizi dell’Ospedale, dell’Area delle Professioni Sanitarie e dell’Area Tecnico Amministrativa;
- che con deliberazione del Direttore Generale n. 140 del 30.12.2015 sono state assunte determinazioni attuative del nuovo Atto aziendale in merito alla conferma/riassetto delle strutture organizzative complesse e semplici;
- che con deliberazione del Direttore Generale n. 492 del 2.12.2016 si è provveduto ad approvare la sistematizzazione della organizzazione aziendale, dopo un primo percorso attuativo dello Statuto Aziendale;
- che con deliberazione del Direttore Generale n. 543 del 29.12.2016 sono state assunte determinazioni volte al conferimento degli incarichi delle Strutture Complesse dell’Area Tecnico Amministrativa, così come rimodulate a seguito delle azioni di attualizzazione dell’organizzazione aziendale;
- che con successiva deliberazione del Direttore Generale n. 173 del 05.04.2018 si è altresì provveduto ad ulteriori azioni di sistematizzazione dell’organizzazione aziendale ed all’integrazione dell’art. 63 dell’Atto Aziendale “Promozione della salute nella comunità”;
Dato atto che con deliberazione del Direttore Generale n. 106 del 02.03.2017 avente ad oggetto “Sistematizzazione delle deleghe allo svolgimento delle funzioni vicarie del Direttore Sanitario, del Direttore Amministrativo, del Coordinatore dell'Area Tecnico Amministrativa e dei Dirigenti Responsabili delle Strutture Organizzative dell'Area Tecnico Amministrativa” è stato disposto, tra l'altro, che le funzioni vicarie del Direttore Sanitario siano svolte dal Dr. Xxxxxxx Xxxxx, Direttore del Dipartimento Specialistico Interdisciplinare;
Dato atto che il Responsabile della S.O.C. Affari Generali e Sviluppo Dr.ssa Xxxxx Xxxxxxxx Xxxxxxx con riferimento alla presente procedura, attesta la regolarità amministrativa e la legittimità dell’atto;
Premesso che questa Azienda, tramite la SOC Neurologia Pediatrica, sotto la responsabilità del Xxxx. Xxxxx Xxxxxxxx, è partner del progetto europeo intitolato “EpiCARE - a European Reference Network for rare and complex epilepsies”, finanziato, nell’ambito del III Programma Europeo Salute, dall’Agenzia Esecutiva per i Consumatori, la Salute, l’Agricoltura e la Sicurezza Alimentare (CHAFEA);
Dato atto che il precedente coordinatore del progetto EpiCARE, il Great Xxxxxx Street Hospital (GOSH), con sede a Londra, è stato sostituito dal nuovo coordinatore, gli Hospices Civils de Lyon (HCL), con sede a Lione, che hanno sottoscritto un Accordo Specifico e un Programma di Lavoro con CHAFEA per la disciplina delle attività e della gestione del su citato progetto per il periodo dal terzo al quinto anno;
Considerato che, a seguito della necessità da parte degli HCL di regolare i rapporti con i partner del progetto EpiCARE, è stata proposta a questa Azienda una Lettera di Accordo per la disciplina delle attività
che la SOC Neurologia Pediatrica eseguirà sulla base dei su menzionati Accordo Specifico e Programma di Lavoro e che, nell’ambito del WP 15, consisteranno nel fornire supporto alla costruzione di un database per la ricerca clinica, oltre ad ulteriori attività correlate alla messa in opera di detto database;
Atteso che il finanziamento totale che gli HCL corrisponderanno a questa Azienda per le suddette attività ammonta ad € 11.022,00 e che tale somma sarà corrisposta in tre tranches nel corso della durata del progetto;
Ritenuto che è interesse di questa Azienda continuare, sotto il nuovo coordinatore, ad essere partner di ricerca del progetto EpiCARE e contribuire all’implementazione del relativo network europeo finalizzato allo sviluppo di nuovi trattamenti per epilessie rare e complesse;
Visti l’Accordo Specifico e il Programma di Lavoro tra CHAFEA e HCL che nel dettaglio disciplinano i rapporti tra i vari partner del progetto EpiCARE, e, in particolare, le attività che ciascun partner svolge all’interno di questo progetto e il relativo finanziamento;
Ritenuto di pubblicare la Lettera di Accordo, in triplice versione (francese, inglese e italiano), e gli estratti rilevanti del Programma di Lavoro relativi alle attività svolte dalla SOC Neurologia Pediatrica, allegati rispettivamente N. 1 e N. 2 al presente provvedimento a formarne parte integrante e sostanziale;
Ritenuto, pertanto, di stipulare la Lettera di Accordo con gli HCL per la disciplina delle condizioni del finanziamento delle attività di ricerca del WP 15 eseguite dalla SOC Neurologia Pediatrica;
Rilevata l’opportunità di dichiarare il presente atto immediatamente eseguibile in considerazione della necessità manifestata dagli HCL di avviare il nuovo coordinamento del progetto EpiCARE e, quindi, di concludere in tempi brevi gli accordi con i partner dello stesso;
Considerato che il Responsabile del Procedimento, individuato ai sensi della Legge n. 241/1990 nella persona del Xxxx. Xxxxxxx Xxxxxxxx sottoscrivendo l’atto attesta che lo stesso, a seguito dell’istruttoria effettuata, nella forma e nella sostanza è legittimo;
Acquisito il parere del Coordinatore dell’Area Tecnico Amministrativa, Dr.ssa Xxxxx Xxxx, espresso mediante sottoscrizione nel frontespizio del presente atto;
Con la sottoscrizione del Direttore Amministrativo e del Direttore Sanitario, ciascuno per quanto di competenza, ai sensi dell’art. 3 del Decreto legislativo n. 229/99;
DELIBERA
Per quanto esposto in narrativa che espressamente si richiama,
1) Di approvare lo schema di Lettera di Accordo per servizi in triplice versione (francese, inglese e italiano), relativa alle attività svolte dalla SOC Neurologia Pediatrica nell’ambito del progetto europeo EpiCARE, da stipulare con gli HCL che, allegato N. 1 al presente atto, ne forma parte integrante e sostanziale.
2) Di pubblicare gli estratti del Programma di Lavoro relativi alle attività in dettaglio svolte dalla SOC Neurologia Pediatrica nell’ambito del WP 15 del suddetto progetto europeo, allegato N. 2 al presente atto a formarne parte integrante e sostanziale.
3) Di dichiarare il presente atto immediatamente eseguibile ai sensi dell’art. 42, comma 4 della L.R. T.
n. 40/2005 in considerazione della necessità degli HCL di procedere in tempi brevi alla sottoscrizione della su citata Lettera di Accordo per ragioni di coordinamento del progetto con tutti i partner interessati.
4) Di trasmettere il presente atto al Collegio Sindacale ai sensi dell’art. 42, comma 2, della L.R. T. n. 40/2005 contemporaneamente all’inoltro all’albo di pubblicità degli atti di questa AOU Meyer.

ATTENDU: Que l'Agence exécutive pour les consommateurs, la santé, l'agriculture et l'alimentation de la Commission européenne (CHAFEA) (le « Financeur européen ») a accordé la subvention de 600,000.00 € aux HCL dans le cadre du 3ème appel à propositions du Programme Santé HP- ERN-SGA-2018, comme annoncé dans l’Accord de Subvention Spécifique (ASS) numéro 870280 - | LETTER OF AGREEMENT FOR THE PROVISION OF SERVICES BETWEEN: Les HOSPICES CIVILS DE LYON, a public health establishment having its registered office 0, Xxxx xxx Xxxxxxxxx, 00000 XXXX, Represented by Xxx Xxxxxxxxx XXXXXXX, General Manager Hereinafter referred to as “HCL”, On the one hand, AND: Azienda Ospedaliero-Universitaria Xxxxx, a children’s university hospital and public health institution of the Italian National Health Service, having its registered office at Xxxxx Xxxxxxxxxx 00, 00000 Xxxxxxx, Xxxxx, VAT; number/tax code 02175680483, represented by its Legal Representative, Managing Director Xxxxxxx Xxxxxxxx Hereinafter referred to as “the Healthcare Provider (HCP)”, On the other hand. HCL and the Healthcare Provider (HCP) are hereinafter individually referred to as “Party” and jointly referred to as “Parties”. CONSIDERING: That The Consumers, Health, Agriculture and Food Executive Agency of the European Commission (CHAFEA) (“the Funder”) has awarded the Grant of 600,000.00 € to HCL under the 3rd Health Programme call HP-ERN-SGA- 2018, as set out in the Specific Grant Agreement (SGA) number 870280 - ERN EpiCARE and according to the Framework Partnership |
ERN EpiCARE et conformément au Contrat- cadre de partenariat (CCP) numéro 739537 - ERN EpiCARE (« le Projet »), Et que le Prestataire participera à la recherche pour ce projet spécifiquement dans le cadre du Working Package (WP) numéro 15 Research dans le cadre opérationnel de l'ERN EpiCARE, tel que défini dans le programme de travail de cinq ans 2017-2021 du CCP numéro 739537 - ERN EpiCARE, Par conséquent, les HCL souhaitent confier au Prestataire une prestation correspondant à la réalisation des activités liées au fonctionnement du WP 15, et à la production des Livrables associés, tels que listés et décrits en annexe 1 (ci-après « les Livrables »). Les Parties sont tenues de respecter les modalités de financement de CHAFEA énoncées dans l'ASS numéro 870280 et dans le CCP numéro 739537 - ERN EpiCARE, désignés conjointement dans ce contrat comme « Contrats Cadres ». Une copie des Contrats Cadres du Projet a été fournie. | Agreement (FPA) number 739537 — ERN EpiCARE (“the Project”), And that the HCP will participate in the research for this Project specifically within the Working Package (WP) number 15 on Research, under the operational framework of ERN EpiCARE, as defined in the 5 year work programme 2017-2021 for the FPA number 739537 – ERN EpiCARE, Therefore, HCL wishes to assign to the HCP the performance of the activities related to the functioning of WP 15, (hereunder “the Deliverables”). A full description of the Deliverables is to be found in the Appendix 1 of this Agreement. Note that the Parties are required to adhere to the terms and conditions of CHAFEA funding set out in the SGA number 870280 and the FPA number 739537 — ERN EpiCARE, jointly referred to in this Agreement as “Prime Contracts”. A copy of the Prime Contracts for the Project has been provided. |
ARTICLE 1 OBJET DU CONTRAT L’objet du présent contrat (ci-après désigné par « la Prestation ») est de définir les conditions dans lesquelles le Prestataire collaborera avec les HCL dans pour le Projet et d'énoncer les Livrables que le Prestataire produira au nom des HCL. ARTICLE 2 ENGAGEMENTS Le Prestataire accepte par les présentes : 2.1 de fournir les Livrables conformément à l’Accord de subvention spécifique 2019-2022 (SGA) tels que défini à l'Annexe 1 du présent Contrat, et selon le calendrier établi dans cette même annexe, cette dernière faisant partie intégrante du Contrat; 2.2 qu'il a lu et compris les modalités des Contrats Cadres; 2.3 qu'il doit se conformer aux dispositions des Contrats Cadres dans la mesure où elles sont appropriées aux activités et aux obligations du Prestataire en vertu du présent Contrat ; 2.4 que nonobstant le fait que les HCL ont obtenu et accepté un financement du « Financeur européen », le Prestataire doit exécuter le travail et s'acquitter de ses responsabilités et obligations énoncées dans le présent Contrat, y compris l’obligation de fournir des rapport périodiques et finaux, telle que décrite à l’article 4, comme s'il était partie aux dispositions des Contrats Cadres et aux modalités et conditions du CHAFEA, avec leurs modifications successives, et prendre toutes les mesures raisonnables (y compris de s'abstenir de faire des actions) nécessaires pour que les HCL respectent leurs obligations aux termes des Contrats Cadres. 2.5 fournir tout renseignement demandé par les HCL au nom du Financeur européen à des fins d'examen et d’audit pendant une période maximale de 5 ans après la date de résiliation des Contrats Cadres, | ARTICLE 1 PURPOSE OF THE AGREEMENT The purpose of the present agreement (hereunder “the Agreement”) is to define the conditions under which the HCP will collaborate with HCL for the Project and to set out the Deliverables that the HCP will produce on behalf of HCL. ARTICLE 2 ACKNOWLEDGEMENTS The HCP hereby acknowledges and agrees: 2.1 to provide the Deliverables in accordance with the Specific Grant Agreement 2019-2022 (SGA) as defined in Appendix 1 herein, the latter being an integral part of the Agreement; 2.2 that it has read and understood the terms of the Prime Contracts; 2.3 that it shall comply with the provisions of the Prime Contracts insofar as they are appropriate to the HCP’s activities and obligations under this Agreement; 2.4 that notwithstanding the fact that HCL has been awarded and has accepted funding from the “Funder”, the HCP shall perform the work and implement its responsibilities and obligations as set out in this Agreement, including the obligation to provide periodic and final reports, as described in Article 4, as if it was a party to, and subject to the provisions of the Prime Contracts and the Terms and Conditions of the CHAFEA, as amended from time to time from CHAFEA and will take all reasonable steps and actions (including to refrain from doing actions) necessary to enable HCL to comply with its obligations under the Prime Contracts. 2.5 to provide any information requested by HCL on behalf of the Funder for review and audit purposes for a period up to 5 years after the Prime Contracts terminate. |
2.6 informer les HCL, dès qu’il en aura connaissance et au moins un mois avant la date due des Livrables, en cas de difficultés et de retards potentiels dans la production des Livrables. Xxxxx Xxxxxxxx, chef du service de neurologie pédiatrique Chaque partie informera sans délai l’autre partie en cas de changement d’interlocuteur. ARTICLE 3 CONDITIONS FINANCIERES Les HCL verseront au Prestataire une somme (« les Fonds ») ne dépassant pas 11,022.00 € HT pour les trois années de durée du Projet, comme défini dans l’Article 8 du présent Contrat, pour couvrir la production des Livrables conformément au calendrier figurant à l'Annexe du présent Contrat. En cas de facturation, le numéro d'enregistrement de la taxe sur la valeur ajoutée (numéro d'enregistrement TVA) des HCL et le Prestataire sera utilisé. Les HCL sont responsable du paiement de la TVA locale en France, si applicable (« auto- liquidation de la TVA »). Les paiements seront effectués en manière suivante: • 30% des Fonds (soit 3,306.60 €) seront transférés au Prestataire comme préfinancement, dans les 2 mois suivant la date de réception du financement de CHAFEA ; | 2.6 inform the HCL, as soon as it becomes aware of and at least one month before the due date of the Deliverables, in the event of difficulties and potential delays in the production of the Deliverables. HCL undertakes, under this Agreement to: 2.7 ensure the good functioning of the Project, as described in the Prime Contracts; 2.8 provide all relevant and necessary information for the performance of the Agreement The actions will be carried out under the responsibility, supervision and control of the following persons: - For HCL, Xxxx. Xxxxxx Xxxxxxxxxxxx, coordinator of the EpiCARE ERN - For the HCP, Xxxx. Xxxxx Xxxxxxxx, head of the Paediatric Neurology facility Each party shall promptly inform the other party in the event of a change of interlocutor. ARTICLE 3 FUNDS HCL shall pay to the HCP a sum (“the Funds”) not exceeding €11,022.00 (excl. taxes) for the three years of the project duration, as defined in Article 8 of this Agreement, to cover the actual incurred costs for the production of the Deliverables within the schedule in the Annex of this Agreement. In case of billing, the value added tax registration number (VAT Reg. No.) of both HCL and HCP will be used. HCL is responsible for paying local VAT in France, if any (“reverse charge”). Payments will be processed in the following manner: - 30% of the Funds (€ 3,306.60) will be transferred to the HCP as pre-financing, within 2 months following the date of receipt of CHAFEA funding; - Reimbursement of the amount declared following the Interim Report. |

Inversement, remboursement des HCL par le Prestataire pour les Fonds perçus en trop par rapport aux dépenses réelles suite au bilan final. Les Fonds ne dépassent pas la somme de 11,022.00 € HT. Le prestataire s’engage après le bilan final du projet à rembourser les Fonds qui ne sont pas justifiés. Le remboursement éventuel se fera auprès de la Commission Européenne via les HCL. La mise en paiement doit être effectuée par les HCL dans les soixante (60) jours suivant la réception des factures valides émis par le Prestataire. Le calendrier pour la soumission des Livrables aux HCL est présenté à l'Annexe 1 du présent Contrat. | - Transfer of the supplement for the total reimbursement of expenses following the Final Report. Conversely, reimbursement of HCL by the HCP for the Funds collected in excess of actual expenses following the Final Report. The Funds do not exceed the sum of €11,022.00 (excl. taxes). The HCP undertakes, after the Final Report of the project, to reimburse the Funds that are not justified. Any reimbursement will be made to the European Commission via HCL. Payment must be made by HCL within sixty (60) days of receipt of valid invoices issued by the HCP. A timetable for the submission of the Deliverables to HCL is set out in Annex 1 of this Agreement. |
ARTICLE 5 INFORMATIONS CONFIDENTIELLES – PUBLICATIONS Chaque Partie s'engage à n’utiliser les informations scientifiques, techniques ou commerciales de l’autre Partie dont elle pourrait avoir connaissance à l'occasion de l'exécution du Contrat que pour les besoins du Contrat, et à ne pas publier ni divulguer les dites informations sans consentement préalable, tant que ces informations ne sont pas accessibles au public. Tout projet de publication ou de communication par le Prestataire concernant les résultats découlant des Livrables sera sujet au consentement des HCL, pendant la période de validité du présent Contrat et un (1) an après sa résiliation. ARTICLE 6 PROPRIETE INTELLECTUELLE – EXPLOITATION DES RESULTATS Sous réserve des modalités des Contrats Cadres, la propriété intellectuelle de premier plan développée ou découlant de la production des Livrables dans le cadre de cette Prestation, appartient aux HCL. Par le présent Contrat, chaque Partie accorde à l'autre Partie une licence non exclusive, irrévocable et libre de redevances pour l'utilisation de sa propriété intellectuelle aux seules fins du Projet ou de collaborations futures dans le cadre des Contrats Cadres EpiCARE. Chaque Partie aura le droit, en exemption de redevances, d'utiliser à la fois la propriété intellectuelle exclusive de l'autre Partie et la propriété intellectuelle appartenant aux Parties à des fins d'enseignement universitaire, de recherche non commerciale et de soins cliniques aux patients, avec le droit de concéder sous licence les droits accordés ci-dessus aux collaborateurs universitaires. Afin d'éviter les doutes, toute autre utilisation de la propriété intellectuelle exclusive d'une Partie par l’autre Partie et/ou de la propriété intellectuelle conjointe est négociée de bonne foi par les Parties à des conditions justes et raisonnables. | ARTICLE 5 CONFIDENTIAL INFORMATION – PUBLICATIONS Each Party undertakes to use the scientific, technical or commercial information of the other Party that it might become aware of during the performance of the Agreement only for the purpose of the Agreement, and not to publish or disclose the said information without prior consent, or as long as the information is not public knowledge. Any project of publication or communication by the HCP relating to the results derived from the Deliverables shall be subject to HCL’s consent, during the period of validity of this Agreement and one (1) year after its termination. ARTICLE 6 INTELLECTUAL PROPERTY – USE OF THE RESULTS Subject to the terms of the Prime Contracts, the foreground intellectual property developed or arising out of the production of the Deliverables under this Agreement shall belong to HCL. Each Party hereby grants in favor of the other Party a non-exclusive, irrevocable, royalty-free license to use its foreground intellectual property solely for the purposes of the Project or future collaborations under the EpiCARE Prime Contracts. Each Party will have the royalty-free right to use both the solely owned foreground intellectual property of the other Party and the foreground intellectual property owned by the Parties for the purposes of academic teaching, non-commercial research and clinical patient care, with the right to sublicense the rights granted above to academic collaborators. For the avoidance of doubt, any other use of the solely foreground intellectual property of one party by another and/or jointly owned foreground intellectual property shall be negotiated in good faith by the Parties on fair and reasonable terms. |
ARTICLE 7 DUREE Le Contrat est conclu pour une durée de 36 mois à compter du début de la mise en œuvre du SGA 2019-2022, soit le 05/03/2019. Le présent Contrat pourra être résilié sans formalité judiciaire par l’une des parties (la « Partie Non Défaillante ») si l’autre partie (la « Partie Défaillante ») commet un manquement à ses obligations au titre du présent Contrat. La résiliation prendra effet un (1) mois après l’envoi par la Partie Non Défaillante d’une lettre recommandée, avec accusé de réception, exposant les motifs de la plainte, à moins que dans ce délai la Partie Défaillante n’ait satisfait à ses obligations ou n’ait apporté la preuve d’un empêchement consécutif à un cas de force majeure. En cas de résiliation les sommes payables par les HCL sont déterminées au pro rata de la part de prestation réalisée en conformité avec le présent Contrat à la date de la dite résiliation ARTICLE 8 LITIGES Le Contrat est soumis aux lois et règlements français. l’Azienda Ospedaliero-Universitaria Xxxxx, un ospedale universitario pediatrico e un’istituzione sanitaria pubblica del Servizio Sanitario Nazionale, con sede legale in Xxxxx Xxxxxxxxxx 00, 00000 Xxxxxxx, Xxxxxx, partita IVA/codice fiscale 02175680483 rappresentata dal suo Rappresentante Legale e Direttore Generale Xxxxxxx Xxxxxxxx
di seguito indicata come “il Fornitore Sanitario (HCP)”
HCL e il Fornitore Sanitario (HCP) sono di seguito indicati individualmente come “Parte” e congiuntamente come “Parti”.
ATTESO:
- che l’Agenzia Esecutiva per i Consumatori, la Salute, l’Agricoltura e la Sicurezza Alimentare (CHAFEA) (il “Finanziatore”) ha assegnato il grant di € 600.000,00 ad HCL nell’ambito del III Programma Europeo Salute HP-ERN-SGA-2018, come definito nell’Accordo Specifico del Grant (SGA) numero 870280 - ERN EpiCARE e in accordo con l’Accordo Quadro di Partnership (FPA) numero 000000 - XXX XxxXXXX (xx “Xxxxxxxx”);
- e che HCP parteciperà alla ricerca per il Progetto specificatamente nell’ambito del Working Package (WP) numero 15 sulla Ricerca, in seno al quadro operativo dell’ERN EpiCARE, così come definito nel programma quinquennale 2017-2021 per il FPA numero 739537 - ERN EpiCARE.
Pertanto, HCL intende assegnare ad HCP l’esecuzione delle attività relative al funzionamento del WP 15 (di seguito i “Risultati Attesi”)
Una descrizione completa dei Risultati Attesi è disponibile nell’Appendice 1 del presente Accordo.
Le Parti sono tenute a rispettare i termini e le condizioni del finanziamento della CHAFEA così come illustrati nello SGA numero 870280 - ERN EpiCARE e nel FPA numero 739537 - ERN EpiCARE, congiuntamente indicati nel presente Accordo come “Contratti Primari”. E’ stata fornita copia dei Contratti Primari per il Progetto.
ARTICOLO 1 SCOPO DLL’ACCORDO
Lo scopo del presente Accordo (di seguito l’ “Accordo”) è di definire le condizioni in base alle quali HCP collaborerà con HCL per il Progetto e di illustrare i Risultati Attesi che HCP produrrà a beneficio di HCL.
ARTICOLO 2 DICHIARAZIONI
Con il presente atto HCP riconosce e concorda di:
2.1 fornire i Risultati Attesi ai sensi dell’Accordo Specifico del Grant 2019-2022 (SGA) come definiti nell’Appendice 1, parte integrante dell’Accordo;
2.2 di aver letto e compreso i termini dei Contratti Primari;
2.3 di dover rispettare le disposizioni dei Contratti Primari nella misura in cui esse sono pertinenti rispetto alle attività e alle obbligazioni di HCP derivanti dal presente Accordo;
2.4 fermo restando che ad HCL è stato assegnato il finanziamento da parte del Finanziatore e HCL lo ha accettato, dover eseguire il lavoro e rispettare le proprie responsabilità e le proprie obbligazioni come stabilite in questo Accordo, incluso l’obbligo di fornire relazioni periodiche e una relazione finale, sulla base dell’art. 4, come se fosse un contraente soggetto alle disposizioni dei Contratti Primari e ai Termini e alle Condizioni della CHAFEA, come da successive modifiche da parte della CHAFEA, e farà tutti i passi e le azioni ragionevoli (compreso l’astenersi dal compiere azioni) necessari per consentire ad HCL di ottemperare alle proprie obbligazioni di cui ai Contratti Primari.
2.5 fornire le informazioni richieste da HCL a nome del Finanziatore per fini di revisione e audit per un periodo fino a 5 anni dopo la conclusione dei Contratti Primari.
2.6 informare HCL, non appena ne venga a conoscenza e almeno un mese prima della scadenza prevista per i Risultati Attesi, delle difficoltà e degli eventuali ritardi nel produrre i Risultati Attesi.
HCL, sulla base del presente Accordo, si impegna a:
2.7 garantire il buon funzionamento del Progetto, come descritto nei Contratti Primari;
2.8 fornire tutte le informazioni pertinenti e necessarie per l’esecuzione dell’Accordo.
Le azioni saranno realizzate sotto la responsabilità, la supervisione e il controllo delle persone indicate di seguito:
- Per HCL, Xxxx. Xxxxxx Xxxxxxxxxxxx, coordinatore di EpiCARE ERN
- Per HCP, Xxxx. Xxxxx Xxxxxxxx, Responsabile della SOC Neurologia Pediatrica
Ciascuna Parte deve tempestivamente informare l’altra Parte nel caso cambi la persona di riferimento.
ARTICOLO 3 FONDI
HCL deve corrispondere ad HCP una somma (i “Fondi”) non eccedente €11.022,00 (tasse escluse) per i tre anni di durata del progetto, come stabilito nell’art. 8 di questo Accordo, a copertura dei costi effettivamente incorsi per la produzione dei Risultati Attesi, secondo il programma di cui all’Appendice del presente Accordo.
Per la fatturazione saranno utilizzate le partite IVA di HCL e di HCP. HCL pagherà l’IVA, se dovuta, in Francia (regime di “reverse charge”).
I pagamenti saranno eseguiti secondo le modalità seguenti:
data di ricezione del finanziamento da parte della CHAFEA;
- il rimborso dell’ammontare dichiarato dopo la presentazione della Relazione Intermedia;
- trasferimento della parte rimanente per il pagamento totale delle spese a seguito del Relazione Finale. Il rimborso da parte di HCP ad HCL per i Fondi in eccesso rispetto alle spese effettive a seguito della Relazione Finale.
I Fondi non eccedono la somma di €11.022,00 (tasse escluse).
HCP si impegna, dopo la Relazione Finale del progetto, a rimborsare i Xxxxx che non sono giustificati. Ogni rimborso sarà effettuato alla Commissione Europea tramite HCL.
I pagamenti devono essere eseguiti da HCL entro sessanta (60) giorni dalla ricezione di valide fatture emesse da HCP. Le fatture saranno inviate ad HCL, a:

XXXXXXXX 4 RELAZIONI E RISULTATI ATTESI
Le riunioni di lavoro tra HCL e HCP avranno luogo (di persona o a distanza) ogni 6 mesi al fine di monitorare il progresso nel raggiungimento dei Risultati Attesi.
Un programma per la presentazione dei Risultati Attesi ad HCL è indicato nell’Appendice 1 al presente Accordo.
ARTICOLO 5 INFORMAZIONI CONFIDENZIALI - PUBBLICAZIONI
Ciascuna Parte si impegna ad utilizzare le informazioni scientifiche, tecniche o commerciali dell’altra Parte di cui possa venire a conoscenza durante l’esecuzione dell’Accordo al solo fine dell’Accordo e di non pubblicare o divulgare le suddette informazioni senza aver ottenuto il previo consenso ovvero fino a quando non siano di pubblico dominio.
I progetti di pubblicazione o di comunicazione da parte di HCP relativi ai risultati derivanti dai Risultati Attesi devono essere soggetti all’assenso di HCL durante il periodo di validità di questo Accordo e fin dopo un (1) anno dalla sua cessazione.
ARTICOLO 6 PROPRIETÀ INTELLETTUALE – UTILIZZO DEI RISULTATI
Ai sensi dei termini di cui Contratti Primari, la proprietà intellettuale di foreground o che derivi dalla produzione dei Risultati Attesi di cui a questo Accordo deve appartenere ad HCL.
irrevocabile ed esente da royalty per l’uso della proprietà intellettuale di foreground esclusivamente per le finalità del Progetto o di future collaborazioni nell’ambito dei Contratti Primari di EpiCARE.
Ciascuna Parte avrà il diritto senza royalty di utilizzare sia la proprietà intellettuale di foreground esclusiva dell’altra Parte sia la proprietà intellettuale appartenente alle Parti per finalità didattiche, per ricerca non a scopi commerciali e per cura clinica, con la facoltà di dare in sub-licenza a collaboratori accademici i diritti concessi sopra.
Al fine di dissipare ogni dubbio, qualsiasi altro uso della proprietà intellettuale di foreground esclusiva di una Parte da parte dell’altra Parte e/o della proprietà intellettuale di foreground posseduta congiuntamente, deve essere negoziata in buona fede dalle Parti, secondo lealtà e ragionevolezza.
ARTICOLO 7 DURATA
L’Accordo è concluso per un periodo di 36 mesi a partire dall’implementazione del SGA 2019- 2022, a far data dal 05/03/2019.
Il presente Accordo può essere risolto senza formalità legali da ciascuna Parte (la “Parte Non Inadempiente”) qualora l’altra Parte (la “Parte Inadempiente”) commetta una violazione delle sue obbligazioni di cui a questo Accordo.
La risoluzione deve essere efficace un (1) mese dopo che la Parte Non Inadempiente abbia spedito una lettera scritta, con ricevuta di ritorno, in cui siano esposte le motivazioni della rimostranza, salvo che entro tale termine la Parte Inadempiente abbia ottemperato alle proprie obbligazioni o abbia fornito prova di impedimento derivante da cause di forza maggiore.
Nel caso di risoluzione, le somme pagabili da parte di HCL devono essere determinate proporzionalmente ai servi resi ai sensi di questo Accordo alla data di detta risoluzione.
ARTICOLO 8 CONTROVERSIE
Il presente Accordo è soggetto alla legge e ai regolamenti francesi.
Nel caso di controversia derivante dall’esecuzione ovvero dall’interpretazione dell’Accordo, le Parti faranno il loro meglio per risolverla in via amichevole.
Qualora la controversia persista, sarà adita l’autorità giurisdizionale competente. Le Parti concordano che il Tribunale di Xxxxx xxxx competente per qualsiasi controversia derivante dall’esecuzione ovvero dall’interpretazione di questo Accordo, permanendo la possibilità di adire la Corte di Giustizia dell’Unione Europea relativamente a materie di sua competenza.

• Per il Working Package 15 - Ricerca Risultati Attesi
