DELIBERAZIONE DEL DIRETTORE GENERALE
OGGETTO: Approvazione dello schema di convenzione tra l`Istituto Zooprofilattico Sperimentale delle Venezie e i Servizi Veterinari di Cipro per la designazione del Centro di Referenza Nazionale per le malattie dei pesci, molluschi e crostacei dell`IZSVe quale laboratorio nazionale di riferimento per Cipro presso la Commissione Europea (ex art. 56 direttiva 2006/88/CE).
Si sottopone al Direttore generale f.f. la seguente relazione del Responsabile della SCA1 – Risorse Umane, Rapporti Esterni e Gestione Documenti.
Si premette che:
- questo Istituto, nell’ambito delle proprie attività istituzionali, ex art. 3, comma 3, dell’Accordo per la gestione dell’IZSVe, approvato dalla Regione del Veneto, dalla Regione Autonoma Friuli Venezia Giulia e dalle Province Autonome di Trento e Bolzano, rispettivamente, con leggi n. 5/2015, n. 9/2015, n. 5/2015 e n. 5/2015, garantisce, tra l’altro, la sorveglianza epidemiologica ed elabora piani di emergenza per le malattie infettive e diffusive anche attraverso la realizzazione di rapporti di collaborazione tecnico-scientifiche con altri enti ed istituti di ricerca italiani e stranieri;
- con DDG n. 381/2016 è stata approvata la convenzione di durata triennale con i Servizi Veterinari di Cipro, struttura afferente al Ministero dell’Agricoltura, Risorse Naturali e Ambientali, per la designazione del Centro di Referenza Nazionale per le malattie dei pesci, dei molluschi e dei crostacei dell’IZSVe, quale laboratorio nazionale di riferimento per Cipro presso la Commissione Europea (ex art. 56 direttiva 2006/88/CE);
- tale incarico trova fondamento dalla mancanza in Cipro del necessario know how per la valutazione virologica di campioni ittici secondo le metodiche previste dalla decisione della Commissione Europea 2015/1554/EC e nel riconoscimento dell’esistenza presso il

Centro di Referenza Nazionale per le malattie dei pesci, dei molluschi e dei crostacei dell’Istituto delle necessarie attrezzature e di personale qualificato;
- attesa la scadenza della convenzione suddetta e permanendo l’esigenza da parte dei Servizi Veterinari di Cipro di proseguire nella collaborazione intrapresa, il Ministero cipriota sopracitato ha richiesto, con nota acquisita al ns. prot. n. 3703/2019, la disponibilità a IZSVe a stipulare una nuova convenzione, sempre diretta a designare questo Istituto quale laboratorio nazionale di riferimento per Cipro presso la Commissione Europea;
- con nota ns. prot. n. 3944/2019, la Responsabile del Laboratorio Nazionale di riferimento per le malattie dei pesci, dei molluschi e dei crostacei dell’IZSVe, Dott.ssa Xxxx Xxxxxx, informava il Ministero della Salute della volontà da parte di questo Istituto di rinnovare il rapporto di collaborazione con i Servizi Veterinari di Cipro, chiedendo il relativo nulla osta, che veniva rilasciato dallo stesso Ministero con nota Prot. DGSAF 0012660-13/5/2019, acquisita al ns. prot. n. 6374/2019.
Al fine di formalizzare il rapporto con i Servizi Veterinari di Cipro, la “SCS6 – Virologia speciale e Sperimentazione”, con ticket intranet n. 128014/2019 ha richiesto a questa Struttura di approvare lo schema di services agreement condiviso con i Servizi Veterinari di Cipro, documento che si allega al presente provvedimento quale parte integrante e sostanziale (allegato n. 1).
In forza di quanto previsto in tale accordo, questo Istituto, accetta, oltre alla designazione quale Laboratorio Nazionale di Riferimento per Cipro per le malattie dei pesci, di partecipare, in tale veste tecnica, all’incontro annuale dei Laboratori Nazionali di Riferimento per conto delle strutture amministrative ministeriali di Cipro, nonché di effettuare, in ossequio alle disposizioni tecniche di cui alla decisione della Commissione 2015/1554, le indagini diagnostiche sui campioni di pesce che saranno inviati dai Servizi Veterinari di Cipro.
Per l’espletamento delle attività previste in convenzione, la cui conclusione è fissata al 31.3.2022, i Servizi Veterinari di Cipro si obbligano a corrispondere all’Istituto le somme dovute per l’attività diagnostica effettivamente espletata dal Centro in parola (l’Istituto, per le prestazioni eseguite, applicherà i prezzi unitari previsti dal Tariffario vigente al momento dell’emissione della fattura) e al versamento della somma pari a € 3.000,00, oltre IVA, se dovuta, secondo le modalità previste dall’art. 4 della convenzione.
Tutto ciò premesso, sulla base degli elementi riportati dal referente dell’istruttoria, si propone al Direttore generale f.f. quanto segue:
1. di approvare lo schema di services agreement da sottoscrivere tra questo Istituto, nella persona del Direttore generale x.x. x legale rappresentante pro tempore, Dott.ssa Xxxxxxx Xxxxx e i Servizi Veterinari di Cipro, nella persona del Direttore e legale rappresentante, Dr. Christodoulos Pipis, per la designazione del Centro di Referenza Nazionale per le malattie dei pesci, dei molluschi e dei crostacei dell’IZSVe, quale laboratorio nazionale di riferimento per Cipro presso la Commissione Europea, documento che si allega al presente provvedimento quale parte integrante e sostanziale (allegato n. 1);
2. di procedere, per l’effetto, alla sottoscrizione dell’accordo di cui al punto che precede, ai sensi degli artt. 15 e 16 del vigente Accordo interregionale sulla gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie;

3. di prendere atto che per l’espletamento delle attività previste in convenzione, la cui conclusione è fissata al 31.3.2022, i Servizi Veterinari di Cipro si obbligano a corrispondere all’Istituto le somme dovute per l’attività diagnostica effettivamente espletata dal Centro in parola (l’Istituto, per le prestazioni eseguite, applicherà i prezzi unitari previsti dal Tariffario vigente al momento dell’emissione della fattura) e al versamento della somma pari a € 3.000,00, oltre IVA se dovuta, secondo le modalità previste dall’art. 4 della convenzione;
4. di imputare, per l’effetto, l’importo di cui al punto che precede, al sottoconto 620011003 “Ricavi per prestazioni sanitarie erogate a soggetti privati – Altre convenzioni” del Bilancio Economico Preventivo 2019 e futuri.

VISTA l’attestazione di copertura della spesa, ove prevista, allegata al presente provvedimento.
VISTA la DDG n. 164 del 27 marzo 2018 con la quale la dott.ssa Xxxxxxx Xxxxx è stata nominata Direttore sanitario dell’Istituto.
VISTA la DDG n. 166 del 11 aprile 2019 avente ad oggetto “Applicazione dell’art. 3, comma 6, del D.Lgs. 502/1992 e s.m.i. e dell’art. 16, comma 5, dell’Accordo per la gestione dell’Istituto tra la Regione Veneto, la Regione Autonoma Friuli-Venezia Giulia, la Provincia Autonoma di Bolzano e la Provincia Autonoma di Trento, approvato con atto normativo degli Enti cogerenti. Presa d’atto” con la quale si prende atto che, a decorrere dal 13 aprile 2019, le funzioni di Direttore generale sono svolte dal Direttore sanitario ai sensi delle sopracitate disposizioni.
VISTA la DDG n. 332 del 22 luglio 2016 con la quale il Xxxx. Xxxxx Xxxxxxxx è stato nominato Direttore amministrativo dell’Istituto.
ACQUISITO il parere favorevole del Direttore amministrativo per quanto di competenza, espresso ai sensi dell’art. 15, comma 3, dello Statuto dell’Istituto, adottato con DCA n. 16 del 3 agosto 2015 e approvato con DGRV n. 1320 del 9 ottobre 2015.
VISTO l’art. 15 del D.Lgs. n. 106 del 28 giugno 2012 il quale, al primo comma, dispone che “… Gli organi degli Istituti in carica alla data di entrata in vigore del presente decreto sono prorogati sino all’insediamento dei nuovi organi”.
VISTO l’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie tra la Regione del Veneto, la Regione Autonoma Friuli Venezia Giulia e le Province Autonome di Trento e Bolzano, approvato dai suddetti Enti, rispettivamente, con leggi n. 5/2015, n. 9/2015, n. 5/2015 e n. 5/2015.

Il presente provvedimento non è soggetto al controllo previsto dall’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie approvato dagli Enti cogerenti con le leggi regionali e provinciali citate nelle premesse.

SERVICE AGREEMENT
Istituto Zooprofilattico Sperimentale delle Venezie, an Italian governmental institution, with offices at Xxxxx xxxx’Xxxxxxxxxx 00, 00000 Xxxxxxx (XX), Xxxxx, fiscal code and VAT n. 00206200289, represented by Dr. Xxxxxxx Xxxxx, in her capacity as Acting General manager
(hereinafter referred to as “IZSVe”)
and
Ministry of Agriculture, Rural Development and Environment, Veterinary Services, an governmental institution of Xxxxxx, xxxx xxxxxxx xx 0000 Xxxxxxxxx, Xxxxxxx, Xxxxxx, VAT n. 90000156R, represented by Dr. Xxxxxxxxxxxxx Xxxxx, in his capacity as Acting Director of Veterinary Services
(hereinafter referred to as the “ VS” and severally as “ Party” and jointly as “ Parties”)
WHEREAS, IZSVe is a well known research institute providing high technical support in veterinary and public-health activities to the national and regional governments, to international organisations and delivers services necessary for satisfying the needs of agricultural/food – processing production system and ensuring consumer protection as well as to contribute to the prevention of trans-boundary animal diseases and diseases at the human animal interface;
WHEREAS, IZSVe is also involved in providing diagnoses and research on infectious livestock diseases and zoonoses, quality control of foods of animal origin for human consumption, control of animal feed, epidemiologic surveillance and monitoring, planning of animal health programs, training of veterinary service personnel and production of biopharmaceuticals;
WHEREAS, IZSVe pursuant to art. 1, paragraph 6, of the Legislative Decree n. 270/1993, and art. 5, paragraph 1 of the Agreement on the Management of the IZSVe executed among Regione Veneto, Regione Autonoma Friuli Venezia Giulia, Provincia Autonoma di Bolzano e Provincia Autonoma di Trento as approved by the Regional Law of the Regione Veneto n. 5/2015, is authorized to execute

service agreements with public entities, associations, public or private organizations and entities;
WHEREAS, IZSVe pursuant to art. 3, paragraph 3 of the Agreement on the Management of the IZSVe, carries out scientific and technical cooperation with foreign institutions in the veterinary field;
WHEREAS, Cyprus is recognized as a VHS and IHN-free member state. In order to maintain the free status, a sampling program must be undertaken in all the farms rearing susceptible species as listed in the 2006/88/EC directive;
WHEREAS, IZSVe has been asked by the Cyprus Director of Veterinary Services to represent Cyprus as a National Reference Laboratory for Fish diseases;
WHEREAS, IZSVe is interested in performing the services requested by the VS in compliance with the rules in force regarding the management of the Institute;
NOW, THEREFORE,
In consideration of the foregoing recitals, which are expressly incorporated by reference into the body of this Agreement and are made a part hereof and in consideration of the mutual promises hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency whereof are hereby acknowledged, the Parties hereto, individually and by their respective agents and representatives, do hereby covenant and agree as follows:
1. DEFINITIONS
For the purposes of this Agreement, the following definitions shall apply: "Agreement" shall mean this Agreement and the Annexes attached thereto.
“Project” shall mean the present Project regarding representative of Cyprus as EU National Reference Laboratory for fish disease and better specified in Annex A attached hereto.
“Confidential Information” shall mean all information disclosed by one Party to the other Party, in writing, orally or any other form, during the performance of this Agreement, and all samples and materials provided by the VS which are not

in the public domain or such information thereafter becomes a part of public domain.
“Compensation” shall mean the payment due to IZSVe set forth in art. 4 herein for the services rendered pursuant to this Agreement.
“Final Report” shall mean the report in writing containing, experimental results including, clinical observations, and laboratory results
“Annex A” shall mean the Annex attached to this Agreement containing the experimental protocol for the representative of Cyprus as EU National Reference Laboratory for fish disease pursuant to this Agreement.
“Legal Interest” shall mean the interest paid by the VS to IZSVe for the delay in payment of the Consideration, in full or in part, at the rate set forth by the Legislative Decree n. 231/2002.
“Partial Report” shall mean the report in writing containing the scientific results generated by IZSVe at the Termination Date.
“Principal Investigator” shall mean the scientist in charge of the experimental trial.
“Personnel” shall mean the personnel of the IZVSe involved in the services.
“Material/s” shall mean the fish samples supplied to IZSVe as detailed in Annex A.
“Scientific Information” shall mean any information, data or results contained in the Final Report or the Partial Report and/or generated during the performance of this Agreement.
“Services” shall mean the scientific activities executed by IZSVe pursuant to its best high standard to comply with the Project and Annex A and in particular to evaluate fish health status in Cyprus
“Termination Date” shall mean the date of termination of this Agreement pursuant to art. 12 herein.

2. OBJECT OF THE AGREEMENT
The object of this Agreement is the services to be rendered by IZSVe to represent the VS as a National Reference Laboratory for Fish diseases, pursuant to the specifications set forth in Annex a hereto.
3. PERFORMANCE OF SERVICES
3.1 IZSVe shall perform the Services in any case within 36 months from 1 April 2019.
3.2 IZSVe shall communicate in writing to the VS on request the working progress of the Services rendered pursuant to this Agreement. Upon completion of the Services IZSVe shall submit to the VS a Final Report in writing within 90 days of the conclusion of its research which shall comply with the contents of Annex A attached hereto.
3.3 During the term of this Agreement, the Parties may meet periodically in order to check and/or clarify and/or up to date the Services’ working progress. The meetings will be held at IZSVe headquarters or by videoconference or in any other convenient place as agreed by the parties and they will be attended by the Personnel involved in the Project.
4. COMPENSATION
4.1 The VS shall pay to IZSVe for the Services rendered pursuant to this Agreement a lump sum of Euro 3000,00 (taxes and pension fund included but VAT excluded) against presentation of regular invoice, according to the following terms:
- a first instalment equal to 30% of the Consideration (i.e. Euro 900.00) at the execution of this Agreement;
- a second instalment of equal to 30% of the Consideration (i.e. Euro 900.00) after 24 months of the execution of this Agreement;

- the final balance equal to 40% of the Consideration (i.e. Euro 1200.00) at the end of the period (month 36).
Analysis carried on samples will be charged separately according to IZSVe actual price list available at xxxx://xxx.xxxxxxxxxx.xx/xxxxxxx/xxxxx-xxx-xxxxxxx-xxxxxxxxxx. Billing will be performed quarterly.

The invoice shall be paid 60 days invoice date end of month.
4.3 In case of payment’s delay exceeding twenty (20) days, the Legal Interest will accrue on the outstanding amount running from the original term of payment until the full settlement. In case the delay exceeds ninety (90) days, a pre- liquidated amount of damages shall be paid to IZSVe in an amount equal to 5 % of the outstanding amount in addition to the said Legal Interest. In case the delay exceeds one hundred and eighty (180) days, IZSVe may terminate this Agreement pursuant to art.12 of this Agreement, without prejudice to its right to claim for further damages, if any.
5. ESTIMATION OF COSTS
No changes to the activities as described in Annex A shall be made without the prior written approval of the VS. In case any such changes result in substantial differences in the cost of the Services, the final budget will be adjusted by a mutually amount agreed by the Parties in writing. In case of disagreement on the adjusted budget, the Parties may terminate the Agreement pursuant to art. 12 of this Agreement.
6. WARRANTIES AND LIABILITY

6.1 The VS warrants that at the time of delivery of the Materials to IZSVe will be compliant to standards. In case IZSVe may deem the Material not suitable for the execution of the Services as required by the VS, it will promptly give notice to the VS of such an unsuitability in order to obtain the substitution of the Material .
6.2 The VS agrees to release and hold IZSVe harmless from any and all direct, indirect or consequential damages, which may occur during the transport of the Materials or, after their receipt by IZSVe, during the performance of the activities set forth in Annex A. IZSVe will be held harmless from any liability, except if the event is caused by its gross negligence or wilful misconduct acts or omissions of its directors, managers, employees, representatives or agents.
7. PRINCIPAL INVESTIGATOR
IZSVe hereby appoints Dr. Xxxx Xxxxxx as its Principal Investigator. If for any reason she may be unable to continue to serve as Principal investigator, the substitute shall be mutually agreed by the Parties. If for any reason the substitute of the Principal Investigator is not acceptable by the other Party, this Agreement may be terminated pursuant to art. 12.
8. TREATMENT OF CONFIDENTIAL INFORMATION
8.1 During the term of this Agreement and for a period of 60 months following its expiration, IZSVe and the VS agree to keep confidential all Confidential Information disclosed by and received and to maintain appropriate safeguards with respect to the Confidential Information. Under no circumstances neither Party shall disclose the Confidential Information to any person other than to those individuals and entities on a need-to-know basis. The Parties stipulate that, as between them, the foregoing matters are important, material and confidential, and gravely affect the effective and successful conduct of the business of the VS and its goodwill, and that any breach of this covenant is a material breach of this Agreement. In the event that IZSVe is requested or required by law or legal process to disclose any of the Confidential Information, IZSVe shall provide the VS with prompt written notice before making any disclosure. In addition, Confidential Information may be disclosed to the extent required in the course of inspections or inquiries by EU Federal or State regulatory agencies to whose jurisdiction IZSVe and/or the VS is/are subject to and that has/have the legal right to inspect documents containing the

Confidential Information. IZSVe shall promptly advise the VS upon such disclosure and vice versa.
8.2 During the term of this Agreement and for a period of 60 months following its expiration, IZSVe agrees to not use, disclose, disseminate, communicate or reveal any of the Confidential Information or any part thereof, to any person or entity for any reason or purpose whatsoever, unless otherwise agreed.
8.3 During the term of this Agreement and for a period of sixty (60) months following its expiration, IZSVe and the VS agree to not directly or indirectly, either for IZSVe or the VS or for any other person or entity related or affiliated with IZSVe or the VS, use in any manner or way, any of the Confidential Information or any other confidential information or trade secrets of IZSVe in order to compete (directly or indirectly) each other, gain any economic advantage over the VS, or interfere in any way (directly or indirectly) with the ability of the VS to conduct its business.
9. INTELLECTUAL PROPERTY RIGHTS, PUBLICITY AND PUBLICATION
9.1 The Parties hereby acknowledge and agree that the Final Report or the Partial Report and the results contained therein shall be ruled as follows:
9.2 The Parties hereby acknowledge and agree that the Final Report is co-owned by the VS and IZSVe and the related copyright is governed by this Agreement and the Italian law.
9.3 Neither Party shall use the name or the logo of the other Party, of its Principal Investigator or its employees in any publicity, new release, publication or advertising without the express prior written approval of the Party. The Parties acknowledge and agree that all intellectual property rights related to the logo will remain exclusive property of the owning Party; particularly, with no limitation, the usage of the logo of a Party by the other Party will not transfer to the using Party any rights or titles related to the logo.
9.4 It is hereby expressly forbidden to either Party to publish or give access to or disclose in writing, orally or any other form the scientific information, in all countries and all languages, in whole or in part, including any translation, abridgement, substantial part, modification or revision thereof, in book form, in a database on its own or with other works and in any form, including, without

limitation, mechanical, aural, electronic and visual reproduction and publication, electronic storage and retrieval systems, including delivering of or giving access to the Final Report or Partial Report by electronic networks, and all other forms of electronic or electro-magnetic publication now known.
Should either Party wish or need to publish the Scientific Information, in full or in part, the relevant text of the proposed publication shall first be sent to the other Party for approval; the text shall not be published until the Party has given its express written approval. In the publication or disclosure, the Parties shall mention that the Scientific Information arise from the cooperation between IZSVe and the VS. In the case of disclosure of the Final Report or Partial Report, the VS shall mention the names of the authors.
It is understood that after 30 days of the delivery of the text regarding the Scientific Information to the VS without receiving any approval, IZSVe shall be free to publish the text.
10. SAMPLES AND MATERIALS
IZSVe acknowledges and agrees not to provide to any third party samples, or other materials provided by the VS, without its prior written consent.
11. TERM
This agreement shall be effective upon 1 April 2019 and shall remain valid until 31 March 2022.
12. TERMINATION CLAUSE
12.1 Without prejudice to the provisions set forth in this Agreement, this Agreement may be terminated forthwith by either Party, as the case may be, should IZSVe do not fulfill the obligations provided for in Art. 2. “object of the Agreement”
12.2 Moreover either Party may terminate this Agreement for cause upon 30 (thirty) days written notice, if any of the following events occur:
i) any material breach of the terms of this Agreement. Any violation of the contractual obligations may be considered a material breach if such violation is repeated notwithstanding a request by the other party to fulfill the contractual obligations;

ii) if either Party to this Agreement ceases to function as a going concern, or a receiver for it is appointed or applied for, or a petition under any bankruptcy, insolvency or similar reorganization statute pursuant to the applicable law is filed by or against it, or it makes an assignment for the benefit of creditors which is not dismissed or withdrawn within 60 (sixty) days of the institution thereof, then the other Party shall have the right to terminate this Agreement.
12.3 The Party that wishes to terminate the agreement under this clause shall communicate its intention to the other Party, by certified or registered letter, return receipt requested. The termination shall be effective as from the moment of the receipt of the termination notice. The fulfillment of the obligations by the breaching party until the receipt of the termination notice shall not jeopardize the right of the other Party to claim for damages.
13. EFFECT OF TERMINATION
13.1 In the event of termination of this Agreement, the effect of termination shall not prejudice the obligations already performed by the Parties and shall not jeopardize the rights acquired by each Party until the Termination Date. The Samples received by IZSVe prior to the receipt of the termination notice, which have not been used, shall be returned to the VS at costs and expenses of the Party that exercised the termination right. In the event of such a termination, IZSVe will communicate to the VS the results generated until the Termination Date and will deliver to the VS the Partial Report. In case of earlier termination, the VS will pay to IZSVe a sum, inferior to the amount initially agreed settled, but to be agreed in writing by the Parties in proportion to the activities actually performed by IZSVe until the Termination Date.
13.2 In case of termination of this Agreement, for any reason whatsoever, IZSVe will provide to the VS, within ninety (90) days of the termination, the Partial Report.
14. WITHDRAWAL
Each Party has the right to withdraw from this Agreement at any time, by giving twenty (20) days notice in writing, by certified or registered letter, return receipt requested. The termination will not affect the obligations already performed by the Parties or whose performance is in progress at the time of termination. These obligations are governed by article 12 of this Agreement.

15. FORCE MAJEURE
Neither Party shall be liable for failure of or delay in performing obligations set forth in this Agreement, or for having incorrectly performed them, and neither shall be deemed in breach of its obligations, if such failure, delay or incorrect performance is due to natural disasters or any causes beyond its reasonable control including, without limitation, any act of God, any civil commotion or strike. In the event of such force majeure, the Party affected thereby shall promptly notify the other Party in writing. If the force majeure lasts more than 90 days, the Parties shall have the right to terminate the agreement; the notice of termination shall be made according to the following art. 27.
16. SURVIVING PROVISIONS
Termination of this Agreement for any reason shall be without prejudice to the rights which expressly survive the termination in accordance with the terms of this Agreement and applicable laws, including without limitation, the rights and obligations of the Parties regarding to Intellectual Property Rights, Publicity and Publication, Samples and Materials.
17. SAFETY AND HEALTH CARE
IZSVe acknowledges and agrees to respect and to enforce, within its premises, national law and internal regulations related to workers safety and health care. In case the VS’s employees or consultants shall perform any kind of activities within IZSVe premises, visits and inspections included, the VS acknowledges and agrees to enforce on its personnel the said laws and regulations, provided that such activities, visits and inspections, shall be scheduled in advance in writing by the Parties.
18. INSURANCE
In case the VS’s employees or consultants shall perform any kind of activities within IZSVe premises, visits and inspections included, the VS shall stipulate adequate insurance policies covering the damages, third party civil liability and accidents which may be caused by or issued from its personnel. The VS will release and hold IZSVe harmless from any liability and from any claim that the insurance companies may raise against IZSVe for any reason or title.

19. TREATMENT OF PERSONAL DATA
According to and in compliance with the Italian law (D. Lgs. 196/2003 and any following amendments), the Parties acknowledge and agree to use, process and communicate to any third party the personal data contained herein, or acquired in any other form during the performance of this agreement, solely and exclusively in order to carry out the purposes set forth in the agreement itself or to accomplish the fulfillments connected to it. Each Party authorizes the process of its data solely and exclusively in order to manage the agreement according to the terms and conditions set forth in the said law.
20. WAIVER
The delay or failure of either Party to enforce at any time or for any period of time any of the provisions of this agreement shall not be construed as a waiver of such provisions or of the right of the Party to thereafter seek their enforcement.
21. THIRD PARTIES RIGHTS
The Parties claim that all rights that allow the signing and performance of this agreement and that allow the other Party to perform the obligations set forth herein belong to them. Each Party claims that the signing and performance of this agreement and the rights set forth herein do not compromise any third party rights.
22. INDEPENDENT CONTRACTORS
IZSVe and the VS will act all times as independent contractors. Nothing contained herein shall be construed or applied so as to create the relationship of principal and agent or of employer and employee between IZSVe and the VS or any partnership or joint-venture. Neither Party shall make any commitment or incur any charge or expense in the name of the other Party.
23. SEVERABILITY
If one or more of the provisions of this agreement should be or become invalid or impracticable, the validity of the remaining provisions shall not be effected.

The Parties shall in good faith make any efforts to replace the invalid or impracticable provision by an effective provision which must closely approximate to the purpose of this agreement.
24. ASSIGNMENT
This agreement and the rights and duties set forth herein may not be assigned, transferred, delegated or sub-contracted by either Party without the written consent of the other Party.
25. GOVERNING LAW AND DISPUTE RESOLUTION
This agreement shall be subject to, governed by and construed in accordance with the laws of Italy (without regard to the conflicts of law rules which might result in the application of the laws of any other jurisdiction). All disputes, controversies or differences which may arise between the Parties out of or in connection with this agreement, its interpretation or performance, shall be submitted to the exclusive jurisdiction of the Court of Padua, Italy.
26. VAT, REGISTRATION FEE AND TAX DUTIES
The Parties claim that this agreement is subject to VAT according to Italian law (D.P.R. n. 633/1972 and its amendments). The registration fee is due just in the event of judicial or administrative use, as set forth in Italian law (D.P.R. n. 131/1986) and costs and expenses will be borne by the requesting Party. The Parties will contribute in equal measure to the other tax duties related to this agreement, stamp duty included.
27. AMENDMENTS AND NOTICES
27.1 This agreement may be amended, modified, superseded or canceled, only by a written instrument executed by each Party’s duly authorized representatives.

ANNEX A
Cyprus is recognized as a VHS and IHN-free member state. In order to maintain the free status, a sampling program must be undertaken in all the farms rearing susceptible species as listed in the 2006/88/EC directive.
The Istituto Zooprofilattico Sperimentale delle Venezie (IZSVe) has been asked by the Cyprus Acting Director of Veterinary Services (VS) to represent Cyprus as a National Reference Laboratory for Fish diseases.
IZSVe will perform the necessary laboratory examinations on official samples submitted by VS according to official methods (2001/183/EC Decision and/or OIE diagnostic manual) and will duly provide its scientific and technical support.
VS will submit samples according to the instructions provided by IZSVe.
IZSVe will perform laboratory investigations on all samples according to the methods described in the 2001/183/EC Decision for VHS and IHN and in the OIE diagnostic manual for SVC and KHV. Results will be forwarded to the VS in due time. In case of a high mortality rate which requires an early diagnosis and immediate action to apply the sanitary measures as reported in the2006/88/EC directive, PCR results will be sent whitin a week upon arrival of the samples in the laboratory.
IZSVe is allowed to perform all the laboratory analysis to confirm or further identify a pathogen, if necessary.
In case a notifiable disease is confirmed, the VS will be the only responsible for notification to the European Commission.
IZSVe will participate to the Annual meeting of the National Reference Laboratories for fish diseases organized by the European Reference Laboratory for fish disease (EURLAB) representing Cyprus. On this occasion, IZSVe will provide EUROLAB with all the requested information on the health status of Cyprus aquaculture. For this purpose, the VS will provide IZSVe with all the relevant information on this issue.
