DELIBERAZIONE DELLA DIRETTRICE GENERALE
OGGETTO: Approvazione dello schema di ``Distribution Agreement`` avente ad oggetto la distribuzione di reagenti diagnostici tra questo Istituto e Eurovet Lab srl
Si sottopone alla Direttrice generale la seguente relazione del Responsabile della SS Affari Generali Anticorruzione e Trasparenza.
Si premette che:
- l’articolo 1, comma 6, del Decreto Legislativo n. 270/1993, ripreso dall’art. 9, comma 2, del Decreto Legislativo n. 106/2012, consente agli Istituti Zooprofilattici di “[…] stipulare convenzioni o contratti di consulenza per la fornitura di servizi e per l’erogazione di prestazioni ad enti, associazioni, organizzazioni pubbliche e private, sulla base di disposizioni regionali, fatte salve le competenze delle unità sanitarie locali”;
- l’articolo 5, comma 1 – rubricato “Attività verso terzi” – dell’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie stipulato dalla Regione del Veneto, dalla Regione Autonoma Friuli Venezia Giulia e dalle Province Autonome di Trento e Bolzano, rispettivamente, con leggi n. 5/2015, n. 9/2015, n. 5/2015 e n. 5/2015, prevede del pari che “Fermo restando l’assolvimento dei propri compiti istituzionali, l'istituto può fornire prestazioni a terzi a titolo oneroso, stipulando convenzioni o contratti di consulenza per la fornitura di servizi e per l'erogazione di prestazioni a enti, associazioni, organizzazioni pubbliche e private sulla base di disposizioni regionali, fatte salve le competenze delle aziende unità sanitarie locali. (…)”;
- con riferimento a tali disposizioni, l’art. 5, comma 1, dello Statuto dell’Istituto – adottato con DCA n. 12 del 24.05.2021 e approvato con DGRV n. 1308 del 28.09.2021 - prevede che l’Istituto “[…] può fornire prestazioni a terzi a titolo oneroso, stipulando convenzioni o contratti di consulenza per la fornitura di servizi e per l'erogazione di prestazioni a soggetti privati, ad imprese, enti, associazioni, organizzazioni pubbliche e private sulla

base di disposizioni degli enti cogerenti […]”; il comma 2 del citato art. 5, stabilisce che “Nelle more delle disposizioni di cui al punto precedente, l’Istituto continua ad applicare le modalità in atto”;
- l’art. 4, del citato Statuto prevede al comma 2 che “L'Istituto, anche in associazione con altri Istituti zooprofilattici, sulla base delle norme vigenti e previa autorizzazione del Ministero, provvede alla produzione, alla commercializzazione ed alla distribuzione dei medicinali e dei prodotti occorrenti per la lotta contro le malattie degli animali e per l’espletamento delle funzioni di sanità pubblica veterinaria” e al comma 3 che “Gli oneri derivanti dall’attività di cui al punto precedente sono a carico del committente”;
- l’art. 6, comma 2, lett. e) del D. Lgs. n. 270/1993, ripreso dall’art. 3, comma 2, lett. e) della Legge della Regione Veneto n. 5 del 18.3.2015, prevede che il finanziamento degli Istituti Zooprofilattici sia inoltre assicurato “dagli introiti per la fornitura di servizi e per l’erogazione di prestazioni a pagamento”.
Con e-mail del 13.05.2024, la società Eurovet Lab s.r.l. con sede in Otopeni (Romania), ha chiesto all’IZSVe di addivenire alla stipula di un contratto per la distribuzione di reagenti diagnostici, prodotti presso i laboratori della “SCS6 – Virologia Speciale e Sperimentazione”, nel territorio della Romania.
In conformità alle soprarichiamate disposizioni, il Direttore della “SCS5 – Ricerca e Innovazione” e ad interim della “SCS6 – Virologia Speciale e Sperimentazione”, Xxxx. Xxxxxxxx Xxxxxxxxx, ha inserito la richiesta Intranet n. 221641 del 02.07.2024, allegando lo schema di contratto, concordato per le vie brevi, con la controparte nella versione in lingua inglese c.d. “Distribution Agreement”, documento che viene allegato al presente provvedimento quale parte integrante e sostanziale (allegato n. 1).
Con la sottoscrizione del contratto in parola questo Istituto s’impegna, per un periodo di due anni – salvo rinnovo per pari periodo – a fornire in modo non esclusivo reagenti diagnostici alla società Eurovet Lab s.r.l la quale, di contro, si impegna ad acquistare i medesimi in esclusiva, ai prezzi indicati nell’Annex del contratto stesso e a commercializzarli in Romania, nel rispetto dei termini e delle condizioni previste nel contratto.
Tutto ciò premesso, sulla base degli elementi riportati dal referente dell’istruttoria, si propone alla Direttrice generale quanto segue:
1. di approvare lo schema di contratto da sottoscrivere tra questo Istituto, nella persona della Direttrice generale e legale rappresentante pro tempore, Dott.ssa Xxxxxxx Xxxxx, e la società Eurovet Lab s.r.l nella persona del proprio legale rappresentante e Direttore generale, Xxxxx Xxxxx, per la distribuzione in Romania di reagenti diagnostici prodotti presso i laboratori della “SCS6 – Virologia Speciale e Sperimentazione”, documento che viene allegato, unitamente al relativo Annex, al presente provvedimento quale parte integrante e sostanziale (allegato n. 1);
2. di procedere, per l’effetto, alla sottoscrizione del contratto di cui al punto che precede, ai sensi degli artt. 15 e 16 del vigente Accordo interregionale sulla gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie;
3. di prendere atto che con la sottoscrizione del contratto in parola questo Istituto s’impegna, per un periodo di due anni – salvo rinnovo per pari periodo – a fornire in modo non esclusivo reagenti diagnostici alla società Eurovet Lab s.r.l la quale, di contro, si impegna ad acquistare i medesimi in esclusiva, ai prezzi indicati nell’Annex del contratto stesso e a commercializzarli nel territorio della Romania;

4. di rilevare, per l’effetto, i ricavi derivanti dal presente provvedimento al sottoconto 620010950 “Ricavi per prestazioni sanitarie erogate a soggetti privati – Antigene e reagenti” attribuiti pro quota a ciascun esercizio finanziario secondo il criterio di competenza economica (centro di costo 444).
ESAMINATA la proposta di deliberazione del Responsabile della SS Affari Generali Anticorruzione e Trasparenza.
PRESO ATTO che il Responsabile della SS Affari Generali Anticorruzione e Trasparenza nel proporre il presente atto attesta la regolarità tecnica ed amministrativa, la legittimità e congruenza dell’atto con le finalità istituzionali dell’Istituto, l’assenza di conflitto di interessi, stante anche l’istruttoria effettuata a cura del suddetto Dirigente.
VISTO il decreto del Presidente della Giunta regionale del Veneto n. 102 del 22 settembre 2020 con il quale è stata nominata la dott.ssa Xxxxxxx Xxxxx quale Direttore generale dell’Istituto Zooprofilattico Sperimentale delle Venezie.
VISTA la DDG n. 141 del 19 aprile 2023 con la quale il xxxx. Xxxxxxxx Xxxxxxx è stato nominato Direttore sanitario dell’Istituto.
VISTA la DDG n. 101 del 10 marzo 2021 con la quale il xxxx. Xxxxxxx Xxxxxx è stato nominato Direttore amministrativo dell’Istituto.
ACQUISITO il parere favorevole del Direttore amministrativo e del Direttore sanitario per quanto di competenza, espresso ai sensi dell’art. 15 dello Statuto dell’Istituto, adottato con delibera del CdA n. 12 del 24 maggio 2021 e approvato con delibera della Giunta regionale del Veneto n. 1308 del 28 settembre 2021.
VISTO l’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie tra la Regione del Veneto, la Regione Autonoma Friuli Venezia Giulia e le Province Autonome di Trento e Bolzano, approvato dai suddetti Enti, rispettivamente, con leggi n. 5/2015, n. 9/2015, n. 5/2015 e n. 5/2015.
1. di approvare lo schema di contratto da sottoscrivere tra questo Istituto, nella persona della Direttrice generale e legale rappresentante pro tempore, Dott.ssa Xxxxxxx Xxxxx, e la società Eurovet Lab s.r.l nella persona del proprio legale rappresentante e Direttore generale, Xxxxx Xxxxx, per la distribuzione in Romania di reagenti diagnostici prodotti presso i laboratori della “SCS6 – Virologia Speciale e Sperimentazione”, documento che viene allegato, unitamente al relativo Annex, al presente provvedimento quale parte integrante e sostanziale (allegato n. 1);

4. di rilevare, per l’effetto, i ricavi derivanti dal presente provvedimento al sottoconto 620010950 “Ricavi per prestazioni sanitarie erogate a soggetti privati – Antigene e reagenti” attribuiti pro quota a ciascun esercizio finanziario secondo il criterio di competenza economica (centro di costo 444).
Il presente provvedimento non è soggetto al controllo previsto dall’Accordo per la gestione dell’Istituto Zooprofilattico Sperimentale delle Venezie approvato dagli Enti cogerenti con le leggi regionali e provinciali citate nelle premesse.

DISTRIBUTION AGREEMENT
between
Istituto Zooprofilattico Sperimentale delle Venezie, having its office at Xxxxx xxxx’Xxxxxxxxxx, 00, 00000 Xxxxxxx (XX), Xxxxx, Fiscal Code and VAT n. 00206200289, xxxxxx legally represented by Director General and Legal Representative Dr. Xxxxxxx Xxxxx, hereinafter referred to as “IZSVe or Supplier”
- of the one part -
and
EUROVET LAB SRL, a company organized under the lawsJ23/3139/2014, having its registered office Str. Oituz nr 47 C, Otopeni, Romania, legally represented by Xxxxx Xxxxx, VAT number RO26459830, hereinafter referred to as “Distributor”
- of the other part -
Whereas the Distributor is used to trading in the type(s) of goods made by the Supplier, and being equipped with the necessary sales infrastructure has put itself forward as a distribution partner for the Supplier
Now, therefore, the Parties, identified as above, by this Agreement, contract as follows.
Article 1 Recitals and Annex
The recitals and the Annex are integral and substantial part of this Agreement.
Article 2 Definitions
2.1 In this Agreement the following words and expressions shall have the meaning hereinafter set forth:
Parties: The Supplier and the Distributor;
Territory: ROMANIA;
Products: The products sold by the Supplier that are listed and described in the Annex;
Term of Agreement: The period from the effective date until the date of expiry or termination as provided herein;
Third Party: Entity other than the Supplier and the Distributor.
Article 3
Scope of the Agreement
3.1 IZSVe and the Distributor mutually acknowledge that the scope of this Agreement is:
(i) The supply of the Products manufactured by IZSVe – better specified in the Annex attached hereto – to the Distributor;
(ii) The distribution of the Products by the Distributor;
(iii) Setting out of the Parties’ rights and obligations in respect of the supply, distribution and sale of the Products to any Third Party.
Article 4 Undertaking not to compete

4.1 For the duration of this Agreement, the Distributor agrees to purchase the Products exclusively from IZSVe and not to market similar products produced by other manufactures.
Article 5 Territory and Products
5.1 IZSVe hereby appoints the Distributor as its non-exclusive distributor of the Products in the Territory (excluding Italy, where the distribution is handled directly by IZSVe).
5.2 The conditions set out in Article 4.1 and 5.1 shall never be construed in violation of public laws, which IZSVe is subjected to.
Article 6
Sub-distributors and Commercial agents
6.1 The Distributor may appoint sub-distributors and commercial agents for the sale of the products in the Territory; the Distributor will share with the Supplier the names of the sub-distributors and the areas in which they carry out their activities.
6.2 The non-exclusivity condition as set in Article 5.1 will have to be met also by any other sub- distributor.
6.3 The Distributor shall be liable to IZSVe for the activities of its sub-distributors and commercial agents. In particular, the Distributor shall be responsible for and ensure that the sub-distributors and commercial agents assume obligations corresponding to those of the Distributor under this Agreement, as far as legally permitted.
Article 7
Minimum purchase and Price
7.1 The sale of Products by IZSVe to the Distributor is considered to be in EUR and at the price specified in the Annex, provided that the Distributor purchases the minimum quantity of 450 units per year (in the 12-month period after signing the Agreement).
7.2 Should the Distributor purchase a yearly amount lower than the aforementioned quantity, transfer prices by IZSVe to the Distributor shall be calculated in accordance with the IZSVe latest tariff as published on the IZSVe pricelist accessible at the IZSVe website (xxxxx://xxx.xxxxxxxxxx.xx/xxxxxxxxx/xxxxxxx/xxxxxxxxxx.xxx). In such event, IZSVe shall issue a balance invoice at the end of each year.
7.3 The prices listed in the Annex may be annually revised as agreed by the Parties in writing.
7.4 The transfer prices will be effective for each of the major global geographic regions: Europe, the Middle East, Africa, Asia, South America, North America.
7.5 Should any product different from the ones included in the Annex be requested by the Distributor, the transfer price shall be agreed between the Parties in writing.
Article 8 Payment
8.1 The commercial invoice for the sales transaction is raised on or before the dispatch date of the Products, with payment due within thirty (30) days of the invoice date. The payment term is peremptory. In case of a delay in payment exceeding twenty days (20) days, the Legal Interest will accrue on the outstanding amount running from the original term of payment until the full settlement.

8.2 If, at any time, the Distributor fails to fulfil its obligation to make payment for the Products ordered, the Supplier may, for the period during which such failure continues, but without prejudice to any other rights arising from this Agreement and applicable law, refuse to deliver the Products to the Distributor, even if the purchase orders themselves have already been accepted by the Supplier.
Article 9 Distributor Obligations
9.1 The Distributor agrees to fully comply with the conditions set under Article 16 on the use of the trademarks of the Products.
9.2 The Distributor has no authority to make contracts on behalf of or in any way to bind the Supplier towards Third Parties.
9.3 The Distributor will be responsible for the marketing, the promotion and the servicing of the Products to the customer based in any Territory. Such advertising shall guarantee the protection of the IZSVe’s image and entirely be covered by the Distributor.
Article 10
Transport, delivery, warranty and liability
10.1 The Products the Distributor purchases from IZSVe will be delivered to the Distributor’s facilities using a delivery schedule to be mutually agreed by both Parties. The Distributor shall bear all the delivery costs and any other expense associated with transport. All Products thus supplied should be “fit for purpose”.
10.2 Following receipt of the Products in “fit for purpose” condition at the Distributor facilities, all liabilities relating to Products will be the responsibility of the Distributor.
10.3 IZSVe will deliver the Products to the Distributor within a period to be agreed on an individual product by-product basis.
10.4 The Distributor shall be responsible for ensuring that the Products comply with the laws, regulations and requirements in the Territory in which the Products are sold and shall bear any costs necessary to ensure such compliance, including, but not limited to, the cost of any product testing and/or certification required to sell the products in the Territory.
10.5 Except in the event of wilful misconduct or gross negligence, the Supplier shall have no liability in connection with the Products supplied under this Agreement and in no event shall the Supplier be liable for loss of profit, direct or indirect or consequential damage or loss of any kind, including personal injury and damage to property.
Article 11
Express Termination Clause
11.1 The Parties agree that any breach of the following shall constitute a material breach pursuant to Article 1456 of the Italian Civil Code:
(i) Article 4.1 – Non-competition clause
(ii) Article 5.1 – Breach of the territorial limits as defined in Article 2.1
(iii) Article 6.2 – Non-exclusivity condition of sub distributor
(iv) Article 13 in its entirety.
(v) Article 20 – IZSVe Code of Ethics and Anti-Corruption

Article 12 Force Majeure
12.1 A Party shall not be held responsible towards the other for the failure, inaccurate or delayed fulfilment of its obligations established in this Agreement in the event of a direct or indirect unforeseeable circumstance, force majeure or any other cause not attributable to the Party.
12.2 For the purposes of this clause, “Force Majeure” shall include any event (i) beyond the control of either Party (ii) that may prevent one of the Parties from fulfilling its obligations under this Agreement, (iii) which could not have been reasonably foreseen when the Agreement was executed and (iv) whose effects cannot be avoided by appropriate measures. Examples include, but are not limited to, natural disasters, epidemic and pandemic of animal or human diseases, fires, floods, wars (declared or undeclared), civil insurrections, riots, embargoes, sabotage, accidents, inability to obtain supplies, labour disputes, strikes, measures of any public or governmental authority, including applicable laws, ordinances, rules and regulations.
12.3 In the event of such Force Majeure, the affected Party shall promptly notify the other Party in writing. If the force majeure lasts more than 60 days, the Party unaffected by the Force Majeure shall have the right to terminate the Agreement; the notice of termination shall be made according to Article 15 of this Agreement.
Article 13 Confidentiality
13.1 Confidential Information will include all information of any nature protected or not by an intellectual property right (for example data, documents, methods, know-how, etc.) whatever their subject, transmission mode, origin, communicated within the frame of this Agreement. Confidential information does not include information for which the receiving Party can duly demonstrate that it was:
(i) generally known to the public at the time of disclosure,
(ii) already in the receiving Party’s possession at the time of disclosure by the disclosing Party,
(iii) disclosed to the receiving Party on a non-confidential basis by a Third Party having the right to make such disclosure,
(iv) independently developed by the receiving Party without the use of Confidential Information,
(v) required to disclose the Confidential Information to the Judicial or Administrative Authorities pursuant to an obligation under the law or regulation, or by the Judicial or Administrative Authorities themselves or in the course of inspections or enquiries by EU Federal or State regulatory agencies to whose jurisdiction one or both Parties are subject to; in such case, the Party receiving the obligation shall promptly inform the other Party in writing prior to disclosure as to the timing and manner of such disclosure; if such prior notice is objectively impossible, notice shall be given immediately thereafter in order to limit disclosure as much as possible.
13.2 The receiving Party shall exercise due care to prevent the unauthorized disclosure of Confidential Information received from the other Party and shall not use Confidential Information received from the other Party for any purpose other than that set forth in this Agreement without prior written approval of the disclosing Party.
13.3 The obligations pursuant to Article 13 shall survive for five (5) years after termination of this Agreement.

Article 14 Term
14.1 The Agreement becomes enforceable when signed by both Parties and is effective for an initial period of two (2) years. An option to extend the Agreement for a further two (2) years may be negotiated by the Parties in good faith.
14.2 Notwithstanding Article 11, in case of any breach of this Agreement, either Party may terminate the Agreement giving sixty (60) days’ notice in writing. In the event of such notice, IZSVe agrees that the Distributor shall be allowed to market all stock produced and containing IZSVe Products for a further six (6) months from the effective date of termination or until the Products are out of stock. In this case the Distributor shall notify IZSVe in writing.
14.3 Following the expiry of the Agreement term, or its termination, any technologies developed by either Party during the period of the contract, using know-how obtained from the other Party, will be available for purchase by either Party from the other following negotiations held in good faith. Failing such purchase the Party willing to commercially utilise any such technologies shall have to pay the other Party a royalty to be negotiated in good faith. Any technologies falling into this category and requiring such discussions will be identified by both Parties at the time of notification of contract expiry or termination.
14.4 Termination of this Agreement shall not relieve either Party from its obligations under Article 13 with regard to information disclosed hereunder.
Article 15 General Provisions
15.1 Any notice required or authorized to be given by either Party to the other Party shall be reduced to writing and shall be deemed effectively served when delivered in hand or deposited in the mail, in a sealed envelope with sufficient postage, registered with return receipt requested or sent by certified mail or email to the other Party and subsequently confirmed in writing, or cable and addressed to the Party to whom such notice is directed at the office address of such Party’s principal place of business, which in the case of IZSVe shall be:

or such other address as either Party shall hereafter communicate to the other Party by written notice, as herein provided.
15.2 This Agreement shall constitute the entire Agreement between the Parties relating to the subject matter hereof and shall supersede and annul any prior written and oral understanding, agreement, representation or warranty.
15.3 This Agreement shall be amended only in writing and signed by duly authorized officers of each Party.
15.4 The failure of either Party to enforce at any time or for any period of time any of the provisions of this Agreement shall not be construed as a waiver of such provisions or of the right of the Party to thereafter seek enforcement of each and every such provision.
15.5 If one or more of the provisions of this Agreement should be or become invalid or impracticable, the validity of the remaining provisions shall not be affected. The Parties shall in good faith make any effort to replace the invalid or impracticable provision by an effective provision which most closely approximates to the purpose of this Agreement.
Article 16
Use of Trademarks
16.1 The Distributor shall make use of the IZSVe trademarks, trade names and any other symbol but with the sole purpose of identifying, distributing and advertising the Products. In addition to the IZSVe trademark, the Products to be distributed may also be marked with the Distributor’s own distinctive sign(s) and/or logo. Any other trade initiative foreseeing the use of the trademark or other distinctive signs of the IZSVe must be authorized in writing by the latter in advance.
16.2 In any case, the Distributor shall promptly inform IZSVe of any and every infringement which should come to its knowledge, regarding the IZSVe trademarks or other intellectual or industrial property rights, know-how included, made in the Territory.
16.3 The Distributor shall cease any use of the trademarks, names, or other distinctive signs of the IZSVe upon termination, for any reason, of this Agreement, except as provided in Article 14.2 limited to the use of any stocks in inventory.
16.4 The Distributor hereby agrees neither to register nor to have registered any trademarks, trade name or symbols of IZSVe nor any trademarks, trade names or symbols of the Supplier that may be confused with the IZSVe’s ones in the Territory or elsewhere.
16.5 All intellectual property rights related to the logo will remain exclusive property of IZSVe; particularly, with no limitation, the use of the logo of IZSVe by the Distributor will not transfer any rights or titles related to the logo.

Article 17 Assignment
17.1 Neither this Agreement nor any interest hereunder shall be assignable by either Party without the written consent of the other Party, except that IZSVe may, without the consent of the other Party, assign this Agreement to a legal and/or administrative entity whose purpose would be inter alia the commercialization of IZSVe Products. The assignee will assume all obligations and rights of the assignor under this Agreement.
Article 18 Independence
18.1 IZSVe and the Distributor will act at all times as independent contractors. Nothing contained herein shall be construed or applied so as to create the relationship of principal and agent or of employer and employee between IZSVe and the Distributor. Neither Party shall make any commitment or incur any charge or expense in the name of the other Party.
18.2 The Distributor shall operate as an independent dealer, in full and complete autonomy availing itself of its own technical and technological knowledge without any bonds of subordination, purchasing and reselling the products of the Supplier.
18.3 The Distributor shall act in its own name and on its own account and shall have no power to commit the Supplier toward any Third Party. The Distributor may not stipulate advertising contracts or sponsorship using the Supplier’s trademark without its authorization.
18.4 Notwithstanding any other provision, the terms of this Agreement do not limit in any way the IZSVe from meeting its obligations at national and international level in its position as (i) National Reference Laboratory, (ii) European Reference Laboratory, (iii) WOAH Reference Laboratory and (iv) FAO Reference Laboratory.
Article 19 Treatment of Personal Data
19.1 According to and in compliance with the General Data Protection Regulation (EU) 2016/679 (GDPR), the Parties acknowledge and agree to use, process and communicate to any Third Party the Personal Data contained herein, or acquired in any other form during the duration of this Agreement, solely and exclusively in order to carry out the purposes set forth in the Agreement itself or to accomplish the fulfillments connected to it. Each Party authorizes the process of its data solely and exclusively in order to manage the Agreement according to the terms and conditions set forth in the aforementioned law.
Article 20
IZSVe Code of Ethics and Anti-Corruption
20.1 The Parties represent and warrant that they, their owners, directors, officers, employees, sub- contractors and agents will act in full compliance with any applicable anti-corruption law.
20.2 IZSVe declares to adhere to and abide with the Corruption Risks and Transparency Section of the Integrated Plan of Activities and Organization (PIAO), published on the IZSVe website xxxxx://xxx.xxxxxxxxxx.xx/xxxxxxxxxxxxxxx-xxxxxxxxxxx/XX00/xxxxxxxxxxxxxxx.xxx
20.3 The Distributor confirms that it has taken supervisory and control measures to ensure compliance with and implementation of the provision of anticorruption law and in any case not conflicting with the laws in force in Italy.

20.4 The Distributor undertakes to comply with the IZSVe Code of Ethics and Anti-Corruption which can be found at the IZSVe website xxxxx://xxx.xxxxxxxxxx.xx/xxxxxxxxxxxxxxx- trasparente/DL33/atticodice.xml
20.5 Failure to comply with Articles above can lead to serious consequences and to the immediate termination of the Agreement.
Article 21 Governing Law
21.1 This Agreement shall be construed under and interpreted in accordance with the Italian law.
21.2 For all matters not expressly governed by this Agreement, the Parties shall refer exclusively to the regulations in force in the Italian legal system, in particular to the provisions of the Italian Civil Code and to the "General Terms and Conditions of Sale" available on the IZSVe website as amended and/or supplemented.
Article 22 Disputes
22.1 All disputes, controversies or differences which may arise between the Parties out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Court of Padova, Italy.
Article 23 Negotiations
23.1 The Parties expressly declare that this Agreement has been negotiated in its entirety and in each and every part. Therefore, Articles 1341 and 1342 of the Italian Civil Code shall not apply. This deed, drawn up in duplicate, for the use of IZSVe and the Distributor, is read, confirmed and signed.
IN WITNESS WHEREOF, the Parties have caused this Agreement to be executed by their duly authorized representatives.
