IBM パスポート・アドバンテージ・エクスプレスのご契約条件 (以下、「本契約」といいます。) は、適用されるあらゆる

パスポート・アドバンテージ・エクスプレスのご契約条件

「特則」、「ご利用条件」および「取引文書」とともに、お客様が IBM またはビジネス・パートナーから「対象製品」を取得する取引に適用されます。「本契約」は、お客様が「対象製品」を取得する取引に関する完全な合意です。これにより、パスポート・アドバンテージ・エクスプレスに関してお客様および IBM の両当事者間でなされた従前の口頭または書面によるいかなる合意、意思表示、表明、陳述、了承事項、保証、約束、誓約、コミットメントまたは引受も、「本契約」に代わるものとします。

「本契約」、「特則」、「ご利用条件」および「取引文書」の各条件に相違がある場合、「特則」の条件は「本契約」の条件に優先し、「ご利用条件」の条件は「特則」および「本契約」の条件に優先し、また「取引文書」の条件は「本契約」、「ご利用条件」および「特則」に優先するものとします。

「本契約」が成立した場合、1) 法律により禁止されるか、または別段の合意がない限り、信頼できる手段 (例えば、電子イメージ、フォトコピーやファックス) により作成された、「本契約」または「取引文書」の写しは原本と同一とみなされ、また、2)「本契約」に基づき発注されたすべての「対象製品」には「本契約」の条件が適用されるものとします。

第1章共通事項

1.1 契約の構成

「本契約」は、以下の 6 章から構成されます。

第 1 章－共通事項には、契約の構成、「特則」および「取引文書」、定義、受諾、引渡、料金および支払、税金、

「対象製品」、「IBM ビジネス・パートナー」、知的財産権の保護、責任の制限、両当事者の関係に関する一般原則、契約の終了、遵守状況の確認、ならびに地理的範囲および準拠法に関する条件が含まれます。

第 2 章－保証には、「IBM プログラム」に対する保証、「IBM ソフトウェア・サブスクリプション & サポート」および「特定サポート」に対する保証、IBM の「アプライアンス」の「IBM 機械コンポーネント」に対する保証、

「IBM SaaS」に対する保証、ならびに保証の範囲に関する条件が含まれます。

第 3 章－「プログラム」および「サブスクリプション & サポート」には、「IBM プログラム」、仮想化環境における「プログラム」、期限付使用権、「CEO 製品カテゴリー」、ならびに「ソフトウェア・サブスクリプション & サポート」および「特定サポート」に関する条件が含まれます。

第 4 章－「アプライアンス」には、仮想アプライアンス、「プログラムコンポーネント」および「機械コンポーネント」で構成される「アプライアンス」、「プログラムコンポーネント」、ならびに「機械コンポーネント」に関する条件が含まれます。

第 5 章－「IBM SaaS」には、権利の帰属、お客様の使用権、「IBM SaaS」のサブスクリプション、「IBM SaaS」のテクニカル・サポート、「コンテンツ」、ならびに「IBM SaaS」の終了に関する各条項が含まれます。

第 6 章は、各国固有の条件を定めます。

1.2 「特則」および「取引文書」

「対象製品」に関する追加条件は、IBM 所定の「特則」および「取引文書」で規定されます。国によって、「特

則」の名称は、異なる場合があります。一般に、「特則」および「取引文書」（例えば、補足文書、別表、請求書、別紙または付属書等）は、本取引に関する具体的かつ詳細な条件を定めます。お客様は、単一の取引に対して一つまたは複数の「取引文書」を受け取る場合があります。「特則」および「取引文書」は、それらが適用される取引に対してのみ、「本契約」の一部を構成するものとします。各取引は、他の取引から独立した個別の取引です。

1.3 定義

(1) 「アニバーサリー・デート (更新日)」とは、「本契約」の「発効日」が月の一日である場合には、その応当日をいい、その他の場合は、応当日の翌月一日をいいます。

(2) 「アプライアンス」とは、汎用コンピューティング・タスクのためではなく特定機能のために設計され、IBMがお客様に提供する、「プログラム」(「仮想アプライアンス」の場合) 、または「プログラムコンポーネント」、「機械コンポーネント」および「機械コード・コンポーネント」から構成される「対象製品」をいいます。

(3) 「監査レポート」とは、「IBM License Metric Tool」（以下、「ILMT」といいます。) により、または xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx に記載の IBM が認めるその他の方法によって提供されるレポート一式をいいます。「サブキャパシティー対象製品」で利用可能な「仮想化キャパシティー」に基づく、「プロセッサー・バリュー・ユニット（PVU）」のライセンス要件は、これらのレポートで提供されます。

(4) 「CEO ユーザー」とは、「対象製品」の製品グループである CEO の製品カテゴリー（以下、「CEO 製品カテゴリー」といいます。）の「プログラム」の複製、使用または使用の拡大が可能な 1 台の機械を割り当てられている個人をいいます。

(5) 「コンテンツ」とは、お客様またはお客様に許可されたあらゆるユーザーが作成、提供、アップロードまたは転送した「個人情報」、HTML ファイル、スクリプト、プログラム、記録、音声、音楽、グラフィック、イメージ、アプレットまたはサーブレット等の情報、ソフトウェアおよびデータをいいます。

(6) 「お客様」とは、「対象製品」を注文するお客様の「エンタープライズ」をいいます。

(7) 「カスタマー・セットアップ機械コンポーネント」とは、「IBM 機械コンポーネント」で、ともに提供される説明書に従ってお客様自身が据付を行うものをいいます。

(8) 「引渡日」とは、

「カスタマー・セットアップ機械コンポーネント」の場合は、お客様の「アプライアンス」の納品書または領収書の日付を「引渡日」とします。ただし、IBM またはお客様のビジネス・パートナーがお客様に対してこれと異なる通知をした場合を除きます。

IBM が据付ける「IBM 機械コンポーネント」の場合は、IBM が据付けた日の翌営業日、またはお客様が据付を延期した場合は、据付可能日の翌営業日とします。

(9) 「発効日」とは、お客様から直接、またはお客様のビジネス・パートナーから、お客様の「対象製品」の注文を IBM が受理した日をいいます。

(10) 「対象オペレーティング・システム・テクノロジー」とは、 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx に記載されている「サブキャパシティー・ライセンス」を適用することが可能なオペレーティング・システムをいいます。

(11) 「対象プロセッサー・テクノロジー」とは、 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx に記載されている「サブキャパシティー・ライセンス」を適用することが可能なプロセッサー・テクノロジーをいいます。

(12) 「対象製品」とは、一般的に入手可能な「IBM プログラム」、「第三者プログラム」、「特定サポート」、

「プログラム」使用許諾範囲の増加許諾、「IBM プログラム・トレードアップ」、「第三者プログラム・ト

レードアップ」、「IBM 継続ソフトウェア・サブスクリプション & サポート」、「IBM 新規ソフトウェア・サブスクリプション & サポート」、「第三者継続ソフトウェア・サブスクリプション & サポート」、「第三者新規ソフトウェア・サブスクリプション & サポート」、「特定サポート」の更新、「IBM のSoftware as a

Service」および「アプライアンス」をいいます。

(13) 「対象サブキャパシティー製品」とは、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx

に記載されている「サブキャパシティー・ライセンス」を適用することが可能な「製品」をいいます。

(14) 「対象仮想化環境」とは、「対象プロセッサー・テクノロジー」、「対象オペレーティング・システム・テクノロジー」および「対象仮想化テクノロジー」が含まれる、単一コンピューティング環境として稼働するサーバーまたはサーバー群をいいます。

(15) 「対象仮想化テクノロジー」とは、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx に記載されている「サブキャパシティー・ライセンス」を適用することが可能な仮想化テクノロジーをいいます。

「対象仮想化テクノロジー」は、プロセッサー能力を、物理キャパシティー全体のサブセット(区画、LPAR、または仮想マシンともいいます。) に制限することが可能です。

(16) 「技術変更」とは、「機械コンポーネント」の部品または「機械コード・コンポーネント」の設計等を含む、導入済みの「機械コンポーネント」の一部の設計を変更する更新をいいます。

(17) 「エンタープライズ」とは、お客様の登録された「サイト」の過半数を超える議決権を所有するか、お客様の登録された「サイト」により過半数を超える議決権を所有されるか、またはそれらの法人もしくは団体が過半数を超える議決権を所有する法人もしくは団体をいいます。

(18) 「特定期間」とは、例えば、「プログラム」の「パスポート・アドバンテージ証書」などの「取引文書」において IBM が定める一定期間をいいます。

(19) 「フルキャパシティー」とは、サーバー上で、活動化され使用可能な物理プロセッサー・コアの総数をいいます。

(20) 「IBM」とは、「対象製品」を提供する IBM の「エンタープライズ」の法人または団体をいいます。

(21) 「IBM ビジネス・パートナー」とは、「対象商品」の販売促進、販売および取引内容によってはサポートのために IBM が契約を締結した法人をいいます。

(22) 「IBM 機械コンポーネント」とは、IBM のロゴが付いている「機械コンポーネント」をいいます。

(23) 「IBM プログラム」とは、「本契約」および「LI」を含む「IPLA」に基づき取得される「プログラム」をいいます。

(24) 「IBM の Software as a Service」(以下、「IBM SaaS」といいます。) とは、IBM が、 (i)「プログラム」の機能、(ii) インフラストラクチャーおよび (iii) テクニカル・サポートをインターネット経由でお客様に提供するオファリングをいいます。「IBM SaaS」は、「プログラム」ではありませんが、利用するためには、お客様による前提ソフトウェアの導入を必要とします。「IBM SaaS」は、「対象製品」です。

(25) 「IBM SaaS ユーザー」とは、お客様の「IBM SaaS」アカウントに関連し、お客様により提供されたユーザー・アカウント ID およびパスワードを使用して「IBM SaaS」にアクセスする個人をいいます。

(26) 「IBM ソフトウェア・サブスクリプション & サポート」とは、「IPLA」に基づき許諾された「IBM プログラム」に提供されるソフトウェア・サブスクリプションおよびサポートをいいます。詳細は、3.5.1 「IBM ソフトウェア・サブスクリプション & サポート」に規定されます。

(27) 「IPLA」とは、「IBM プログラムのご使用条件」をいいます。「IPLA」は、各「IBM プログラム」ごとの

「プログラム」のディレクトリー、「License」と題するライブラリー、小冊子または CD に添付されます。また、インターネットの xxxx://xxx.xxx.xxx/xxxxxxxx/xxx から、または IBM もしくは IBM ビジネス・パートナーからも入手可能です。

(28) 「ライセンス情報」(以下、「LI」といいます。) とは、「プログラム」に固有の情報および追加条件を定める文書をいいます。「プログラム」の「LI」は、xxxx://xxx.xxx.xxx/xxxxxxxx/xxx/ から入手可能です。「LI」は、システム・コマンドにより、「プログラム」のディレクトリーから、または「プログラム」に添付される小冊子から確認することもできます。

(29) 「機械コード・コンポーネント」とは、「仕様書」で定められた「機械コンポーネント」の機能を実行するために、「IBM 機械コンポーネント」とともに提供されるマイクロコード、基本入出力システム（BIOS）、ユーティリティー・プログラム、デバイス・ドライバー、診断プログラムおよびその他のコード (適用されるライセンス条件における例外規定に従います。) をいいます。

(30) 「機械コンポーネント」とは、ハードウェア・デバイス、その機構、コンバージョン、「アップグレード」、要素もしくは付属品、またはそれらの組み合わせをいいます。「機械コンポーネント」には、IBM がお客様に提供する「IBM 機械コンポーネント」および第三者の「機械コンポーネント」(その他の装置も含みます。) が含まれます。

(31) 「第三者プログラム」とは、第三者が定める使用許諾条件に基づき使用許諾される「プログラム」をいい、かかる条件は「プログラム」に付属します。IBM は第三者の使用許諾契約の当事者ではなく、かかる契約に基づくいかなる義務も負いません。

(32) 「個人情報」とは、特定の個人を識別することができる名前、電子メール・アドレス、住所、または電話番号等のあらゆる情報で、IBM に提供され、保管、処理、またはお客様のために再提供される情報をいいます。

(33) 「プロセッサー・チップ」とは、「プロセッサー・ソケット」に差し込まれる一つまたは複数の「プロセッサー・コア」が搭載された電子回路をいいます。

(34) 「プロセッサー・コア」とは、コンピューティング装置に搭載された物理的機能単位のうち、少なくとも一つの命令制御装置および一つまたは複数の論理演算装置で構成され、プログラム命令を解釈および実行するものをいいます。マルチコア・テクノロジーでは、単一の「プロセッサー・チップ」に複数の「プロセッサー・コア」を実装することが可能です。「System z Integrated Facility for Linux (IFL)」エンジンは、単一の「プロセッサー・コア」とみなされます。

(35) 「プロセッサー・ソケット」とは、「プロセッサー・チップ」を搭載する電子回路をいいます。

(36) 「プロセッサー・バリュー・ユニット」(以下、「PVU」といいます。) とは、「プロセッサー・コア」に処理能力に応じた値を割り当てる IBM の課金単位をいいます。「プロセッサー・バリュー・ユニット」ライセンスモデルは、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxx_xxxxxxxxx_xxx_xxxxxxxxx.xxxx で説明されます。

(37) 「プログラム」とは、プログラムの原本およびその複製物（部分的複製物および他のプログラムに結合された

複製物を含みます｡）をいいます｡「プログラム」には 1) 機械で読み取ることができる形式の命令およびデータ、

2) 構成要素、3) 視聴覚コンテンツ (イメージ、テキスト、録音または画像など)、4) 関連するライセンス資料、ならびに 5) ライセンス・ユース・ドキュメントまたはキー、および付属文書が含まれます。

(38) 「プログラムコンポーネント」とは、「機械コンポーネント」にプリインストールされた「IBM プログラム」または「第三者プログラム」をいいます。

(39) 「パスポート・アドバンテージ・エクスプレス証書」(以下、「PoE」といいます。) とは、IBM が「対象製

品」の使用許諾の範囲を指定する文書をいいます。「PoE」は、該当の支払済み請求書または納品書とともに、お客様の使用許諾範囲の証憑となります。

(40) 「特定プログラム」とは、「第三者プログラム」または「IBM プログラムのご使用条件（保証適用外プログラム用）」に基づき使用許諾される「IBM プログラム」をいいます。

(41) 「特定サポート」とは、IBM が指定する「特定プログラム」に対する「サポート」をいいます。

(42) 「サービス・プロバイダー」とは、IT サービスを、直接またはリセラー経由で、エンド・ユーザーとなる顧客に提供する事業者をいいます。

(43) 「サイト」とは、お客様が IBM または「IBM ビジネス・パートナー」に申請する、物理的所在地、または事業部、子会社、もしくは購買などの部門で定義される組織をいいます。IBM はこれに対して「パスポート・アドバンテージ・エクスプレス・サイト番号」を割り当てます。

(44) 「仕様書」とは、「機械コンポーネント」固有の情報をいいます。「IBM 機械コンポーネント」の「仕様書」は「Official Published Specifications」と題する文書で記述されます。

(45) 「サブキャパシティー・ライセンス」とは、「仮想化キャパシティー」に基づいた「対象サブキャパシティー製品」の使用許諾をいいます。

(46) 「サブスクリプション期間」とは、適用される「取引文書」で定められる、お客様が「IBM SaaS」を利用できる期間をいいます。

(47) 「期間」とは、初年度の場合は IBM がお客様からの初回の注文を受理した日から、2 年目以降の場合は「アニバーサリー・デート」から、次の「アニバーサリー・デート」の前日までの期間をいいます。

(48) 「ご利用条件（ToU）」とは、IBM が「IBM SaaS」オファリングをお客様に対して提供する場合に適用される追加条件であり、xxxx://xxx.xxx.xxx/xxxxxxxx/xxx/xxxxx.xxx/xxx/xxx/ で確認することができます。

(49) 「第三者ソフトウェア・サブスクリプション & サポート」とは、「第三者プログラム」に対する第三者の条件に基づき提供されるソフトウェア・サブスクリプション & サポートをいいます。詳細は、3.5.1 （ソフトウェア・サブスクリプション & サポート）に規定されます。

(50) 「アップグレード」とは、「機械コンポーネント」のリソースまたは機能を変更、追加、取り外し、有効化または無効化する、「機械コンポーネント」に対する変更をいいます。かかる各変更は、「機械コンポーネント」のコンバージョンにより、または「機械コンポーネント」の機能の交換、追加、取り外しもしくはコン

バージョンにより行われますが、「機械コンポーネント」に対して IBM が発表およびサポートする範囲に限るものとします。

(51) 「仮想化キャパシティー」とは、「対象仮想化環境」に「対象サブキャパシティー製品」を導入した際に、その製品に割り当てられている最大のプロセッサー・キャパシティーをいいます。各「対象仮想化環境」の「仮想化キャパシティー」の計算方法は、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx に記載されます。

1.4 受諾

お客様は、「対象製品」を IBM またはビジネス・パートナーから取得することにより、修正なしに「本契約」に同意したこととみなされます。お客様からの注文または書面での意思表示による条件の追加または変更は、無効とします。次のいずれかの方法により IBM がお客様からの注文を受諾する時から、｢対象製品」には、「本契約」が適用されます。1）お客様への「取引文書」の送付、2）お客様への「プログラム」の使用可能化もしくは「IBM SaaS」の利用可能化、もしくは「アプライアンス」の出荷、または 3）サポート、サービスもしくはソリューションの提供。

いずれかの当事者が要求する場合、両当事者は「特則」または「取引文書」に署名または記名押印するものとします。

1.5 引渡

輸送費がかかる場合には、「取引文書」に明記されます。有形媒体で提供される「プログラム」については、両当事者が別途書面で合意した場合を除き、当該プログラムの IBM 指定の運送業者への引き渡しをもって、その出荷および引渡義務は履行されたものとします。

1.6 料金および支払

a. お客様がビジネス・パートナーから「対象製品」を取得した場合、お客様はビジネス・パートナーに対して料金を直接支払うものとします。

b. お客様が IBM から「対象製品」を取得した場合は、お客様は、IBM の請求書またはそれに相当する文書の定めに従って、料金 (延滞料金を含みます。) を支払うものとします。

c. 「プログラム」の使用権に対する料金は、使用権の種類によって、一括払い料金または「特定期間」に対する使用料金のいずれかになります。

1.7 税金

お客様が、「対象製品」を、海外に移転、利用または使用した結果、関税、税金、賦課金または手数料（かかる「対象製品」の輸出入に対する源泉税も含みます。）が課せられる場合は、お客様は、かかる関税、税金、賦課金または手数料を支払うことに同意するものとします。ただし、IBM の所得に基づく税金等は除きます。

1.8 「対象製品」

IBM は、いつでも、「対象製品」を追加または営業活動を終了することができるものとします。

IBM が「対象製品」または「対象製品」の特定バージョンの営業活動を終了した場合、かかる営業活動終了の日以

降は、お客様は IBM の書面による事前の同意なしにその使用許諾範囲を増やすことはできないものとします。なお、

IBM は合理的な理由なくこの同意を留保しないものとします。

1.9 「IBM ビジネス・パートナー」

お客様は、IBM からの「対象製品」の取得のほか、「IBM ビジネス・パートナー」からもそれらを取得することができます。ただし、すべての「IBM ビジネス・パートナー」がすべての「対象製品」の再販売を認められているわけではありません。

お客様がお客様の「IBM ビジネス・パートナー」に「対象製品」を発注した場合、IBM は、1)「IBM ビジネス･パートナー」の行為、2)「IBM ビジネス･パートナー」がお客様に対して負う追加的義務、および 3)「IBM ビジネス･

パートナー」とお客様が独自に締結した契約に基づいて提供される製品またはサービス、については責任を負いません。お客様が「IBM ビジネス･パートナー」から「対象製品」を取得される場合、当該「IBM ビジネス･パート

ナー」が料金および支払条件を設定します。

1.10 知的財産権の保護

この 1.10 において、「製品」とは、「IBM プログラム」および「機械コード・コンポーネント」または「IBM 機械コンポーネント」を意味するものとします。

1.10.1 第三者からの請求

「製品」が、第三者の特許権または著作権を侵害するものとして第三者から請求がなされた場合、IBM は、お客様が次のすべての条件を満たす場合に限り、自己の費用負担でかかる請求からお客様を防御し、裁判または IBM が事前に認めた和解で確定した、すべての費用、損害賠償金および弁護士報酬を支払います。

a. 書面でxxxxに請求の事実および内容を IBM に通知すること。

b. IBM にその防御および関連する和解交渉権限を与え、かつ IBM に協力すること。

c. 「製品」に適用されるライセンス、その他の条件および以下（救済措置）で定めるお客様の義務をお客様が遵守し続けること。

1.10.2 救済措置

第三者から請求が行われた場合またはそのおそれがあると IBM が判断した場合、IBM は、i) お客様が「製品」を継続使用できる権利を取得するか、ii) 「製品」を修正するか、または iii) 「製品」と機能上同等な製品と交換するかのいずれかを選択できます。ただし、IBM が、いずれの方法も合理的にとれないと判断したときは、IBM からの書面による要請に応じ、お客様は、「製品」を IBM に返却するものとします。この場合、IBM は、お客様にお客様がかかる「製品」対して IBM に支払った対価 (「製品」が「IBM SaaS」または「特定期間」に対する料金の場合、12 カ月分の料金とします。) を以降の支払いと相殺または返金します。

1.10.3 IBM が責任を負わない請求

IBM は、以下のいずれかに起因または関連する請求に対しては、責任を負いません。

a. お客様もしくは第三者がお客様の代りに提供したものを「製品」に組み込まれたことによる場合、または、お客様もしくは第三者がお客様の代りに提供した設計、仕様または指示に IBM が従ったことによる場合

b. お客様または第三者がお客様に代わり「製品」を改造したことによる場合

c. 適用されるライセンス条件または制限に従わない「製品」の使用による場合、または、現行のバージョンまたはリリースを使用することで請求を防ぐことができる範囲において、現行のバージョンまたはリリース以外の「製品」を使用したことによる場合

d. 「製品」を、何らかの「製品」、機器、データ、装置またはビジネス方法もしくは手法とともに結合、操作または使用したことによる場合

e. 「製品」をお客様の「エンタープライズ」の外もしくは第三者の利益のために配布、操作または使用したことによる場合

f. 「独立ライセンス・コード」による場合。「独立ライセンス・コード」がある場合は、「製品」の「LI」で特定されます。

「製品」の「LI」またはその他の文書により、お客様は、IBM に対して追加のライセンス費用を支払うことなく、

「製品」の全部または一部を、複製、変更または再配布することを認められる場合があります。「本契約」に基づく補償責任は、IBM からお客様に対して提供された「製品」の複製および「PoE」において明示的に認められた追加の複製に対してのみ適用されます。IBM は、「製品」の「LI」またはその他の文書の規定にかかわらず、IBM が提供したものではない「製品」の複製、または「PoE」において明確に認められていない「製品」の複製に関する第三者からの請求に対して、責任を負いません。

本条 (知的財産権の保護) は、第三者からの知的財産権に関する請求に対する IBM の責任およびお客様に対する救済措置のすべてを規定したものです。本条（知的財産権の保護）は、「製品」に含まれ、またはその一部であるコード (「独立ライセンス・コード」を含みます。) の第三者である供給者に、何らの形態においても義務を課すものではありません。

1.11 責任の制限

本 1.11 (責任の制限) で定める制限および適用除外は、強行法規により禁止されない範囲で、適用されます。

1.11.1 IBM が責任を負う事項

お客様が IBM の債務不履行または IBM の責に帰すべき事由に基づいて救済を求める状況が生じた場合、IBM の損害賠償責任は、以下のとおりとします。お客様が IBM の責に帰すべき事由 (債務不履行、過失、不実表示または不法行為などを含みます。) に基づく損害に対して救済を求める場合、「対象製品」に起因または関連する、または「本契約」の下で提起される IBM の賠償責任総額は、請求の原因を問わず、現実に発生した通常かつ直接の損害に対し、

(1) 100,000 米ドル (もしくは現地通貨による同等の金額) または (2) 損害発生の直接原因となった「対象製品」の料金相当額 (「対象製品」が「IBM SaaS」または「特定期間」に対する料金の対象の場合、12 カ月分の料金とします。)のうち、いずれか高い金額を限度とする金銭賠償責任に限られます。

この責任の制限は、IBM の「対象製品」の開発者および供給者にも適用されます。お客様は、IBM、「対象製品」の開発者および供給者に対して重複して損害賠償を請求することはできません。IBM の責に基づく死亡を含む人身損害および不動産または有体動産に対する損害に対しては、損害賠償上限額の適用はありません。

1.11.2 IBM が責任を負わない事項

いかなる場合においても、IBM、IBM の「対象製品」の開発者または供給者は、その予見の有無を問わず、発生した以下の損害については賠償責任を負いません。

a. データの喪失または損壊

b. 特別損害、付随的損賠、懲罰的損害、間接損害、その他の拡大損害

c. 逸失利益、機会損失、逸失収益、信用毀損、節約すべかりし費用

1.12 両当事者の関係に関する一般原則

1.12.1 通知および連絡

両当事者は、「本契約」に基づくビジネス関係に関して相手方と電子的手段またはファックス送信により通信することができ、これらの通信は適用される法律が許容する範囲で署名または記名押印された書面とみなされます。電子文書に含まれる識別コード (ユーザー ID) は、送信者の識別と文書の信憑性を証明するのに十分なものとします。

1.12.2 譲渡および転売

いずれの当事者も相手方の事前の書面による同意なしに、「本契約」の全部または一部を譲渡できないものとします。相手方の同意なくして試みられた譲渡は無効とします。ただし、「本契約」の全体または一部を、自己の「エンタープライズ」内で譲渡する場合、または合併などによる存続会社への承継の場合には、相手方の同意を必要としません。 IBM はまた、「本契約」に基づく金銭債権を、お客様の同意を得ることなく譲渡することができるものとします。 IBM がすべてのお客様に同様に影響を及ぼすような方法で事業の一部を売却することは、譲渡とみなされません。

お客様は、「対象製品」を、お客様の「エンタープライズ」内に限り使用するものとし、「対象製品」を第三者に再販、賃貸、リース、または移転することはできません。これらの規定に違反する試みは無効とします。

1.12.3 法令遵守

IBM は、IT 製品およびサービスのプロバイダーとして一般に適用される法令を遵守します。IBM は、「本契約」に

基づきお客様が取得する「対象製品」に関するものを含め、お客様の事業に適用される法令に基づく要求事項の決定、および、「本契約」に基づき IBM が提供しお客様が受領する特定の「対象製品」がかかる法令の要求事項を満たす

かどうかについて責任を負わないものとします。「本契約」のいかなる規定にもかかわらず、いずれの当事者も自己が法令違反となるいかなる行為を行う義務を課されることはないものとします。

両当事者は、特定用途または特定ユーザーへの輸出を禁止する米国、日本およびその他の国の輸出管理関連規制を含む、適用される輸出入管理法規を遵守するものとします。

1.12.4 紛争の解決

いずれの当事者も相手方に「本契約」の違反が生じた場合には、相当期間を定めて相手方にその是正を催告するものとします。「本契約」に関して紛争、意見の相違、その他請求が生じた場合は、当事者双方がxxxxの原則に従って協議するものとします。強行法規に別段の定めのある場合を除き、i) いずれの当事者も、「本契約」または「本契約」に基づく取引に起因または関係するいかなる請求権も、原因となる行為の発生から 2 年を経過した後は、相手方に対して法的手段を行使できないものとし、ii) かかる期間経過後は、「本契約」または「本契約」に基づく取引に起因する法的手段およびかかる手段に関係する権利は消滅するものとします。

1.12.5 両当事者の関係に関するその他の原則

a. いずれの当事者も相手方に対し書面で事前に同意しない限り、自己の（または自己の「エンタープライズ」の）商標、商号その他の名称を使用する権利を付与することはないものとします。

b. 機密情報を取り交わす場合は、別途、機密保持契約を締結するものとします。ただし、機密情報の授受が「本契約」に基づく「対象製品」と関連する場合、「本契約」に組み込まれる機密保持契約に従うものとします。

c. 「本契約」および「本契約」に基づくいかなる取引も、お客様と IBM の間で代理、共同事業またはパートナー関係を成立させるものではありません。また、いずれの当事者も競合する製品またはサービスの開発、取得または提供に関して他者と同様の契約を行うことにいかなる制約も受けないものとします。

d. お客様は、IBM コーポレーション、その関連会社、それらの承継人、委託先またはビジネス・パートナーが、事業活動を行う場所において、お客様の連絡先情報を保管しまた使用することに同意します。当該情報は「対象製品」に関係し、またはお客様とのビジネス関係の促進のため利用されるものとします。

e. 「本契約」または「本契約」に基づくいかなる取引も、第三者に対していかなる訴権または請求権をも生じさせるものではなく、またお客様に対する第三者からの賠償請求について IBM が責任を負うものではありません。ただし、1.11 (責任の制限) で認められた、IBM が法的に責任を有する身体、生命および有体物に対する第三者への賠償責任は除きます。

f. お客様の商習慣および業務に関する推奨を実行するかの判断を含めて、お客様のニーズに適した「対象製品」の選択と、お客様による「対象製品」の使用結果はお客様の責任とします。

g. 「対象製品」は、営利目的で第三者にホスティング・サービスまたはその他の情報技術サービスを提供するために使用することはできないものとします。

h. 「本契約」に基づくいずれかの当事者の同意または承認は、合理的な理由なしに遅延または留保されないものとします。

i. いずれの当事者も、金銭債務以外は不可抗力による不履行の責任を負わないものとします。

j. お客様は、お客様による「IBM SaaS」の利用につき IBM のご利用条件 (xxxx://xxx.xxx.xxx/xxxxxxxx/xx/xxx/xxxx/xxx.xxxx) および適用されるデータ保護に関する法律に従うことに同意するものとします。

k. 「本契約」に基づく義務をIBM が履行するために、お客様は合理的に必要な範囲で、無償で安全かつ十分なお客様の施設、システム、情報、人員および資源の提供（リモート・アクセスの提供も含みます。）を行うものとします。IBM は、お客様のかかる提供、その他「本契約」に基づくお客様の義務履行の遅れから生じる履行遅延または不履行につき責任を負わないものとします。

l. 「特則」、「ご利用条件」および「取引文書」を含む、「本契約」の締結にあたって、いずれの当事者も、「本契約」に明記されないいかなる表明にも依拠しないものとします。かかる表明には、i)「対象製品」の性能または機能（「本契約」で明示的に保証されているものを除きます。）、ii) 相手方当事者の経験または推奨、iii) お客様が達成し得る効果または節減が含まれますが、これらに限定されません。

1.13 契約の終了

IBM は、「ソフトウェア・サブスクリプション & サポート」の初回の期間または初回の「IBM SaaS サブスクリプション期間」が満了した後はいつでも、また理由のいかんを問わず、通知することなく直ちに「本契約」を終了することができるものとします。かかる終了を通知する前に、お客様が「IBM プログラム」または「IBM SaaS」の「ソフトウェア・サブスクリプション & サポート」を更新した場合、IBM はその裁量で、その時点での有効期間の残存期間に対して、当該「プログラム」または「IBM SaaS」オファリングの「ソフトウェア・サブスクリプション & サポート」を継続して提供するか、またはお客様に対し按分により返金するものとします。終了を通知する前に、お客様が「第三者プログラム」の「第三者ソフトウェア・サブスクリプション & サポート」を更新した場合、当該第三者は、更新済み期間の終了まで、当該プログラムに対する「第三者ソフトウェア・サブスクリプション & サポー

ト」をお客様に対して継続して提供するものとします。ただし、第三者がかかる提供を行わない場合、お客様に対し按分により返金するものとします。

有効な「ソフトウェア・サブスクリプション & サポート」が存在しなくなった場合、お客様は「本契約」を解約したものとみなされます。いずれの当事者も、相手方が「本契約」に違反した場合は、相手方に書面で相当期間を定めてその是正を催告するものとし、かかる期間内に是正されない場合、「本契約」を解約できるものとします。

「本契約」終了後もその性質上残存すべき条項は、履行が完了するまで有効に存続するものとし、また「本契約」の譲受人もしくは承継人に対しても適用されます。

1.14 遵守状況の確認

この 1.14 (遵守状況の確認) において、「パスポート・アドバンテージ・エクスプレスのご契約条件」とは、1) 「本契約」、適用される「特則」、「取引文書」および IBM が定める「ご利用条件」、ならびに 2) IBM ソフトウェア・ポリシー (バックアップ、サブキャパシティーの料金設定、マイグレーションに関するポリシーを含みますが、これらに限定されません。IBM ソフトウェア・ポリシーのウェブサイト (xxxx://xxx.xxx.xxx/xxxxxxxxxxxxxxxx/) で閲覧できます。) を意味します。

1.14 で定める権利および義務は、お客様が「対象製品」を保有または管理している期間中、およびその後 2 年間、有効に存続します。

1.14.1 確認手順

お客様は、適用される IBM の使用許諾条件および料金設定条件を含む「パスポート・アドバンテージ・エクスプレスのご契約条件」を遵守して「対象製品」を使用していることを証明するために十分な、書面による正確な記録、システム・ツールからの出力、およびその他のシステム情報を作成、保持し、IBM およびその監査人に提供することに同意するものとします。お客様は、1) 使用許諾範囲を超えないことの確認、および 2)「パスポート・アドバン

テージ・エクスプレスのご契約条件」を遵守し続けることにつき、責任を負うものとします。

IBM は、相当な通知を行った上で、すべての「サイト」において、「対象製品」を使用（その目的は問いませ

ん。）するすべての環境で、お客様が「パスポート・アドバンテージ・エクスプレスのご契約条件」の条件に従って「対象製品」を使用しているか、その遵守状況を確認できるものとします。かかる確認は、お客様の通常業務時間内に、必要な場合にはお客様の施設内において、お客様の業務に差し支えない方法で行われるものとします。IBM は、当該確認のため、独立監査人を使用することができるものとし、当該監査人との間で書面による機密保持契約を締結します。

1.14.2 解決

かかる確認の結果、「対象製品」が使用許諾された範囲を超えて使用されていること、またはお客様が「パスポート・アドバンテージ・エクスプレスのご契約条件」を遵守していないことが判明した場合、IBM はお客様に書面でその旨通知するものとします。この場合、お客様は、1) 使用許諾範囲の超過分、2) 超過分が使用された期間または 2年間のうちいずれか短い期間に相当する、超過分に対するソフトウェア・サブスクリプション & サポートの料金、ならびに 3) その他の追加料金、および当該確認の結果決定した債務、を IBM に直ちに支払うことに合意するものとします。

1.15 地理的範囲および準拠法

1.15.1 地理的範囲

「本契約」の条件は次の国に適用されます。1) IBM が「対象製品」の営業活動を直接行っている国、または 2)「対象製品」の販売が可能であることが別途発表されている国。

1.15.2 準拠法

いずれの当事者の権利および義務も、取引が履行される国においてのみ有効とし、IBM が合意する場合は、「対象製品」が生産的に使用される国においてのみ有効とします。ただし、明示的にこれと異なる使用許諾がなされた場合を除きます。

両当事者は、法原理の矛盾に関する場合を除き、「本契約」から生じる、または「本契約」に関連する両当事者のすべての権利義務を、規定、解釈、実施するために、取引が履行される国の法律を適用することに同意するものとします。

「本契約」のいずれかの条項が無効または執行不能と判断された場合でも、その他の条項は、有効に存続するものとします。

「本契約」は、消費者保護法規によるお客様の権利を変更するものではありません。

「動産の国際的売買契約に関する国際連合条約」は「本契約」には適用されないものとします。

第2章保証

IBM が別途定めない限り、以下の保証は、取得した国においてのみ適用されます。

2.1 「IBM プログラム」に対する保証

「IBM プログラム」に対する保証は、当該「IBM プログラム」の使用許諾契約に記載されます。

2.2 「IBM ソフトウェア・サブスクリプション & サポート」および「特定サポート」に対する保証

IBM は、相応な注意およびスキルをもって、「IBM ソフトウェア・サブスクリプション & サポート」および「特定サポート」を提供することを保証します。

2.3 IBM の「アプライアンス」の「IBM 機械コンポーネント」に対する保証

IBM は、「IBM 機械コンポーネント」が所定の「仕様」どおり良好に稼働することを保証します。

「IBM 機械コンポーネント」の保証期間は、「引渡日」(「保証開始日」ともいいます。) を開始日とする所定の期間で、「取引文書」で定められます。保証期間中、IBM は、「IBM 機械コンポーネント」に対し、「取引文書」で IBM が指定するサービスの種類に基づき、修理および交換サービスを無償で提供します。「IBM 機械コンポーネント」が、保証期間中に、保証どおりに機能しない場合において、IBM が、i) 保証どおりに機能させるか、ii) 機能的に同等の「機械コンポーネント」と交換することができないときには、お客様は、取得元に当該「IBM 機械コンポーネント」を返却し、返金を受けることができます。

IBM が据付ける「IBM 機械コンポーネント」を、お客様が自ら据付、または第三者に据付けさせる場合、IBM は、

「IBM 機械コンポーネント」に対する保証サービスの提供に先立ち、お客様の費用負担により、当該「IBM 機械コンポーネント」を検査することができます。IBM が、「IBM 機械コンポーネント」が、保証サービスを受けることのできる状態にないとその裁量で判断する場合、お客様は、IBM に対し当該「IBM 機械コンポーネント」の保証

サービスを受けることのできる状態に修復するよう要求すること、または保証サービスの要求を撤回することができます。修復が可能か否かは IBM の裁量で決定されるものとします。修復は、有償サービスとして提供されます。

「IBM 機械コンポーネント」が、保証期間中に、保証どおり機能しない場合、サポート、支援および問題判別手順に関して、当該「IBM 機械コンポーネント」とともに出荷されるサービス文書を参照するものとし、

お客様がサービス文書により問題を解決することができない場合は、IBM またはビジネス・パートナーに連絡し、保証サービスを受けるものとします。IBM の連絡先は、「IBM 機械コンポーネント」とともに出荷される保証情報に記載されます。お客様が、「IBM 機械コンポーネント」を IBM に登録しない場合、お客様は、保証サービスを要求する根拠として、購入証憑の提示を求められる場合があります。

2.4 「IBM SaaS」に対する保証

「IBM SaaS」に対する保証は、「ご利用条件」に記載されます。

2.5 保証の範囲

本条の保証は、保証のすべてを規定したもので、法律上の瑕疵担保責任、商品性の保証、十分な品質の保証、特定目的適合性の保証および第三者の権利の不侵害の保証を含むすべての明示または黙示の保証責任に代わるものとします。

2.3 に定める保証は、次の場合、適用されません。誤用 (IBM が書面で認めていない「機械コンポーネント」の性能または機能の使用等も含みます。)、事故、改造付加、不適切な設備条件もしくは稼働環境での使用、「所定の稼働環境」に合致しない稼働環境での使用、IBM 以外の者によってなされた不適切な保守、または IBM 以外の者の責に帰すべき事由により生じた障害もしくは破損。「機械コンポーネント」またはその部品の識別ラベルを取り外すか、変更した場合、「IBM 機械コンポーネント」に対する保証は、無効となります。

保証の適用除外事項

IBM は、「対象製品」の実行が中断しないこともしくはその実行に誤りがないこと、または、すべての誤りが修正されることは保証しません。

IBM は、保証適用外の「対象製品」を特定します。

第三者の「対象製品」には、「特則」または「取引文書」で別段の指定がない限り、いかなる保証責任または保証条件も適用されません。ただし、第三者の製造元、xxx、供給元または発行元がお客様に対して独自の保証を提供することがあります。

第3章「プログラム」および「サブスクリプション & サポート」

3.1 「IBM プログラム」

「本契約」に基づき取得される「IBM プログラム」には、「IPLA」の条件が適用されます。

3.1.1 バージョンおよびプラットフォーム:

お客様は、「PoE」で使用許諾された範囲内で、一般的に入手可能な「プログラム」およびその関連のマニュアルの各国語版を、「本契約」の条件に基づき、使用することができます。お客様は、「本契約」に基づき取得するプログラム・コードを、IBM がその時点においてプログラム・コードの使用を可能としたプラットフォームまたはオペ

レーティング・システム上で、使用することができます。ただし、お客様が「プログラム」を取得した時に、当該

「プログラム」が特定のプラットフォーム用または特定のオペレーティング・システム用と指定されている場合を除きます。

3.1.2 IBM プログラム・トレードアップ:

特定の「IBM プログラム」を置き換えるための他の「プログラム」の使用権を、割引料金で取得できる場合があります。この場合、お客様は、置き換え後の「プログラム」をインストール後、置き換え前の「IBM プログラム」の使用を終了することに同意するものとします。

3.1.3 第三者プログラム・トレードアップ:

特定の「第三者プログラム」を置き換えるための他の「プログラム」の使用権を、割引料金で取得できる場合があります。この場合、お客様は、置き換え後の「プログラム」をインストール後、置き換え前の「第三者プログラム」の使用を終了することに同意するものとします。

3.2 仮想化環境における「プログラム」

3.2.1 使用権

a. お客様は、「対象サブキャパシティー製品」が利用可能な「仮想化キャパシティー」に基づく PVU 総計に対する「PoE」を取得する必要があります。

b. 「対象サブキャパシティー製品」の「仮想化キャパシティー」を増加する場合、お客様は、当該増加に対応する追加の使用権を「IBM ソフトウェア・サブスクリプション & サポート」とともに事前に取得する必要があります。

c. 「対象製品」の使用量が、使用許諾範囲の限度に満たない場合でも、IBM は、既に支払期日が到来している、または支払済みの料金について、以降の支払いとの相殺または返金を行いません。

3.2.2 IBM の責任

IBM は、以下を提供し、お客様の使用を許諾します。

a. お客様またはお客様の「IBM ビジネス・パートナー」から発注を受けた場合、無償にて「ILMT」を提供します。お客様による「サブキャパシティー・ライセンス」の条件の遵守を目的として、IBM は、お客様に対し、

「ILMT」を提供します。

b. お客様によるかかる「サブキャパシティー・ライセンス」の条件の遵守を支援するため、「ILMT」に付随するインフォメーション・センターを提供します。

お客様は、かかる「サブキャパシティー・ライセンス」の条件の遵守を目的として、「ILMT」およびインフォメーション・センターの複製を作成することができます。

3.2.3 「サブキャパシティー・ライセンス」の条件に基づくお客様の責任

お客様は、以下に同意するものとします。

a. お客様が、「対象仮想化環境」上に「対象サブキャパシティー製品」を最初にインストールしてから 90 日以内に、「ILMT」のインフォメーション・センターに従い、「ILMT」の最新版を導入および設定すること。また、それにより、お客様が「対象サブキャパシティー製品」の「仮想化キャパシティー」のデータを収集し、「サブキャパシティー・ライセンス」の条件に従って「監査レポート」を作成できるようにすること。ただし、この条件は、以下の場合適用されません。

(1) ITLM が「対象仮想化環境」をまだサポートしていない場合。

(2) お客様の「エンタープライズ」の従業員および契約社員の数が 1,000 人未満で、お客様は「サービス・プロバイダー」ではなく、かつ、「対象仮想化環境」の管理契約を「サービス・プロバイダー」と締結していない場合。

(3) サブキャパシティー条件で使用許諾を受けているが、「フルキャパシティー」を元に算出した、お客様のエンタープライズ内の「対象仮想化環境」を有したサーバーの物理キャパシティーの合計が 1,000 PVU 未満である場合。

(4) 「対象サブキャパシティー製品」が、サーバーの「フルキャパシティー」に対して使用許諾されている場合。

これらの例外に該当する場合、「ILMT」の使用は推奨であり、「サブキャパシティー・ライセンス」の必須条件ではありません。ただし、お客様は「ILMT」に代わり、お客様の「対象仮想化環境」を手動で管理および追跡する必要があります。また「ILMT」に代わって、お客様は、暦四半期または会計四半期ごとに、お客様の「対象仮想化環境」に対して、「対象サブキャパシティー製品」による「仮想化キャパシティー」を文書化した「監査レポート」を手動で作成する必要があります。かかる「監査レポート」には、「監査レポート」の見本 ( xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxx/xxxxxxxxxxxxxxxxx/xxxxxxxxxxxxxxx.xxxx で入手できます。) に記載される情報を記入する必要があります。「監査レポート」は、「仮想化キャパシティー」の増加の履歴を維持するために必要な頻度（少なくとも四半期に 1 回）で作成するものとし、「サブキャパシティー・ライセンス」の

条件を継続的に遵守していることを証明するため、最低でも 2 年間保管しておくものとします。

b. お客様は、「ILMT」の新規バージョン、リリース、修正またはコード訂正 (以下、「フィックス」といいま

す。) が IBM から提供された場合、すみやかに導入するものとします。これらが提供された場合に通知を受けるため、お客様は、xxxx://xxx.xxx.xxx/xxxxxxx/xxxxxxxxxxxxxxx の My notification から Tivoli 製品の subscription を申込む必要があります。

c. お客様は、いかなる場合も、直接または間接的に、以下を変更、修正、削除、その他不正確に伝達しないこととします。

(1) 「ILMT」の監査記録

(2) 「ILMT」(IBM による変更を除きます。)

(3) お客様が IBM に提出する「監査レポート」

d. お客様は、少なくとも暦四半期または会計四半期ごとに、「ILMT」により、または手動にて、「監査レポー

ト」を作成し、かかる「監査レポート」を最低でも 2 年間保管し、また、1.14 に定める通知があった場合、かかる「監査レポート」を IBM に提出するものとします。「監査レポート」が作成されない場合、または「監査レポート」を IBM に提出しない場合、「対象サブキャパシティー製品」は、「フルキャパシティー」の条件で課金されるものとします。

e. 「監査レポート」に関する質問、または「監査レポート」の内容と使用許諾範囲との不整合や「ILMT」の構成などの問題をすみやかに解決するために、お客様は、担当者を選任するものとします。

f. 「監査レポート」に、お客様の使用許諾範囲を超える「対象サブキャパシティー製品」の使用が反映された場合、お客様は、IBM またはお客様の「IBM ビジネス・パートナー」に対し、すみやかに発注するものとします。

IBM 「ソフトウェア・サブスクリプション & サポート」は、お客様がお客様の使用許諾の範囲を超えた時点で開始したものとします。

3.2.4 追加条件

「本契約」の定める「サブキャパシティー・ライセンス」の条件に合致しない製品は、「フルキャパシティー」の条件で使用許諾されます。

3.3 期限付使用権

「期限付使用権」の期間は、お客様の注文を IBM が受理した日、または直近の「特定期間」の満了日の翌日に開始します。

3.3.1 「期限付使用権」の自動更新

お客様は、期間満了となる「期限付使用権」を、有効期間満了日までに書面 (例えば、注文書、注文書簡、発注書)

で通知することにより、「本契約」の条件に従って更新することができます。

IBM が有効期間の満了日までにお客様から当該書面を受領していない場合は、期間満了となる「期限付使用権」は、 IBM が直接またはお客様の「IBM ビジネス･パートナー」経由でお客様が更新を希望しない旨の通知を有効期間の満了日までに書面で受領していない限り、「本契約」の条件に基づき、当該「プログラム」の使用権に対するその時

点での継続料金にて、満了する「特定期間」と同一期間分だけ自動的に更新されるものとします。お客様はかかる継続料金を支払うことに同意するものとします。

お客様は、「期限付使用権」を更新しない場合、当該「期限付使用権」の「特定期間」の満了日をもってかかる「プログラム」の使用を中止するものとします。

お客様が「特定期間」の満了日後に当該「プログラム」の使用再開を希望する場合は、「期限付使用権」の継続料金ではなく、「期限付使用権」の新規料金を支払う必要があります。

3.3.2 特定の「プログラム」に対する「期限付使用権」の終了

IBM が、特定の「IBM プログラム」に対する「期限付使用権」の提供を終了する場合、お客様は以下について了承するものとします。

a. お客様は、当該「IBM プログラム」の「期限付使用権」を更新することはできないこと。

b. かかる終了が発表される前に、お客様が当該「IBM プログラム」の「期限付使用権」を更新した場合、お客様は、当該「期限付使用権」の条件に基づき、その時点での「特定期間」の満了日まで当該「プログラム」の使用を継続するか、または按分により返金を受けることができること。

3.4 「CEO 製品カテゴリー」

「CEO 製品カテゴリー」は、ユーザー単位で取得する必要があります。お客様は、最初の「CEO 製品カテゴリー」 (以下、「プライマリー製品カテゴリー」といいます。) を取得する場合、お客様の「エンタープライズ」内のすべての「CEO ユーザー」分、取得する必要があり、また、すべての「CEO ユーザー」の数は、 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxxxxxxxxxxxxxx に記載の「CEO 製品カテゴリー表」で定める数を下回らないものとします。

お客様は、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxxxxxxxxxxxxxx に記載の「CEO 製品カテゴリー表」のカテゴリーに定められた最小「CEO ユーザー」数を維持できる場合、追加の「CEO 製品カテゴリー」を取得することができます。この場合、お客様は、「エンタープライズ」内のすべての「CEO ユーザー」分、追加の「CEO 製品カテゴリー」を取得する必要はありません。

各「CEO ユーザー」は、お客様が取得した「CEO 製品カテゴリー」に含まれるすべての IBM の「プログラム」を使用することができます。ただし、クライアント・アクセスとして使用される「IBM プログラム」は、それらがアクセスするサーバー「プログラム」と同一の「CEO 製品カテゴリー」から取得しなければならないものとします。

「CEO 製品カテゴリー」の追加および削除

IBM は、「CEO 製品カテゴリー」に含まれる「対象製品」をいつでも追加または削除することができます。IBM が

「CEO 製品カテゴリー」から「対象製品」を削除する場合でも、お客様は、かかる削除の前に登録していた「CEOユーザー」数を限度として、当該「対象製品」を継続して使用することができます。

CEO ユーザー数の増加

お客様が「CEO ユーザー」数を増加する場合は、新規「CEO ユーザー」それぞれに対して、「CEO 製品カテゴリー」の使用許諾を取得する必要があります。

CEO ユーザー数の削減

「サイト」の組織変更、再編または事業譲渡、その他の理由により「CEO ユーザー」の総数が減少した場合、お客様は、次回の「アニバーサリー・デート」よりも前に書面で IBM にその旨を通知するものとします。一時的または季節的な「CEO ユーザー」数の減少は、ここでいう減少とはみなしません。「CEO 製品カテゴリー」の「ユー

ザー」数が当該カテゴリーに適用される最小「CEO ユーザー」数を下回った場合、お客様は、当該カテゴリーでの

「IBM ソフトウェア・サブスクリプション & サポート」の更新はできません。

3.5 「ソフトウェア・サブスクリプション & サポート」および「特定サポート」

3.5.1 「ソフトウェア・サブスクリプション & サポート」

a. 「本契約」において「ソフトウェア・サブスクリプション & サポート」とは、「IBM ソフトウェア・サブスク

リプション & サポート」および「第三者ソフトウェア・サブスクリプション & サポート」の両方を意味します。

「IPLA」に基づき提供される各「IBM プログラム」に対して、IBM は「IBM ソフトウェア・サブスクリプション & サポート」を提供します。「IBM ソフトウェア・サブスクリプション & サポート」は単一オファリングであり、個別のコンポーネントとしては提供していません。IBM は、(i) 「第三者プログラム」または (ii)「IBM 保

証適用外プログラムのご使用条件」によって使用許諾される「プログラム」である「特定プログラム」に対して、

「IBM ソフトウェア・サブスクリプション & サポート」を提供しません。

b. 「IBM ソフトウェア・サブスクリプション & サポート」は、取得日に開始し、翌年の同じ月の末日に終了します。ただし、「プログラム」の取得日が月の一日の場合には、翌年の応答日の前日に終了するものとします。

c. 「IBM プログラム」の「IBM ソフトウェア・サブスクリプション & サポート」が有効である間、IBM は以下を行います。

(1) IBM は、「IBM プログラム」に対する IBM が開発した修正策、制限およびバイパスがある場合、これらをお客様に提供します。

(2) IBM はお客様に、取得済み「IBM プログラム」に対する一般的に入手可能な最新バージョン、リリースまたはアップデートを提供し、その使用を許諾します。ただし、これらが提供された場合に限ります。

(3) IBM は、お客様に対して、i) 導入や使用方法 (操作手順) に関する日常的、かつ短時間の質問、ii) プログ

ラム・コードに関連する質問に対する支援（以下、総称して「サポート」といいます。）を提供します。

「IBM プログラム」の特定バージョンまたはリリースに対する「サポート」は、IBM または第三者が

「IBM プログラム」の当該バージョンまたはリリースに対する「サポート」を終了するまで利用することができます。「サポート」が終了される場合、お客様は、「サポート」を継続して利用するために、当該

「IBM プログラム」のサポートの対象であるバージョンまたはリリースにアップグレードする必要があります。IBM の「ソフトウェア・サポート・ライフサイクル・ポリシー」は、 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxx/xxxxxxxxxxxxxxxx/ から入手することができます。

(4) IBM はお客様を担当する IBM サポート・センターの通常営業時間 (IBM が公表する基本シフト時間) に、お客様の情報システム (IS) 部門のテクニカル・サポート担当者に対してのみ、電子的なアクセスおよび利用可能な場合には電話を介して「サポート」を提供します。(この「サポート」は、お客様のエンド・

ユーザーに対しては提供されません。) IBM は、お客様の業務が停止し、かつ回避策がない場合などの重要度 1 に対する「サポート」については、24 時間 365 日提供します。詳細は、 xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxxxx の「IBM Software Support Handbook」に掲載されています。

(5) IBM は、お客様のソフトウェア上の問題の原因特定でお客様を支援するために、お客様のシステムにリモート・アクセスする許可を求める場合があります。IBM がお客様の許可を得た上でシステムにリモート・アクセスする場合、お客様のシステムの保護およびシステム内のすべてのデータの保全は、お客様の責任とします。

d. 「IBM ソフトウェア・サブスクリプション & サポート」には次のサポートは含まれません。1) アプリケーションの設計と開発に対するサポート、2)「プログラム」の所定稼働環境以外の環境におけるお客様の「プログラム」の使用に対するサポート、および 3) IBM が「本契約」に基づく責任を有しない製品に起因する障害に対するサポート。

お客様の「サイト」でインストールされ、その目的を問わず使用し得る状態にある各「IBM プログラム」の使用権に対する「IBM ソフトウェア・サブスクリプション & サポート」について、お客様は (a) すべての使用権分を取得するか、あるいは (b) すべての使用権分を取得しないか、を選択するものとします。

お客様は、かかる「IBM プログラム」の一部の使用権のみを対象として、「IBM ソフトウェア・サブスクリプション & サポート」を取得することはできません。

お客様は、「IBM プログラム」に対する「IBM ソフトウェア・サブスクリプション & サポート」料金の支払に不足がある場合には、本 3.5.1 で定める「IBM ソフトウェア・サブスクリプション & サポート」 (修正、アップデート、アップグレードの適用や使用を含みます。) を利用することはできないものとします。お客様が不足のある「IBM ソフトウェア・サブスクリプション & サポート」の利用を希望する場合、不足する部分に対する「IBM 新規ソフトウェア・サブスクリプション & サポート」を、その時点で適用される IBM 料金で取得することに同意するものとします。

3.5.2 「特定サポート」

「特定サポート」の対象となる「特定プログラム」は xxxx://xxx.xxx.xxx/xxxxx/XXXxxxxxxxXxxxxxxXxxxxxxx に掲載されています。

「特定サポート」は、お客様からのかかるサポートの注文を IBM が受理した日に開始し、翌年の同じ月の末日に終了します。ただし、IBM がお客様からの注文を受理した日が月の一日の場合には、翌年の応答日の前日に終了するものとします。

「特定プログラム」に対する「特定サポート」が有効である間、IBM は以下を行います。

a. IBM は、「特定プログラム」に対する IBM が開発した修正策がある場合、これらをお客様に提供します。

b. IBM は、お客様に対して、1) 導入や使用方法（操作手順）に関する日常的、かつ短時間の質問、 2) プログラ

ム・コードに関連する質問に対するサポートを提供します。「プログラム」の特定バージョンまたはリリースに対する「特定サポート」は、IBM が「プログラム」の当該バージョン、リリース、または修正に対する「特定サポート」を終了するまで利用することができます。「特定サポート」が終了される場合、お客様は、サポートを継続して利用するために、当該「プログラム」のサポートの対象であるバージョンまたはリリースにアップグレードする必要があります。IBM の「ソフトウェア・サポート・ライフサイクル・ポリシー」は、「特定サ

ポート」には適用されません。

c. IBM は、お客様のサブスクリプション・レベルに基づいて、アプリケーションの設計および開発の支援を提供するものとします。

d. IBM は、お客様の所在地およびサブスクリプション・レベルに応じて、電子的なアクセスおよび利用可能な場合には電話を介して、IBM サポート・センターの通常営業時間 (IBM が公表する基本シフト時間) に、お客様の情報システム (IS) 部門のテクニカル・サポート担当者に対してのみ、サポートを提供するものとします。「特定サポート」の詳細は、xxxx://xxx.xxx.xxx/xxxxxxxx/xxxxxxx の「IBM Software Support Handbook」に掲載されています。

e. IBM は、お客様のソフトウェア上の問題の原因特定でお客様を支援するために、お客様のシステムにリモート・アクセスする許可を求める場合があります。IBM がお客様の許可を得た上でシステムにリモート・アクセスする場合、お客様のシステムの保護およびシステム内のすべてのデータの保全は、お客様の責任とします。

IBM は「本契約」に基づき、「特定プログラム」に対する使用権を許諾するものではありません。

3.5.3 お客様のデータおよびデータベース

「IBM ソフトウェア・サブスクリプション & サポート」または「特定サポート」の提供において、お客様の「プログラム」上の問題の原因特定でお客様を支援するために、IBM は、1) お客様のシステムにリモート・アクセスする許可、または 2) お客様の情報やシステム・データの IBM への送信を、お客様に求める場合があります。IBM は、エラーおよび問題についての情報を、その製品およびサービスの改良のため、および関係するサポートの提供のために使用します。IBM は、これらの目的のために、(お客様所在地の国以外の複数の国の) IBM 法人および従契約者を使用できるものとし、お客様は、これに同意するものとします。

お客様は、次の事項に対して責任を負います。1) お客様が IBM に提供するデータおよびデータベースの内容、2) データ (個人識別可能なデータを含みます。) のアクセス、セキュリティー、暗号化、使用および伝送に関する手続きおよび管理の選択および導入、ならびに 3) データベースおよび保管データのバックアップおよびリカバリー。お客様は、IBM に個人を識別し得る情報へのアクセス権を付与または提供しないものとします。また、誤って IBM に提供されたこれらの情報、または IBM によるこれらの情報の紛失や開示に関連して、IBM が被る合理的な費用および他の金額 (第三者の請求から生じたものを含みます。) につきお客様が責任を負うものとします。

3.5.4 「ソフトウェア・サブスクリプション & サポート」および「特定サポート」の自動更新

お客様は、期間満了となる「ソフトウェア・サブスクリプション & サポート」または「特定サポート」を、有効期間満了日前までに書面 (例えば、注文書、注文書簡、発注書) で通知することにより、「本契約」の条件に従って更新することができます。

IBM が有効期間の満了日までにお客様から当該書面を受領していない場合、期間満了となる「ソフトウェア・サブスクリプション & サポート」および「特定サポート」は、IBM が直接または「IBM ビジネス･パートナー」経由でお客様が更新を希望しない旨の通知を有効期間の満了日までに書面で受領していない限り、「本契約」の条件に基づき、その時点での継続料金にて、次回の「アニバーサリー・デート」まで自動的に更新されるものとします。お客様はかかる継続料金を支払うことに同意するものとします。

お客様が、「プログラム」の使用権について「IBM ソフトウェア・サブスクリプション & サポート」または「第三者ソフトウェア・サブスクリプション & サポート」の更新を行わず、後日、「IBM ソフトウェア・サブスクリプション & サポート」または「第三者ソフトウェア・サブスクリプション & サポート」の取得を希望する場合、お客様は、「IBM 新規ソフトウェア・サブスクリプション & サポート」または、「第三者新規ソフトウェア・サブスクリプション & サポート」を取得する必要があります。ただし、提供されている場合に限ります。

3.5.5 「特定プログラム」に対する「ソフトウェア・サブスクリプション & サポート」、または「特定サポート」の終了

IBM、または該当する場合第三者が、特定のプログラムに対する「ソフトウェア・サブスクリプション & サポート」または「特定サポート」の提供を終了する場合、お客様は以下について了承するものとします。

a. IBM は、当該「プログラム」の「継続ソフトウェア・サブスクリプション & サポート」または「特定サポート」の更新を提供しないこと。

b. かかる終了を発表する前に、お客様が「IBM プログラム」の「ソフトウェア・サブスクリプション & サポート」または「特定プログラム」の「特定サポート」を更新した場合、IBM は、更新済み期間の終了まで、当該

「プログラム」に対する「ソフトウェア・サブスクリプション & サポート」または「特定サポート」をお客様に対して継続して提供するか、またはお客様に対して按分計算した料金を返金すること。終了の発表の前に、お

客様が「第三者プログラム」の「第三者ソフトウェア・サブスクリプション & サポート」を更新した場合には、当該第三者は、更新済み期間の終了まで、当該プログラムに対する「第三者ソフトウェア・サブスクリプション & サポート」をお客様に対して継続して提供します。ただし、第三者がかかる提供を行わない場合、お客様に対し按分計算した料金を返金するものとします。

第4章「アプライアンス」

4.1 仮想アプライアンス

お客様は、「本契約」の条件に従った「プログラム」の使用を許諾されます。

4.2 「プログラムコンポーネント」および「機械コンポーネント」で構成される「アプライアンス」

IBM は、「プログラムコンポーネント」および「機械コンポーネント」で構成される「アプライアンス」を単独の製品として提供します。お客様は、いかなる場合も、かかるコンポーネントのいずれも、「アプライアンス」から独立して使用できないものとします。

4.3 「プログラムコンポーネント」

お客様は、IBM もしくはビジネス・パートナーから提供された「機械コンポーネント」、または IBM もしくは

「IBM ビジネス・パートナー」によって交換された「機械コンポーネント」上でのみ、「本契約」に従って「プログラムコンポーネント」を使用することが許諾されます。お客様は、「プログラムコンポーネント」の使用権を他の

「エンタープライズ」に移転することはできません。

4.4 「機械コンポーネント」

4.4.1 製造状況

「IBM 機械コンポーネント」は、新品または再製部品を用いて製造されています。また「IBM 機械コンポーネント」は、一旦据付けられたものである場合もあります。ただし、いずれの場合も、第 2 章に規定する IBM 所定の保証条件が適用されます。

4.4.2 所有権および危険負担

お客様が IBM から「機械コンポーネント」を直接取得した場合、「機械コンポーネント」の所有権は代金が完済された時に、お客様、または該当する場合はお客様の賃貸人に移転します。IBM の資産となる部品の取り外しを伴う機構、コンバージョン、アップグレードの場合は、全ての代金ならびに取り外された部品を IBM が受け取るまで、 IBM はその所有権を留保します。

お客様の指定場所に配送されるために IBM 指定の運送業者に引き渡すまで各「機械コンポーネント」の滅失破損の危険は IBM が負担します。それ以降の危険はお客様の負担としますが、「機械コンポーネント」には、お客様またはお客様の指定場所に引き渡されるまでの期間を対象として、IBM がお客様のために契約し、保険料を支払う保険が適用されます。何らかの滅失破損が生じた場合、お客様は i) 引き渡しから 10 営業日以内に IBM に書面で報告し、

ii) IBM 所定の請求手続きに従っていただくものとします。

4.4.3 据付

a. 「機械コンポーネント」の据付

(1) お客様は、「機械コンポーネント」の公開資料で規定された要件を満たす据付環境を用意することに同意するものとします。

(2) お客様は、「カスタマー・セットアップ機械コンポーネント」および第三者の「機械コンポーネント」を、

IBM または「機械コンポーネント」の製造元から提供される手順に従って据付けるものとします。

(3) IBM は、IBM が据付ける「機械コンポーネント」の標準据付手順を有しています。IBM は、「機械コンポーネント」(お客様が据付けを延期する「機械コンポーネント」および「カスタマー・セットアップ機

械コンポーネント」を除きます。) が導入されたとみなされる前に、これらの手順を終えるものとします。出荷から 6 カ月以内に、IBM が据付ける「IBM 機械コンポーネント」を IBM が据付けられない場合、据

付けには据付料がかかります。

b. 「アップグレード」および「技術変更」

(1) IBM は、「機械コンポーネント」（特定の機種についてはシリアル番号で指定された「機械コンポーネント」に対してのみとなります。）に、「アップグレード」を提供します。お客様は、「アップグレード」の出荷から 30 日以内に、お客様が「アップグレード」を据付けること、または IBM が据付ける場合には IBM が「アップグレード」を据付けられるようにするものとします。特定の「アップグレード」の取引は、出荷から 30 日以内に IBM が据付けられるようになされない場合、IBM の判断で解約となる場合があります。この場合、お客様は、「アップグレード」をお客様の費用負担で返却するものとします。すべての場合において、出荷から 6 カ月以内に、IBM が据付ける「アップグレード」を IBM が据付けられない場合、据付けには据付料がかかります。

(2) お客様は、「機械コンポーネント」に「技術変更」が不可欠な場合（安全性を確保するためのものなど）、両当事者間で別途合意のない限り、IBM がお客様に通知してから 30 日以内にこれを導入できるようにす

ることに同意します。

多くの「アップグレード」および「技術変更」では、部品の取り外しを伴い、取り外した部品の所有権および占有権は IBM へ移転することとなります。お客様は、「アップグレード」および「技術変更」の導入に際して、取り外された部品をすべて IBM に返却する責任を負うものとします。該当する場合、お客様は、i)「アップグレード」および

「技術変更」の導入、および ii) 取り外された部品の所有権および占有権を IBM に移転することについて、所有者および担保権者から許可を得ている旨を保証するものとします。さらに、お客様は、取り外されたすべての部品が純正部品であり、変更されておらず、かつ良好に稼働することを保証するものとします。取り付けられた交換部品は、取り外された部品に対する保証または保守サービスの条件を引き継ぎます。

4.4.4 「機械コード・コンポーネント」

「機械コード・コンポーネント」は、「機械コード・コンポーネント」とともに提供される機械コードの使用条件

(「IBM 機械コードのご使用条件」、「IBM ライセンス内部コードのご使用条件」、または同等の契約) の条件に基づいて使用許諾されます。お客様は「本契約」の条件に同意することで、機械コードの使用条件にも同意することに

なります。かかる条件の現行版は、xxxx://xxx.xxx.xxx/xxxxxxx/xxxxxxx/xxxxxxx_xxxxxxxxxx/xxxxxxx_xx_xxxxxxx.xxxx から、または IBM の営業担当から入手することができます。機械コードの使用条件は、IBM によって適宜変更されます。

変更後のご使用条件は、かかる変更の効力発生日後に提供される「機械コード・コンポーネント」にのみ適用されるものとします。

「機械コード・コンポーネント」は、「機械コンポーネント」を IBM が書面で許諾したキャパシティーまたは能力を限度に、その「仕様」で定められた機能を実行させる目的でのみ使用許諾されます。お客様は、「本契約」の規定および適用されるご使用条件で定めるその他の許諾または制限条件に従い「機械コード・コンポーネント」を使用するものとします。適用される使用許諾における追加の制限条件に限定されず、お客様は、以下の事項を行ってはなりません。

a. IBM が「機械コード・コンポーネント」のマニュアルまたは IBM が書面でお客様に許諾する場合を除き、「機械コード・コンポーネント」を複製、表示、移転、改変、変更、または (電子的もしくはその他の方法で) 配布すること。

b. 準拠法の強行規定がある場合を除き、「機械コード・コンポーネント」を逆アセンブル、逆コンパイル、その他翻案、またはリバース・エンジニアリングすること。

c. 「機械コード・コンポーネント」の使用権を再使用許諾または譲渡すること。

d. 「機械コード・コンポーネント」またはその複製物を賃貸またはリースすること。

著作権を含む「機械コード・コンポーネント」およびそのすべての複製物 (元の「機械コード・コンポーネント」、

その複製物、および複製物から作成される複製物を含みます。) の権利は、International Business Machines Corporation、その子会社、または第三者が有するものです。「機械コード・コンポーネント」は、著作権で保護されており、使用許諾されるものであって、売買の対象となるものではありません。

コンバージョンまたはアップグレードが「機械コード・コンポーネント」のみで構成される場合、所有権は移転されないものとします。

特定の「機械コンポーネント」のキャパシティーは、「機械コード・コンポーネント」に含まれる技術的手段によって制限されています。お客様は、IBM が、「機械コンポーネント」のキャパシティーを制限するためにかかる技術的手段を実装することに同意するものとします。

4.4.5 引渡

「機械コンポーネント」を伴う「アプライアンス」の引渡日は、別途「取引文書」で合意されない限り、予定日となります。輸送費がかかる場合は、「取引文書」に明記されます。

第5章「IBM SaaS」

IBM は「IBM SaaS」を利用するためのインターネットへのアクセスを提供しません。インターネットへのアクセスについてはお客様がその責任を負うものとします。

お客様は、International Business Machines Corporation およびその子会社が、(1) インターネットを含む通信施設を経由するデータの転送を制御せず、(2) 公共のインターネット環境では、IBM がその機密保持義務を保証できないことを認めるものとします。

「コンテンツ」には、「本契約」の 1.12.5b で規定する別途締結する機密保持契約に基づく機密情報の取り交わしは、適用されないものとします。IBM は、お客様と別途締結する機密保持契約の条件にかかわらず、「コンテンツ」に

関しては機密保持義務を負いません。

5.1 権利の帰属

「IBM SaaS」の権利は IBM およびその供給者に帰属します。お客様は、その複製を含み「IBM SaaS」の全部または一部にかかる特許、著作権、商標権、その他すべての知的財産権を含むすべての権利が、IBM およびその提供者に帰属することに同意します。また、IBM は、IBM が選択する従契約者を使用して、「IBM SaaS」またはテクニカル・サポート等のその一部を提供することがあります。

5.2 お客様の使用権

お客様は、「IBM SaaS」を、その「ご利用条件」に従って、「パスポート・アドバンテージ・エクスプレス証書」で使用許諾された範囲において、利用することができます。ただし、以下を条件とします。

a. お客様が「IBM SaaS」の「ご利用条件」に同意すること。

b. 「IBM SaaS」の利用者はお客様のためにのみ「IBM SaaS」を利用すること、かつ、当該利用者に「本契約」および適用される「ご利用条件」を遵守させることをお客様が保証すること。

c. お客様が以下を行わないこと。

(1) 「IBM SaaS」の全体または一部を、「本契約」および適用される「ご利用条件」で明示的に認められる場合を除き、使用、複製、変更、または第三者に利用させること。

(2) 準拠法の強行規定がある場合を除き、「IBM SaaS」を逆アセンブル、逆コンパイル、その他翻案、またはリバース・エンジニアリングすること。

(3) 「IBM SaaS」のコンポーネント、ファイル、モジュール、視聴覚コンテンツまたは関連ライセンス資料を、

「IBM SaaS」から分離して使用すること。

(4) 「IBM SaaS」を賃貸、再使用許諾またはリースすること。

(5) 「IBM SaaS」に対して、または「IBM SaaS」からインターネットリンクを貼ること。

(6) 「IBM SaaS」の一部を構成するコンテンツのフレームまたはミラーを作成すること。ただし、お客様が許諾された「IBM SaaS」の使用に関連してお客様自身のイントラネット上で行う場合を除きます。

5.3 「IBM SaaS」のサブスクリプション

5.3.1 特定の「IBM SaaS」の条件

特定の「IBM SaaS」の条件は、定義、サブスクリプションおよびサービスの内容、料金基準、制限条件等を定める、その「ご利用条件」で規定されます。

5.3.2 「IBM SaaS」の「サブスクリプション期間」

「IBM SaaS」の「サブスクリプション期間」は、お客様の申込み対してアクセス可能となったことを、IBM がお客

様に通知した日に開始します。「取引文書」で定める「サブスクリプション期間」の終了日は、月の末日となります。

「IBM SaaS」の「サブスクリプション期間」中、お客様は、申し込んだ「IBM SaaS」のレベルを増加させることができます。

5.4 「IBM SaaS」のテクニカル・サポート

「IBM SaaS」の「サブスクリプション期間」中、

a. IBM は、「IBM SaaS」の使用に関するお客様の「IBM SaaS」オファリング固有のタスク指向の質問に対して、

「ご利用条件」に定めるサポートを提供します。

b. 「IBM SaaS」のテクニカル・サポートは、「IBM SaaS」、クライアント・オペレーティング・システム、インターネット・ブラウザーおよびソフトウェアの現在サポートされているバージョンに対してのみ利用することができます。IBM のテクニカル・サポートは、「IBM SaaS」サポートの通常営業時間 (IBM が公開する基本時間帯) でのみ提供されます。個々の「IBM SaaS」の詳細条件は、「ご利用条件」を確認ください。

5.5 「コンテンツ」

IBM は、「コンテンツ」に対するサービスのみを提供します。IBM は、「IBM SaaS」で送信される「コンテンツ」の発行元ではありません。

以下については、お客様が単独で責任を負うものとします。

a. お客様の要件を満たすよう「IBM SaaS」の要素の妥当性を確保すること。

b. コンテンツの選択、作成、設計、ライセンス、導入、正確性、保守、テスト、バックアップおよびサポート等を含む、すべての「コンテンツ」。

c. IBM および IBM の従契約者に対して、「コンテンツ」のホスト、キャッシュ、複製および表示を承認すること。また、お客様は、IBM に対してかかる権利を付与するために必要なすべての使用権および承認を有し、「IBM SaaS」の利用期間中保持し続けること、および、かかる承諾を無償で IBM に行うことを表明すること。お客様は、「コンテンツ」のすべての権利、権原および権益を有するものとします。

d. 「コンテンツ」のアクセス、セキュリティー、暗号化、使用、送信およびバックアップとリカバリーに関して手順および管理方法を決定し、実行すること。

IBM およびその従契約者に対して、「IBM SaaS」の提供のみを目的として、「コンテンツ」をホスト、キャッシュ、記録、複製および表示する非独占的、取消不能、地域制限なし、使用料無償、対価支払済み、譲渡可能な使用権を付与します。

5.6 「IBM SaaS」の終了

IBM は、その時点におけるすべてのお客様に対して、書面または電子メールで 12 カ月前までに通知することによって、「IBM SaaS」を終了することができるものとします。

「本契約」に別段の定めがある場合でも、お客様が「本契約」の条件に違反したために、IBM が「IBM SaaS」へのお客様のアクセスを解約する場合、「IBM SaaS」の未利用期間分をにつき、IBM は以降の支払いとの相殺または返金を行う義務を負わないものとします。

6.1 Multiple country amendments to section 1.15 (Geographic Scope and Governing Law)

In South Africa, Namibia, Lesotho, and Swaziland, the following paragraph pertains to geographic scope and replaces the first paragraph in section 1.15.2 Governing Law:

The rights, duties, and obligations of each party are valid only in South Africa, Namibia, Lesotho, and Swaziland, unless otherwise stated in a Transaction Document, except that all licenses are valid as specifically granted.

6.1.2 Governing Law

In the second paragraph of section 1.15.2 Governing Law, the phrase, “the laws of the country in which the transaction is performed” is replaced with the following:

All rights, duties, and obligations under this Agreement are subject to the courts of the country in which the transaction is performed except that in the countries identified below, all disputes arising out of or related to this Agreement, including summary proceedings, will be brought before and subject to the exclusive jurisdiction of the following courts of competent jurisdiction:

AMERICAS

a. in Argentina: the Ordinary Commercial Court of the city of Buenos Aires,

b. in Brazil: the court of Rio de Janeiro, RJ;

c. in Chile: the Civil Courts of Justice of Santiago;

d. in Columbia: the judges and courts of general jurisdiction of Bogota, Colombia;

e. in Ecuador: the civil judges of Quito for executory or summary proceedings (as applicable);

f. in Mexico: the courts located in Mexico City, Federal District;

6.1.4 Arbitration

The following terms pertain to arbitration and are added to section 1.15 as they apply for the countries identified in bold print below. The provisions of these paragraphs apply to the extent permitted by applicable governing law and rules of procedure:

ASIA PACIFIC

a. in Cambodia, India, Laos, Philippines, and Vietnam: Disputes arising out of or in connection with this Agreement will be finally settled by arbitration, which will be held in Singapore in accordance with the Arbitration Rules of Singapore International Arbitration Center (“SIAC Rules”) then in effect. The arbitration award will be final and binding for the parties without appeal and will be in writing and set forth the findings of fact and the conclusions of law.

The number of arbitrators will be three, with each side to the dispute being entitled to appoint one arbitrator. The two arbitrators appointed by the parties will appoint a third arbitrator who will act as chairman of the proceedings. Vacancies in the post of chairman will be filled by the president of the SIAC. Other vacancies will be filled by the respective nominating party. Proceedings will continue from the stage they were at when the vacancy occurred.

If one of the parties refuses or otherwise fails to appoint an arbitrator within 30 days of the date the other party appoints its, the first appointed arbitrator will be the sole arbitrator, provided that the arbitrator was validly and properly appointed.

All proceedings will be conducted, including all documents presented in such proceedings, in the English language. The English language version of this Agreement prevails over any other language version.

b. in the People’s Republic of China: In the event of a dispute, in case no settlement can be reached, the disputes will be submitted to China International Economic and Trade Arbitration Commission for arbitration according to the then effective rules of the said Arbitration Commission. The arbitration will take place in Beijing and be conducted in Chinese. The arbitration award will be final and binding on both parties. During the course of arbitration, this Agreement will continue to be performed except for the part that the parties are disputing and which is undergoing arbitration.

c. in Indonesia: Each party will allow the other reasonable opportunity to comply before it claims that the other has not met its obligations under this Agreement. The parties will attempt in good faith to resolve all disputes, disagreements, or claims between the parties relating to this Agreement. Unless otherwise required by applicable law without the possibility of contractual waiver or limitation, i) neither party will bring a legal action, regardless of form, arising out of or related to this Agreement or any transaction under it more than two years after the cause of action arose; and ii) after such time limit, any legal action arising out of this Agreement or any transaction under it and all respective rights related to any such action lapse.

Disputes arising out of or in connection with this Agreement shall be finally settled by arbitration that shall be held in Jakarta, Indonesia in accordance with the rules of Board of the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia or “BANI”) then in effect. The arbitration award shall be final and binding for the parties without appeal and shall be in writing and set forth the findings of fact and the conclusions of law.

The number of arbitrators shall be three, with each side to the dispute being entitled to appoint one arbitrator. The two arbitrators appointed by the parties shall appoint a third arbitrator who shall act as chairman of the proceedings. Vacancies in the post of chairman shall be filled by the chairman of the BANI. Other vacancies shall be filled by the respective nominating party. Proceedings shall continue from the stage they were at when the vacancy occurred.

EUROPE, MIDDLE EAST, AND AFRICA

d. in Albania, Armenia, Azerbaijan, Belarus, Bosnia-Herzegovina, Bulgaria, Croatia, Former Yugoslav Republic of Macedonia, Georgia, Hungary, Kazakhstan, Kyrgyzstan, Moldova, Montenegro, Poland, Romania, Russia, Serbia, Slovakia, Tajikistan, Turkmenistan, Ukraine, and Uzbekistan: All disputes arising out of this Agreement or related to its violation, termination or nullity will be finally settled under the Rules of Arbitration and Conciliation of the International Arbitral Center of the Federal Economic Chamber in Vienna (Vienna Rules) by three arbitrators appointed in accordance with these rules.

The arbitration will be held in Vienna, Austria, and the official language of the proceedings will be English. The decision of the arbitrators will be final and binding upon both parties. Therefore, pursuant to paragraph 598 (2) of the Austrian Code of Civil Procedure, the parties expressly waive the application of paragraph 595 (1) figure 7 of the Code. IBM may, however, institute proceedings in a competent court in the country of installation; and

e. in Estonia, Latvia, and Lithuania: All disputes arising in connection with this Agreement will be finally settled in arbitration that will be held in Helsinki, Finland in accordance with the arbitration laws of Finland then in effect. Each party will appoint one arbitrator. The arbitrators will then jointly appoint the chairman. If arbitrators cannot agree on the chairman, then the Central Chamber of Commerce in Helsinki will appoint the chairman.

6.2 AMERICAS COUNTRY AMENDMENTS

BELIZE, COSTA RICA, DOMINICAN REPUBLIC, EL SALVADOR, HAITI, HONDURAS, GUATEMALA, NICARAGUA, AND PANAMA

3.5.4 Automatic Annual Renewal of Software Subscription and Support and Selected Support

The following replaces the paragraph that begins "IF IBM DOES NOT RECEIVE SUCH AUTHORIZATION BY THE EXPIRATION DATE":

IBM will renew, for an additional payment, expiring software subscription and support for all of Customer’s Program licenses and Selected Support for all of Customer’s Selected Program licenses to the next Anniversary if IBM or Customer’s reseller receives (1) Customer’s order to renew (e.g., order form, order letter, purchase order) prior to the expiration of the current term or (2) Customer’s payment within 30 days of Customer’s receipt of the software subscription and support or Selected Support, as applicable, invoice for the next term.

3.3.1 Automatic Renewal of Fixed Term Licenses

The following replaces the paragraph that begins “IF IBM DOES NOT RECEIVE SUCH AUTHORIZATION BY THE EXPIRATION DATE":

IBM will renew, for an additional payment, expiring Fixed Term Licenses for all of Customer’s Program licenses for the same duration as the expiring term if IBM or Customer’s reseller receives

(1) Customer’s order to renew (e.g., order form, order letter, purchase order) prior to the expiration of the current term or (2) Customer’s payment within 30 days of Customer’s receipt of the Fixed Term License invoice for the next term.

ALL AMERICAS (EXCEPT BRAZIL, CANADA, MEXICO, AND THE UNITED STATES)

The following terms apply to all Americas countries (except Brazil, Canada and the United States), unless a specific country term states otherwise.

1.6 Payment

The following replaces 1.6b:

Amounts are due upon receipt of invoice and payable as IBM specifies in a Transaction Document. The currency for payment of amounts due is US dollars or the equivalent in local currency as follows:

1. As long as the country operates in a free currency exchange market, Customer and IBM agree that IBM will accept payment in the applicable country national currency calculated at the country official exchange rate published by the bank specified in a Transaction Document on the date payment is made.

2. If the government of a country establishes any restriction or limitation on its free currency exchange markets, Customer agrees to make payments to IBM in US dollars to a bank account in New York, NY, USA, designated by IBM in the Transaction Document, provided that such payment is not illegal under country law. If such method of payment is forbidden by country law,

Customer agrees to pay the amount indicated in the Transaction Document in country national currency, calculated at the official exchange rate that is in use for the remittance of dividends and net earnings to foreign investors outside the country.

Customer agrees to pay accordingly, including any late payment fee. The late payment fee is calculated and payable in US dollars at two percent (or the maximum rate allowed by local law if such is less than two percent) of the delinquent amount due per each thirty day period during which any delinquent balance remains unpaid.

LATIN AMERICA

The following term applies to all countries in Latin America, except for Argentina and Brazil.

1.4 Acceptance of Terms

The following replaces the first sentence:

Customer accepts the terms in Attachments and Transaction Documents by signing them.

ARGENTINA, BRAZIL, CHILE, COLOMBIA, ECUADOR, MEXICO, PERU, URUGUAY, VENEZUELA

3.3.1 Automatic Renewal of Fixed Term Licenses and 3.5.4 Automatic Annual Renewal of IBM Software Subscription and Support and Selected Support

Does not apply for Public Bodies who are subject to the applicable Public Sector Procurement Legislation.

BRAZIL AND COLOMBIA

1.13 Agreement Termination

The following is added after the fourth paragraph:

All notices will be sent to the other party by registered letter.

ARGENTINA

1.4 Acceptance of Terms

The following replaces the second sentence:

A Product or Service becomes subject to this Agreement when IBM accepts Customer’s order by signing a Transaction Document.

1.7 Taxes

If a transaction is subject to a stamp tax, both Customer and IBM will each pay 50% of such tax.

BRAZIL

1.4 Acceptance of Terms

The following replaces the second paragraph in this section:

An Eligible Product becomes subject to this Agreement when IBM accepts Customer’s order by signing a Transaction Document.

1.6 Payment

The following replaces 1.6b:

Amounts due are expressed in local currency.

Amounts are due upon receipt of invoice and payable in local currency as IBM specifies in a Transaction Document. Customer agrees to pay accordingly, including any late payment fee. Delinquent amounts are subject to monetary correction based on the inflation index called the "General Price Index" calculated by Getulio Vargas Foundation (IGP-M/FGV), plus interest at the rate of one percent per month, both calculated "pro rata die.” The late payment fee is calculated against the resultant delinquent amount at the following rates:

1. two percent of the delinquent amount due per the first thirty day period during which any delinquent balance remains unpaid, plus

2. ten percent for each successive thirty day period during which any delinquent balance remains unpaid.

1.12.1 Notices and Communications

The following replaces 1.12.1:

Each of us may communicate with the other by electronic means and such communication is acceptable as a signed writing. An identification code (called a “user ID”) contained in an electronic document is sufficient to verify the sender’s identity and the document’s authenticity;

1.8 Eligible Products

The following replaces the first sentence in the second paragraph in this section:

IBM may add or withdraw Eligible Products at any time. IBM’s ability to increase such charges, rates, and minimums will be subject to the requirements of Brazilian law.

3.3.1 Automatic Renewal of Fixed Term Licenses and 3.5.4 Automatic Annual Renewal of IBM Software Subscription and Support and Selected Support

The following is added after the second paragraphs of both sections:

The transaction document will describe the process of the written communication to Customer containing the applicable price and other information for the renewal period.

3.5.4 Automatic Annual Renewal of IBM Software Subscription and Support and Selected Support

Automatic Annual Renewal of IBM Software Subscription and Support and Selected Support: Portuguese version of the Support Handbook will be provided upon written request.

COLOMBIA

1.7 Taxes

Customer and IBM accepts to pay, each one, fifty percent (50%) of legalization costs of the Proposal.

MEXICO

1.6 Payment

The following replaces 1.6b:

Amounts are due upon receipt of invoice and payable as IBM specifies in a Transaction Document. The currency for payment of amounts due is US dollars or the equivalent in local currency as follows:

The payment must be made in United States Dollars or the equivalent in local currency at the

exchange rate published by the "Banco de México" in the Diario Oficial de la Federacion correspondent to the payment date of the invoice.

PERU

1.11 Limitation of Liability

The following is added to the end of this section:

Except as expressly required by law without the possibility of contractual waiver, Customer and IBM intend that the limitation of liability in this Limitation of Liability section applies to damages caused by all types of claims and causes of action. If any limitation on or exclusion from liability in this section is held by a court of competent jurisdiction to be unenforceable with respect to a particular claim or cause of action, the parties intend that it nonetheless apply to the maximum extent permitted by applicable law to all other claims and causes of action. In accordance with Article 1328 of the Peruvian Civil Code, the limitations and exclusions specified in this section will not apply to damages caused by IBM’s willful misconduct (“dolo”) or gross negligence (“culpa inexcusable”).

NORTH AMERICA CANADA

1.11 Limitation of Liability

1.11.1 Items for which IBM May be Liable

The following replaces the last sentence in this section 1.11.1:

Damages for bodily injury (including death) and physical harm to real property and tangible personal property caused by IBM’s negligence for which IBM is legally liable are not subject to a cap on the amount of damages.

1.4 General Principles of Our Relationship

1.12.3 Compliance with Laws

The following replaces the one-sentence paragraph at the end of this section:

Each party will comply with applicable export and import laws and regulations, including those that apply to goods of US origin and those that restrict or prohibit or limit export for certain uses or to certain users.

1.12.5 Other Principles of Our Relationship

The following replaces item 1.12.5e:

No right or cause of action for any third party is created by this Agreement or any transaction under it, nor is IBM responsible for any third party claims against Customer except as described in section

1.10 (Intellectual Property Protection) above or as permitted by the Limitation of Liability section above for bodily injury (including death) or physical harm to real or tangible personal property caused by IBM’s negligence for which IBM is legally liable to that third party.

The following subsection is added:

1.14.6 Data Privacy

For purposes of this section, "Personal Data" refers to information relating to an identified or identifiable individual made available by one of the parties, its personnel, or any other individual to the other in connection with this Agreement. The following provisions apply in the event that one party makes Personal Data available to the other:

a. General

(1) Each party is responsible for complying with any obligations applying to it under applicable Canadian data privacy laws and regulations (“Laws”).

(2) Neither party will request Personal Data beyond what is necessary to fulfill the purpose(s) for which it is requested. The purpose(s) for requesting Personal Data must be reasonable. Each party will agree in advance as to the type of Personal Data that is required to be made available.

b. Security Safeguards

(1) Each party acknowledges that it is solely responsible for determining and communicating to the other the appropriate technological, physical, and organizational security measures required to protect Personal Data.

(2) Each party will ensure that Personal Data is protected in accordance with the security safeguards communicated and agreed to by the other.

(3) Each party will ensure that any third party to whom Personal Data is transferred is bound by the applicable terms of this section.

(4) Additional or different services required to comply with the Laws will be deemed a request for new services.

c. Use

Each party agrees that Personal Data will only be used, accessed, managed, transferred, disclosed to third parties, or otherwise processed to fulfill the purpose(s) for which it was made available.

d. Access Requests

(1) Each party agrees to reasonably cooperate with the other in connection with requests to access or amend Personal Data.

(2) Each party agrees to reimburse the other for any reasonable charges incurred in providing each other assistance.

(3) Each party agrees to amend Personal Data only upon receiving instructions to do so from the other party or its personnel.

e. Retention

Each party will promptly return to the other or destroy all Personal Data that is no longer necessary to fulfill the purpose(s) for which it was made available, unless otherwise instructed by the other or its personnel or required by law.

f. Public Bodies Who Are Subject to Public Sector Privacy Legislation

For Customers who are public bodies subject to public sector privacy legislation, this section 1.14.6 applies only to Personal Data made available to Customer in connection with this Agreement, and the obligations in this section apply only to Customer, except that: 1) section b(1) applies only to IBM; 2) sections a(1) and d(1) apply to both parties; and 3) section d(2) and the last sentence in a(2) do not apply.

UNITED STATES OF AMERICA

1.7 Taxes

The following is added at the end of this section

For Programs delivered electronically in the United States for which Customer claims a state sales and use tax exemption, Customer agrees not to receive any tangible personal property (e.g., media and publications) associated with the electronic program.

1.12 General Principles of Our Relationship

1.12.4 Dispute Resolution

The following is added to the end of this section:

Each party waives any right to a jury trial in any proceeding arising out of or related to this Agreement.

1.12.5 Other Principles of Our Relationship

The following is added as 1.12.5.m:

U.S. Government Users Restricted Rights - Use, duplication or disclosure is restricted by the GSA IT Schedule 70 Contract with the IBM Corporation.

2.3 Extent of Warranty

The following is added as the first paragraph:

If a Machine is subject to federal or state consumer warranty laws, IBM’s statement of limited warranty included with the Machine applies in place of these Machine warranties.

4.4 Machine Components

4.4.2 Title and Risk of Loss

The following replaces the first paragraph:

When IBM accepts Customer’s order, IBM agrees to sell Customer the Machine Component described in a Transaction Document. IBM transfers title to Customer or, if applicable, Customer’s lessor when the Machine Component is shipped to Customer or its designated location. However, IBM reserves a purchase money security interest in the Machine Component until IBM receives the amounts due. For a feature, conversion, or upgrade involving the removal of parts that become IBM’s property, IBM reserves a security interest until IBM receives payment of all the amounts due and the removed parts. Customer authorizes IBM to file appropriate documents to permit IBM to perfect its security interest.

6.3 ASIA PACIFIC COUNTRY AMENDMENTS

AUSTRALIA

1.3 Definitions - Definition of “Personal Data”

The definition is amended and replaced with the following:

“Personal Data – any information that can be used to identify a specific individual such as name, email address, home address or phone number that is provided to IBM to store, process or transfer and includes Personal Information as defined by the Privacy Act 1988 (Cth).”

1.6 Payment

The following paragraph is added after 1.6c as 1.6d:

All charges or other amounts payable under this Agreement are specified to include applicable goods and services tax (“GST”).

1.7 Taxes

The following paragraph replaces 1.7 in its entirety:

If any government or authority imposes a duty, tax (other than income tax), levy, or fee, on this Agreement or on the Eligible Product itself, that is not otherwise provided for in the amount payable, Customer agrees to pay it when IBM invoices Customer. If the rate of GST changes, IBM may adjust the charge or other amount payable to take into account that change from the date the change becomes effective.

1.10 Intellectual Property Protection

1.10.3 Claims for which IBM is Not Responsible

The following replaces the second from last sentence:

Subject to any rights Customer may have under the Competition and Consumer Act 2010, this Intellectual Property Protection section states IBM’s entire obligation to Customer and Customer’s exclusive remedy regarding any third party intellectual property claims.

1.11 Limitation of Liability

The following paragraph is included at the end of 1.11.1:

Where IBM is in breach of a guarantee implied by the Competition and Consumer Act 2010, IBM’s liability is limited to, at IBM's discretion:

(a) for services:

(1) the supplying of the services again or

(2) the payment of the cost of having the services supplied again; and

(b) for goods:

(1) the repair or replacement of the goods or the supply of equivalent goods; or

(2) the payment of the cost of replacing the goods or having the goods repaired

Where a guarantee relates to the right to sell, quiet possession or clear title of a good under schedule 2 of the Competition and Consumer Act, or the goods or services are of a kind ordinarily acquired for personal, domestic, or household use or consumption, then none of the limitations in this section apply.

2.5 Extent of Warranty

The last sentence of the second paragraph (“The warranty for IBM Machine Components is voided by removal or alteration of Machine Components or parts identification labels”) is deleted.

The following paragraph is added after the paragraph that begins “These warranties are customer’s exclusive warranties..”

The warranties specified in this Section are in addition to any rights Customer may have under the Competition and Consumer Act 2010 or other legislation and are only limited to the extent permitted by the applicable legislation. The reference to warranties and conditions throughout this agreement includes a reference to guarantees for the purpose of the Competition and Consumer Act 2010.

The following paragraph replaces the paragraph that begins “Unless otherwise specified in an Attachment or Transaction Document..”

Unless otherwise specified in an Attachment or Transaction Document, IBM provides non-IBM Eligible Products, without warranties, conditions, or guarantees of any kind. However, non-IBM manufacturers, developers, suppliers, or publishers may provide their own warranties to Customer.

5.5 Content

The following paragraph is added after the paragraph that begins “IBM provides only services for Content.

To the extent IBM is collecting any Personal Data, Customer acknowledges that in disclosing the Personal Data to IBM, it has undertaken all steps necessary to comply with the disclosure and collection requirements of the National Privacy Principles contained in the Privacy Act 1988, Customer agrees and acknowledges that it has taken reasonable steps to disclose to the relevant individuals such information about IBM that is prescribed under National Privacy Principle 1.3 that Customer reasonably believes is necessary for Customer to comply with the National Privacy Principle.

NEW ZEALAND

1.3 Definitions - Definition of “Personal Data”

The definition is amended and replaced with the following:

1.6 Payment

The following paragraph is added after 1.6c as 1.6d:

All charges or other amounts payable under this Agreement are specified to include applicable goods and services tax (“GST”).

1.7 Taxes

The following paragraph replaces 1.7 in its entirety:

2.5 Extent of Warranty

The warranties specified in this section are in addition to any rights Customer may have under the Consumer Guarantee Act 1993 or other legislation that cannot be excluded or limited by law.

BANGLADESH, BHUTAN, AND NEPAL3.5 Programs and Subscription and Support

The following replaces the paragraph that begins "IF IBM DOES NOT RECEIVE SUCH AUTHORIZATION BY THE EXPIRATION DATE" in 3.5.4 Automatic Annual Renewal of Software Subscription and Support and Selected Support:

IBM will renew, for an additional payment, expiring software subscription and support for all of Customer’s Program licenses or Selected Support for all of Customer’s Selected Program licenses to the next Anniversary if IBM or Customer’s reseller receives (1) Customer’s order to renew (e.g., order form, order letter, purchase order) prior to the expiration of the current term or (2) Customer’s payment within 30 days of Customer’s receipt of the software subscription and support or Selected Support , as applicable, invoice for the next term.

The following replaces the paragraph that begins "IF IBM DOES NOT RECEIVE SUCH AUTHORIZATION BY THE EXPIRATION DATE" in 3.3.1 Automatic Renewal of Fixed Term Licenses:

IBM will renew, for an additional payment, expiring Fixed Term Licenses for all of Customer’s Program licenses for the same duration as the expiring term if IBM or Customer’s reseller receives

HONG KONG SAR, MACAU SAR, AND TAIWAN

As applies to transactions initiated and performed in Taiwan and the Special Administration Regions “SARs” specified, phrases throughout this Agreement containing the word "country" (for example, "country of acquisition" and "country of installation") are replaced with the following:

1) In Hong Kong SAR: “Hong Kong SAR“

2) In Macau SAR: “Macau SAR,” except under section 1.15.2 (Governing Law) above; and

3) In Taiwan:”Taiwan.” INDIA

1.12.4 Dispute Resolution

The following replaces the final sentence in 1.12.4:

If no suit or other legal action is brought, within three years after the cause of action arose, in respect of any claim that either party may have against the other, the rights of the concerned party in respect of such claim will be forfeited and the other party will stand released from its obligations in respect of such claim.

INDONESIA

1.13 Agreement Termination

The following paragraph is added:

Both parties waive the provisions of article 1266 of the Indonesian Civil Code to the extent the article requires such court decree for the termination of an agreement creating mutual obligations.

PEOPLE’S REPUBLIC OF CHINA

1.3 Definitions - Definition of “Date of Installation”

The following replaces the definition of Date of Installation:

Date of Installation —

a. for an IBM Machine Component IBM is responsible for installing, the business day after the day IBM installs it.

b. for a Customer-set-up (CSU) Machine Component, the earlier of i) the second business day after arrival at Customer’s installation location or ii) two months after the date of delivery. When a CSU Machine Component is delivered for connection to a non-CSU Machine or Machine Component delivered by IBM, the Date of Installation of the CSU Machine Component will be the later of these two installation dates.

SINGAPORE

1.12.5 Other Principles of Our Relationship

The following replaces the terms of 1.12.5e:

Subject to the rights provided to IBM’s Eligible Product developers and suppliers as provided in 1.11 above (Limitation of Liability), a person who is not a party to this Agreement will have no right under the Contracts (Right of Third Parties) Act to enforce any of its terms.

6.4 EUROPE, MIDDLE EAST, AFRICA COUNTRY AMENDMENTS

Amendments Applicable to Many Countries EUROPE, MIDDLE EAST, AND AFRICA

The following term applies to all countries in Europe, the Middle East, and Africa, unless a specific country term states otherwise.

1.11.1 Items for which IBM May be Liable

In the first paragraph, the following replaces “U.S. $100,000”:

EUR 500,000 (five hundred thousand euro)

EU MEMBER STATES AND ADDITIONAL COUNTRIES SPECIFIED

The following term applies to all EU Member States, Iceland, Liechtenstein, Norway, Switzerland, Turkey, and any other European country that has enacted local data privacy or protection legislation similar to the EU model.

1.12.5 Other Principles of Our Relationship

The following replaces 1.12.5d:

a. Definitions – For the purposes of 1.12.5d, the following additional definitions shall apply:

(1) Business Contact Information – business-related contact information disclosed by Customer to IBM, including names, job titles, business addresses, telephone numbers and email addresses of Customer’s employees and contractors.

(2) Business Contact Personnel – Customer employees and contractors to whom the Business Contact Information relates. For Austria, Italy, and Switzerland, Business Contact Information also includes information about Customer and its contractors as legal entities (for example, Customer's revenue data and other transactional information).

(3) Data Protection Authority – the authority established by the Data Protection and Electronic Communications Legislation in the applicable country or, for non-EU countries, the authority responsible for supervising the protection of personal data in that country, or (for any of the foregoing) any duly appointed successor entity thereto.

(4) Data Protection & Electronic Communications Legislation – i) the applicable local legislation and regulations in force implementing the requirements of EU Directive 95/46/EC (on the protection of individuals with regard to the processing of personal data and on the free movement of such data) and of EU Directive 2002/58/EC (concerning the processing of personal data and the protection of privacy in the electronic communications sector); or ii) for non-EU countries, the legislation and/or regulations passed in the applicable country relating to the protection of

personal data and the regulation of electronic communications involving personal data, including (for any of the foregoing) any statutory replacement or modification thereof.

(5) IBM Group – International Business Machines Corporation of Armonk, New York, USA, its subsidiaries, and their respective Business Partners and subcontractors.

b. Customer authorises IBM:

(1) to process and use Business Contact Information within IBM Group in support of Customer, including the provision of support services, and for the purpose of furthering the business relationship between Customer and IBM Group, including, without limitation, contacting Business Contact Personnel (by email or otherwise) and marketing IBM Group products and services (the “Specified Purpose”); and

(2) to disclose Business Contact Information to other members of IBM Group in pursuit of the Specified Purpose only.

c. IBM agrees that all Business Contact Information will be processed in accordance with the Data Protection & Electronic Communications Legislation and will be used only for the Specified Purpose.

d. To the extent required by the Data Protection & Electronic Communications Legislation, Customer represents that it has obtained (or will obtain) any consents from (and has issued (or will issue) any notices to the Business Contact Personnel as are necessary in order to enable IBM Group to process and use the Business Contact Information for the Specified Purpose.

e. Customer authorizes IBM to transfer Business Contact Information outside the European Economic Area, provided that the transfer is made on contractual terms approved by the Data Protection Authority or the transfer is otherwise permitted under the Data Protection & Electronic Communications Legislation.

The following terms are added as a new section 4.4.6 for Iceland, Norway, and all Member States of the European Union (“EU”), except Germany:

4.4.6 Disposal of Machines

As from the effective date in Customer’s country of local laws and regulations implementing Directive 2002/96/EC of the European Parliament and of the Council of 27 January 2003 on waste electrical and electronic equipment (WEEE), the following applies:

4.4.6.1 When any Machine supplied under this Agreement replaces a machine put on the market before August 13, 2005, then IBM will collect and dispose of such replaced machine, provided that IBM is required to do so by applicable law. IBM may charge for such collection and disposal, to the extent permitted by applicable law.

4.4.6.2 For all WEEE, Customer is responsible for making the WEEE available for collection from Customer’s premises within 30 days after supply of the replacement Machine. Whenever IBM collects and disposes of Customer WEEE, based on a legal or contractual obligation, Customer agrees:

a. to securely erase from any WEEE all programs not provided by IBM with the original equipment and data, including without limitation, the following: i) information about identified or identifiable individuals or legal entities ("Personal Data"); and ii) Customer’s confidential or proprietary information and other data If removing or deleting Personal Data is not possible, Customer agrees to transform such information (e.g., by making it anonymous) so that it no longer qualifies as Personal Data under applicable law;

b. to remove all funds, if any, from WEEE, returned to IBM;

c. that IBM is not responsible for saving or protecting any funds, programs not provided by IBM with the original equipment, or any data contained in a WEEE that Customer returns to IBM; and

d. that IBM may ship all or part of the WEEE or its software to other IBM or third party locations around the world to perform its responsibilities under this Agreement, and Customer authorizes IBM to do so.

WESTERN EUROPEAN COUNTRIES

2.3 Warranty for IBM Machine Components of IBM Appliances

The following paragraph is added after the second paragraph for all countries listed in the definition of Western Europe below:

The warranty for IBM Machines acquired in Western Europe will be valid and applicable in all Western European countries provided the Machines have been announced and made available in

such countries. For purposes of this paragraph, “Western Europe” means Andorra, Austria, Belgium, Cyprus, Czech Republic, Denmark, Estonia, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Latvia, Liechtenstein, Lithuania, Luxembourg, Malta, Monaco, Netherlands, Norway, Poland, Portugal, Romania, San Marino, Slovakia, Slovenia, Spain, Sweden, Switzerland, United Kingdom, Vatican State, and any country subsequently that subsequently joins the European Union, as from the date of accession.

EMEA-WIDE

1.6 Payment

The following replaces 1.6b for the following countries except as noted:

Amounts are due and payable upon receipt of invoice. Customer agrees to pay accordingly, including any late payment charges.

If payment is not made within 30 days from the date of invoice, (or in the case of quarterly advance billing of recurring charges, within 60 days from the date of invoice), Customer may be subject to late payment charges.

The late payment charges are calculated as follows:

Belgium and Luxembourg:

Replace the first sentence in the second paragraph of the above EMEA-wide text with the following:

Any amounts not paid within the terms stated on the IBM invoice will be subject to a late payment fee that will be equal to 1% per period of 30 days, based on the outstanding balance VAT included, until paid in full. Late payment fees due will have to be paid at the end of each period of 30 days.

Denmark and Sweden:

Interest according to the Late Payment Interest Act apportioned to the number of days of delay.

Estonia, Latvia, and Lithuania:

2% per month apportioned to the number of days of delay.

Finland:

Interest according to the Act on interest rate apportioned to the number of days of delay.

France:

In compliance with article 441-6 of the Code of Commerce, a late payment fee is payable, without any need for IBM to issue a reminder, in respect of the period commencing on the day following the payment due date specified on IBM's invoice, and ending on the date when full payment of the invoiced amount is made; such late payment fee shall be calculated on the basis of a rate equal to the European Central Bank's rate for its most recent refinancing operation, plus 10 points.

Germany:

Late payment fees will be calculated according to the German statutory rate.

In the second paragraph of the above EMEA-wide text replace both usages of “date of invoice” with the following:

The following replaces the above EMEA-wide text:

Amounts are due and payable upon receipt of invoice. If payment is not made within 30 days from the date of invoice, Customer may be subject to late payment fees.

The late payment fees will be calculated, per day of actual delay, from the due date of the invoice, based on the maximum rate of late payment fee allowed by law.

Italy:

Replace the final paragraph of the above EMEA-wide text with the following:

The late payment charges will be calculated, per day of actual delay, based on the prime rate published by the Italian Banking Association ABI in effect on the last day of the month the payment has been received by IBM, increased by three points.

In case of no payment or partial payment and following a formal credit claim procedure or trial IBM might initiate, the late payment fee will be calculated from the due date of the invoice based on the prime rate published by the Italian Banking Association ABI in effect on the last day of the month the payment was due, increased by three points. IBM can transfer the credit to a factoring company; if IBM does so, it will advise Customer in writing.

Netherlands:

The following replaces the second and third sentences of the EMEA-wide text:

If payment is not made within 30 days from the date of invoice, Customer will be in default without the necessity of a default notice. In such case Customer will be subject to late payment fees of 1% per month.

Norway:

Interest according to the Late Payment Interest Act apportioned to the number of days of delay.

South Africa, Namibia, Lesotho, Swaziland:

Such charges accrue daily from the date payment must have been received by IBM, and will be equal to 2% (two percent) above the ruling prime rate (of a bank designated by IBM) on any outstanding payment.

Spain:

Such fees will be calculated applying 1% of the charges per month to the number of days of delay.

UK and Ireland:

Such charges will be calculated at a monthly rate of 2% of the invoice amount, or as permitted by applicable law.

UK, Ireland, South Africa, Namibia, Lesotho, Swaziland:

Add the following:

IBM’s rights relating to late payment charges shall be in addition to any other right that IBM may have in the event that Customer fails to make any payment due to IBM under this Agreement.

IBM reserves the right to require payment in advance of delivery or other security for payment.

BAHRAIN , KUWAIT, OMAN, QATAR, SAUDI ARABIA, AND UNITED ARAB EMIRATES

The following replaces the paragraph that begins "IF IBM DOES NOT RECEIVE SUCH AUTHORIZATION BY THE EXPIRATION DATE" in 3.3.1Automatic Renewal of Fixed Term Licenses:

IBM will renew, for an additional payment, expiring Fixed Term Licenses for all of Customer’s Program licenses for the same duration as the expiring term if IBM or Customer’s reseller receives

AUSTRIA

1.6 Payment

Replace the above EMEA-wide text in 1.6b with the following:

Payment in full is due and payable without deduction upon receipt of invoice. Customer agrees to pay accordingly, including any late payment fees. If the invoice amount is not received on IBM’s account within 30 days, upon due date, IBM may charge late payment fees at the rate indicated in the Transaction Document.

1.11 Limitation of Liability

The following sentence is added:

The following limitations and exclusions of IBM's liability do not apply for damages caused by gross negligence or willful misconduct.

1.11.1 Items for which IBM May Be Liable

The following replaces the first sentence:

Circumstances may arise where, because of a default by IBM in the performance of its obligations under this Agreement or other liability, Customer is entitled to recover damages from IBM.

In the second sentence of the first paragraph, delete entirely the parenthetical phrase “(including fundamental breach, negligence, misrepresentation, or other contract or tort claim).”

1.11.2 Items for which IBM Is Not Liable

The following replaces 1.11.2b:

indirect damages or consequential damages; or

2.5 Extent of Warranty

The following replaces the last paragraph

Warranty for non-IBM Eligible Products:

(a) Warranty is provided for a period of twelve months, beginning at the date of delivery. Consumers are at least entitled to claim warranty defects within the limitation period provided by law.

(b) IBM warrants that each non-IBM Eligible Product, when used in the specified operating environment, relates to its functions and conforms to its specifications. In case a non- IBM Eligible Product is delivered without specifications, IBM only warrants that the non- IBM Eligible Product information correctly describes the non-IBM Eligible Product, and that the non-IBM Eligible Product can be used according to the non-IBM Eligible Product information.

(c) IBM does not warrant uninterrupted or error-free operation of a non-IBM Eligible Product or that IBM will correct all program defects. The Customer is responsible for the results of the use of a non-IBM Eligible Product. IBM does not warrant uninterrupted or error- free operation of an Eligible Product or that IBM will correct all defects.

(d) At IBM’s discretion, warranty may also be provided by the third party provider himself.

(e) In the event that IBM is unable to remedy a warranty defect within a reasonable period of time - even after an appropriate grace period - the Customer may in respect of this defect (at his discretion) demand a reduction of price, or rescission of contract. In case of minor defects or deviations, the Customer shall not be entitled to demand a rescission of the contract.

(f) In addition, the limitation of liability provision will apply.

(g) However, non-IBM manufacturers, developers, suppliers, or publishers may provide their own warranty to Customer.

AUSTRIA, DENMARK, ESTONIA, FINLAND, LATVIA, LITHUANIA, NORWAY, SWEDEN:

1.7 Taxes

Delete the last sentence:

This excludes those taxes based on IBM’s net income.

BELGIUM, FRANCE, UK, IRELAND, SOUTH AFRICA, NAMIBIA, LESOTHO, SWAZILAND:

1.12. General Principles of Our Relationship

Delete 1.12.1.

GERMANY

1.11. Limitation of Liability

The following replaces the Limitation of Liability section in its entirety:

a. IBM will be liable without limit for 1) loss or damage caused by a breach of an express guarantee; 2) damages or losses resulting in bodily injury (including death); and 3) damages caused intentionally or by gross negligence.

b. In the event of loss, damage and frustrated expenditures caused by slight negligence or in breach of essential contractual obligations, IBM will be liable, regardless of the basis on which Customer is entitled to claim damages from IBM (including fundamental breach, negligence, misrepresentation, or other contract or tort claim), per claim only up to the greater of 500,000 euro or the charges (if the Eligible Product is IBM SaaS or subject to Fixed Term charges, up to 12 months’ charges) Customer paid for the Eligible Product that caused the loss or damage. A number of defaults which together result in, or contribute to, substantially the same loss or damage will be treated as one default.

c. In the event of loss, damage and frustrated expenditures caused by slight negligence, IBM will not be liable for indirect or consequential damages, even if IBM was informed about the possibility of such loss or damage.

d. In case of delay on IBM’s part: 1) IBM will pay to Customer an amount not exceeding the loss or damage caused by IBM’s delay and 2) IBM will be liable only in respect of the resulting damages that Customer suffers, subject to the provisions of Items a and b above.

1.12.4. Dispute Resolution

The following replaces the third sentence of 1.12.4:

Any claims resulting from this Agreement are subject to a limitation period of three years, except as stated in Section 第 2 章 (Warranties) of this Agreement.

1.12.5 Other Principles of Relationship

The following replaces1.12.5e:

No right or cause of action for any third party is created by this Agreement, nor is IBM responsible for any third party claims against Customer, except (to the extent permitted in Section 1.11 (Limitation of Liability) for: i) bodily injury (including death); or ii) damage to real or tangible personal property for which (in either case) IBM is legally liable to that third party.

2.2 Warranty for IBM Software Subscription and Support and Selected Support

The following replaces 2.2

IBM warrants that Software Maintenance will be provided using reasonable care and skill, and according to its current description and the provisions of this Agreement.

The Customer agrees to provide timely written notice of any failure to comply with this warranty so that IBM can take corrective action.

IBM will remedy any defects covered by warranty, of which written notice has been given by Customer. If a defect is not remedied within a reasonable period of time, the Customer may in respect to such defect, provided that the value of the serviceability of the work is impaired, either request a reduction of price, or, rescind this Agreement. In case of minor defects or deviations, the Customer shall not be entitled to rescind this Agreement. In case the Customer should be entitled to liability claims because of a warranty defect, the Limitation of Liability section shall apply. However the Customer shall not be entitled to liability claims resulting from minor warranty defects.

2.3 Warranty for IBM Machine Components of IBM Appliances

The following replaces 2.3:

IBM warrants that each IBM Machine Component is free from defects at the time of delivery and conforms to its Specifications. The warranty period for a Machine Component commences on the Date of Installation, however at the earliest upon delivery. During the warranty period, IBM will remedy any warranty defects, through repair or exchange.

In the event that IBM is unable to remedy a warranty defect or defect correction fails within a reasonable period of time , the Customer may in respect of such defect, provided the value or the serviceability of the Machine Component is impaired, either request a reduction of price, or rescind

this Agreement. In case of minor warranty defects, the Customer shall not be entitled to rescind this Agreement.

In case the Customer should be entitled to liability claims because of a warranty defect, the Limitation of Liability section shall apply. However the Customer shall not be entitled to liability claims resulting from minor warranty defects.

2.5 Extent of Warranty

The second paragraph is deleted.

The following replaces the last paragraph:

Warranty for Non-IBM Eligible Products may, at IBM's discretion, also be provided by non-IBM manufacturers, developers, suppliers, or publishers themselves.

4.4.6 Disposal of Machines

The following terms are added as a new section 4.4.6:

In accordance with the law for the placing on the market, the return, and the environmentally compatible disposal of Electrical and Electronic Equipment (Electrical and Electronic Equipment Law - ElektroG), for machines the following will apply:

4.4.6.1 IBM is prepared to take back IBM waste electrical and electronic equipment (WEEE) that were put on the market as new machines after August 13, 2005, and IBM will be responsible for the disposal of such machines.

4.4.6.2 According to German law, Customer is responsible to dispose of WEEE, which is not covered by the preceding sentence. In such case, IBM is prepared to take back and dispose of, in compliance with applicable law, such WEEE by charging the applicable disposal fee to the Customer, based on a separate agreement.

Customer is responsible for making the WEEE available for collection from Customer’s premises within 30 days after supply of the replacement Machine.

4.4.6.3 Whenever IBM collects and disposes of Customer WEEE, based on a legal or contractual obligation, Customer agrees:

a. Customer is responsible to remove all funds, if any, from WEEE returned to IBM, and to securely erase any data that Customer considers sensitive (including personal data), existing in/on waste machines (e.g. hard disk, storage devices, memory chips, etc.), before making them available for collection by IBM or its designated assignee. In the event that Customer is unable to comply with this obligation due to technical reasons, Customer will inform IBM thereof in writing. In this case, IBM shall be entitled to delete all data stored in/on the waste machines, as instructed and requested by Customer and according to the “IBM Supplementary Terms and Conditions for Processing of Customer Data by Order according to § 11 BDSG”;

b. IBM is not responsible for saving or protecting any funds, programs not provided by IBM with the original equipment, or any data contained in a WEEE that Customer returns to IBM; and

c. IBM may ship all or part of the WEEE or its software to other IBM or third party locations around the world to perform its responsibilities under this Agreement, and Customer authorizes IBM to do so.

NETHERLANDS

1.6. Payment

Add the following paragraphs to 1.6b:

We may apply Customer’s payment to Customer’s other outstanding invoices.

Our rights relating to late payment charges shall be in addition to any other right that we may have in the event that Customer fails to make any payment due to us under this Agreement.

We reserve the right to also base our decision on the conclusion of an agreement with Customer on Customer’s solvency and to require payment in advance of delivery or other security for payment.

Customer’s obligation to pay is unconditional and shall not be subject to any abatement, reduction, set-off, defense, counter-claim interruption, deferment, or recoupment.

Replace 1.7 with the following:

Customer agrees to pay all taxes and duties, regardless of their qualification, unless specified otherwise on the invoice.

SOUTH AFRICA, NAMIBIA, LESOTHO, SWAZILAND

1.6 Payment

Add the following additional sentence:

When Customer makes payment by cheque, payment is deemed to have been made only when Customer’s cheque has been received by IBM and its relevant account has been credited by IBM’s authorised bankers.

SWITZERLAND

1.3 Definitions - Definition of “Non-IBM Program”

The following is added to definition of. Non-IBM Programs:

No liability of whatever sort is accepted or warranty granted by IBM.

Amounts are due and payable upon receipt of invoice. Customer agrees to pay accordingly, including any late payment charges.

If payment is not made within 30 days from the date of invoice, Customer may be subject to late payment charges.

Add the following to the end of this section:

Customer is responsible for all banking charges (including, but not limited to, LC charges, commissions, stamps, and extensions) incurred within and outside of Turkey.

IRELAND AND UNITED KINGDOM

The following sentence is added to the first paragraph of the preamble:

Nothing in this paragraph shall have the effect of excluding or limiting liability for fraud.

1.11 Limitation of Liability

1.11.1 Items for Which IBM May Be Liable

The following replaces the first paragraph of the Subsection:

For the purposes of this section, a “Default” means any act, statement, omission or negligence on the part of IBM in connection with, or relating to, any Program license granted, any goods sold or services rendered by IBM under this Agreement in respect of which IBM is legally liable to Customer, whether in contract or in tort. A number of Defaults which together result in, or contribute to, substantially the same loss or damage will be treated as one Default.

Circumstances may arise where, because of a Default by IBM in the performance of its obligations under this Agreement or other liability, Customer is entitled to recover damages from IBM. Regardless of the basis on which Customer is entitled to claim damages from IBM and except as expressly required by law without the possibility of contractual waiver, IBM’s entire liability for any one Default will not exceed the amount of any direct damages, to the extent actually suffered by Customer as an immediate and direct consequence of the default, up to the greater of (1) 500,000 euro (or the equivalent in local currency) or (2) 125% of the charges (if the Eligible Product is subject to fixed term charges, up to 12 months' charges) for the Eligible Product that is the subject of the claim. Notwithstanding the foregoing, the amount of any damages for bodily injury (including death) and damage to real property and tangible personal property for which IBM is legally liable is not subject to such limitation. In addition, the amount (if any) payable by IBM under the provisions of section 1.10.1 shall not be subject to any limitation or exclusion set forth in this section 1.11.

1.11.2 Items for Which IBM is Not Liable

The following replaces Items 1.11.2b and 1.11.2c:

b. special, incidental, exemplary, or indirect damages or consequential damages; or

c. wasted management time or lost profits, business, revenue, goodwill, or anticipated savings.
