「gooday」のガイドとは
ご利用規約（ガイド向け）
株式会社シーズ（以下、「当社」）は、当社の提供するインターネット上の通訳マッチングサービス「gooday」（以下、「本サービス」）における、利用規約（以下「本規約」といいます。）について、以下のとおり定めます。
第１条 サービスの内容
「gooday」は、訪日外国人旅行者（以下「ゲスト」といいます。）にストレスなく日本での旅行を楽しんでいただくための、１）在日ネネイティブトラベル アテンダント２）有資格通訳ガイド３）日本人アテンダント（以下「ガイド」といいます。）とゲストをマッチングするサービスです。ゲストにとって日本には、言葉の壁だけでなく、独特の歴史・文化や習慣の壁があります。ガイドが旅のパートナーとして同行することで、より深く日本を楽しめ、本物の日本を体験することが可能になります。
「gooday」のガイドとは
●在日ネイティブトラベルアテンダント（Japan-based Foreign Nationals）日本人としっかりとコミュニケーションできる日本在住のネイティブスピ ーカーで、同じ言語で話せる安心感や親密感で、言葉や異文化などのスト レスなく、旅行に同行しておもてなしします。
●有資格通訳ガイド（Licensed Guides）
国家資格の全国通訳案内士と地域通訳案内士がおり、日本の歴史文化、地理や生活習慣など日本の全般的な知識を持った本格的通訳ガイドです。
●日本人アテンダント（2 名 1 組）（Japanese Travel Partners）
外国語を話す日本の若者たち（複数同伴）で、新しい友達と一緒に旅をする感覚で、日本の旅行を楽しんでいただきます。2 人のガイドと共に体験を楽しむプランです。
第２条 適用の範囲
1. 本規約は、当社の提供する本サービスに関し、ガイドとゲストとの間において適用されます。
2. 本利用規約にご同意いただけない場合には、本サービスを利用することはできません。
第３条 用語の定義
本規約において使用する以下の用語は、次のとおり定義するものとします。
1. 「本サービス」とは、以下のことをいいます。
⚫ ゲストが本サイト上でガイドを検索・検討したうえで、ガイドと直接本サイトのメッセージ欄で連絡を取り、日本国内において提供するサービスを意味します。
⚫ 「“gooday” travel plan」、ガイドが考案した「Guide original plan」、
「Japanese travel partner plan」を本サイト上に掲載し、ゲストが登録されたプランを閲覧・検討したうえで、ガイドと直接登録プランに関する契約を締結することができるサービスをいいます。
2. 「在日ネイティブトラベルアテンダント」、「有資格通訳ガイド」、「日本人アテンダント」とは、本サイト上に登録したガイドをいいます。
3. 「プラン」とは、当社あるいはガイドがゲスト向けに考案したサービスのプランであって、本サービスを通じて本サイトに登録されたものをいいます。
4. 「本契約」とは、ガイドとゲストが本サイト上で締結される契約をいいます。
第４条 サービスについて
1. 本契約が成立した場合、xxxは自らの責任により当該契約に基づく業務を遂行するものとし、当社が遂行方法について具体的な指揮命令、監督等を行うことはありません。
2. ガイドとゲストとの間の連絡は、全て本サービス内のメッセージ欄において行うものとします。予約が完了するまでは双方の連絡先や電子メールアドレス等の交換は原則として禁止します。本項に違反し、本サービスを通さずに行われたやりとりに関して、当社は一切の責任を負いません。
3. ガイド、または過去にガイドであった者はゲストと、本サービスを利用せずに本契約を締結し、又は勧誘をしてはならないものとします。
4. ガイド料は半日（４時間）と 1 日（８時間）で設定しています。時間単価はガイドが決めることができます。
「プラン」は時間単価ではなく、プランに固定された金額をガイドが決めることができます。ただし、「“gooday” travel plan」に関しては、ガイドが金額を決めることはできず、プランに設定された固有金額になります。
5. ガイドは案内するにあたって、日常的な日本語会話ができること、日常生活の知識やマナーがあること、ゲストのアテンドができること、またガイドするエリアの鉄道網や地理に対して知識がある者とします。
第５条 ガイドに対する支払
1. 当社は、本契約に基づくガイドの催行日以後、ゲストによる当社への支払いを確認の上、前条のマッチング手数料を控除した金額を１４日以内に PayPal を通じて支払います。
2. ガイドが得る報酬は、ゲストに決済された総額からPayPal 手数料を引いた額に対して当社手数料（15％）を差し引いた金額です。
第６条 ガイド料金以外の費用
1. 自宅と出発地・解散地の間の交通費、宿泊費等
2. 観光料金（入場・拝観・ガイド等）等
3. レンタカー、および駐車場費用
4. 傷害・疾病に関する医療費
5. 食事
6. その他
は、ガイド料金には含みません。実費としてゲストと相談の上、現地で精算してください。
第７条 会員登録（資格・手続き）
1. 本規約に同意のうえ、当社に本サービスの利用を申し込み、当社が審査・手続等を経た後これを承認した者は、ガイドとしての資格を有します。
2. ガイド登録を希望する者は、本サービスの利用を申し込む前に、本利用規約の内容をよくご確認ください。本利用規約にご同意いただけない場合は、本サービスを利用することはできません。
3. 法人がガイド登録することはできません。
4. ガイド登録は、本人が直接行うものとし、原則として代理人による登録は認められません。
5. ガイド登録の申込みは、本サービス上の「ガイドとしての登録（Register as a guide）」の入力フォームに必要情報を入力し、申し込みを行ってください。
6. 前項に基づき、当社がガイド登録を承認した場合には、登録の申込みをしたガイドに対し、当社所定の方法により通知するものとします。ガイドの登録手続は、本項の通知の発信のときに完了するものとし、この登録手続の完了をもって、登録申込者は、ガイドとなります。
7. 登録費は無料です。
第８条 ガイド登録の停止・取り消し
1. 本利用規約に違反した場合
2. 虚偽の申告がある場合
3. 18 歳以下の場合
4. 暴力団等の反社会的勢力と関係があった場合
5. 登録が適当でないと当社が判断した場合
6. 登録プランが提供される国や地域の法令に反する場合
7. 危険行為、わいせつ行為、不健全な出会いを目的とした場合
8. その他、当社が不適切と判断した場合
第９条 禁止事項
ガイドは、本サービスの利用に際し、自らまたは第三者を利用して、以下のいずれかに該当する行為、またはそのおそれのある行為をしてはなりません。
1. 当社に対し、ガイド登録情報等について、虚偽の情報を提供する行為
2. 当社、他のガイド、またはその他の第三者の知的所有権、肖像権、プライバシー権およびその他の権利や利益を侵害する行為
3. 犯罪行為や公序良俗に反する行為
4. 猥褻的、暴力的な画像その他一般の方が不快に感じる情報、または未xx者にとって有害な情報を伝達する行為
5. 法令または本規約に違反する行為
6. コンピューターウィルス等有害なコンピュータープログラムを含む情報を伝達する行為
7. 本サービスに関し利用しうる情報を改ざんする行為
8. 通常の範囲を超えて本サービスのサーバーに負担をかける行為、若しくは、本サービス運営やネットワークまたはシステムに支障を与える行為
9. 当社の運営を妨げるまたは妨げるおそれのある行為
10. 本サービスまたは本サービスを通じて入手した情報もしくは資料を商業目的等、本サービスと無関係な目的で利用する行為
11. 当社の承認した以外の方法で本サービスを利用する行為
12. 他者に違法行為を勧誘または助長する行為
13. 本サービスまたは当社の信用を失墜・毀損させる行為
14. 当社スタッフへの暴言・脅迫行為、または当社の業務を妨げるもしくは妨げるおそれのある行為
15. ガイド料金以外での利益を上げる行為
16. 飲食店や物販店などからのコミッションを受け取る行為
17. その他、当社が不適切と判断する行為
当社は、ガイドの行為が上記のいずれかに該当すると判断した場合、ガイドへの通知することなく、当該ガイドの登録情報を削除します。前条及び本条に基づく当社の対応の結果としてガイドが被る損害については、当社は一切の責任を負いません。
第１０条 利用規約の変更
当社は、必要と判断した場合、あらかじめガイドの承諾を得ることなく、本規約を変更することができます。
第１１条 変更の届け出
1. ガイドは登録事項に変更が生じた場合は、プロフィール編集画面（Edit profile）より速やかに変更を行ってください。
2. 届け出が行わなかったことで、ガイド自身が不利益を被った場合、当社はその責任は一切負いません。
第１２条 ＩＤおよびパスワードの交付とその管理責任
1. ＩＤ（アカウント）はご自身のメールアドレスで登録ください。パスワードはご自身で設定ください。
2. 登録されたガイドは自分のＩＤおよびパスワードを第三者に譲渡、貸与または開示することはできません。
3. xxxは、自己のＩＤおよびパスワードの使用および管理について一切の責任を負うものとします。当社は一切の責任を負いません。
4. ガイドは、自己のＩＤおよびパスワードが盗まれたこと、または他社によっ て不正に利用されていることを知った場合には、直ちに当社にその旨連絡し、当社の指示に従うものとします。
第１３条 ガイドの個人情報等の取り扱い
当社は、本サービスの利用に際してガイドから取得した氏名、メールアドレス等の個人情報等を、本利用規約に定める他、当社が別途定めるプライバシーポリシーに基づき、適切に取り扱うものとします。
第１４条 催行中の写真撮影について
1. ガイドがゲストの肖像が含まれる写真や動画を本サイトにアップロードする場合、ゲストに事前に使用の可否を確認する必要があります。了承が得られない場合は、催行中に自ら撮影行為を制限するか、本サービスにおける使用を禁止ください。
2. 他サイトやブログなどからの写真、イラスト、文章の無断転載・無断引用を禁止します。
第１５条 本契約のキャンセル
1. 本契約成立後にゲスト又はガイドが本契約を取り消す場合、取消料は別途キ ャンセルポリシーに従います。
2. 本契約の取消によりプラン代金及びサービス使用料の全部又は一部を払い戻す場合、当社の定める方法によるゲストの手続完了後、当社所定の方法により返金手続を行うものとします。
第１６条 免責及び補償
1. 当社は、本サービスにより提供される情報のxx性等については、何ら保証するものではありません。本サービスにより提供された情報に基づいて、ガイドが下した判断および起こした行動によりいかなる結果が発生した場合においても、当社はその責任を負いません。
2. 当社が何らかの事由によって責任を負う場合であっても、関連するコンテンツの対価の相当額を超えて損害を賠償する責任を負いません。また、当社は、付随的損害、間接損害、特別損害、将来の損害及び逸失利益にかかる損害については、賠償する責任を負わないこととします。
3. 当社は、本サービスに関連してガイドと他のガイド又は第三者との間に生じた取引、連絡、紛争等については、一切責任を負いません。
第１７条 本サービスの一時的な中断
1. 当社は、次のいずれかの事由に該当する場合、ガイドに事前に通知することなく、一時的に本サービスの提供を中断することがあります。
(1) 本サービス提供のためのシステムまたは関連設備の保守を定期的または緊急に行うとき
(2) 当社が利用する通信回線、電力等の提供が中断されたとき
(3) 火災、停電等により本サービスの提供ができなくなったとき
(4) 地震、台風、洪水、津波等の天災その他の非常事態が発生した場合、またはそのおそれが生じたために、法令・指導により通信の制限等の要請、指示があったとき
(5) その他技術的に不可能な事由により本サービスの提供ができなくなったとき
2. 当社は、本サービスの提供の遅滞または一時的な中断が発生したとしても、これに起因して、ガイドまたは第三者が被った損害について、一切責任を負わないものとします。
第１８条 本サービスの中止
当社は、３か月前までの予告期間をもってガイドに本サービスのウェブサイト上にて通知のうえ、本サービスの提供を中止する場合があります。サービス中止後に提供されるコンテンツで、既に予約手続が完了しているものについては、当社はガイドに対し、当該コンテンツに係る払込額を全額返金いたします。
第１９条 退会
ガイドは、本サービスの利用を終了する場合は、お問い合わせ画面（CONTACT US)にご連絡ください。
第２０条 紛争処理
1. プランの提供については、xxxとゲストとの間で直接取引が成立するものであり、両者の間に生じる紛争については当事者により解決するものとし、当社は両者の紛争について一切責任を負いません。
2. 紛争の処理にあたっては、当事者の負担とし、その経過について当社の求めに応じて報告する義務を負うものとします。

C’s Inc. (hereinafter “we”) stipulates the following cancellation policy for its “gooday” traveler-guide matching service (hereinafter “the service”).
Welcome to “gooday” traveler-guide matching service website presented by C’s Inc. C’s Inc. (hereinafter “we”) stipulates the following terms and conditions for the use of this website.
Article 1 Content of Service
“gooday” is a service that matches foreign travelers in Japan (hereinafter “guests”) with (1) Japan-based foreign nationals, (2) Licensed Japanese guides, or (3) Japanese travel partners (hereinafter “guides”) so that the guests can enjoy a stress-free trip in Japan. Guests in Japan face not only a language barrier but also a unique history, culture, and customs. With a guide joining them, guests can get a deeper appreciation of Japan and truly experience the country firsthand.
Three kinds of “gooday” guides
• Japan-based Foreign Nationals
These guides are fluent in Japanese but share the same native language, culture, and customs with the guest so that the guest can enjoy a
stress-free trip.
• Licensed Guides
These Licensed Guide Interpreters are professional guides who are well versed in all aspects of Japan—history, culture, geography, customs, and daily life.
• Japanese Travel Partners
These young bilingual Japanese nationals make a guest’s trip more fun. Working in groups of two or more, these travel partners will ensure guests have the assistance they need.
Article 2 Application of Terms
1. These terms of use are for guide or guests using the service we provide on this website.
2. You must agree to these terms of use or you cannot use the service.
Article 3 Definition of Terms
1. “Services” refer to the following.
• Services in Japan which occur on this website, such as the guest using this website to search for a guide and exchange messages.
• The provision of plans on this website—“gooday travel plans,” Guide original plan” and “Japanese travel partner plan”—that the guest can look at and consider, and then register for by making a contract with a guide.
2. “Japan-based foreign national,” “licensed guides,” and “Japanese travel partners” refer to guides registered on this site.
3. “Itinerary” refers to travel plans that the guides have come up as services for guests and which are registered on this website.
4. “Contract” refers to contracts that the guest and guide agree to on this site.
Article 4 Service
1. When the contract is concluded, the guide shall perform the work based on the contract on his/her own responsibility and we shall not specifically give directive order for and supervise the performance method.
2. The guide and guests shall contact with each other only through the message column in the service. Until the reservation is complete, it is prohibited in principle that the guide and guests exchange contact information, e-mail address, etc. We shall take no responsibility whatsoever for exchange made between the guide and guests without passing through the service, in violation of this paragraph.
3. Guides or former guides must not conclude the contract with or solicit guests or former guests, without using the service.
4. The guide charges are set by the unite of half day (4 hours) and one day (8 hours) and the guide can decide the hourly unit price.
5. The guide can decide the fixed charge as to the "itinerary" instead of the hourly unit price. However, the charge for our "gooday" travel plan is not decided by the guide but fixed as a set charge in the itinerary.
6. When providing the guide service for guests, the guide shall be able to have daily Japanese conversation, knowledge and manner of daily life, attend the guest, and knowledge of railway networks and geography of the area to guide.
Article 5 Payment for guide
1. After the date of the guide based on this agreement, we will confirm the payment to the Company by the guest and pay the amount after deducting the matching fee of the previous article through PayPal within 14 days.
2. Compensation earned by the guide is the total amount paid to the guest excluding the PayPal fee and the Company fee (15%).
Article 6 Expenses Except Guide Charges
The following are not included in guide charges:
1. Traveling expenses between home and the departure and parting places, lodging expenses, etc.
2. Sightseeing charges (admission, using a guide), etc.
3. Expenses for rented car and parking lots
4. Medical expenses concerning injury and illness
5. Meals
6. Other
The guide and guests are required to settle the amount as to expenses mentioned above between the two parties as actual costs on the site.
Article 7 Member Registration (Qualification and Procedure)
1. A person who has agreed to these terms of use and applied for the use of this service to us and has been approved by us following examination and procedure, shall be qualified as the guide.
2. A person who intends to be registered as the guide shall check the contents of the terms of use carefully before applying for the use of this service. If the person cannot agree to the terms of use, the person is not permitted to use the service.
3. A corporation cannot register as the guide.
4. The person in question shall directly register as the guide and the registration by the agent is not admitted in principle.
5. An applicant shall apply for guide registration by entering necessary information to the input form of "Register as a guide" in the service.
6. When we have approved of the registration of the applicant as the guide based on the preceding paragraph, we will notify the guide who applied for the registration of the results by our predetermined method.
The guide registration procedure shall be complete when we dispatch the notification and, with the completion of this registration procedure, the applicant shall become the guide.
7. The registration shall be free of charge.
Article 8 Suspension and Revocation of Guide Registration
1. If the guide has violated the terms of use
2. If the guide has made false declaration
3. If the guide is 18 years or younger
4. If the guide is connected with anti-social forces such as an organized crime group
5. If we determine that the registration of the guide is not appropriate
6. If the registered itinerary violates the laws and regulations of the country and area where the itinerary is provided
7. If the guide intends hazard act, indecent act, or unhealthy encounter
8. If we determine that the guide is inappropriate for registration due to other reasons
Article 9 Prohibitions
The guide must not do acts that fall or may fall under any of the following by him/herself or through a third party when using the service.
1. The act of providing false guide registration information to us
2. The act of infringing intellectual property rights, portrait rights, privacy rights, and other rights and profits of other guides or third party
3. Criminal act and the act against public order and morals
4. The act of transmitting obscene or violent images, other information that makes the public feel unpleasant, and information harmful to the minor
5. The act that violates laws and regulations or these terms of use
6. The act of transmitting information that contains harmful computer programs such as computer viruses
7. The act of falsifying information to use concerning the service
8. The act that puts a burden on the server of the service by exceeding the normal range or disrupts the operation, network or system of the service
9. The act that obstructs or may obstruct our operations
10. The act of using the service or the information or materials obtained via the service for the purposes irrelevant to the service such as commercial purposes
11. The act of using the service by the method except the method approved by us
12. The act of soliciting or promoting illegal acts of others
13. The act of damaging the credibility of the service or our credibility
14. The act of using abusive language and doing intimidation acts to our staff or the act that disturbs or may disturb our work
15. The act of making profits by means except receiving guide charges
16. The act of receiving the commission from restaurants and products sales shops
17. The act that we determine inappropriate due to other reasons
If we determine that the act of the guide falls under any of the items mentioned above, we shall delete registered information of the relevant guide without notifying it to the guide. We shall take no responsibility whatsoever for the damage incurred by the guide as a result of our response based on the preceding and this article.
Article 10 Change of the Terms of Use
If we deem it necessary, we can change these terms of use without obtaining consent from the guides in advance.
Article 11 Report of Changing the Registered Matters
1. If the need to change the registered matters arises, the guide shall promptly change them from the profile editing window (Edit profile).
2. If the guide suffers from disadvantage as a result of reporting the change of registered matters, we shall take no responsibility whatsoever for any such disadvantage.
Article 12 Issuance of ID and Password and Management Responsibility
1. The guide shall register the ID (account) with his/her own e-mail address and set the password by him/herself.
2. The registered guide is not permitted to transfer, lend or disclose his/her ID and password to a third party.
3. The guide shall take all responsibility for the use and management of his/her ID and password. We shall take no responsibility whatsoever for use and management of ID and password of the guide.
4. In the event that the guide has known that his/her own ID and password has been stolen or used illegally, the guide shall immediately report it to us and follow our instructions.
Article 13 Handling of Personal Information of the Guides
We shall appropriately handle personal information including names and e-mail addresses acquired from the guides for using the service according to these terms of use and based on the privacy policy set separately by us.
Article 14 Taking Photos During Guide
1. If the guide intends to upload photos and videos that contain portrait of guests to this website, the guide needs to confirm with the guests if such use is permitted. If such use is not permitted, the guide must limit the act of taking photos during guide or prohibit such use in the service.
2. Unauthorized reproduction and quotation of photos, illustration and texts from other websites and blogs are prohibited.
Article 15 Cancellation of the Contract
1. If the guest or guide cancel the contract after it has been concluded, the cancel charge shall be separately decided according to the cancellation policy.
2. If the whole or a part of itinerary charge and service usage fee will be refunded due to the cancellation of the contract, the refunding procedure shall be taken according to our predermined method after the procedure of the guest is complete according to the method set by us.
Article 16 Exemptions and Compensation
1. We do not guarantee the credibility of information offered by the service. We shall take no responsibility for any results produced by judgment made and actions taken by the guide based on the information offered by the service.
2. Even if we take responsibility for some reason, we shall not take responsibility for paying the damages that exceed the amount that corresponds to the value of the relevant contents. Also, we shall take no responsibility for the compensation for damages regarding incidental damage, consequential damage, special damage, future damage, and lost profits.
3. We shall take no responsibility whatsoever for transactions, contact, disputes, etc. that have arisen between the guide and other guides or a third party in relation to the service.
Article 17 Temporary Suspension of the Service
1. We may temporarily suspend the service without notifying to the guides in advance in any of the following circumstances:
(1) if we regularly or urgently perform maintenance of the system or related equipment for providing the service;
(2) if the provision of the communication lines, electric power, etc. we use is suspended;
(3) if we cannot provide the service due to an occurrence of fire, power outage, etc.
(4) if a request or instruction for limiting the communication, etc. is made based on the laws and regulations or guidance due to an occurrence of natural disasters such as earthquake, typhoon, flooding, and tsunami and other emergency or due to a possibility of an occurrence of such natural disasters or emergency; or
(5) if we cannot provide the service due to the technical reasons that make such provision impossible.
2. Even if a delay or temporary interruption of the service has occurred, we shall take no responsibility whatsoever for the resulting damage incurred by the guide or a third party.
Article 18 Discontinuation of the Service
We may discontinue the service after notifying the discontinuity to the guides on the website of the service following the period of notice that starts at least three months in advance. Regarding the contents that are scheduled to be provided after the discontinuation of the service for which the reservation procedure has already been completed, we shall refund to the guide the full amount that corresponds to the payment pertaining to the relevant contents.
Article 19 Secession
If the guide intends to terminate the use of the service, the guide shall contact us via the inquiry window (CONTACT US).
Article 20 Resolving Disputes
1. Since direct transactions are made between the guide and guests as to provision of the itinerary, a dispute that has arisen between the two parties shall be resolved by the two parties, and we shall take no responsibility whatsoever for such a dispute between the two parties.
2. Any expenses required for resolving a dispute between the guide and guests shall be borne by the two parties and the two parties shall be obliged to report the progress of the dispute upon our request.
