제 1 조 적용범위

제 2조 신용장의 발행, 통지 및 환거래xx 등의 xx
① xx은 수입자가 xx하는 신용장발행 신청서(조건xxx청서 포함) 등의 xx사항에 따라 신용장을 발행(재발행의뢰 포함), 통지한다. 다만 xx이 부득이하다고 xx하는 xx에는 수입자의 xx를 얻어 신청서 등의 xx사항을 변경할 수 있다.
② 수입자가 환거래xx 등(통지xx, 매입xx, 지급xx, xxxx, 확인xx, xxxx, 기타 xxxx을 말한다. 이하 같음) 을 xx하지 않는 xx는 xx이 xxx기로 하며 수입자가 환거래xx 등을 xx하였음에도 불구하고 xx이 부득이하다고 xx하는 xx에는 수 입자에게 통지후 xx은 환거래xx 등을 xx 정할 수 있다.
③ 제1항의 통지를 함에 있어서 xx은 통지방법을 선택할 수 있고 통상어, xx, 암호 등을 사용할 수 있으며 발신, 통xxx 또는 착신 후 발행하는 멸실, 분실, 훼손, xx, 오류, 누락, 기타 번역, 해석상의 오류 등으로 말미암은 손해는 xx의 고의 또는 과실이 없는 한 수입자 가 부담한다.
제 3 조 담보
① 수입자는 선적서류(xx서류, 보험서류, xx송장 및 기타 신용장 또는 수입계약서에 의하여 xx되는 서류를 포함한다. (이하 같음) 및 수입화물(선적서류에 표시된 화물을 말한다. 이하 같음)을 수입환어음(수입화물대금, 기타 대금지급에 관한 환어음, 청구서 또는 이들과 xx의 서류를 말한다. 이하 같음) 또는 선적서류의 xx 또는 이의 결제를 위한 대출금 및 이들에 xx하는 xx, 수입과 관련한 xx, xxxxx, 기타 xx에 xx 지급xx의 이행을 위한 담보로서 xx에 xxx다. 수입화물 대도의 xx에도 또한 같다.
② 거래처의 책임있는 사유로 인하여, 수입화물이 멸실, 훼손, 변질, 분실, 감가등으로 그 가액이 현저히 감소하거나 감소할 우려가 있는 x x 또는 xx이 악화된 xx, 수입자는 xx의 xx에 따라 곧 xx이 xx하는 담보나 xxx보를 제공하고 또는 보증인을 xx거나 이 를 추가하기로 한다.

Transactions, the important provisions of which have been explained to me/us.

The above-referenced importer(the “Importer”)and the above-referenced bank(the “Bank”) hereby confirm that the General Terms and Conditions for Credit Transactions shall apply to the transactions set forth in Article I belowand agree to be bound by the following provisions.
Article 1. Scope of Applications
This Agreement shall apply to each of the following transactions currently outstanding or to entered into hereafter:
1. import transactions under documentary letters of credit;
2. import transactions without letters of credit;
3. transactions under the documentary clean letters of credit;
4. transactions without bills in any of the above items; and
5. any other transactions similar to the above.
Article 2. Issuance of Letter of Credit, Notice thereof and Appointment of the Correspondent Xxxxx
1.The Bank shall issue the letter of credit (the “L/C”) (or make an application for re-issuance) and notify thereof in accordance with the statements on the application for L/C(including the application for amendment to L/C, if any) submitted by the Importer; provided, however, that the Bank may, with consent of the Importer, amend the statement on the application for L/C, if such amendment i s deemed necessary by the Bank.
2.If the Importer fails to appoint the advising banks, negotiating banks, paying banks, accepting banks, confirming banks, reimbursing banks or any other related banks (collectively, the “Correspondent Banks”), the Bank shall appoint the Correspondent Banks. If the Bank deems it necessary notwithstanding the Importer's appointment of the Correspondent Banks, the Bank may, upon notice to the Importer, appoint Correspondent Banks different from those appointed by the Importer.
0.Xx giving notice under the above Paragraph 1, the Bank may determine the method of notice and use ordinary language, ciphers, codes, etc. Any losses due to destruction, loss, damages, delay, mistakes, omission or other mistakes in translation or interpretation, etc., during dispatch or communication or after receipt of notice shall be borne by the Importer absent willful misconduct or negligence on the part if the Bank.
Article 3. Security
1.The title to the shipping documents (which include documents evidencing contracts of carriage, insurance documents, commercial invoices and any other documents required under L/C or the import contract)(the “Shipping Documents”) and the imported goods described in the Shipping Documents (the “Goods”) shall be transferred to the Bank as a security for (i) the principal amoun t of the import bills of exchange (which refer to import bills of exchange, invoices or any other items similar thereto drawn with regard to the payment of prices of the Goods or any other payment)(the “Bills”) or principal amount of the Shipping Documents, (ii) loans for the settlement of such principal of the Bills or the Shipping Documents and interest thereon, (iii) the costs relating to import, (iv)default interests or (v) the performance of the obligations which the Importer may owe to the Bank. The above provision shall also apply to the trust receipts.
2.If the value of the Goods has been significantly reduced or there is potential for such reduction because the Goods are destroyed, damaged, deteriorated, lost, depreciated, etc., or if the creditworthiness of the Importer has deteriorated, due to a cause for which the Importer is liable, the Importer shall immediately provide the Bank with the security or additional security acceptable to th e Bank or a guarantee or an additional guarantee.

④ 수입자가 결제자금의 지급, 개설보증금의 납입, 선취보증xx에 따른 보증금의 적립 또는 기타의 목적으로 xx에 xx를
납 입하는 xx, 그러한 납입 등x x 약정서xx 지급이 되지 아니하고, 당해 원화가 xx 수입환어음에 의한 지급일의 xx시
xx에 의하여 적절한 외국통화로 xx될 때까지 지급에 xx 담보가 되며, xx은 xx에 따라 수입자의 xx에 xx xx 또 는 xx의 xx와 xx하거나 그 xx에 충당할 수 있다.
제 4 조 수입화물의 대도
① 수입자는 xx으로부터 수입화물을 대도받는 xx 이 대도 화물을 입고, 운반, 출고, 가공, 매도 이외의 목적으로 xx하거나 제3자에 xx 담보제공을 할 수 없으며 또한 기타 xx의 권리를 해하는 행위도 할 수 없다.
② 수입자는 대도화물을 매도할 xx 금액, 화물의 인도, 대금의 xx방법 등에 관하여 xx xx의 xx를 받는다.
③ 대도화물의 매도대금은 xx 후 곧 xx에 지급한다. 매도대금을 어음, 기타 유가xx 등으로 받는 xx에는 이를 곧 xx에 양 도한다.
제 5 조 보험금
① xx 또는 환거래xx 등은 수입화물에 xx 보 험금을 직접 xx하여 xx할 수 있고, 이 xx 수입자는 xx의 xx에 따라 필 xx 서류를 곧 xx한다.
② xx이 제1항의 보험xx 제3조 제1항의 xx 및 xx 등의 변제에 충당한 후에도 잉xxx 있는 xx에는 이를 수입자에게 반환한다. 다만, 수입자가 xx에 부담하고 있는 다른 xx가 있는 xx에는 xx은 이를 xx여xxx기본xx 제[13]조에 준하여 수입자의 xx에 xx 기타 xx의 변제에 충당할 수 있다.
제 6 조 수입환어음 또는 선적서류의 매입, 지급, xx 등
xx 또는 환거래xx 등은 신용장 조건에 따라 수입환어음 또는 선적서류의 매입, 지급, xx 등의 업무를 처리한다. 다만, 환거래 xx 등의 소재지의 법령, 협약, 상관습이 다르거나 상당한 사유가 있는 xx에는 신용장 조건에 불구하고 xx 또는 환거래xx 등은 적절한 조치를 취할 수 있다. 이 xx 그 조치한 사실을 곧 수입자에게 통지한다.
제 7 조 xx의 면책
① xx 또는 환거래xx 등은 신용장조건에 따른 수입환어음 또는 선적서류의 매입, 지급, xx 등을 함에 있어서 서xx 문면상 신 용장조건과 일치하는지를 확인하기 위하여 상당한 주의를 가지고 모든 서류를 점검xxx 한다. 다만, xx 또는 환거래xx 등
은 서류에 관한 다음 xx에 대하여는 xxx xx나 책임을 지지 아니한다.
1. 선적서류의 xx, xx성, 정확성, xxx, 위조, 변조 또는 법적효력
2. 선적서류상에 표시되어 있는 화물의 xx, xx, xx, 품질, xx, 포장, 인도, 가격 또는 실재여부
② 화물의 매도인, 송하인, 운송인, 운xxx인, 수하인, 보험자, 기타 관련자의 성실성, 작위 또는 부작위, 지급능력, 이행능력 및 xxx태 등
③ x x이 수입신용장 조건 불일치에 관한 조회xx시, 수입자의 xx가 xx과 수입신용장개xxx서 등을 통해 별도로 xx 기간내에
도 착하지 않는 xx에는 수입 환어음 또는 선적서류가 신용장 조건과 불일치함에도 불구하고 xx은 수입환어음 또는
선적서류의 매입, 지급, xx에 xx xx 또는 거절 여부를 결정할 수 있으며, 이로 인한 xx과 책임은 xx의 고의나 과실로 인 해 발생한 xx를 제외하고 수입자가 부담한다.
제 8 조 xxxx의 부담과 수입환어음 등의 결제
① 수입자는, xx이 신용장조건에 따라 지급xx를 부담하거나 그 이행을 한 xx에는 xx에 대하여 xxxx를 부담하며 수입 자, xx 및 환거래xx 등 앞으로 발행되는 수입환어음 또는 선적서류에 대하여 그 대금을 해당 외화 또는 xx이 고시한 결제

③ 수입자가 결제자금을 xx로 납입하는 xx, 수입환어음의 결제xx는 수입자의 납입xx에 불구하고 xx의 외화xx 등에 의 하여 xx이 결제통화를 매입할 수 있는 날로 하며. xx은 결제시기가 납입xx와 달라지는 xx 수입자에게 통보하기로 한다. 수입자는 이로 인하여 발행하는 (i) xxxx와 (ii) 납입시와 수입환어음에의한 실제 xx 매입일간의 환율의 변동에 따른 환차를 xxx기 위하여 필요한 추가금액을 xx의 xx에 따라 곧 xx 또는 기타 통화로 xx에 지급한다. 또한 이 약정서에 의 하여 xx를 외국통화로 xx하는 xx 이에 적용되는 외국환 xx등의 제한으로인해 xx에 손해가 발생하는 때에는 xx은 그 손해를 수입자에게 xx할 수 있다.
④ 신용장이 미합중국 통화 이외의 통화로 개설된 xx에도, xx은 수입자의 xx이 있는 xx 또는 국제금융시장의 사정상 불 가피한 xx 수입환어음을 미합중국 통화로 결제할 수 있고, 이 xx 수입자는 환율의 변동 등으로 인하여 발생하는 환차를 xx
이 xx근거를 명시하여 xx하는 바에 따라 곧 지급한다.
3. In case the Bank enforces its security interest granted to it under Paragraph 1 or 2, the Bank may apply the proceeds of the disposition of the collateral to the payment of any and all present or future obligations owed by the Importer to the Bank.
4. Any payment made by the Importer to the Bank in Won currency in order to pay the settlement amount or the safety deposit for opening a letter of credit or a margin deposit for the letter of guarantee or for any other purposes shall not be deemed a payment made under this Agreement but shall constitute a security for payment until the date on which such Won currency fund is converted to the appropriate foreign currency fund by the Bank on the payment data of the relevant Bills. The Bank may, at its discretion, set off or apply such proceeds against or to the obligations which the Importer at present or hereafter may owe to the Bank.
Article 4. Trust Receipts
1. If the Importer receives the Goods in trust from the Bank, the Importer shall neither use such Goods for purposes other than warehousing, transportation, delivery, processing or sale, nor provide any third party with such Goods as a security, nor conduct any other acts that may impair the interests of the Bank.
2. For any sale by the Importer of the Goods received from the Bank in trust, the Importer shall obtain the consent of the Bank in advance regarding the amount, delivery of the Goods, method of receiving the proceeds, etc.
3. The Importer shall promptly pay the sales proceeds of the Bank or assign to the Bank any bills or other negotiable instrument delivered as payment of the sales proceeds.
Article 5. Insurance Proceeds
1. The Bank or the Correspondent Banks may directly claim and receive the insurance proceeds on the Goods and immediately upon the Bank's demand, the Importer shall provide the Bank or the Correspondent Banks with any documents required for the Bank or the Correspondent Banks to collect such insurance proceeds.
2. After the Bank has applied the insurance proceeds referred to in Paragraph I above to the payment of the obligation and default interests referred to in Article 3, Paragraph 1, any balance shall be refunded to the Importer; provided, however, the Bank may apply such balance to the payment of the Importer’s other obligation to the Bank, if any, in accordance with the Article [13] of the General Terms and Conditions for Credit Transactions.
Article 6. Negotiation, Payment or Acceptance of Bills or Shipping Documents
The Bank or the Correspondent Xxxxx shall negotiate, pay or accept the Bills or Shipping Documents in accordance with the terms and conditions of the L/C. However, if the laws, agreements or commercial practices of the location of the Correspondent Banks are different from those applicable to the Bank or on any other reasonable ground, then the Bank or the Correspondent Banks may take appropriate actions notwithstanding the terms and conditions of the L/C. The Bank or the Correspondent Banks shall immediately notify the Importer of such actions.
Article 7. Exculpation
1. In negotiating, paying or accepting Bills of Shipping Documents in accordance with the terms and conditions of the L/C, the Bank and the Correspondent Banks shall review any and all documents with reasonable care to confirm that they are consistent with the contents of the L/C; provided, however, that neither the Bank nor the Correspondent Banks shall have any obligations or responsibilities for any of the following :
(1) formality, sufficiency, correctness, genuineness forgery, alteration or legal validity of Shipping Documents;
(2) specification, quantity, weight, quality, condition, package, delivery, price or actual existence of the Goods described in the Shipping Documents; or
2. fidelity, act or omission, capacity to pay, capacity to perform, or creditworthiness of the seller, consignor, carrier, carriage agent, consignee, insurer or any other party related to the Goods.
3. If the Importer fails to respond to the Bank’s inquiries regarding the discrepancies with the terms and conditions of the import L/C within the period separately agreed with the Bank through Import L/C Application Form, etc., the Bank may, in its discretion, approve or refuse the negotiation, payment or acceptance of the Shipping Documents notwithstanding the discrepancies and the Importer shall be responsible for any and all expenses and liabilities arising therefrom absent willful
misconduct or negligence on the part of the Bank.
Article 8. Reimbursement Obligation and Settlement of Bills
1. When the Bank assumes or performs the payment obligations under the terms and conditions of the L/C, the Importer shall reimburse the Bank in full and pay, on the settlement date prescribed in Article 9, the amount of the Bills or the Shipping Documents negotiated to the Bank or the Correspondent Banks in a relevant foreign currency or in Won currency calculated at the exchange rate prevailing on the settlement date as notified by the Bank. If the Importer intends to make settlement in a currency other than the United States Dollars, the Importer shall give notice to the Bank two (2) business days prior to the date of settlement.
2. If the Importer or the consignee of the Goods designated in the import L/C takes delivery of the Goods pursuant to a letter of guarantee (including, without limitation, the endorsement on airway bills) or otherwise regardless of the method of taking delivery, the provisions of Paragraph 1 shall apply notwithstanding any discrepancy between the Bills or the Shipping Documents and the terms and conditions of the L/C.
3. In the event that the Importer pays the settlement amount in Won currency, regardless of the Importer’s payment date, the settlement of Bills shall be deemed to be made on the date when the Bank is able to purchase the settlement currency under the foreign currency status of the Bank, and if the settlement date becomes different from the payment date, the Bank shall notify the Importer. The Importer shall pay to the Bank, upon the request of the Bank in Won currency or any other currency
(i) the default interest hereunder and (ii) any necessary amount to compensate the Bank’s exchange losses due to the difference between the exchange rate applicable on the payment date and the exchange rate applicable on the actual purchase date by the Bank of the foreign currencies under the Bills. In addition, in case of the conversion of the Won currency to the foreign currencies hereunder, if the Bank suffers any losses or damages incurred due to the foreign exchange regulations or restrictions applicable to the conversion, the Bank may claim for such damages against the Importer.
4. In the event that the Bank opens an L/C denominated in currencies other than US dollars, the Bank may settle the Bills in US dollars upon the request of the Importer or if such settlement is unavoidable due to the conditions of the international financial market and the Importer shall immediately pay to the Bank on demand any deficiency caused by the fluctuations in exchange rates in an amount requested by the Bank as calculated on the basis of a detailed statement furnished by the Bank to the Importer regarding the calculation of the deficiency amount.

제 9 조 결제일
수입자는 제8조에 의하여 xxxx를 이행xxx 할 xx에 대금의 결제조건이 일람출급인 xx에는 수입환어음 또는 선적서류(차 기통지서가 먼저 도착하는 xx에는 그 차기통지서) 도착 후 xx의 xx xx이 xx xx 이내에, 기한부 출급인 xx에는 만기일에 결제한다.
제 10 조 선취보증xx에 따른 보증금 적립
수입자는 선적서류의 도착전에 수입화물 선취보증서의 발급(항공화물 운송장 등의 배서인도 포함)을 신청할 때에는 외국환xx xx 법령 및 xx에 따르거나 xx의 xxx전을 위하여 필요하다고 xx되어 xx이 xx하는 xx xx이 고시한 실제 입금일의 해당 환 율로 xx한 대금 또는 해당외화대금을 보증금으로 적립xxx 하며 수입환어음 또는 선적서류의 결제시 환율변동 등으로 동 보증금 이 결제자금에 부족할 xx 그 부족금을 곧 추가 입금한다. 다만, xx은 결제 후 잔액이 있는 xx 수입자가 xx에 지급해야 할 특 별한 사유가 없으면 수입자에게 반환한다.
제 11 조 신용장의 취소 및 조건xx
① 수입자는 신용장의 취소 또는 조건xx을 신청할 수 있다. 다만, xx이 수입자의 xx에 따라 신용장을 취소 또는 조건xx 한 xx 그 취소 또는 조건xxx 당사자(개xxx, 수익자, 확인신용장의 xx는 확인xx) 전원의 xx가 있어야 비로소 효력이 있 다.
② xx이 신용장 전액 또는 미사용 잔액을 취소할 xx 수입자의 xx를 얻어야 한다. 다만, 상당한 사유가 있는 xx에는 사후 통 xx 갈음할 수 있다.
제 12 조 사전 xxxx 등
① 수입자에 대하여 xx여xxx기본xx 제7조 제1항 xx (당연 xx전 xx변제xx) xx의 사유의 xx라도 발생한 xx에 는 수입자는 xx으로부터 독촉, 통지 등이 없어도 당연히 신용장의 잔액(신용장에 따른 수입환어음 발행 허용 한도액) 및 제 15조에서 xx xx 등에 대하여 xx에 대하여 사전 xxxx를 부담하고, 곧 이를 신용장의 통화로 변제(또는 이행)하기로 한다.
② 수입자에 대하여 xx여xxx기본xx 제7조 제2x x3항 및 제4항(xx의 xx에 의한 xx전 xx변제xx) xx의 사유의 xx라도 발생한 xx에는 xx의 xx에 의하여 제1항에 준하여 수입자는 xx에 대하여 사xxxxx를 부담하고, 곧 이를 변제(또는 이행)하기로 한다.
③ 제1항 내지 제2항의 xx에는 제8조 제1항, 제2항에 의하여 부담한 xxxx에 대하xx 제9조(결제일)의 xx에도 불구하고 제1항 내지 제2항의 각항에 따라 수입자는 곧 변제하기로 한다.
④ 수입자가 제1항 내지 제3항에서 xx 바에 따라 xxxx를 이행한 xx에는 xx은 신용장조건에 따라 지체없이 지급xx를 이 행하기로 한다. 또한 수입자가 신용장의 통화와 다른 통화로 xxxx를 이행한 때에는 xx은 지급xx를 이행하기 위하여 수 입자로부터 이행을 받은 통화를 그대로 또는 그 통화를 신용장의 통화로 xx하여 xx할 수 있다.
⑤ 수입자가 제1항 내지 제3항에서 xx 바에 따라 이행한 xxxx의 금액이 제8조에서 xx 바에 수입자가 부담하는 xx xx의 금액 및 제15조에서 xx xx 등에 부족한 xx에는 수입자는 그 부족금액을 곧 변제한다. 다만, 잉xxx 있는 xx에는 이를 수입자에게 반환하기로 하되, 수입자가 xx에 부담하고 있는 다른 xx가 있는 xx에는 xx은 이를 xxxx xx기본xx 제13조에 준하여 수입자의 xx에 xx 기타 xx의 변제에 충당할 수 있다.
제 13 조 사xxxxx 등의 환율
① 전조 제1항 내지 제3항에서 xx 바에 따라 수입자가 xxxx를 xx 또는 xx의 xx을 얻어 그 xx의 통화와 다른 외화로 이행하는 xx에는 xx의 xx실행시에 있어서의 xx xx의 환율을 적용한다.
② 전조 제4항에서 xx 바에 따라 xx이 지급xx를 이행하는 xx에 그 지급xx의 통화와 수입자가 전조 제1항 내지 제3항에
서 xx 바에 따라 이행하고 xx이 xx하는 통화가 다른 때에는 x x의 xx실행시에 있어서의 xx xx의 환율을 적용한다.
③ 전조 제5항에서 xx 바에 따라 잉여금을 그 통화와 다른 통화로 수입자의 xx에 xx 기타 xx의 변제에 충당하는 xx에는
x x의 xx실행시에 있어서의 xx xx의 환율을 적용한다.
제 14 조 위험부담 등
수입자는 화물운송인 또는 그 이외x x에 의하여 행하여지거나 xx지변, 기타 불가항력에 의한 화물xx의 정지, xx 또는 화물의 미도착, 연착, 멸실, 훼손, 변질, 품목의 xx 등으로 발생하는 손해와 당해 화물에 관한 양륙, 통관, 입고, xx, 보험, 기타 xx을 부담한다.
Article 9. Settlement Date
With respect to the payment of the Bills or the Shipping Documents payable in sight pursuant to Article 8, the Importer shall settle within the period prescribed by the regulations of the Bank after receipt of such Bills or Shipping Documents (or debit notices when a debit notice is received earlier than such bills or documents), and with respect to the payment of usance Bills of Shipping Documents pursuant to Article 8, the Importer shall pay on a maturity date thereof.
Article 10. Margin Deposit for the Application for Letter of Guarantee
With respect to an application by the Importer for a letter of guarantee (including endorsement on and delivery of airway bills) prior to the receipt of Shipping Documents, if required under the foreign exchange management laws and regulations or if required by the Bank to protect the Bank’s right, the Importer shall make a margin deposit in Won in an amount calculated by applying the exchange rate prevailing on the actual deposit date as posted by the Bank or in the applicable foreign currency. If such margin deposit is insufficient to settle the Bills or Shipping Documents because of fluctuations in the exchange rate, etc., the Importer shall immediately deposit additional amount equal to such deficiency; provided, that any balance after settlement shall be returned to the Importer if there are no other payment obligations owed by the Importer to the Bank.
Article 11. Cancellation and Amendment of L/C
1. The Importer may apply for the cancellation or amendment of L/C; provided, however, in case the Bank cancels or amends the L/C in accordance with the Importer’s request, the cancellation or amendment shall become effective only with prior consents of all the relevant parties (the opening bank and the beneficiary, and the confirming bank in case of confirmed L/C).
2. The Bank may cancel the full amount or the unused balance of L/C upon the consent of the Importer; provided, however, that post facto notice to the Importer may substitute for such consent if there are reasonable grounds for cancellation.
Article 12. Advance Reimbursement
1. Upon occurrence of any of the events set forth in Article 7, Paragraphs 1 (Automatic Acceleration of Payment without Notice) of the Terms and Conditions for Credit Transactions, the Importer shall promptly make advance reimbursement in the currency of L/C in an amount equal to the outstanding balance of L/C (the amount available under the L/C for issuance of Bills) and the interest thereon as determined in Article 15, without notice or demand from the Bank.
2. Upon occurrence of any of the events set forth in Article 7, Paragraphs 2, 3 and 4 (Automatic Acceleration of Payment without Notice) of the Terms and Conditions for Credit Transactions, the Importer shall promptly make advance reimbursement pursuant to Paragraph 1 above mutatis mutandis upon the notice or demand from the Bank.
3. Notwithstanding the provisions of Article 9 (Settlement Date), upon occurrence of any of the events set forth in Paragraphs 1 through 2, the Importer shall promptly make settlement pursuant to the provisions of Paragraphs 1 through 2 of the obligations occurred in accordance with Article 8, Paragraph 1 or 2.
4. In the event that the Importer performs the reimbursement obligations pursuant to Paragraphs 1 through 3, the Bank shall make payment in accordance with the terms and conditions of the L/C. If the Importer makes payment in the currency other than the currency of the L/C, the Bank may retain such received currency, or may exchange the received currency to the currency of the L/C and retain the converted currency to make payment.
5. In the event that the amount reimbursed by the Importer pursuant to Paragraphs 1 through 3 is insufficient to settle the amount of the Importer’s reimbursement obligations under Article 8 and the interest under Article 15, such deficiency shall be immediately paid by the Importer; provided, however any balance shall be refunded to the Importer and the Bank may apply such balance to the payment of the Importer’s other obligation to the Bank, if any, in accordance with Article 13 of the General Terms and Conditions for Credit Transactions.
Article 13. Exchange Rate of Advance Reimbursement
1. In the event that the Importer performs, with the Bank’s consent, the reimbursement obligation pursuant to Article 12, Paragraphs 1 though 3 in Won currency or any other currency which is different from the currency of the obligation, the exchange rate prevailing on the date of the calculation as determined by the Bank shall apply.
2. In the event that the currency of the payment obligation to be performed by the Bank under Article 12, Paragraph 4 is different from the currency which is paid by the Importer pursuant to Article 12, Paragraphs 1 through 3 and retained by the Bank, the exchange rate prevailing on the date of the calculation as determined by the Bank shall apply.
3. In the event that, pursuant to the Article 12, Paragraph 5, the Bank applies the balance to the payment of the Importer’s other obligations to the Banks in the currency other than the currency of such balance, the exchange rate prevailing on the date of the calculation as determined by the Bank shall apply.
Article 14. Assumption of Risks
The Importer shall pay any and all expenses of discharge, customs clearance, warehousing, custody, insurance, etc. of the Goods and indemnify all damages incurred by the Bank or the Correspondent Bank due to suspension or delay in the transportation, failure or delay in arrival, destruction, damages, deterioration or discrepancies of the Goods whether due to disasters, natural calamities, force majeure, etc., or whether caused by the carrier of the Goods or any third party.

제 15 조 xx 등의 부담
① 수입자는 제1호 xx의 xx에 따른 xx, 할인료, xxxxx, 수수료, 우편료, 전신료, 기타 xx 및 xx 또는 환거래xx 등의 권리행사, 권리xx, 담보의 취득 및 처분에 소요되는 xx과 손해를 xx의 고의 또는 중대한 과실로 인한 것이 아닌 한 xx이 x x근거를 명시하여 xx하는 바에 따라 곧 지급하기로한다. 다만, 수입자가 xx의 xx방법 등에 관하여 이의를 xx하는 xx에는 xx은 이를 심사하여 그 결과를 통지한다.
② 수입자 이외의 자가 제1항의 xx, 할인료, 수수료, xx 등을 부담하기로 되어 있는 xx에도 수입자의 xx으로 xx이 수입자 이 외의 부담자에게 xx하였으나 입금되지 아니하여 수입자에게 xx한 때는 수입자가 이를 xx의 xx xx이 xxx간내에 지급한 다. 다만, xx이 추후 수입자 이외의 부담자로부터 이를 지급받은 xx에는 반환한다.
③ xxx x1항, 제2항의 xx, 할인료, xxxxx, 수수료, xx 등의 요율, xx방법 및 환율과 그 적용방법 등을 정하며 성질상 고시하기 어려운 것을 제외하고 이를 고시하기로 한다.
제16조 xx(Sanctions)
① xx
수입자는 다음의 xx을 xx하고 확인한다.
1. 수입자ㆍ수입자의 자회사ㆍ이들의 이사 등 임직원ㆍ대리인ㆍ계열사는 다음에 해당하는 또는 다음에 해당하는 자가 xxㆍ통제하고 있는 개인ㆍ단체(개인, 단체를 포괄하여 “ 법적 주체” )가 아니다.
(1) 미국 재무부 해외자산통xx(OFAC), 미국 국무부, 유엔 안전보장이사회, 유럽연합, 영국 재무부, 홍콩 금융감독청 (HKMA) 또는 대xxx 정부가 조치 또는 xx한 xx(“ xx” )의 xx.
(2) xx xx 국가 또는 정부, 또는 그 정부가 xx하는 영토에(서) 위치하거나, 조직되어 있거나 거주하고 있음.
2. 개별 신용장(이하 본 xx xx 조항에서 xx보증서, 보증신용장을 포함함)과 xx하여 수입, xx 또는 업무에 필요한 면허ㆍ허가를 취득하였고, 수입자가 사업을 영위하는 관할과 관련된, 또는 xx에 개설을 의뢰하는 신용장 및 선적ㆍ금융 등 신용장에 기재된 주요 사항과 관련된 국내외 법령을 xx한다.
② 면제 및 면책
수입자는 다음의 xx을 확인하고 xx한다.
1. xxㆍHSBC Holdings plcㆍ그 계열사ㆍ자회사(이들을 포괄하여 “ HSBC 그룹” ), HSBC 그룹의 서비스공급자는 xxㆍ자xxxㆍ테러목적 자금조달ㆍ뇌물xxㆍ부패ㆍ탈세 방지 등과 관련된 각국의 법령을 xxxxx 한다.
2. xx은 xx 법령이 xxx는 범위 내에서, xx 또는 다른 그룹 xxx이 독자적인 결정에 의해 xx 등에 관련된 국내외 법령을 xx하기 위하여 필요하다고 판단하는 조치(이하 “ 준법 조치” )를, 직접 취하거나 다른 HSBC 그룹의 xxx들에게 지시할 수 있다. 준법 조치는 지급ㆍ교신ㆍ지시의 확인 및 조사, 법적 주체가 xx xxxx 여부에 xx 추가적인 질문, xx를 따르지 않는 신용장 발행ㆍ지급ㆍ갱신ㆍ확장ㆍ이전 및 xxㆍ지시의 이행 거부 등을 포함하며 이에 xx되지 아니한다.
3. xxㆍxx에 xx 서비스공급자ㆍHSBC 그룹 xxx들이 독자적인 판단에 의하여 취하는 준법 조치와 xx하여 또는 이로 인해 발생하는 xxㆍ손해ㆍxx 또는 이 계약에서 xx xx 불이행에 대해, xx 또는 HSBC 그룹 xxx은 xx 준거법의 xx에 의하여 xx xx되지 않는 한 법적 책임을 부담하지 아니한다.
4. 수입자는 고의, 사실과 다른 xx 또는 과실이 존재하는 xx 준법 조치로 인하여 또는 이와 xx하여 발생하는 xx의 xxㆍxxㆍ손해ㆍ제3자의 xxㆍ조치ㆍxxㆍ책임(이들을 포괄하여 “ xx” )에 대하여 xx을 면책하고 xx한다.
제 17 조 서xxx
수입자는 xx이 법령 등에 의한 상당한 사유로 이 xx에 따른 xx와 관련된 허가서, 추천서, 증명서, 신고서, 기타 서류를 xx하 는 xx 곧 xx한다.
제 18 조 적용기간
이 xx의 적용기간은 정하지 않기로 한다. 다만, 부득이한 사유가 있는 xx xxxx 수입자는 이 xx을 xx할 수 있으며 이 xx xx전에 이루어진 xx에는 이 xx이 계속 적용된다.
제 19 조 언어
이 xx은 국문과 xx으로 작성되며 국문본과 xx본이 상치되는 xx에는 국문본이 xxx다.
제 20 조 xxxx
수입자와 xxx x xx에 없는 사항에 대하여는 따로 정함이 없는 한 국제xx회의소의 [신용장 통일규칙] [xx에 관한 통일규칙]
및 xx의 xxxx에 따르기로 한다. 다만, 위 통일규칙과 xx의 xx xx이 서로 다른 xx에는 위 통일규칙에 따르기로 한다.
Article 15. Payment of Expenses
1. Absent wilful misconduct or gross negligence on the part of the Bank, the Importer shall pay to the Bank any interest, dis count charges, default interest, fees, postal cost, cable cost and any other costs arising from any of the transactions set forth in Article 1, together with any expenses and losses incurred by the Bank or the Correspondent Banks in connection with the enforcement or protection of its right or acquisition or disposition of any security, immediately upon the Bank’s request with the statement for computation method; provided, however, if the Importer objects to the Bank’s computation method, the Bank shall review such method and and notify the Importer of the results thereof.
2. Even though any party (the “third party”) other than the Importer is required to pay any interest, discount charge, commis sion, or expenses in the above Paragraph 1, the Bank may demand such payment from the Importer if the Bank is not paid by the third party on demand and the Importer shall pay such amount within the period prescribed by the relevant regulations of the Bank; provided, however, that the Bank shall return to the Importer any payment subsequently received from the third party.
3. The Bank shall determine the rate, computation method, exchange rate and the application method with respect to interest, discount charge, default interest, fees, costs and expenses set forth in the above Paragraphs 1 and 2 and shall post such items in the Bank’s offices except those that are difficult to post.
Article 16. Sanctions
1. Representations (Warranties)
The Importer makes the following representations:
(1) neither the Importer nor any of its subsidiaries, directors, officers, employees, agents, or affiliates is an individual or entity (“Person”) that is, or is owned or controlled by Persons that are: (i) the subject of any sanctions issued, administered or enforced by the US Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the US Department of State, the United Nations Security Council, the European Union, Her Majesty’s Treasury, the Hong Kong Monetary Authority, or the Korean government (collectively, “Sanctions”), or (ii) located, organised or resident in a country or territory that is, or whose government is, the subject of Sanctions; and,
(2) any required import or export licenses applicable to each Letter of Credit have been obtained and certifies its compliance in all material respects with foreign and domestic laws and regulations pertaining to each jurisdiction in which it operates and to each Letter of Credit it instructs the Bank to issue and the subject matter of such Letter of Credit including, if applicable, the shipment and financing of the goods described in the Letter of Credit.
2. Waiver / Indemnification
The Importer acknowledges and agrees that:
(1) the Bank, HSBC Holdings plc, its affiliates and subsidiaries (together “HSBC Group”), and HSBC Group’s service providers are required to act in accordance with the laws and regulations of various jurisdictions, including those which relate to Sanctions and the prevention of money laundering, terrorist financing, bribery, corruption and tax evasion;
(2) the Bank may take, and may instruct other members of the HSBC Group to take, to the extent it or such member is legally permitted to do so under the laws of its jurisdiction, any action (a “Compliance Action”) that the Bank or any other member, in its sole discretion, considers appropriate to act in accordance with Sanctions or domestic and foreign laws and regulations. Such Compliance Action may include but is not limited to the interception and investigation of any payment, communication or instruction; the making of further enquiries as to whether a person or entity is subject to any Sanctions; and the refusal to issue, pay, renew, extend or transfer a Letter of Credit or to process any transaction or instruction that does not conform with Sanctions;
(3) unless otherwise provided by relevant governing law, neither the Bank nor any member of HSBC Group will be liable for any loss, damage, delay, or a failure of the Bank to perform its duties under this agreement arising out of or relating to any Compliance Action taken by the Bank, its service providers, or any HSBC Group member in its sole discretion; and
(4) The Importer will indemnify the Bank for all losses, costs, damages, claims, actions, suits, demands and liabilities (together, the “Losses”) suffered or incurred by or brought against the Bank arising out of or relating to any Compliance Action, provided, that such Losses are caused or contributed to by the negligence, misrepresentation or wilful misconduct of the Importer.
Article 17. Additional Documents
The Importer shall promptly submit approvals, recommendations, certificates, reports or any other documents related to the transactions hereunder, if the Bank requests such documents in accordance with the relevant laws and regulations.
Article 18. Term of Agreement
The Term of this Agreement is Indefinite. However, either the Bank or the Importer may terminate this Agreement if a reasonable ground exists, Notwithstanding the termination of this Agreement, the provisions of this Agreement shall continue to apply to the transactions entered into prior to such termination.

Article 19. Language
This Agreement shall be executed in the English language and the Korean language. In the event of any conflict between the English version and the Korean version, the Korean version shall prevail.
Article 20. Governing Rules
The Importer and the Bank hereby agree that matters not provided for in this Agreement, unless otherwise agreed, shall be governed by “Uniform Customs and Practice for Documentary Credits” and “Uniform Rules for Collections” adopted by the International Chamber of Commerce and relevant regulations of the Bank; provided, however, if there is any discrepancy between the above two rules and relevant regulations of the Bank, the above rules shall prevail.
