제 1조 적용범위

제 2조 xx xx의 xx
① 거래처는 이 약정서에 의한 모든 개별 xxxx에 관하여 외국환거래법, 시행령 및 xx과 기타 xx 법규를 xx 하고, 이를 위반함으로 인하여 발생하는 책임은 거래처가 부담할 것임을 보장합니다.
② 거래처는 개별 xx계약과 xx하여 xx 법령에 의하여 필요한 xx에는 개별 xx계약을 체결할 때나 그 이전에 xx계약의 xxxx를 입증하기 위한 xxxx 증빙서류 혹은 xx이 xx하는 기타 서류를 xx에 xx하기로 합니다.

제 3조 xx계약의 체결 및 xx
① 이 xx에 의한 개별 xx계약은 서면 합의서의 존부와 xx없이 거래처가 구두, 전화, 팩시밀리 또는 텔렉스로 xxxx를 xxx고 xx이 이를 xx한 때에 xx합니다.
② 거래처는 이 xx에 의한 개별 xx계약을 체결하고 결제에 관한 지시를 할 수 있는 권한을 부여받은 거래처의 xx담당자(“xx담당자”라 합니다)의 xx, 부서, 직책 및 이들이 사용할 인감, xx, 전화번호(“xx전화번호”라 합니다)는 xx이 별도로 정하는 xx에 의하여 서면으로 통보xxx 합니다. xx담당자와 xx전화번호는 수시로 xx될 수 있습니다.
③ 거래처는 제2항의 각 xx이 xx, 추가 또는 삭제되는 즉시 이를 xx이 별도로 xx xx에 의하여 서면으로 xx에 통지하기로 하며 이를 게을리함으로 발생하는 모든 xx·xx은 xx의 고의 또는 과실인 xx를 제외 하고는 거래처의 부담으로 합니다.
제 4조 시간외 xx 또는 장외 xx
이 xx에 의한 xx계약은 거래처 및 xx의 xx시간에 제한받지 아니하고 또한 거래처 및 xx의 사무실 내·외 어디에서든 제3조 제2항에 의한 xx담당자를 통하여 체결할 수 있습니다. xx시간 외에 또는 각 당사자들의 사무실 아닌 다른 장소에서 체결된 xx계약은 마치 그러한 계약이 xx시간중에 각 당사자들의 사무실에서 체결된 것과 같이 거래처 및 xx에 대하여 xx하고 구속력을 가집니다.
제 5조 xxxx의 확인 등
① 이 xx에 따라 xx한 모든 xxxx는 거래일 다음 5영업일 (본항에서 “영업일”이라 함은 xx의 xx업무 취급일을 xx합니다)까지 xx과 거래처간에 우편, 텔렉스, 팩시밀리 또는 기타 xxx단을 xxx여 xx된 확인서에 의하여 확인됩니다. xx은 xxxx의 체결 즉시 이 xxxx의 xx의 확인을 구하기 위하여 xx이 xx 절차에 따라 xxxx 확인서를 작성하여 거래처에 신속하게 교부하기로 합니다.
② 제1항의 확인서는 xx계약에 관한 xx의 증거에 불과하며, xx이 확인서를 작성하여 교부하지 않은 xx에도 당해 xx계약의 xx, xxx 또는 효력에는 xx을 주지 아니합니다. 거래처가 xx의 확인서를 받은 때로부터 3영업일 이내에 거래처의 서면에 의한 이의가 xx에 xx하지 아니한 때에는 확인서의 xx는 명백한 착오가 없는 한 정확한 것으로 봅니다.
③ 거래처는 xx이 이 xx에 따른 xxxx의 체결, 거래처의 지시 및 확인 등과 관련된 전화xx xx을 녹음할 수 있고 xxxx에 xx 분쟁 발생시 이 녹음 xx을 증거로 xx하는 것을 xx하고 이에 xx합니다.
제 6조 xx간의 xx
① 이 xx, 이 xx에 의해 규율되는 모든 xx계약 및 그와 xx하여 당사들간에 합의된 xx 계약xx 개별xx (그리고 동 xx이 xxxx확인서에 xx되어 있는 한, 각 확인서) 이 xx에 xx 부칙(있는 xx) 및 그에 xx 모든 xx(“개별xx”이라 합니다. 이하 같습니다)은 전체로서 당사자들간의 단일한 xx을 xx합니다. 당사자 들은, 이 약정서에 의해 규율되는 모든 xx xx는 그러한 개별 xxxx들이 전체로서 당사자들간의 분리불 가능한 단일한 계약을 xxx다는 것을 xxx건으로 하여 체결되었음을 확인합니다. 다만, 이 xx과 개별xx 사이에 불일치가 있는 xx에는 개별xx이 xx합니다.
② 이 xx에 의한 xxxx와 xx하여 거래처가 외국환어음의 매입, 외화표시xx 등 xxxx 이외의 xx를 의뢰한 xx에 있어서는 xxxx의 xx에 의하여 xx이 당연히 이들의 의뢰에 응낙한 것을 xx하는 것이 아님을 확인합니다.
제 7조 xx한도의 xx
모든 xxxx에 있어서 xx은 거래처별로 그 한도를 설정할 수 있습니다.
제 8조 담보와 보증
① 거래처는 xxxx의 xx와 xx하여 xx의 xx가 있을 때에는 xx이 만족할만한 담보를 제공하며, 거래처의 책임있는 사유로 xx이 악화되거나 담보물의 가액감소가 현저한 xx에는 xx의 xx에 의하여 xxxx 또는 담보의 보충을 xxx합니다.
② 거래처는 이 약xx xx에 예치한 xx 기타xx 및 어떠한 목적으로든지 xx의 xx·xx 또는 xx에 속하 거나 속하게 될 거래처의 청구권, 금전, xx, xx, xx상품, xxxx, 기타 xx, 권리 또는 xx에 관하여 xx이 담보권 및 xx권을 가진다는 것에 xx합니다.
③ 이 약정서에 xx날인한 보증인x x xx과 개별xx의 구속을 받으며 거래처와 연대하여 이에 따른 일체의 xx를 부담합니다.
제 9조 계약보증금의 예치
① xx의 xx측정에 관한 xx에 의거 xx xx계약이행을 보증하기 위해 필요하다고 xx하여 xx이 xx하는 xx에는 거래처는 xx이 xx 예치기간 및 예치방법에 따라 계약보증금을 예치합니다.
② 환율의 변동 또는 거래처의 xxx태의 현저한 악화 등으로 인하여 개별 xxxx에 중대한 지장을 xx한다고 판단될 때에는 xx은 거래처에 계약보증금의 추가 예치를 xx할 수 있습니다.

1. 한국xx이 환율의 변동에 대하여 시장에 직접 개입하거나, 지급준비율, 할인율 등의 정책을 xx하게 되는 xx
2. 환율의 변동으로 인하여 거래처가 지급결제일 등에 개별xx계약xx xx를 이행하는 것이 어려운 xx
④ 제2항의 거래처의 xxx태의 현저한 악화란 다음의 xx를 xx합니다.
1. 거래처가 기업인 xx에 한하여, xxx용평가xx의 평가에 따른 거래처의 xx등급이 현저히 하락(2단계 이상 등) 한 xx

5. 거래처의 xxx에 큰 xx을 미칠 수 있는 수사 개시 또는 xx에 중대한 xx을 미칠 수 있는 xx 등 법적 분쟁이 발생한 xx
6. xx여xxx기본xx(기업용)제7조에 의한 기xxx xx사유가 발생한 xx
제 10조 xx에 의한 인도일의 xx 또는 계약의 종료 등
① xx 법령 및 xx 등의 xx, xx지변, 폭동, 소요, 내란, 전쟁 또는 기타 불가항력과 같은 xx의 책임이 없는 사유로 인하여 개별계약의 결제일 또는 만기일, 기타 xx를 이행xxx 할 날에 xx이 이 약정서 또는 개별 xx계약xx xx를 이행하는 것이 불가능하게 된 xx xx은 거래처와의 협의 후 그러한 사유가 종료할 때까지 인도일을 xx할 수 있습니다.
② 제1항의 xx xx은 당해 개별 xx계약을 xx하거나 거래처의 xx에 따라 반대xx로써 개별 xx계약을 종료시킬 수 있으며 이 xx 적용할 환율은 당시의 시xxx xx을 고려하여 xx이 정할 수 있습니다.
③ 반대xx로써 xx계약을 xx 또는 종료할 xx 거래처가 xx에 지급xxx 할 xxx상액은 당해 개별계약의 종료 또는 xx 당시 xx이 정하는 특정시점에서 xx이 금융시장에서 제3자와 당해 개별계약과 동일한 조건의 새로운 계약을 체결하고자 할 xx 소요되거나 소요될 모든 xxx용에서 반대xx로 발생하는 xx을 가감한 금액으로 합니다. 이 xx xx이 실제로 새로운 계약을 체결하는지의 여부는 불문합니다.
제 11조 거래처에 의한 인도일의 xx 또는 xx 등
거래처가 부득이한 xx에 의하여 이 xx에 의한 개별 xx계약을 xx하거나 또는 그 인도일을 xxx고자 하는 xx에는 xx의 xx를 얻어야 합니다.
제 12조 xx에 의한 xx
① 거래처에 관하여 xx여xxx기본xx 제7조 제1항 내지 제5항 xx의 사유가 xx라도 발생한 xx, xx은 거래처에 xx조치를 요구할 수 있고, xx이 xx조치 xx시 통지한 xx까지 거래처가 적절한 조치를 취하지 아니한 때에는 거래처와 체결한 xx의 전부 또는 일부를 xx할 수 있습니다. 다만, 거래처에게 xx여xxx 기본xx 제7조 제1x x3호(파산, 회생절차 개시의 xx 등) 등 xx이 xxx 불가능하거나 계약위반의 xx가 중하여 계약의 목적을 xx할수 없는 xx에 이른 때에는 xx은 즉시 계약을 xx할 수 있습니다.
② 제1항에 의하여 개별 xx계약이 xx된 xx 거래처는 그로 인하여 xx이 입은 손해를 xx이 xx 근거를 명시하여 xx하는 바에 따라 xx에게 배상xxx 합니다.
③ 제1항에 의하여 개별 xx계약이 xx된 xx xxx x9조에 따라 예치된 계약보증금을 비롯하여 xx에 제공된 담보 등을 이 xx에 의한 xx 기타 xx의 모든 xx과 xx 또는 그 변제에 충당할 수 있습니다.
제 13조 결제 등
① 거래처는 인도일에 개별 xx계약서에서 xx 바에 따라 xx된 통화금액을 지급하기로 합니다.
② 개별 xx계약에 xx 명시되어 있지않는 한 거래처는 xx에게 거래처가 xx에 개설한 모든 xx에서 xx 계약의 결제를 위하여 xx할 권한을 부여합니다. xx이 거래처의 xx에서 xx한 xx 지체없이 고객에게 그 xx을 통지합니다.
③ 거래처의 xx담당자와 xx에 등록된 거래처의 인감이 날인된 서면청구서 또는 영수증을 소지한 자는 누구든지 xx과의 xx계약의 결제와 xx하여 거래처의 xx에 따라 xx이 발행하는 자기앞 xx 등을 xx할 권한이 있으며 xx의 고의 또는 과실이 없는 한 문서의 위조, 변조, xx 등의 사고로 인한 모든 손해는 거래처가 부담 하기로 합니다.
제 14조 결제에 관한 특약
이 xx에 따른 개별 xx계약의 결제에는 다음 각 항을 적용합니다.
① 경개에 의한 xx(Netting by Novation)xx-어느 개별 xx계약(“계약A”)에 따라 거래처 또는 xx이 특정 통화 (“제1통화”)를 다른 통화(“제2통화”)와 xx하여 상대방에게 인도해야 하는 인도일이 같은 날 또는 그 후에 체결된 다른 개별 xx계약(“계약B”)에 따라 xx 또는 거래처가 제1통화를 제2통화 또는 기타 다른 통화(“제3통화”)와 xx하여 상대방에게 인도해야 하는 인도일과 일치하는 xx, 후에 체결된 계약B의 체결과 동시에 계약A와 계약B에 따른 xx는 자동적으로 소멸하고 다음과 같이 결정되는 새로운 xx에 의하여 대체된 것으로 봅니다.
1. 제1통화에 관하여(제2통화가 계약A, 계약B에 공통되는 xx 제2통화에 관하여도) 어느 한 당사자가 인도해야 할 금액이 상대방으로부터 인도받을 금액을 초과하는 xx 그 당사자는 상대방에게 그 초과 금액만을 인도일에 인도해야 합니다.
2. 제1통화에 관하여(제2통화가 계약A, 계약B에 공통되는 xx 제2통화에 관하여도) 어느 한 당사자가 인도해야 할 금액이 상대방으로부터 인도받을 금액과 동일한 xx에는 새로운 xx는 발생하지 않습니다. 다만, 본조에 따른 xx의 효과는 공통되는 통화에 xx되며, 계약A와 계약B에 따라 xx 또는 거래처가 서로 상이한 통화를 인도해야 할 xx를 부담하는 xx에는, xx 또는 거래처가 위 인도일에 각 상이한 통화를 인도해야 할 xx는 본 xx에 의하여 xx을 받지 아니합니다. 거래처는 제3자가 제공한 보증, 담보 등은 본 xx에 의하여 발생하는 새로운 xx를 계속하여 보증하고 담보하는 것임을 확인합니다.
② 차액결제(Settlement Netting)xx-어느 개별 xx계약(계약”X”)에 따라 거래처가 일정한 통화(“제1통화”)를 다른 통화(“제2통화”)와 xx하여 xx에 인도해야 할 xx가 있는 xx의 인도일이, 다른 개별 xx계약(“계약 Y”)에 따라 xx이 제1통화를 제2통화와 xx하여 거래처에 인도해야 할 xx가 있는 xx의 인도일과 일치하는 xx 위 계약들에 의한 결제는 자동적으로 다음과 같이 차액결제의 방법으로 행하여지며 차액결제에 의하여 “xxX” 및 “xxY”에 따라 xx 및 거래처 각자의 인xxx는 인도일에 자동적으로 충족되고 이행된 것으로 봅니다.
1. 각각의 통화에 관하여 어느 한 당사자가 인도해야 할 금액이 상대방으로부터 인도받은 금액을 초과하는 xx 그 당사자는 상대방에게 그 초과 금액만을 인도일에 인도해야 할 xx가 있다.
2. 어느 한 당사자가 인도해야 할 금액이 상대방으로부터 인도받을 금액과 대등한 xx에는 쌍방의 인xxx는 자동적으로 xx되어 소멸한다.
③ 제2항의 차액결제xxx x1항에 의거 경개되는 계약을 포함한 여하한 모든 계약에 적용됩니다.
제 15조 xx 등의 부담
① 이 xx에 의한 모든 xxxx의 xx 또는 이행 등과 xx하여 발생하는 수수료, xx(변호사 xx 등 법적 절차에 따른 xx을 포함합니다), xxx상금 등에 대하여는 xx의 고의 또는 과실이 없는 한 xx 거래처가 부담하고 거래처는 xx이 xx근거를 명시하여 xx하는 바에 따라 이를 지급합니다.
② 거래처 또는 xx이 인도일에 xx를 이행하지 아니한 때에는 그 인도할 금액에 대하여 인도일로부터 실제 이행 일까지 당해 통화가 xxx xx( )의 연체이율로, 당해 통화가 외국통화인 xx( )의 연체 이율로 xx한 xxxxx을 지급합니다.
③ 제1항, 제2항의 수수료, xx, xxx상금, xxxxx 등의 요율, xx방법 및 환율과 그 적용방법x x 약정서 또는 개별 xx계약서에서 xx 정하고 있지 않는 한 xx이 정하며 xx은 성질상 고시하기 어려운 것(이 xx에 의한 모든 xxxx의 xx 또는 이행 등에 따른 법적 xx, 대체xx에 따른 xxxx 또는 이와 유사한 xx로서 사안에 따라 금액의 편차가 큰 xx들을 말한다.)을 제외하고 이를 고시하기로 합니다. 다만, 거래처가 xx의 xx방법 등에 관하여 이의를 xx하는 xx에는 xx은 이를 심사하여 그 결과를 통지합니다.
④ 법원의 판결 또는 xx에 따른 배당 등으로 인하여 일방 당사자(“xxx”)가 xx된 통화(“계약통화”) 이외의 통화 (“지급통화”)로 타방 당사자(“xxx”)에게 지급 또는 xx한 xx xxx의 xx는 지급통화를 계약통화로 xx한 금액 상당액 한도내에서만 이행되어 소멸되는 것으로 합니다. xxx 적용할 환율은 그러한 지급 또는 상환일의 계약통화에 xx xx의 대고객 xxx매매율에 따릅니다. 계약통화로 xx한 금액 상당액이 xx 지급xxx 할 계약통화 금액에 미달하는 xx xxx는 xxx에게 그 부족금을 지체없이 지급하기로 합니다. 계약통화로 xx한 금액 상당액이 xx 지급xxx 할 계약통화 금액을 초과하는 xx에는 xxx는 그 초과 금액을 xxx 에게 지급합니다. 위 부족금 또는 초과금 지급xx는 기존 xx계약에 따른 지급xx와는 별개의 독립한 xx로 봅니다.
제 16조 양도
이 약xx 양 당사자와 각각의 승계인 또는 xxx에게도 효력이 미칩니다. 다만 거래처는 xx의 사전 서면 xx 없이는 xxxx에 의한 권리를 제3자에게 양도하거나 담보로 제공할 수 없습니다.
제 17조 적용기간
이 xx의 적용기간은 정하지 않기로 합니다. 다만, 부득이한 사유가 있는 xx xxxx 거래처는 이 xx을 xx 할 수 있으며, xx의 효력x x 약정서에서 xx 정하지 않는 한 당사자 일방이 다른 당사자의 서면통지를 xx하는 때 발효합니다. 이 xx xx전에 이루어진 xx에는 이 xx이 계속 적용됩니다.
제 18조 언어
이 xx은 국문과 xx으로 작성되며 국문본과 xx본이 상치되는 xx에는 국문본이 xx합니다.
제 19조 준거법령 등
거래처와 xxx x xx에 없는 사항에 대하여 따로 정함이 없는 한 대xxx의 외국환xx법규 및 xx의 xxxx xx xx에 따르기로 합니다.

The above-referenced customer (the “Customer”) and above-referenced bank (the “Bank”) hereby agree that the General Terms and Conditions for Credit Transactions (for Company) (the “General Terms and Conditions”) shall apply to any and all transactions set forth in Article 1 and also agree to be bound by the following provisions.
Article 1. Scope of Application
This agreement (the “Agreement”) shall apply to each of the following transactions currently outstanding or to be entered into hereafter:
1. purchase and sale of local currency and foreign currency (including spot trades);
2. purchase and sale of two or more foreign currencies (including spot trades);or
3. any and all other foreign exchange transactions.
Article 2. Compliance with Relevant Regulations
(1) The Customer agrees to strictly comply with the Foreign Exchange Transaction Laws, Decrees and Regulations, and any other relevant laws and regulations with respect to any and all individual foreign exchange transactions under this Agreement and agrees to bear full responsibility for any violation thereof.
(2) The Customer agrees to provide the Bank with the documents evidencing the underlying transaction to substantiate each foreign exchange contract, or such other document as the Bank may request on or prior to execution of the relevant contract, if required under relevant laws related to such foreign exchange contract.
Article 3. Formation and Effectiveness of Foreign Exchange Transaction
(1) Regardless of whether confirmed in writing or not, a binding foreign exchange contract under this Agreement shall be deemed to have been formed when the Bank receives and accepts the application for a foreign exchange transaction submitted by the Customer to the Bank orally, by telephone, facsimile or telex.
(2) The Customer shall inform the Bank in writing in the Bank’s prescribed format of the name, department, title, seal, signature and telephone number (the “Authorized Telephone Number”) for each of the persons (the “Dealer”) who is authorized to execute any kind of individual foreign exchange contract and to give any settlement instruction. The Dealer and the Authorized Telephone Number may change from time to time.
(3) The Customer shall immediately notify the Bank in writing in the Bank’s prescribed format, if there is any change in each item referred to in the preceding Paragraph (2) and all losses and charges which occur due to the Customer’s neglect of or delay in sending the notice shall be borne by the Customer unless such losses and charges occur due to willful misconduct or negligence of the Bank.
Article 4. Off-Hour and Off-Site Transactions
The Customer and the Bank may enter into, through the Dealer described in Paragraph (2) of Article 3, foreign exchange contracts under this Agreement at or outside of the Customer’s or the Bank’s office and within or outside the Customer’s or the Bank’s business hours. Such foreign exchange contract which has been entered into at a place other than each party’s office outside business hours shall be equally valid and biding on the Customer and the Bank as if such contract had been entered into at each party’s office during business hours.
Article 5. Confirmation, Etc.
(1) Any foreign exchange transaction entered into hereunder shall be confirmed by the written confirmation (the “Confirmation”) exchanged between the Customer and the Bank by mail, telex, facsimile or other electronic means within five (5) business days from the date of transaction (the term “business day” shall mean the day on which the Bank is open for foreign exchange businesses). The Bank agrees to promptly issue the Confirmation documenting the foreign exchange transaction in accordance with the procedure prescribed by the Bank.
(2) The Confirmation described in the preceding Paragraph (1) is mere evidence of a foreign exchange contract and the Bank’s failure to issue the Confirmation shall not affect the formation, validity and effectiveness of such foreign exchange contract. If a written objection of the Customer is not received by the Bank within three (3) business days of the Customer’s receipt of the Bank’s Confirmation, the contents of to Confirmation shall be deemed to be accurate, absent a manifest error therein.
(3) The Customer agrees that the Bank may electronically record all telephonic conversations between the parties hereto in connection with the foreign exchange transactions entered into hereunder, the Customer’s instruction and confirmation, etc. and that the Bank may use such records as evidence in the event of disputes over the contents of the foreign exchange transactions.
Article 6. Relationship between Agreements
(1) This Agreement, all foreign exchange contracts governed by this Agreement, any particular terms agreed between parties in connection therewith (and, if such terms are recorded in a Confirmation, each such Confirmation), the Schedule attached hereto (if any) and all amendments to any such agreements “(Individual Agreement”) shall form a single agreement between the parties hereto and the parties acknowledge that all foreign exchange contracts governed by this Agreement are entered into in reliance on the fact that all such agreements form an inseparable single agreement between the parties. In the event of any inconsistency between this Agreement and the Individual Agreement, the latter will prevail for the purpose of the relevant transaction.
(2) The Customer acknowledge that the Bank’s agreement to enter into a foreign exchange contract with the Customer shall in no way imply that the Bank will purchase a bill of exchange payable by a foreign obligor or to make a foreign currency loan in connection with a foreign exchange transaction entered into hereunder.
Article 7. Establishment of Transaction Limit
For all foreign exchange transactions, the Bank may establish a transaction limit for the Customer.
Article 8. Security and Guarantee
(1) The Customer agrees to furnish, upon demand by the Bank in relation to the obligations under the foreign exchange transactions, such security as is satisfactory to the Bank and in the event the Customer’s credit standing is deteriorated or the value of the security is notably decreased due to reasons attributable to the Customer, the Customer shall upon demand by the Bank restore the original value of the security or provide supplemental security in addition to the existing security.
(2) The Customer hereby agrees that as security for the Customer’s obligations hereunder, the Bank shall have rights of security upon, and of set-off against, any deposit or account, which the Customer may have with the Bank and all the Customer’s claims, money, shares, bonds, foreign exchange commodities, commercial instruments and other property, rights or interests which have or shall, for any purpose, come into the possession, custody or control of the Bank.
(3) The Guarantor who executes this Agreement and affixes his/her seal hereon agrees to be bound by this Agreement and the Individual Agreement and shall be responsible for any and all the claims by the Bank against the Customer jointly and severally.
Article 9. Deposit of Guarantee Money
(1) The Customer shall deposit the guarantee money upon the Bank’s request according to the period and method of deposit specified by the Bank, if it is deemed necessary for the purpose of securing the Customer’s performance of the relevant foreign exchange contract under the Bank’s regulation on credit appraisal.
(2) If the Bank judges that any individual foreign exchange transaction may be adversely affected due to fluctuation of the exchange rate and financial situation or significant deterioration of the Customer’s credit standing, the Bank may demand the Customer to deposit additional guarantee money.
(3) The fluctuation of the exchange rate specified in the preceding Paragraph (2) means the following cases:
(a) the Bank of Korea directly intervenes in the foreign exchange markets, or executes policies such as reserve
requirements ratio policy, ratio of discount policy against the fluctuation of the exchange rate; or
(b) it is difficult for the Customer to perform the obligations under any foreign exchange contract on due date etc. due to fluctuation of the exchange rate.
(4) Significant deterioration of the Customer’s credit standing specified in the preceding paragraph (2) means the
following cases:
(a) if the Customer is a corporation, the credit ratings given by certified credit appraisal agency are considerably downgraded (two or more grades);
(b) it is difficult to maintain normal credit transaction due to change of management;
(c) in the event that the auditor’s opinion is negative or opinion is declined pursuant to an audit done by the external auditors;
(d) considerable depreciation of the Customer’s credit standing has been reported in the mass media such as newspapers, or TV and such reports prove to be true;
(e) an investigation which may affect the credit standing of the Customer adversely is instituted or legal disputes including lawsuit which may adversely affect business occur; or
(f) any event occurs the effect of which is to accelerate the maturity of any of the Customer’s obligations to the Bank pursuant to Article 7 of the General Terms and Conditions.
Article 10. Extension of Delivery date or Termination of Contract by the Bank
(1) If the Bank is unable to perform any obligations under this Agreement or any individual foreign exchange transaction due to change of relevant laws and regulations, or any other causes not attributable to the Bank such as natural disaster, riot, commotion, rebellion, war or any other force majeure on the due date or the maturity date, the Bank may extend the delivery date until the date on which such impediments cease to exist after consultation with the Customer.
(2) In case of the preceding Paragraph (1), the Bank may cancel the relevant foreign exchange transaction, or terminate the foreign exchange transaction by entering into a reverse transaction at the request of the Customer and the applicable exchange rate may be determined by the Bank taking into account the then market situations.
(3) If the foreign exchange transaction is liquidated or terminated by a reverse transaction, the Customer shall compensate the Bank for any loss incurred. This compensation shall include the Bank’s cost of making a new transaction under the same condition with a third party in the financial market on a specific day determined by the Bank at the time of termination or liquidation. And any profit made or loss incurred from this transaction shall be deducted from or added to the compensation. This shall be effective whether the Bank actually makes a new transaction or not.
Article 11. Change of Delivery date or Cancellation by the Customer
The Customer may cancel an individual foreign exchange contract under this Agreement or change the delivery date under unavoidable circumstances with the consent of the Bank.
Article 12. Cancellation by the Bank
(1) Upon the occurrence with respect to the Customer of any event referred to in Article 7, Paragraphs 1 to 5 (Acceleration of Payment) of the General Terms and Conditions, the Bank may demand corrective actions of the Customer and, if the Customer fails to take proper actions by the date notified as set for such corrective actions, the Bank may cancel all or any part of the outstanding foreign exchange contracts, provided, however, that upon the occurrence of any event referred to in Article 7, Paragraph 1, Subparagraph (3) (bankruptcy, petition for rehabilitation process etc) of the General Terms and Conditions of which correction is no doubt impossible or if material breach of the contracts makes it impossible to achieve the objectives of such contracts, the Bank may immediately terminate the contracts.
(2) If an outstanding foreign exchange contract is canceled pursuant to Paragraph (1), the Customer shall indemnify the Bank for any damage incurred by the Bank due to such cancellation in an amount requested by the Bank as calculated on the basis of a detailed statement furnished by the Bank to the Customer regarding the calculation of the damage.
(3) If an outstanding foreign exchange contract is canceled pursuant to Paragraph (1), the Bank may use the collateral furnished by the Customer, including the guarantee money deposited in accordance with Article 9 hereof for set-off or for application towards satisfaction of Customer’s liabilities.
Artic 13. Settlement
(1) The Customer agrees to deliver on the delivery date the amount of currencies as agreed in the foreign exchange contract.
(2) Unless otherwise specified in the foreign exchange contract the Customer shall authorize the Bank to debit any account the Customer maintains with the Bank for settlement of the foreign exchange contracts. In case the Bank debits the Customer’s account, the Bank shall immediately notify the Customer of the details thereof.
(3) The Dealers and any person with a written request or a receipt bearing the seal of the Customer which has been filed with the Bank shall be authorized to collect manager’s check as may be issued by the Bank at the request of the Customer, provided that the Customer shall be liable for any losses and damage arising from forgery, alteration, wrongful use, etc., of such document, absent intentional wrongdoing or negligence on the part of the Bank.
Article 14. Special Provision on Settlement
The following provisions shall apply to the settlement of each foreign exchange contract pursuant to this Agreement:
(1) Netting by Notation- If any delivery date on which the Customer or the Bank is obligated to deliver to the other party particular currency “(First Currency”) in exchange for another currency “(Second Currency”) pursuant to a foreign exchange contract “(Contract A”) coincides with the delivery date on which the Bank or
the Customer is obligated to deliver to the other party the First Currency in exchange for the Second Currency or any other currency “(Third Currency”) pursuant to another foreign exchange contract “(Contract B”) which has been entered into on or after the date of execution of Contract A, the obligations arising from Contract A and the Contract B shall be automatically canceled simultaneously with execution of Contract B and replaced by new obligations as specified below :
(a) If the amount of the First Currency (the Second Currency as well if the Second Currency is involved in both Contract A and Contract B) that would otherwise have been deliverable by one party on the delivery date exceeds the amount of such currency that would otherwise have been deliverable by the other party, the party who would have been obligated to deliver the larger amount shall be obligated to deliver to the other party only the amount of the excess on the delivery date.
(b) If the amount of the First Currency (the Second Currency as well if the Second Currency is involved in both Contract A and Contract B) that would otherwise have been deliverable by one party to the other party is equal to the amount of such currency that would otherwise have been deliverable by the other party, no new obligation shall arise.
(2) Settlement Netting-If any delivery date on which the Customer is obligated to effect a sale to the Bank of a certain currency “(First Currency”) in exchange for another currency “(Second Currency”) pursuant to a foreign exchange contract “(Contract X”) coincides with a delivery date on which the Bank is obligated to effect a sale to the Customer of the First Currency in exchange for the Second Currency pursuant to another foreign exchange contract “(Contract Y”), the settlement of such contracts shall be performed automatically on a net payment basis in such manner as described below and the respective payment obligation of the Bank and the Customer under Contract X and Contract Y shall be deemed to be satisfied and discharged on the delivery date by the net settlement:
(a) with respect to each currency, if the amount of a currency that would have been deliverable by one party exceeds the amount of such currency that would have been deliverable by the other party, the party by whom the larger amount would have been deliverable shall be obligated to pay the other party the net amount of the differential on the delivery date; or
(b) if the amount of a currency that would have been deliverable by one party is equal to the amount of such currency that would have been deliverable by the other party, the payment obligation of each party will be set off automatically against the payment obligation of the other party.
(3) The settlement netting described in the preceding Paragraph (2) above shall apply to all contracts including any contract that is novated pursuant to the preceding Paragraph (1).
Article 15. Expenses
(1) The Customer shall be liable for any and all costs whatsoever, including the fees and expenses (including expense of counsel and the costs for legal proceedings) and compensation for damage incurred in connection with the preparation, due execution and implementation of all foreign exchange transactions under this Agreement absent negligence or wrongful misconduct on the part of the Bank, and the Customer shall pay the amount at the Bank’s request which shall include the calculation.
(2) If the Customer or the Bank fails to perform its obligation on the delivery date, the Customer or the Bank shall pay the default interest accrued on such amount for the period from the delivery date to the actual payment date, calculated at the default rate of [ ] in case of Won currency or at the default rate of [ ] in case of foreign currency.
(3) The Bank shall determine the rate and calculation method applicable to the fees, expenses, the compensation for damage and the default interest set forth in the preceding Paragraphs (1) and (2), and the exchange rate and application thereof unless otherwise specified in the individual foreign exchange contract or this Agreement, and the Bank shall notify the above, except any which is difficult to notify in nature (which means items of which amount varies greatly depending on cases, including legal expenses arising from preparation or conducting of foreign exchange transactions hereunder, transaction expenses arising from substitute transactions, or any case similar thereto); provided, however, that the Customer raises an objection to the Bank’s calculation method, etc., the Bank shall examine the case and notify the Customer of the examination results.
(4) If one party (the “Debtor”) has paid or reimbursed to the other party (the “Creditor”) in a currency (the “Payment Currency”) other than the currency agreed under the relevant contract (the “Contract Currency”) as a result of judgment of a court or distribution resulting from any liquidation, the Debtor’s obligation shall be discharged only to the extent of the equivalent amount of the Payment Currency converted into the Contract Currency. In such event, the applicable exchange rate shall be the Bank’s selling rate for telegraphic transfer applicable to the Contract Currency as of the date of payment or reimbursement. If the equivalent amount converted into the Contract Currency is less than the amount originally due to the Creditor in the Contract Currency, the Debtor agrees to promptly pay the Creditor such deficiency. If the equivalent amount converted into the Contract Currency exceeds the amount originally due to the Creditor in the Contract Currency, the Creditor agrees to pay to the Debtor such excess. The payment obligations of deficiency or excess shall be deemed separate and independent obligation from the other obligations under the existing foreign exchange contract.
Article 16. Assignment
This Agreement shall be binding upon and inure to the benefit of each party hereto and its successors and assignees, provided that the Customer may not assign or transfer any interest and right in foreign exchange transactions entered into hereunder to any third party without the prior written consent of the Bank.
Article 17. Term of Agreement
The period of this Agreement shall not be determined: provided that, the Bank or the Customer may terminate this Agreement if a reasonable ground exists, and termination is effective when one party receives the notice from the other party unless otherwise specified herein. Notwithstanding the termination of this Agreement, the provisions of this Agreement shall continuously apply to the transactions executed prior to such termination.
Article 18. Language
This Agreement shall be executed in the English language and the Korean language. In the event of any conflict
between the English version and the Korean version, the Korean version shall prevail.
Article 19. Governing Law
With respect to any matter not governed by this Agreement, the Customer and the Bank shall comply with the laws and regulations relating to foreign exchange in the Republic of Korea and the Bank’s regulations relating to foreign exchange transactions unless otherwise specified.
