(further in the text PARTNER, the both companies are further in the text titled PARTIES). The PARTIES listed above hereby agree that they shall be considered partners in business for the following purpose:

1. VIENOŠANĀS PRIEKŠMETS

Ievērojot šī līguma nosacījumus, PUSES

    1. viena otrai sniedz pakalpojumus, kas saistīti ar PK rīkotajiem pasākumiem laika periodā 01.07.2020-31.07.2021. Latvijas sacensību dalībnieku komandas sagatavošanai un atbalstam priekš Bocuse d’Or European pusfināla sacensībām Tallinā 15-16.10.20, Igaunijā, kā arī zemāk minētajām PK gada aktivitātēm.

    2. vienojas, ka PARTNERIS iesaistās KONKURSU norisēs kā atbalstītājs, sponsors vai ģenerālsponsors, sniedzot līgumā minētos pakalpojumus;

    3. vienojas par sponsora statusam atbilstošu atbalstu _______________ € (_____________ ) EUR apmērā, ko PARTNERIS varēs nodrošināt dalot ( atbilstoši iepriekš minētajam atbalsta sadalījumam) pārtikas produktu, citu nepieciešamo inventāru un priekšmetu veidā, transporta un izmitināšanas veidā, vai sedzot citas ar konkursu sagatavošanu saistītos izdevumus, kas radīsies komandas sagatavošanas gaitā.

    4. Otrais atbalsta līmeņis : sponsors.

1. SUBJECT OF THE AGREEMENT

1.1 On behalf of this Partnership Agreement the PARTIES shall provide their services and best efforts to each other, referring to the events organized by PK (01.07.2020-31.07.2021) for sponsorship of Latvian competitor team (chef, commis chef and a coach) for Bocuse d'Or European semi final competition in Tallin 15-16.10.20, Estonia, and furtherer mentioned activities performed by XX.

1.2 Agree that the PARTNER is involved in the COMPETITIONS as a Supporter, Sponsor or the General Sponsor, providing the services enlisted in the Partnership Agreement;

1.3. Agree that the Sponsor shall provide the financial support in compliance with the Sponsor’s status, the amount of € _________

(____________) EUR.

Sponsorship can be proceded partly (according to the sponsorship split previously mentioned ) by the food ingredients, other products, traveling and accomodation gift vouchers or other type of Bocuse d'Or Latvia. As well as PK events expense coverage in terms of training of the Latvian competitor team. 

1.4 second levels of sponsorship: sponsor level.

2. PK APŅEMAS (atbilstoši PARTNERA sponsora statusam):

    1. nodrošināt PARTNERA logotipa izvietošanu printētajos materiālos, dalībnieku formā, visā iepriekš minētajā laika periodā.

    2. Organizējot speciālās četras labdarības atskaites vakariņas Virtuves Studijas un citās telpās Pop up konceptā (datumi: 25.11.21/15.12.21/29.02.21/13.03.21), degustācijas un prezentācijas iesaistīt PARTNERI, tādā veidā reklamējot to un/vai viņa izvēlēto produktu.

    3. Izvietot PARTNERA logo Bocuse d’Or Latvija marketinga video pēdējā kadrā. PK apņemas video izplatīšanu sociālos tīklos Latvijas tirgū.

    4. Rīkojot modulārās pavāru programmas izglītojošos seminārus profesionālajās pavāru skolās –5 grupas stažēšanas 4 dienu garumā ārpus Rīgas un viens seminārs Skills ietvaros, sadarbībā ar VIAA 2020.gada novembris -2021.gada maijs, atspoguļojot PARTNERA logo un produktu sortimentu.

    5. Rīkojot Novadu Garšas konferenci (02.10.20-03.10.20) nodrošināt PARTNERA atpazīstamību un produktu sortimenta atspoguļošanu. Izmantot partnera produktus “Latvijas 2020.gada pavāra” konkursa ēdienu gatavošanas laikā. Dod iespēju piešķirt dāvanas konkursantiem apbalvošanas laikā.

2. PK OBLIGATIONS (in compliance with the PARTNER’S sponsor’s status):

2.1. PK is taking obligation to communicate socially using the sponsor logo, on printed materials, competitors’ uniform, all the culinary and social event organized by PK while the contract is valid. 

2.2 Organizing four charity dinners in Virtuves Studija and Pop up conceptual dinner to show and expalain Bocuse d’Or team Latvia participation (25.11.20/15.04/29.02.21/13.03.21), showcasing the the products of the PARTNER to promote a company or/and products.

2.3 To place PARTNER logo in Bocuse d’Or Latvia marketing video in the last frame. The video will be used in social media for Latvian market by PK.

2.4 While performing modular education workshops for professional chef schools – 5 outside Riga and one within Skills competition 2020 November to 2021 may., to showcase PARTNER logo and products.

2.5 To showcase PARTNER’s products and logo in Novadu Garšas conference (02.10.20-03.10.20). To use the PARTNER ingredients in “Latvian chef of the year 2020” competition food preparation and give the possibility for showing the products or logo price giving ceremony.

2.6 The special extra events – 4 master classes on the yearly bases, to be detailed in addition to this contract, clearly discussed, approved and sign by the both parties not earlier than 2 month before the event.

3. PARTNERIS APŅEMAS (atbilstoši izvēlētajam sponsora statusam):

    1. nodrošināt PK ar KONKURSANTIEM nepieciešamo partnera produkciju;

    2. nodrošināt PK rīkotājus ar nepieciešamajiem PARTNERA informatīvajiem un reklāmas materiāliem bez maksas; materiāli jāiesniedz otrai PUSEI šādos formātos:

• fotogrāfijas: *.jpg vai *.tiff (lielākas par 4 Mpix);
• logotips: *.eps, *.ai, vai *.cdr vektoru formātā (papildus arī *.jpg, *.pdf vai *.png);
• video: *.mpeg, *.mov, *.mpeg-4, *.dv, maksimālais video rullīša laiks ne liekāks kā 5 minūtes;

    1. apmaksāt līguma punktā 1.3 minēto summu atbilstoši PK izrakstītajā rēķinā norādītajam termiņam;

3. THE PARTNER’S OBLIGATIONS (in compliance with the Sponsor’s chosen status):

    1. to guarantee the supply of necessary PARTNER’S products for the PK COMPETITORS;

    2. to supply the PK organizers with all the necessary PARTNER’S informative and commercial materials free of charge; the materials to be presented to the other partners in the formats as follows:

• photographs: *.jpg or *.tiff (larger than 4 Mpix);
• logos: *.eps, *.ai, or *.cdr in the vector format (in addition also *.jpg, *.pdf or *.png);
• video: *.mpeg, *.mov, *.mpeg-4, *.dv, the maximum video clip time shall not exceed 5 minutes;

    1. to transfer the payable sum in accordance with the item 1.3 in compliance with PK given payment bill ;







5. VIENOŠANĀS TERMIŅŠ

Vienošanās stājas spēkā ar tās parakstīšanas brīdi un ir spēkā līdz 2020. gada __________.

5. TERMINATION OF THE AGREEMENT

The term of this Agreement shall start at the moment when it is signed and terminates for the period on ______________ 2020.

6. CITI NOTEIKUMI

    1. Par otrai PUSEI nodarītajiem zaudējumiem, kas radušies, neizpildot vai nepilnīgi izpildot vienošanās noteikumus, vainīgā PUSE atlīdzina otrai PUSEI nodarītos zaudējumus; zaudējumu segšana neatbrīvo no vienošanās un saistību izpildes pienākuma.

    2. Neviena no PUSĒM netiek uzskatīta par atbildīgu vienošanās noteikumu neizpildē vai nepilnīgā izpildē, ja tas noticis cilvēka vai dabas izraisītu katastrofu rezultātā, masu nekārtību, militārās darbības, kā arī valsts institūciju lēmumu rezultātā.

    3. Visus strīdus PUSES risina sarunu ceļā. Ja neizdodas panākt vienošanos, strīds pēc pušu iesniegtajiem dokumentiem tiek izskatīts Biznesa šķīrējtiesā saskaņā ar tās reglamentu viena tiesneša sastāvā.

6. DISPUTES

6.1 The losses of the partnership that might be suffered by the other Party, that might occur due to the failure to perform in full or partly the conditions of the Agreement, shall be compensated by the guilty party to the PARTNER, the compensation of the losses shall not release the guilty party from fulfilling the mutual obligations under the Agreement.

6.2 No PARTY shall be deemed guilty for not performing the obligations in full or partly, if the failure has occurred as a result of a person’s accident or nature disaster, mass disorders, military actions, or due to the orders issued by the state institutions.

6.3 All the Disputes shall be negotiated and solved mutually by the PARTIES. In case the PARTIES fail to perform that, the Dispute shall be solved by the Business Court consisting of one judge on the basis of the attached documents in compliance with the Regulations.
