Contract on conformity verification of the Goods and System No.

Akciju sabiedrība „Sadales tīkls”, (turpmāk tekstā – „PIRCĒJS”), personās, kuras rīkojas pamatojoties uz , no vienas puses, un
UAB “ELGAMA - ELEKTRONIKA”,
(turpmāk tekstā – „PĀRDEVĒJS”), tās
, kurš rīkojas saskaņā ar no otras puses, (turpmāk tekstā saukti kopā –
„Līdzēji” un katrs atsevišķi, - „Līdzējs”), noslēdz šo līgumu, (turpmāk tekstā –
„Līgums”) par sekojošo:
1. LĪGUMA PRIEKŠMETS
1.1. PĀRDEVĒJS, saskaņā ar Līgumam pievienoto Preču un Sistēmas tehnisko specifikāciju prasībām (Pielikums Nr.2), piegādā PIRCĒJAM atbilstības pārbaužu veikšanai (turpmāk tekstā – Atbilstības pārbaude) sekojošas preces (turpmāk tekstā- “Preces”) un sistēmas (turpmāk tekstā- “Sistēma”):
1.1.1. Preces sastāv no:
1.1.1.1. Viediem vienfāzes aktīvās elektroenerģijas skaitītājiem ar integrētu G3- PLC komunikācijas modemu;
1.1.1.2. Viediem trīsfāzu aktīvās un reaktīvās elektroenerģijas skaitītājiem ar integrētu G3- PLC komunikācijas modemu;
1.1.1.3. G3-PLC datu koncentratoriem ar GPRS/3G/4G modemu, ārējo antenu un kontroluzskaites daļu;
1.1.1.4. GPRS/3G/4G komunikāciju modemiem ar ārējo antenu vienfāžu un trīsfāzu viedajiem elektroenerģijas skaitītājiem;
1.1.1.5. Optiskās datu nolasīšanas galviņas;
1.1.1.6. Drošas šifrēšanas atslēgu glabāšanas un ģenerēšanas iekārtas (turpmāk tekstā “HSM”) vai pakalpojums;
1.1.2. Sistēmu un atbilstošo licenču piegāde un uzstādīšana (turpmāk tekstā “Sistēma”):
1.1.2.1. Head-end sistēmas (turpmāk tekstā “HES);
AS “Xxxxxxx xxxxx”, (hereinafter referred to as the “PURCHASER”), represented by the
acting in accordance with the
, on the one hand, and
UAB “ELGAMA - ELEKTRONIKA”,
(hereinafter referred to as the “SELLER”), represented by acting in accordance with , on the other hand, (jointly hereinafter referred to as the “Parties” and each individually as the “Party”), conclude this Agreement (hereinafter referred to as the “Agreement”) as follows:
1. SUBJECT OF THE AGREEMENT
1.1. The SELLER, in compliance with the requirements of the Technical Specifications of Goods and System (Annex 2), shall deliver to the PURCHASER the followings goods (hereinafter the “Goods”) and systems (hereinafter the “System”):
1.1.1. The Goods consist of:
1.1.1.1. Single phase smart active energy meters with built in G3-PLC communication modem;
1.1.1.2. Poly-phase smart active and reactive energy meters with built in G3-PLC communication modem;
1.1.1.3. G3-PLC data concentrators with GPRS/3G/4G communication modem with auxiliary antenna and balance metering;
1.1.1.4. GPRS/3G/4G communication modem with auxiliary antenna for single and poly - phase smart energy meters;
1.1.1.5. Optical data reading heads;
1.1.1.6. Secure encryption key storage and generation equipment - hardware security module (hereinafter in the text “HSM”) or service.
1.1.2. Systems and related licenses delivery and installation (hereinafter in the text “System”):
1.1.2.1. Head-end system (hereinafter in the text “HES”);
1.1.2.2.Šifrēšanas atslēgu pārvaldības risinājuma (turpmāk tekstā “KMS”) vai pakalpojums;
1.1.2.3.Lokālā skaitītāju un modemu pārvaldības programmatūras (turpmāk tekstā “Lokālā programma”).
PĀRDEVĒJS nodrošina PIRCĒJA piekļuvi Lokālai programmai un HES.
1.2. Preču un Sistēmas tehniskais apraksts, piegādājamais apjoms un termiņi noteikti Līguma Pielikumā Nr. 1.
2. PREČU UN SISTĒMAS ATBILSTĪBAS PĀRBAUDES VISPĀRĪGIE NOTEIKUMI
2.1 PIRCĒJA pilnvarotā persona vienas darba dienas laikā pēc Līguma noslēgšanas nodod PĀRDEVĒJAM elektroniskajā datu nesējā vai nosūta uz PĀRDEVĒJA pilnvarotās personas e-pastu IDIS (turpmāk tekstā - Interoperable Device Interface Specification) - AS “Sadales tīkls” datu modeļa specifiskās daļas (Country Specific Extension – turpmāk tekstā “IDIS CSE”) detalizētu dokumentāciju.
2.2. PĀRDEVĒJS ir atbildīgs par pārējo IDIS datu modeļa daļu tehniskās dokumentācijas iegūšanu IDIS asociācijā pilnā datu modeļa izveidei.
2.3. Noslēdzot Līgumu, PĀRDEVĒJS informē PIRCĒJU par projekta vadītāju (turpmāk tekstā- Projekta vadītājs), kas koordinē un vada Atbilstības pārbaudes procesu no PĀRDEVĒJA puses.
2.4. PĀRDEVĒJS ne vēlāk kā 10 (desmit) kalendāro nedēļu laikā pēc Līguma noslēgšanas piegādā Preces atbilstoši Līguma Pielikumam Nr.1 un nodrošina PIRCĒJA piekļuvi PĀRDEVĒJA HES (Software as a Service). Informāciju par piekļuvi, piešķirtajiem PIRCĒJA kā lietotāja kontiem PĀRDEVĒJS nosūta PIRCĒJA pilnvarotajai personai.
2.5. Atbilstības pārbaudes tiek uzsāktas nākamajā darba dienā pēc Preču un Sistēmas piegādes saskaņā ar Pielikumu Nr.1.
2.6. Atbilstības pārbaudes ietver:
2.6.1. Preču un Sistēmas atbilstības pārbaudes
1.1.2.2. Encryption key management system solution (hereinafter in the text “KMS”) or service;
1.1.2.3. Local software of meters and modems management (hereinafter in the text “Local software”). SELLER provides access rights for PURCHASER to Local software and HES.
1.2. The technical description of the Goods and the System, the scope and terms of delivery are specified in the Annex 1 to the Agreement.
2.GENERAL TERMS AND CONDITIONS FOR CONFORMITY VERIFICATION OF GOODS AND SYSTEM
2.1 Within one business day from the signing of the Agreement the PURCHASER’S authorised person shall deliver to the SELLER on electronic data carrier or e-mail to the SELLER’S authorised person detailed technical documentation of IDIS (Interoperable Device Interface Specification – hereinafter “IDIS”) – AS “Sadales tīkls” data model’s specific part (Country Specific Extension – hereinafter “IDIS CSE”).
2.2 The SELLER shall be responsible for obtaining technical documentation of the remaining part of IDIS data model from IDIS Association for the creation of a complete data model.
2.3. Upon concluding the Agreement, the SELLER informs the PURCHER about the project manager (hereinafter - the Project Manager) who coordinates and directs the Conformity Verification process from the SELLER’S.
2.4 No later than 10 (ten) calendar weeks from the signing of the Agreement the SELLER shall deliver Goods according to Annex 1 to the Agreement and ensure the PURCHASER’S access to the SELLER’S HES (Software as a Service). The SELLER shall send the PURCHASER’S authorised person information about the access and user accounts assigned to the PURCHASER.
2.5. Conformity Verification starts next business day after System and Goods delivery date according to Annex 1.
2.6. Conformity Verification shall include:
2.6.1. Conformity Verification of Goods and
atbilstoši Līguma Pielikumā Nr. 3 norādītajiem pārbaužu scenārijiem un Līguma Pielikuma Nr. 2 Preču un Sistēmas tehniskajām prasībām.
2.6.2. Precēs iestrādātā IDIS CSE datu modeļa atbilstības pārbaudi Līguma Pielikuma Nr. 2 Preču un Sistēmas tehniskajām prasībām, izmantojot šim mērķim izveidotu IDIS CSE testa programmatūras rīku.
2.7. PĀRDEVĒJS nodrošina Atbilstības pārbaudes laikā savu vai pilnvarotā pārstāvja(u), kuram(iem) ir zināšanas un prasmes par Precēm un Sistēmu, klātbūtni.
2.8. PĀRDEVĒJA un PIRCĒJA pilnvarotie pārstāvji pārliecinās par piegādāto Preču un Sistēmas atbilstību Līguma Pielikumā Nr.2 noteiktajām Preču un Sistēmas tehniskajām prasībām un fiksē Atbilstības pārbaužu rezultātus atbilstoši Pielikumā Nr. 3 norādītajiem pārbaužu scenārijiem. Atbilstības pārbaudes apkopojuma rezultāti tiek fiksēti Preču un Sistēmas Atbilstības pārbaudes testēšanas kopsavilkumā (Līguma pielikums Nr. 3), kuru paraksta PĀRDEVĒJA un PIRCĒJA pilnvarotie pārstāvji.
2.9. PIRCĒJA prasībām neatbilstošu Atbilstības pārbaudes rezultātu gadījumā, PIRCĒJS ir tiesīgs neslēgt Vispārīgo vienošanos un izbeigt Līgumu saskaņā ar Līguma 8.3.1. punktu.
2.10. PIRCĒJA prasībām atbilstošu Atbilstības pārbaudes rezultātu gadījumā PIRCĒJS slēdz Vispārīgo vienošanos saskaņā ar iepirkuma procedūras (Atklāta konkursa “Viedo elektroenerģijas skaitītāju, datu savākšanas iekārtu un uzskaites datu nolasīšanas sistēmas piegāde 2019. – 2020. gadā” (Id. Nr.50292)) nolikumam klāt pievienoto Vispārīgās vienošanās formu.
System in compliance with verification scenarios set out in Annex 3 to the Agreement and technical requirements for Goods and System under Annex 2 to the Agreement.
2.6.2 Conformity Verification of IDIS CSE data model integrated in the Goods for compliance with technical requirements for Goods and System under Annex 2 to the Agreement, using a dedicated IDIS CSE test software tool.
2.7. During Conformity Verifications the SELLER shall ensure his/her own presence or that of one or more authorised representatives who have knowledge of and skills with the Goods and System.
2.8. The SELLER and the PURCHASER’S authorised persons shall ascertain the compliance of Goods and Systems delivered with the technical requirements for Goods and System set out in Annex 2 to the Agreement and record the Conformity Verification results pursuant to the verification scenarios under Annex 3. Summarised results of the Conformity Verification shall be recorded in the Goods and System Conformity Test summary report (Annex 3 to the Agreement), and signed by the SELLER and the PURCHASER’S authorised persons.
2.9. Where the Conformity Verification results do not meet the PURCHASER’S requirements, the PURCHASER shall be entitled to not award a General Agreement and to terminate the present Agreement pursuant to Paragraph 8.3.1 thereof.
2.10. Where the Conformity Verification results meet the PURCHASER’S requirements, the PURCHASER shall sign a General Agreement in compliance with the General Agreement template attached to the procurement Regulations (Open tender Regulations “Supply of smart electrical energy meters, PLC data concentrators and Head-end system in year 2019–2020” (Id. No. IPR– 50292)).
3. LĪDZĒJU ATBILDĪBA
3.1. Visu risku par Preču vai Sistēmas bojājumu Līguma laikā uzņemas PĀRDEVĒJS.
3. LIABILITY OF THE PARTIES
3.1 All risks of damages to the Goods or System during the effect of the Agreement shall be undertaken by the SELLER.
3.2. Līdzēji ir atbildīgi par to darbības/bezdarbības rezultātā otram Līdzējam nodarītajiem zaudējumiem.
3.3. PIRCĒJS nav atbildīgs un PĀRDEVĒJS necels nekāda veida pretenzijas pret PIRCĒJU PIRCĒJA vajadzībām neatbilstoša Atbilstības pārbaudes rezultātu gadījumā, kā rezultātā netiek noslēgta Vispārīgā vienošanās.
4. INTELEKTUĀLĀ ĪPAŠUMA TIESĪBAS
4.1. PĀRDEVĒJS uz sava rēķina aizstāvēs PIRCĒJU pret jebkādām pret PIRCĒJU vai ar to saistīto personu celtām prasībām, kurās apgalvots, ka kāda Prece vai Sistēma, kas piegādāta saskaņā ar šo Līgumu, pārkāpj kādu patentu vai autortiesības (tajā skaitā, IDIS CSE specifikācija un saistībā ar to IDIS asociācijas pretenzijas). PĀRDEVĒJS sedz visas izmaksas un maksā zaudējumu atlīdzību, kas piespriesta trešajām personām – prasītājām, ar nosacījumu, ka PIRCĒJS sniedz PĀRDEVĒJAM pietiekamu palīdzību un atļauj tam pēc saviem ieskatiem aizstāvēties pret šo prasību vai nokārtot to.
4.2.PĀRDEVĒJS pēc saviem ieskatiem un uz sava rēķina var nodrošināt PIRCĒJAM tiesības turpināt lietot Preci, aizstāt to vai mainīt to tādā veidā, lai tas neradītu pārkāpumus. Ja šādi līdzekļi nav reāli iespējami, tad PĀRDEVĒJS piešķir PIRCĒJAM kompensāciju par Preces vērtību pēc nolietojuma atrēķināšanas.
4.3.PĀRDEVĒJS sedz visas izmaksas, kas papildus rodas Atbilstības pārbaudes periodā nodrošinot PĀRDEVĒJA vajadzības.
5. FIZISKO PERSONU DATU AIZSARDZĪBA UN
KONFIDENCIALITĀTES PRASĪBAS
5.1. Līdzējiem ir tiesības apstrādāt no otra Līdzēja iegūtos fizisko personu datus tikai ar mērķi nodrošināt Līgumā noteikto saistību izpildi, ievērojot normatīvajos aktos noteiktās prasības šādu datu apstrādei un aizsardzībai, tajā skaitā, bet ne tikai, no 2018.gada 25.maija ievērot Eiropas Parlamenta un Padomes Regulas (ES) 2016/679 par fizisku personu aizsardzību attiecībā uz personas datu apstrādi un šādu datu brīvu apriti un ar ko atceļ
3.2. The Parties shall be liable for losses caused to the other Party due to its action/inaction.
3.3 The PURCHASER shall not be liable for, and the SELLER shall not make any claims against the PURCHASER, if the results of the Conformity Verification are not adequate for the PURCHASER’S needs, as a result of which no General Agreement will be signed.
4. INTELLECTUAL PROPERTY RIGHTS
4.1 The PURCHASER shall, at its own expense, protect the SELLER against any claims brought against the latter or its related persons alleging that any Goods or System delivered pursuant to this Agreement are in breach of any patent or copyright (including IDIS CSE specification and the related complaints from IDIS Association). The PURCHASER shall cover all costs and compensate damages imposed on any third parties (plaintiffs), on the condition that the PURCHASER renders sufficient assistance to the SELLER and allows the latter to defend itself against such claims at its own discretion, or t settle the same.
4.2. The SELLER at his own discretion and at its own cost may provide the PURCHASER with the right to continue to use the Good, to replace or alter it in the manner not creating the infringements. If such measures are not feasible then the SELLER shall compensate to the PURCHASER the value of the Goods after deduction of depreciation.
4.3.The SELLER pays for all costs that, in addition, arise during the Conformity Verifications period, providing the SELLER needs.
5. PERSONAL DATA PROTECTION AND CONFIDENTIALITY REQUIREMENTS
5.1. The Parties shall have the right to process the personal data received from the other Party only for the purpose of ensuring the performance of obligations under the Agreement in compliance with the requirements determined by the legal acts and regulations for processing and protection of such data, including, but no limited to, requirements included in the Regulation (EU) 2016/679 of the European Parliament and of
Direktīvu 95/46/EK (Vispārīgā datu aizsardzības regula) prasības.
5.2. Līdzējs, kurš nodod otram Līdzējam fizisko personu datus apstrādei, atbild par piekrišanu iegūšanu no attiecīgajiem datu subjektiem.
5.3. Līdzēji apņemas nenodot tālāk trešajām personām no otra Līdzēja iegūtos fizisko personu datus, izņemot gadījumus, kad Līgumā ir noteikts citādāk vai normatīvie akti paredz šādu datu nodošanu.
5.4. Ja saskaņā ar normatīvajiem aktiem Līdzējam var rasties pienākums nodot tālāk trešajām personām no otra Līdzēja iegūtos fizisko personu datus, tas pirms šādu datu nodošanas informē par to otru Līdzēju, ja vien normatīvie akti to neaizliedz.
5.5. Neskatoties uz Līguma 5.3.punktā minēto, PĀRDEVĒJS piekrīt un dod savu piekrišanu fizisko personu datu apstrādei, apliecinot to ar savu parakstu sadaļā “Līdzēju rekvizīti un paraksti”, ka PIRCĒJS nodod no PĀRDEVĒJA saņemtos fizisko personu datus trešajām personām, kas sniedz PIRCĒJAM pakalpojumus un ar kurām PIRCĒJS sadarbojas tā darbības un šī Līguma izpildes nodrošināšanai.
5.6. Līdzēji apņemas pēc otra Līdzēja pieprasījuma iznīcināt no otra Līdzēja iegūtos fizisko personu datus, ja izbeidzas nepieciešamība tos apstrādāt šī Līguma izpildes nodrošināšanai, kā arī sniegt visas ar Līguma noslēgšanu un izpildi saistītās ziņas citām iestādēm, kurām ir tiesības pieprasīt un saņemt šīs ziņas saistībā ar Latvijas Republikas tiesību normatīvajā aktā noteikto uzdevumu vai funkciju izpildi.
5.7. PĀRDEVĒJS atbild par informācijas, kas saņemta saskaņā ar šo Līgumu, konfidencialitātes nodrošināšanu un tās neizpaušanu trešajām personām saskaņā ar Latvijas Republikas normatīvajiem aktiem.

5.2. A Party disclosing to the other Party the personal data for processing shall be liable for obtaining of consent from the relevant data subjects.
5.3. The Parties undertake not to disclose the personal data received from the other Party, except in cases when otherwise provided by the Agreement or by the legal acts and regulations requiring such disclosure of the data.
5.4. If according to the legal acts and regulations a Party has an obligation to disclose the personal data received from the other Party to a third party, it shall inform the other Party before disclosure of such data, unless it is prohibited by the legal acts and regulations.
5.5. Notwithstanding the terms of clause 5.3 hereof the SELLER agrees and gives its consent to the processing of personal data, confirming it with its signature in the section "Details and signatures of the parties" that the PURCHASER discloses the personal data received from the SELLER to third parties providing to the PURCHASER services and with whom the PURCHASER co-operates in order to ensure its business operation and performance of the Agreement.
5.6. The Parties agree upon request of the other Party to destroy the personal data received from the other Party if it becomes unnecessary to process them for the purpose of ensuring performance of this Agreement, as well as provide all the information related to the conclusion and execution of the Agreement to other authorities entitled to request and receive these information in connection with the execution of the tasks or functions specified in the regulatory enactments of the Republic of Latvia.
5.7. The SELLER is responsible for ensuring the confidentiality of the information received under this Agreement and its non-disclosure to third parties in accordance with the regulatory
5.8. Ja PĀRDEVĒJS veic Līguma izpildes rezultātā saņemtās informācijas izmantošanu tādā veidā, kas ir pretrunā ar Līgumu un Latvijas Republikas normatīvajiem aktiem, tad PĀRDEVĒJU var saukt pie atbildības Latvijas Republikas normatīvajos aktos noteiktajā kārtībā.
5.9. Līdzēji nav atbildīgi par secinājumiem vai darbībām, ko otrs Līdzējs izdara, pamatojoties uz Līguma izpildes rezultātā saņemto informāciju.
5.10. Jebkāda informācija, ko PIRCĒJS sniedz PĀRDEVĒJAM Līguma izpildes laikā vai arī tā atklājas, pildot darba pienākumus saistībā ar Līgumu, un Līguma izpildes rezultāti, kā arī jebkura šī informācijas daļa, x.xx., bet ne tikai informācija par PIRCĒJA darbību, finanšu stāvokli, tehnoloģijām, tai skaitā rakstiska, mutiska, datu formā uzglabāta, audio -vizuāla un jebkurā citā veidā uzglabāta informācija, kā arī informācija par šā Līguma izpildi tiek atzīta un uzskatīta par konfidenciālu.
5.11. PĀRDEVĒJAM nav tiesību izpaust trešajām personām informāciju, kas šā Līguma izpildes laikā gūta no PIRCĒJA bez PIRCĒJA rakstiskas piekrišanas saņemšanas. PĀRDEVĒJAM ar vislielāko rūpību un uzmanību ir jārūpējas par informācijas drošību un aizsardzību.
5.12. PĀRDEVĒJA pienākums ir nodrošināt, ka tā darbinieki, konsultanti, eksperti, un citas personas, kuras izmantos PIRCĒJA konfidenciālo informāciju, saņems un izmantos to vienīgi Līguma izpildes nodrošināšanai un tikai nepieciešamajā apjomā, kā arī uzņemsies un ievēros vismaz tādas pašas konfidencialitātes saistības, kādas ir noteiktas PĀRDEVĒJAM šajā Līgumā.
5.13. PIRCĒJA informācijas izpaušana netiks uzskatīta par Līguma noteikumu pārkāpumu tikai un vienīgi šādos gadījumos:
5.13.1. informācija tiek izpausta pēc tam, kad
enactments of the Republic of Latvia.
5.8.If the SELLER carries out the use of the information received as a result of performance of the Agreement in a manner inconsistent with the Agreement and the regulatory enactments of the Republic of Latvia, the SELLER can be held liable in accordance with the procedures specified in the regulatory enactments of the Republic of Latvia.
5.9.The Parties are not responsible for the conclusions or actions that the other Party is making on the basis of the information received as a result of performance of the Agreement.
5.10. Any information provided by the PURCHER to the SELLER during the performance of the Agreement or is revealed in the performance of its duties in connection with the Agreement and the results of the performance of the Agreement, as well as any part of this information, including but not limited to information about the PURCHER’S activities, financial position, technologies, including written, verbal, stored in data, audio-visual and in any other way stored information, as well as information on the execution of this Agreement, are recognized and considered confidential.
5.11.The SELLER has no right to disclose to third parties the information obtained from the PURCHER during the performance of this Agreement without the PURCHER's written consent. The SELLER with the utmost care and attention should take care of information security and protection.
5.12.The SELLER is obliged to ensure that its employees, consultants, experts, and other persons who will use the PURCHER's confidential information will receive and use it solely for the purpose of enforcing the Agreement and only to the extent necessary and will assume and observe at least the same confidentiality obligations as are specified SELLER in this Agreement.
5.13.Disclosure of information by the SELLER will not be considered an infringement of the provisions of the Agreement except in the following cases:
5.13.1. the information is disclosed after it has
tā kļuvusi publiski zināma vai pieejama neatkarīgi no Pusēm,
5.13.2. informācija tiek izpausta normatīvajos aktos noteiktajos gadījumos, apjomā un kārtībā,
5.14. Šī Līguma konfidencialitātes prasības ir spēkā arī Līgumam zaudējot spēku, bez termiņa ierobežojumiem vai līdz līguma par savstarpēju konfidenciālās informācijas neizpaušanu noslēgšanu.
6. NEPĀRVARAMAS VARAS APSTĀKĻI
6.1. Līdzēji tiek atbrīvoti no atbildības par daļēju vai pilnīgu šajā Līgumā paredzēto jebkuru saistību neizpildi, ja šāda saistību neizpilde radusies nepārvaramu, ārkārtēja rakstura apstākļu rezultātā, kuru darbība sākusies pēc Līguma parakstīšanas un kurus Līdzēji nevarēja iepriekš paredzēt un novērst.
6.2. Pie šādiem apstākļiem pieskaitāmi – ugunsnelaime, kara darbība, epidēmija, dabas stihija, kā arī citi apstākļi, kas neiekļaujas Līdzēju iespējamās kontroles un ietekmes robežās.
6.3. Par nepārvaramas varas apstākli nevar tikt atzīts apakšuzņēmēju, piegādātāju un citu iesaistīto personu saistību neizpilde, vai nesavlaicīga izpilde.
6.4. Tam Līdzējam, kas atsaucas uz nepārvaramu, ārkārtēja rakstura apstākļu darbību, 3 (trīs) kalendāro dienu laikā par tiem jāpaziņo otram Līdzējam, norādot iespējamo saistību izpildes termiņu.
6.5. Ja nepārvaramu, ārkārtēja rakstura apstākļu dēļ Līguma izpilde aizkavējas vairāk kā par 30 (trīsdesmit) kalendārajām dienām, katram no Līdzējiem ir tiesības vienpusēji izbeigt Līgumu. Ja Līgums šādā kārtā tiek izbeigts, nevienam no Līdzējiem nav tiesību pieprasīt no otra Līdzēja zaudējumu atlīdzību.
7. LĪGUMA IZPILDES NODROŠINĀJUMS
7.1. 10 (desmit) darba dienu laikā pēc Līguma parakstīšanas, PĀRDEVĒJAM ir jāiesniedz PIRCĒJAM Līguma izpildes nodrošinājums 270 000,00 EUR (divi simti septiņdesmit tūkstoši euro un 00 centi) apmērā, kuram jābūt spēkā visā Līguma darbības laikā un 30 (trīsdesmit) kalendārās dienas pēc Līguma termiņa notecēšanas. Ja Līguma izpildes

5.13.2. information is disclosed in the cases, in terms and procedures specified in regulatory enactments,
5.14.The provisions of this Confidentiality clause of this Agreement shall also apply in the event of termination of the Agreement, without limitation, or until a separate agreement on mutual non-disclosure of confidential information is concluded.
6. FORCE-MAJEURE
6.1. Neither Party shall have any liability for full or partial failure to fulfill any obligations under this Agreement if such failure to fulfill the obligations has caused due to force- majeure circumstances occurred after signing of the Agreement and which the Parties could not foresee and prevent.
6.2. Such circumstances include fires, acts of war, epidemic, natural disaster as well as other circumstances beyond the possible limits of control or impact of the Parties.
6.3. Non-fulfilment or undue performance of obligations by the sub-contractors, suppliers and other involved persons shall not be deemed as force majeure circumstance.
6.4. A Party referring to force-majeure circumstance shall within three (3) calendar days notify about that the other Party specifying the possible term for fulfillment of the obligations.
6.5. If due to force-majeure circumstance the fulfillment of the Agreement delays for more than thirty (30) calendar days each Party has the right to terminate the Agreement unilaterally. If the Agreement is terminated in such way neither Party may claim compensation of damages to the other Party.
7. PERFORMANCE SECURITY OF THE AGREEMENT
7.1 Within ten (10) business days after signing of the Agreement the SELLER shall submit to the PURCHASER a performance security of the Agreement in the amount of 270 000,00 EUR (two hundred and seventy thousand euro and 00 cents), which has to be valid during the entire effective period of the Agreement and thirty (30) calendar days after the expiry of the

7.2. Līguma izpildes nodrošinājumu PIRCĒJS ir tiesīgs izmantot, lai kompensētu PĀRDEVĒJA saistību neizpildes rezultātā PIRCĒJAM nodarītos zaudējumus un/vai radušos izdevumus, tajā skaitā PIRCĒJS ir tiesīgs ieturēt Līguma izpildes nodrošinājumu pilnā apmērā, ja PĀRDEVĒJS neizpilda Atbilstības pārbaudes prasības.
7.3. Vienošanās izpildes nodrošinājums PIRCĒJAM pieņemama bankas garantija, apdrošināšanas polise, kas paredz nodrošinājuma izsniedzēja pienākumu beznosacījuma kārtībā un pēc PIRCĒJA pirmā pieprasījuma samaksāt PIRCĒJAM tā pieprasītās summas nodrošinājuma apmērā. Līguma izpildes nodrošinājuma saturam jābūt saskaņotam ar PIRCĒJU. Līguma izpildes nodrošinājums var būt arī naudas summas iemaksa PIRCĒJA bankas kontā Līguma 7.1. punktā norādītajā nodrošinājuma apmērā.
7.4. Gadījumā, ja kā Līguma izpildes nodrošinājums tiek iesniegta apdrošināšanas polise, apdrošināšanas prēmijas samaksai jābūt veiktai pilnā apmērā. Apdrošināšanas prēmijas samaksu apliecinošu dokumentu PĀRDEVĒJS iesniedz PIRCĒJAM vienlaikus ar apdrošināšanas polisi.
7.5. Līguma izpildes nodrošinājumu PIRCĒJS dzēš un atgriež PĀRDEVĒJAM ne vēlāk kā 30 (trīsdesmit) kalendāro dienu laikā pēc tam, kad notecējis Līguma termiņš ar nosacījumu, ka PĀRDEVĒJS izpildījis visas tā saistības, kas izriet no Līguma. Ja Līguma izpildes nodrošinājums ir bijis apdrošināšanas polises veidā, tad šo nodrošinājumu (polisi) nosūta PĀRDEVĒJAM tikai tad, ja PĀRDEVĒJS to ir pieprasījis. Ja Līguma izpildes nodrošinājums ir bijis kā naudas summas iemaksa PIRCĒJA bankas kontā, tad PIRCĒJS to pilnā apmērā vai nodrošinājuma neieturēto daļu pārskaita uz Līguma norādīto PĀRDEVĒJA bankas kontu ne vēlāk kā 30
effective period of the Agreement. If the performance security of the Agreement has expired and the SELLER has not submitted evidence of its extension the PURCHASER shall have the right to deduct the amount of the performance security of the Agreement from the amount of payments according to the Agreement.
7.2 The PURCHASER shall be entitled to use the performance security of the Agreement to compensate losses incurred to the PURCHASER due to failure and/or costs incurred to fulfill obligations by the SELLER, including the PURCHASER shall be entitled to withhold full performance security of the Agreement if the SELLER does not meet the Conformity Verification requirements.
7.3 The performance security of the Agreement is a bank guarantee acceptable to the PURCHASER, insurance policy providing that issuer has a duty, without reservations and upon PURCHASER’S first request, to pay the PURCHASER the amount requested within the limits of this guarantee. The content of the performance security of the Agreement shall be approved by the PURCHASER. Depositing the amount of money referred to in Paragraph
7.1 of the Agreement into PURCHASER’S account may also serve as the performance security of the Agreement.
7.4. In case an insurance policy is provided as the performance security of the Agreement, the insurance premiums must be paid in full. The SELLER shall submit to the PURCHASER the proof of payment for premium along with the insurance policy.
7.5. The PURCHASER shall discharge and release the performance security of the Agreement not later than within 30 (thirty) calendar days after the expiry of the effective period of the Agreement under the condition that the SELLER has fulfilled all its obligations under the Agreement. If an insurance policy has served as the performance security of the Agreement, then this security (policy) shall be sent to the SELLER solely upon SELLER’S request. If a deposit into PURCHASER'S bank account has served as the performance security of the Agreement, PURCHASER shall transfer it in
(trīsdesmit kalendāro dienu laikā pēc tam, kad no PĀRDEVĒJA puses izpildītas visas tā saistības, kas izriet no šī Līguma.
8. LĪGUMA TERMIŅŠ UN IZBEIGŠANA
8.1. Līgums stājas spēkā ar dienu, kad tas ir parakstīts gan no PIRCĒJA, gan no PĀRDEVĒJA puses, un ir spēkā 15 (piecpadsmit) kalendārās nedēļas, neieskaitot Latvijas Republikā noteiktās svētku dienas.
8.2. PIRCĒJS Preču un Sistēmas Atbilstības pārbaudes veic 20 (divdesmit) darba dienu laikā, skaitot no brīža, kad atbilstoši Līguma
2.4. punktam PIRCĒJS un PĀRDEVĒJS uzsāk Atbilstības pārbaužu veikšanu. Atbilstības pārbaudes tiek veiktas atbilstoši PREČU un SISTĒMU atbilstības pārbaudes scenārijiem pielikumā Nr. 3.
8.3. PIRCĒJS nosūtot PĀRDEVĒJAM rakstisku paziņojumu, ir tiesīgs vienpusēji izbeigt šo Līgumu, ja iestājies vismaz viens no sekojošiem gadījumiem:
8.3.1. Neatbilstoša Preču un Sistēmas Atbilstības pārbaudes rezultāta gadījumā, ko apliecina Preču un Sistēmas atbilstības pārbaudes testēšanas kopsavilkums;
8.3.2. PĀRDEVĒJS nepilda Līguma un/vai iepirkuma procedūras (atklāta konkursa “Viedo elektroenerģijas skaitītāju, datu savākšanas iekārtu un uzskaites datu nolasīšanas sistēmas piegāde 2019. – 2020. gadā”(Id. Nr. IPR-50292)) nolikuma noteiktās saistības vai pienākumus;
8.3.3. PĀRDEVĒJS vai persona, kura ir PĀRDEVĒJS valdes vai padomes loceklis, pārstāvēttiesīgā persona vai prokūrists, vai persona, kura ir pilnvarota pārstāvēt PĀRDEVĒJU darbībās, kas saistītas ar filiāli, ar tādu prokurora priekšrakstu par sodu vai tiesas spriedumu, kas stājies spēkā un kļuvis neapstrīdams un nepārsūdzams, ir atzīta par vainīgu vai tai ir piemērots piespiedu ietekmēšanas līdzeklis par jebkuru no šādiem noziedzīgiem nodarījumiem:
8.3.3.1. noziedzīgas organizācijas izveidošana,
its entirety or minus amount withheld as security into the SELLER'S bank account stated in the Agreement not later than within 30 (thirty) calendar days after SELLER has fulfilled all the obligations arising from this Agreement.
8. TERM AND TERMINATION OF THE AGREEMENT
8.1 The Agreement shall take effect from the date of its signing by the SELLER and the PURCHASER, and shall be valid for 15 (fifteen) calendar weeks from the date of its signing, except official country holidays.
8.2 The PURCHASER shall carry out Conformity Verifications of Goods and Systems within 20 (twenty) business days from the date when the PURCHASER and the SELLER start Conformity Verifications in compliance with Clause 2.4 of the Agreement. Conformity verification are carried out in accordance with the schedules for the verification of conformity of GOODS and SYSTEMS in Annex No. 3.
8.3. The PURCHASER shall have the right to terminate the Agreement unilaterally by sending a written notice to the SELLER if at least one of the following events has occurred:
8.3.1. The Conformity Verification results of Goods and System do not meet the PURCHASER’S needs confirmed by Conformity Test summary report;
8.3.2. The SELLER fails to perform any other obligations or duties provided by the Agreement and/or the procurement procedure (opened tender “Supply of smart electrical energy meters, PLC data concentrators and Head-end system in year 2019. – 2020.”, xx.Xx. IPR-50292);
8.3.3. The SELLER or the person having the rights to represent the SELLER, or the decision making or supervision rights with regards to the SELLER, by a court judgment or punishment injunction of a public prosecutor, which has come into effect and is final, has been declared guilty of having committed any of the following offences or coercive measure have been applied to SELLER in this respect:
8.3.3.1. establishment, running or involvement
vadīšana, iesaistīšanās tajā vai tās sastāvā ietilpstošā organizētā grupā vai citā noziedzīgā formējumā vai piedalīšanās šādas organizācijas izdarītajos noziedzīgajos nodarījumos,
8.3.3.2. kukuļņemšana, kukuļdošana, kukuļa piesavināšanās, starpniecība kukuļošanā, neatļauta piedalīšanās mantiskos darījumos, neatļauta labumu pieņemšana, komerciāla uzpirkšana, labuma prettiesiska pieprasīšana, pieņemšana vai došana, tirgošanās ar ietekmi;
8.3.3.3. krāpšana, piesavināšanās vai noziedzīgi iegūtu līdzekļu legalizēšana,
8.3.3.4. terorisms, terorisma finansēšana, aicinājums uz terorismu, terorisma draudi vai personas vervēšana un apmācīšana terora aktu veikšanai,
8.3.3.5. cilvēku tirdzniecība,
8.3.3.6. izvairīšanās no nodokļu un tiem pielīdzināto maksājumu nomaksas.
8.4.PĀRDEVĒJS ar tādu kompetentas institūcijas lēmumu vai tiesas spriedumu, kas stājies spēkā un kļuvis neapstrīdams un nepārsūdzams, ir atzīts par vainīgu konkurences tiesību pārkāpumā, kas izpaužas kā vertikālā vienošanās, kuras mērķis ir ierobežot PIRCĒJA iespēju noteikt tālākpārdošanas cenu, izņemot gadījumu, kad attiecīgā institūcija, konstatējot konkurences tiesību pārkāpumu, iecietības programmas ietvaros PĀRDEVĒJU ir atbrīvojusi no naudas soda vai naudas sodu samazinājusi;
8.5. Ja ir pasludināts PĀRDEVĒJA maksātnespējas process, apturēta PĀRDEVĒJA saimnieciskā darbība, vai PĀRDEVĒJS tiek likvidēts;
8.6. PĀRDEVĒJS ar kompetentās institūcijas lēmumu, prokurora priekšrakstu par sodu vai tiesas spriedumu, kas stājies spēkā un kļuvis neapstrīdams un nepārsūdzams, ir atzīts par vainīgu pārkāpumā, kas izpaužas kā:
8.6.1.vienas vai vairāku personu nodarbināšana, ja tām nav nepieciešamās darba atļaujas vai tās nav tiesīgas uzturēties Eiropas Savienības dalībvalstī,
8.6.2. personas nodarbināšana bez rakstveidā noslēgta darba līguma, normatīvajos aktos noteiktajā termiņā neiesniedzot par šo personu
in a criminal organization or an organized group within said organization, or any other establishment of criminal nature, or participation in crimes committed by such an organization,
8.3.3.2. taking or giving a bribe, misappropriation of bribe, mediation in bribery, unlawful participation in property transactions, illicit acceptance of benefits, commercial bribery, unlawful requesting, accepting or giving a benefit, trading in influence,
8.3.3.3. fraudulent activities, embezzlement or money laundering,
8.3.3.4. terrorism, terrorism financing, incitement to terrorism, terror threats, or recruitment or training of persons to carry out an act of terrorism,
8.3.3.5. human trafficking,
8.3.3.6. evasion of taxes or payments equal to taxes.
8.4. The SELLER by decision of such competent authority or court judgment, which has come into effect and is final, is declared guilty of violating competition rights, by way of a vertical agreement, whose aim is to restrict the option of the PURCHASER to determine the resale price, except the case where the relevant institution, determining the violation of competition rights has released the SELLER on the grounds of cooperation from the fine or has reduced the fine;
8.5.If SELLER has been declared insolvent, SELLER economic activity has been suspended or SELLER is being liquidated;
8.6.The SELLER has been found guilty of any of the following infringements by a decision of a competent authority or a punishment injunction of a public prosecutor that has come into effect, has become indisputable and is final:
8.6.1. employment of one or more persons not holding the required permit or rights to reside in a European Union Member State,
8.6.2. employment of a person without a written labour contract, failure to submit within the statutory term the informative

8.7.Tiek konstatēts, ka PĀRDEVĒJS, piedaloties iepirkuma procedūrā, ir sniedzis nepatiesu informāciju tā kvalifikācijas novērtēšanai;
8.8. PĀRDEVĒJS vai jebkurš no PĀRDEVĒJA personāla, pārstāvjiem vai apakšuzņēmējiem jebkurai personai ir devis vai piedāvājis (tieši vai netieši) jebkāda veida kukuli, dāvanu, pateicības naudu, komisijas naudu vai citu vērtīgu lietu kā pamudinājumu vai atlīdzību par jebkādas darbības veikšanu vai neveikšanu, vai par labvēlības vai nelabvēlības izrādīšanu vai neizrādīšanu jebkādai personai saistībā ar Vienošanos;
8.9. PĀRDEVĒJS vai jebkurš no PĀRDEVĒJA personāla, pārstāvjiem vai apakšuzņēmējiem likumā noteiktajā kārtībā ir atzīts par vainīgo prettiesiskā rīcībā saistībā ar Līguma izpildi;
8.10.Tiek konstatēts, ka PĀRDEVĒJS vai jebkurš no PĀRDEVĒJA personāla, pārstāvjiem vai apakšuzņēmējiem ir iesaistīts darījumu attiecībās, kas rada interešu konflikta situāciju attiecībā uz Līguma izpildi.
8.11. PĀRDEVĒJS Līgumā noteiktā termiņā neiesniedz Līguma izpildes nodrošinājumu, vai arī ja iesniegtais Līguma izpildes nodrošinājums ir zaudējis spēku.
9. CITI NOTEIKUMI
9.1. Līdzēji apliecina, ka tiem ir attiecīgās pilnvaras, lai slēgtu šo Līgumu un uzņemtos tajā noteiktās saistības, kā arī iespējas veikt šajā Līgumā noteikto pienākumu izpildi.
9.2. Līdzēji vienojas, ka šis Līgums kopā ar tā pielikumiem, kā arī Līguma izpildes laikā iegūtā informācija ir konfidenciāla, izņemot šī Līguma priekšmetu, termiņu un Līdzējus, un šī informācija nedrīkst tikt izpausta trešajām personām. Šajā punktā noteiktie ierobežojumi neattiecas uz gadījumiem, kad kādam no Līdzējiem informācija ir jāpublisko saskaņā ar Latvijas Republikā spēkā esošiem normatīvajiem aktiem.
9.3. Jebkuras izmaiņas vai papildinājumi

8.8. the SELLER or any of the SELLER's personnel, representatives or subcontractors has given or offered (directly or indirectly) to any person bribe, gift, gratitude money, commissions or other valuable things as an inducement or reward for taking any action or omission to act, or for showing favour or disfavour to any person in connection with the Agreement,
8.9. the SELLER or any of the SELLER's personnel, representatives or subcontractors has been found guilty of illegal possession according to the law regarding the implementation of the Agreement;
0.00.Xx is detected that the SELLER or any of the SELLER's personnel, representatives or subcontractors is involved in business relationships that create a conflict of interest situation regarding the implementation of the Agreement.
8.11. The SELLER fails to submit the performance security of the Agreement within time period specified in the Agreement or if the provided performance security of the Agreement has become invalid.
9. OTHER PROVISIONS
9.1. The Parties represent and warrant that they are duly authorized to enter into this Agreement and to provide the undertakings set forth herein as well as they have capability to fulfill the obligations under this Agreement.
9.2. The Parties agree that the Agreement with its annexes as well as the information obtained during the performance of the Agreement is confidential, except for the subject, the term and the Parties; and this information shall not be divulged to third parties. Restrictions mentioned in this clause shall not apply to cases when any of the Parties must divulge the information pursuant to effective laws and regulation of the Republic of Latvia.
9.3. Any amendments or supplements to the
Līgumā jānoformē rakstiski un jāparaksta abiem Līdzējiem. Šādas izmaiņas un papildinājumi ar to parakstīšanas brīdi kļūst par šīs Līguma neatņemamu sastāvdaļu.
9.4. Jautājumi, kas nav atrunāti šajā Līgumā, tiek risināti saskaņā ar spēkā esošajiem Latvijas Republikas normatīvajiem aktiem.
9.5. Jebkurš strīds, kas rodas izriet vai ir saistīts ar šī Līguma izpildi, tiek nodots izskatīšanai tiesā Latvijas Republikas tiesību aktos noteiktajā kārtībā.
9.6. Visas Līdzēju sarunas, vienošanās, sarakste un citas darbības, attiecībā uz šī Līguma noslēgšanu un šī Līguma priekšmetu, kas veiktas pirms šī Līguma noslēgšanas, zaudē juridisko spēku pēc šī Līguma parakstīšanas. Šis nosacījums neattiecas uz iepirkuma procedūras (atklāta konkursa “Viedo elektroenerģijas skaitītāju, datu savākšanas iekārtu un uzskaites datu nolasīšanas sistēmas piegāde 2019. – 2020. gadā” (Id. Nr. IPR-50292))
nolikumu un Pārdevēja (Pretendenta) iesniegto piedāvājumu.
9.7. Kādam no šī Līguma noteikumiem zaudējot spēku tiesību aktu izmaiņu gadījumā, Līgums nezaudē spēku tā pārējos punktos un šādā gadījumā Līdzējiem ir pienākums piemērot Līgumu spēkā esošo tiesību aktu prasībām.
9.8. Par Līguma izpildei būtisko rekvizītu (juridiskais statuss, atrašanās vieta u.c.) maiņu Līdzēji nekavējoties informē viens otru.
9.9. Līgums parakstīts divos eksemplāros latviešu un angļu valodā uz 14 lapām, pa vienam eksemplāram katram Līdzējam. Līgumam ir 3 pielikumi uz 210 lapām latviešu un angļu valodā. Domstarpību gadījumā starp Līguma un Pielikuma tekstiem latviešu un angļu valodās par noteicošo tiks uzskatīts teksts latviešu valodā.
10. PILNVAROTĀS PERSONAS UN PAR LĪGUMA IZPILDI ATBILDĪGĀS PERSONAS
10.1. Līgumā noteiktās pilnvarotās personas no PIRCĒJA puses:
10.1.1. Attiecībā uz Atbilstības pārbaudes
Agreement shall be drawn up in writing and signed by both Parties. Upon signing such amendments and supplements shall become the integral part of the Agreement.
9.4. Matters that are not stipulated by this Agreement shall be resolved pursuant to the governing laws and regulations of the Republic of Latvia.
9.5. Any dispute arising out of or in connection with this Agreement shall be submitted to the court pursuant to procedure specified by the laws of the Republic of Latvia.
9.6. All negotiations, agreements, correspondence of the Parties and other acts, taking place prior to the conclusion of the Agreement, shall become invalid upon signing the Agreement. This shall not apply to regulations of the procurement procedure (opened tender “Supply of smart electrical energy meters, PLC data concentrators and Head-end system in year 2019. – 2020.”, xx.Xx. IPR-50292) and the bid submitted by the SELLER’s (Tenderer).
9.7. If any provision of this Agreement becomes invalid due to amendments of legal acts, the other provisions of the Agreement shall remain valid and in such case the Parties shall apply the Agreement pursuant to requirements of the governing legal acts.
9.8. The Parties shall immediately inform each other on changes in details (legal status, address etc.) relevant for performance of the Agreement.
9.9. The Agreement is signed in two copies in Latvian and in English, each on 14 pages, one copy for each Party. Both copies of the Agreement have equal legal force. The Agreement includes 3 annexes on 210 pages in Latvian and English, the text in Latvian shall prevail.
