(further in the text PARTNER, the both companies are further in the text titled PARTIES). The PARTIES listed above hereby agree that they shall be considered partners in business for the following purpose:

1. VIENOŠANĀS PRIEKŠMETS

Ievērojot šī līguma nosacījumus, PUSES

    1. viena otrai sniedz pakalpojumus, kas saistīti ar PK rīkotajiem pasākumiem izstādes «Riga Food 0000» xxxxx (turpmāk tekstā KONKURSI) 2018. gada
      7. septembrī Starptautiskajā izstāžu centrā Ķīpsalas ielā 8, Rīgā;

    2. vienojas, ka PARTNERIS iesaistās KONKURSU norisēs kā sponsors/ģenerālsponsors, sniedzot līgumā minētos pakalpojumus;

    3. vienojas par sponsora statusam atbilstošu atbalstu ________________________ € (____________________________) EUR apmērā, ko PARTNERIS 2018. gada 31. jūlijā atbilstoši PK izrakstītajā rēķinā norādītajam termiņam maksājuma veidā pārskaita uz PK bankas kontu.

1. SUBJECT OF THE AGREEMENT

On behalf of this Partnership Agreement the PARTIES shall provide their services and best efforts to each other, referring to the events organized by PK during the business exhibition Riga Food 2018 (further in the text COMPETITIONS) held within the period of time from 6 September 2018 to 7 September 2018, located at the International Exhibition Centre, address Xxxxxxxx xxxxxx 0, Xxxx; agree that the PARTNER is involved in the COMPETITIONS as a Sponsor or the General Sponsor, providing the services enlisted in the Partnership Agreement;agree that the Sponsor shall provide the financial support in compliance with the Sponsor’s status, the amount of € _______________________

(_______________________________). Financial support bank account on 31. july 2018 in accordance with the referring bill of payment given by XX.

2. PK APŅEMAS (atbilstoši PARTNERA sponsora statusam):

    1. KONKURSU ietvaros organizēt:

2.1.1 7. septembrī — sacensības par titulu «Latvijas 2018. gada pavārs».

    1. atspoguļot PK tīmekļa vietnē xxx.xxxxxxxxxxx.xx KONKURSUS un ar tiem saistītās norises, minot PARTNERA vārdu atbilstoši statusam, kas tiek noteikts ar šo līgumu;

    2. neiesaistot PARTNERI, organizēt KONKURSUS patstāvīgi, nodrošinot citu sponsoru piesaisti, kā arī produktu, iekārtu, inventāra un trauku papildu apgādi un žūrijas un plānoto dalībnieku piesaisti;

    3. nodrošināt PARTNERA stendam izstādes laikā atlaidi atbilstoši šā līguma 4. punkta nosacījumiem;

    4. pasākuma laikā nodrošināt iespēju translēt PARTNERA audio un videoreklāmu; Audio reklāma tiks translēta ne mazāk kā 5 reizes katru KONKURSA dienu, videoreklāma tiks rādīta ne mazāk kā 5 reizes katru KONKURSA dienu.

    5. izvietot PARTNERA logotipu PK tīmekļa vietnes xxx.xxxxxxxxxxx.xx sadaļā «Mūsu atbalstītāji un sadarbības partneri» uz vienu gadu no līguma parakstīšanas brīža;

    6. izvietot PARTNERA reklāmas materiālus PK stendā izstādes Riga Food 2018 laikā;

    7. uzlūgt PARTNERA pārstāvi uz svinīgo noslēguma ceremoniju — galā dineju, iekļaujot šo personu viesu sarakstā (par katriem sponsora finansiāla atbalsta 1000 EUR tiek piešķirts 1 ielūgums).

    8. Izvietot PARTNERA logotipu uz PK konkursa organizētāju un žūrijas priekšautiem (šī opcija tiek piedāvāta sponsoriem par finansiālo atbalstu sākot no 1000 EUR).

2. PK OBLIGATIONS (in compliance with the PARTNER’S sponsor’s status):

2.1 to organize and maintain the following COMPETITIONS:

2.1.1 7 September – Competition for the title Latvian Chef of the Year 2018.

2.2 to publicize information about the Competitions and other events relevant to them online on the PK site xxx.xxxx.xx and to present the PARTNER’S name there in accordance with their status, in compliance with the Partnership Agreement;

2.3 to take responsibility and without any assistance of the PARTNER, to organize the COMPETITIONS unilaterally and to ensure the involvement of other sponsors, as well as the supply of grocery, cooking equipment, cooking appliances and other additional tableware, as well as to involve the estimated number of COMPETITION members and jurors into the competitions;

2.4 to ensure the Partner with a discount to put up a stand for the total period of time of the exhibition in compliance with the item 4 of the Partnership Agreement;

2.5 to provide the possibility to broadcast the PARTNER’S audio and visual commercials within the total period of time of the exhibition; the audio commercials shall be broadcasted for minimum of 5 times during every COMPETITION day, the visual commercials shall be broadcasted for minimum of 5 times during every COMPETITION day;

2.6 to put up the PARTNER’S logo online on the site xxx.xxxxxxxxxxx.xx in the column Mūsu atbalstītāji un sadarbības partneri (Our supporters and business partners) for the period of one year from the date when the Agreement was made;

2.7 to put up the PARTNER’S commercial materials on the PK stand for the total period of the Exhibition Riga Food 2018;

2.8 to invite the PARTNER’S representative to the official closing ceremony — the final dinner party, enrolling this person on the list of guests (one invitation card shall be given for every EUR 1000 invested by the Sponsor);

2.9 to put up the PARTNER’S logo on the aprons provided for the PK Competition organizers and jury members (this option is obtained for the Sponsor’s financial investments starting from no EUR 1000).

3. PARTNERIS APŅEMAS (atbilstoši izvēlētajam sponsora statusam):

    1. nodrošināt PK ar KONKURSIEM nepieciešamo partnera produkciju;

    2. nodrošināt PK ar balvām KONKURSIEM;

    3. nodrošināt KONKURSU rīkotājus ar nepieciešamajiem PARTNERA informatīvajiem un reklāmas materiāliem bez maksas; materiāli jāiesniedz otrai PUSEI līdz 24.08.2018 šādos formātos:

• fotogrāfijas: *.jpg vai *.tiff (lielākas par 4 Mpix);
• logotips: *.eps, *.ai, vai *.cdr vektoru formātā (papildus arī *.jpg, *.pdf vai *.png);
• video: *.mpeg, *.mov, *.mpeg-4, *.dv, maksimālais video rullīša laiks ne liekāks kā 5 minūtes;

    1. apmaksāt līguma punktā 1.3 minēto summu 2018. gada jūlija mēnesī atbilstoši PK izrakstītajā rēķinā norādītajam termiņam;

    2. pieminēt PK un Starptautisko izstāžu rīkotājsabiedrību BT 1 sava uzņēmuma reklāmas materiālos vai atsevišķos pasākumus, kas saistīti ar «Riga Food 2018» un KONKURSIEM vai kuros tiek sniegta atsauce uz tiem.

3. THE PARTNER’S OBLIGATIONS (in compliance with the Sponsor’s chosen status):

    1. to guarantee the supply of necessary PARTNER’S products for the PK COMPETITIONS;

    2. to ensure the supply of Competition prizes;

    3. to supply the COMPETITION organizers with all the necessary PARTNER’S informative and commercial materials free of charge; the materials to be presented to the other partners until 24.08.2018 in the formats as follows:

• photographs: *.jpg or *.tiff (larger than 4 Mpix);
• logos: *.eps, *.ai, or *.cdr in the vector format (in addition also *.jpg, *.pdf or *.png);
• video: *.mpeg, *.mov, *.mpeg-4, *.dv, the maximum video clip time shall not exceed 5 minutes;

    1. to transfer the payable sum in accordance with the item 1.3 by july, 2018 in compliance with PK given payment bill ;

    2. to refer to the name of BT 1, i.e. the PK and International Competitions organization company, in the PARTNER’S commercial materials and other events, related to the exhibition Riga Food 2018 and Competitions or other events that refer to them.

4. ATLAIDES

    1. PARTNERIS, piedaloties izstādē «Riga Food 2018», savam stendam var saņemt atlaidi atbilstoši 1.2 punktā noteiktajam ģenerālsponsora statusam 50% apmērā.

    2. Ja PARTNERIS jau saņēmis Starptautisko izstāžu rīkotājsabiedrības BT 1 atlaidi neatkarīgi no šī līguma, 4.1 punktā minētie atvieglojumi var nebūt spēkā un ir papildu saskaņojami ar izstādes rīkotājiem.

4. DISCOUNTS

4.1 The PARTNER, taking part in the Exhibition Riga Food 2018, is given a discount for the PARTNER’S stand with discount mentioned in 1.2 punktā in compliance with the General Sponsor’s status in the amount of 50%.

4.2 In case the PARTNER has been given the discount by the International Exhibition organizing company BT1, apart from the present agreement, the discounts mentioned in item 4.1 shall be not applied or shall be negotiated mutually with the exhibition organizers.

5. VIENOŠANĀS TERMIŅŠ

Vienošanās stājas spēkā ar tās parakstīšanas brīdi un ir spēkā līdz KONKURSU beigām, 2018. gada 7. septembrim.

5. TERMINATION OF THE AGREEMENT

The term of this Agreement shall start at the moment when it is signed and terminates for the period until the end of the COMPETITIONS on 7 September 2018.

6. CITI NOTEIKUMI

    1. Par otrai PUSEI nodarītajiem zaudējumiem, kas radušies, neizpildot vai nepilnīgi izpildot vienošanās noteikumus, vainīgā PUSE atlīdzina otrai PUSEI nodarītos zaudējumus; zaudējumu segšana neatbrīvo no vienošanās un saistību izpildes pienākuma.

    2. Neviena no PUSĒM netiek uzskatīta par atbildīgu vienošanās noteikumu neizpildē vai nepilnīgā izpildē, ja tas noticis cilvēka vai dabas izraisītu katastrofu rezultātā, masu nekārtību, militārās darbības, kā arī valsts institūciju lēmumu rezultātā.

    3. Visus strīdus PUSES risina sarunu ceļā. Ja neizdodas panākt vienošanos, strīds pēc pušu iesniegtajiem dokumentiem tiek izskatīts Biznesa šķīrējtiesā saskaņā ar tās reglamentu viena tiesneša sastāvā.

6. DISPUTES

6.1 The losses of the partnership that might be suffered by the other Party, that might occur due to the failure to perform in full or partly the conditions of the Agreement, shall be compensated by the guilty party to the PARTNER, the compensation of the losses shall not release the guilty party from fulfilling the mutual obligations under the Agreement.

6.2 No PARTY shall be deemed guilty for not performing the obligations in full or partly, if the failure has occurred as a result of a person’s accident or nature disaster, mass disorders, military actions, or due to the orders issued by the state institutions.

6.3 All the Disputes shall be negotiated and solved mutually by the PARTIES. In case the PARTIES fail to perform that, the Dispute shall be solved by the Business Court consisting of one judge on the basis of the attached documents in compliance with the Regulations.
