§ 1

Przedmiot Umowy.

1. Wykonawca zobowiązuje się do wygenerowanie myszy z warunkowym nokautem genu Mapkapk5 (przy użyciu technologii Turboknockout) zgodnie z ofertą do zapytania ofertowego nr ………………………

Article 1

Subject of the Agreement

1. The Contractor undertakes to Generation of Mouse Mapkapk5 conditional knockout (using Turboknockout strategy) according to quotation to the request for quotation no ………………… , dated ……………… (schedule 1 to this Agreement).

§ 2

Article 3

The Subject of this Agreement shall be completed within …………………………….. from sign of the Agreement.

§ 4

Cena

1. Wykonawcy za realizację przedmiotu umowy przysługuje wynagrodzenie w kwocie netto …………………………… (słownie: ……………………………..), płatne w dwóch ratach:

- 50% kwoty na podstawie faktury proforma;

- 50% (pozostała kwota) po zrealizowaniu przedmiotu umowy.

2. Wykonawca zobowiązuje się do zwrócenia pełnej kwoty usługi jeśli zwierzęta nie zostaną dostarczone do Zamawiającego.

3. Powyższa kwota jest stała i nie podlega rewaloryzacji.

4. W/w kwota nie obejmuje podatku VAT, który Zamawiający zapłaci zgodnie z obowiązującymi go przepisami. VAT: PL 525 000 92 69.

Article 4

Price

1. For the performance of the Subject of this Agreement the Contractor shall receive total compensation in the net amount of ……………………………… (in words: ……………………………….). The payment will be processed:

- 50% proforma ivoice;

- 50% - after realized of the service.

2. The Contractor undertakes to refund the full amount of the service if the animals are not delivered to the Contracting party.

3. The amount specified above is fixed and shall not be adjusted.

4. The above amount excludes VAT, which is payable by the Contracting party in accordance with binding regulations. VAT UE: PL 525 000 92 69.

§ 5

Warunki płatności.

1. Należność płatna będzie przelewem na podstawie faktury.

2. Podstawą do zapłaty faktury (50% kwoty po zrealizowaniu przedmiotu umowy) stanowi protokół odbioru (bez zastrzeżeń) przedmiotu zamówienia, podpisany przez Zamawiającego.

3. Za dokonanie płatności rozumie się dzień dokonania polecenia przelewu wystawionego przez Zamawiającego na konto Wykonawcy.

Article 5

Terms of payment

1. The due amounts shall be payable on the basis of invoice.

2. The basis for the final invoice (50% amount after realized of the service) payment shall be the unreserved acceptance report signed by the Contracting party.

3. The payment shall be considered effected on the day of the executed bank transfer made from the Contracting party’s bank account into the Contractor’s bank account specified in the Agreement.

§ 6

Warunki zwrotu towaru.

Wykonawca zobowiązuje się do przyjęcia zwrotu i wymiany wadliwych lub uszkodzonych w wyniku transportu części lub całości zamówienia i ich wymiany na własny koszt w ciągu 30 dni od daty wystawienia faktury.

Article 6

Terms of goods return

The Contractor shall accept the return and exchange faulty or transport-damaged parts, and to replace them on the Seller’s cost within 30 days from the invoice date.

§ 7

Zmiany.

1. Zamawiający może odstąpić od umowy w formie pisemnej, w terminie 30 dni od powzięcia wiadomości o wystąpieniu istotnej zmiany okoliczności powodującej, że wykonanie umowy nie leży w interesie publicznym. W takim przypadku Wykonawcy przysługuje wynagrodzenie należne z tytułu wykonania części usługi.

2. Wszelkie zmiany niniejszej Umowy wymagają formy pisemnej pod rygorem nieważności.

3. Strony mają obowiązek wzajemnego informowania o wszelkich zmianach statusu prawnego swojej Firmy, a także o wszczęciu postępowania upadłościowego, układowego i likwidacyjnego.

Article 7

Modifications

1. The Contracting party may terminate this Agreement in written form within 30 days from learning about the occurrence of a significant change in circumstances that makes the performance of the agreement contrary to the public interest. In such a case the Contractor shall be entitled to remuneration due for the performed part of the service.

2. All the modifications to this Agreement shall be null and void unless made in writing.

3. The Parties shall be obliged to inform each other about any change in their legal status and about filing for bankruptcy, arrangement and liquidation procedures.

§ 8

Pozostałe informacje

1. Niniejsza Umowa jest podporządkowana wyłącznie prawu polskiemu i interpretacja jej postanowień będzie zgodna z prawem polskim.

2. We wszystkich sprawach nie uregulowanych w Umowie zastosowanie mają przepisy ustaw Kodeks cywilny i Prawo zamówień publicznych.

3. Kwestie sporne powstałe w związku z realizacją niniejszej Umowy, Strony zobowiązują się rozstrzygać w drodze mediacji, a w przypadku braku porozumienia przekażą na drogę postępowania sądowego do właściwego sądu powszechnego dla siedziby Zamawiającego.

4. Umowę sporządzono w 2 jednobrzmiących egzemplarzach, po 1 dla Zamawiającego i dla Wykonawcy.

Article 8

Other provisions

1. This Agreement is governed by the Polish law only and shall be interpreted accordingly.

2. In all matters than are not regulated by this Agreement regulations of the Civil Code and the Public Procurement Law shall apply.

3. Disputes resulting from the performance of this Agreement shall be settled out of court and shall no agreement be reached the dispute shall be referred to a court relevant for the seat of the Contracting party.

4. This Agreement has been signed in two counterparts, one for the Contracting party and one for the Contractor.
