BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy przy
ul. Rynkowska 1
I. DEFINICJE, POSTANOWIENIA OGÓLNE
1. Dla potrzeb niniejszego dokumentu poniższym wyrażeniom nadaje się następujące znaczenie:
• BETA-POINT – przedsiębiorca Xxxxx Xxxxxxxx-Xxxxxx, prowadząca działalność gospodarczą pod firmą BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy (85-503) przy xx. Xxxxxxxxxxx 0, XXX 0000000000, REGON 92560894.
• Kontrahent – podmiot będący przedsiębiorcą w rozumieniu art. 431 kodeksu cywilnego, zawierający z BETA-POINT umowę sprzedaży, umowę dostawy umowę o dzieło lub umowę o świadczenie usług jako kupujący, nabywca, zamawiający, zleceniodawca.
• OWU – niniejsze Ogólne Warunki Umów stosowane przez
BETA-POINT.
• Towary – Produkty i Urządzenia dostępne do nabycia od
BETA-POINT.
• Produkty – etykiety, taśmy oraz inne materiały i akcesoria wytworzone przez BETA-POINT, bądź na zlecenie BETA- POINT.
• Urządzenia – drukarki, kopiarki, sprzęt peryferyjny, pozostałe akcesoria biurowe oraz części zamienne do nich proponowane do sprzedaży przez BETA-POINT.
• Usługi – wszelkie odpłatne czynności oferowane do wykonania
przez BETA-POINT,
• Zapytanie ofertowe – wniosek Kontrahenta wystosowany do BETA-POINT w sprawie określenia wstępnych warunków i postanowień Umowy.
• Informacja handlowa – odpowiedź udzielona przez BETA- POINT na Zapytanie ofertowe Kontrahenta,
• Zamówienie – oświadczenie Kontrahenta skierowane do BETA-POINT, zawierające wolę zawarcia Umowy, uwzględniającej postanowienia OWU oraz warunki ustalone w toku negocjacji.
• Potwierdzenie przyjęcia zamówienia do realizacji – oświadczenie złożone Kontrahentowi przez BETA-POINT informujące o przyjęciu Zamówienia,
• Potwierdzenie przyjęcia zamówienia do realizacji z zastrzeżeniem terminu – oświadczenie złożone Kontrahentowi przez BETA-POINT informujące o przyjęciu Zamówienia z zastrzeżeniem odmiennego terminu wykonania Umowy.
• Umowa – umowa sprzedaży, umowa dostawy, umowa o dzieło, umowa o świadczenie usług, bądź inna umowa nienazwana zawierana przez BETA-POINT z Kontrahentami.
• Siła Wyższa - zdarzenie zewnętrzne, niemożliwe do przewidzenia i niemożliwe do zapobieżenia w szczególności wojnę, zamieszki, rozruchy społeczne, trzęsienie ziemi, pożar, eksplozję, powódź, huragan, konfiskatę, strajk, spory pracownicze, istotną awarię, akty władzy ustawodawczej i wykonawczej, które uniemożliwiają Xxxxxxx wykonanie jego zobowiązania.
• Karta techniczna – dokument informacyjny zawierający podstawowe parametry techniczne, właściwości fizykochemiczne produktu, przewidywane zastosowanie, zalecany sposób przetwórstwa oraz warunki bezpiecznego magazynowania,
• Karta charakterystyki – dokument informacyjny zawierający podstawowe parametry techniczne, właściwości fizykochemiczne surowców wykorzystywanych w procesie produkcji,
2. Jeżeli Strony nie postanowią inaczej, OWU stanowią integralną cześć każdej Umowy i znajdują zastosowanie w kwestiach nieuregulowanych odmiennie w Umowie. Zmiana postanowień zawartych w OWU wymaga dla swej ważności złożenia przez strony stosownych oświadczeń w formie pisemnej, dokumentowej, elektronicznej w rozumieniu art. 781 kodeksu cywilnego, bądź za pośrednictwem poczty elektronicznej bez spełnienia wymogów przewidzianych w art. 781 kodeksu cywilnego.
3. Wyłącza się stosowanie jakichkolwiek ogólnych warunków umów, wzorów umów, regulaminów lub innych podobnych dokumentów stosowanych przez Kontrahenta, chociażby były one BETA-POINT znane lub dotyczyły kwestii nieuregulowanych w OWU.
4. Niniejsze OWU obowiązują wyłącznie wobec podmiotów będących przedsiębiorcami w rozumieniu przepisu art. 431 kodeksu cywilnego.
5. OWU doręczane są Kontrahentowi przed zawarciem Umowy, w szczególności jako załącznik do Informacji handlowej. OWU doręczane są Kontrahentowi w formie pisemnej, bądź za pośrednictwem poczty elektronicznej jako załącznik w formacie PDF. OWU dostępne są także na stronie internetowej BETA-POINT (xxx.xxxxxxxxx.xx) w formacie PDF umożliwiającym jego pobranie przez Kontrahenta.
6. Złożenie przez Kontrahenta Zamówienia do BETA-POINT jest
równoznaczne z pełną akceptacją OWU.
II. ZAWARCIE UMOWY
1. BETA-POINT stosuje praktykę przedstawiania Kontrahentom, pozostającym z BETA-POINT w stałych stosunkach handlowych, aktualnych cen dotyczących Towarów i Usług.
2. Informacje zawarte w pismach, katalogach, wykazach produktów lub w folderach BETA-POINT dotyczące Towarów i Usług oraz aktualnych cen nie stanowią oferty w rozumieniu Kodeksu cywilnego. Mają one wyłącznie charakter informacyjny i należy je traktować jako zaproszenie do negocjacji w celu zawarcia umowy. Wszelka korespondencja kierowana do Kontrahenta nazwana OFERTĄ, bądź zawierająca w swej treści słowo OFERTA, nie stanowi oferty w rozumieniu Kodeksu cywilnego, a jedynie Informację handlową, bądź inne pismo stanowiące odpowiedź na pytania zadawane przez Kontrahenta w toku negocjacji.
3. Zamówienia mogą być składane do BETA-POINT w jeden z
następujących sposobów:
a) na piśmie;
b) w formie dokumentowej,
c) za pośrednictwem poczty elektronicznej (e-maila) na adres wskazany Kontrahentowi przez BETA-POINT lub wskazany na stronie internetowej BETA-POINT (xxx.xxxxxxxxx.xx) jako właściwy do składania Zamówień;
4. Zamówienia winny dla swej skuteczności zawierać:
a) oznaczenie Kontrahenta,
b) dane identyfikacyjne Kontrahenta (numery NIP, REGON, KRS),
c) dane adresowe i kontaktowe Kontrahenta (w tym numer telefonu, numer faksu i adres poczty elektronicznej osoby występującej w imieniu Xxxxxxxxxxx),
d) oznaczenie rodzaju i ilości zamawianych Towarów lub Usług,
e) jednostkową cenę netto każdego z Towarów i każdej z Usług;
f) cenę netto za przygotowanie klisz i wykrojników (jeśli dotyczy)
g) oznaczenie miejsca dostawy
h) oznaczenie terminu dostawy Towarów lub terminu wykonania Usług, przy czym w przypadku, gdy taki termin nie jest wskazany uznaje się, że BETA-POINT zrealizuje Zamówienie w wybranym przez siebie terminie wskazanym w Potwierdzeniu przyjęcia zamówienia do realizacji
5. Kontrahent składając Zamówienie obowiązany jest (o ile strony nie postanowią inaczej) do dokonania Przedpłaty w wysokości i na warunkach wskazanych przez BETA-POINT w Informacji
handlowej. Jeżeli w Informacji handlowej nie wskazano inaczej Kontrahent obowiązany jest do zapłaty na rachunek bankowy BETA-POINT Przedpłaty obejmującej całkowitą cenę za Towary, bądź Usługi (wraz z należnym podatkiem VAT) oraz całkowitą cenę za przygotowanie klisz i wykrojników (wraz z należnym podatkiem VAT).
6. Za wszelkie błędy (omyłki) zawarte w treści Zamówienia całkowitą odpowiedzialność ponosi Kontrahent.
7. BETA-POINT w terminie jednego dnia roboczego (a w przypadku zamówień otrzymanych przez BETA-POINT po 12.00 - w terminie dwóch dni roboczych) składa Kontrahentowi (w formie pisemnej, dokumentowej lub za pośrednictwem poczty elektronicznej) Potwierdzenie przyjęcia zamówienia do realizacji względnie Potwierdzenie przyjęcia zamówienia do realizacji z zastrzeżeniem terminu.
8. Niezłożenie Potwierdzenia przyjęcia zamówienia do realizacji, bądź też Potwierdzenia przyjęcia zamówienia do realizacji z zastrzeżeniem terminu w okresie wskazanym w punkcie II.7. powyżej oznacza, że Umowa nie została zawarta. Ten sam skutek nastąpi w przypadku złożenia oświadczenia o odmowie przyjęcia Zamówienia.
9. Do zawarcia Umowy dochodzi:
a) na skutek złożenia przez BETA-POINT oświadczenia o Przyjęciu zamówienia do realizacji (z chwilą złożenia tego oświadczenia Kontrahentowi),
b) na skutek złożenia przez BETA-POINT oświadczenia o Przyjęciu zamówienia do realizacji z zastrzeżeniem terminu - w takim przypadku Umowę uważa się za zawartą na warunkach określonych w Zamówieniu i w oświadczeniu
o Przyjęciu zamówienia do realizacji z zastrzeżeniem terminu po upływie jednego dnia roboczego od otrzymania przez Kontrahenta ww. oświadczenia BETA-POINT, chyba że Kontrahent zgłosi w tym terminie rezygnację z Zamówienia w formie pisemnej, dokumentowej lub za pośrednictwem poczty elektronicznej,
c)na warunkach i w terminie wynikającym z Umowy zawartej w formie pisemnej.
10. Jeżeli po zawarciu Umowy, z przyczyn niezależnych od BETA- POINT (w tym z przyczyn leżących po stronie podwykonawców BETA-POINT), wykonanie Umowy w ustalonym terminie nie będzie możliwe, BETA-POINT powiadomi o takim fakcie Kontrahenta wskazując najbliższy możliwy termin wykonania takiej Umowy (lub jej części). Termin ten będzie wiążący dla stron o ile Kontrahent w terminie jednego dnia roboczego nie złoży BETA-POINT w formie pisemnej, dokumentowej lub za pośrednictwem poczty elektronicznej oświadczenia o braku akceptacji nowego terminu wykonania Umowy (lub jej części). W przypadku złożenia ww. oświadczenia, o ile strony nie postanowią inaczej, Umowa ulegnie rozwiązaniu w odniesieniu do Towarów lub Usług objętych odmową akceptacji zmiany terminu. W takim przypadku stronom nie będą przysługiwały jakiekolwiek roszczenia odszkodowawcze lub inne związane z rozwiązaniem Umowy. Powyższe zasady stosuje się odpowiednio w przypadku dalszych opóźnień w wykonaniu umowy przez BETA-POINT z przyczyn od BETA-POINT niezależnych.
11. Produkty BETA-POINT opatrzone są numerami partii. Na wyraźne żądanie Kontrahenta możliwe jest odstąpienie od oznakowania Produktu numerem partii, jednakże skutkuje to utratą możliwości złożenia przez Kontrahenta reklamacji jakościowej lub ilościowej dotyczącej przedmiotowych Produktów i utratą roszczeń z tego tytułu oraz utratą roszczeń odszkodowawczych.
12. Zmiana postanowień Umów zawartych na skutek złożenia przez
BETA-POINT oświadczeń, o których mowa w punkcie II.9.a. oraz
II.9.b. powyżej wymaga dla swej ważności zgodnych oświadczeń stron w formie pisemnej, dokumentowej lub za pośrednictwem poczty elektronicznej. Każda zmiana postanowień Umowy w tym także zmiana dotycząca przyspieszenia terminu wykonania Umowy może wiązać się ze zwiększeniem ceny.
13. BETA-POINT może odstąpić od Umowy w przypadku gdy:
− Kontrahent pozostaje w zwłoce bądź opóźnieniu w realizacji jakichkolwiek zobowiązań wobec BETA-POINT przez okres przekraczający 14 dni,
− wykonanie Umowy jest niemożliwe lub utrudnione ze względu na niedobór surowców, energii lub inne zakłócenia w funkcjonowaniu zakładu BETA-POINT lub jego dostawców, a także w przypadku wystąpienia Siły Wyższej.
III. WYKONANIE UMOWY
A. Towary
1. Jeżeli Umowa nie stanowi inaczej BETA-POINT dokonuje wyboru
przewoźnika lub spedytora.
2. Jeżeli Umowa nie stanowi inaczej, BETA-POINT zobowiązuje się do przygotowania Towaru do wysyłki, zgodnie ze standardem pakowania przyjętym w BETA-POINT i akceptowanym przez przewoźników lub spedytorów, chyba że Kontrahent określi sposób lub rodzaj opakowania w treści Zamówienia a sposób ten zostanie zaakceptowany przez BETA-POINT.
3. Dostawa Towaru do miejsca wskazanego przez Kontrahenta
odbywa się na jego koszt i ryzyko.
4. Towar uważa się za wydany Kontrahentowi z chwilą jego przekazania przewoźnikowi, spedytorowi lub innej upoważnionej osobie w celu dostarczenia do miejsca wskazanego w Zamówieniu, a w przypadku odbioru własnego, bądź dostawy dokonywanej przez BETA-POINT we własnym zakresie, z chwila podpisania dokumentów wydania (WZ, CMR lub inny dokument podobny lub spełniający podobną funkcję).
5. BETA-POINT nie ponosi odpowiedzialności za ubytek, uszkodzenie, bądź zniszczenie Towaru, jak również za opóźnienie, bądź niewykonanie dostaw - wynikające z winy przewoźnika, spedytora, działania Siły Wyższej lub niedostarczenia przez Kontrahenta prawidłowych instrukcji dotyczących np. sposobu i adresu dostawy.
6. W przypadku, gdy Kontrahent dokonuje odbioru Towaru we własnym zakresie BETA-POINT zobowiązuje się do powiadomienia Kontrahenta o terminie i miejscu, w którym Towary będą gotowe do odbioru, a Kontrahent zobowiązany będzie do dokonania odbioru Towaru we wskazanym terminie. W przypadku popadnięcie przez Kontrahenta w opóźnienie w odbiorze Towaru, może on zostać obciążony karą umowną w wysokości 0,5% łącznej wartości netto Zamówienia, za każdy rozpoczęty dzień magazynowania, z zastrzeżeniem innych uprawnień przysługujących BETA-POINT, w tym dochodzenia odszkodowania w pełnej wysokości na zasadach ogólnych. W przypadku braku odbioru Towaru przez Kontrahenta przez okres 30 dni od ustalonego terminu odbioru, BETA-POINT będzie uprawniony do zaprzestania magazynowania Towaru oraz do utylizacji Towaru na koszt Kontrahenta. W takim przypadku Kontrahentowi nie przysługują jakiekolwiek roszczenia odszkodowawcze a BETA-POINT ma prawo domagać się zapłaty ceny za Towar oraz zapłaty kary umownej i kosztów utylizacji.
7. Rozładunek Towaru dokonywany jest staraniem oraz na koszt i ryzyko Kontrahenta.
8. Niezwłocznie po dokonaniu odbioru Towaru Kontrahent zobowiązany jest do jego zbadania, w szczególności do ustalenia, czy Towar jest kompletny, nieuszkodzony oraz czy nie jest on dotknięty wadami fizycznymi, które dadzą się stwierdzić z chwilą odbioru.
9. Dostawy mogą być realizowane przez BETA-POINT częściami. Ostateczne określenie ilości, rodzaju i terminu dostawy należy do BETA-POINT.
10. W każdym przypadku BETA-POINT ma prawo do realizacji dostawy w terminie wcześniejszym niż wynika to z Umowy.
11. W przypadku odbiorów własnych, gdzie docelowym miejscem przeznaczenia są inne państwa konieczne jest dostarczenie przez Kontrahenta potwierdzenia wywozu Towaru. Niedostarczenie
takiego potwierdzenia może skutkować naliczeniem podatku VAT w obowiązującej wysokości lub obciążenie Kontrahenta innymi kosztami wynikającymi z przepisów prawa lub z ewentualnych decyzji administracyjnych odpowiednich organów państwowych (w tym celnych) nałożonych z tego tytułu na BETA-POINT.
12. Wszelkie roszczenia Kontrahenta wobec BETA-POINT nie zwalniają Kontrahenta z obowiązku dokonania odbioru kolejnych dostaw.
13. Wszelkie ryzyka związane z Towarami (w tym ryzyko utraty, uszkodzenia lub ubytku) przechodzą na Kontrahenta z chwilą ich wydania Kontrahentowi w jeden ze sposobów przewidzianych w punkcie III.4. powyżej.
14. BETA-POINT może powstrzymać się od wykonania Umowy na rzecz Kontrahenta w przypadku gdy Kontrahent pozostaje w zwłoce bądź opóźnieniu w realizacji jakichkolwiek zobowiązań wobec BETA-POINT.
15. Z uwagi na konieczność uwzględnienia wszelkich uwarunkowań produkcyjnych terminy wykonania Umowy przez BETA-POINT określone w Umowie stanowią przybliżona datę wydania Towaru. Termin wykonania Umowy przez BETA-POINT uważa się za zachowany, jeżeli przed jego upływem Xxxxx został wydany Kontrahentowi z godnie z punktem III.4. powyżej, bądź też jeżeli zgłoszono Kontrahentowi gotowość Towaru do odbioru lub wysyłki. Przekroczenie terminu wykonania Umowy nie większe niż 2 tygodnie nie może powodować odstąpienia od Umowy. Kontrahentowi nie przysługują roszczenia odszkodowawcze z tytułu opóźnienia bądź zwłoki w wykonaniu Umowy obejmujących okres do 2 tygodni.
B. USŁUGI
1. BETA-POINT świadczy Usługi, w szczególności w zakresie projektowania narzędzi, tworzenia projektów graficznych oraz napraw i serwisu Urządzeń.
2. Usługi wykonywane będą w siedzibie BETA-POINT. Obowiązek dostarczenia i odbioru Urządzeń odbywać się będzie na koszt i ryzyko Kontrahenta.
3. W przypadku wykonania Usługi w miejscu wskazanym przez Kontrahenta innym niż siedziba BETA-POINT, Kontrahent ponosi koszt dojazdu serwisanta.
4. Postanowienia punktu III.A. od 1 do 15 stosuje się odpowiednio.
IV. CENY
1. Jeżeli Umowa określa cenę netto oznacza to że do zapłaty przez Kontrahenta pozostaje ustalona cena netto powiększona o należny podatek VAT.
2. Cena jednostkowa Towaru uwzględnia koszt opakowania
jednorazowego.
3. Cena nie zawiera kosztów dostawy Towarów. Dostawa Towarów dokonywana będzie na koszt Kontrahenta, chyba że strony postanowią inaczej.
V. FAKTURY I PŁATNOŚCI
1. Kontrahent obowiązany jest do zapłaty na rzecz BETA-POINT
Przedpłaty w wysokości i na warunkach określonych w punkcie
II.5. powyżej.
2. Jeżeli Umowa nie przewidywała Przedpłaty, bądź też przewidywała Przedpłatę częściową - termin zapłaty pozostałej części ceny obejmuje (o ile strony nie postanowią inaczej):
− 7 dni od daty wystawienia stosownej faktury VAT obejmującej wartość sprzedaży netto do kwoty 2500,00 zł (włącznie),
− 14 dni od daty wystawienia stosownej faktury VAT obejmującej wartość sprzedaży netto powyżej kwoty 2500,00 zł.
3. Płatność z tytułu faktury VAT zostanie dokonana przez Kontrahenta w walucie ustalonej w Umowie i wskazanej na fakturze VAT.
4. Płatności dokonywane są na rachunek bankowy wskazany każdorazowo przez BETA-POINT na fakturze VAT. Płatność uznaje się ją za dokonaną z chwilą uznania rachunku bankowego BETA- POINT.
5. Faktury VAT będą dołączane do przesyłek względnie, w przypadku zawarcie stosownego porozumienia w tym zakresie, będą wysyłane jako e-faktura na adres mailowy podany przez Kontrahenta.
6. Wniesienie reklamacji względnie odmowa odebrania Towaru lub Usługi nie zwalnia Kontrahenta z obowiązku zapłaty ceny za Towar lub Usługę w ustalonym terminie.
7. W przypadku popadnięcia przez Kontrahenta w opóźnienie w zapłacie, BETA-POINT uprawniona jest do żądania odsetek ustawowych za opóźnienie w transakcjach handlowych.
8. Bez względu na odmienne zastrzeżenie Kontrahenta, BETA- POINT ma prawo zaliczyć otrzymane płatności na poczet należności wcześniej wymagalnych.
9. Kontrahent nie może potrącać jakichkolwiek swoich wierzytelności przysługujących mu w stosunku do BETA-POINT z wierzytelnościami BETA-POINT przysługującymi jej w stosunku do Kontrahenta.
VI. INFORMACJA O TOWARACH I USŁUGACH
1. Kontrahent sam ocenia przydatność Towaru i/lub Usługi do zamierzonego przez niego celu.
2. BETA-POINT nie ponosi odpowiedzialności za użycie Towaru i/lub Usługi niezgodnie ze wskazaniami BETA-POINT lub producenta jak i za błędną lub niewłaściwą interpretację informacji oraz danych technicznych zawartych w katalogach oraz innych materiałach i informacjach przekazanych lub udostępnionych Kontrahentowi. BETA-POINT nie ponosi również odpowiedzialności za nieprawidłowe dobranie parametrów Towaru do potrzeb Kontrahenta.
VII. STANDARDY JAKOŚCI, INSPEKCJE I REKLAMACJE
1. Wyłącza się odpowiedzialność BETA-POINT z rękojmi przewidzianą w przepisach Kodeksu cywilnego. Zastosowanie znajdują wyłącznie postanowienia OWU.
2. W odniesieniu do Produktów przyjmuje się ilość dostawy z tolerancją +/- 10 % ilości określonej w Umowie. Nadwyżka produkcyjna jest płatna w pełnej wysokości.
3. BETA-POINT deklaruje, że zakupione Produkty zachowają swoje parametry fizyko-techniczne i będą zdatne do ich wykorzystania zgodnie z przeznaczeniem w terminie 6 miesięcy od uzgodnionego dnia odbioru, pod warunkiem ich przechowywania pomieszczeniach, w których utrzymywana będzie w sposób nieprzerwany temperatura od 20oC do 25oC, wilgotność względna 40-50% RH; z dala od źródeł ciepła oraz nasłonecznienia. Powyższe zapewnienie nie dotyczy Produktów niepełnowartościowych oraz takich właściwości Produktów, które były znane Kontrahentowi w momencie zawierania Umowy.
4. Wszelkie parametry techniczne Produktów w zakresie ich wymiarów, tolerancji lub innych parametrów fizyko-technicznych określone są w Kartach technicznych, dostępnych na życzenie Kontrahenta. Wszelkie parametry techniczne surowców wykorzystywanych w procesie produkcji określone są w Kartach charakterystyki, dostępnych na życzenie Kontrahenta.
5. Jeżeli Umowa nie stanowi inaczej, estetyka opakowania Towaru
nie stanowi wady Towaru i nie podlega reklamacji.
6. Kontrahent ma obowiązek dokładnego zbadania Towaru, niezwłocznie po jego otrzymaniu. W przypadku stwierdzenia jakichkolwiek ubytków lub uszkodzeń Kontrahent zobowiązany jest dokonać wszelkich niezbędnych czynności do ustalenia odpowiedzialności przewoźnika lub spedytora obejmujących:
a) odnotowanie faktu niezgodności na liście przewozowym,
b) sporządzenie protokołu uszkodzenia zawierającego datę dostawy, opis niezgodności, dane samochodu oraz kierowcy,
c) sporządzenie dokumentacji fotograficznej.
7. Kontrahent obowiązany jest do niezwłocznego przekazania BETA- POINT wszelkich dokumentów i informacji związanych z reklamacją dostawy pod rygorem utraty możliwości dochodzenia roszczeń z tego tytułu od BETA-POINT, przewoźnika lub spedytora. O zgłoszeniu reklamacji do odpowiedniego przewoźnika lub spedytora BETA-POINT poinformuje Kontrahenta. Kontrahent zobowiązany jest do współpracy z BETA-POINT w trakcie postępowania reklamacyjnego. Odmowa współpracy może skutkować umorzeniem postępowania reklamacyjnego oraz oddaleniem roszczenia przez przewoźnika lub spedytora. BETA-POINT nie ponosi jakiejkolwiek odpowiedzialności za termin rozpatrzenia reklamacji przez przewoźnika lub spedytora.
8. W przypadku zgłoszenia reklamacji ilościowej, Kontrahent ma obowiązek poinformowania o tym fakcie BETA-POINT w formie pisemnej, dokumentowej, bądź za pośrednictwem poczty elektronicznej, w terminie 3 dni roboczych od dnia dostawy, pod rygorem utraty uprawnień z tego tytułu (w tym roszczeń odszkodowawczych).
9. W przypadku reklamacji jakościowej dotyczącej wad jawnych Kontrahent ma obowiązek poinformowania o tym fakcie BETA- POINT niezwłocznie, jednakże nie później niż w terminie 14 dni od dnia dostawy, w formie pisemnej, dokumentowej, bądź za pośrednictwem poczty elektronicznej, pod rygorem utraty uprawnień i roszczeń z tego tytułu (w tym roszczeń odszkodowawczych). Kontrahent obowiązany jest do odpowiedniego zabezpieczenia reklamowanego Towaru lub Usługi. W każdym przypadku Kontrahent traci wszelkie uprawnienia i roszczenia (w tym roszczenia odszkodowawcze) z tytułu wad jakościowych Towaru jeżeli nie zostaną one zgłoszone (w formie pisemnej, dokumentowej, bądź za pośrednictwem poczty elektronicznej) w terminie 6 miesięcy od dnia wydania Towaru, bądź w przypadku opóźnienia się Kontrahenta z odbiorem, od dnia, w którym Kontrahent został poinformowany o gotowości Towaru do odbioru.
10. Składając reklamację dotyczącą Produktów, Kontrahent w każdym przypadku zobowiązany jest do podania właściwego numeru wadliwej partii W przypadku niewskazania w reklamacji numerów partii wadliwych Produktów, BETA-POINT uprawniony będzie do odrzucenia reklamacji.
11. W przypadku zgłoszenia reklamacji jakościowej Kontrahent zobowiązany jest na żądanie BETA-POINT do dostarczenia BETA- POINT próbek wadliwych Produktów obejmujących żądaną ilość rolek, względnie do umożliwienia BETA-POINT przeprowadzenia inspekcji Produktów na miejscu dostawy - w terminie 7 dni od otrzymania wezwania w tym zakresie. Koszty przesyłki obciążają Kontrahenta. W przypadku niedostarczenia próbek Produktów w żądanej ilości i terminie, jak również w przypadku uniemożliwienia BETA-POINT przeprowadzenia inspekcji Produktów we wskazanym terminie, BETA-POINT uprawniony będzie do odrzucenia reklamacji.
12. Termin rozpatrzenia reklamacji przez BETA-POINT wynosi 14 dni roboczych i biegnie od spełnienia przez Kontrahenta wszystkich wymogów formalnych w tym zakresie określonych w OWU. Przedmiotowy termin rozpatrzenia może ulec wydłużeniu na skutek okoliczności niezbędnych do prawidłowego rozwiązania reklamacji (takie jak konieczność dosłania dodatkowych próbek Produktów, innych materiałów, przeprowadzenia testów starzeniowych, dodatkowej opinii niezależnego rzeczoznawcy itd.) lub z innych przyczyn niezależnych od BETA-POINT. BETA-POINT niezwłocznie poinformuje Kontrahenta o fakcie przedłużenia rozpatrzenia reklamacji.
13. Uznanie reklamacji przez BETA-POINT za uzasadnioną skutkuje (o
ile strony nie postanowią inaczej):
a) w przypadku wad ilościowych – gdy ilość dostarczonych Produktów będzie mniejsza niż wymagana, tj. poniżej ilości określonej w punkcie VII.2. OWU – BETA-POINT dostarczy Kontrahentowi brakującą ilość Produktów w terminie uzgodnionym pomiędzy Kontrahentem i BETA-POINT, a w wypadku gdy okaże się to niemożliwe lub ekonomicznie
nieuzasadnione, BETA-POINT odstąpi od Umowy w zakresie
brakującej ilości Produktów.
b) w przypadku wad ilościowych - gdy ilość dostarczonych Produktów będzie większa niż wymagana, tj. powyżej ilości określonej w punkcie VII.2. OWU – BETA-POINT dokona odbioru nadwyżki Produktów w terminie uzgodnionym pomiędzy Kontrahentem i BETA-POINT,
c) w przypadku wad jakościowych – według wyboru BETA-POINT
– dokona wymiany wadliwego Towaru na wolny od wad, usunie wady, względnie udzieli rabatu w wysokości ustalonej z Kontrahentem.
14. W przypadku uznania reklamacji wymianie podlegają wyłącznie Produkty oryginalnie zapakowane przez BETA-POINT oraz Urządzenia w oryginalnych opakowaniach producenta.
15. Ewentualne roszczenia Kontrahenta wynikające ze zgłoszonej reklamacji nie zwalniają go z obowiązku zapłaty za Towary lub Usługi oraz z obowiązku odbioru i zapłaty za kolejne dostawy Towarów lub Usług.
16. W przypadku planowanego zwrotu Towaru, Kontrahent zobowiązany jest do powiadomienia o tym fakcie BETA-POINT z wyprzedzeniem co najmniej 7 dniowym. Dokonanie zwrotu jest możliwe po uprzednim uzyskaniu zgody BETA-POINT na jego dokonanie wyrażonej na piśmie lub za pośrednictwem poczty elektronicznej. BETA-POINT zastrzega sobie możliwość określenia sposobu zwrotnego przesłania Towaru, wyboru miejsca dostawy oraz wyboru przewoźnika lub spedytora. Na Kontrahencie ciąży obowiązek odpowiedniego zabezpieczenia zwracanego Towaru na czas transportu. Brak powiadomienia BETA-POINT o terminie zwrotu, bądź nieuzyskanie zgody BETA-POINT na dokonanie zwrotu może skutkować odmową przyjęcia Towaru przez BETA- POINT.
VIII. GWARANCJA
1. Urządzenia objęte są gwarancją producenta.
2. Warunki gwarancji określone są dokumentem gwarancji wystawionym przez producenta Urządzenia.
IX. ODPOWIEDZIALNOŚĆ
O ile bezwzględnie obowiązujące przepisy prawa lub OWU nie stanowią inaczej, odpowiedzialność BETA-POINT z tytułu wykonania Umów oraz z innych tytułów zostaje ograniczona do wartości szkody rzeczywiście poniesionej przez Xxxxxxxxxxx, przy czym nie może ona przekroczyć ceny za Towary i Usługi, w związku z którymi Kontrahent zgłosił roszczenia lub sumy ubezpieczenia tego konkretnego zdarzenia z polisy ubezpieczeniowej BETA-POINT od odpowiedzialności cywilnej. Ograniczenie powyższe nie dotyczy odpowiedzialności za szkody powstałe z winy umyślnej jak również szkody na osobie czy szkód wyrządzonych przez produkt niebezpieczny, jeżeli prawo nie pozwala na takie ograniczenie. W każdym przypadku BETA-POINT nie ponosi odpowiedzialności za szkodę powstałą za względu na niewykonanie lub opóźnienie w wykonaniu Umowy, jeżeli nastąpiło to na skutek Siły Wyższej.
X. ZASTRZEŻENIE WŁASNOŚCI
1. Wszelkie Towary wydane Kontrahentowi pozostają własnością BETA-POINT do czasu uiszczenia przez Kontrahenta całości ceny wskazanej na fakturze VAT. Przedmiotowe zastrzeżenie nie uprawnia Kontrahenta do zwrotu, odmowy lub opóźnienia w płatności.
2. Kontrahent nie ma prawa zbyć ani obciążyć Towaru zastawem lub prawami osób trzecich dopóki stanowią one własność BETA- POINT, chyba że BETA-POINT wyrazi na to zgodę w formie pisemnej pod rygorem nieważności.
3. BETA-POINT może żądać natychmiastowego zwrotu Towaru, jeżeli Kontrahent pozostaje w opóźnieniu z zapłatą należności. W takim przypadku Kontrahent zobowiązany będzie do wydania Towaru
oraz do jego przygotowania do transportu. Koszty transportu ponosi
Kontrahent.
4. BETA-POINT zastrzega sobie prawo dochodzenia dalszych roszczeń z tytułu poniesionych szkód, w tym dochodzenia utraconych korzyści.
XI. KLISZE / OPRZYRZĄDOWANIE (WŁASNOŚĆ)
Klisze i oprzyrządowanie przygotowane w celu umożliwienia produkcji dla Kontrahenta (w tym pliki graficzne stworzone przez grafików BETA- POINT, klisze drukowe, fotopolimery, wykrojniki i inne materiały niezbędne w produkcji) pozostają własnością BETA-POINT. Opłata za „klisze” lub „wykrojnik” jaką może zostać obciążony Kontrahent stanowi wyłącznie opłatę za przygotowania materiałów umożliwiającą wykonanie produktu, nie zaś zapłatą za fizyczne materiały niezbędne do jego produkcji.
XII. WŁASNOŚĆ INTELEKTUALNA
1. Kontrahent zapewnia, że jakiekolwiek materiały (znaki graficzne, nazwy, logotypy, obrazy etc.) przekazane przez Kontrahenta na rzecz BETA-POINT w celu realizacji Zamówienia nie naruszają praw osób trzecich z tytułu praw autorskich, praw własności przemysłowej lub innych praw własności intelektualnej oraz, że Kontrahent jest uprawniony do ich wykorzystania. BETA-POINT nie ponosi jakiejkolwiek odpowiedzialności za działania lub zaniechania Kontrahenta w tym zakresie.
2. W przypadku naruszenia ww. obowiązku przez Kontrahenta, zobowiązuje się on do naprawienia szkody BETA-POINT w pełnej wysokości lub do wstąpienia w miejsce procesowe BETA-POINT w przypadku roszczeń osób trzecich kierowanych do BETA-POINT na drodze postępowania sądowego (interwencja główna lub uboczna) lub polubownego.
3. BETA-POINT nie przenosi w zakresie jakichkolwiek materiałów (znaków graficznych, nazw, logotypów, obrazów, patentów, projektów graficznych zawierających ww. elementy, formularzy, layout etc.) na Kontrahenta na mocy Umowy jakichkolwiek praw własności intelektualnej ani też nie udziela żadnej licencji. Zabronione jest dokonywanie jakichkolwiek zmian w treści ww. materiałów przygotowanych, przekazanych lub udostępnionych Kontrahentowi przez BETA-POINT jak też uzyskanych w inny sposób przez Kontrahenta. Wszelkie prawne oraz finansowe skutki zmian dokonanych przez Kontrahenta w ww. materiałach bez uzyskania pisemnej zgody BETA-POINT obciążają Kontrahenta.
XIII. TAJEMNICA HANDLOWA
1. Strony są zobowiązane traktować wszelkie informacje, dokumenty i inne przedmioty przekazane sobie nawzajem w związku z przygotowaniem oferty, zawarciem i wykonaniem umowy, jako tajemnicę przedsiębiorstwa w rozumieniu art. 11 ustawy z dnia 16 kwietnia 1993r. o zwalczaniu nieuczciwej konkurencji (tekst jednolity z dnia 9 lutego 2018r., Dz.U. z 2018r., poz. 419 ze zmianami).
2. Obowiązek zachowania tajemnicy przedsiębiorstwa istnieje także po wygaśnięciu umowy, o ile informacje, dokumenty lub inne przedmioty objęte tajemnicą przedsiębiorstwa nie stały się ogólnie dostępne lub znane. Obowiązek zachowania tajemnicy przedsiębiorstwa obejmuje w szczególności zakaz udostępniania jakichkolwiek informacji i dokumentów osobom trzecim. Strony zobowiązują się poinformować członków swoich władz, pracowników oraz współpracowników i podwykonawców, którzy uczestniczą w wykonaniu umowy o obowiązkach wynikających z niniejszych postanowień. Strony ponoszą odpowiedzialność za wszelkie naruszenia obowiązków wynikających z klauzuli poufności przez swoich pracowników.
3. Obowiązek zachowania tajemnicy przedsiębiorstwa nie dotyczy sytuacji, gdy obowiązek ich udostępnienia podmiotom trzecim wynika z przepisów prawa i podmioty te zgodnie z przepisami zażądają od Stron ich przekazania. Strona jest zobowiązana
niezwłocznie poinformować drugą Stronę o zgłoszeniu takiego żądania, chyba że przekazanie takiej informacji jest zabronione na podstawie obowiązujących przepisów prawa lub decyzji organu żądającego udostępnienia informacji.
XIV. OCHRONA DANYCH OSOBOWYCH
1. Administratorem Pani/Pana danych osobowych jest BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy (85-503) przy xx. Xxxxxxxxxxx 0, XXX 0000000000, REGON 92560894,
2. Pani/Pana dane osobowe przetwarzane będą w celu związanym z realizacją umowy/zamówienia.
3. Podstawę prawną przetwarzania Pani/Pana danych osobowych stanowi Rozporządzenie Parlamentu Europejskiego i Rady UE 2016/679 z dnia 27 kwietnia 2016 r. w sprawie ochrony osób fizycz- nych w związku z przetwarzaniem danych osobowych i w sprawie swobodnego przepływu takich danych oraz uchylenia dyrektywy 95/46/WE, zwanym dalej ogólnym rozporządzeniem o ochronie da- nych osobowych (RODO),
5. Dokonując zgłoszenia w szczególności poprzez wysłanie Zapytania ofertowego, Zamówienia, bądź innej korespondencji zmierzającej do zawarcia umowy, bądź stanowiącej zgłoszenie reklamacyjne lub gwarancyjne wyraża Pani/Pan, na podstawie art. 6 ust. 1 lit. a) Rozporządzenie Parlamentu Europejskiego i Rady UE 2016/679, zgodę na przetwarzanie danych osobowych przez administratora w celu realizacji Pani/Pana zgłoszenia.
6. Osoba, której dane dotyczą wyraziła zgodę na przetwarzanie swo- ich danych osobowych w jednym lub większej liczbie określonych celów;
7. Przetwarzanie Pani/Pana danych osobowych jest niezbędne dla wykonania Umowy oraz dla wypełnienia obowiązku praw- nego ciążącego na Administratorze;
8. Przetwarzanie Pani/Pana danych osobowych jest niezbędne do ochrony żywotnych interesów osoby, której dane dotyczą, lub innej osoby fizycznej;
9. Pani/Pana dane mogą być udostępnione innym podmiotom upo- ważnionym na podstawie przepisów prawa.
10. Odbiorcami Pani/Pana danych mogą być partnerzy, banki, operato- rzy pocztowi, przewoźnicy, kurierzy, firmy drukujące koresponden- cję lub obsługujące korespondencję otrzymywaną od klientów, firmy archiwizujące dokumenty, firmy współpracujące z BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy (85-503) przy xx. Xxxxxxxxxxx 0, XXX 0000000000, REGON 92560894 w celu roz- patrywania reklamacji (producenci i dostawcy).
11. Pani/Pana dane osobowe będą przechowywane przez okres wypełnienia obowiązku prawnego Administratora wynikające- go z przepisów prawa, bądź gdy dane osobowe przetwarzane na podstawie odrębnej zgody będą przechowywane do czasu jej odwo- łania.
12. BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy (85-503) przy xx. Xxxxxxxxxxx 0, XXX 0000000000, REGON 92560894 nie będzie przekazywać Pani/Pana danych osobowych do państwa trzeciego lub organizacji międzynarodowej.
13. Przysługuje Pani/Panu prawo do żądania od Administratora dostę- pu do danych osobowych dotyczących osoby, której dane dotyczą, ich sprostowania, usunięcia lub ograniczenia przetwarzania, prawo do wniesienia sprzeciwu wobec przetwarzania, a także prawo do przenoszenia danych i prawo do cofnięcia zgody w do- wolnym momencie (bez wpływu na zgodność z prawem przetwa- rzania, którego dokonano na podstawie zgody przed jej cofnięciem)
14. Gdy uzna Pani/Pan, iż BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx z siedzibą w Bydgoszczy (85-503) przy xx. Xxxxxxxxxxx 0, XXX 0000000000, REGON 92560894 jako administrator danych, przetwarza je w sposób naruszający przepisy ogólnego rozporzą-
dzenia o ochronie danych osobowych z dnia 27 kwietnia 2016 r., ma Pani/Pan prawo do wniesienia skargi do Prezesa Urzędu Ochrony Danych Osobowych
15. Podanie danych osobowych w zakresie obowiązujących przepisów ustaw i rozporządzeń dotyczących postępowa- nia ustawowego jest obowiązkowe, w pozostałym jest dobrowolne.
16. Pani/Pana dane nie będą podlegały przetwarzaniu w sposób zau-
tomatyzowany, w tym profilowaniu.
XV. ROZSTRZYGANIE SPORÓW I PRAWO WŁAŚCIWE
1. Wszelkie spory jakie mogą ewentualnie powstać w związku z roszczeniami zgłoszonymi przez Kontrahenta będą w pierwszej kolejności rozstrzygać na drodze polubownej. Jeżeli Kontrahent i BETA-POINT nie postanowią inaczej, w przypadku braku porozumienia w terminie 30 dni od dnia zgłoszenia roszczenia przez Kontrahenta, spór poddany zostanie pod rozstrzygnięcie sądu powszechnego właściwego ze względu na siedzibę BETA- POINT.
2. W sprawach nieuregulowanych w OWU mają zastosowanie przepisy Kodeksu cywilnego oraz inne obowiązujące przepisy prawa.
XVI. POSTANOWIENIA KOŃCOWE
1. W przypadku gdyby jedno lub więcej postanowień Umowy, potwierdzenia Zamówienia lub OWU okaże się nieważne lub niemożliwe do wykonania, pozostała część pozostaje w pełni wiążąca. Strony niezwłocznie podejmą działania aby zastąpić nieważne warunki lub postanowienia, zgodnymi z prawem lub możliwymi do wykonania.
2. Zawiadomienia dokonywane na rzecz drugiej Strony odbywać się mogą za pomocą: pisma, faksu, poczty kurierskiej lub poczty elektronicznej. Kontrahent zobowiązany jest do powiadomienia BETA-POINT o wszelkich zmianach adresu siedziby lub korespondencyjnego pod rygorem uznania za skuteczne doręczeń dokonanych na ostatni znany BETA-POINT adres.
3. Kontrahent zobowiązany jest do zachowania w poufności wszelkich informacji lub danych do których miał dostęp w związku z zawarciem lub wykonaniem Umowy.
4. BETA-POINT może przenieść prawa i obowiązki wynikające z Umowy na jakikolwiek wybrany przez siebie podmiot bez zgody Kontrahenta.
5. Tytuły jednostek redakcyjnych OWU mają znaczenie jedynie pomocnicze i nie należy brać ich pod uwagę przy ich interpretacji.
6. BETA-POINT poinformuje Kontrahenta o zmianie OWU z 7 dniowym wyprzedzeniem w formie pisemnej, bądź za pośrednictwem poczty elektronicznej jako załącznik w formacie PDF.
7. Niniejsze OWU obowiązują od dnia 07 stycznia 2019
General Terms and Conditions (GTC) applicable in the company operated by Xxxxx Xxxxxxxx-Xxxxxx under the name of BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx with its registered office in Bydgoszcz at 1 Rynkowska Street.
I. DEFINITIONS, GENERAL PROVISIONS
1. For the purposes of this document, the following terms shall have the following meanings:
• BETA-POINT - entrepreneur Xxxxx Xxxxxxxx-Xxxxxx, con- ducting business activity under the name BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx with its registered office in Bydgoszcz (85- 503) at 1 Rynkowska Street, NIP 5541639839, REGON 92560894.
• Contracting Party - an entity being an entrepreneur within the meaning of art. 431 of the Civil Code, concluding a sales contract, a delivery contract, a contract for specific work or a contract for the provision of services with BETA-POINT as a buyer, purchaser, commissioning party and principal.
- GTC - these General Terms and Conditions of Contracts applied by BETA-POINT.
- Goods - Products and Equipment available for purchase from BETA-POINT.
- Products - labels, tapes and other materials and accesso- ries manufactured by BETA-POINT or on behalf of BETA- POINT.
- Equipment - printers, copiers, peripheral equipment, other office accessories and spare parts offered for sale by BETA- POINT.
- Services - all paid activities offered by BETA-POINT,
- Request for proposal - a Contracting Party's request to BETA-POINT regarding the definition of preliminary terms and conditions of the Contract.
- Commercial Information - a response given by BETA- POINT to a Contracting Party's Request for proposal,
- Order - the Contracting Party's statement addressed to BETA-POINT, containing the will to conclude a Contract, tak- ing into account the provisions of the GTC and the conditions agreed in the course of negotiations.
- Confirmation of order acceptance for execution - a statement made to the Contracting Party by BETA-POINT in- forming about the Order acceptance,
- Confirmation of acceptance of an order for perfor- mance subject to the deadline - a statement made to the Contracting Party by BETA-POINT informing about ac- ceptance of the Order subject to a different deadline for per- formance of the Contract.
- Contract - a sales agreement, delivery agreement, specific- task contract, contract for the provision of services or any other agreement not named by BETA-POINT with the Con- tracting Parties.
- Force Majeure - an external event impossible to predict and prevent, in particular, war, riots, social unrest, earth- quake, fire, explosion, flood, hurricane, confiscation, strike, labour disputes, significant breakdown, acts of legislative and executive power, which prevent a Party from performing its obligations.
- Technical data sheet - an information document containing basic technical parameters, physical and chemical properties of the product, intended use, recommended method of pro- cessing and conditions of safe storage,
- Material Safety Data Sheet - an information document containing basic technical parameters, physicochemical properties of raw materials used in the production process,
2. Unless the Parties agree otherwise, the GTC constitute an
integral part of each Contract and shall apply in matters not regulated differently in the Contract. The change of the pro- visions contained in the GTC requires for its validity the par- ties to make appropriate statements in writing, document or electronic form within the meaning of art. 782 of the Civil Code, or by e-mail without meeting the requirements provid- ed for in art. 78(1) of the Civil Code.
3. The application of any general terms and conditions, mod- el agreements, regulations or other similar documents used by the Contracting Party, even if they are known to BETA- POINT or concerned matters not regulated in the GTC, shall be excluded.
4. These GTCs apply only to entities that are entrepreneurs within the meaning of art. 43(1) of the Civil Code.
5. GTCs are delivered to the Contracting Party prior to the conclusion of the Contract, in particular as an appendix to the Commercial Information. GTCs shall be delivered to the Contracting Party in writing or by e-mail as an attach- ment in PDF format. GTCs are also available on the BETA- POINT website (xxx.xxxxxxxxx.xx) in PDF format enabling the Contracting Party to download them.
6. By placing an Order with BETA-POINT, the Contracting Party is tantamount to full acceptance of the GTC.
II. CONTRACT CONCLUSION
1. BETA-POINT follows the practice of presenting current prices for Goods and Services to the Contracting Parties who are in regular business relations with BETA-POINT.
2. Information contained in letters, catalogues, product lists or BETA-POINT folders concerning Goods and Services and current prices does not constitute an offer within the meaning of the Civil Code. They are for informational pur- poses only and should be treated as an invitation to negoti- ate in order to conclude a contract. All correspondence ad- dressed to the Contracting Party called the OFFER or con- taining the word OFFER in its content does not constitute an offer within the meaning of the Civil Code, but only Commer- cial Information or other letter constituting an answer to questions asked by the Contracting Party in the course of negotiations.
3. Orders may be placed with BETA-POINT in one of the fol- lowing ways:
a) in writing;
b) in documentary form,
c) by e-mail to the address indicated to the Contracting Par- ty by BETA-POINT or indicated on the BETA-POINT website (xxx.xxxxxxxxx.xx) as appropriate for placing Orders;
4. Orders should include, in order to be effective:
a) designation of the Contracting Party,
b) identification data of the Contracting Party (NIP, REGON, KRS numbers),
c) the address and contact details of the Contracting Party (including telephone number, fax number and e-mail address of a person acting on behalf of the Contracting Party),
d) indication of the type and quantity of the ordered Goods
or Services,
e) the unit net price of each of the Goods and Services;
f) the net price for the preparation of printing plates and blanking dies (if applicable)
g) an indication of the place of delivery
h) indication of the date of delivery of the Goods or the date of performance of the Services, however, if such date is not indicated, BETA-POINT shall be deemed to execute the Or- der by the date indicated in the Confirmation of order ac- ceptance for performance
5. When placing an Order, the Contracting Party is obliged (unless the parties agree otherwise) to make a Prepayment
in the amount and on the terms and conditions indicated by BETA-POINT in the Commercial Information. Unless oth- erwise specified in the Commercial Information, the Con- tracting Party shall be obliged to pay to the bank account of BETA-POINT a Prepayment including the total price for the Goods or Services (including VAT due) and the total price for the preparation of printing plates and blanking dies (in- cluding VAT due).
6. The Contracting Party shall be fully liable for any errors (mistakes) contained in the content of the Order.
7. BETA-POINT within one business day (and in the case of orders received by BETA-POINT after 12:00 - within two business days) shall submit to the Contracting Party (in writing, in a document or via e-mail) a Confirmation of Or- der Acceptance for execution or a Confirmation of Order Acceptance for execution, subject to a deadline.
8. Failure to submit a Confirmation of acceptance of an order for execution or a Confirmation of acceptance of an order for execution subject to the deadline in the peri- od indicated in point II.7 above means that the Contract has not been concluded. The same effect shall occur in the case of a declaration refusing to accept the Order. 9.The Contract shall be concluded:
a) as a result of BETA-POINT's statement on Acceptance of an Order for Execution (at the moment of submitting this statement to the Contracting Party),
b) as a result of BETA-POINT's statement on Acceptance of an Order for performance subject to a deadline - in such a case, the Contract shall be deemed concluded on the terms set forth in the Order and in the statement on Ac- ceptance of an Order for performance subject to a dead- line of one business day after the Contracting Party re- ceives the above-mentioned statement by BETA-POINT, un- less the Contracting Party notifies its resignation from the Order in writing, in a document or by e-mail within this dead- line,
c) under the terms and within the time limit resulting from the Contract concluded in writing.
10. If, after the conclusion of the Contract, for reasons be- yond BETA-POINT's control (including reasons attributable to BETA-POINT's subcontractors), it will not be possible to perform the Contract on the agreed date, BETA-POINT shall notify the Contracting Party of such fact, indicating the closest possible date for performance of such Contract (or part thereof). This deadline shall be binding for the parties unless the Contracting Party submits to BETA-POINT, in writing, in a document or by e-mail, a declaration of non- acceptance of a new deadline for the performance of the Contract (or a part thereof) within one business day. In the case of submitting the above statement, unless the parties agree otherwise, the Contract shall be terminated with re- spect to the Goods or Services covered by the refusal to accept the change of the deadline. In such a case, the par- ties shall not be entitled to any claims for damages or other claims related to the termination of the Contract. The above rules shall apply accordingly in the event of further delays in BETA-POINT's performance of the Contract due to reasons beyond BETA-POINT's control.
11. BETA-POINT products shall bear batch numbers. At the Contracting Parties’ explicit request, it is possible to withdraw from marking the Product with the batch number, however, it results in the Contracting Party loss of the possibility of lodging a qualitative or quantitative complaint concerning the Products in question and the loss of claims on this account and the loss of claims for damages.
12. Amendment of the provisions of the Contracts concluded as a result of BETA-POINT's submission of the statements referred to in section II.9.a.and II.9.b. above requires for its validity consensual statements of the parties in writing, in a document or by e-mail. Any amendment to the provisions of the Contract,
including a change concerning the acceleration of the Contract
execution date, may result in an increase in the price.
13. BETA-POINT may withdraw from the Contract if:
- The Contracting Party shall be in default or delay in the performance of any obligations towards BETA-POINT for a period exceeding 14 days,
- performance of the Contract is impossible or difficult due to shortage of raw materials, energy or other disruptions in the operation of BETA-POINT or its suppliers, as well as in the event of Force Majeure.
III. PERFORMANCE OF THE CONTRACT A.Goods
1. Unless the Contract provides otherwise, BETA-POINT chooses the carrier or forwarder.
2. Unless the Contract provides otherwise, BETA-POINT undertakes to prepare the Goods for shipment in accordance with the packing standard accepted by BETA-POINT and accepted by carriers or forwarders, unless the Contracting Party specifies the method or type of packaging in the Order and this method is accepted by BETA-POINT.
3. Delivery of Goods to a location designated by the Contracting Party shall be at the Contracting Party's expense and risk.
4. The Goods shall be deemed to have been delivered to the Contracting Party upon its handover to a carrier, forwarder or other authorised person in order to be delivered to the place indicated in the Order, and in the case of own collection or delivery by BETA-POINT on its own, upon signing the issuance documents (WZ, CMR or any other similar document or document fulfilling a similar function).
5. BETA-POINT shall not be liable for any loss, damage or destruction of the Goods, as well as for any delay or non- performance of deliveries - resulting from the fault of the carrier, forwarder, force majeure or the Contracting Party’s failure to provide correct instructions concerning e.g. the manner and address of delivery.
6. If the Contracting Party collects the Goods on its own, BETA- POINT undertakes to notify the Contracting Party of the date and place where the Goods will be ready for collection, and the Contracting Party shall be obliged to collect the Goods on the indicated date. If the Contracting Party is late in collecting the Goods, it may be charged with a contractual penalty in the amount of 0.5% of the total net value of the Order for each commenced day of storage, subject to other rights vested in BETA-POINT, including claiming damages in the full amount on general terms. If the Contracting Party fails to collect the Goods for 30 days from the agreed date of collection, BETA- POINT shall be entitled to discontinue storage of the Goods and to dispose of the Goods at the Contracting Party’s expense. In such a case, the Contracting Party shall not be entitled to any claims for damages and BETA-POINT shall have the right to demand payment of the price for the Goods and payment of the contractual penalty and disposal costs.
7. The Goods shall be unloaded at the Contracting Party's
expense and risk.
8. Immediately after receiving the Goods, the Contracting Party shall be obliged to examine them, in particular to determine whether the Goods are complete, undamaged and whether they are not affected by physical defects, which can be ascertained at the moment of receipt.
9. Deliveries may be made by BETA-POINT incrementally. It is dependent upon BETA-POINT to finally determine the quantity, type and date of delivery.
10. In any case, BETA-POINT shall have the right to make the delivery earlier than specified in the Contract.
11. In the case of own collections, where the final destination is in other countries, it is necessary for the Contracting Party to provide a confirmation of the export of the Goods. Failure to provide such confirmation may result in charging VAT at the applicable rate or in charging the Contracting Party with other costs resulting from legal regulations or any administrative
decisions of relevant state authorities (including customs authorities) imposed on BETA-POINT in this respect.
12. All Contracting Party’s claims against BETA-POINT shall not release the Contracting Party from the obligation to collect further deliveries.
13. All risks associated with the Goods (including the risk of loss, damage or depletion) shall pass to the Contracting Party upon their release to the Contracting Party in one of the ways provided for in section III.4 above.
14. BETA-POINT may refrain from performing the Contract for the Contracting Party if the Contracting Party is in delay or delay in performing any obligations towards BETA-POINT.
15. Due to the need to take into account all production conditions, the dates of performance of the Contract by BETA-POINT set forth in the Contract constitute an approximate date of delivery of the Goods. The deadline for performance of the Contract by BETA-POINT shall be deemed met if the Goods have been delivered to the Contracting Party in accordance with section
III.4. above or if the Contracting Party has been notified that the Goods are ready for collection or shipment before its expiry. Exceeding the deadline for performance of the Contract by no more than 2 weeks may not result in withdrawal from the Contract. The Contracting Party shall not be entitled to any claims for damages due to delay or delay in the performance of the Contract covering a period of up to 2 weeks.
B. SERVICES
1. BETA-POINT provides Services, in particular in the area of tool design, graphic designs, as well as repairs and maintenance of Equipment.
2. The services will be performed at BETA-POINT's headquarters. Responsibility of the delivery and collection of the Equipment shall be at the Contracting Party’s expense and risk.
3. If the Service is performed at a location indicated by the Contracting Party other than the BETA-POINT’s headquarters , the Contracting Party shall bear the cost of the service technician's travel.
4.The provisions of section III.A. from 1 to 15 shall apply accordingly.
IV. PRICES
1. If the Contract provides for a net price, it means that the Contracting Party is obliged to pay the agreed net price plus VAT due.
2. The unit price of the Goods includes the cost of disposable packaging.
3. The price does not include the cost of delivery of the Goods. Delivery of Goods shall be made at the Contracting Party’s expense, unless otherwise agreed by the parties.
V. INVOICES AND PAYMENTS
1. The Contracting Party shall be obliged to pay BETA-POINT Prepayment in the amount and under the conditions specified in section II.5. above.
2. If the Contract did not provide for a Prepayment or provided for a partial Prepayment - the deadline for payment of the remaining part of the price includes (unless the parties agree otherwise):
- 7 days from the date of issue of a relevant VAT invoice including net sales value up to the amount of PLN 2500.00 (inclusive),
- 14 days from the date of issue of a relevant VAT invoice including net sales value above the amount of PLN 2500.00.
3. Payment of the VAT invoice shall be made by the Contracting Party in the currency specified in the Contract and indicated on the VAT invoice.
4. Payments are made to the bank account indicated each time by BETA-POINT on the
VAT invoice. Payment shall be deemed to have been made when the BETA- POINT bank account is credited.
5. VAT invoices shall be attached to the parcels or, in the event of concluding a relevant agreement in this respect, shall be sent as
an e-invoice to the e-mail address provided by the Contracting Party.
6. Submitting a complaint or refusal to collect the Goods or Services shall not release the Contracting Party from its obligation to pay the price for the Goods or Services within the agreed time limit.
7. In the event of a delay in payment by the Contracting Party, BETA-POINT shall be entitled to demand statutory interest for delay in commercial transactions.
8. Regardless of the Contracting Party’s reservation to the contrary, BETA-POINT shall have the right to credit the received payments for receivables previously due.
9. The Contracting Party may not deduct any of its receivables due from BETA-POINT against BETA-POINT’s receivables due from the Contracting Party.
VI.INFORMATION ON GOODS AND SERVICES
1. The Contracting Party itself assesses the suitability of the Goods and/or Services for the purpose intended by the Contracting Party.
2. BETA-POINT shall not be liable for any use of the Goods and/or Services contrary to the instructions of BETA-POINT or the manufacturer as well as for incorrect or improper inter- pretation of information and technical data contained in cata- logues and other materials and information provided or made available to the Contracting Party. BETA-POINT shall not be liable for incorrect selection of parameters of the Goods to the needs of the Contracting Party.
VII. QUALITY STANDARDS, INSPECTIONS AND COMPLAINTS
1. The liability of BETA-POINT is excluded from the warranty provided for in the regulations of the Civil Code. Only the GTC shall apply.
2. With respect to the Products, the delivery quantity is accepted with a tolerance of +/- 10 % of the quantity specified in the Contract. Any excess production shall be payable in full.
3. BETA-POINT declares that the purchased Products will retain their physical and technical parameters and will be fit for their intended use within 6 months from the agreed day of receipt, provided that they are stored in rooms where temperatures range from 20 degrees Celsius to 25 degree Celsius, relative humidity of 40-50% RH, away from sources of heat and sunlight are maintained uninterrupted. This does not apply to the incomplete Products or to these properties of the Products that were known to the Contracting Party at the time of entering into the Contract.
4. Any technical parameters of the Products in terms of their dimensions, tolerances or other physical and technical parameters are specified in the Technical Data Sheets available at the Contracting Party's request. All technical parameters of raw materials used in the production process are specified in the Material Safety Data Sheets available at the Contracting Party's request.
5. Unless the Contract provides otherwise, the aesthetics of the packaging of the Goods shall not constitute a defect in the Goods and shall not be subject to complaint. 6.The Contracting Party is obliged to examine the Goods thoroughly, immediately after its receipt. In case of any loss or damage, the Contracting Party is obliged to perform all necessary actions to determine the liability of the carrier or forwarder including:
a) recording the fact of non-compliance on the consignment note,
b) drawing up a damage report containing the delivery date, a description of the non-conformity, the car and the driver's details,
c) preparing photographic documentation.
7. The Contracting Party is obliged to immediately provide BETA-POINT with all documents and information related to the delivery claim with threat of losing the possibility of asserting claims on this account against BETA-POINT, the carrier or
forwarder. BETA-POINT shall inform the Contracting Party of any complaints made to the appropriate carrier or forwarder. The Contracting Party is obliged to cooperate with BETA-POINT during the complaint procedure. A refusal to cooperate with BETA-POINT may result in discontinuation of the complaint procedure and dismissal of the claim by the carrier or forwarder. BETA-POINT shall not be liable for the time limit for handling the complaint by the carrier or forwarder.
8. In case of a quantitative complaint, the Contracting Party is obliged to inform BETA-POINT about this fact in writing, in a document or by e-mail, within 3 working days from the day of delivery, otherwise the Contracting Party shall lose its rights on this account (including claims for damages).
9. In the event of a quality complaint concerning apparent defects, the Contracting Party shall be obliged to inform BETA- POINT about this fact immediately, however not later than within 14 days from the delivery date, in writing, in a document or by e- mail, with threat of loss of rights and claims on this account (including claims for damages). The Contracting Party is obliged to adequately secure the claimed Goods or Services. In each case, the Contracting Party shall lose all rights and claims (including compensation claims) due to quality defects of the Goods if they are not reported (in writing, in a documentary form or via e-mail) within 6 months from the date of delivery of the Goods, or in the event of the Contracting Party's delay in collection, from the date on which the Contracting Party was informed about the readiness to collect the Goods
10. When lodging a complaint concerning the Products, the Contracting Party shall in each case be obliged to provide the appropriate number of the defective batch. If the complaint does not specify the batch numbers of defective Products, BETA- POINT shall be entitled to reject the complaint.
11. In the event of a quality complaint, the Contracting Party shall be obliged to send samples of defective Products to BETA- POINT, covering the required number of rolls within 7 days from the request in this respect, or to enable inspection of the Products at the place of delivery. Shipping costs shall be borne by the Contracting Party. In the event of failure to deliver samples of the Products in the required quantity and time, as well as in the event that BETA – POINT is prevented from inspecting the Products within the specified time limit, BETA- POINT shall be entitled to reject the complaint.
12. The complaint handling period for BETA-POINT shall be 14 business days and shall start from the Contracting Party's fulfillment of all formal requirements in this respect specified in the GTC. The consideration period in question may be extended due to circumstances necessary to properly resolve the complaint (such as the need to submit additional samples of Products, other materials, carry out ageing tests, additional opinion of an independent expert, etc.) or for other reasons beyond the control of BETA-POINT. BETA – POINT shall immediately inform the Contracting Party about the fact of prolonging the examination of the complaint.
13. If BETA-POINT recognises the complaint as justified, it results in the following (unless the parties agree otherwise):
a) in the case of quantity defects - when the quantity of delivered Products will be less than required, i.e. less than the quantity specified in section VII. 2. of the GTC - BETA-POINT shall deliver the missing quantity of Products to the Contracting Party within the period agreed between the Contracting Party and BETA- POINT, and if this proves impossible or economically unjustified, BETA-POINT shall withdraw from the Contract with respect to the missing quantity of Products.
b) in the case of quantity defects, when the quantity of Products delivered will be greater than required, i.e. above the quantity specified in section VII.2. of the GTC - BETA-POINT will collect the surplus of the Products within the time limit agreed upon between the Contracting Party and BETA-POINT,
c) for quality defects, at the choice of BETA-POINT - shall replace the defective Goods with a defect-free one, remove the defect or grant a discount in the amount agreed with the Contracting
Party.
14. If the complaint is accepted, only the Products originally packaged by BETA-POINT and the Equipment in the original packaging of the manufacturer shall be replaced.
15. Any claims of the Contracting Party resulting from a complaint shall not release the Contracting Party from the obligation to pay for the Goods or Services and from the obligation to collect and pay for subsequent deliveries of the Goods or Services.
16. In case of planned return of the Goods, the Contracting Party is obliged to notify BETA-POINT about this fact at least 7 days in advance. Returns may be made only after obtaining BETA-POINT's prior consent in writing or by e-mail. BETA- POINT reserves the right to determine the method of return shipment of the Goods, selection of the place of delivery and the choice of the carrier or forwarder. The Contracting Party is obliged to provide adequate security for the returned Goods for the time of transport. Failure to notify BETA-POINT of the return date or failure to obtain BETA-POINT's consent to return may result in BETA-POINT's refusal to accept the Goods. VIII.WARRANTY
1.The equipment is covered by the manufacturer's warranty.
2. Warranty conditions are specified in the warranty document issued by the manufacturer of the Equipment.
IX.LIABILITY
Unless otherwise provided in mandatory provisions of law or the GTC, BETA-POINT's liability for the performance of Contracts and for other scenarios shall be limited to the value of damage actually incurred by the Contracting Party, however, it shall not exceed the price of the Goods and Services in connection with which the Contracting Party has submitted claims or the sum insured under the BETA-POINT civil liability insurance policy for that particular event. The above limitation does not apply to liability for damages resulting from willful misconduct as well as personal injury or damage caused by a dangerous product, if the law does not allow such limitation. In any case, BETA-POINT shall not be liable for any damage caused by non-performance or delay in performance of the Contract, if such damage was caused by Force Majeure.
X.RETENTION OF TITLE
1. All Goods delivered to the Contracting Party shall remain the property of BETA-POINT until the Contracting Party pays the entire price indicated on the VAT invoice. This condition shall not entitle the Contracting Party to a refund, refusal or delay in payment.
2. The Contracting Party shall not be entitled to sell or encumber the Goods with a pledge or rights of third parties as long as they are the property of BETA-POINT, unless BETA- POINT consents to it in writing under pain of nullity.
3. BETA-POINT may demand immediate return of the Goods if the Contracting Party is in delay with payment of the amount due. In such a case, the Contracting Party shall be obliged to deliver the Goods and to prepare them for transport. Transport costs shall be borne by the Contracting Party.
4. BETA-POINT reserves the right to pursue further claims for damages, including lost profits.
XI. PLATES / TOOLS AND EQUIPMENT (OWNERSHIP) Plates and tools and equipment prepared to enable production for the Contracting Party (including graphic files created by BETA- POINT graphic designers, printing plates, photopolymers, punching tools/dies and other materials necessary for production) remain the property of BETA-POINT. The "plates" or "punching dies" fee that may be charged to the Contracting Party is only a fee for the preparation of materials enabling the manufacture of the product, and not a fee for physical materials necessary for its production.
XII. INTELLECTUAL PROPERTY
1.The Contracting Party warrants that any materials (graphics,
names, logos, images, etc.) provided by the Contracting Party to BETA-POINT for the purpose of executing the Order do not breach any third party copyrights, industrial property rights or other intellectual property rights and that the Contracting Party is entitled to use them. BETA-POINT shall not be liable for any actions or omissions of the Contracting Party in this respect.
2. In the event of a breach of the above obligation by the Contracting Party, the Contracting Party undertakes to repay the full amount of BETA-POINT's damage or to replace BETA- POINT in the event of third party claims brought against BETA- POINT through legal proceedings (primary or secondary intervention) or arbitration. 3.BETA-POINT shall not transfer any materials (graphic signs, names, logotypes, images, patents, graphic designs containing the aforementioned elements, forms, layout, etc.) to the Contracting Party under the Contract or grant any intellectual property rights or license. It is forbidden to make any changes in the content of the aforementioned materials prepared, transferred or made available to the Contracting Party by BETA-POINT or obtained in any other way by the Contracting Party. All legal and financial consequences of changes made by the Contracting Party in the aforementioned materials without the written consent of BETA-POINT shall be borne by the Contracting Party.
XXXX.XXXXX SECRETS
1. The parties are obliged to treat all information, documents and other objects provided to each other in connection with the preparation of the offer, conclusion and performance of the contract as a business secret within the meaning of Article 11 of the Act of 16 April 1993 on Combating Unfair Competition (consolidated text of 9 February 2018, Journal of Laws of 2018, item 419 as amended).
2. The obligation of business secrecy also exists after the expiry of the contract, unless the information, documents or other objects covered by the business secrecy have become generally available or known. The obligation of professional secrecy shall in particular include a prohibition on disclosing any information or documents to third parties. The parties undertake to inform the members of their authorities, employees and co-workers and subcontractors involved in the performance of the contract of their obligations under these provisions. The parties shall be liable for any breach of the obligations arising from the confidentiality clause.
3. The obligation to maintain business secrets shall not apply where the obligation to disclose them to third parties arises from the law and those entities shall, in accordance with the law, require the Parties to disclose them. A Party shall promptly inform the other Party of any such request, unless the provision of such information is prohibited by applicable law or by a decision of the authority requesting the information.
XIV. PERSONAL DATA PROTECTION
1.Your personal data is administered by BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx with its registered office in Xxxxxxxxx (00-000) at 1 Rynkowska Street, NIP 5541639839, REGON 92560894,
2. Your personal data will be processed for the purpose of performing the contract/order.
3. The legal basis for the processing of your personal data is Regulation 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC, hereinafter referred to as the General Data Protection Regulation on the protection of personal data (GDPR),
4. The data of the Administrator of your personal data and the Inspector of Personal Data (in the event that the controller is obliged to possess it) are available at the following website xxx.xxxxxxxxx.xx .
5. By submitting an enquiry, in particular by sending the Request for proposal, Order, or other correspondence aimed at concluding
a contract, or constituting a complaint or warranty claim, you agree, pursuant to Article 6(1) lit.a of Regulation 2016/679 of the European Parliament and of the Council, to the processing of personal data by the controller in order to carry out your request.
6. The data subject has given his or her consent to the processing of his or her personal data for one or more specified purposes;
7. The processing of your personal data is necessary for the performance of the Contract and for the fulfillment of the legal obligation incumbent on the Administrator;
8. The processing of your personal data is necessary to protect the vital interests of the data subject or another private individual;
9. Your data may be made available to other entities on the basis of legal regulations.
10. The recipients of your data can be partners, banks, postal operators, carriers, couriers, companies printing correspondence or handling correspondence received from customers, companies archiving documents, companies cooperating with BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx based in Xxxxxxxxx (00-000) at 1 Rynkowska Street, NIP 5541639839, REGON 92560894 in order to handle complaints (manufacturers and suppliers).
11. Your personal data will be stored for the period of fulfilling the Administrator's legal obligation resulting from the provisions of law, or when personal data processed on the basis of a separate consent will be stored until such time as it is revoked.
12. BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx with its registered office in Xxxxxxxxx (00-000) at 1 Rynkowska Street, NIP 5541639839, REGON 92560894 will not transfer your personal data to a third country or an international organisation.
13. You have the right to request from the Administrator access to personal data concerning the data subject, to rectify, erase or limit the processing, the right to object to the processing, as well as the right to transfer data and the right to withdraw consent at any time (without affecting the lawfulness of the processing which was carried out on the basis of consent prior to its withdrawal).
14.If you believe that BETA-POINT Xxxxx Xxxxxxxx-Xxxxxx with its registered office in Xxxxxxxxx (00-000) at 1 Rynkowska Street, NIP5541639839, REGON 92560894 as the controller of data, processes them in a manner that violates the provisions of the general regulation on personal data protection of 27 April 2016, you have the right to file a complaint with the President of the Office for Personal Data Protection.
15. Providing personal data within the scope of the applicable provisions of statutes and regulations concerning statutory progress is mandatory, while the rest is voluntary.
16. Your data will not be processed in any automated way, including profiling.
XV. DISPUTE SETTLEMENT AND APPLICABLE LAW
1.Any disputes which may arise in connection with the claims submitted by the Contracting Party shall be settled in the first place by way of arbitration.
If the Contracting Party and BETA-POINT do not decide otherwise, in the absence of an agreement within 30 days from the date of the Contracting Party's claim, the dispute shall be submitted to a common court having jurisdiction over the registered office of BETA-POINT.
0.Xx matters not regulated in the GTC, the provisions of the Civil Code and other applicable regulations of law shall apply.
XVI. FINAL TERMS 1.If one or more of the provisions of the Contract, Order Confirmation or the GTC turns out to be invalid or impossible to perform, the remaining part shall remain fully binding. The Parties shall immediately take action to replace the invalid terms and conditions or provisions that are legal or enforceable.
2. Notifications made to the other Party may be made by: letter, fax, courier or e-mail. The Contracting Party shall be obliged to notify BETA-POINT of any changes in the address of its registered office or correspondence, otherwise it shall be deemed effective for deliveries made to the last known address known by BETA-POINT.
3.The Contracting Party shall be obliged to keep confidential any information or data to which it had access in connection with the conclusion or performance of the Contract.
4. BETA-POINT may transfer the rights and obligations under the Contract to any entity of its choice without the Contracting Party's consent.
5. Titles of GTC drafting units have only an auxiliary meaning and shall not be taken into account in their interpretation. 6.BETA-POINT shall inform the Contracting Party about the change of the GTC with 7 days’ notice in writing or by e-mail as an attachment in PDF format.
7. These GTCs are effective from 07 January 2019.
