ROZDZIAŁ I INFORMACJE OGÓLNE	CHAPTER I GENERAL INFORMATION
1. Określenia użyte w niniejszej Specyfikacji istotnych warunków zamówienia oznaczają: a) „SIWZ” lub specyfikacja - niniejsza Specyfikacja Istotnych Warunków Zamówienia wraz z załącznikami. b) Postępowanie - postępowanie o udzielenie zamówienia prowadzone przez Zamawiającego na podstawie SIWZ. c) Zamawiający - DB Port Szczecin sp. z o. o. d) Wykonawca - osoba fizyczna, osoba prawna albo jednostka organizacyjna nieposiadająca osobowości prawnej, która ubiega się o udzielenie Zamówienia i złożyła ofertę na wykonanie Zamówienia. e) Platforma zakupowa eB2B – platforma zakupowa za pośrednictwem której składana jest oferta. f) Zamówienie - zamówienie, którego przedmiot został opisany w rozdziale IV SIWZ oraz załączniku nr 1 do SIWZ. g) Umowa - oznacza umowy w sprawie zamówienia zawartą pomiędzy Zamawiającym a Wykonawcą wyłonionym w Postępowaniu obejmujące Umowę (załącznik nr 6 do SIWZ) oraz Umowę Serwisową (załącznik nr 8 do SIWZ) oraz Umowę Najmu (załącznik nr 10 do SIWZ) o ile nic innego nie wynika z SIWZ. h) K.c. – ustawa z dnia 23 kwietnia 1964 r., Kodeks cywilny (Dz. U. z 1964 r., Nr 16, poz. 93 z późn. zm.). . Zgodnie z art. 24 ust. 1 ustawy z dnia 29 sierpnia 1997r. o ochronie danych osobowych (tekst jednolity Dz.U. z 2014 r. poz. 1182 ze zm.) Zamawiający niniejszym informuje Wykonawców, że: a) administratorem danych osobowych Wykonawcy jest DB Port Szczecin Sp. z o.o. z siedzibą przy ul. Bytomskiej 14 w Szczecinie, b) dane osobowe Wykonawcy przetwarzane będą w celu realizacji niniejszego Postępowania przetargowego, c) Wykonawca posiada prawo dostępu do treści swoich danych oraz ich poprawiania, d) podanie danych osobowych jest dobrowolne. 3. W zakresie nieuregulowanym w SIWZ zastosowanie znajdują Ogólne Warunki Zakupu Grupy DB Cargo Polska („Ogólne Warunki Zakupu”) dostępne pod adresem internetowym: xxxxx://xxxxxxxxxxxx.xxxxxxxxxxxx.xxx/ dbportszczecin-pl/O_firmie/Przetargi/Przetargi.html	1. The expressions used in these Terms of Reference shall mean: a) "ToR" or terms – these Terms of reference with appendices. b) Proceedings – procurement proceedings conducted by the Ordering Party on the basis of ToR. c) Ordering Party – DB Port Szczecin sp. z o.o. d) Contractor – physical person, legal person or organizational unit without legal personality which applies for the Procurement and has submitted the bid for the completion of the Procurement. e) eB2B purchasing platform – purchasing platform through which the bid is submitted. f) Procurement – procurement whose subject is described in Chapter IV of ToR and Appendix No. 1 to ToR. g) Contract – contracts concerning the procurement concluded between the Ordering Party and the Contractor selected in the course of Proceedings which encompasses the Contract (Appendix No. 6 to ToR) and the Service Contract (Appendix No. 8 to ToR) and the Lease Contract (Appendix No. 10 to ToR) unless otherwise specified in the ToR. h) Civil Code – Act of 23 April 1964 on the Civil Code (Dz. U. [Journal of Laws] of 1964 No. 16 item 93, as amended). 2. In accordance with Article 24 sec. 1 of the Personal Data Protection Act of 29 August 1997 (unified text Journal of Laws of 2014 item 1182 Dz.U.2014.1182 as amended), the Ordering Party hereby informs the Contractors that: a) the administrator of the Contractor’s personal data is DB Port Szczecin sp. z o.o. with its seat at Xxxxxxxx Xxx. 00, Xxxxxxxx, b) the Contractor's personal data will be processed for the purpose of this tender Proceedings, c) the Contractor has the right to access and correct its personal data, d) providing the personal data is voluntary. 3. ROZDZIAŁ III TRYB UDZIELENIA ZAMÓWIENIA

1. Z zastrzeżeniem odrębnych postanowień w SIWZ, Postępowanie prowadzi się w dwóch równorzędnie wiążących wersjach językowych, w języku polskim i w języku angielskim, wobec czego Wykonawca może złożyć ofertę oraz dokumenty stanowiące załączniki do oferty w jednym z tych języków. Jednakże Zamawiający niniejszym udostępnia angielskie tłumaczenie dokumentacji przetargowej wyłącznie pomocniczo (polska wersja językowa ma nadrzędny charakter wobec angielskiej wersji językowej).

2. Postępowanie o udzielenie zamówienia prowadzone jest zgodnie z przepisami Kodeksu cywilnego.

ROZDZIAŁ IV OPIS PRZEDMIOTU ZAMÓWIENIA

1. Przedmiotem zamówienia jest zakup i dostawa żurawia samojezdnego terenowego o DOR minimum 80 ton na promieniu 3 metrów na potrzeby spółki DB Port Szczecin na warunkach określonych w SIWZ ("Przedmiot zamówienia" określany jest także jako "Przedmiot Umowy" w rozumieniu Umowy stanowiącej załącznik nr 6 do SIWZ) oraz, tymczasowy najem nowego lub używanego żurawia o parametrach odpowiadających Przedmiotowi Zamówienia.

2. Przedmiot zamówienia obejmuje zakup i dostawę fabrycznie nowego żurawia oraz najem żurawia o parametrach odpowiadających Przedmiotowi Zamówienia. Wymagania i parametry dla Przedmiotu zamówienia określa załącznik nr 1 do SIWZ.

CHAPTER III MODE OF AWARDING THE PROCUREMENT

1. Save as otherwise provided in this ToR, the Proceedings shall be conducted in two equally binding language versions, in Polish and English, thus, the Contractor is entitled to submit its offer and the documents constituting appendices thereto in one of the these two languages. Whereas, the Ordering Party hereby provides only the auxiliary translation of the tender documentation into English (Polish version prevails over the English version).

2. The procurement Proceedings shall be conducted pursuant to the provisions of the Civil Code.

CHAPTER IV DESCRIPTION OF THE SUBJECT OF PROCUREMENT

1. The Subject of procurement is the purchase and delivery of rough terrain crane with SWL minimum 80 ton with the radius of 3 meters for the purposes of DB Port Szczecin company under conditions specified in this ToR ("Subject of the procurement" is also referred to as the "Subject of the Contract" under the Contract constituting Appendix No. 6 to ToR), and temporary lease of the new or used crane with parameters corresponding to those of the Subject of the procurement.

2. The Subject of procurement shall include the purchase and delivery of the factory new crane, andlease of the crane with parameters corresponding to those of the Subject of the Procurement. Requirements and parameters for the Subject of the procurement are presented in Appendix No. 1.

CHAPTER V PROCUREMENT COMPLETION DATE

1. The Ordering Party shall require the delivery of the Subject of the procurement (Subject of the Contract)

maksymalnie 16 tygodni od daty podpisania Umowy stanowiącej załącznik nr 6 do SIWZ ("Termin Dostawy"). Wykonawca przedstawi dodatkowo ofertę na wynajem 1 (jednego) nowego lub używanego żurawia o parametrach odpowiadających temu stanowiącemu Przedmiot Umowy, w terminie od 2-go tygodnia licząc od daty podpisania Umowy do Terminu Dostawy wskazanego przez Wykonawcę w ofercie. Projekt Umowy Najmu stanowi załącznik nr 10 do SIWZ.

2. Za Termin Dostawy (i sprzedaży) Przedmiotu zamówienia uważać się będzie datę podpisania przez obie Strony protokołu przeniesienia własności i posiadania Przedmiotu zamówienia (Przedmiotu Umowy).

ROZDZIAŁ VI OPIS KRYTERIÓW I SPOSOBÓW DOKONYWANIA OCENY SPEŁNIANIA WARUNKÓW WYMAGANYCH OD WYKONAWCÓW

. W postępowaniu mogą wziąć udział Wykonawcy, którzy:

1.1. posiadają niezbędną wiedzę i doświadczenie do wykonania Zamówienia, wyrażające się tym, że w okresie ostatnich trzech lat, a jeżeli okres prowadzenia działalności jest krótszy – w tym okresie, Wykonawca zrealizował co najmniej trzy dostawy minimum jednego żurawia samojezdnego terenowego o wartości nie mniejszej niż 2 000 000 PLN netto każdy;

1.2. dysponują potencjałem technicznym i osobami zdolnymi do wykonywania Zamówienia;

1.3. posiadają uprawnienia do wykonywania określonej działalności lub czynności, jeżeli przepisy prawa nakładają obowiązek ich posiadania;

1.4. spełniają wymaganie odnośnie sytuacji finansowej, tj. że wysokość posiadanych środków finansowych lub zdolność kredytowa wynosi co najmniej 2 500 000 PLN.

. Ocena spełnienia przez Wykonawcę warunków udziału w Postępowaniu, o których mowa w ust. 1., punkty 1.1. – 1.4. niniejszego rozdziału, zostanie dokonana według formuły „spełnia – nie spełnia”, na podstawie złożonych przez Wykonawcę oświadczeń i dokumentów, o których mowa w Rozdziale VII SIWZ.

. Zamawiający może wezwać, w wyznaczonym przez siebie terminie, do złożenia brakujących dokumentów i oświadczeń oraz do złożenia wyjaśnień dotyczących złożonych oświadczeń lub dokumentów.

ROZDZIAŁ VII WYKAZ OŚWIADCZEŃ DOKUMENTÓW, JAKIE MAJĄ DOSTARCZYĆ WYKONAWCY W CELU POTWIERDZENIA PEŁNIENIA WARUNKÓW UDZIAŁU W

OSTĘPOWANIU

within the period of maximum 16 weeks from the date of signing the Contract constituting Appendix No. 6 to ToR ("Delivery Date"). The Contractor submits additionally an offer for lease of 1 (one) new or used crane with parameters corresponding to that related to the Subject of the Contract for the period from the 2nd week counted from the date of signing the Contract until the Delivery Date indicated by the Contractor in the bid. Draft Lease Contract constitutes Appendix No 10 to ToR.

2. The Delivery Date (and the date of sale) of the Subject of the procurement (Subject of the Contract) shall be the date of signing the protocol of transfer of ownership and possession of the Subject of the procurement (Subject of the Contract).

CHAPTER VI DESCRIPTION OF CRITERIA AND METHODS OF ASSESSMENT OF THE OBSERVANCE OF CONDITIONS REQUIRED OF THE CONTRACTORS

1. The Contractors admitted to take part in the Proceedings shall be those who:

1.1. have the necessary knowledge and experience for the completion of Procurement, proven by the fact that in the course of the last three years or, if the period of its activity is shorter, in the period of its activity the Contractor completed at least three deliveries of minimum one rough terrain crane with the net value not lower than PLN 2 000 000 each;

1.2. have the technical potential and human resources capable of completing the Procurement;

1.3. have the privileges to conduct certain activities or actions, if the legal regulations impose the obligation of having such privileges;

1.4. meet the requirement concerning the financial situation, that is the sum of possessed financial resources or credit soundness amounts at least to PLN 2 500 000.

2. The observance of the conditions for participation in the Proceedings referred to in section 1 points 1.1. –

1.4. of this Chapter by the Contractor shall be assessed according to the "met – not met” formula on the basis of statements and documents referred to in Chapter VII of ToR and submitted by the Contractor.

3. At the time of its own choosing, the Ordering Party may call for submitting any missing documents and statements and making clarifications concerning the submitted statements and documents.

CHAPTER VII LIST OF STATEMENTS AND DOCUMENTS THAT THE CONTRACTOR SHOULD SUBMIT IN ORDER TO CONFIRM THAT IT MEETS THE CONDITIONS FOR PARTICIPATION IN THE PROCEEDINGS

. Wykonawca składa niżej wymienione dokumenty i oświadczenia:

1.1. Wypełniony załącznik nr 1 do SIWZ - minimalne wymagania i parametry dla Przedmiotu zamówienia, opis Przedmiotu zamówienia.

1.2. Wypełniony załącznik nr 2 do SIWZ – wymagania odnośnie rejestracji Przedmiotu zamówienia w Transportowym Dozorze Technicznym (T. D. T.).

1.3. Wypełnione załączniki nr 3 i 3a do SIWZ - formularze ofertowe.

1.4. Wypełniony załącznik nr 4 do SIWZ - oświadczenie, potwierdzenie spełnienia wymagań dla Przedmiotu zamówienia.

1.5. Wypełniony załącznik nr 5 do SIWZ - wykaz wykonanych dostaw.

1.6. Wypełniony Załącznik nr 4 do Umowy - skończona lista elementów, których czas trwania naprawy wynosi więcej niż 3 (trzy) Dni Robocze. Każdy z wymienionych elementów musi znajdować się w katalogu części.

1.7. Wypełniony załącznik nr 7 do SIWZ - oświadczenie o zaakceptowaniu projektu Xxxxx.

1.8. Wypełniony Załącznik nr 2 Umowy Serwisowej

– cennik usług serwisowych.

1.9. Wypełniony załącznik nr 9 do SIWZ - oświadczenie o zaakceptowaniu projektu Umowy Serwisowej.

1.10. Wypełniony załącznik nr 11 do SIWZ - oświadczenie o zaakceptowaniu projektu Umowy Najmu (jeśli dotyczy).

1.11. Aktualny odpis z właściwego rejestru, a w stosunku do osób fizycznych zaświadczenie z Centralnej Ewidencji i Informacji o Działalności Gospodarczej Rzeczypospolitej Polskiej – dla Wykonawców z terenu Rzeczypospolitej Polskiej. Wykonawcy zagraniczni przedstawiają aktualny odpis z rejestru działalności gospodarczej właściwego dla kraju danego Wykonawcy. W przypadku spółki cywilnej działającej na terenie Rzeczypospolitej Polskiej Zamawiający żąda złożenia aktualnych wydruków z Centralnej Ewidencji i Informacji o Działalności Gospodarczej Rzeczypospolitej Polskiej dla każdego ze wspólników osobno. W przypadku spółki cywilnej działającej poza terenem Rzeczypospolitej Polskiej Zamawiający żąda złożenia aktualnych odpisów z rejestrów działalności gospodarczej właściwych dla krajów Wykonawców dla każdego ze Wspólników osobno. Dokumenty potwierdza „za zgodność z oryginałem” osoba/osoby uprawniona/ uprawnione do reprezentacji Wykonawcy i muszą być wystawione nie wcześniej niż 6 miesięcy przed upływem terminu składania ofert.

1. The Contractor shall submit the documents and statements listed below:

1.1. Completed Appendix No. 1 to ToR – minimum requirements and parameters for the Subject of procurement, description of the Subject of procurement.

1.2. Completed Appendix No. 2 to ToR – requirements concerning the registration of the Subject of the procurement in the Transport Technical Supervision (T. D. T.).

1.3. Completed Appendixes No. 3 and 3a to ToR – bid forms.

1.4. Completed Appendix No. 4 to ToR – statement, confirmation of meeting the requirements for the Subject of procurement.

1.5. Completed Appendix No. 5 to ToR – list of completed deliveries.

1.6. Completed Appendix No. 4 to the Contract - closed list of elements, which complete of repairs are longer than 3 (three) Working Days. Each of listed elements must be in spare parts catalogue.

1.7. Completed Appendix No. 7 to ToR – statement of draft Contract approval.

1.8. Completed Appendix No. 2 to the Service Contract – price list of services.

1.9. Completed Appendix No. 9 to To R – statement of draft Service Contract approval.

1.10. Completed Appendix no 11 to ToR - statement of draft Lease Contract approval (if applicable).

1.11. Current extract from the proper register and, in case of physical persons, certificate from the Polish Central Registration and Information on Economic Activity (CEIDG) – for Contractors from the territory of the Republic of Poland. Foreign Contractors shall submit the current extract from the register of economic activity proper to the country of a given Contractor. In case of civil partnership operating in the territory of the Republic of Poland, the Ordering Party shall request the submitting of current printouts from the Polish Central Registration and Information on Economic Activity for each partner separately. In case of civil partnership operating outside of the territory of the Republic of Poland, the Ordering Party shall request the submitting of current extracts from the registers of economic activity proper to the countries of the Contractors for each Partner separately. The documents should be confirmed as "true copies" by person/ persons authorised to represent the Contractor, and must be issued not earlier than 6 months prior to the lapse of deadline for submitting bids.

1.12. Rysunki z wymiarami kompletnego oferowanego żurawia.

1.13. Tabelę udźwigów żurawia.

1.14. Harmonogram przeglądów (czynności kontrolnych i obsługowych) potwierdzony przez Producenta żurawia.

1.15. Inne dokumenty uprawniające osobę/ osoby podpisującą/ podpisujące ofertę do jej podpisania, o ile nie wynika to z dokumentu rejestrowego, o którym mowa powyżej – jeżeli będzie występowało pełnomocnictwo, musi ono zostać złożone w oryginale.

1.16. W przypadku, gdy wartość dostaw wykazywanych przez Wykonawcę na potwierdzenie spełniania warunków udziału w Postępowaniu, bądź też środki finansowe wykazywane przez Wykonawcę na potwierdzenie jego sytuacji ekonomicznej i finansowej zostały ustalone w walucie innej niż PLN, Wykonawca dokonana przeliczenia kwoty w innej walucie na PLN przyjmując jako podstawę średni kurs danej waluty opublikowany przez Narodowy Bank Polski (wg tabeli A kursów średnich walut obcych) w dniu opublikowania ogłoszenia o niniejszym Postępowaniu. Jeżeli publikacja ogłoszenia o niniejszym Postępowaniu nastąpi w dniu, w którym Narodowy Bank Polski nie publikuje tabeli kursów średnich, Wykonawca przyjmie jako podstawę kurs z tabeli kursów średnich opublikowany w dniu najbliższym po dniu publikacji ogłoszenia o niniejszym Postępowaniu.

1.17. W przypadku gdy Wykonawca nie posiada na terytorium Rzeczypospolitej Polskiej siedziby dla celów podatkowych – ważny certyfikat rezydencji podatkowej, wystawiony przez właściwy organ państwa siedziby.

1.18. W przypadku Wykonawcy nie posiadającego na terytorium Rzeczypospolitej Polskiej siedziby dla celów podatkowych, działającego w niniejszym Postępowaniu w ramach położonego na terytorium Rzeczypospolitej Polskiej zagranicznego zakładu – ważny certyfikat rezydencji podatkowej, wystawiony przez właściwy organ państwa siedziby, wraz z pisemnym oświadczeniem, że należność uiszczona na gruncie Umowy, związana jest z działalnością tego zakładu, sporządzonym zgodnie z art. 26 ust. 1d – 1e ustawy z dnia 15 lutego 1992 r. o podatku dochodowym od osób prawnych.

If the value of deliveries listed by the Contractor to confirm that it meets the conditions for participation in the Proceedings or the financial resources indicated by the Contractor to confirm its economic and financial situation are determined in the currency other than PLN, the Contractor shall convert the amount in another currency to PLN on the basis of the average exchange rate for this currency published by the National Bank of Poland (according to table A of average exchange rates for foreign currencies) on the date of publication of announcement about these Proceedings. If the announcement about these Proceedings is published on a day when the National Bank of Poland does not publish tables of average exchange rates, the Contractor shall base the conversion on the exchange rate included in the table of average exchange rates published on the date immediately following the date of publication of announcement about these Proceedings.

1.17. In case when the Contractor does not have in Poland a registered office for tax purposes – valid certificate of fiscal residence, issued by a competent organ in the country where the registered office is located.

1.18. In case when the Contractor does not have in Poland a registered office for tax purposes and acts in these tender Proceedings through its’ permanent establishment located in Poland - valid certificate of fiscal residence, issued by a competent organ in the country where the Contractor’s registered office is located with a declaration made in writing that any payment made in relation to the Contract is related to this permanent establishment’s activities in accordance with art. 26 para. 1d-1e of Corporate Income Tax Law dated February 15, 1992.

ROZDZIAŁ IX TERMIN ZWIĄZANIA OFERTĄ

. Wykonawca jest związany ofertą przez okres 90 (dziewięćdziesiąt) dni. Bieg terminu związania ofertą rozpoczyna się wraz z upływem terminu składania ofert. W przypadku przeprowadzenia aukcji, złożenie korzystniejszej oferty przez innego Wykonawcę pozostaje bez wpływu na związanie ofertą któregokolwiek z Wykonawców.

CHAPTER IX BID VALIDITY PERIOD

1. The Contractor shall be bound by the bid for the period of 90 (ninety) days. The bid validity period shall start upon the lapse of the period for submitting bids. In the event of an electronic auction, making of a more advantageous bid by the other Contractor does not affect validity of the bid of any other Contractor.

2. In justified cases, at least 3 (three) days prior to the lapse of bid validity period, the Ordering Party shall apply to the Contractors for their consent to extend this period with the additional set period of time.

CHAPTER X DESCRIPTION OF THE BID PREPARATION METHOD

1. The Contractor shall submit its bid in accordance with the requirements of these ToR.

2. The contents of the bid must correspond to the contents of ToR.

3. The Contractor must submit an offer on a bid form constituting Appendix No. 3 and 3a to ToR and attach documentation required by the provisions of these ToR.

CHAPTER XII DESCRIPTION OF THE PRICE CALCULATION METHOD

1. The Contractors shall state the net lump-sum price for the whole Subject of procurement that shall include the detailed scope of the whole Subject of procurement specified in Chapter IV and Appendix No. 1 to ToR, as well as all taxes (except for VAT), in particular, if applicable, the withholding tax arising out of applicable agreement on the evasion of double taxation between Poland and the Contractor’s country of fiscal residence, charges, custom duties, public-law charges and all costs related to the delivery of the entire Subject of the procurement to the Ordering Party in accordance with the ToR, the enclosed Contract, the Service Contract and the Lease Contract.

ROZDZIAŁ XIV INFORMACJE O FORMALNOŚCIACH, AKIE POWINNY ZOSTAĆ DOPEŁNIONE PO WYBORZE OFERTY W CELU ZAWARCIA UMOWY W SPRAWIE ZAMÓWIENIA

1. Niezwłocznie po wyborze najkorzystniejszej oferty Zamawiający zawiadomi Wykonawców, którzy złożyli oferty, o wyborze najkorzystniejszej oferty, podając firmę i adres Wykonawcy, którego ofertę wybrano. Przedstawi uzasadnienie jej wyboru. Poinformuje Wykonawców, którzy złożyli oferty, o punktacji przyznanej ich ofertom w każdym kryterium oceny ofert.

2. W przypadku braku pełnomocnictwa do podpisania umowy w imieniu Wykonawcy, pełnomocnictwo do zawarcia Umowy musi zostać złożone na co najmniej jeden dzień przed podpisaniem Umowy.

3. Jeżeli Wykonawca, którego oferta została wybrana, uchyla się od zawarcia umowy w terminie wskazanym przez Xxxxxxxxxxxxx to Zamawiający

CHAPTER XIV INFORMATION ABOUT THE FORMALITIES THAT MUST BE FULFILLED IN ORDER TO CONCLUDE THE PROCUREMENT CONTRACT

1. Immediately upon selecting the most favorable bid, the Ordering Party shall notify the Contractors who submitted their bids about the selection of the most favorable bid, stating the name and address of the Contractor whose bid have been selected. It shall also substantiate the selection. It shall inform the Contractors who submitted their bids about the points awarded to their bids for every bid assessment criterion.

2. If the power of attorney to sign the contract on behalf of the Contractor is missing, the power of attorney authorising to conclude the Contract must be submitted at least one day before signing the Contract.

3. If the Contractor whose bid has been selected evades the conclusion of the contract within the deadline set forth by the Ordering Party, the

ROZDZIAŁ XV ZMIANY W TREŚCI SIWZ ORAZ W TREŚCI OGŁOSZENIA

CHAPTER XV CHANGES IN THE CONTENTS OF THE TERMS OF REFERENCE AND THE CALL FOR PROPOSALS

1. Zamawiający może przed upływem terminu składania ofert zmienić treść SIWZ oraz treść ogłoszenia, o czym niezwłocznie poinformuje wszystkich Wykonawców za pośrednictwem strony internetowej: xxx.xxxxxxxxxxxx.xxx/xxxxxxxxxxxx oraz drogą mailową.

2. Zamawiający zastrzega sobie prawo do podjęcia decyzji o przedłużeniu terminu składania ofert, gdy uzna że niezbędny jest dodatkowy czas na wprowadzenie zmian w ofertach.

3. Wszystkie dokonane przez Zamawiającego zmiany są wiążące dla Wykonawców.

1. The Ordering Party may change the contents of ToR and the call for proposals before the lapse of deadline for submitting bids, and shall immediately inform all Contractors about this fact via the following website: xxx.xxxxxxxxxxxx.xxx/ portszczecin and via e-mail.

2. The Ordering Party reserves the right to decide on the extension of deadline for submitting bids if it deems that additional time is necessary for the introduction of changes to the bids.

3. All changes introduced by the Ordering Party shall be binding to the Contractors.

CHAPTER XVI OTHER PROVISIONS

. Zamawiający zastrzega sobie prawa:

1.1. odwołania Postępowania przetargowego w całości bądź w części na każdym etapie;

1.2. nie przyjęcia żadnej ze złożonych ofert;

1.3. unieważnienia Postępowania przetargowego w całości bądź w części bez podania przyczyn;

1.4. zakończenia Postępowania przetargowego w całości bądź w części bez wyboru jakiejkolwiek oferty;

1.5. odrzucenia oferty, która zawierać będzie rażąco niską cenę w stosunku do wartości Przedmiotu zamówienia;

1.6. zgodnie z swoim uznaniem, dopuszczenia do udziału w Postępowaniu przetargowym Wykonawców, których oferty nie spełniają kryteriów określonych w SIWZ;

1.7. przyjęcia oferty w części tj. bez najmu żurawia;

1.8. oceny ofert w sposób odrębny i niezależny w ramach kategorii wariantów określonych zgodnie z Rozdziałem 10 pkt. 8 SIWZ i finalnego wyboru jednej oferty ze wszystkich ofert;

1.9. oceny ofert w sposób odrębny i niezależny z uwzględnieniem bądź bez uwzględniania najmu żurawia.

. W przypadku skorzystania przez Xxxxxxxxxxxxx z któregokolwiek z uprawnień, o których mowa w ust. 1, powyżej, wszelkie roszczenia Wykonawców w stosunku do Zamawiającego są wyłączone.

1. The Ordering Party reserves the right:

1.1. to cancel the tender Proceedings in whole or in part at every stage;

1.2. not to accept any of the submitted bids;

1.3. to cancel the tender Proceedings in whole or in part without any justification;

1.4. to end the tender Proceedings in whole or in part without selecting any bid;

1.5. to reject the bid that shall state a glaringly low price in relation to the value of the Subject of the procurement,

1.6. in its sole discretion, to admit Contractors to participate in the tender Proceedings whose bids do not meet requirements specified in ToR;

1.7. to accept the bid in part, i.e. without the lease of the crane;

1.8. to assess the bids separately and independently within the categories of variants set out in accordance with Chapter 10 item 8 ToR and to finally choose one bid out of all bids;

1.9. to assess the bids separately and independently with or without the lease of the crane.

2. In case the Ordering Party makes use of any of his rights listed in Section 1, above, all claims of the Contractors towards the Ordering Party are excluded.

WYMAGANIA ODNOŚNIE REJESTRACJI PRZEDMIOTU ZAMÓWIENIA W T.D.T.	REQUIREMENTS CONCERNING THE REGISTRATION OF THE SUBJECT OF THE PROCUREMENT IN T.D.T.

1. Przedmiot zamówienia musi być wykonany zgodnie z wymaganiami T.D.T. (Transportowy Dozór Techniczny)

2. Wykonawca, na własny koszt i na własne ryzyko, przygotowuje komplet dokumentacji dla T.D.T. - do formalnego złożenia w T.D.T. przez DB Port Szczecin.

3. Wykonawca odpowiada prawnie i finansowo za braki w dokumentacji dla T.D.T.

4. Zamawiający nie bierze odpowiedzialności za kompletowanie dokumentacji dla T. D. T.

5. Zamawiający odpowiada za formalne zgłoszenie Przedmiotu zamówienia do T.D.T.

6. Zamawiający wnosi opłatę związaną ze zgłoszeniem Przedmiotu zamówienia do T.D.T., która będzie refakturowana na Wykonawcę.

7. Ciężary oraz wszystkie inne atrybuty do odbioru T.D.T. zostaną zorganizowane przez Zamawiającego.

8. Po dostawie i rozładunku Przedmiot zamówienia musi być gotowy do natychmiastowego zarejestrowania w Polsce.

1. Subject of the procurement shall be conducted with requirements of T.D.T. (Transport Technical Supervision).

2. The Contractor should prepare the documentation to be formally presented by DB Port Szczecin for T.D.T. at its own cost and at its own risk.

3. The Contractor is legally and financially responsible for shortcomings in the documentation for T.D.T.

4. The Ordering Party does not bear any responsibility for the completing of the documentation for T.D.T

5. The Ordering Party shall be responsible for the formal reporting of the Subject of the contract to T.D.T.

6. The Ordering Party the fee for the reporting of Subject of procurement to T.D.T., which will be recharged on the Contractor.

7. Loads and any other attributes for the acceptance of

T.D.T. shall be organized by the Ordering Party.

8. After the delivery and unloading, Subject of the procurement shall be ready for immediate registration in Poland.

4.1. rejestracja Przedmiotu Umowy przez Transportowy Dozór Techniczny dokonana przez Wykonawcę (jako pełnomocnika Zamawiającego) i na koszt i ryzyko Wykonawcy, oraz

4.2. podpisanie przez obie Strony protokołu bezusterkowego odbioru końcowego Przedmiotu Umowy.

5. Do momentu podpisania protokołu przeniesienia własności i posiadania Przedmiotu Umowy Wykonawca ponosi całkowitą i wyłączną odpowiedzialność za Przedmiot Umowy, w szczególności Wykonawca jest zobowiązany do ubezpieczenia Przedmiotu Umowy.

6. Zamawiający zobowiązuje się do odebrania Przedmiotu Umowy pod warunkiem, iż będzie on zgodny z Umową oraz do zapłacenia Wykonawcy ceny za Przedmiot Umowy – po podpisaniu przez obie Strony protokołu przeniesienia własności i posiadania.

7. Cena za Przedmiot Umowy zawiera wszelkie koszty związane z należytym wykonaniem wszystkich obowiązków wynikających z niniejszej Umowy oraz Umowy Serwisowej przez Wykonawcę w tym z dostawą Przedmiotu Umowy w miejscu wskazanym w ust. 4.

8. Opracowany przez Wykonawcę harmonogram realizacji Przedmiotu Umowy stanowi Załącznik nr 2 do Umowy.

The transfer of ownership and possession of the Subject of the Contract by the Contractor to the Ordering Party shall take place in Szczecin, at Xxxxxxxx 00 (at the Baza Sprzętu Łasztownia (Łasztownia Equipment Base) of DB Port Szczecin), on the basis of the written protocol of transfer of ownership and possession signed by both Parties. The Parties shall sign the protocol of transfer of ownership and possession when the following conditions are met:

4.1. registration of the Subject of the Contract by the Transport Technical Supervision conducted by the Contractor (as a representative of the Ordering Party) and at the cost and risk of the Contractor, and

4.2. both Parties have signed the certificate of final acceptance of the Subject of the Contract.

5. Until the protocol of transfer of ownership and possession of the Subject of the Contract is signed, the Contractor shall bear full and exclusive responsibility for the Subject of the Contract, in particular, the Contractor shall be obliged to insure the Subject of the Contract.

6. The Ordering Party shall collect the Subject of the Contract provided that it will comply with provisions of the Contract and to pay the price for the Subject of the Contract to the Contractor after signing the protocol of transfer of ownership and possession by both Parties.

7. The price for the Subject of the Contract shall include all costs related to the due fulfillment of all the obligations of this Contract including delivery of the Subject of this Contract and the Service Contract to the place indicated in section 4.

8. The schedule of execution of the Subject of the Contract, drawn up by the Contractor, shall be

enclosed as Appendix No. 2 to the Contract.

Wykonawca zobowiązuje się do zapewniania Zamawiającemu możliwości przeprowadzenia niezbędnej liczby inspekcji produkcyjnych Przedmiotu Umowy u Wykonawcy lub u Producenta Przedmiotu Umowy (jeśli jest to inny podmiot niż Wykonawca). Inspekcja produkcyjna będzie przeprowadzana na żądanie Zamawiającego, w terminie 7 (siedmiu) dni od dnia doręczenia żądania do Wykonawcy i polegać będzie na kontroli wykonania i spełnienia warunków Zamawiającego. Wykonawca zawiadomi pisemnie Zamawiającego o gotowości do przeprowadzenia inspekcji produkcyjnej. Z inspekcji produkcyjnej zostanie sporządzony i podpisany przez obie Strony protokół w 2 egzemplarzach, po 1 egzemplarzu dla Wykonawcy i Zamawiającego.	1. W przypadku stwierdzenia usterki bądź usterek Zamawiający sporządzi listę usterek, a Wykonawca będzie zobowiązany do ich niezwłocznego usunięcia. Podpisanie protokołu przeniesienia własności i posiadania Przedmiotu Umowy (Lp. 6 w "Harmonogramie Realizacji Przedmiotu Umowy" stanowiącym Załącznik nr 2 do Umowy) nastąpi tego samego dnia co podpisanie przez Strony protokołu bezusterkowego odbioru końcowego (Lp. 5 w "Harmonogramie Realizacji Przedmiotu Umowy" stanowiącym Załącznik nr 2 do Umowy). § 5 Dokumentacja techniczna	5. Signing of the protocol of transfer of ownership and possession of the Subject of the Contract (No. 6 in the "Schedule of the Completion of the Subject of the Contract" constituting Appendix No. 2 to the Contract) shall take place on the same day as the day of signing certificate of final acceptance of the Subject of the Contract (No. 5 in the "Schedule of the Completion of the Subject of the Contract" constituting Appendix No. 2 to the Contract). § 5 Technical documentation
1. Do Przedmiotu Umowy Wykonawca dołączy następującą dokumentację:	1. The Contractor shall enclose the following documentation to the Subject of the Contract:
1.1. Pełną dokumentację techniczną rejestracji w T.D.T. (kopie papierowe: 3 egzemplarze w języku polskim; wersja elektroniczna: w PDF) 1.1.1 Deklaracją zgodności CE, 1.1.2 Opis techniczny, 1.1.3 Rysunek zestawieniowy, 1.1.4 Kompletny, szczegółowy schemat elektryczny, pneumatyczny i hydrauliczny, 1.1.5 Instrukcję obsługi dla operatora, 1.1.6 Instrukcję konserwacji, 1.1.7 Atesty i pozwolenia na wszystkie elementy dostarczonego żurawia samojezdnego terenowego wymagane przez T.D.T. 1.1.8 Wszystkie inne dokumenty wymagane przez T.D.T. 1.1.9 Dokument rejestracji w T.D.T.	1.1. Pełną dokumentację techniczną rejestracji w T.D.T. 1.2 Katalog wszystkich części zamiennych występujących w żurawiu samojezdnym terenowym (kopie papierowe: 3 egzemplarze w języku polskim lub alternatywnie w języku angielskim; wersja elektroniczna: w PDF).	1.2 Catalogue of all spare parts fitted in the rough terrain crane (hard copies: 3 copies in Polish or alternatively in English; electronic version: PDF files).
2. Dokumentacja techniczna jest integralną częścią Przedmiotu Umowy i stanowi Załącznik nr 6 do Umowy. Dokumentacja techniczna zostanie dostarczona przez Wykonawcę w terminie 14 (czternastu) dni od daty podpisania niniejszej Umowy. Przekazanie powyższej dokumentacji zostanie potwierdzone przez protokół odbioru podpisany przez obie STRONY.	2. Technical documentation constitutes an integral part of the Subject of the Contract and Appendix No. 6 hereto. Technical documentation shall be provided by the Contractor within 14 (fourteen) days after signature date of this Contract. Hand- over of the aforementioned documentation shall be confirmed by a handover report signed by both Parties.
§6 Rękojmia, gwarancja i serwis	§6 Warranty, guarantee and service
1. Wykonawca oświadcza i daje rękojmie, iż Przedmiot	1. The Contractor represents and warrants that the

Umowy ma właściwą konstrukcję i jakość, że jest kompletny oraz że został prawidłowo wykonany z właściwych materiałów, zgodnie z normami i zasadami wiedzy technicznej, wolny od wad materiałowych i wykonawczych.	Subject of the Contract is of the appropriate design and quality, it is complete and has been properly completed with the use of the right materials, in accordance with the standards and principles of technical knowledge, free of defects in material or workmanship.
2. Wykonawca udziela Zamawiającemu na Przedmiot Umowy ……..………….. (……..…………..) miesięcy lub ……..………….. (……..…………..) motogodzin rękojmi.	2. The Contractor shall grant the Ordering Party with the warranty for ……..………….. ( ) months or ……..………….. ( ) hours of operation of the Subject of the Contract.
3. Okres rękojmi liczy się od dnia podpisania przez Strony protokołu przeniesienia własności i posiadania Przedmiotu Umowy.	3. The warranty period shall start from the date of signing the protocol of transfer of ownership and possession of the Subject of the Contract by the Parties.
4. W okresie rękojmi usuwanie wad (usterek, awarii itp.) Przedmiotu Umowy wykonywane będzie nieodpłatnie przez serwis Wykonawcy w siedzibie Zamawiającego.	4. In the warranty period the defects (faults, failures, etc.) of the Subject of the Contract shall be removed free of charge by the service unit of the Contractor at the premises of the Ordering Party.
5. Wykonawca przystąpi do naprawy w czasie nie dłuższym niż 24 (dwadzieścia cztery) godziny od otrzymania zgłoszenia wad (usterek, awarii itp.) od Zamawiającego.	5. The Contractor shall start the repair within up to 24 (twenty four) hours from receiving the notice of defects (faults, failures, etc.) from the Ordering Party.
6. Strony dopuszczają zgłoszenie w formie e-maila.	6. The Parties shall allow for the notices to be sent via e-mail.
7. Wykonawca zobowiązuje się do usunięcia wad (usterek, awarii itp.) Przedmiotu Umowy w czasie nie dłuższym niż 3 (trzy) Dni Robocze liczone od następnego dnia po otrzymaniu zgłoszenia od Zamawiającego, z wyjątkiem elementów wymienionych w Załączniku nr 4 do niniejszej Umowy.	7. The Contractor shall remove the defects (faults, failures, etc.) of the Subject of the Contract within up to 3 (three) Working Days, starting from the next day after receiving the notice from the Ordering Party (subject to sections 8 and 9), subject to the components listed in the Appendix No. 4 to this Contract.
8. W okresie rękojmi Wykonawca zobowiązuje się bez dodatkowego wynagrodzenia do wykonywania przeglądów Przedmiotu Umowy zgodnie z dokumentacją Przedmiotu Umowy, w tym zaleceniami Producenta, przy czym dany przegląd Wykonawca zobowiązany jest zakończyć się w czasie nie dłuższym niż 3 Dni Robocze liczone od następnego Dnia Xxxxxxxxx po otrzymaniu zgłoszenia od Zamawiającego.	8. In the warranty period the Contractor shall conduct inspections of the Subject of the Contract, without any additional remuneration, in accordance with the documentation of the Subject of the Contract, including the recommendations of the Manufacturer, and the Contractor shall complete a given inspection within up to 3 Working Days, starting from the next working day after receiving the notice from the Ordering Party.
9. W okresie rękojmi Wykonawca zobowiązuje się bez dodatkowego wynagrodzenia do przygotowywania Przedmiotu Umowy do przeglądów wymaganych przez T.D.T., przy czym dane przygotowanie do przeglądu Wykonawca zobowiązany jest zakończyć się w czasie nie dłuższym niż 3 (trzy) Dni Robocze liczone od następnego Dnia Xxxxxxxxx po otrzymaniu zgłoszenia od Zamawiającego.	9. In the warranty period the Contractor shall prepare the Subject of the Contract for inspections required by T.D.T., without any additional remuneration, and the Contractor shall complete a given preparation for inspection within up to 3 (three) Working Days, starting from the next Working Day after receiving the notice from the Ordering Party.
10. W okresie rękojmi koszty odnawiania dopuszczeń przez T.D.T. będą refakturowane na Wykonawcę.	10. Costs of renewal the approvals by X.X.X. xxx be re- invoiced to the Contractor.

11. Dodatkowo Wykonawca przed podpisaniem przez Strony protokołu przeniesienia własności i posiadania Przedmiotu Umowy przekaże Zamawiającemu gwarancję Producenta Przedmiotu Umowy na Przedmiot Umowy, której warunki określone są w karcie gwarancyjnej (w języku polskim lub w języku angielskim) stanowiącej Załącznik nr 3 do niniejszej Umowy. Na żuraw samojezdny terenowy Producent Przedmiotu Umowy udzieli ……..………….. ( ) miesięcy lub ……..………….. ( ) motogodzin gwarancji.	11. Furthermore, prior to signing the protocol of transfer of ownership and possession of the Subject of the Contract by the Parties, the Contractor shall provide the Ordering Party with the guarantee issued by the Manufacturer of the Subject of the Contract with regard to the Subject of the Contract. The conditions of such guarantee shall be specified in the guarantee card (in Polish or in English) enclosed as Appendix No. 3 to this Contract. The Manufacturer of the Subject of the Contract shall grant the guarantee for ........................... (……..…………..) months or ……..………….. (……..…………..) hours of operation of the rough terrain crane.
12. Gwarancja Producenta nie ogranicza w żaden sposób uprawnień Zamawiającego wynikających z rękojmi, a do Zamawiającego należy wybór, czy korzysta z gwarancji czy z rękojmi.	12. The Manufacturer's guarantee shall, in no way, limit the Ordering Party's rights arising from the warranty, and it shall be the Ordering Party that shall decide whether it executes the rights arising from guarantee or warranty.
13. Wykonawca jest zobowiązany do zapewnienia dostępności części zamiennych i materiałów eksploatacyjnych do Przedmiotu Umowy przez okres minimum 15 (piętnaście) lat od dnia podpisania protokołu przeniesienia własności i posiadania Przedmiotu Umowy. W przypadku naruszenia tego obowiązku, Wykonawca obowiązany będzie do naprawienia szkody wynikłej z tego tytułu po stronie Zamawiającego.	13. The Contractor shall ensure the availability of spare parts and maintenance materials for the Subject of the Contract for the minimum period of 15 (fifteen) years from the date of signing the protocol of transfer of ownership and possession of the Subject of the Contract. In case of infringement of such obligation, the Contractor will be obliged to redress the damage suffered by the Ordering party as a result thereof.
§7 Kary umowne	§7 Contractual penalties
1. Jeśli Wykonawca nie dotrzyma określonego w § 3 ust. 1 Terminu Dostawy Przedmiotu Umowy, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,3 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 za każdy dzień opóźnienia, lecz nie więcej niż 10 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 .	1. If the Contractor fails to meet the deadline for the Delivery Date of the Subject of the Contract set forth in § 3 section 1, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.3% of the gross price for the Subject of the Contract specified in § 2 section 1 for every day of delay, but not more than 10% of the gross price for the Subject of the Contract specified in § 2 section 1.
2. Jeżeli opóźnienie Wykonawcy w dostawie Przedmiotu Umowy w odniesieniu do Terminu Dostawy określonego w § 3 ust. 1 Umowy przekroczy 30 (trzydzieści) dni, Zamawiający ma prawo odstąpić od Umowy. W takim przypadku Zamawiający nie będzie zobowiązany zwrócić Wykonawcy żadnych kosztów ani naprawienia jakichkolwiek szkód, jakie Wykonawca poniósł w związku z Umową.	2. If the Contractor's delay in the delivery of the Subject of the Contract with respect to the Delivery Date set forth in § 3 section 1, exceeds 30 (thirty) days, the Ordering Party shall have the right to withdraw from the contract. In such case the Ordering Party shall not be obliged to reimburse the Contractor with any costs or compensate for any damages incurred by the Contractor in relation to the Contract.
3. Prawo odstąpienia od Umowy przysługiwać będzie Zamawiającemu w ciągu 60 (sześćdziesięciu) dni od daty, w której opóźnienie w dostawie Przedmiotu Umowy przekroczy 30 (trzydzieści) dni od Terminu Dostawy i wymaga pod rygorem	3. The Ordering Party shall be entitled to execute the right to withdrawal from the Contract within 60 (sixty) days from the date on which the delay in the delivery of the Subject of the Contract exceeds 30 (thirty) days counted from the Delivery Date, and,

nieważności złożenia Wykonawcy pisemnego oświadczenia.	for the right to withdrawal to be valid, the Ordering Party shall be obliged to submit a written statement to that effect to the Contractor.
4. W przypadku odstąpienia od Umowy Wykonawca zapłaci Zamawiającemu karę w wysokości 10 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1.	4. In the event of withdrawal from the Contract, the Contractor shall pay to the Ordering Party a penalty in the amount of 10% of the gross price for the Subject of the Contract specified in § 2 section 1.
5. W przypadku, gdy Wykonawca nie przystąpi do usuwania wad Przedmiotu Umowy w terminach określonych w § 6 ust. 5, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,1 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 za każdy dzień opóźnienia.	5. If the Contractor fails to start to remove the defects of the Subject of the Contract within the periods set forth in § 6 section 5, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.1% of the gross price for the Subject of the Contract specified in § 2 section 1 for every day of delay.
6. W przypadku, gdy Wykonawca nie zakończy usuwania wad Przedmiotu Umowy w terminie określonym w § 6 ust. 7, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,1 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 za każdy dzień opóźnienia.	6. If the Contractor fails to complete the removal of defects of the Subject of the Contract within the period set forth in §6 section 7, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.1% of the gross price for the subject of the contract specified in §2 section 1 for every day of delay.
7. W przypadku, gdy Wykonawca nie zakończy usuwania wad Przedmiotu Umowy w terminach określonych w Załączniku nr 4 do niniejszej Umowy, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,1 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 za każdy dzień opóźnienia.	7. If the Contractor fails to complete the removal of defects of the Subject of the Contract within the periods set forth Appendix No. 4 to this Contract, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.1% of the gross price for the Subject of the Contract specified in § 2 section 1 for every day of delay.
8. W przypadku gdy wskutek nieusuniętych wad przestój żurawia samojezdnego terenowego przekroczy 60 (sześćdziesiąt) dni kalendarzowych, na pisemne żądanie Zamawiającego doręczone Wykonawcy, Wykonawca w terminie 7 (siedmiu) dni od otrzymania przedmiotowego żądania zobowiązany jest odkupić żuraw samojezdny terenowy od Zamawiającego - po uzgodnionej cenie.	8. If, as a result of non-removed defects, the rough terrain crane downtime exceeds 60 (sixty) calendar days, upon the written request of the Ordering Party delivered to the Contractor, the Contractor shall be obliged to re-purchase the rough terrain crane from the Ordering Party at an agreed price within 7 (seven) days from receiving the request in this matter.
9. W przypadku, gdy Wykonawca nie zakończy wykonywania przeglądu Przedmiotu Umowy w terminie określonym w § 6 ust. 8, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,1 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1 za każdy dzień opóźnienia.	9. If the Contractor fails to complete the inspection of the Subject of the Contract within the period set forth in § 6 section 8, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.1% of the gross price for the Subject of the Contract specified in § 2 section 1 for every day of delay.
10. W przypadku, gdy Wykonawca nie zakończy przygotowania Przedmiotu Umowy do przeglądu wymaganego przez T.D.T. w terminie określonym w § 6 ust. 9, Wykonawca zapłaci Zamawiającemu karę umowną w wysokości 0,1 % ceny brutto Przedmiotu Umowy określonej w § 2 ust. 1. za każdy dzień opóźnienia.	10.If the Contractor fails to complete the preparation of the Subject of the Contract for inspection required by T.D.T. within the period set forth in § 6 ust. 9, the Contractor shall pay to the Ordering Party a contractual penalty in the amount of 0.1% of the gross price for the Subject of the Contract specified in § 2 section 1 for every day of delay.

11. Wszystkie kary umowne wskazane w niniejszej umowie będą płatne na rachunek bankowy Zamawiającego w terminie 7 (siedmiu) dni od dnia doręczenia Wykonawcy wezwania do zapłaty kary umownej.	11.All contractual penalties provided for in this contract shall be payable to the bank account of the Ordering Party within 7 (seven) days from the delivery of the call for payment of contractual penalty to the Contractor.
12. W przypadku, gdy wysokość poniesionej szkody przewyższa wysokość kar zastrzeżonych w umowie Zamawiający może żądać odszkodowania uzupełniającego na zasadach ogólnych, do pełnej wysokości poniesionej szkody.	12.If the value of incurred damage exceeds the amount of penalties provided for in the contract, the Ordering Party may demand supplementary damages in line with general principles up to the full value of incurred damage.
13. Odstąpienie od niniejszej Umowy nie wpłynie na prawo Zamawiającego do żądania zapłaty kar umownych wynikających z niniejszej Umowy.	13.Withdrawal from this Contract will not impact the right of the Ordering Party to claim contractual penalties arising out of this Contract.
§8 Postanowienia końcowe	§8 Final provisions
1. W zakresie nieuregulowanym w Umowie zastosowanie znajdują Ogólne Warunki Zakupu Grupy DB Cargo Polska („Ogólne Warunki Zakupu”) dostępne pod adresem internetowym: xxxxx://xxxxxxxxxxxx.xxxxxxxxxxxx.xxx/xxxxxxxxxx ecin-pl/O_firmie/Przetargi/Przetargi.html	1. To the extent not regulated in the Contract the General Conditions of Purchase of the Group DB Cargo Poland ("General Conditions of Purchase") shall apply, available at the website : xxxxx://xxxxxxxxxxxx.xxxxxxxxxxxx.xxx/xxxxxxxxx zecin-pl/O_firmie/Przetargi/Przetargi.html
Wykonawca potwierdza, iż zapoznał się z Ogólnymi Warunkami Zakupu i akceptuje ich treść w całości. Ogólne Warunki Zakupu stanowią integralną część Umowy.	The Contractor confirms that he acquainted himself with the General Conditions of Purchase and accept them in their entirety. The General Conditions of Purchase constitute an integral part of the Contract.
2. W przypadku powstania sporu na tle realizacji niniejszej Umowy Strony zgodnie oświadczają, że poddają się rozstrzygnięciu sądu właściwego dla siedziby Zamawiającego. Prawem właściwym dla niniejszej umowy będzie prawo polskie z wyłączeniem Konwencji ONZ o Umowach Międzynarodowej Sprzedaży Towarów (CISG).	2. In case of any dispute in relation to the execution of this Contract, the Parties unanimously represent that they shall subject the settlement of dispute to the court appropriate for the registered office of the Ordering Party. The law applicable to this contract shall be Polish law with exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG).
3. Przelew jakichkolwiek praw i obowiązków z niniejszej umowy wymaga uprzedniej zgody Zamawiającego wyrażonej w formie pisemnej pod rygorem nieważności.	3. The transfer of any rights and obligations arising from this Contract shall require the prior consent of the Ordering Party which shall be made in writing on pain of invalidity.
4. Wszelkie doręczenia związane z niniejszą Umową będą dokonywane na adresy wskazane w nagłówku Umowy. Xxxx Xxxxxx jest zobowiązana do niezwłocznego zawiadomienia na piśmie drugiej Strony o zmianie swojego adresu – pod rygorem uznania za skuteczne doręczeń na dotychczasowy adres.	4. All correspondence related to this Contract shall be delivered to the addresses first written above. A given Party shall be obliged to immediately notify the other Party in writing about any changes in its address. Otherwise, the deliveries to the previously known address shall be considered as effective.
5. Wykonawca zobowiązuje się do zachowania poufności (to jest do nieujawniania jakichkolwiek informacji) odnośnie treści i sposobu wykonywania Umowy. Obowiązek zachowania poufności nie dotyczy sytuacji, w których ujawnienie danej informacji będzie wymagane przez bezwzględnie	5. The Contractor shall keep the contents and the method of execution of the Contract confidential (that is it shall not disclose any information related to such contents and method). The confidentiality obligation shall not apply to the situations when the disclosure of a given piece of

obowiązujące przepisy prawa. Zobowiązanie do zachowania poufności nie dotyczy upoważnionych osób, w szczególności, księgowych, doradców podatkowych i prawników jak również pracowników Stron - jeśli jest to konieczne w związku z zawarciem, realizacją i rozliczeniem Umowy, włącznie z dochodzeniem praw i zobowiązań z niej wynikających.	information is required by mandatory provisions of the law. The confidentiality obligation does not concern authorised persons, including accountants, tax consultants and lawyers and employees of the Parties – if this is required in connection with the conclusion, realisation and settlement of this Contract, including enforcement of rights and obligations ensuing there from.

The Contract with its appendices represents the entire understanding between the Parties. The Parties exclude the application of any of the Parties’ general terms and conditions of contracts.
8. Strony ustalają, że nie jest możliwa zmiana istotnych zmian postanowień niniejszej Umowy w stosunku do treści oferty, na podstawie której dokonano wyboru Wykonawcy.	8. The Parties agree that it shall not be possible to change any vital provisions of this Contract in relation to the contents of the bid on the basis of which the Contractor has been selected.
9. Zmiany Umowy wymagają, pod rygorem nieważności, zachowania formy pisemnej.	9. Any changes to the Contract must be made in writing under the pain of nullity.
10. Niniejsza Umowa została sporządzona w czterech egzemplarzach – dwóch egzemplarzach w języku polskim i dwóch egzemplarzach w języku angielskim. Każda Strona otrzymuje po jednym egzemplarzu polskiej i angielskiej wersji językowej. W przypadku jakichkolwiek rozbieżności między angielską i polską wersją językową wiążąca jest wersja polska.	10. This Contract has been drawn up in four copies – two copies in Polish and two copies in English. Each Party shall obtain one copy of Polish language version and English language version. In the event of any discrepancies between the English and Polish language version then the binding version shall be the Polish version.

Termin Xxxxxxx jest zastrzeżony na korzyść Zamawiającego. Strony zgodnie ustalają, iż w terminie 3 (trzech) Dni Roboczych przed dniem dostawy i rozładunku określonego w Lp. 1 "Harmonogramu Realizacji Przedmiotu Umowy" Wykonawca jest zobowiązany do powiadomienia Zamawiającego o dokładnej godzinie dostawy i rozładunku, która musi mieć miejsce w godzinach od 7:00 do 15:00. / The Delivery Date is set for the benefit of the Ordering Party. The Parties jointly agree that within 3 (three) Working Days before the planned date of delivery and unloading as stipulated in No. 1 of the Schedule of the Completion of the Subject of the Contract the Contractor is obliged to inform the Ordering Party of the exact time of such final final delivery und unloading, which must fall within from 7.00 to 15.00 hours.

§1 Subject of the Service Contract

The subject of this Service Contract is the provision of maintenance and repair services (hereinafter referred to as "SERVICES") with regard to:

§2 Term of the Service Contract

1. The Service Contract shall come into force upon signing the protocol of transfer of ownership and possession of the rough terrain crane, it means "Subject of the Contract" under the Contract No. […].

§3 Zobowiązania Użytkownika	§3 Obligations of the User
1. Użytkownik zobowiązuje się do informowania Serwisanta o zbliżających się przeglądach (czynności kontrolnych i obsługowych) wymaganych przez Producenta żurawia samojezdnego terenowego podanych w dokumentacji żurawia samojezdnego terenowego.	1. The User shall be obliged to inform the Service Provider about upcoming inspections (control and maintenance activities) required by the Manufacturer of the rough terrain crane, as specified in the documentation of the rough terrain crane.
2. Użytkownik zobowiązuje się do zgłaszania wszelkich usterek i awarii, jak również potrzeb w zakresie wymaganych przez Producenta przeglądów i konserwacji żurawia samojezdnego terenowego oraz części zamiennych bezpośrednio do Serwisanta.	2. The User shall be obliged to report all faults and failures, as well as needs concerning the Manufacturer required inspections and maintenance of the rough terrain crane and spare parts, directly to the Service Provider.
3. Zapotrzebowanie na przyjazd Serwisanta do Użytkownika (zgłoszenie serwisowe) winno być przesłane drogą elektroniczną (e-mail) w formie zlecenia. Dopuszcza się przyjęcie zgłoszenia telefonicznego, jednakże wymaga ono potwierdzenia w formie e-mail w ciągu 24 (dwadzieścia cztery) godziny od zgłoszenia telefonicznego. Wykaz kontaktów zgłoszeniowych do serwisu stanowi Załącznik nr 1 do Umowy Serwisowej.	3. The request for the Service Provider to come to the User (service notice) should be sent by electronic means (e-mail) in the form of an order. It is permitted to accept the notice made over the phone, but it needs to be confirmed in the form of an e-mail within 24 (twenty four) hours from the notice made over the phone. The contact list for the purposes of such service notices shall be enclosed as Appendix No. 1 do this Service Contract.
4. Użytkownik może wydelegować grupę konserwatorów DB Port Szczecin asystujących w okresie obowiązywania Umowy Serwisowej przy usuwaniu awarii oraz dokonywaniu przeglądów okresowych, którzy po tym okresie będą mogli wykonywać te czynności samodzielnie.	4. The User may appoint a group of maintenance workers of DB Port Szczecin to assist at the failure removal and periodic inspections during the term of the Service Contract, so that, after this term, they shall be able to perform those activities individually.
§4 Zobowiązania Serwisanta	§4 Obligations of the Service Provider

Serwisant jest zobowiązany do wykonywania Usług serwisowych wymienionych w § 1 i odpłatnych napraw w sposób zgodny z gwarancją producencką i nie prowadzący do utraty uprawnień z tej gwarancji, co oznacza, iż Serwisant zobowiązuje się przez cały okres niniejszej Umowy Serwisowej do posiadania odpowiednich uprawnień nadanych mu przez Producenta do serwisowania urządzeń na zasadach przewidzianych w gwarancji producenckiej albo do posługiwania się takim uprawnionym podmiotem przy wykonywaniu niniejszej Umowy Serwisowej. Serwisant	1. The Service Provider is required to carry out Services referred to in § 1 of this Service Contract and paid repairs in a manner consistent with the guarantee of the Manufacturer and not leading to the loss of entitlement from this guarantee, which means that the Service Provider undertakes, for the entire duration of this Service Contract, to have adequate authorisations granted by the Manufacturer to perform the maintenance services on terms laid down by the guarantee of the Manufacturer or to use such authorised third party during the implementation of this

2.1. nieodpłatnym wykonywaniu przeglądów okresowych zgodnie z dokumentacją żurawia samojezdnego terenowego i wymaganiami Producenta żurawia samojezdnego terenowego, 2.2. nieodpłatnym przygotowywaniu urządzenia do przeglądów wymaganych przez T.D.T.; 2.3. nieodpłatnym wykonywaniu napraw usterek zgłoszonych przez Użytkownika, 2.4. nieodpłatnym przeprowadzaniu modyfikacji i uaktualnień zleconych przez Producenta żurawia samojezdnego terenowego.	2.1. free-of-charge completion of periodic inspections in accordance with the documentation of the rough terrain crane and the requirements of the Manufacturer of the rough terrain crane, 2.2. free-of-charge preparation of the device for inspections required by T.D.T., 2.3. free-of-charge repairs of faults reported by the User, 2.4. free-of-charge modifications and updates ordered by the Manufacturer of the rough terrain crane.
. W przypadku Usług serwisowych (nieodpłatnych napraw, przeglądów i modyfikacji) Serwisant ponosi wszelkie koszty, tym w szczególności koszty materiałów eksploatacyjnych, smarów, części itp.	3. In case of Services (free-of-charge repairs, inspections and modifications), the Service Provider shall bear all the costs, including particularly the costs of consumables, lubricants, parts, etc.

Serwisant zobowiązuje się do wykonywania przeglądów zgodnie z dokumentacją żurawia samojezdnego terenowego, przy czym dany przegląd Serwisant zobowiązany jest zakończyć się w czasie nie dłuższym niż 3 (trzy) Dni Robocze liczone od następnego Dnia Roboczego po otrzymaniu zgłoszenia od Użytkownika.	4. The Service Provider shall conduct inspections in accordance with the documentation of the rough terrain crane, and the Service Provider shall complete a given inspection within up to 3 (three) Working Days, starting from the next Working Day after receiving the notice from the User.

Serwisant zobowiązuje się do przygotowywania żurawia samojezdnego terenowego do przeglądów wymaganych przez T.D.T., przy czym dane przygotowanie do przeglądu Serwisant zobowiązany jest zakończyć się w czasie nie dłuższym niż 3 (trzy) Dni Robocze liczone od następnego dnia roboczego po otrzymaniu zgłoszenia od Użytkownika.	5. The Service Provider shall prepare the rough terrain crane for inspections required by T.D.T., and the Service Provider shall complete a given preparation within up to 3 (three) Working Days, starting from the next Working Day after receiving the notice from the User.
. Serwisant zobowiązuje się do przystąpienia do naprawy w czasie nie dłuższym niż 24 (dwadzieścia cztery) godziny od otrzymania zgłoszenia wad (usterek, awarii itp.) od Użytkownika. Dotyczy to zarówno napraw nieodpłatnych jak i napraw odpłatnych.	6. The Service Provider shall start the repair within up to 24 (twenty four) hours from receiving the notice of defects (faults, failures, etc.) from the User. This applies both to repair free of charge and paid repairs.

Serwisant zobowiązuje się do wykonania naprawy (odpłatnej bądź nieodpłatnej) w czasie nie dłuższym niż 3 (trzy) Dni Robocze liczone od następnego dnia po otrzymaniu zgłoszenia od Użytkownika, z wyjątkiem elementów wymienionych w Załączniku nr 4 do Umowy nr […].	7. The Service Provider shall complete the repair (paid or unpaid) within up to 3 (three) Working Days, starting from the next day after receiving the notice from the User, subject to the components listed in the Appendix no. 4 to this Contract no. §5 Rękojmia	§5 Warranty
1. Serwisant udziela rękojmi i zapewnia, że do Usług Serwisowych i odpłatnych napraw wykonywanych przez Serwisanta będą wykorzystywane oryginalne i fabrycznie nowe części zamienne.	1. The Service Provider warrants that, for the purposes of Services and paid repairs performed by the Service Provider, it shall use original and factory-new spare parts.
2. W przypadkach pilnych zgłoszeń awaryjnych dopuszcza się stosowanie części zamiennych pochodzących spoza Magazynu Części Zamiennych Producenta żurawia samojezdnego terenowego, jednakże za wiedzą i akceptacją Użytkownika.	2. In case of urgent emergency notices, it is permitted to use spare parts from outside of the Spare Parts Warehouse of the Manufacturer of the rough terrain crane, but this must be known to and approved by the User.
3. Serwisant udziela rękojmi i zapewnia, fachowość, terminowość, punktualność i prawidłowość wykonanej przez siebie Usługi Serwisowej oraz odpłatnych napraw.	3. The Service Provider warrants the professionalism, timeliness, punctuality and correctness of Services and paid repairs performed by it.
4. Serwisant na dokonane Usługi Serwisowe i odpłatne naprawy, w tym wymienione lub naprawione podzespoły w okresie obowiązywania Umowy Serwisowej udziela rękojmi na okres 12 (dwunastu) miesięcy lub 2000 motogodzin. Okres rękojmi rozpoczyna się w dniu zakończenia Usługi Serwisowe bądź odpłatnej naprawy tj. po podpisaniu przez obie Strony protokołu zakończenia Usługi Serwisowe bądź odpłatnej naprawy.	4. The Service Provider shall grant the warranty of 12 (twelve) months or 2000 hours of operation for the completed Services and paid repairs, including the sub- assemblies replaced or repaired during the term of the Service Contract. The warranty period starts on the day of completion of the Service, that is after signing the Service or paid repair completion report by both Parties.
§6 Wynagrodzenie Serwisanta	§6 Remuneration of the Service Provider

Wynagrodzenie za naprawy żurawia samojezdnego terenowego, zlecone przez Użytkownika jako odpłatne, a wykonane przez Serwisanta, jak również za części zamienne i materiały eksploatacyjne wykorzystane do przeprowadzenia tych napraw, płatne będzie przez Użytkownika na podstawie faktury VAT z terminem płatności 30 dni prawidłowo wystawionej i doręczonej po wykonaniu usługi.. W wypadku nieprawidłowego wystawienia faktury, korekty faktury wystawionej przez Wykonawcę, termin płatności będzie liczony ponownie od daty przekazania skorygowanej faktury.	1. Remuneration for all repairs of the rough terrain crane, ordered by the User as paid repairs and completed by the Service Provider, as well as spare parts and consumables used to complete such repairs, shall be paid on the basis of VAT invoice with payment period of 30 days duly issued and delivered after the completion of services. In an case of improve or correct the invoice issued by the Contractor, the date of payment shall run again from the date of notification of a revised or corrected invoice.

2.3. Materiały eksploatacyjne typu smary i oleje według aktualnego cennika,

2.4. Usługi obce refakturowane przez Serwisanta - bez dodatkowych kosztów wynikających z tego refakturowania.

2.1. Work rates according to the Price List of Services (Appendix No. 2),

2.2. Spare parts according to the individual trade offers that must be accepted earlier by the User,

2.3. Consumables, such as lubricants and oils, according to the current price list,

2.4. External services recharged by the Service Provider – without any additional costs arising from such recharging.

§7

Odpowiedzialność Serwisanta

§ 7

Responsibility of the Service Provider

. Serwisant nie ponosi odpowiedzialności za skutki napraw i prac obsługowo- konserwacyjnych nie wykonanych przez siebie lub przez podmiot, którym się posługuje, lub wykonanych przez osoby nieuprawnione.

. Serwisant nie ponosi odpowiedzialności za szkody powstałe w wyniku użytkowania żurawia samojezdnego terenowego niezgodnie z przeznaczeniem lub niezgodnie z instrukcjami eksploatacyjnymi i obsługowo-naprawczymi.

1. The Service Provider is not liable for the effects of repairs and service and maintenance work which is not performed by the Service Provider or by the third party used by the Service Provider, or have been performed by unauthorised persons.

2. The Service Provider is not liable for any damage arising from the use of the rough terrain crane in violation of its intended use or maintenance and repair manuals.

W zakresie, w jakim nie znajdą zastosowania kary umowne określone w § 7 Umowy (załącznik nr 6 do SIWZ), w okresie trwania Umowy Użytkownik ma prawo obciążyć Serwisanta – po upływie 3 Dni Roboczych przestoju żurawia samojezdnego terenowego, liczonych od następnego dnia po dniu zgłoszenia awarii, karą umowną w wysokości 2 500 (dwa tysiące pięćset) zł za każdy następny dzień przestoju tego żurawia samojezdnego terenowego. Niniejsza kara umowna nie dotyczy przestoju spowodowanego awariami elementów wymienionych w Załączniku nr 4 do Umowy nr […].

3. In so far as the contractual penalties indicated in § 7 of the Contract (Appendix No. 6 to ToR) do not apply, during the term of the Service Contract, after the lapse of 3 Working Days of rough terrain crane downtime, the User has the right to charge the Service Provider with contractual penalty in the amount of PLN 2 500 (two thousand five hundred) for every subsequent day of this rough terrain crane downtime. This contractual penalty shall not apply to downtime of the components listed in the Appendix No. 4 to Contract No. […].

W okresie obowiązywania Umowy Serwisowej Użytkownik ma prawo obciążyć Serwisanta – po upływie czasów trwania (odpłatnych bądź nieodpłatnych) napraw elementów wymienionych w Załączniku nr 4 do Umowy nr […], liczonych od następnego dnia roboczego po dniu zgłoszenia awarii, karą umowną w wysokości 2 500 (dwa tysiące pięćset) zł za każdy następny dzień przestoju tego żurawia samojezdnego terenowego.

During the term of the Service Contract, after the lapse of terms of completion of (unpaid or paid) repairs of elements listed in the Appendix No. 4 to this Contract No. […], starting from the next Working Day after the date of reporting the failure, the User has the right to charge the Service Provider with contractual penalty in the amount of PLN 2 500 (two thousand five hundred) for every subsequent day of the this rough terrain crane downtime.

. Wszystkie kary umowne wskazane w niniejszej Umowie Serwisowej będą płatne na rachunek bankowy Użytkownika w terminie 7 (siedmiu) dni od dnia doręczenia Serwisantowi wezwania do zapłaty kary umownej.

5. All contractual penalties provided for in this Service Contract shall be payable to the bank account of the User within 7 (seven) days from the delivery of the call for payment of contractual penalty to the Service

Provider.

W przypadku, gdy wysokość poniesionej szkody przewyższa wysokość kar zastrzeżonych w niniejszej Umowie Serwisowej Użytkownik może żądać odszkodowania uzupełniającego na zasadach ogólnych, do pełnej wysokości poniesionej szkody.	6. If the value of incurred damage exceeds the amount of penalties provided for in this Service Contract, the User may demand supplementary damages in line with general principles up to the full value of incurred damage.
§8 Postanowienia końcowe	§8 Final provisions
1. The General Conditions of Purchase constitute an integral part of the Service Contract.

. Umowa Serwisowa została sporządzona w czterech egzemplarzach – dwóch egzemplarzach w języku polskim i dwóch egzemplarzach w języku angielskim. Każda Strona otrzymuje po jednym egzemplarzu polskiej i angielskiej wersji językowej. W przypadku jakichkolwiek rozbieżności między angielską i polską wersją językową wiążąca jest wersja polska.	3. This Service Contract has been drawn up in four copies – two copies in Polish and two copies in English. Each Party shall obtain one copy of Polish language version and English language version. In the event of any discrepancies between the English and Polish language version then the binding version shall be the Polish version.
. Wszelkie zmiany postanowień niniejszej Umowy Serwisowej wymagają dla swej ważności formy pisemnej.	4. All changes to this Service Contract shall be null and void, unless made in writing.
. Wszelkie doręczenia związane z niniejszą Umową Serwisową będą dokonywane na adresy wskazane w nagłówku umowy. Xxxx Xxxxxx jest zobowiązana do niezwłocznego zawiadomienia na piśmie drugiej Strony o zmianie swojego adresu – pod rygorem uznania za skuteczne doręczeń na dotychczasowy adres.	5. All correspondence related to this Service Contract shall be delivered to the addresses first written above. A given Party shall be obliged to immediately notify the other Party in writing about any changes in its address. Otherwise, the deliveries to the previously known address shall be considered as effective.
. Serwisant może powierzyć częściowe wykonanie Umowy Serwisowej podwykonawcy lub podwykonawcom wyłącznie za uprzednią zgodą Użytkownika wyrażoną w formie pisemnej pod rygorem nieważności. W takim przypadku odpowiada on za działania lub zaniechania takiego podwykonawcy lub takich podwykonawców jak za własne działania lub zaniechania.	6. The Service Provider can entrust the partial performance of the SERVICES to a sub-contractor or sub-contractors only with the prior consent of the User which shall be made in writing under pain of invalidity. In such case the Service Provider is responsible for the activity or inactivity of such sub- contractor or sub-contractors as if they were his own activity or inactivity.

. Przelew jakichkolwiek praw i obowiązków z niniejszej Umowy Serwisowej wymaga uprzedniej zgody Użytkownika wyrażonej w formie pisemnej pod rygorem nieważności.	7. The transfer of any rights and obligations arising from this Service Contract shall require the prior consent of the User which shall be made in writing on pain of invalidity.
. Serwisant zobowiązuje się do zachowania poufności (to jest do nieujawniania jakichkolwiek informacji) odnośnie treści i sposobu wykonywania Umowy Serwisowej. Obowiązek zachowania poufności nie dotyczy sytuacji, w których ujawnienie danej informacji będzie wymagane przez bezwzględnie obowiązujące przepisy prawa. Zobowiązanie do zachowania poufności nie dotyczy upoważnionych osób, w szczególności, księgowych, doradców podatkowych i prawników jak również pracowników Stron - jeśli jest to konieczne w związku z zawarciem, realizacją i rozliczeniem Umowy Serwisowej, włącznie z dochodzeniem praw i zobowiązań z niej wynikających.	8. The Service Provider shall keep the contents and the method of execution of the Service Contract confidential (that is it shall not disclose any information related to such contents and method). The confidentiality obligation shall not apply to the situations when the disclosure of a given piece of information is required by mandatory provisions of the law. The confidentiality obligation does not concern authorised persons, including accountants, tax consultants and lawyers and employees of the Parties – if this is required in connection with the conclusion, realisation and settlement of this Contract, including enforcement of rights and obligations ensuing there from.
. W sprawach nieuregulowanych niniejszą Umową Serwisową stosuje się przepisy prawa polskiego.	9. For matters not provided for in this Service Contract the provisions of the Polish Law shall apply.

§1 Subject of the Contract

1. The Contractor represents and warrants that :

1.1. he has the legal title to […] hereinafter referred to as the "Subject of the Contract", on the basis of which is entitled to assume obligations set forth in this Lease Contract;

1.2. the Subject of the Contract meets technical parameters specified in the Terms of Reference;

1.3. the Subject of the Contract is of a proper construction and quality, complete, properly manufactured from proper materials, in compliance with standards and principles of technical knowledge and designated for the use set out in the ToR.

2. The Contractor gives the Subject of the Contract to the Ordering Party for use within the timeframes specified in this Lease Contract.

. Rozpoczęcie okresu najmu i przekazanie Przedmiotu Umowy przez Wykonawcę na rzecz Zamawiającego nastąpi w Szczecinie przy ul. Bytomskiej 14 (na terenie Bazy Sprzętu Łasztownia DB Port Szczecin) na podstawie pisemnego protokołu przekazania Przedmiotu Umowy podpisanego przez obie Strony. Protokół przekazania Przedmiotu Umowy Strony podpiszą po łącznym spełnieniu następujących warunków: 3. 1 rejestracja Przedmiotu Umowy przez Transportowy Dozór Techniczny dokonana przez Wykonawcę (jako pełnomocnika Zamawiającego) na koszt i ryzyko Wykonawcy, oraz 3. 2 podpisanie przez obie Strony bezusterkowego protokołu odbioru końcowego Przedmiotu Umowy.	3. The commencing of the lease period as well as the transferring of the Subject of the contract by the Contractor to the Ordering party shall take place in Szczecin, at Xxxxxxxx 00 (on the DB Port Szczecin Łasztownia Equipment Base’s area) on the basis of a written handing over protocol of the Subject of the Contract’s signed by the both Parties. The protocol of the Subject of Contract’s handing over shall be signed by the Parties after the following conditions are met: 3. 1 registration of the Subject of the Contract by the Transport Technical Supervision conducted by the Ordering party and at the cost of the Contractor, and 3. 2 both Parties’ signing the faultless commissioning protocol and acceptance of the Subject of the Contract.

Do momentu podpisania protokołu przekazania Przedmiotu Umowy Wykonawca ponosi całkowitą i wyłączną odpowiedzialność za Przedmiot Umowy, w szczególności Wykonawca jest zobowiązany do ubezpieczenia Przedmiotu Umowy.	4. Until the moment of the signing the protocol of the Subject of the Contract’s handing over, the Contractor shall bear full and exclusive liability for the Subject of the Contract; in particular the Contractor shall be obliged to insure the Subject of the Contract.

Zamawiający zobowiązuje się do odebrania Przedmiotu Umowy pod warunkiem, iż będzie on zgodny z Umową najmu, w przeciwnym wypadku Zamawiający pozostaje uprawniony do odmowy odbioru Przedmiotu Umowy i podpisania protokołu przekazania do czasu przywrócenia Przedmiotu Umowy do stanu zgodności z Umową.	5. The Ordering Party undertakes to take over the Subject of the Contract provided that it will be in accordance with the Lease Contract, otherwise the Ordering Party shall be entitled to refuse the acceptance of the Subject of the Contract and signing protocol of the Subject of Contract’s handing over until it will brought into conformity with the Contract .
§2 Czynsz najmu i warunki płatności	§2 The rent for the lease and payment terms
. Czynsz płatny Wykonawcy za najem Przedmiotu Umowy [dalej: „Czynsz Najmu”] wynosi: netto: […] PLN (słownie netto: […] PLN) + VAT: […] PLN (słownie VAT: […] PLN), to jest brutto: […] PLN (słownie brutto: […] PLN) zgodnie z złożoną ofertą.	1. The rent for the lease to be paid for the Contractor for the Subject of the Contract referred to in §1 of the Contract [hereinafter referred to the "Rent"] amounts to: PLN […] net (in words: PLN […]) + VAT: PLN […] (in words: PLN […]), that is: PLN […] gross (in words: PLN […]), in compliance with the bid.
. Czynsz najmu będzie płatny na podstawie Faktury VAT z 30 (trzydziesto) dniowym terminem płatności. Wykonawca jest uprawniony do wystawienia faktury po dostawie Przedmiotu Umowy w ramach Umowy Nr [...] (dochowania Terminu Dostawy w rozumieniu Umowy Nr [...]). Termin płatności uważa się za zachowany, jeżeli obciążenie rachunku bankowego Zamawiającego nastąpi najpóźniej w ostatnim dniu płatności.	2. The Rent shall be paid on the basis of an invoice with payment period of 30 (thirty) days. The Contractor shall be entitle to issue the invoice after delivery of the Subject of the Contract under Contract No [...] (meeting Delivery Date within the meaning of the Contract No [...]). The deadline for payment is considered as observed, if the debit of the Ordering Party’s bank account will take place at the latest on the last day for payment.
. Czynsz najmu brutto za Przedmiot Umowy wskazany w ust. 1 powyżej ma charakter	3. The Rent for the lease of the Subject of the Contract is a lump sum, represents entire

ryczałtowy, stanowi całkowite wynagrodzenie Wykonawcy z tytułu wykonania Umowy przez cały okres wskazany w § 3 Umowy najmu i obejmuje wszelkie koszty związane z dostawą Przedmiotu Umowy oraz podatki, opłaty, cła, świadczenia o charakterze publiczno-prawnym itp. W przypadku konieczności zapłacenia któregokolwiek z takich świadczeń przez Zamawiającego, Wykonawca zobowiązuje się do jego zwrotu na rachunek bankowy Zamawiającego w terminie 7 (siedmiu) dni od doręczenia żądania Zamawiającego. Ponadto Wykonawca wyraża zgodę na potrącenie przedmiotowych świadczeń z Czynszu Najmu.	remuneration of the Contractor for the fulfilment of this Contract thorough the whole period set forth in § 3 of the Lease Contract and includes all taxes, fees, customs and costs of public and law character, etc. In case of the necessity to pay any of such costs by the Ordering Party, the Contractor undertakes to reimburse it to the bank account of the Ordering Party within 7 (seven) days since the delivery of the Ordering Party’s demand. Additionally, the Contractor gives its consent for the deduction of such costs from the Rent for Subject of the Contract.
. Czynsz Najmu nie podlega podwyższeniu ani waloryzacji, z wyjątkiem sytuacji, gdy zmianie uległa stawka podatku VAT.	4. The Rent shall not be increased or valorised, except for the situation when the VAT rate is changed.
. W przypadku skrócenia okresu najmu wskazanego w 3 ust. 2 Umowy, bez względu na przyczynę, Czynsz ulegnie proporcjonalnej redukcji.	5. In case of shortening of the lease period set out in 3 section 2 the Lease Contract, irrespective of cause, the Rent shall be proportionally reduced.
§3 Czas trwania i rozwiązanie Umowy najmu	§3 The lifetime and termination of the Lease Contract

. Najem Przedmiotu Umowy trwać będzie od dnia […] (dwa tygodnie liczone od daty podpisania Umowy Nr [...]). Rozpoczęcie najmu, dla swej skuteczności, zostanie potwierdzone podpisaniem przez Xxxxxx protokołu przekazania Przedmiotu Umowy. Najem przedmiotu Umowy trwać będzie do dnia […] (Termin Dostawy w rozumieniu Umowy Nr [...]), z zastrzeżeniem ust. 3, poniżej.	2. Commencement of the lease, to become effective, shall be confirmed by the Parties by signing the protocol of the Subject of Contract’s handing over. W przypadku niedotrzymania przez Wykonawcę Terminu Dostawy w ramach Umowy Nr [...], bez względu na przyczynę, niniejsza Umowa najmu wraz z okresem najmu ulegnie automatycznemu przedłużeniu do czasu dostawy Przedmiotu Umowy (dochowania Terminu Dostawy w rozumieniu Umowy Nr [...]). W takiej sytuacji, Zamawiający nie będzie obowiązany do zapłaty dodatkowego czynszu za dodatkowy okres.	3. In case of a failure of the Contractor to comply with the Delivery Date under Contract No [...], irrespective of cause, this Lease Contract along with the lease period shall be extended automatically until the delivery of the Subject of the Contract [meeting the Delivery Date under Contract No [...]). In such case, the Ordering Party shall not be obliged to pay to the Contractor any additional Rent for such additional period.
. Wszelkie koszty związane z przekazaniem i odbiorem Przedmiotu Umowy ponosi Wykonawca. Przekazanie i odbiór Przedmiotu Umowy zostanie potwierdzony w drodze podpisania przez obie Strony protokołu.	4. All the costs related to the handing over of the Subject of the Contract and its return shall be borne by the Contractor. Handing over of the Subject of the Contract and its return shall be confirmed by the way of signing the written protocol.
. Z zastrzeżeniem odrębnych postanowień zawartych w Umowie najmu, Umowa najmu może być rozwiązana wyłącznie za porozumieniem Stron.	5. Save as otherwise provided for in the Lease Contract, the Lease Contract may be terminated exclusively by agreement of the Parties.

Zamawiający może rozwiązać Umowę najmu bez wypowiedzenia poprzez doręczenie Wykonawcy pisemnego oświadczenia o rozwiązaniu Umowy najmu w przypadku gdy: 6.1. opóźnienie Wykonawcy w usuwaniu wad (usterek, awarii itp.) Przedmiotu Umowy przekroczy 5 (pięć) dni roboczych, 6.2. opóźnienie w dostawie żurawia zastępczego wyniesie 5 (pięć) dni roboczych.	6. The Ordering Party may terminate the Lease Contract without termination notice in the form of furnishing the Contractor with a written declaration on the termination of the Lease Contract in case when: 6.1. the Contractor’s delay in removing defects (faults, breakdowns, etc.) from the Subject of the Contract exceeds 5 (five) working days 6.2. the Contractor`s delay in providing a replacement crane exceeds 5 (five) working days.
. Umowa najmu ulega automatycznemu rozwiązaniu w przypadku ustania ważności Umowy nr [...], bez względu na podstawę prawną.	7. The Lease Contract shall be automatically terminated in case the Contract No [...] ceases to exist, for any legal reason whatsoever.
§ 4 Dokumentacja techniczna	§ 4 Technical documentation
. Do Przedmiotu Umowy Wykonawca dołączy następującą dokumentację (kopie papierowe: 3 egzemplarze w języku polskim; wersja elektroniczna: format PDF):	1. The Contractor shall submit with the Subject of the Contract the following documentation (paper copies: 3 copies in Polish; electronic PDF version):
1.1. Opis techniczny, 1.2. Rysunek zestawieniowy, 1.3. Instrukcja obsługi dla operatora, 1.4. Instrukcja konserwacji.	1.1. Technical description, 1.2. Assembly drawing, 1.3. The operator`s manual, 1.4. The maintenance manual.
. Dokumentacja techniczna jest integralną częścią Przedmiotu Umowy i stanowi Załącznik nr 1 do Umowy najmu. Dokumentacja techniczna zostanie dostarczona przez Wykonawcę w terminie […] dni od daty podpisania Umowy najmu.	2. Technical documentation is the integral part of the Subject of the Contract and constitutes Appendix No 1 to the Lease Contract. Technical documentation shall be provided by the Contractor within […] counted from the date of signing the Lease Contract.
§5 Obowiązek utrzymania sprawności Przedmiotu Umowy	§5 The obligation to maintain the Subject of the Contract’s efficiency
. Z zastrzeżeniem ust. 4 poniżej, Wykonawca jest zobowiązany przez cały czas trwania najmu do zapewnienia własnym staraniem i na własny koszt pełniej sprawności i funkcjonalności Przedmiotu Umowy.	1. Subject to item 4, below, the Contractor shall be obliged within the lifetime of the lease to ensure, at its own cost and effort, a full efficiency and functionality of the Subject of the Contract.
. Wykonawca zobowiązany jest do wykonywania okresowych przeglądów Przedmiotu Najmu u Wynajmującego, wynikających z Instrukcji konserwacji stanowiącej Załącznik nr 1 do Umowy najmu.	2. The Contractor is obliged to conduct periodical inspections of the Subject of the Contract at the seat of the Ordering Party, which are required by the maintenance manual constituting Appendix No 1 do the Lease Contract.
. W okresie trwania najmu usuwanie wad (usterek, awarii itp.) Przedmiotu Umowy wykonywane będzie nieodpłatnie przez Wykonawcę w siedzibie Zamawiającego.	3. Removing of the Subject of the Contract’s defects (faults, breakdowns, etc.) within the lifetime of the lease shall be conducted free of charge by the contractor’s service team in the seat of the Ordering Party.

In case where it is not possible to repair the Subject of the Contract within 24 (twenty four) hours from the report`s receipt, the Ordering Party shall be entitled to deduct from the Rent payable for the lease an amount corresponding to a daily Rent for each commenced day counted from the day following the day in which 24 (twenty four) hours elapsed since the need of repair has been reported until the day in which the Subject of the Contract will be in operational condition in compliance with the Lease Contract.

Jeżeli Wykonawca nie zakończy naprawy Przedmiotu Umowy w terminie 5 (pięciu) dni roboczych od daty zgłoszenia, wraz z upływem tego terminu obowiązany jest dostarczyć Zamawiającemu zastępczy żuraw odpowiadający parametrom żurawia stanowiącego Przedmiotu Umowy.	6. If the Contractor fails to repair the Subject of the Contract within 5 (five) working days from the moment of report`s receiving, with the lapse of such term is oblige to provide to the Ordering Party a replacement crane with corresponding technical parameters to that crane which is the Subject of the Contract.

Repairs of the Subject of the Contract caused by its improper exploitation by the Ordering Party shall be carried out by the Contractor at costs of the Ordering Party whereas the Parties agree on the service rate of […] (…) PLN net for one working hour of the service technician and a lump-sum for journey of one service technician in the amount of […] (…) PLN net.
§6 Ubezpieczenie Przedmiotu Umowy	§6 The Subject of the Contract’s insurance
. Przez cały czas trwania najmu Wykonawca zobowiązany jest do ubezpieczenia Przedmiotu Umowy w zaakceptowanym przez Zamawiającego zakładzie ubezpieczeń.	1. Within the lifetime of the lease, the Contractor shall be obliged to keep the Subject of the Contract insured by an insuring company accepted by the Ordering Party.
. Wymagana jest ochrona ubezpieczeniowa w zakresie: 2.1. obowiązkowego ubezpieczenia OC komunikacyjnego, 2.2. ubezpieczenia majątkowego od zdarzeń losowych w pełnym zakresie (w tym od kradzieży).	2. The required insurance coverage refers to: 2.1. the mandatory liability insurance, 2.2. the full-scope property insurance against perils (including theft).
. Wykonawca ma obowiązek dokonać ubezpieczenia Przedmiotu Umowy od zdarzeń losowych dla sumy ubezpieczenia odpowiadającej wartości odtworzeniowej.	3. The Contractor is obligated to ensure the Subject of the Contract’s property insurance for the insurance value corresponding to the replacement value.
. Przed rozpoczęciem okresu najmu Wykonawca zobowiązany jest doręczyć Zamawiającemu kopie wszystkich polis i ogólnych warunków ubezpieczenia. Przed upływem okresu tego ubezpieczenia Wykonawca zobowiązany	4. Before the commencement of the lease period, the Contractor shall be obliged to furnish the Ordering Party with copies any and all insurance policies and general terms of insurance. Before the expiry of such insurance, the Contractor shall be obliged to provide

W przypadku niewykonania przez Wykonawcę obowiązków w zakresie ubezpieczenia Przedmiotu Umowy, Zamawiający może sam, ale na koszt Wykonawcy, ubezpieczyć Przedmiot Umowy, a poniesione koszty ubezpieczenia potrącić z Czynszu Najmu.	5. If the Contractor fails to insure the Subject of the Contract, the Ordering Party may insure it by itself, however at the cost of the Contractor. In such situation the Ordering Party may deduct incurred costs from the Rent for the lease.
§7 Kary umowne	§7 Contractual penalties
. W przypadku opóźnienia Wykonawcy w przekazaniu Przedmiotu Umowy (podpisania przez Strony protokołu przekazania Przedmiotu Umowy zgodnie z § 3 ust. 2 Umowy najmu), Wykonawca zapłaci Zamawiającemu za każdy dzień opóźnienia liczony od dnia wskazanego w § 3 ust. 2 Umowy najmu karę w wysokości odpowiadającej dziennej stawce Czynszu Najmu.	1. In case of the Contractor`s delay in handing-over of the Subject of the Contract (signing the protocol of the Subject of Contract’s handing over in accordance with § 3 section 2 of the Lease Contract), the Contractor shall pay to the Ordering Party for each day of delay counted from the date set forth in § 3 item 2 of the Lease Contract a contractual penalty in the amount of corresponding to the amount of a daily Rent for lease.

Jeżeli opóźnienie Wykonawcy w przekazaniu Przedmiotu Umowy (podpisania przez Xxxxxx protokołu przekazania Przedmiotu Umowy zgodnie z § 3 ust. 2 Umowy najmu) przekroczy 5 (pięć) dni roboczych, Zamawiający ma prawo odstąpić od Umowy najmu. W takim przypadku Zamawiający nie będzie zobowiązany zwrócić Wykonawcy żadnych kosztów, jakie Wykonawca poniósł w związku z Umową najmu.	2. In case of the Contractor’s delay in handing over of the Subject of the contract’s (signing the protocol of the Subject of Contract’s handing over in accordance with § 3 section 2 of the Lease Contract) exceeds 5 (five) days, the Ordering Party shall have the right to withdraw from the Lease Contract. In such a case the Ordering Party shall not be obliged to reimburse the Contractor for any costs incurred by the Contractor in relation to the Lease Contract.
. Prawo odstąpienia od Umowy najmu przysługiwać będzie Zamawiającemu w ciągu 30 (trzydziestu) dni od daty, w której opóźnienie w wykonaniu Przedmiotu Umowy przekroczy 5 (pięć) dni roboczych. Wykonanie tego prawa wymaga pod złożenia Wykonawcy pisemnego oświadczenia. W takim przypadku Zamawiający nie będzie zobowiązany zwrócić Wykonawcy żadnych kosztów ani naprawienia jakichkolwiek szkód, jakie Wykonawca poniósł w związku z Umową najmu.	3. The Ordering Party has the right to withdraw from the Lease Contract within 30 (thirty) days since the date, on which the delay in the subject of the Lease Contract’s execution exceeds 5 (five) days. In order to exercise this right, the Ordering Party shall submit to the Contractor’s written declaration. In such case the Ordering Party shall not be obliged to reimburse the Contractor with any costs or compensate for any damages incurred by the Contractor in relation to the Lease Contract.
. W przypadku odstąpienia od Umowy najmu Wykonawca zapłaci Zamawiającemu karę w wysokości 20 000 (dwadzieścia tysięcy) PLN netto.	4. In case of the withdrawing from the Lease Contract, the Contractor shall pay the Ordering Party a contractual penalty in the amount of 20 000 (twenty thousand) PLN net.

W przypadku niedostarczenia Zamawiającemu zastępczego żurawia w terminie wskazanym w § 5 ust. 6 Umowy najmu Zamawiający będzie uprawniony do odliczenia z Czynszu Najmu równowartości podwójnej dziennej stawki Czynszu Najmu za każdy nowo rozpoczęty dzień następujący po dniu, w którym upłynęło 7 (pięć) dni od zgłoszenia potrzeby naprawy do dnia dostarczenia zastępczego żurawia lub przywrócenia	5. In case where no replacement crane will be delivered to the Ordering Party within a period indicated in § 5 item. 6 of the Lease Contract, the Ordering Party shall be entitled to deduct from the Rent payable for the lease an amount corresponding to a daily rent multiplied by two for each commenced day counted from the day following the day in which 7 (seven) days elapsed since the need of repair has been reported until the

W przypadku, gdy wysokość poniesionej szkody przewyższa wysokość kar zastrzeżonych w Umowie najmu Zamawiający może żądać odszkodowania na zasadach ogólnych w wysokości odpowiadającej pełnej wysokości poniesionej szkody.	7. In case when the volume of the suffered damage exceeds the amount of penalties provided for in the Lease Contract, the Ordering Party may demand compensation according to the general rules, in the amount corresponding the full amount of the suffered damage.
§8 Korespondencja	§8 Communication
1. Wszelkie zawiadomienia, powiadomienia lub informacje przekazywane pomiędzy Stronami, w związku z wykonywaniem Umowy najmu, powinny być kierowane do poniżej wskazanych osób upoważnionych przez Strony :	1. All notices announcements, notifications or information conveyed between the Parties in connection with the performance of the Lease Contract shall be addressed to the following persons authorised by the Parties :
1) dla Zamawiającego : osoba: […], adres : […], numer telefonu : […], adres e-mail: […].	1) For the Ordering Party : person : […], address: […], telephone number: […], e-mail address: […].
2) dla Wykonawcy : osoba: […], adres : […], numer telefonu : […], adres e-mail: […].	2) For the Contractor : person : […], address: […], telephone number: […], e-mail address: […].
2. W przypadku zmiany danych korespondencyjnych wskazanych powyżej, Strona, której zmiana dotyczy jest obowiązana niezwłocznie poinformować drugą Stronę o tej zmianie. Do tego momentu, wszelką korespondencję przesłaną na dotychczasowy adres uznaje się za skutecznie doręczoną.	2. In the case of change of correspondence data, referred to above, the Party which the change concerns is obliged to immediately notify the other Party about such change. Until this time, all correspondence sent to the existing address is deemed to have been effective.
§9 Postanowienia końcowe	§9 Final provisions
1. W zakresie nieuregulowanym w Umowie najmu zastosowanie znajdują Ogólne Warunki Zakupu Grupy DB Cargo Polska („Ogólne Warunki Zakupu”) dostępne pod adresem internetowym: xxxxx://xxxxxxxxxxxx.xxxxxxxxxxxx.xxx/ dbportszczecinpl/O_firmie/Przetargi/Przetargi.html	1. To the extent not regulated in the Lease Contract the General Conditions of Purchase of the Group DB Cargo Poland ("General Conditions of Purchase") shall apply, available at the website: xxxxx://xxxxxxxxxxxx.xxxxxxxxxxxx.xxx/ dbportszczecin-pl/O_firmie/Przetargi/Przetargi.html
Wykonawca potwierdza, iż zapoznał się z Ogólnymi Warunkami Zakupu i akceptuje ich treść w całości. Ogólne Warunki Zakupu stanowią integralną część Umowy najmu.	The Contractor confirms that he acquainted himself with the General Conditions of Purchase and accept them in their entirety. The General Conditions of Purchase constitute an integral part of the Lease Contract.

2. W przypadku powstania sporu na tle realizacji Umowy najmu Xxxxxx zgodnie uzgadniają, że poddają sie rozstrzygnięciu sądu właściwego dla siedziby Zamawiającego. Prawem właściwym dla Umowy będzie prawo polskie.

3. Przelew jakichkolwiek praw i obowiązków z Umowy najmu wymaga zgody Zamawiającego wyrażonej w formie pisemnej pod rygorem nieważności.

4. Strony ustalają, że nie jest możliwa zmiana istotnych postanowień Umowy najmu w stosunku do treści oferty, na podstawie której dokonano wyboru Wykonawcy, chyba, że Zamawiający przewidział możliwość dokonania danej zmiany w specyfikacji istotnych warunków zamówienia.

5. Następujące załączniki stanowią integralną część Umowy najmu:

4.1 Specyfikacja Istotnych Warunków Zamówienia oraz oferta Wykonawcy wraz z załącznikami;

4.2 Protokół przekazania Przedmiotu Umowy;

4.3 Instrukcja obsługi i konserwacji;

4.4 Dokumentacja techniczna zgodna z § 4 Umowy najmu.

6. Wszelkie zmiany do Umowy najmu wymagają, pod rygorem nieważności, zachowania formy pisemnej.

7. Umowę najmu sporządzono w dwóch, dwujęzycznych egzemplarzach, w języku polskim i w języku angielskim, po jednym dla każdej Strony. W przypadku jakichkolwiek rozbieżności między angielską i polską wersją językową wiążąca jest wersja polska.

ZAMAWIAJĄCY WYKONAWCA

2. In case of any disputes concerning the implementation of this Lease Contract the Parties agree that any such disputed shall be settled by the common court appropriate for the seat of the Ordering Party. The law applicable to this Contract shall be Polish law.

3. The transfer of any rights and obligations stemming from this Lease Contract requires written consent of the Ordering Party under the pain of invalidity.

4. The Parties agree that it is not possible to introduce considerable amendments to the provisions of this Lease Contract in relation to the wording of the offer, on the basis of which the Contractor has been selected, unless the Ordering Party has anticipated the option of conducting a given amendment to the Terms of Reference.

5. Following appendices constitute an integral part of this Lease Contract :

4.1 Terms of Reference and Contractor`s bid with enclosures.;

4.2 Protocol of handing over of the Subject of Contract;

4.3 The operator`s and maintenance manual,

4.4 Technical documentation complying with § 4 of the Lease Contract.

6. Any changes to the Lease Contract require a written form under the pain of invalidity.

7. The Lease Contract has been drawn up in two identical, bilingual copies, in Polish and in English, one for each Party. In the event of any discrepancies between the English and Polish language version then the binding version shall be the Polish version.
