Ogólne Warunki Zakupu towarów i usług
§1.
Definicje
Dla potrzeb niniejszych Ogólnych Warunków Zakupu, następującym zwrotom, pisanym z dużej litery, przypisuje się następujące znaczenie:
1. OWZ – niniejsze ogólne warunki zakupu towarów i/lub usług, określające zasady zawierania i wykonania Umów sprzedaży Towarów, jak również wszelkich umów przedwstępnych, związanych z zawartą umową lub późniejszych umów.
OWZ mają zastosowanie i stają się integralną częścią wszelkich Umów zawieranych przez Kupującego, w szczególności Umów już zawartych w zakresie tymi umowami indywidualnie nie uregulowanym.
Powoływanie się na OWZ w jakichkolwiek Umowach pomiędzy Stronami nie jest wymagane dla ich włączenia do treści tych umów.
Zawarcie przez Strony Umowy stanowi potwierdzenie zapoznania się i akceptację przez Sprzedającego niniejszych OWZ i jednoczesne uchylenie warunków sprzedaży lub świadczenia usług obowiązujących u Sprzedającego, a pozostających w sprzeczności z OWZ i zastąpienie ich niniejszymi OWZ. Regulacja, o której mowa w zdaniu poprzedzającym znajduje zastosowanie również w sytuacji, w której Kupujący nie sprzeciwił się tym warunkom w sposób przewidziany przez Sprzedającego.
Wszelkie pozostałe warunki sprzedaży lub świadczenia usług obowiązujące u Sprzedającego są wiążące tylko w zakresie, w jakim nie są sprzeczne z niniejszymi OWZ lub jeżeli zostały indywidualnie uzgodnione przez Strony w formie pisemnej lub elektronicznej, pod rygorem nieważności. Niniejsze OWZ pozostaje w mocy tak długo, dopóki Kupujący nie zastąpi ich nowymi.
2. Sprzedający - osoba fizyczna, osoba prawna lub jednostka organizacyjna nieposiadająca osobowości prawnej, z którą Kupujący zawiera Umowę lub dokonuje jakichkolwiek innych czynności, które skutkują nabyciem Towaru Sprzedającego. Przez Sprzedającego rozumie się także dostawcę, dystrybutora, producenta itp.
3. Kupujący – „NT Industry” Sp. z o. o. z siedzibą w Orzeszu, xx. Xxxxxxxxx 0, wpisana do Rejestru przedsiębiorców prowadzonego przez Sąd Rejonowy Katowice-Wschód w Katowicach, VII Wydział Gospodarczy Krajowego Rejestru Sądowego pod numerem KRS: 0000151864, NIP: 6351669795, REGON: 278004809;
4. Towar lub Towary – produkty handlowe (materiały, urządzenia, części urządzeń, wyposażenie, maszyny, konstrukcje, części konstrukcji itp.) produkowane i/lub sprzedawane i/lub dostarczane przez Sprzedającego wraz z dokumentacją Techniczną
General Purchasing Terms for materials and services
§1.
Definitions
Within the meaning of the current General Purchasing Terms, the terms enumerated below, written with capital letter, have the following meanings and significations:
1. GPT - the following general terms of purchasing goods and/or providing services defining terms of concluding and fulfilling the Agreement of sales of Products, as well as to any preliminary agreements, related with conducted agreement or further agreements.
GPT shall apply to, and become integral part of any Agreements concluded by Buyer, especially all Agreements already concluded to the extent which is not individually specified in those Agreements.
Referring to GPT in any other Agreements between Parties is not required in order to incorporate them into the content of those agreements.
Concluding Agreement between the Parties also means confirmation and acceptance of following GPT, and simultaneously abolition of any general terms and condition of sale or provision of services which are effective in Seller’s order but stand in conflict with following GPT. Regulations referred to in the preceding sentence remain valid also if the Seller does not object to those terms in the manner as provided by Xxxxx.
Any other terms of sale or provision of services applicable in Seller’s order bind Parties only in the extent allowed hereunder or if Parties individually agree otherwise in written or e-mail form under pain of nullity. Following GPT remain valid unless Xxxxx replaces them with new ones.
2. Seller - natural person, legal person or organizational unit with no legal personality, with witch the Buyer conducted the Agreement or took any other action which resulted in purchasing Seller’s Product. The Seller is also understood to mean deliver, distributor, producer, etc.
3. Buyer - “NT INDUSTRY” Sp. z o. o. a company organized and existing under Polish law, with its registered office in Xxxxxxx, Xxxxxxxxx Xxxxxx 0 recorded into Register of Entrepreneurs of National Court Register by the District Court Katowice-Wschód in Katowice, VII Commercial Department of National Court Register under the number 0000151864, NIP: 6351669795, REGON: 278004809,
4. Product or Products - trade products (materials, devices, parts of devices, equipment, structures, constructions, parts of structures, etc.) produced and/or sold and/or delivered by the Seller together with Technical Documentation or/and servicer provided within the framework of the Agreement, as well as the
wraz z i/lub usługami w ramach Umowy, a także usługi świadczone na rzecz Kupującego; 5. Dni Robocze – dni od poniedziałku do piątku w godzinach od 8.00 do 15.00 z wyłączeniem dni ustawowo wolnych od pracy na podstawie powszechnie obowiązujących przepisów polskiego prawa; 6. Dokumentacja Techniczna – oznacza kompletne udokumentowanie techniczne Towaru przez producenta w języku polskim i angielskim, łącznie z certyfikatami Towaru, instrukcjami użytkowania, kalibracji, konserwacji, regulacji, listą części zapasowych i wyposażenia dodatkowego wraz z rysunkami technicznymi i wszelkimi innymi dokumentami wymaganymi przez powszechnie obowiązujące przepisy polskiego prawa, dostarczone przez Sprzedającego wraz z Towarem i załączone do Umowy i/lub Towaru. Wszelka dokumentacja dostarczona przez Sprzedającego, która odnosi się do ilości, paramentów technicznych czy szczególnych właściwości Towaru stanowi potwierdzenie istnienia tych cech i deklarację zgodności Towaru z nimi. 7. Cena – ilekroć w OWZ jest mowa o cenie, rozumie się przez to cenę Towaru, stanowiącą jedyne i wyłączne świadczenie Kupującego wobec Sprzedającego z tytułu Umowy. Cena – jeśli nic innego wyraźnie nie wynika z treści OWZ lub Umowy – stanowi cenę wszystkich Towarów objętych daną Umową, a nie cenę jednostkową poszczególnego artykułu/usługi objętych Umową. | services rendered for the Buyer. 5. Working Days - days from Monday to Friday from 8 a.m. to 3 p.m. except form statutory Polish holidays. 6. Technical Documentation - means complete producer’s technical documentation of the Product in Polish and English language, including Product’s certificates, instruction of usage, calibration, conservation, regulation, list of spare parts and optional equipment along with technical drawings and all other document demanded by polish applicable law, provided by the Seller along with the Product and attached to the Agreement and/or Product. All documents submitted by the Seller referring to the quality and technical parameters of the Product, especially its technical properties shall be treated as a confirmation of existence of those features and stands for a declaration of compliance of the Product with those features. 7. Price – whenever the GPT mentions price, it is understood to mean the price of Product, which constitutes sole and exclusive commitment of the Buyer to the Seller on account of the Agreement. Unless something else is derived directly from GPT or Agreement, the Price stands for the sum of all prices of the Products covered by the Agreement, not the singular unit price of each good/service contemplated by the Agreement. |
§ 2 Oferta 1. Kupujący może zwrócić się do Sprzedającego z zapytaniem ofertowym, na którego podstawie Sprzedający przygotowuje Ofertę. 2. Jeśli złożenie zamówienia poprzedza przygotowanie oferty przez Sprzedającego (dalej: Oferta), Oferta przygotowywana i przesyłana jest przez Sprzedającego nieodpłatnie. Kupujący nie będzie pokrywał Sprzedającemu jakichkolwiek wydatków poniesionych w związku z przygotowaniem Oferty, w tym wizyt, kosztów szacowania Oferty, stworzenia czy planowania dokumentów, przesyłki ani żadnych innych. 3. Oferta jest ważna przez okres w niej wskazany, od momentu jej faktycznego otrzymania przez Kupującego. Wpływ Oferty w dniu wolnym od pracy u Kupującego (tj. w innym niż Dzień Roboczy), oznacza, że termin związania Ofertą rozpoczyna bieg od najbliższego Dnia Xxxxxxxxx Kupującego. Chwila wysłania Zamówienia przez Kupującego (najpóźniej w dniu upływu terminu związania Ofertą), jest wystarczająca dla zachowania terminu wskazanego w Ofercie. Jeśli Xxxxxx nie wskazuje czasu swojego obowiązywania, uważa się, że Xxxxxx jest ważna nie krócej niż przez 30 dni od chwili, gdy Kupujący ją otrzymał. | § 2. The Offer 1. The Buyer may turn to the Seller with an offer inquiry. The Seller prepares the Offer on the basis of the offer inquiry. 2. If submitting an order by the Buyer is preceded by preparing an offer by the Seller (further: the Offer), the Offer prepared and send by the Seller is free-of- charge. The Buyer shall not reimburse the Seller any expenses incurred in connection with preparation of the Offer, including costs of: visits, estimating the Offer, creating or planning of documents, delivery or any other. 3. Offer is valid for a period pointed in it, since the Buyer actually receives it. Receiving the Offer beyond Buyer’s working day (other than beyond Working Days), means that the bounding period of the Offer begins on the next Buyer’s Working Day; Moment of sending the Order by Xxxxx (at the latest on the last day of Offer’s binding period ) is sufficient to keep the time limit set in the Offer. If the Offer does not define its effective period, the Offer is valid for at least 30 days since Buyer receives it. 4. Information placed on Seller’s websites, catalogs, brochures, flyers, advertisements and other |

Informacje zamieszczone na stronie internetowej Sprzedającego, jego katalogach, broszurach, ulotkach, reklamach i innych publikacjach – stanowią Ofertę w rozumieniu przepisów Kodeksu cywilnego, w szczególności, gdy opatrzone zostały ceną. 5. Każdorazowo Oferta powinna zawierać wskazanie kraju pochodzenia Towaru. | publications do constitute an offer in accordance with Polish civil code, especially when they bear a price. 5. Each time the Offer shall contain information about the country of origin of the Product. |
§ 3 Złożenie zamówienia i jego akceptacja 1. Kupujący wysyła do Sprzedającego zamówienie (dalej: Zamówienie), na podstawie Oferty otrzymanej od Sprzedającego, lub bez Oferty. Zamówienie może różnić się od Xxxxxx, a wtedy wiążąca dla stron jest treść Zamówienia. 2. Umowa (dalej: Umowa) zostaje zawarta na skutek akceptacji przez Sprzedającego Zamówienia na Towar, złożonego przez Kupującego w formie elektronicznej na adres elektroniczny Sprzedającego lub faxem na nr Sprzedającego lub w formie pisemnej. 3. Zamówienie jest uznawane ze zaakceptowane w następujących przypadkach, gdy: a. Sprzedający wyraźnie zaakceptował Zamówienie w formie pisemnej (dopuszcza się przesłanie pisemnego potwierdzenia Zamówienia tj. skanu, pocztą elektroniczną lub faxem) – Umowa jest zawarta w chwili otrzymania przez Kupującego pisemnej akceptacji Zamówienia od Sprzedającego; Pisemne potwierdzenie Zamówienia winno być zaadresowane i przesłane do Kupującego na adres wskazany w OWZ, bez zbędnej zwłoki. Wszelka korespondencja z Kupującym powinna zawierać numer Sprzedającego w systemie Kupującego oraz numer zamówienia Kupującego. b. Sprzedający nie odrzuca Zamówienia w formie pisemnej pod rygorem nieważności (dopuszcza się przeslanie pisemnej odmowy przyjęcia Zamówienia tj. skanu, pocztą elektroniczną lub faxem) w ciągu 24 godzin od daty otrzymania Zamówienia– Umowa jest zawarta w chwili upływu 24 godzin od daty złożenia przez Kupującego Zamówienia (wiążąca jest chwila wysłania skanu Zamówienia pocztą elektroniczną lub faxem). c. Sprzedający rozpoczyna realizację Zamówienia w jakikolwiek sposób – Umowa jest zawarta z chwilą przystąpienia Sprzedającego do wykonywania Umowy. d. Bez jakiejkolwiek akceptacji Sprzedającego, jeśli Kupujący zaakceptuje bezpośrednio ofertę Sprzedającego poprzez wysłanie Zamówienia zgodnego z ofertą – Umowa jest zawarta z chwilą wysłania Zamówienia przez Sprzedającego (wiążąca jest chwila wysłania skanu Zamówienia pocztą elektroniczną lub faxem). 4. Jeśli akceptacja Zamówienia przez | § 3. Placing the Order and its acceptance 1. The Buyer sends an order (further: the Order) to the Seller on the bases of the Offer received from the Seller, or without it. The Order may differ from the Offer, in that case the content of the Order is binding for the Parties. 2. An agreement (further: the Agreement) is concluded as a result of Seller’s acceptance of Buyer’s Order for Seller’s Product in electronic form on Buyer’s electronic address or via fax on Buyer’s fax number or in written form 3. The Order is deemed to have been accepted in following situations: a. The Seller directly accepted the Order in written form (sending scaned written Order’s acceptance by electronic mail or fax is allowed) – the Agreement is concluded at the moment of receiving by the Buyer written acceptance of the Order from the Seller. Written acceptance of the Order shall be addressed and send the Buyer on the address specified in GTP without undue delay. Any correspondence with the Buyer shall contain Seller’s number in Buyer’s system as well as Xxxxx’x Order number . b. The Seller does not reject the Order in the written form, under pain of nullity (sending scaned written Order’s rejection by electronic mail or fax is allowed), within 24 hours since the date of receiving the Order – the Agreement is concluded upon the time 24 hours since placing the Order by the Buyer lapses (moment of sending the scan of Order via electronic post or fax is binding). c. The Seller begins to realize the Order in any way - the Agreement is concluded upon the moment the Seller commences to realize the Agreement. d. Without any Seller’s acceptance, if the Buyer accepts the Seller’s Offer directly by sending the Order consistent with the Offer – the Agreement is concluded upon the time of sending the Order by the Buyer (moment of sending the scan of the Order via electronic mail or fax is binding) 4. If the acceptance of the Order by the Seller contains any modification against the content of the Buyer’s Order, it shall be understood as new offer. The |
Sprzedającego zawiera jakiekolwiek modyfikacje w stosunku do treści Zamówienia Kupującego, przyjmuje się, że stanowi nową ofertę i Umowa zostaje zawarta wyłącznie w wypadku jej wyraźnego zaakceptowania przez Kupującego w formie pisemnej (dopuszcza się przesłanie pisemnego Zamówienia tj. skanu, pocztą elektroniczną lub faxem).
5. Kupujący jest uprawniony do odstąpienia od Umowy w terminie 72 godzin od daty zawarcia Umowy bez podawania przyczyny. W przypadku, o którym mowa w zdaniu poprzedzającym, Sprzedającemu nie przysługuje żadne wynagrodzenie czy zwrot jakichkolwiek kosztów ani też jakiekolwiek inne roszczenie cywilnoprawne od Kupującego, których to niniejszym Sprzedający zrzeka się.
§ 4
Umowa
1. Zawarcie Umowy jest równoznaczne ze złożeniem następujących oświadczeń przez Sprzedającego:
a. Sprzedający zapoznał się uprzednio z OWZ i akceptuje je bez jakichkolwiek zastrzeżeń;
b. Sprzedający posiada wszelkie wymagane umiejętności, pozwolenia, uprawnienia czy środki, aby prawidłowo wykonać Umowę;
c. W dacie zaakceptowania Zamówienia nie został złożony wniosek o upadłość Sprzedającego, nie toczy się postępowanie w przedmiocie jego upadłości, nie toczą się przeciwko niemu żadne postępowania egzekucyjne ani zabezpieczające, a także nie występują przesłanki do ogłoszenia jego upadłości, Sprzedający nie jest w stanie likwidacji ani nie zalega z jakimikolwiek daninami publicznoprawnymi (w tym wynagrodzeń ani składek ZUS za pracowników lub wynagrodzeń dla podmiotów współpracujących ze Sprzedającym na jakiejkolwiek podstawie prawnej) i znajduje się w sytuacji finansowej zapewniającej należyte wykonanie Umowy, a także nie występują żadne okoliczności, które mogą mieć negatywny wpływ (zagrozić lub uniemożliwić) na należyte wykonanie Umowy przez Sprzedającego;
d. Jeśli Sprzedający jest osobą fizyczną pozostającą w związku małżeńskim z ustawową lub rozszerzoną wspólnością majątkową małżeńską, to oświadcza niniejszym, że jego małżonek został poinformowany o treści Umowy i wyraził na nią zgodę. Postanowienie zdania poprzedzającego stosuje się odpowiednio do wspólników spółek osobowych ponoszących odpowiedzialność za zobowiązania spółki).
Agreement will be concluded only in case the Buyer directly accepts new offer in written form (sending scaned written confirmation of the Order via electronic mail or fax is allowed).
5. The Buyer is allowed to withdraw from the Agreement within 72 hours since the date of concluding the Agreement without specifying the reason. In case mentioned in proceeding sentence, the Seller is not entitled to receive any payment, reimbursement of any expanses or to claim any other civil rights form the Buyer, the Seller hereby irrevocably waives the right to receive them.
§ 4.
The Agreement
1. Concluding the Agreement is equivalent to making following statements by the Seller:
a. The Seller acknowledges and accepts without any objections following GPT,
b. The Seller has all required qualifications, permissions, rights, resources or measures to fulfill the Agreement,
c. Upon the date of the acceptance of the Order, a petition for declaration of bankruptcy against the Seller have not been filed, nor the enumerated above proceeding is pending, the Seller does not meet the prerequisites of bankruptcy nor liquidation, no enforcement or securing proceeding is pending, the Seller in not in liquidation. The Seller is not in arrears with any kind of public payment (including salary, social insurance premiums for employees, or with honorary for third persons cooperating the Seller on any kind of legal base). The Seller’s financial condition ensures proper performance of the Agreement. No other circumstances may influence negatively (threaten or prevent) on the proper performance of the Agreement by the Seller.
d. The spouse of the Seller has been informed about the content and the fact of concluding the Agreement and consents with its conditions (in case the Seller is a natural person, formally stays in matrimony with conjugal or extended matrimonial community). The provision of the preceding sentence shall be applied accordingly to the shareholders in partnership companies, who are liable for company’s obligations.
e. The Seller has the knowledge, experience, economic and technologic potential, as well as employees, necessary to properly perform the
e. Sprzedający posiada wiedzę i doświadczenie, potencjał ekonomiczny i techniczny, a także pracowników, niezbędnych, aby należycie wykonać przedmiot Umowy i w jego ocenie nie ma żadnych innych przeszkód, które mogłyby wpłynąć na właściwe wykonanie Umowy.
f. Sprzedający oświadcza, że zawarł umowę ubezpieczenia z renomowanym i wypłacalnym ubezpieczycielem, która pokrywa jego odpowiedzialność cywilną i gospodarczą w sposób stały i wystarczający do pokrycia wszelkiego ryzyka związanego z zawartą Umową.
g. Sprzedający oświadcza, że osoba składająca Ofertę i/lub akceptująca Zamówienie została upoważniona do rozporządzania prawami oraz do zaciągania zobowiązań w jego imieniu i w zakresie niezbędnym do zawarcia Umowy, a jej umocowanie nie wygasło ani nie zostało odwołane. Osoba działająca za Sprzedającego, poprzez działania wymienione w zdaniu poprzedzającym ponosi pełną odpowiedzialność odszkodowawczą wobec Kupującego za zgodność z prawdą niniejszego oświadczenia, a także za zaciągnięte zobowiązanie (solidarnie ze Sprzedającym),
h. Sprzedający w ciągu ostatniego roku zrealizował wszystkie zlecone mu zamówienia i wykonał je z należytą starannością,
i. Osoba fizyczna działająca za Sprzedającego nie została skazana prawomocnym wyrokiem za przestępstwo popełnione w związku z postępowaniem o udzielenie zamówienia, przestępstwo przekupstwa albo inne przestępstwo popełnione w celu osiągnięcia korzyści majątkowych,
j. nikt inny z członków władz Sprzedającego nie został skazany prawomocnym wyrokiem za przestępstwo popełnione w związku z postępowaniem o udzielenie zamówienia publicznego, przestępstwo przekupstwa albo inne przestępstwo popełnione w celu osiągnięcia korzyści majątkowych,
k. nie została nałożona na Sprzedającego, jako osobę fizyczną ani na osoby wchodzące w skład organów Sprzedającego lub osoby uprawnione do reprezentacji Sprzedającego, kara pieniężna, o której mowa w przepisach o zwalczaniu nieuczciwej konkurencji, za czyn nieuczciwej konkurencji polegający na przekupstwie osoby pełniącej funkcję publiczną,
2. Strony zgodnie oświadczają, że zawierają Umowę wyłącznie w oparciu o wymienione w poprzedzającym ustępie oświadczenia i zapewnienia

f. The Seller declares that he is covered by insurance with a reputedly solvent insurance company, covering its civil and professional responsibility in fixed and sufficient amounts to cover the risks associated with the concluded Agreement.
g. The Seller declares that the person placing the Offer and/or accepting the Order is authorized to dispose rights as well as to assume obligations on its behalf in the extent necessary to conclude the Agreement, and his/her authorization has not been cancelled. The person acting on behalf of the Seller, by taking actions mentioned the preceding sentence, bears full compensational liability to the Buyer for the truthfulness of this declaration and also for undertaken liability (in solidarity with the Seller) .
h. Within the preceding year the Seller realized all submitted orders and performed them with due diligence.
i. Natural person acting on behalf of the Seller has not been sentenced with legally valid judgement for crime committed in connection with the proceeding of procurement contract, crime of briber or any other crime committed in order to gain financial profits.
j. No other member of the governing bodies of the Seller has not been sentenced with legally valid judgement for crime committed in connection with the proceeding of procurement contract, crime of briber or any other crime committed in order to gain financial profits.
k. No pecuniary penalty, mentioned in the regulations about acts on combating unfair competition for act of unfair competition consisting on bribery of the public functionary has not been imposed on the Seller as natural person, members of governing bodies of Seller or person authorized to represent the Seller.
2. Parties clearly represent, that they conclude the Agreement exclusively on the basis of enumerated in previous clause statements and Xxxxxxx declarations. In addition the Seller declares to be aware of criminal liability for making untrue statements enumerated in previous clause or for failing in fulfilling the obligation mentioned in the clause 3 of following paragraph, which can form the grounds for initiating the criminal proceeding for bringing about unfavorable dispose of Xxxxx’x possessions or other;

Dodatkowo Sprzedający oświadcza, że jest świadomy odpowiedzialności karnej za złożenie nieprawdziwych oświadczeń, o których mowa w ustępie poprzedzającym, lub niedopełnienie obowiązku, o którym mowa w ust. 3 niniejszego paragrafu, co może stanowić podstawę wszczęcia przeciwko niemu postępowania karnego w sprawie doprowadzenia Kupującego do niekorzystnego rozporządzenia mieniem lub innej, a nadto powoduje pełną odpowiedzialność odszkodowawczą Sprzedającego.
3. Jeżeli od chwili zawarcia Umowy którakolwiek z okoliczności, o których mowa w ust. 1 niniejszego paragrafu, ulegnie zmianie, Sprzedający zobowiązuje się niezwłocznie, nie później niż w ciągu 2 Dni Roboczych od zaistnienia zmiany okoliczności, poinformować o tym fakcie Kupującego w formie pisemnej, pod rygorem nieważności. W przypadku niepoinformowania Kupującego o zmianie okoliczności, o których mowa w niniejszym ustępie, wszelkie negatywne konsekwencje obciążają Sprzedającego.
4. Integralną część każdej Umowy stanowi specyfikacja techniczna Towaru oraz OWZ.
5. Umową jest też każda umowa indywidualnie negocjowana przez Kupującego i Sprzedającego, w zakresie szerszym niż objęty Ofertą lub Zamówieniem. Do tak zawartej Umowy, postanowienia OWZ stosuje się uzupełniająco.
6. Jakiekolwiek zmiany Umowy wymagają formy pisemnej pod rygorem nieważności.
§ 5
Sposób wykonania Umowy
1. Sprzedający ma obowiązek samodzielnego wykonania zawartej z nim Umowy, o ile w Umowie nie ustalono inaczej. Podzlecenie w całości lub w części przedmiotu Umowy przez Sprzedającego wymaga uprzedniej pisemnej, pod rygorem nieważności, zgody Kupującego.
2. Za działania lub zaniechania podwykonawców lub zleceniobiorców Sprzedającego, czy podmioty wykonujące jakiekolwiek działania na rzecz lub w imieniu Sprzedającego, Sprzedający ponosi pełną odpowiedzialność względem Kupującego jak za własne działania lub zaniechania, nawet jeśli podmioty te zawodowo trudnią się wykonywaniem zleconych czynności lub jeśli Sprzedający nie ponosi winy w wyborze.
3. Sprzedający (jak również pracownicy i współpracownicy Sprzedającego, bez względu na podstawę prawną zatrudnienia lub współpracy, oraz kierowca przewoźnika Sprzedającego) zobowiązany jest do przestrzegania wewnętrznych przepisów obowiązujących na terenie należącym do Kupującego podczas wykonywania usługi lub dostawy Towarów i odpowiada w pełnej wysokości za wszelkie szkody wynikłe z jego działania lub zaniechania (w tym szkody pośrednie, szkody wyrządzone osobom
Simultaneously the Seller bears full compensational liability towards the Buyer.
3. Shall any of the circumstances mentioned in clause 1 of following paragraph change since the day of concluding the Agreement, the Seller is obliged to immediately, not later than in 2 Working Days since the existence of changed circumstances, inform the Buyer about it in writing under pain of nullity. In case of non-fulfilment of mentioned obligation, the Seller bears all possible negative consequences.
4. Integral part of any Agreement is the technical specifications of the Product and GPT.
5. The Agreement means also any other individually negotiated agreement between the Buyer and the Seller, in the extent wider than the Offer or Order. In such cases GPT shall be applied supplementary.
6. Any possible amendments of the Agreement must be made in writing under the pain of nullity.
§ 5.
Performance of the Agreement
1. The Seller shall execute the Agreement concluded with him on its own, unless Parties decided otherwise. Sub-agreements in whole or in part must only be mandated to third party with Xxxxx’x written, under pain on nullity, approval.
2. The Seller bears full compensational liability for actions or/and omissions of sub-sellers or Seller’s mandataries as for its own actions or/and omissions, even if sub-sellers or mandataries are entities professionally fulfilling such commissions or the Seller does not take the fault in the choice.
3. The Seller (as well as his employees and coworkers, regardless of the title of employment or cooperation, and Seller’s carrier driver) is obliged to observe the internal Buyer’s regulations while performing the services or delivering the Products on the Buyer’s premises; the Seller bears full compensational liability for any kind of damage caused by its actions or/and omissions (including indirect damages, damages to the third person, possible damages, etc.),
4. The Seller is obliged to perform the subject of the Agreement with the utmost diligence and ability, applying the most stringent standards prevailing in the

Sprzedający ponosi pełną odpowiedzialność odszkodowawczą za niedostarczenie Towaru lub dostarczenie Towaru niezgodnego z Umową. 7. Za naruszenie któregokolwiek z postanowień niniejszego paragrafu, Kupujący może obciążyć Sprzedającego karą umowną w wysokości ceny brutto zakwestionowanej partii Towaru, wynikającej z Umowy. | industry for this purpose, to the full satisfaction of the Buyer. 5. § 6 Jakość Towaru 1. Sprzedający jest obowiązany do świadczenia Towarów najwyższej jakości, przy wykorzystaniu w ich produkcji wyłącznie materiałów i technik wyraźnie określonych w Umowie i/lub materiałów dostarczonych przez Kupującego. 2. Sprzedający gwarantuje najwyższą jakość Towaru, w szczególności zgodność z załączoną do Umowy specyfikacją techniczną. 3. Sprzedający gwarantuje zgodność Towaru z wszelkimi przepisami, procedurami, specyfikacjami itp. mającymi zastosowanie do Towarów objętych Umową. 4. Sprzedający gwarantuje, że Xxxxx jest bez wad, a na żądanie Kupującego Sprzedający obowiązany jest to wykazać, przedstawiając np. protokoły z przeprowadzenia odpowiednich testów Towaru lub inne dowody. 5. Jeśli Sprzedający zidentyfikuje wadliwe produkty lub chociażby podejrzenie istnienia wad lub defektów wśród partii Towarów dostarczonych Kupującemu, zobowiązany jest niezwłocznie powiadomić o tym Kupującego i przedsięwziąć wszelkie odpowiednie środki. 6. Sprzedający gwarantuje, że dostarczane przez niego Towary nie będą starsze niż 12 miesięcy od daty ich wytworzenia. 7. Dostawa substancji chemicznych jest uznana za prawidłową tylko, jeśli istnieje pełna zgodność dostarczanego materiału z Umową, w szczególności pod względem producenta i nazwy handlowej. Nie dopuszcza się zmiany dostarczanej substancji na substancję innego producenta czy o innej nazwie handlowej, nawet jeśli wykazuje identyczne działanie. 8. The Quality of the Product 1. The Seller is obliged to perform the Products of highest quality; using for its production only the materials and techniques strictly defined in the Agreement and/or materials provided by Buyer. 2. The Seller guaranties the highest quality of the Product, especially its compliance with technical specification enclosed to the Agreement. 3. The Seller guaranties compliance of the Product with any regulations, procedures, specifications etc. which shall be applied to the Product covered by the Agreement. 4. The Seller guaranties that the Product is free of any defects and at Buyer’s request the Seller is obliged to prove it by showing for example protocols from performed test of Product or any other proofs. 5. Shall the Seller identify any defected Product or have even the suspicion of existence of the fault or defect between the parts of Product delivered to the Buyer, the Seller is obliged to immediately inform the Buyer as well as to undertake necessary measures. 6. The Seller guaranties that delivered Product are not older than 12 months since the date of manufacturing. 7. Delivery of chemical substances is assumed to be correct only if there is a full compliance of the delivered material with the Agreement, especially in regard to the name of producer and trademark. Delivering chemical substances with identical effectiveness but produced by different company or under different trademark is not allowed. 8. The Buyer, in person or through the person authorized by him, has the right to perform control of realization of the Agreement (especially in terms of compliance of basis materials, their quality |
dokumentacji jakościowej oraz zgodności z Umową) w miejscu wykonania lub przechowywania Towaru przez Sprzedającego, w każdym czasie. Kontrola może być zapowiedziana lub niezapowiedziana (w godzinach pracy Sprzedającego).
9. Podczas kontroli zapowiedzianej, Sprzedający ma obowiązek zapewnienia obecności osoby posługującej się językiem angielskim i/lub niemieckim, w celu umożliwienia komunikacji z zespołem przeprowadzającym kontrolę. Jeśli Sprzedający nie wypełni obowiązku, o którym mowa w zdaniu poprzedzającym, Kupujący może obciążyć Sprzedającego kosztami zatrudnienia tłumacza.
10. W przypadku, gdy zapowiedziana kontrola nie odbędzie się z przyczyn leżących po stronie Sprzedającego (opóźnienia w procesie produkcji, itp.), koszty podróży kolejnej wyznaczonej w innym terminie kontroli, pokrywa Sprzedający, według dokumentów księgowych przedstawionych przez Kupującego.
11. Jakiekolwiek zmiany parametrów Towaru, wymagają uprzedniej pisemnej zgody Kupującego, pod rygorem nieważności.
12. W razie niekorzystnych wyników kontroli, wszelkie koszt przeprowadzenia kontroli ponosi Sprzedający, niezależnie od prawa Kupującego do zastosowania wszelkich innych środków przewidzianych powszechnie obowiązującymi przepisami prawa lub Umową.
13. Za naruszenie któregokolwiek z postanowień niniejszego paragrafu, Kupujący może obciążyć Sprzedającego karą umowną w wysokości ceny brutto zakwestionowanej partii Towaru, wynikającej z Umowy.
§7
Transport Towaru
1. Co do zasady dostawa Towarów następuje transportem zapewnianym przez Sprzedającego.
2. Koszt (w tym wszelkie opłaty związane z pakowaniem, ubezpieczeniem, załadunkiem, przekraczaniem granic, w tym cła, rozładunkiem, montażem, zainstalowaniem w Miejscu Dostawy i inne) i ryzyko dostawy do Miejsca Dostawy ponosi Sprzedający.
3. Kupujący będzie informowany o transporcie Towarów poprzez przesłanie mu listu przewozowego w dacie wysłania Towarów (skan mailem na adres elektroniczny Kupującego). Kopia listu przewozowego będzie dołączona do dostawy.
4. Towary winny być zapakowane w sposób umożliwiający ich bezpieczny transport.
5. Sprzedający jest zobowiązany do ubezpieczenia Towarów podczas transportu. Sprzedający jest odpowiedzialny za każdą, w tym przypadkową szkodę i/lub utratę Towaru, aż do chwili gdy Towar zostanie odebrany przez Kupującego.
6. Sprzedający ma obowiązek przestrzegania powszechnie obowiązujących przepisów prawa
documentation and accordance to the Agreement) in the place where the Product is made or stored by Seller, at any time. The mentioned control may be announcer or unannounced (at Seller’s working hours).
9. During the inspection the Seller must make sure that there are English and/or German speaking persons present for communication with the inspection staff. If the Seller fails to perform obligation mentioned in the preceding sentence, the Buyer might charge him with the costs of hiring professional translator.
10. If an inspection announced in advance is not successful due to the reasons the Seller is responsible for (delay in production etc.), the travelling expenses for a new inspection in new date shall be paid by the Seller according to the financial documents provided by the Buyer.
11. Any changes of Products specified parameters shall be previously confirmed by Buyer, under pain of nullity.
12. In case of negative results of inspection, the Seller will be charged with any created costs, regardless of all other Buyer’s measures which can be applied on the bases of generally applicable law provisions or the Agreement.
13. The Buyer may charge the Seller with contractual penalty equal to the price gross for questioned part of Product deriving from the Agreement, if the Seller breaches any regulation mentioned in following paragraph.
§ 7.
Transport of the Product
1. As a rule, the transport of the Product is ensured by Seller’s means of transport.
2. The costs (including any charges of packing, insurance, loading, crossing the border, import duties, unloading, assembly, installation in the Place of Delivery and other) as well as the risk of transport to the Place of Delivery is covered by the Seller.
3. The Seller will be informed about the transport of the Product by sending him at the date of sending the Product the bill of landing (scan via e-mail on Buyer’s electronic address). The copy of bill of landing will be enclosed to the delivery. The Product shall be packed in the way that enables its safe transport.
4. Product shall be packed in a way which enables safe transport.
5. The Seller is obliged to insure the Product during the transport. The Seller is liable for any, including accidental, possible damage to the Product and/or its loos until the Product is accepted by the Buyer.
6. The Seller shall comply with the statutory and official
polskiego i Unii Europejskiej mających zastosowanie do wytwórców, dostawców, sprzedawców i pośredników. Sprzedający ma w szczególności obowiązek przestrzegania dyrektyw dotyczących pakowania oraz złomu elektronicznego w ich brzmieniu obowiązującym w dacie wykonywania Umowy. Jakiekolwiek koszty stosowania powyższych regulacji ponosi Sprzedający.
7. Sprzedający niniejszym zrzeka się prawa obciążenia Kupującego jakimikolwiek dodatkowymi kosztami, które mogą powstać w związku z wykonaniem postanowień niniejszego paragrafu.
8. Jeśli Kupujący odbiera Towar własnym transportem z Miejsca Dostawy, którym jest np. magazyn Sprzedającego lub inna lokalizacja wynikająca z Umowy, Sprzedający obowiązany jest do zapewnienia należytego opakowania, załadunku, ubezpieczenia (jeśli to wynika z Umowy), itp. odpowiednich do rodzaju Towaru i środka transportu.
§8
Miejsce i Data Dostawy
1. Sprzedający dostarcza Towar do Miejsca Dostawy wskazanego w Umowie. Jeśli w Umowie nie wskazano Xxxxxxx Xxxxxxx, Towar Dostarczany jest do magazynu Kupującego w Orzeszu, przy ul. Fabrycznej 1.
2. Data Dostawy określona jest w Umowie. Jeśli Data dostawy ustalona jest nie na konkretną datę, lecz w dniach/tygodniach/miesiącach, termin liczy się zgodnie z przepisami kodeksu cywilnego. Data Dostawy może być zmieniona wyłącznie za zgodą Kupującego wyrażoną w formie pisemnej pod rygorem nieważności.
3. W razie opóźnienia w dostawie Towaru, Kupujący może obciążyć Sprzedającego karą umowną w wysokości 0,5% łącznej ceny Towaru brutto wynikającej z Umowy za każdy rozpoczęty dzień opóźnienia. Przy czym w razie dostawy częściowej, karę umowną nalicza się od ceny całej Umowy, a nie tylko danej partii Towaru, którego dotyczy opóźnienie w dostawie.
4. Postanowienia ustępu poprzedzającego nie uchybiają prawu Kupującego dochodzenia naprawienia szkody przenoszącej wartość zastrzeżonej kary, na jakiejkolwiek podstawie prawnej.
5. W razie opóźnienia w dostawie, Kupujący uprawniony jest do skorzystania z wykonania zastępczego, jeśli opóźnienie przekroczy 3 dni. Kupujący nie jest zobowiązany do uzyskiwania zgody sądu na wykonanie zastępcze, ani wzywania Sprzedającego do wykonania dostawy czy wyznaczania mu dodatkowego terminu.
6. W przypadku wcześniejszej dostawy, Kupujący nie ma obowiązku przyjęcia Towaru przed Datą Dostawy ani wcześniejszej zapłaty.
7. Jeżeli z Umowy wynika konieczność awizacji dostawy Towaru, a Sprzedający nie dokona awizacji, to Kupujący ma prawo nie odbierać Towaru w Dacie
regulations of Poland and European Union, applicable to manufacturers, suppliers, sellers and dealers; the Seller shall especially observe the provisions of the Packaging Directive and the Electronic Scrap Directive in their currently valid versions. The resultant costs of applying the above mentioned regulations, shall be borne by the Seller.
7. The Seller hereby waves the right to charge the Buyer with any additional costs, that may arise due to the performance of the provisions in following paragraph.
8. Shall the Buyer collect the Product with his own mean of transport form the Place of Delivery, which is f.e. the Seller’s warehouse or any other localization deriving from the Agreement, the Seller is obliged to provide proper packing, loading, unloading, insurance (when it derives from the Agreement) , etc. proper for the kind of Product aa well as to the mean of transport.
§ 0
Xxx Xxxxx and the Date of Delivery
1. The Seller will deliver the Product to the Place of Delivery indicated in the Agreement. If the Agreement does not indicate the Place of Delivery, the Product shall be delivered to the Buyer’s warehouse in Orzesze, Fabryczna street 1.
2. Date of Delivery is established in the Agreement. If the Date of Delivery does not indicate specific date, but is indicated in days/weeks/months, the delivery date shall be calculated according to the regulations of polish civil code. Date of Delivery may only be changed with Xxxxx’x written approval under pain of nullity.
3. In case of delay in delivery of Product, Xxxxx can charge the Seller with contractual penalty equal to the 0,5% of total price of Product gross deriving from the Agreement for each commence day of delay. Whereupon in case of partial delivery, the contractual penalty will be calculated from the whole price deriving from the Agreement, not only the part of Product, which the delay in delivery considers.
4. Provisions mentioned in the preceding clause shall not prejudice the Buyer’s right to seek redress of the damages exceeding the amount of the stipulated contractual penalty pursuant on any legal basis.
5. In case the delay in delivery exceeds 3 days, the Buyer is entitled to use substitutive performance. The Buyer is not obliged to obtain court’s permission for substitutive performance, nor to prior summon for performance of the delivery or to set an additional time limit.
6. In case of an earlier delivery, the Buyer shall not be obliged to accept the Delivery Date nor to pay earlier.
7. If the need of arrival notification derivers from the Agreement, and the Seller will not respect this
Dostawy ani nie dokonać zapłaty, do czasu jego prawidłowej awizacji i naliczyć Sprzedającemu kary umowne za opóźnienia w dostawie. Sprzedający nie może żądać zwrotu żadnych kosztów związanych z nieodebraniem Towaru w Dacie Dostawy przez Kupującego.
§ 9
Dokumenty dostawy
1. Z każdą dostawą Towarów, Kupujący otrzyma co najmniej następujące dokumenty, o ile w Umowie nie ustalono inaczej:
a. List przewozowy,
b. Specyfikację dostawy/dokument WZ,
c. Fakturę,
d. Dokumentację techniczną,
e. Certyfikaty, deklaracje zgodności i inne wymagane powszechnie obowiązującymi przepisami polskiego prawa, o ile mają zastosowanie do danego rodzaju Towarów.
2. Dokument WZ, będący oryginalnym dokumentem bez skreśleń, winien zawierać następujące informacje:
a. numer zamówienia,
b. nazwa i adres Sprzedawcy,
c. numer identyfikacji Sprzedawcy nadany przez Kupującego,
d. data i miejsce dostawy,
e. jasny opis artykułu z wyszczególnieniem jednostek miary i opakowań, zgodny z opisem na produkcie,
f. całkowita ilość sztuk określonego artykułu,
g. daty przydatności do użycia, jeśli jest to niezbędne,
3. Kolejność artykułów na dokumencie WZ musi być zgodna z kolejnością artykułów w Umowie.
§ 10
Przyjęcie dostawy
1. Jeśli Towar dostarczany jest przez Sprzedającego (własnym transportem Sprzedającego lub za pośrednictwem przewoźnika):
a. podczas odbioru Towarów przez Kupującego, przewoźnik zobowiązany jest przestrzegać procedur wewnętrznych Kupującego i przepisów prawa dotyczących rozładunku, kontroli ilości i jakości towarów, higieny i bezpieczeństwa. Sprzedawca jest odpowiedzialny za poinformowanie przewoźnika o powyższym obowiązku, jeśli przewoźnikiem nie jest sam Sprzedawca.
b. Rozładunek Towarów dokonywany jest przez Sprzedającego lub Kupującego na ryzyko
provision, the Buyer is entitled to refuse to accept the delivery of the Product at the Date of Delivery and to refuse to pay, until the proper arrival notification, as well as to charge the Seller with the contractual penalty for delay in delivery. The Seller is not entitled to demand reimbursement of any costs connected with Xxxxx’x refusal of acceptance of Product at the Date of Delivery .
§ 9
Documents of the Delivery
1. With each delivery, the Buyer will receive at least the following documents (unless the Agreement constitutes otherwise):
a. Bill of landing,
b. Specification of delivery/” WZ” document,
c. Invoice,
d. Technical Documentation
e. Certificates, compliance declarations and other required by generally applicable provisions of law documents, if they are applied for such kind of Product,
2. Original “WZ” document, without any deletions, shall contain following information:
a. Number of Order,
b. Seller’s name and address,
c. Seller’s identification number granted by the Buyer,
d. Date and Place of Delivery,
e. Clear description of an article with specified measures of quantity and packaging, in accordance with the description on the product,
f. Total amount of specified articles,
g. Usefulness period, if it is necessary,
3. The order of the articles on the “WZ” document shall be consistent with the order of articles in the Agreement.
§ 10
Acceptance of delivery
1. If the Product is delivered by the Seller (with Seller’s own transport measure or by carrier):
a. During the acceptance of the Product by the Buyer, the carrier is obliged to observe internal Buyer’s regulations, as well as regulation regarding to the unloading, Product’s quality and quantity control, hygiene and safety. The Seller is obliged to inform the carrier about preceding obligation, if he is not delivering the Product himself.
b. Unloading of the Product is performed by the Seller or by the Buyer on Seller’s risk , unless the Agreement constitutes otherwise. The
Sprzedającego, o ile nic innego nie wynika z Umowy. Kupujący nie będzie udostępniać materiałów eksploatacyjnych oraz narzędzi do rozładunku. Sprzedający jest zobowiązany do rozładowania i/lub zainstalowania Towaru przy użyciu właściwego sprzętu i odpowiednio przeszkolonych pracowników. Sprzedający ponosi pełną odpowiedzialność za wszelkie szkody związane z wyładowaniem i/lub instalacją Towaru.
c. Kierowca musi być obecny podczas rozładunku oraz przyjęcia towaru przez Kupującego.
d. Jeśli rozładunek Towaru Kupującego, wymaga rozładunku/przeładunku/załadunku innego towaru znajdującego się na środku transportu Sprzedającego lub jego przewoźnika, wówczas Kupujący obciąży Sprzedającego dodatkowymi kosztami dokonania rozładunku/przeładunku/załadunku wg stawki 120 zł netto za roboczogodzinę, a Sprzedający zobowiązuje się te koszty zapłacić. W sytuacji opisanej w niniejszym punkcie, Kupujący nie ponosi jakiejkolwiek odpowiedzialności za uszkodzenie/utratę innego towaru, a powyżej opisanych czynności dokonuje na wyłączną i pełną odpowiedzialność Sprzedającego.
2. Jeśli Towar odbierany jest przez Kupującego (własnym transportem Kupującego lub za pośrednictwem przewoźnika):
a. Towar winien być przygotowany do odbioru w sposób umożliwiający jego załadunek na środek transportu użyty przez Kupującego, w szczególności winien być należycie zapakowany i zabezpieczony przed transportem.
b. Sprzedający obowiązany jest zapewnić wykwalifikowany personel i maszyny/urządzenia, w celu dokonania załadunku na środek transportu Kupującego. Kierowca Kupującego ani przewoźnik Kupującego nie biorą udziału w załadunku.
c. Jeśli załadunek Towaru wykonywany wymaga współudziału Kupującego lub jego przewoźnika, wówczas Kupujący obciąży Sprzedającego dodatkowymi kosztami dokonania rozładunku/przeładunku/załadunku wg stawki ….. zł netto za roboczogodzinę, a Sprzedający zobowiązuje się te koszty zapłacić. W sytuacji opisanej w niniejszym punkcie, Kupujący nie ponosi jakiejkolwiek odpowiedzialności za uszkodzenie/utratę innego towaru, a powyżej opisanych czynności dokonuje na wyłączną i pełną odpowiedzialność Sprzedającego.
3. Jeśli dostarczony Towar wymaga montażu lub
Buyer shall not make an access to his operational materials nor tools useful during the unloading. The Seller is obliged to unload and/or install the Product, using the proper equipment and appropriately qualified personnel. The Seller is fully liable for all damages caused during the unloading and/or installing of the Product.
c. The driver must be present during unloading and acceptance of the Product by the Buyer.
d. If the unloading of Buyer’s Product requires unloading/reloading/loading of another product located on Seller’s or Seller’s carrier mean of transport, the Buyer will charge the Seller with additional costs of unloading/reloading/loading according to the rate of 120 zł net for 1 working hour, and the Seller is obliged to pay those costs. In the aforesaid situation, the Buyer is not liable for damage/loos of another product. The aforesaid activities are performed on Seller’s exclusive and full responsibility.
2. If the Product is collected by the Buyer (with Xxxxx’x own transport measure or by the carrier):
a. The Product shall be prepared to collect in the way, which enables its loading on the transport measure used by the Buyer, especially it should be properly packed and protected for transport.
b. The Seller is obliged to ensure presence of appropriately qualified personnel and/or equipment in order to load the Product on Buyer’s transport measure. Buyer’s driver or Xxxxx’x carrier do not participate in loading of the Product.
c. If unloading of the Product requires participation of Buyer or his carrier, then the Buyer will charge the Seller with additional cost of unloading/reloading/loading according to the rate of …. zł net for 1 working hour, and the Seller is obliged to pay those costs. In the aforesaid situation, the Buyer is not liable for damage/loos of another product. The aforesaid activities are performed on Seller’s exclusive and full responsibility.
3. If delivered Product needs assembly or installation, the Seller is obliged to ensure assembly and installation of the Product in the Place of Delivery as well as performing any tests, setting in motion or training Buyer’s personnel.
4. If the person designed by the Buyer to accept the Product refuses to accept parts or whole Product, the Seller or his carries is obliged to take back Products that have been rejected during the same delivery.
5. Rejected Products are specified on separate

Na zakończenie dostawy Towaru, po jego rozładunku w Miejscu Dostawy i montażu/uruchomieniu (jeśli to wynika z Umowy), lub po jego załadunku na środek transportu zapewniony przez Kupującego, kierowca przewoźnika Sprzedającego i pracownik Kupującego lub pracownik Sprzedającego i kierowca przewoźnika Kupującego, podpisują dokument dostawy (WZ) i ewentualnie "dokument niezgodności". 7. Przyjęcie dostawy wymaga dla swej ważności potwierdzenia pieczątką i podpisem pracownika Kupującego lub kierowcy przewoźnika Kupującego na dokumencie WZ. Ilekroć w Umowie lub OWZ jest mowa o przyjęciu dostawy lub przyjęciu Towaru, rozumie się przez to podpisanie dokumentu WZ zgodnie z niniejszym ustępem. 8. § 11 Reklamacja dostawy 1. W przypadku wykrycia rozbieżności dostawy w stosunku do Umowy, Kupujący powiadomi o tym Sprzedającego mailem, przesyłając reklamację dostawy wraz ze sporządzonym podczas dokonywania przyjęcia Towaru lub w ciągu 14 dni od daty przyjęcia Towaru, dokumentem niezgodności. 2. Kupujący przesyła reklamację dostawy Sprzedającemu w formie pisemnej lub mailem na posiadany adres Sprzedającego. 3. W reklamacji Kupujący określa żądany sposób i termin usunięcia niezgodności, który wiąże Sprzedającego. W szczególności Kupujący może żądać dostarczenia Towaru w ilości i jakości zgodnej z Umową, odbioru Towaru niezgodnego z Umową na koszt i ryzyko Sprzedającego, obniżenia ceny wynikającej z Umowy lub odstąpienia od Umowy w całości lub w części. 4. Sprzedający obowiązany jest ustosunkować się do zgłoszonej przez Kupującego reklamacji w ciągu 14 dni od daty wysłania reklamacji przez Kupującego. 5. Po bezskutecznym upływie terminu określonego w ustępie poprzedzającym, reklamacja uznawana jest za rozpatrzoną pozytywnie przez Sprzedającego. 6. Za opóźnienie w wykonaniu obowiązków z tytułu reklamacji dostawy, w stosunku do terminu | § 11. Complaint of delivery 1. §12 Odmowa przyjęcia lub zwrot dostawy 1. Kupujący jest uprawniony do odmowy przyjęcia dostawy Towaru lub do dokonania zwrotu Towaru Sprzedającemu, na koszt i ryzyko Sprzedającego, w następujących przypadkach: a. Wraz z Towarem nie dostarczono dokumentu WZ lub innego dokumentu wymaganego Umową, b. Kupujący wykryje braki w Towarze, Dokumentacji Technicznej, oznakowaniu, ilości, asortymencie lub jakości lub innych parametrach, c. Towar jest nienależytej jakości, a w szczególności: jest niezgodny z Umową, nie jest pierwszej jakości, jest poniżej ustalonej lub oczekiwanej dla towarów tego rodzaju jakości, nosi ślady używania lub niedbalstwa w wyprodukowaniu lub montażu, d. Towar został dostarczony wcześniej. Jednakże, Sprzedający może zaproponować Kupującemu wcześniejszą Datę Dostawy, która wymaga pisemnego potwierdzenia przez Kupującego, pod rygorem nieważności. Bez względu na postanowienia zdań poprzedzających, wcześniejsza dostawa nie ma wpływu na termin zapłaty, e. However, the Seller may propose earlier Date of Delivery, acceptance of new Date of Delivery requires Buyer’s, written under pain of nullity, consent. The Product (transported by Buyer’s transport measure) is not properly prepared to loading by the Buyer, especially it is improperly packed or protected for the transport. h. There is no appropriately qualified personnel and/or equipment in order to load the Product on Buyer’s transport measure at the Place of Delivery, i. Any other inconsistency of the Product with the Agreement, j. The Product (requiring assembly or installing) has not been assembled/installed at the Place of Delivery, control test or setting in motion have not been performed or have showed discrepancies from assumed by the Buyer |
Miejscu Dostawy lub nie zostały przeprowadzone testy lub rozruch lub testy wykazały rozbieżności od założonych przez Kupującego parametrów lub nie przeprowadzono lub nienależycie przeprowadzono szkolenie/instruktaż pracowników Kupującego.
2. W przypadku odmowy przyjęcia Towaru przez Kupującego, z przyczyn wskazanych w ustępie poprzedzającym, Kupujący może obciążyć Sprzedającego wszelkimi negatywnymi konsekwencjami (w szczególności karami umownymi, odszkodowaniem, dodatkowymi kosztami poniesionymi przez Kupującego, np. na załadunek/rozładunek Towaru itp.) wynikającymi z niewykonania Umowy, a Sprzedający zobowiązuje się bezwarunkowo i nieodwołalnie je pokryć na pierwsze żądanie Kupującego.
3. Kupujący jest uprawniony do stwierdzenia niezgodności Towaru z Umową, pod kątem cech wskazanych w ust. 1 niniejszego paragrafu, w terminie 30 dni od daty przyjęcia Towaru. Wystarczające jest wysłanie maila na adres Sprzedającego.
4. Jeśli Kupujący postanowi zwrócić Towar Sprzedającemu, w przypadkach o których mowa w ustępie 1 niniejszego paragrafu, Sprzedający ma obowiązek odebrania Towaru w terminie 30 dni od dnia przesłania przez Kupującego informacji o zwrocie Towaru.
5. Po bezskutecznym upływie określonego w zdaniu poprzedzającym terminu, Kupujący obciąży Sprzedającego dodatkowymi kosztami magazynowania Towaru w wysokości … zł za 1 m2 za
1 dzień kalendarzowy, a także jego obsługi magazynowej w wysokości … zł netto za roboczogodzinę pracy. Przechowanie odbywać się będzie na ryzyko Sprzedającego.
6. W przypadku, gdy Kupujący zobowiązany był do dostarczenia Sprzedającemu materiałów do wykonania przedmiotu Umowy, Sprzedający zwróci wszelkie otrzymane materiały (a jeśli je zużył, ich równowartość wg ceny ustalonej przez Kupującego lub takie same materiały w tej samej jakości i ilości) na własny koszt.
7. Po upływie kolejnych 14 dni od terminu określonego w ust. 4 niniejszego paragrafu, Kupujący jest uprawniony do swobodnego rozporządzenia Towarem, w szczególności do jego zbycia lub zlikwidowania w dowolny sposób, niezależnie od prawa domagania się od Sprzedającego zwrotu ceny za Towar oraz kar umownych czy odszkodowań na podstawie Umowy oraz powszechnie obowiązujących przepisów polskiego prawa.
8. Za uzasadnioną odmowę przyjęcia Towaru lub zwrot Towaru w oparciu o przesłanki wymienione w ust. 1 niniejszego paragrafu, Kupujący jest uprawniony do naliczenia Sprzedającemu kary umownej w wysokości ceny za Towar brutto, którego przyjęcia

3. The Buyer is entitled to confirm discrepancy of the Product with the Agreement in terms mentioned in clause 1 of following paragraph within 30 days since receiving the Product. Sending an e-mail message on Xxxxxx’x address is sufficient.
4. If the Buyer decides to return Product to the Seller, in the cases stipulated in clause 1 of following paragraph, the Seller is obliged to collect the Product within 30 days since the information about return of the Product was send by the Buyer.
5. Upon ineffective lapse of the aforementioned time limit, the Buyer will charge the Seller with additional costs of storage of the Product equal to …. zł per 1 m2 for one calendar day of storage, as well as its warehouse services equal to … zł net per 1 working hour. The Product will be held on Seller’s own risk.
6. In case the Buyer was obliged to provide materials for the Seller, the Seller shall return all received materials (and if the Seller has already used those materials, he should return the pecuniary equivalent according to the prices established by the Buyer or return the same materials at the same quantity and quality) at his own expanses.
7. After another 14 days since the date mentioned in clause 4 of the following paragraph, the Buyer is entitled to dispose the Product without any restraint. The Buyer is especially entitled to sell, liquidate in any possible way, notwithstanding the Buyer’s right to demand form the Seller: return of the Product’s price, contractual penalties or compensation on the basis of the Agreement or the generally applicable legal provisions in force.
8. In cases of justified refusal or return of delivery of the Product, the Buyer is entitled to charge the Seller with contractual penalty equal to the price of the refused or returned by the Buyer Product gross,
9. The Buyer may decide – at his own choice – to accept the delivery of the Product, despite of the circumstances mentioned in clause 1 of following paragraph. In such case, the Buyer is entitled to charge the Seller with contractual penalty equal to 20% of the price gross of questioned Product

§14 Własność Towaru i przejście ryzyka 1. Prawo własności Towaru przechodzi na Kupującego w Dacie Xxxxxxx z chwilą przyjęcia Towaru przez Kupującego. 2. Jeśli Kupujący dostarcza Sprzedającemu materiały do wykonania przedmiotu Umowy, prawo własności Towaru przechodzi na Kupującego w chwili rozpoczęcia produkcji. Sprzedający wykonuje przedmiot Umowy w imieniu Kupującego, a w pozostałym zakresie działa w ramach sprawowania nieodpłatnej pieczy. Wyposażenie produkcyjne udostępnione Sprzedającemu przez Kupującego pozostaje własnością Kupującego. Wyposażenie produkcyjne wyprodukowanie w imieniu Kupującego przechodzi na własność Kupującego z chwilą dokonania zapłaty. 3. W przypadku zajęcia Towaru stanowiącego własność Kupującego w toku postępowania egzekucyjnego skierowanego do majątku Sprzedającego, Sprzedający jest zobowiązany niezwłocznie poinformować Kupującego o tym fakcie oraz współdziałać przy realizacji jego praw względem podmiotu dokonującego zajęcia Towaru, w ramach wszelkich dostępnych środków. Sprzedający na żądanie Kupującego jest zobowiązany przekazać mu niezwłocznie wszelkie informacje o tym, gdzie są przechowywane Towary objęte zastrzeżeniem własności Kupującego i umożliwić ich odbiór przez Kupującego. 4. Przejście ryzyka utraty lub uszkodzenia Towaru na Kupującego następuje z chwilą przyjęcia Towaru przez Kupującego. | § 14 Ownership of the Product and Transfer of the Risk 1. In cases of seizing the Product, which is the property of the Buyer, under executive proceedings addressed to the Seller’s assets, the Seller is obliged to inform the Buyer about it and cooperate in realizing Buyer’s rights against the entity, which seized the Product, in all possible measures. The Seller on Xxxxx’x demand is obliged to immediately pass to the Buyer information about the place, where the Product, which is the property of the Buyer, is stored as well as enabling collecting it by the Buyer. 4. Jeżeli przeciwko Sprzedającemu zostaną wytoczone jakiekolwiek roszczenia z tytułu praw autorskich, praw własności przemysłowej lub Sprzedający poweźmie wiadomość o utracie przysługujących mu praw ochronnych do Towaru, Sprzedający niezwłocznie obowiązany jest powiadomić o tym Kupującego na piśmie, pod rygorem nieważności, a także Sprzedający obowiązany jest przedsięwziąć wszelkie niezbędne środki celem zapewnienia Kupującemu bezpieczeństwa korzystania z Towaru, a w razie niemożliwości zachowania praw, Sprzedający obowiązany jest pokryć Kupującemu wynikłą z tego powodu szkodę w pełnej wysokości. 6. § 16 Rozliczenie i płatność 1. Za należyte wykonanie Umowy, Sprzedający otrzyma ustaloną w Umowie Cenę, która wyczerpuje wszelkie inne żądania Sprzedającego względem Kupującego, w szczególności za zużyte materiały i inne koszty związane z wykonaniem przedmiotu Umowy. 2. W przypadku gdy w Umowie nie określono w żaden sposób ceny Towaru, Umowa nie może dojść do skutku dopóki Strony nie ustalą ceny na piśmie pod rygorem nieważności (dopuszcza się przesłanie pisemnego potwierdzenia ceny tj. skanu, pocztą elektroniczną lub faxem). W szczególności dostawa i przyjęcie Towaru przez Kupującego nie może stanowić podstawy do żądania ceny nie uzgodnionej indywidualnie w sposób opisany w zdaniu poprzednim. 3. Sprzedający nie może wystawić faktury przed Datą Xxxxxxx. 4. Sprzedający ma obowiązek podawania na fakturze VAT, w szczególności: | § 16. Invoicing and Payment 1. Sprzedający jest obowiązany dołączyć do faktury następujące dokumenty: 5.1. Kopię dokumentu WZ z podpisem przedstawiciela Kupującego lub potwierdzenie nadana przesyłki (jeśli dostawę wykonuje kurier), 5.2. Kopię listu przewozowego CMR, z podpisem i pieczątką przedstawiciela Kupującego, 5.3. W przypadku usługi – potwierdzenie wykonania usługi podpisane bez zastrzeżeń przez Kupującego. 6. Podstawą zapłaty Ceny jest prawidłowo wystawiona faktura VAT, tj. zgodnie z powszechnie obowiązującymi przepisami prawa i Umową. Brak spełnienia przesłanek ustawowych lub umownych uprawnia Kupującego do odesłania faktury bez księgowania, a termin płatności nie rozpoczyna biegu do czasu otrzymania prawidłowo wystawione faktury. 7. Termin płatności faktury winien być nie krótszy niż 30 dni od daty przyjęcia Towaru z zastrzeżeniem zgłoszenia przez Kupującego reklamacji dostawy. 8. Za dzień zapłaty uznaje się dzień obciążenia rachunku bankowego Kupującego należną kwotą. Kopia potwierdzenia SWIFT z rachunku Kupującego, wysłana na żądanie Sprzedającego, stanowi potwierdzenie zapłaty. 9. Kupujący jest uprawniony do potrącenia jakichkolwiek zobowiązań pieniężnych wobec Sprzedającego ze swoimi wierzytelnościami wobec Sprzedającego, nawet jeśli jedna lub obie wzajemne wierzytelności nie stały się jeszcze wymagalne. 10. Wyłączone jest prawo Sprzedającego do dokonywania jakichkolwiek potrąceń wierzytelności względem Kupującego z wierzytelnościami Kupującego względem Sprzedającego. 11. Sprzedający zapewnia, że gwarantuje Kupującemu najkorzystniejszą z możliwych cen za Towar, jak również, że żadnemu innemu klientowi znajdującemu się w chwili pisemnego przyjęcia jego Zamówienia w podobnej sytuacji gospodarczej nie zagwarantowano za ten sam Towar, ceny bardziej korzystnej, pod rygorem zredukowania ceny do tej zaoferowanej innemu klientowi. Jednocześnie Sprzedający jest zobowiązany do natychmiastowego poinformowania Kupującego o zredukowaniu ceny, na podstawie postanowień niniejszego ustępu. | delivery. 4. The Seller is obliged to provide on the invoice especially: 4.1. the number of the Agreement 4.2. the number of “WZ” document, 4.3. the number of the document of discrepancy (if it was prepared during the delivery), 4.4. the value of all taxes summed up to the prices, including VAT tax, shall be displayed separately in the invoice. 5. The Seller shall enclose to the invoice following documents: 5.1. Copy of “WZ’ document signed by Xxxxx’x representative or confirmation of sending the delivery (if the delivery is made by the carrier), 5.2. Copy of bill of landing (CMR), signed and stamped by Xxxxx’x representative 5.3. In case of services – confirmation of performing the service signed without reservations by the Buyer 6. The base of the payment of the Price is correctly issued VAT invoice, which means accordingly to generally applicable law provisions ant the Agreement. Lack of any statutory or contractual requirements entitles the Buyer to return the invoice without accounting it. The date of payment does not start to run until the Buyer receives properly issued invoice. 7. The payment deadline shall not be shorter than 30 days since the acceptance of delivery of the Product, unless the Buyer fails complaint to the delivery. 8. The payment of the price shall be deemed effected upon the time of charging Buyer’s bank account with the amount due. The copy of the SWIFT from Buyer’s bank, sent to the Seller on its demand, is the confirmation of the payment. 9. The Buyer is entitled to make deductions of any of the Seller’s pecuniary claims with Xxxxx’x receivables, even if they are not due yet. 10. Seller’s right to make any deductions of receivables toward the Buyer with Xxxxx’x receivables toward the Seller is excluded. 11. The Seller assures that he offers the best possible price for the Product and that no other customer has been granted a better Price for the same product in the same business situation in the date of the acceptance in written form the Buyers Order under pain of reduction of the price to those offered and granted to the other customer concerned. Simultaneously the Seller shall immediately inform Buyer about such Price reductions. |
§ 17 | § 17. Warranty and Guarantee |
Rękojmia i gwarancja
1. Okres rękojmi i/lub gwarancji na Towar wynosi nie mniej niż 24 miesiące i płynie od chwili gdy Xxxxx został pobrany z magazynu Kupującego do produkcji, jednak nie dłużej niż 36 miesięcy licząc od chwili przyjęcia Towaru przez Kupującego zgodnie z obowiązującymi warunkami podanymi w Umowie.
2. Kupujący jest uprawiony, wedle własnego uznania, do wyboru pomiędzy uprawnieniami z tytułu rękojmi lub z gwarancji – jeśli została udzielona.
3. Wszelkie koszty związane z usunięciem wad powstałych w okresie gwarancyjnym lub w okresie rękojmi obciążają Sprzedającego, w tym koszty dostarczenia wadliwego Towaru do miejsca naprawy lub koszty dokonania naprawy u Kupującego, koszty rozmontowania urządzenia, koszty urządzenia zastępczego, koszty ponownego zmontowania urządzenia z użyciem naprawionego lub wymienionego Towaru i wszelkie inne.
4. Kupujący jest uprawniony do wyboru sposobu i terminu usunięcia wady, który wiąże Sprzedającego. Sprzedający jest zobowiązany do usunięcia wady w sposób żądany przez Kupującego, nawet jeśli wymagałoby to nadmiernych kosztów.
5. W przypadku gdy Sprzedający nie wywiąże się z terminu lub sposobu załatwienia reklamacji zgłoszonej przez Kupującego, Kupujący jest uprawniony do zlecenia wykonania zastępczego na koszt i ryzyko Sprzedającego, bez potrzeby uzyskiwania uprzedniej zgody sądu na wykonanie zastępcze ani wzywania Sprzedającego do wykonania ciążących na nim obowiązków czy wyznaczania mu dodatkowego terminu i/lub do naliczania odsetek według własnego wyboru – ustawowych lub maksymalnych - od kwoty, o którą Sprzedający winien obniżyć cenę lub winien zwrócić Kupującemu.
6. W przypadku wykonania zastępczego, o którym mowa w ustępie poprzedzającym, Sprzedający rozszerzy uprawnienia z tytułu rękojmi na wymienione lub zmodyfikowane części Towaru na cały okres, o którym mowa w ust. 1 niniejszego paragrafu.
7. Kupujący zastrzega sobie prawo dochodzenia dalszej odpowiedzialności odszkodowawczej od Sprzedającego z tytułu poniesionej szkody.
8. W przypadku skorzystania przez Kupującego z uprawnień z rękojmi lub gwarancji, Sprzedający obowiązany jest dostarczyć Towar wolny od wad (jeśli takie było żądanie Kupującego) do miejsca wskazanego przez Kupującego, niezależnie od Xxxxxxx Xxxxxxx wynikającego z Umowy.
9. Za opóźnienie w wykonaniu obowiązków z tytułu rękojmi lub gwarancji, w stosunku do terminu wyznaczonego przez Kupującego, Kupujący może obciążyć karą umowną w wysokości 0,5 % ceny Towaru brutto wynikającej z Umowy(tj. całej ceny z faktury, na której wymieniony jest Towar reklamowany) za każdy dzień opóźnienia.
1. The warranty and/or guarantee period for the Product lasts at least for 24 months and since the moment, when the Product was collected from Buyers warehouse , but no longer than 36 months counting from the moment of acceptance of delivery of the Product by the Buyer according to the generally applicable conditions of the Agreement.
2. The Buyer is entitled to choose, at its sole discretion, whether he would like to use a warranty or guarantee – if it was given.
3. Any costs connected with eliminating defects arisen during the warranty or guarantee period shall be beard by the Seller, including costs of delivering defected Product to the place of repair or costs of repairing the Product at Buyer’s place, costs of dismantling, costs of substitutive equipment, costs of another assembly of the equipment using repaired or new Product and all other costs.
4. The Buyer is entitled to choose the way and time of elimination of the defects, which binds the Seller. The Seller is obliged to eliminate the defect in the way demanded by the Buyer, even if it means excessive costs.
5. If the Seller will not fulfill his obligations in the way or time demanded by the Buyer, the Buyer is entitled to arrange substitutive performance at Sellers account and risk, the Buyer is not obliged to obtain court’s permission for substitutive performance, nor to prior summon for performance of the Seller’s obligation or to set an additional time limit, and/or charging the Seller with interest, at his sole discretion – statutory or maximum, from the sum from which the Seller shall lower the price or return to the Buyer.
6. In the case of substitutive performance, mentioned in the preceding clause, the Seller shall extend the warranty for the replaced or reworked parts of the Product over the entire warranty period, mentioned in clause 1 of the following paragraph .
7. The Buyer reserves the right to assert further claims for incurred damage.
8. In case the Buyer decides to use his warranty or guarantee rights, the Seller is obliged to deliver the Product free from defects (if that was the Buyers demand) to the place chosen by the Buyer, notwithstanding the Place of Delivery deriving from the Agreement.
9. In case of delay in performing the obligations from warranty or guarantee due to the time established by the Buyer, the Buyer may charge the Seller with contractual penalty equal to the 0,5% of the Products price gross deriving from the Agreement (which is the whole price on the invoice, which includes the defected Product) for each day of delay.
§ 18 Kary umowne 1. Wszelkie kary umowne na rzecz Kupującego, o których mowa w Umowie lub OWZ, płatne są niezależnie od faktu poniesienia i wysokości ewentualnej szkody i nie są niczym limitowane. 2. Kary umowne podlegają łączeniu. 3. Strony dopuszczają łączne naliczenie kary za naruszenie postanowień niniejszych OWZ i/lub Umowy, kary za wypowiedzenie lub odstąpienie od Umowy, jak również kary za opóźnienie, jeśli wszystkie te przypadki wystąpią. 4. Kara umowna za opóźnienie w realizacji obowiązków umownych liczona jest od terminu przewidzianego w Umowie na wykonanie danego obowiązku umownego. 5. W przypadku odstąpienia od Umowy przez Kupującego, kara umowna za opóźnienie jest naliczana do daty złożenia oświadczenia o odstąpieniu lub do daty powiadomienia Sprzedającego o wykonaniu zastępczym. 6. W przypadku odstąpienia od Umowy przez Sprzedającego, kara umowna za opóźnienie jest naliczana do daty otrzymania oświadczenia woli o odstąpieniu przez Kupującego. 7. Naliczanie kary umownej za opóźnienie Sprzedającego, które nastąpiło przed datą złożenia oświadczenia o odstąpieniu, nie uchybia możliwości naliczenia kary umownej za odstąpienie. Kary umowne za nienależyte wykonanie zobowiązania (np. opóźnienie) i za niewykonanie zobowiązania (np. odstąpienie) podlegają sumowaniu. 8. Jednocześnie Zamawiający zastrzega sobie prawo dochodzenia pełnego odszkodowania niezależnie od zastrzeżonej kary umownej. 9. Załata przez Sprzedającego kary umownej nie zwalania go z obowiązku wykonania Umowy. 10. W razie odstąpienia od Umowy, postanowienia o karach umownych na rzecz Kupującego, pozostają w mocy. | § 18 Contractual penalties 1. All contractual penalties for Buyer, described in the Agreement or GPT are to be paid, regardless of the actual damage or its hight and are not limited. 2. Contractual penalties can be sumed up. 3. The Parties allow aggregation of the penaties for breach of the following GPT and/or Ageement, termination or withdrawing of Agreement as well as for delay, if all of mentioned case appears. 4. Contractual penalty for delay in realisation of contractual obligations is counted from the date stipulated in the Agreement for performing each contractual obligation. 5. In case of withdrawing from the Agreement by the Buyer, contractual penaty is counted from the date of making a declaration about withdrawing or until the date of informing the Seller about substitutive performance. 6. In case of withdrawing from the Agreement by the Seller, contractual penaty is counted until the moment the Buyer receives the declaration. 7. Calculating of contractual penalties for withdrawing form the Agreement by the Seller , which happened before the date of faling the declaration by the Seller, does not prejudice the possibility to charge the Seller with contractual penaty for withdrawing from the agreement. 8. At the same time, the Buyer reserves the right to claim full compensation regardless of the contractual penalties stipulated above. 9. Paying the contractual penalty does not release the Seller from performing the Agreement. 10. In case of withdrawn from the Agreement, the clauses concerning contractual penalties, remain in full force. |
§19 Poufność 1. W czasie trwania Umowy, a także po jej rozwiązaniu lub wygaśnięciu Strony zobowiązują się wzajemnie względem siebie do nieujawniania tajemnicy przedsiębiorstwa drugiej strony. Za tajemnicę przedsiębiorstwa uznaje się wszelkie informacje dotyczące danej Strony nieujawnione do wiadomości publicznej, których ujawnienie chociażby potencjalnie mogłoby wyrządzić szkodę Stronie, której owe informacje dotyczą. W szczególności za tajemnicę przedsiębiorstwa uznaje się wszelkie informacje programowe, techniczne, technologiczne, handlowe i organizacyjne każdej ze Stron, w tym także treść postanowień Umowy, Zamówienia i/lub Zapytania. 2. Jakiekolwiek przekazywanie, ujawnianie, | § 19. Confidentiality 1. During the effective period of the Agreement, and also after its termination, the Parties agree to keep secret all the confidential information that is considered to be a business secret. The business secret is every information concerning given Party, which is not disclosed by this Party to the public information and which if disclosed, could pose even potential risk of damage to the Party the information refers to. Especially the business secret is every programme, technical, technological, economical and organization information of each Party, including the content of Agreement, Order and/or Inquiry. 2. Every disclosing, passing or using the business secret is permitted only with prior written consent the Party |
wykorzystywanie informacji stanowiących tajemnicę przedsiębiorstwa jest dopuszczalne tylko za uprzednim pisemnym zezwoleniem Strony, której owe informacje dotyczą, a także za wyjątkiem ujawnienia ich doradcom prawnym, finansowym i księgowym Strony, pod warunkiem, że osoby te są zobowiązane mocą przepisów powszechnie obowiązującego prawa do zachowania tajemnicy zawodowej lub zobowiązane są mocą odrębnej umowy do zachowania w tajemnicy informacji stanowiących tajemnicę przedsiębiorstwa w stopniu nie mniejszym niż wynikający z OWZ.
3. Za przestrzeganie obowiązku, o którym mowa w ust. 1 i 2 niniejszego paragrafu żadnej ze Stron nie jest należne jakiekolwiek dodatkowe wynagrodzenie ani zwrot jakichkolwiek kosztów.
4. Za naruszenie obowiązków, o których mowa w ust. 1 lub 2 niniejszego paragrafu, Sprzedający zapłaci Kupującemu karę umowną w wysokości 100.000,00 zł za każdy przypadek naruszenia.
§ 20
Siła Wyższa
1. Żadna ze Stron nie ponosi odpowiedzialności za niewykonanie lub nienależyte wykonanie zobowiązań wynikających z Umowy, jeżeli jest ono spowodowane działaniem tzw. Siły Wyższej. Za Siłę Wyższą, uważa się wszelkie wydarzenia i okoliczności nadzwyczajne, nieprzewidywalne, niezależne od woli i intencji którejkolwiek ze Stron, ani jakiejkolwiek osoby, za którą Xxxxxx ponoszą odpowiedzialność. Za zdarzenia Siły Wyższej strony uznają klęski żywiołowe, wypadki lotnicze, akty organów państwa, blokady na granicy, stany wojenne, stany nadzwyczajne itp.
2. W przypadku wystąpienia okoliczności Siły Wyższej, o której mowa w ustępie poprzedzającym niniejszego paragrafu, termin wypełnienia zobowiązań umownych przesuwa się proporcjonalnie do czasu, w którym będą występować okoliczności siły wyższej.
3. Strona, dla której wypełnienie zobowiązań wynikających z Umowy lub OWZ stało się niemożliwe, zobowiązana jest w formie pisemnej poinformować drugą Stronę o rozpoczęciu i zakończeniu ww. okoliczności nie później niż w ciągu 5 dni kalendarzowych od ich rozpoczęcia i odpowiednio w ciągu 5 dni kalendarzowych od ich zakończenia, pod rygorem utraty uprawnień wynikających z powołania się na klauzulę Siły Wyższej.
4. Jeśli niemożliwość wywiązania się z obowiązków umownych drugiej strony, na skutek Siły Wyższej, trwa dłużej niż 30 dni, każda ze stron jest uprawniona do odstąpienia od Umowy ze skutkiem natychmiastowym, bez jakichkolwiek negatywnych konsekwencji ustawowych lub umownych dla strony odstępującej.

3. For observing the obligations mentioned in clause 1 and 2 of the following paragraph any of the Parties cannot demand any remuneration or reimbursement.
4. In case of branching of the obligation mentioned in clause 1 and 2 of the following paragraph, the Seller will pay to the Buyer contractual penalty equal to 100.000,00 zł for each case of branching.
§ 20.
Force Majeure
1. None of the Parties shall bear the responsibility for not fulfilling or for improper fulfilment of the Agreement, if this non-compliance results from the causes out of control of any of the Parties, called Force Majeure. As Force Majeure Parties consider all extraordinary, impossible to predict, out of Parties (or third person for with the Party is liable) willing or intentions events. As Force Majeure Parties consider natural disasters, air disasters, legal document of country authorities, borders blockade, states of war, extreme states, etc.
2. In case of Force Majeure, mentioned in the preceding clause of following paragraph, the established by Parties time limit of fulfilling the contractual duties is prolonged until the circumstances of Force Majeure terminate.
3. The Party, for which fulfilling the provisions of the Agreement become impossible due to the Force Majeure, is obliged to inform other Party in writing under pain of nullity abut beginning and ending of mentioned above circumstances not longer than in 5 calendar days since its beginning and accordingly 5 calendar days since its terminating, under pain of losing the rights arising from the circumstances of Force Majeure.
4. If the impossibility of fulfillment of the provisions of the Agreement by the other Party due to the circumstances of Force Majeure lasts longer than 30 days, each Party is entitled to withdrawn the Agreement with immediate effect, without any negative statutory or contractual consequences for the Party withdrawing from the Agreement.
§ 21
Rozwiązanie Umowy lub odstąpienie od Umowy
1. Kupujący ma prawo do (według wyboru Kupującego): odstąpienia od Umowy lub wypowiedzenia Umowy ze skutkiem natychmiastowym (bez dodatkowego wzywania Sprzedającego do zaprzestania naruszeń i/lub należytego wykonania zobowiązań umownych), w przypadkach, gdy Sprzedający narusza fundamentalne postanowienia Umowy, a w szczególności:
1.1. Składne przez Sprzedającego oświadczenia, o których mowa w § 4 OWZ, są niezgodne ze stanem rzeczywistym,
1.2. Sprzedający narusza którykolwiek z obowiązków wynikający z § 5 - § 7 niniejszych OWZ,
1.3. Sprzedający opóźnia się z dostawą Towarów lub zachodzą okoliczności przewidziane w § 12 ust. 1 OWZ,
1.4. Sprzedający nie wywiązuje się z obowiązków z tytułu reklamacji dostawy, rękojmi za wady, gwarancji jakości, praw osób trzecich,
1.5. Sprzedający narusza klauzulę poufności, o której mowa w § 19 niniejszych OWZ.
2. Kupujący może również wypowiedzieć Umowę ze skutkiem natychmiastowym, jeśli Sprzedający, pomimo pisemnego wezwania Sprzedającego do zaprzestania naruszeń i/lub właściwego wykonania Umowy, nadal nie wykonuje zobowiązań wynikających z Umowy należycie lub wykonuje je nienależycie.
3. W przypadkach, o których mowa w ustępie 1 oraz 2 niniejszego paragrafu, Sprzedającemu nie przysługuje prawo do wynagrodzenia, ani jakiekolwiek inne roszczenie cywilnoprawne, których to niniejszym Sprzedający zrzeka się.
4. W przypadku odstąpienia przez Kupującego od umowy lub wypowiedzenia umowy ze skutkiem natychmiastowym, z przyczyn leżących po stronie Sprzedającego, Kupujący jest uprawniony do naliczenia Sprzedającemu kary umownej za odstąpienie/wypowiedzenie w wysokości 50% ceny Towaru brutto wynikającej z Umowy.
5. W przypadku odstąpienia od Umowy, Kupującemu przysługuje swobodne prawo wskazania momentu od którego odstąpienie będzie skuteczne, w tym czy odstępuje od Umowy w całości czy w części, a jeśli w części to czy tylko w część dotychczas niewykonanej czy innej. Kupujący może zrealizować prawo odstąpienia nie później niż w ciągu 24 miesięcy od daty wystąpienia przyczyny odstąpienia.
6. Kupujący może także wypowiedzieć Umowę ze skutkiem natychmiastowym, w przypadku gdy z przyczyn niezależnych od Kupującego zapotrzebowanie na Towar ustało.
7. Uprawnienia Kupującego, o których mowa w niniejszym paragrafie nie uchybiają innym uprawnieniom Kupującego, w szczególności do naliczania kar umownych.
8. Prawo Sprzedającego do odstąpienia od umowy
§ 21
Agreement Withdrawing or Termination
1. The Buyer shall have right to (at his own discretion) withdrawn from the Agreement or to terminate the Agreement with the immediate effect (without written notice summoning the Seller to cease the breaches or/and proper performance of contractual duties), if the Seller shall breach any of the essential Agreement’s provisions, in particular to the following:
1.1. The Seller files untrue statements mentioned in the § 4 of following GPT,
1.2. The Seller breaches any of the obligations mentioned in the § 5 - § 7 of following GPT,
1.3. The Seller is in a delay with delivery of the Products or circumstances mentioned in § 12 clause 1 of following GPT exists.
1.4. The Seller does not fulfill from the obligations from the warranty of delivery, warranty for the defects, guarantee of quality or third person claims
1.5. The Seller shall disclose any of the Confidential Information, mentioned in the
§ 19 of following GPT.
2. The Buyer can also terminate the Agreement with the immediate effect if the Seller does not perform the Agreement properly or does not perform the Agreement at all, and, despite the written notice summoning the Seller to cease the breaches or/and proper performance of contractual duties, the Seller still does not perform the Agreement or performs it improperly.
3. In the case referred to in clause 1 and 2 of the following paragraph, the Seller shall not have the right to receive the payment and hereby irrevocably waives the right to receive any kind of payment, reimburse expanses or to claim any other civil rights form Buyer.
4. In case of withdrawing from the Agreement by the buyer or terminating the Agreement with the immediate effect, due to the causes caused by the Seller, the Buyer is entitled to charge the Seller with contractual penalty for withdrawing form the Agreement or terminating the Agreement equal to 50% of Product’s price gross deriving from the Agreement.
5. In case of withdrawing the Agreement, the Buyer is entitled to show without restraint any suitable moment from witch the withdrawn will be valid, including showing weather he withdraws from the Agreement partially or in whole; if partially, he shall declare weather in the part nor performed yet or weather in other part.The Buyer can withdraw from the Agreement not later than within 24 month since the cause of withdrawing occurred.

§ 22
Postanowienia końcowe
1. W przypadku jakiegokolwiek sporu lub nieporozumienia pomiędzy Stronami dotyczącego postanowień i warunków OWZ lub Umowy, którego nie uda się rozstrzygnąć w drodze negocjacji, Strony rozstrzygną sprawę przed Sądem Rejonowym Katowice-Wschód w Katowicach lub Sądem Okręgowym w Katowicach – w zależności od wartości przedmiotu sporu.
2. Umowa i stosunek prawny z niej wynikając podlegają w całości polskiemu prawu materialnemu i procesowemu. W przypadkach nieuregulowanych niniejszymi OWZ, stosuje się polski kodeks cywilny.
3. Niniejsze OWZ uzupełniają wszelkie wcześniejsze porozumienia Xxxxx, w zakresie tymi porozumieniami wyraźnie na piśmie nie uregulowanym.
4. Jeżeli poszczególne postanowienia OWZ okazałyby się nieważne lub nieskuteczne, nie będzie to miało wpływu na ważność i skuteczność pozostałych postanowień OWZ.
5. Niewykonywanie lub opóźnienie w wykonaniu jednokrotne lub wielokrotne przez Kupującego jakichkolwiek uprawnień wynikających z OWZ i Umów, lub wykonywanie ich w sposób sprzeczny z postanowieniami Umów (na korzyść Sprzedającego) lub przyjęcie na siebie jednorazowo lub kilkakrotnie jakiegoś obowiązku nie wynikającego z Umowy lub OWZ, nie powoduje zrzeczenia się tych uprawnień przez Kupującego, czy też przyjęcia na siebie obowiązków nie wynikających z OWZ.
6. Jeśli w OWZ jest mowa o formie pisemnej rozumie się przez to dokument podpisany przez osobę uprawnioną do reprezentacji Kupującego/Sprzedającego do dokonania określonego rodzaju czynności lub danej czynności.
7. Jeśli w OWZ jest mowa o formie elektronicznej lub fax, rozumie się przez to wysłanie mailem na adres Sprzedającego lub adres Kupującego podany na stronie internetowej Kupującego (xxx.xxxxxxxxxx.xxx) skanu dokumentu, o którym mowa w ustępie poprzedzającym.
8. OWZ zostało sporządzone w wersji językowej polskiej i angielskiej. W razie wątpliwości lub rozbieżności, rozstrzygające znaczenie ma wyłącznie wersja polskojęzyczna OWZ.
6. The Buyer is also allowed to terminate the Agreement with the immediate effect if the interest in the Product does no longer exist for reasons beyond Buyer’s control.
7. Entitlement mentioned in the preceding clause do not prejudice other Buyer’s entitlements, especially to charge the Seller with contractual penalty,
8. The Sellers’s entitlement to withdrawn from the Agreement arising from civil code is excluded.
§ 22.
Final conditions
1. In case if any disputes or disagreements between the Parties concerning the terms and conditions of GPT or Agreement cannot be settled by way of negotiations, such disputes or disagreements shall be settled in the District Court Katowice-Wschód in Katowice or Regional Court in Katowice – depending on the value of the subject matter of a dispute.
2. The Agreement and legal relationship arising from the Agreement are fully liable to the Polish substantive and procedural law. In cases unregulated in following GPT Polish Civil Code shall be applied.
3. The following GPT supplement any agreements previously concluded between the Parties in the extent, which is not regulated in those agreement directly.
4. In the event that one of the provisions of the following GPT is invalid or unenforceable, the validity or enforceability of the other provisions of the GPT shall in no way be affected.
5. The absence or delay of implementation of one or numerous occasions of any provision of the GPT or the Agreement by the Buyer, or performing them on the contrary to provisions of the Agreement (on the benefit of the Seller) as well as one or numerous performance of the provision not settled in the GPT or Agreement, shall not be understood as termination of those provisions nor acceptance of the obligations which does not derive form the GPT.
6. Each time GPT mentions written form it is understood to mean document signed by Xxxxx’x or Seller’s representative authorized to undertake actions or action of such kind.
7. If GPT mentions electronic form or fax it is understood to mean sending an e-mail on Seller’s electronic post address or Buyer’s electronic address indicated ion Buyers website (xxx.xxxxxxxxxx.xxx) or sending a scan of the document mentioned in preceding clause.
8. GPT is prepared in two version in Polish and English language. If there are any doubts or discrepancies between the version, the Polish version prevails.
