General Terms and Conditions for Advokatfirman Källén & Ingvar AB

1 TILLÄMPNING OCH TOLKNING 1.1 Dessa allmänna villkor gäller för samtliga tjänster som Advokatfirman Källén & Ingvar AB (”AKI”) och där verksamma jurister tillhandahåller sina klienter. 1.2 Klientens uppdragstagare är den juridiska personen XXX. Detta gäller även om det är överenskommet eller underförstått att arbetet skall utföras av en eller flera personer hos AKI. AKI’s delägare och övriga personer som arbetar för eller anlitas av AKI omfattas av dessa villkor och dessa personer skall under inga omständigheter ha individuellt ansvar gentemot klienter, om inte annat följer av tvingande lag. 1.3 Med undantag för vad som anges i punkt 13.1 skall avvikelser från dessa villkor avtalas skriftligen för att kunna göras gällande. 1.4 AKI är skyldiga att följa Sveriges Advokatsamfunds vägledande regler om god advokatsed. 1.5 Enligt dessa villkor skall samtliga frågor i ett ärende gemensamt anses utgöra ett och samma uppdrag och detta även om ärendet omfattar flera juridiska eller fysiska personer, flera rättsområden eller om separata fakturor ställs ut.	1 APPLICATION AND INTERPRETATION 1.1 These general terms and conditions apply to all services provided to clients by Advokatfirman Källén & Ingvar AB (”AKI”) and lawyers and associates working for AKI. 1.2 The contract will always be between the client and XXX, which applies also when it is agreed or implicitly understood that the work shall be performed by an appointed individual(s) at AKI. XXX’x partners and other persons employed for or engaged by XXX are comprised by these conditions and such persons shall under no circumstances have individual responsibilities in relation to clients, except as otherwise provided by mandatory law. 1.3 Irrespectively of anything to the contrary in Clause 13.1, any variation of these General Terms must be agreed in writing prior to application. 1.4 AKI is required to observe the code of conduct established by the Swedish Bar Association. 1.5 All aspects of a transaction shall be considered to be one single matter, irrespectively of whether it involves several legal or individual entities, legal branches or if separate invoices shall be issued.
2 IDENTIFIKATION 2.1 Enligt lag måste AKI i vissa uppdrag, innan uppdraget påbörjas, kontrollera klienternas identitet, ägarförhållanden och skaffa information om arten och syftet med ärendet och klientens förbindelse med AKI. 2.2 AKI kan inte hållas ansvarigt för skada som klienten orsakas, direkt eller indirekt, till följd av att AKI agerat enligt lagstadgad skyldighet att anmäla misstankar om penningtvätt eller terrorismfinansiering till Finanspolisen.	2 CLIENT IDENTIFICATION 2.1 According to applicable legislation, AKI will at times be required to verify the identity of the client(s) and any company ownership structure as well as to seek information about the nature and objectives of the matter and the client’s relationship with XXX. 2.2 AKI cannot be held liable for any loss or damage which is directly or indirectly caused a client and arising out of our duty by law to disclose any suspicion of money laundering or terrorism financing to the police authorities.
3 RÅDGIVNING 3.1 För varje uppdrag utses en kontaktperson hos AKI som har det övergripande ansvaret. Även andra personer hos AKI kan dock komma att utföra arbete inom ramen för det aktuella uppdraget. 3.2 AKIs rådgivning är anpassad efter förhållandena i det enskilda uppdraget, de fakta som presenteras för oss och de instruktioner klienten ger, och omfattar inte om det inte särskilt avtalats, möjliga skattekonsekvenser. Klienten skall inte förlita sig på givna råd i samband med något annat ärende eller för annat ändamål. 3.3 AKI tillhandahåller inte ekonomisk eller redovisningsmässig rådgivning. 3.4 AKI lämnar ej rådgivning om rättsläget i andra jurisdiktioner än den svenska. AKI kan emellertid, efter överenskommelse med klienten inhämta rådgivning från jurister i den aktuella jurisdiktionen. 3.5 Lämnade råd är baserade på rättsläget vid den tidpunkt som rådet lämnas. Om inte annat särskilt avtalats åtar vi oss inte att uppdatera lämnade råd i anledning av efterföljande förändringar.	3 ADVICE 3.1 A contact person will be appointed at AKI for each matter, who will have the overall responsibility therefore. In addition, other staff at AKI may perform work on the matter at hand. 3.2 AKI advice is tailored to the circumstances of each particular matter, facts presented to XXX and instructions given by the client. They do not include, unless separately agreed, potential tax consequences. The client may not rely on any other given advice which relates to any other matter or purpose. 3.3 AKI will not supply any financial or accounting advice. 3.4 AKI is not qualified to give any advice regarding any jurisdiction other than the Swedish. XXX will, however, after agreement with the client, be pleased to assist in obtaining the necessary advice from lawyers qualified in the relevant jurisdiction. 3.5 Advice given is based on the law as it stands at the date of the advice. If expressly not agreed, XXX will not update the advice given at a later date as a consequence of change in law.

4 KOMMUNIKATION AKI kommunicerar i ett uppdrag på flera sätt, bland annat via Internet och e-post. AKI påtar sig inget ansvar beträffande de risker som dessa kommunikationsmedel är behäftade med. Klienten måste meddela AKI för det fall klienten ej accepterar kommunikation via Internet och e-post.	4. COMMUNICATION AKI will communicate in a matter in a variety of ways including by e-mail. XXX will not accept any responsibility for risk associated with this manner of communication. The client must inform XXX in case he does not accept communication by e-mail.
5 IMMATERIELLA RÄTTIGHETER Upphovsrätt och andra immateriella rättigheter till de arbetsresultat som AKI genererar i ett uppdrag tillhör AKI. Klienten får använda resultaten för de ändamål för vilka de tagits fram. Om inte särskilt avtalats får klienten inte sprida dokument som tagits fram av AKI eller använda dessa för marknadsföringsändamål.	5 INTELLECTUAL PROGERTY RIGHTS Copyright and other intellectual property rights in work products that AKI generates in a matter will belong to XXX. The client has the right to use the results for the purpose(s) for which it is provided. If not otherwise agreed, the client is not allowed to circulate documents generated by AKI or use them for marketing purposes.
6 SEKRETESS 6.1 AKI skyddar i enlighet med de vägledande reglerna om god advokatsed all den information som klienten lämnar och lämnar endast ut information i sådana situationer som fordrar utlämnande i enlighet med nämnda regler eller tvingande lagstiftning. 6.2 Klienter som är registrerade för mervärdesskatt i annat EU-land än Sverige samtycker till att AKI redovisar klientens VAT-nummer i periodisk sammanställning. 6.3 Om AKI med klientens samtycke anlitar andra rådgivare och fackmän förutsätts att information som lämnats av klienten får utlämnas till rådgivarna och fackmännen såtillvida klienten inte förbjudit detta.	6 CONFIDENTIALITY 6.1 AKI will protect all information disclosed by the client and treat it confidentially in accordance with the code of conduct of the Swedish Bar Association and will only disclose information in situations which require it in accordance with the rules mentioned or required by law. 6.2 Clients registered for VAT in any other EU country than Sweden acknowledge that AKI must report the client’s VAT number to a periodical register as required by the Swedish tax authorities. 6.3 If AKI, with the client’s prior approval, engages other advisors and professionals, it is assumed that information given by the client may be disclosed to these unless expressly not agreed by the client.
7 ANDRA RÅDGIVARE OCH FACKMÄN 7.1 Om AKI, efter överenskommelse med klienten, anlitar andra rådgivare och fackmän skall de anses oberoende i förhållande till AKI. AKI ansvarar således inte för de råd eller tjänster dessa tillhandahåller. Detta gäller oavsett om rådgivaren eller fackmannen rapporterar till AKI eller till klienten. Om klienten samtycker till att AKI anlitar andra rådgivare eller fackmän innefattar detta samtycke även en befogenhet att acceptera samtliga ansvarsbegränsningar. 7.2 Rådgivare eller fackmän anlitas av AKI för klientens räkning. AKI ansvarar således inte för de arvoden och kostnadsersättningar som dessa debiterar. 7.3 Om flera rådgivare och fackmän jämte AKI kan hållas ansvariga för en skada som drabbat klienten skall AKIs ansvar för skadan, med iakttagande av vad som anges i avsnitt 11 nedan, begränsas till maximalt den andel av skadan som AKIs arvode utgör av summan av arvodet till samtliga rådgivare och fackmän som kan hållas ansvariga för skadan. Om AKI och andra rådgivare eller fackmän är solidariskt ansvariga för en skada som drabbat klienten och någon av de andra rådgivarnas eller fackmännens ansvar i förhållande till klienten är mer begränsat än AKIs, skall AKIs ansvar reduceras med det belopp som AKI annars hade kunnat återfå av rådgivaren eller fackmannen om dennes ansvar inte hade begränsats.	7 OTHER ADVISERS AND PROFESSIONALS 7.1 If AKI, with the client’s prior approval, engages other advisers and professionals, such adviser shall be considered to be independent of AKI. XXX assumes no responsibility for advice given or work carried out. This applies irrespectively of whether the adviser/professional reports to XXX or to the client directly. If AKI, under prior approval, thus engages other advisers/ professionals, this agreement also includes all limitations of liability. 7.2 Advisers or professionals are engaged by XXX on behalf of the client. XXX will not be responsible for fees and costs charged by them. 7.3 If several advisers/professionals, together with XXX, could be held liable for loss or damage suffered by the client, XXX’x responsibility for such damage shall, subject to Clause 11, be reduced to maximum the part of the damage which AKI’s fee bears in relation to the sum of the fees payable to all advisers/professionals which can be held liable for the damage. If XXX and other advisers/professionals can be held liable for the damage suffered by the client and if the responsibility of the other advisers/professionals is more limited than that of AKI, XXX’x responsibility shall be reduced with the amount corresponding to what AKI otherwise could recover from such adviser/professional if its liability had not been so limited.

8 ARVODEN OCH KOSTNADER 8.1 AKIs arvoden debiteras i enlighet med vad god advokatsed stadgar. Detta innebär att arvodena normalt fastställs utifrån faktorer som nedlagd tid, svårighetsgrad, tidspress, uppnått resultat, de värden uppdraget rört, risker för AKI samt den sakkunskap, skicklighet, erfarenhet och resurser som uppdraget krävt. 8.2 AKI kan på klientens begäran inför ett uppdrag göra en uppskattning av det förväntade arvodet för uppdraget. En sådan uppskattning baseras på den information som finns att tillgå om uppdraget och utgör ingen offert om fast pris. 8.3 Utöver arvode äger AKI rätt att debitera klienten för kostnader vid uppdragets utförande. Kostnader kan exempelvis gälla registreringsavgifter, resekostnader och ersättning till andra rådgivare och fackmän. AKI kan även komma att debitera klienten för kopiering och andra administrativa tjänster. 8.4 Utöver arvode och ersättning för kostnader tillkommer mervärdesskatt i de fall XXX är skyldigt att debitera sådan.	8 FEES AND EXPENSES 8.1 AKI fees follow the Swedish bar association’s code of conduct meaning fees are normally determined on the basis of a number of factors, such as time spent, complexity of work performed, time constraints, result achieved, values concerned, risks assumed (if any) by XXX, as well as on the qualifications and experience of staff and resources required. 8.2 On request AKI can provide the client with an estimate of the expected fee for the engagement. Such estimation will be based on information available and cannot be regarded as a fixed quote. 8.3 In addition to fees, XXX is likely to incur incidental costs, such as registration fees, travel and compensation to other advisers/professionals which AKI will invoice the client. AKI may also invoice i e photocopying and other administrative costs. 8.4 All fees and expenses are indicated on invoices exclusive of VAT, which will be charged by AKI where appropriate.
9 FAKTURERING OCH BETALNING 9.1 AKI tillämpar normalt månadsvis fakturering för utfört arbete föregående månad samt för kostnader. Fakturorna kan vara a conto eller slutliga. I de fall fakturering sker a conto skall den slutliga fakturan ange uppdragets totala arvode med avdrag för vad som fakturerats a conto. 9.2 AKI förbehåller sig rätten att begära förskottsbetalning på arvode och kostnader. Belopp som klienten erlägger i förskott skall reglera framtida fakturor. Storleken på förskottsbeloppet utgör ingen överenskommelse om den totala kostnaden för uppdraget. 9.3 Om AKI:s arvode och kostnader skall finansieras genom att klienten ianspråktar en rättskyddsförsäkring är klienten skyldig att även erlägga betalning för arvode och kostnader till den del dessa inte ersätts av försäkringen. Xxxxxxxx ansvarar för att införskaffa information om och vara införstådd med villkoren för den relevanta rättsskyddsförsäkringen såsom t ex självriskens storlek och maximalt ersättningsbart belopp. 9.4 Om inte annat avtalats förfaller AKIs fakturor till betalning 20 dagar efter fakturadatum. Vid utebliven betalning debiteras dröjsmålsränta enligt lag. 9.5 I domstolsprocesser och skiljeförfaranden kan den förlorande parten åläggas att betala den vinnande partens rättegångskostnader (inklusive advokatarvoden). I regel ersätts inte den vinnande partens totala rättegångskostnader. Oavsett om klienten är vinnande eller förlorande part skall klienten erlägga betalning för samtliga tjänster AKI utfört och för de kostnader AKI haft i samband med att AKI företrätt klienten.	9 INVOICING AND PAYMENT 9.1 AKI usually invoices on a monthly basis for work done during the preceding month as well as for expenses. AKI invoices can be on account preliminary or final. In case of on account preliminary invoice, the final invoice will set out the total amount of fees and expenses with the fees and expenses payable according to any on account preliminary invoice. 9.2 AKI reserves the right to request advance payment for fees and expenses. The amount thus paid in advance by the client will be used in settlement of future invoices. The amount of the advance payment shall not be understood to contain any final agreement regarding the total costs for the matter. 9.3 If AKI fees and expenses are financed by the client’s taking a legal insurance, the client is still obliged to finance fees and costs to the extent they exceed any sum paid under the insurance. The client is responsible for obtaining information about and agreeing on the conditions of the relevant legal insurance, in particular on the amount of the excess and the maximum payable amount. 9.4 Unless otherwise agreed, XXX invoices fall due within 20 days after the invoice date. If an invoice is not paid, interest will be charged according to law. 9.5 In litigation and arbitration, the losing party may be ordered to pay the costs of the winning party (including legal fees). Usually, the entire legal costs of the winning party are not compensated. Irrespectively of whether the client is the winning or losing party, the client is obliged to pay for all AKI services rendered and expenses incurred in representing the client in litigation or arbitration.
10 UPPDRAGETS UPPHÖRANDE 10.1 Klienten kan när som helst avsluta samarbetet med AKI genom att skriftligen begära att AKI skall frånträda uppdraget.	10 TERMINATION OF ENGAGEMENT 10.1 The client may terminate the engagement with XXX at any time by request in writing to cease the relation.

10.2 AKIs rätt och skyldighet att frånträda eller avböja ett uppdrag följer av lag samt de vägledande reglerna om god advokatsed. Detta kan t ex vara fallet vid utebliven betalning och intressekonflikter (jäv). Under alla förhållanden upphör uppdraget när det fullgjorts. 10.3 När uppdraget har upphört skall klienten erlägga betalning för arvode och uppkomna kostnader hänförliga till tiden dessförinnan. 10.4 När ett uppdrag slutförts eller på annat sätt upphört är AKI enligt lag och god advokatsed skyldigt att arkivera merparten av handlingarna och arbetsresultaten i uppdraget. AKI förbehåller sig rätten att arkivera handlingarna längre än vad lag och god advokatsed kräver om AKI anser det lämpligt med hänsyn till ärendets art.	10.2 AKI’s right and obligation to decline or withdraw from a matter is regulated by law and the Swedish bar association’s code of conduct. This may, for example, be the case in the event of non-payment or conflicts of interest. In any event, an engagement will end when the matter is terminated. 10.3 When the matter is terminated, the client is obliged to pay fees and expenses incurred prior to the date of termination. 10.4 After conclusion or termination of an engagement, XXX is obliged by law and code of conduct to retain the major part of documents and work products in the matter. XXX reserves the right to retain documents for a longer period than required by law and code of conduct if appropriate.
11 ANSVARSBEGRÄNSNING 11.1 AKI har tecknat av Sveriges Advokatsamfund obligatorisk ansvarsförsäkring. Därtill har AKI tecknat tilläggsförsäkring. 11.2 AKIs ansvar för skada i anledning av vårdslöshet eller avtalsbrott av AKI omfattar inte minskning eller bortfall av produktion, omsättning eller minskad vinst eller annan indirekt skada eller följdskada såtillvida skadan inte är ersättningsbar enligt Sveriges Advokatsamfund obligatoriska ansvarsförsäkring. 11.3 AKIs ansvar för skada skall nedsättas med det belopp klienten kan erhålla enligt försäkring som klienten tecknat eller på annat sätt omfattas av, eller enligt annat avtal eller skadeslöshetsförbindelse som klienten är förmånstagare till. 11.4 AKI ansvarar inte för skada som uppkommer i anledning av att klienten använder AKIs arbetsresultat eller råd för annat ändamål eller i annat sammanhang än avsett. Om inte annat stadgas i punkt 11.6 så ansvarar inte AKI för skada som drabbat tredje man genom att klienten använt AKIs råd eller arbetsresultat. 11.5 AKI ansvarar inte för skada som uppkommit till följd av omständigheter utanför AKIs kontroll och som AKI skäligen inte kunnat förutse vid tidpunkten för uppdragets antagande. 11.6 Om AKI på klientens begäran medger att tredje man får förlita sig på AKIs arbetsresultat eller råd medför detta inte att AKIs ansvar för skada ökar eller påverkas utan ansvaret i förhållande till den utomstående är begränsat till det ansvar AKI har i förhållande till klienten. Xxxxxx som AKI kan vara skyldigt att utge till tredje man enligt denna punkt 11.6 skall i motsvarande mån reducera AKIs ansvar i förhållande till klienten och vice versa.	11 LIMITATION OF LIABILITY 11.1 AKI has taken a general liability insurance mandatory according to the rules of the Swedish Bar Association. Further, AKI has taken additional insurance cover. 11.2 AKI’s liability for damage caused by XXX as a result of negligence or breach of contract shall not include reduction or loss of production, turnover or loss of profit or other consequential loss or damage unless not possible to compensate by the mandatory liability insurance referred to in 11.1 above 11.3 AKI’s liability for damage will be reduced by any amount which can be obtained under any insurance or contract maintained by the client, or by any other agreement or insurance provider where the client is a beneficiary. 11.4 AKI will not be liable for any damage or loss suffered as a result of the client’s use of XXX’x work or advice in any other context or for any other purpose than for which it was given. Except as provided in Clause 11.6, XXX will not be responsible for damage to any third party by the client’s use of XXX’x advice or work products. 11.5 AKI will not be liable for any damage suffered as a result of events beyond XXX’x control and which AKI reasonably could not have foreseen and avoided at the time the engagement was accepted 11.6 If AKI, on the client’s request, agrees that a third party may rely on XXX’x work product or advice, this will not increase or otherwise affect XXX’x liability for damage. The responsibility in relation to the outside party, as provided in this Clause 11.6, is reduced to the responsibility AKI will have to the client and vice versa.
12 FÖRFARANDET VID KLAGOMÅL OCH KRAV 12.1 Om klienten vill framföra klagomål på AKIs tjänster skall utan dröjsmål ansvarig kontaktperson för uppdraget underrättas varvid en utredning kommer att ske. 12.2 Eventuellt krav skall framställas till AKI så snart klienten har information om omständigheterna som kravet grundas på. För att kunna göras gällande får ett krav inte framställas efter det senare av: (i) 12	12 COMPLAINTS AND CLAIMS PROCEDURE 12.1 If, for any reason, the client has a complaint against XXX’x services, the appointed contact person for the relevant matter shall be notified as soon as possible and AKI will carry out an investigation to clarify the circumstances of the complaint. 12.2 Claims thus related to the complaint shall be made to XXX as soon as the client becomes aware of the relevant circumstances leading to the complaint. No claim may be

månader från den dag den sista fakturan i ärendet utställdes eller (ii) 12 månader från den dag då de relevanta omständigheterna blev kända för klienten eller, efter rimliga undersökningar, kunde ha blivit kända. 12.3 Om klientens krav har sin grund i tredje mans krav gentemot klienten skall AKI eller AKIs försäkringsgivare ha rätt att bemöta, reglera eller förlika kravet för klientens räkning under förutsättning att klienten – med iakttagande av dessa villkor – hålls skadeslös. Om klienten utan AKIs samtycke träffar förlikning, reglerar eller vidtar annan åtgärd beträffande sådant krav bortfaller AKIs ansvar för kravet. 12.4 Om AKI ersätter klienten för ett krav skall klienten, som villkor för lämnad ersättning, genom överlåtelse eller subrogation, överföra rätten till regress mot tredje man till AKI eller AKIs försäkringsgivare.	made later than: (i) 12 months from the date of the last invoice was issued in the matter or (ii) 12 months from the date at which the relevant circumstances causing the claim became known to the client, or could have become known after reasonable investigations. 12.3 Should the client’s claim be based on a claim against the client by a third party, AKI or XXX’x insurer shall be entitled to meet, settle or compromise the claim on the client’s behalf, provided that – taking into consideration these general terms – the client is indemnified by XXX. If the client, without AKI consent, meets, settles or otherwise acts in relation to a claim made against the client, AKI will not be liable for any claim made against XXX. 12.4 If the client is reimbursed by XXX for any claim, the client shall transfer the right to recourse against third parties by way of subrogation or assignment to AKI or XXX’x insurers.
13 ÄNDRINGAR M.M. Dessa villkor kan ändras från tid till annan. Den senaste versionen återfinns alltid på AKIs webbplats (xxx.xxxxxxxxxxxx.xx). Ändringar i villkoren gäller endast uppdrag som påbörjats efter det att ändringarna publicerats på webbplatsen.	13 CHANGES ETC. These general terms and conditions may be amended from time to time. The current version can always be viewed on XXX’x website (xxx.xxxxxxxxxxxx.xx). Amendments will become effective only in relation to matters initiated after the amended version was posted on the website.
14 TILLÄMPLIG LAG OCH TVISTELÖSNING 14.1 Dessa villkor och frågor eller tvister i anledning av villkoren skall regleras och tolkas i enlighet med svensk materiell rätt. 14.2 Tvist i anledning av dessa villkor eller AKIs rådgivning skall slutligt avgöras genom skiljedomsförfarande administrerat vid Stockholms Handelskammares Skiljedomsinstitut (”Institutet”). Institutets Regler för Förenklat Skiljeförfarande skall gälla om inte Institutet med beaktande av målets svårighetsgrad, tvisteföremålets värde och övriga omständigheter bestämmer att Skiljedomsreglerna för Stockholms Handelskammares Skiljedomsinstitut skall tillämpas. I sistnämnda fall skall Institutet också bestämma om skiljenämnden skall bestå av en eller tre skiljemän. Sätet för skiljeförfarandet skall vara Malmö. Förhandlingarna skall hållas på svenska. 14.3 Skiljeförfarandet, samt information som framkommit i skiljeförfarandet, samt beslut eller skiljedom som meddelas i anledning därav omfattas av sekretess. Detta gäller dock inte röjande av information i syfte att bevara parts rätt i förhållande till motparten eller om sådan skyldighet föreligger enligt tvingande lag. 14.4 Utan hinder av vad som angetts under detta avsnitt 14 har AKI rätt att väcka talan angående förfallna fordringar i allmän domstol som har jurisdiktion över klienten eller dennes tillgångar.	14 GOVERNING LAW AND DISPUTE RESOLUTION 14.1 These general terms as well as questions or disputes in connection with them shall be governed and construed in accordance with substantive Swedish law. 14.2 Any dispute arising out of these general terms or any matter where XXX has given advice, shall finally be settled by arbitration administrated by the Arbitration Institute of the Stockholm Chamber of Commerce (“the Institute”). The Institute’s Rules for Expedited Arbitration shall be in force, provided that the Institute, taking into consideration the degree of difficulty, the amount concerned by the dispute and other circumstances, will consider that instead the Arbitration Rules for Stockholm Chamber of Commerce shall apply. In that case, the Institute also shall decide if arbitration board shall consist of one or three arbitrators. The arbitral proceedings shall be held Malmö in the Swedish language. 14.3 The Arbitral proceedings, including any information obtained in the Arbitral proceedings, as well as decision or arbitration notified with reference thereto, will be subject to confidentiality. However, confidentiality will not apply in case of removing information relevant to the case for the purpose to of maintaining a party’s right in relation to the opposing party or if such obligation applies according to mandatory law. 14.4 Notwithstanding the foregoing under this Clause 14, AKI shall be entitled to commence proceedings regarding any outstanding sums in any court with jurisdiction over the client or any of the client’s assets.
