Behörighet, krav och information finns tillgängliga i de tjänstespecifika villkoren i slutet av detta dokument.
1. Inledning
Dessa Allmänna Villkor (AV) reglerar Din användning av Visma.nets plattform och alla produkter som görs tillgängliga via Xxxxx.xxx. Tjänsterna driftas av Visma Software International AS, och levereras av en Visma.net- distributör (se kapitel 13); du köper tillgång till Xxxxx.xxx från den distributör, som hädanefter refereras till som Visma. Denna AV gäller mellan Visma och dig, och reglerar Vismas skyldigheter gentemot Dig såsom Kund, och Dina skyldigheter som Kund och slutanvändare av Xxxxx.xxx. I AV förekommer begrepp med inledande versal, som definieras i 14.
AV gäller för alla Visma.net-Tjänster, oberoeande av användargränssnitt och integration. Detta innefattar individuella Tjänster som är integrerade med andra programvaruprodukter från Visma, som till exempel Visma Business eller Mamut One. Delar av denna AV som specifikt handlar om användargränssnitt eller integration kommer ej att vara gällande, beroende av hur Tjänsten är integrerad.
Om Du inte accepterar AV eller om Du inte har behörighet att för Ditt företags räkning göra Beställningar och/eller använda Xxxxx.xxx, skall Du inte använda Xxxxx.xxx, sända beställningsformulär eller acceptera AV. När Du accepterar AV utgör det ett bindande avtal mellan Ditt företag och Visma, som äger tillämpning från det datum AV är accepterat (se 2.4) av Ditt företags Primärkontakt (se 3.6).
AV och alla tillkommande villkor är tillgängliga från xxx.xxxxx.xxx/xx/xxxxxxx. Datum för senaste ändring anges alltid.

1.1. MEDDELANDEN
Allmänna meddelanden och information om Xxxxx.xxx lämnas på Xxxxx.xxx, på inloggningssidan eller på annan relevant webbsida på xxx.xxxxx.xxx. Meddelandet är att anse som levererat när sådant meddelande har publicerats. Allmänna meddelanden är till exempel information om nya villkor och planerat underhåll. Visma kan även sända allmän information per e-post.
Meddelanden om ändringar i AV eller priser, kvitton på köp eller annan information som rör Kundens Konto skickas till Kundens Primärkontakt per e-post, och anses vara levererad när det skickas från Visma.
Meddelanden äger tillämpning omedelbart, om inget annat särskilt anges i meddelandet.
Meddelanden från Kunden till Visma skall skickas på sätt som anges i 13.1.
2. Abonnemangsavtal
2.1. Alla Tjänster i Xxxxx.xxx tillhandahålls som “Software as a Service” (SaaS), där Kunden inte köper en kopia av mjukvaran på ett fysiskt medium eller dylikt, utan ett abonnemang på Tjänsterna som görs tillgängliga online. Vid köp av abonnemang ges Kunden rätt till åtkomst till Tjänsterna och rätt att nyttja Tjänsterna på sätt som framgår av AV. Alla Tjänsterna i Xxxxx.xxx regleras av AV, inklusive Tjänsterna, Modulerna eller delar som läggs till eller köps vid ett senare tillfälle.
2.2. Kunden erhåller en begränsad, uppsägningsbar, icke-exklusiv och icke överförbar licens att använda Tjänsterna i enlighet med AV enbart för Kundens egen interna affärsverksamhet mot betalning av en abonnemangsavgift och/eller en återkommande avgift (Abonnemangsavgifter). Betalning av Abonnemangsavgifter och uppfyllande av AV är en nödvändig förutsättning för rätten att nyttja Tjänsterna. I syfte att förtydliga, utan att begränsa det föregående, så betyder ”intern affärsverksamhet” Kundens företagsinterna redovisning och affärsuppföljning, såsom deras egen bokföring. Det skall inte under några omständigheter tolkas som att en tredje part tillåts att använda Tjänsterna eller att Kunden nyttjar Tjänsterna i en servicebyrå eller liknande sammanhang (om inte Kunden erhållit en särskild licens för detta syfte) eller att erbjuda tjänster genom utnyttjande av Tjänsterna till en tredje man eller ett företag som ägs till mindre än 50 % av Kunden.
2.3. Tjänsterna tillhandahålls i befintligt skick som standardtjänster; licenser är inte villkorade av eller beroende av någon särskild version eller funktion vid någon särskild tidpunkt, utan ger tillgång till och rätt att nyttja Tjänsterna såsom de tillhandahålls vid varje given tidpunkt. Licenser är inte villkorade av leverans av framtida versioner eller funktionaliteter, och inte heller beroende av publikationer, material eller kommentarer rörande desamma som görs av eller för Visma.
2.4. Kundens initiala aktivering av Tjänsterna skall bekräftas av Kundens Primärkontakt för att Kunden skall bli en Kund hos Xxxxx.xxx och för att Tjänsten skall göras tillgänglig för Kunden. Primärkontakten bekräftar köpet och binder Kunden till AV genom att klicka på “Jag accepterar” eller liknande på någon presentation av AV, antingen inne på Tjänsterna eller i en e-post som skickats från Xxxxx.xxx. Genom att bekräfta det initiala köpet av Xxxxx.xxx garanterar Primärkontakten att han eller hon är en ägare av eller anställd hos Kunden, eller har en liknande roll, med behörighet att ingå avtal genom att acceptera AV för Kundens räkning. Detta utgör ett bindande avtal mellan Kunden och Visma, som gäller från dag för accept till dess det sägs upp i enlighet med vad som anges häri. Efterföljande köp av vissa tillkommande Tjänster kan på samma sätt kräva att Primärkontakten bekräftar innan det görs tillgängligt för Kunden.
2.5. Visma förbehåller sig rätten att efter eget gottfinnande göra förbättringar, tillägg och ändringar, eller att ta bort funktionaliteter, eller korrigera fel eller brister i någon del av Tjänsterna. Visma friskriver sig från ansvar som härrör från sådana åtgärder. Om en sådan modifikation, mot förmodan, sätter funktioner ur spel eller tar bort sådan funktion som utgör en väsentlig del av Tjänsterna permanent för en tidsperiod som överstiger 2 månader, äger Kunden rätt att avsluta abonnemanget avseende den påverkade Modulen eller Tjänsten, eller de påverkade Modulerna eller Tjänsterna. Kunden äger därvid rätt till en proportionell återbetalning av återstående delen av abonnemanget för Abonnemangsavgifter som erlagts för de påverkade Moduler/Modulerna eller Tjänster/Tjänsterna.
2.6. Visma förbehåller sig rätten att ändra villkoren i AV med inte mindre än 30 dagars skriftligt varsel enligt 1.1, varvid det skall gå minst 00 xxxxx xxxxxx xxxxx ändring. Särskilda villkor för viss Tjänst kan ändras oftare, dock med iakttagande av 30 dagars varsel. Accept av AV är en nödvändig förutsättning för fortsatt användning av Tjänsterna, och görs av Kundens Primärkontakt genom att klicka på “Jag accepterar” eller liknande på en presentation av Tjänsterna antingen inne på Tjänsterna eller i en e- post som skickats av Xxxxx.xxx. Om Kunden inte accepterar AV, utgör det en uppsägning av abonnemanget. Kunden är i detta fall berättigad till en proportionell återbetalning av betalad Abonnemangsavgift för tiden efter att den varslade ändringen/ändringarna träder i kraft.
2.7. Vissa delar av Tjänsterna kan bli föremål för tillkommande villkor och restriktioner (såsom begränsning av lagringsutrymme eller villkor för en gratis provlicens) eller kräver registrering på hemsidor (till exempel för användning av en API eller betalningstjänst). Detta är specificerat i de produktspecifika villkoren för den relevanta Tjänsten.
2.8. Kunden har inte under några omständigheter rätt att överföra eller överlåta, helt eller delvis, någon licens för Tjänsterna till en tredje part, (innefattande men inte uteslutande vid fusioner och fissioner,
konkurs, ändring av ägande eller kontroll eller till närliggande bolag) om inte skriftligt godkännande erhålls från Visma dessförinnan.
2.9. Kunden accepterar att Visma kan referera till Kunden som en användare av Tjänsterna i sin allmänna marknadsföring, om inte Kunden skriftligen (t ex per e-post) har reserverat sig däremot.
2.10. AV utgör hela avtalet mellan Kunden och Visma avseende användning av Tjänsterna. Köp av ytterligare produkter eller tjänster som kan vara relaterade till installation, implementation och support från Xxxxx.xxx täcks inte av AV, och inte i något fall skall fel i prestanda hos sådan produkt eller tjänst ha någon effekt på avtalet som avser Tjänsterna i Xxxxx.xxx.
3. Nyttjanderätt
3.1. När Kunden har köpt ett abonnemang till Tjänsterna och accepterat AV, kommer Visma ge denne status som Kund hos Xxxxx.xxx, och erhålla rätt att nyttja Tjänsterna på de villkor som anges häri. Kunden kommer att kunna skapa ytterligare Användare och tilldela roller till sina Användare.
3.2. Kunden skall svara för att varje Användare accepterar att följa relevanta villkor i AV, och att Användarens användning av Tjänsterna, läggande av Beställning av Tjänsterna eller genom att klicka på “Jag accepterar” eller liknande i någon presentation av Tjänsterna antingen inne på Tjänsterna eller i en e-post utgör Användarens accept av villkoren i AV som gäller för Användaren. Kunden medger att denne har fullt ansvar för Användarnas åtgärder och att Användaren följer AV. Visma är inte ansvarig för några följder eller skador som kan uppkomma genom icke auktoriserat användande av Kundens Användarkonton.
3.3. Endast Användare med en betalad och giltig licens äger rätt att nyttja Tjänsterna. Användarlicenser utfärdas för enskilda namngivna Användare, som primärt identifieras med en e-postadress. En Användare måste vara en myndig fysisk person som har erforderlig rätt och behörighet att agera på uppdrag av Kunden. Kunden medger att Användare har behörighet att bereda Vismas supportpersonal tillgång till Kundens Konto för Tjänsterna om så krävs i supportärenden, eller om Användaren i annat fall så begär.
3.4. Användarkonton, inklusive Administratörer och extra Primärkontakter, skapas och administreras av Kunden. Användarkonton får inte delas eller användas av fler än en Användare, men Kunden kan fritt överföra ett Användarkonto till annan. Varje Användare är ansvarig för sekretessen och riktigheten avseende inloggningsuppgifter och annan kontoinformation. Kunden och/eller Användaren måste informera Visma omedelbart vid obehörig åtkomst av inloggningsuppgifter.
3.5. Användare skall inte överföra virus, maskar eller skadlig kod av något slag till Tjänsterna eller genom att använda Tjänsterna. Tjänsterna får inte nyttjas för något illegalt eller obehörigt syfte. Användare skall inte bryta mot någon lagstiftning i relevant jurisdiktion/relevanta jurisdiktioner, innefattande men inte uteslutande upphovsrättslagstiftning eller överföring av stötande, hotande, kränkande, ärekränkande eller annan anstötlig data till Tjänsterna. Användare skall omedelbart anmäla sådan Data till Visma per e-post.
3.6. Primärkontakt: Primärkontakten är en användare med fulla administrativa rättigheter och med inköpsrättigheter för Kundens räkning, inklusive tillkommande bolag, och agerar som Primärkontakt gentemot Visma. Primärkontakten äger rätt att utse ytterligare Primärkontakter och Administratörer för Kunden. Kunden medger att Användarna som har tilldelats rollen som Primärkontakt har de nödvändiga rättigheterna att göra inköp och administrera Kundens Licenser.
Primärkontakten meddelas per e-post minst 30 dagar före varje förändring av AV, och kommer att ombes att acceptera ändringarna å Kundens vägnar, såsom anges ovan under 2.6. Primärkontakten kommer också att meddelas per e-post varje gång ett nytt inköp har gjorts, inklusive individuella Moduler. (Vänligen notera att Din Partner kan lägga Beställning). Vissa Tjänster är inte tillgängliga för Kunden förrän köpet har bekräftats av Primärkontakten enligt 2.4. Om Kunden skapar fler än en Primärkontakt kommer Visma att rikta sin kommunikation med den först skapade Primärkontakten, eller annan Primärkontakt om Kunden så begär.
3.7. Kundadministratör: Kundadministratören är en Användare med fulla administrativa rättigheter för Kunden, inklusive tillkommande bolag. Kundadministratören skapas av en Primärkontakt. Kunden kan ha fler än en Xxxxxxxxxxxxxxxxx.
0. Databehandling och Integritet
Databehandling av Kundens Data
4.1. Tjänsterna omfattar behandling av Kundens Data, i form av lagring på Vismas servrar. Kunden är personuppgiftsansvarig och accepterar och garanterar att:
- Kunden är ägare av eller har rätten att Överföra Data till Tjänsterna för behandling och att Kunden har ansvaret för innehållet i Data samt att Data är korrekt, fullständig, tillförlitlig och laglig, liksom Överföring och Instruktioner;
- Databehandling eller utseende av personuppgiftsbiträde, om tillämpligt, har meddelats relevant tillsynsmyndighet och/eller Datasubjektet, och att Databehandlingen inte strider mot tillämplig lagstiftning;
- Det är Kundens ansvar såsom personuppgiftsansvarig att, om tillämpligt, meddela relevant tillsynsmyndighet och/eller Datasubjektet vid intrång eller obehörigt avslöjande av viss data, såsom personuppgifter;
- Visma har lämnat erforderliga garantier avseende tekniska och organisatoriska säkerhetsåtgärder;
4.2. Visma är personuppgiftsbiträde och accepterar:
- att behandla Data endast på Kundens vägnar och endast i nödvändig omfattning för att tillhandahålla Tjänsterna* i enlighet med AV, instruktioner från Kunden och tillämplig lag, och att följa råd och direktiv från relevant tillsynsmyndighet;
- att Visma har implementerat de tekniska och organisatoriska säkerhetsåtgärder beskrivna i AV för att skydda data från förlust, missbruk och obehörig ändring och att dessa åtgärder motsvarar en säkerhetsnivå som är lämplig med beaktande av den risk som följer av behandlingen av Data, samt kostnaden för genomförandet av åtgärderna, hur känsligt Data är samt de tekniska möjligheter som finns;
- att Visma inte har anledning att anta att tillämplig lagstiftning hindrar Visma från att fullfölja de instruktioner Visma erhåller från Kunden;
- att Visma utan dröjsmål skall meddela Kunden om Visma erhåller någon begäran från myndigheter eller polis om utlämnande av Data, om det inte är förbjudet, till exempel till följd av tystnadsplikt enligt lag vid brottsutredning, eller vid intrång eller obehörigt avslöjande av Data eller vid begäran erhållen direkt från Datasubjektet. Visma skall ej svara på sådan begäran utan att ha fått behörighet att göra så. Visma lämnar ut Kundens Data till myndighet eller polis endast för att följa lagligt bindande begäran, såsom domstolsutslag, beslut eller föreläggande.
* Vänligen referera till de tillämpliga Tjänstespecifika Villkoren för detaljer om enskilda Tjänster och hur Visma behandlar Kundens Data i syfte att tillhandahålla Tjänsterna. Till exempel kräver banktjänster såsom VismaAutoPay att Visma skickar viss information till bank för att kunna tillhandahålla Tjänsten.
Insamling av information
4.3. Visma samlar in och använder viss information som tillhandahålls av Kunden och Kundens Användare vid deras nyttjande av Tjänsten och sidor under xxx.xxxxx.xxx. Denna information kan omfatta:
- Kontaktinformation såsom namn, e-postadress och telefonnummer;
- Finansiell information såsom kreditkortsinformation;
- Annan information såsom Användarnamn, lösenord, Användares personliga inställningar och fakturerings- och transaktionsinformation.
4.4. Visma kan också komma att samla in och använda information genom automatiserade datainsamlingsverktyg, såsom inbäddade webblänkar och cookies på Visma.nets webbsidor eller i viss e-post skickade från Xxxxx.xxx till Användaren. Genom att acceptera AV godkänner Kunden sådan användning som beskrivs ovan av inbäddade webblänkar och cookies. Sådan information kan inkludera:
- Trafikinformation från Användarens webbläsare till webbsidan, såsom vilken webbläsare som används, språk och adressen till den webbsida som Kunden använder, och annan trafikinformation såsom IP-adresser.
- “Clickstream”-uppförande, såsom vilken länk Användare klickar på, och när det sker. Till exempel kan Visma logga när en Användare klickar på en ”Jag accepterar länk” för AV i en e-post skickad från Tjänsterna.
4.5. Visma kan också komma att använda information från allmänna eller kommersiellt tillgängliga källor och kombinera med information som Visma inhämtar, såsom att jämföra en inhämtad IP-adress med en geografisk karttjänst för att konstatera var Kunden ungefärligen befinner sig.
4.6. Om en Användare publicerar en kommentar eller liknande på något allmänt forum på någon webbsida på Xxxxx.xxx, inklusive på något socialt nätverk, blogg eller liknande, kan sådan information läsas och användas av vem som helst med tillgång till Internet och användas i syften som varken Visma eller Användaren har någon kontroll över. Visma är inte ansvarig för någon sådan information som publiceras av Användare på sådana forum.
Användning av viss information
4.7. Visma samlar in information beskriven ovan i syfte att förbättra Tjänsten och dess webbsidor, till exempel:
- Användnings- och trafikanalys för att tillhandahålla stabila och snabba Tjänster genom att identifiera till exempel trafiktoppar eller tillåta personliga inställningar i Tjänsterna;
- Upptäcka och förhindra säkerhetshot och utföra underhåll, såsom åtgärda buggar;
- Tillhandahålla support, utföra enkäter;
- Förbättra layout och innehåll av Vismas webbsidor, och mäta utfallet av marknadsföringsåtgärder;
- Behandla Kundernas beställningar;
- Marknadsföringssyften och besluta vilken information som skall visas för en Användare (till exempel inte visa erbjudanden för Tjänster som Kunden redan abonnerar på);
- Tillåta personliga inställningar för Användare, såsom språk, att lagras mellan sessioner. Visma har rätt att dela sådan information med sina Partner eller andra bolag inom Visma Group.
Visma kommer inte att publicera någon kommentar, betyg eller liknande som görs av en individuell Användare utan hans eller hennes samtycke dessförinnan.
Kreditkortsinformation används endast för att behandla betalningar och förhindra bedrägeri. Kreditkortsinformation kommer inte att behållas för längre tid än nödvändigt för att tillhandahålla Tjänsterna för framtida köp, om inte Kunden så medger.
Informationssäkerhet
4.8. Om inte annat anges här, kommer Visma inte att sälja, hyra, hyra ut eller på annat sätt göra insamlad Data tillgänglig för tredje part, utom i följande situationer:
- för att följa lag, förordning eller föreskrift, eller för att svara på en lagakraftvunnen begäran från myndigheter eller polis, såsom ett domstolsbeslut, beslut eller föreläggande;
- för att undersöka eller förhindra säkerhetshot eller bedrägeri;
- för det fall omorganisation, fusion, försäljning eller köp av Visma eller delar av eller hela Visma Group, då personlig information kan komma att avslöjas som del av omorganisationen eller sammanslagningen med andra bolag inom Visma Group, eller till faktiska och framtida köpare. Visma kommer i alla sådana fall att säkerställa att sådana parter iakttar de villkor som följer häri, och meddela att information lämnats ut.
5. Prissättning och fakturering
5.1. Abonnemangsavgifter och faktureringsperioder för Tjänsterna följer den prislista som görs tillgänglig av Visma på xxx.xxxxx.xxx/xx/xxxxxx och/eller inne på Xxxxx.xxx. En faktureringsperiod består av en eller flera kalendermånader. Om inte annat särskilt angivits avser alla Abonnemangsavgifter automatiskt förnybara abonnemang.
Visma fakturerar alltid Kunden direkt för Tjänsterna, inklusive Tjänster köpta via Partner.
5.2. Tillkommande köp
Tillkommande Tjänster och Moduler görs tillgängliga till Kunden omedelbart, och faktureras från och med följande månad.
Vissa Tjänster kan ta upp till 30 minuter att bli tillgängliga, eller kräver att Kundens Primärkontakt först bekräftar köpet och, i förekommande fall, accepterar tillkommande villkor för Tjänsterna.
5.3. Uppsägning av Tjänster och Moduler
Enstaka Tjänster eller Moduler kan sägas upp vid varje enskild tidpunkt, och uppsägningen vinner kraft vid slutet av innevarande faktureringsperiod.
Abonnemangsavgifter för uppsagda Tjänster eller Moduler tas bort från fakturan som följer efter uppsägningen, förutsatt att uppsägningen ägt rum minst 30 dagar före nästa faktureringsperiod. Uppsägningar som sker mindre än 30 dagar före nästa faktureringsperiod faktureras för nästa faktureringsperiod, och tas bort efter den därpå följande faktureringsperioden.
Vänligen notera att Användarkonton kan överlåtas på ny person istället för att uppsägning sker.
5.4. Visma förbehåller sig rätten att ändra Abonnemangsavgifterna med 3 månaders varsel enligt 1.1, dock inte oftare än två gånger per år för varje specifik Tjänst, och att utan varsel öka priserna årligen på grund av allmänna kostnads- och prishöjningar. Årliga prisändringar gäller från den 1 januari.
5.5. Publicerade priser anges utan skatter, avgifter eller andra pålagor. Vissa skatter, t ex mervärdesskatt (moms) kan tillkomma vid fakturering för Tjänsterna. Tillkommande skatter specificeras på fakturan.
5.6. Återbetalning sker inte för det fall Kunden inte nyttjar Tjänsterna helt eller delvis, eller oanvända licenser såsom transaktioner om de är föremål för återkommande abonnemangsavgift, utom i fall då tillgängligheten till Tjänsterna har varit väsentligt hindrad eller begränsad på grund av orsak för vilken Visma ensam svarar. I sådana fall kan Visma, enligt eget gottfinnande erbjuda en skälig återbetalning till Kunden för upplupna abonnemangsavgifter under den tid hindret eller begränsningen i Tjänsterna förekom.
6. Säkerhet
6.1. Visma är mån om att tillhandahålla säkra och pålitliga tjänster, och kommer vid varje tidpunkt tillhandahålla de administrativa, fysiska och tekniska säkerhetsåtgärder liksom backuplösningar som beskrivs på xxx.xxxxx.xxx/xx/xxxxxxxx.
7. Tillgänglighet och Support
7.1. Vismas tillgänglighetsgaranti för Tjänsterna, tidpunkter för underhåll och kundsupport beskrivs på xxx.xxxxx.xxx/xx/xxxxxxx. Visma tillhandahåller operativt stöd utan kostnad.
7.2. För det fall oplanerat driftstopp uppstår, eller om Tjänsterna inte är tillgängliga, det vill säga att ingen Användare kan öppna eller använda Tjänsterna på ett normalt sätt och detta orsakas av omständigheter för vilka Visma svarar, kan Visma, efter eget gottfinnande erbjuda en skälig återbetalning till Kunden i form av kreditering på nästa faktura, förutsatt att Kunden har rapporterat händelsen till Visma och begär ersättningen inom 14 dagar från det att Tjänsterna åter blivit tillgängliga efter avbrottet. Det krediterade beloppet skall, som en allmän princip vara proportionell till den period avbrottet pågick och vara Kundens enda ersättning för avbrottet.
7.3. Visma kan från tid till annan, till exempel inför stora releaser begära ytterligare fönster för underhåll än vad som följer av AV. Dessa meddelas Kunden minst 7 dagar i förväg och ingår inte i beräkning av tillgänglighet. Garanterad tillgänglighet inkluderar inte planerade underhållsfönster och kunder som deltar i pilottester eller som använder gratis testversioner.
7.4. Kunden är ansvarig för att Kunden har nödvändig hårdvara, infrastruktur (inklusive uppkoppling med hög hastighet till Internet) och webbläsare för att nå Internet och använda Tjänsterna. Tjänsterna är testade med de två senaste versionerna av följande webbläsare: Mozilla Firefox, Microsoft Internet Explorer och Apple Safari.
8. Uppsägning och Avstängning
8.1. Kunden äger rätt att säga upp enstaka Tjänster eller Moduler enligt 5.3 och kan säga upp hela abonnemanget av Xxxxx.xxx (och därigenom upphöra att vara Kund) genom skriftlig uppsägning till Visma med samma uppsägningstid som vid uppsägning av enstaka Tjänster eller Moduler.
8.2. Utan att frånsäga sig eller förlora rätten att göra andra påföljder gällande äger Visma rätt att stänga av Kundens tillgång till Tjänsterna om betalning inte har skett inom 30 dagar efter förfallodatum. Visma har rätt att avsluta Kundens konto för Tjänsterna om inte betalning har skett inom 14 dagar från det att avstängning först skedde. Kunden skall betala dröjsmålsränta i enlighet med gällande lag för alla Abonnemangsavgifter som inte är betalade på förfallodagen. Om Kunden samarbetar vid tvist om betalning och/eller skäligen bestrider beloppen i fråga kan Visma välja att inte kräva dröjsmålsränta. Har betalning uteblivit vid något tillfälle äger Visma villkora en förnyelse av Kundens licenser med kortare faktureringsperioder.
8.3. Visma kan säga upp Kundens Konto med omedelbar verkan om Kunden bryter mot någon av sina skyldigheter som följer av AV, om det är tydligt att Kunden kommer att väsentligen bryta mot AV. Visma kan efter varsel stänga av Kundens Konto om Visma på skälig grund misstänker att Kunden bryter mot någon av sina skyldigheter i AV, tills dess saken är löst.
8.4. Visma förbehåller sig rätten att upphöra med leverans av Tjänst, eller dess tillgänglighet på viss marknad, med 12 månaders varsel, eller vid en force majeure händelse med så långt varsel som möjligt. Kunden skall vara berättigad till en proportionell återbetalning av Abonnemangsavgifter som betalats i förskott för sådan Tjänst för tiden efter att Tjänsten/Tjänsterna upphört.
8.5. Visma har ingen skadeståndsskyldighet för några direkta eller indirekta skador, inklusive följdskador, förlust av data, förlust av produktion eller förlust av intäkt och vinst, eller för tredje parts krav som må uppkomma som ett resultat av avstängning eller uppsägning.
8.6. När Tjänsterna, inklusive Användare och Moduler, har sagts upp, kommer all Data och kopior av Data att raderas från Vismas servrar efter 90 dagar. Vid upphörande av Kundens samtliga abonnemang på Xxxxx.xxx, oavsett anledning, kommer Visma att tillhandahålla en kopia av Data eller en möjlighet att kopiera Data i ett format, och på ett sätt och vid en tidpunkt, samt på ett leveranssätt som bestäms av Visma. Visma har inga ytterligare skyldigheter mot Kunden för lagring och underhåll av Data. Om Kunden inte har möjlighet att motta Datakopian, måste Kunden kontakta Visma inom 30 dagar från uppsägningsdagen. Om inte Parterna särskilt avtalat om annat, kan Data inte återskapas efter mer än 90 dagar efter uppsägning. Visma rekommenderar att Kunden kontaktar Visma (eller Kundens Partner) i god tid innan uppsägning för att planera för och utföra Datamigrering och backuper. Kunden skall täcka Vismas kostnader för att tillhandahålla kopian baserad på Vismas generella priser för konsultärenden.
8.7. Parterna är överens om att inte framföra några krav på den andre parten med anledning av AV när mer än ett år passerat efter upphörandet xx XX.
0. Xxxxxxxxxxxx Rättigheter
9.1. Visma Software International AS (org. nr. 980858073) – eller dess licensgivare – är ensam innehavare av alla immateriella rättigheter (“IPR”) hänförliga till Tjänsterna. IPR innefattar men är inte begränsad till upphovsrätt, patent, varumärken, firma, mönster och produktdesign, källkod, databaser, affärsplaner och know-how, oavsett om det är registrerat eller inte. All dokumentation, inklusive manualer, användarguider, eller andra skrivna, elektroniska eller icke-elektroniska, beskrivningar av hur Tjänsterna är upprättade och använda (“Dokumentation”) anses vara del av Tjänsterna och är föremål för samma restriktioner. All upphovsrätt, varumärken, registrerade varumärken, produktnamn, firmor eller logotyper som anges i Tjänsterna eller i anslutning till Tjänsterna är respektive ägares egendom.
9.2. Visma gör inga anspråk på immateriella rättigheter, eller äganderätt av något slag till Data ägd av Kunden som överförs till Tjänsterna.
9.3. Villkoren i AV gäller för mjukvara från en tredje part som tillhandahålls av Visma som en del av eller i anslutning till Tjänsterna, om inte särskilda eller tillkommande licensvillkor har tillhandahållits med mjukvaran.
9.4. Om Kunden gör intrång i Vismas eller tredje mans IPR, eller använder Tjänsterna på ett sätt som strider mot AV, skall Kunden erlägga ett belopp som motsvarar det högsta av Abonnemangsavgifterna
som Kunden erlagt de senaste fem åren, eller motsvarigheten till abonnemangsavgifterna för fem år avseende de innevarande licenserna. Kunden bekräftar att Visma kan drabbas av oersättlig skada vid intrång eller skada på IPR, och att Visma eller dess licensgivare skall ha rätt att använda sig av alla rimliga åtgärder för att skydda sina kommersiella intressen, och sin egendom, inklusive alla åtgärder som är möjliga enligt lag. Motsvarande skall gälla om Kunden har, eller har försökt att erhålla information eller data som Kunden inte har rätt till enligt AV.
10. Ersättning
10.1. Visma skall försvara Kunden mot krav eller processer där en tredje part framställt krav enligt vilka Kundens användning av Tjänsterna enligt AV är i strid med, eller gör intrång i tredje parts patent, upphovsrätt eller annan immateriell rättighet. Kunden skall omedelbart meddela Visma om sådant krav. Visma skall, i den mån Visma är ansvarig, hålla Kunden skadeslös för alla kostnader, avgifter, skadestånd, utgifter eller förlust som drabbar Kunden enligt en i domstol stadfäst förlikning eller domslut, inklusive advokatkostnader, förutsatt att Kunden samarbetar med Visma på Vismas bekostnad och att Visma får full kontroll över den legala processen och förlikningen, och att förlikningen befriar Kunden från allt ansvar. Visma får efter eget gottfinnande (i) modifiera Tjänsterna så att de inte längre är i konflikt, (ii) ersätta Tjänsterna med en funktionalitet som motsvarar Tjänsterna, (iii) erhålla en licens för Kundens fortsatta användning av Tjänsterna eller (iv) avsluta Kundens Konto för Tjänsterna mot en återbetalning av varje abonnemangsavgift som betalats i förskott för Licensperioder som överskrider dag för upphörande. Kunden äger inte rätt att göra några andra krav gällande med anledning av intrång i tredje parts rättigheter.
10.2. Vad som anges ovan skall inte äga tillämpning om Tjänsterna har använts i strid mot AV eller om krav uppstår på grund av modifiering, integrering eller kundanpassning av Tjänsterna som inte utförts av Visma.
10.3. Kunden skall försvara Visma mot krav eller processer där en tredje part framställt krav grundat på av att Kundens Data, eller användande av Tjänsterna är i strid med AV, är i strid med eller gör intrång i den tredje partens patent, upphovsrätt eller annan immateriell rättighet, eller är i strid med gällande lagstiftning. Visma skall omedelbart meddela Kunden om alla sådana krav. Kunden skall ersätta Visma för alla kostnader, avgifter, skadestånd, utgifter eller förluster som drabbar Visma enligt en i domstol stadfäst förlikning eller domslut, inklusive advokatkostnader, förutsatt att Visma samarbetar med Kunden på Kundens bekostnad, och ger Kunden full kontroll över den legala processen och förlikningen, och att förlikningen befriar Visma från allt ansvar.
11. Garantibegränsning
11.1. Visma garanterar att Tjänsten kommer att fungera huvudsakligen som beskrivits, förutsatt att de är korrekt licensierade och upprättade. Kunden och Visma är överens om att Tjänsterna och leveransen därav inte är helt fria från fel och att förbättringar av Tjänsterna är en pågående process. Kunden medger att Tjänsterna är levererade i befintligt skick och används på Kundens egen risk.
11.2. Visma garanterar inte att Tjänsterna uppfyller Kundens krav, att de fungerar korrekt med Kundens val av utrustning, system eller inställningar, och inte heller att den inte avbryts eller är fri från fel. Vidare skall noteras att användning av Internet för att tillgå och använda Tjänsterna varken installerats, underhålls eller etableras av Visma, och att Visma inte har kontroll över Internet. Visma är inte ansvarig för avbrott eller störningar i driften av någon del av Internet, och har inte heller ansvar för en eventuell reglering av Internet. Visma skall vidta alla rimliga åtgärder som bedöms lämpliga för att åtgärda och undvika sådana händelser, dock garanterar Visma inte att avbrott inte äger rum. Visma är inte ansvarig för prestandan i Internettjänster eller hur Internetleverantörer utför sina tjänster.
11.3. Om Tjänsterna inte fungerar i enlighet med den begränsade garanti som följer av AV, skall Visma korrigera alla konstaterade fel eller brister i Tjänsten på egen bekostnad. Visma kan välja att ersätta Tjänsterna eller funktionaliteten istället för att korrigera fel. Om Visma inte korrigerar de konstaterade felen eller bristerna eller ersätter Tjänsterna inom skälig tid, äger Kunden rätt att säga upp abonnemanget till den aktuella Tjänsten. I detta fall äger Kunden rätt till en proportionerlig återbetalning av Abonnemangsavgiften för återstående abonnemangsperiod för den påverkade Tjänsten från och
med den månad då Visma konstaterat felet eller bristen. Utöver detta, skall Kunden inte äga rätt att göra krav gällande på Visma.
11.4. Tjänsten levereras i befintligt skick och varken Visma eller någon av dess licensgivare ger någon garanti, vare sig uttrycklig eller underförstådd, utom vad som särskilt anges häri, inklusive men inte uteslutande garantier rörande äganderätt, frånvaro av intrång, säljbarhet, lämplighet för visst ändamål eller kapacitet för systemintegration. Inga påståenden utöver de som särskilt anges i AV har gjorts med avseende på Tjänsterna, och Kunden skall inte förlita sig på några påståenden som inte uttryckligen anges i AV.
11.5. Länkar till webbsidor som inte ägs eller kontrolleras av Visma som framträder i Tjänsterna eller därmed åtföljande webbsidor eller Dokumentation tillhandahålls endast av bekvämlighetsskäl. Visma är inte ansvarig för sådana webbsidor.
11.6. Om någon del av AV befinns vara ogiltig, helt eller delvis, skall detta inte påverka giltigheten av övriga bestämmelser. Den aktuella bestämmelsen skall i sådana fall ersättas med en bestämmelse som, så långt möjligt, uppnår den ursprungliga bestämmelsens syften.
12. Ansvarsbegränsning
12.1. Visma är inte i något fall ansvarig för innehållet i eller äganderätten till Data.
12.2. Visma är inte i något fall ansvarig för några Instruktioner för Databehandling eller andra åtgärder som utförs av Kundens Användare.
12.3. Om Visma hålls ansvarig för betalning av ersättning till Kunden som ett resultat av ett brott av någon skyldighet som följer av AV, skall sådan ersättning under inga omständigheter innehålla ersättning för indirekt förlust eller följdskada, eller skadestånd av något slag som följer av, eller är ett resultat av sådant avtalsbrott, omfattande men inte uteslutande all förlust av Data, förlust av produktion, förlust av intäkt eller vinst, eller tredje parts krav eller myndighetsbeslut, även om Kunden har informerats om risken för sådana skador. Vismas ansvar enligt AV är begränsat till direkt skada, utom där annat följer av obligatorisk lag, såsom vad gäller skador som orsakas av grov vårdslöshet eller uppsåt. Alla återbetalningar och ersättningar för direkt skada samt direkta förluster och kostnader under varje 12- månaders period skall aldrig överstiga ett belopp som motsvarar 12 månaders Abonnemangsavgifter för Tjänsterna under samma period.
12.4. Varken Visma eller Kunden skall vara ansvariga för försening eller avbrott i sina åtaganden som orsakas av, eller härrör ur, en force majeure-händelse, såsom jordbävning, upplopp, arbetskonflikt och andra händelser som på samma sätt är utom Vismas eller Kundens kontroll.
12.5. För det fall lagstiftning, förordningar eller föreskrifter som rör Tjänsterna eller leveransen därav ändras, eller ny lagstiftning, förordning eller föreskrift blir gällande efter att Tjänsterna har tillgängliggjorts på marknaden, som hindrar Visma från att uppfylla instruktioner från Kunden eller Vismas skyldigheter enligt AV, och/eller som kräver att Tjänsterna stängs av, helt eller delvis, för en viss tid eller för obestämd tid, skall det anses utgöra en force majeure-händelse. Visma är inte i något fall ansvarig för sådan force majeure-händelse. Kunden blir i sådana fall ersatt för i förväg betald Abonnemangsavgift för Tjänst som påverkas från den månad som följer avstängningen av Tjänsten med anledning av force majeure-händelsen. Utöver detta har Kunden inte rätt att framställa ytterligare krav på Visma.
12.6. Även om Visma kommer att visa tillbörlig omsorg för säkra överföringar av information mellan Kunden och Tjänsterna, medger Kunden att Internet är ett öppet system och att Visma inte kan garantera, och inte heller garanterar, att tredje part inte kan eller kommer att komma i besittning av eller ändra Data eller Överföringen. Visma har inget ansvar för sådant oavsiktligt missbruk, avslöjande eller förlust av Data.
13. Avtalande Parter och Gällande Lag
13.1. Du, Kunden, ingår avtal med företaget du köpte Xxxxx.xxx från.

13.2. Parternas rättigheter och skyldigheter skall i sin helhet lyda under svensk lag. Tvister angående tolkning av AV eller användning av Tjänsterna, skall parterna försöka lösa genom uppgörelse i godo. Om tvisten inte kan lösas på detta sätt, skall tvisten lösas av allmän domstol, med Stockholms tingsrätt som exklusivt forum.
13.3. Den engelska versionen av AV skall äga företräde vid osäkerhet av tolkningen mellan den svenska och engelska versionen.

15. Särskilda Villkor avseende viss Tjänst

15.2. Kunden ger härmed Visma behörighet att till Kundens bank(er) placera och verifiera alla bankbetalningar som görs av Kunden genom Xxxxx.xxx
15.3. Kunden ger härmed Visma behörighet att returnera kontoutdrag och annan betalningsinformation från Kundens bank (banker) till Kunden.
15.4. Kunden skall informera Kundens bank(banker) om fullmakten enligt ovan om så krävs, och om det är nödvändigt ingå ett särskilt avtal med Kundens bank (banker) för att verkställa fullmakten. Skulle Kunden inte kunna verkställa fullmakten som lämnats Visma, är det möjligt att Visma AutoPay och relaterade tjänster inte fungerar.
15.5. Kunden är ansvarig för alla bankavgifter som uppstår genom banken (bankernas) behandling av betalningar genom nyttjande av Tjänsterna. För det fall Visma faktureras för någon sådan bankavgift i samband med att Visma levererar Tjänsterna, kommer Visma att vidarefakturera Kunden för sådana avgifter.
Xxxxx.xxx AutoInvoice
15.6. Visma AutoInvoice tillhandahåller funktionalitet för att sända och motta fakturor och affärsdokument i olika format till och från AutoInvoice-nätverket och därtill kopplade faktureringsnätverk, inklusive fakturor skickade till AutoInvoice OCR- och e-postadress (xxx/xxxxx@xxxxxxxxxxx.xx).
15.7. Kunden erhåller ett unikt ID för AutoInvoice-tjänsten, med användarnamn (e-postadress) och lösenord, som används för att identifiera Kunden som mottagaren i samband med nyttjande av Tjänsten. Kunden erhåller också en API-nyckel för Användare, som används för att få tillgång till AutoInvoicens API och identifiera och verifiera användningen av Kundens AutoInvoice konto i samband med transaktioner som skickas till AutoInvoicens API.
15.8. Användarnamn, lösenord och/eller Användarens API-nyckel kallas gemensamt “Identifieringshandlingar för Konto”) och a) identifierar Kundens AutoInvoice-konto, inklusive alla underkonton, och b) möjliggör för Kunden att Överföra och sända Instruktioner till Tjänsten.
15.9. Kunden ger härmed Visma behörighet att behandla Data som Överförs till Tjänsten enligt följande;
- Identifikationsdata såsom företagsnamn och kontaktinformation, verksamhetsområde, volym och internationell omfattning av fakturering och annan profilinformation såsom produkter och tjänster som Kunden erbjuder, namn och e-postadresser till Kundens kontaktperson(er).
- Profilinformation såsom Kundens kontaktpersons ställning, titel och födelsedatum, hälsningsfras och bosättningsland.
- Bank- och betalningsinformation såsom kreditkortsinformation, kontonummer, SWIT och IBAN- koder och andra koder som används av Kunden när Kunden nyttjar Tjänsten.
15.10. Data skall behandlas i syfte att tillhandahålla Tjänsten, samt i den omfattning som är nödvändigt för att detta skall kunna ske, såsom att inkludera Kundens aktuella bank- och betalningsinformation på Kundens fakturor, lämna ut bank och betalningsinformation, till exempel till mottagare av betalningar och fakturor inom ramen för Tjänsten.
15.11. I syfte att tillhandahålla Tjänsten till Kunden, antingen som mottagare eller avsändare av fakturor, behöver Visma behandla informationen på de inlämnade fakturorna för att tekniskt tillhandahålla tjänsten, såsom identifiering av avsändare och mottagare av fakturan och detaljer rörande fakturan, samt alla binära eller godtyckliga till fakturan bifogade filer och relaterad teknisk information såsom trafikdata (data behandlad i syfte att transportera kommunikation relaterad till fakturor och annan teknisk data tillsammans med fakturans destination, fakturans ursprung och all teknisk data i samband med alla inkommande eller utgående fakturor). Informationen som registreras om Kunden kan användas av Visma för att översända fakturor till och från Kunden.
15.12. Kunden samtycker härmed uttryckligen att Visma på kundens vägnar får utväxla fakturor och affärsdokument med anslutna faktureringsnätverk, inklusive PEPPOL, samt visa och överföra Kundens identifikationsdata och profilinformation till andra abonnenter av AutoInvoice-nätverket och anslutna faktureringsnätverk, inklusive registrering i de anslutna nätverkens adressregister, härunder PEPPOL SMP’s (Service Metadata Provider, t.ex. ELMA).
15.13. Visma Software International AS är en PEPPOL-åtkomstpunkt med Difi som den PEPPOL-regionala myndigheten (adress: Grev Wedels plass 9, Xxxxxxxx 0000 Xxx., 0000 Xxxx, Xxxxxx).
15.14. Vad gäller viss identifikationsdata och profilinformation kan Kunden ges ett val att inte tillhandahålla sådan information. Genom att lämna informationen accepterar Kunden härmed att sådan information kan bli använd och utlämnad i enlighet med villkoren häri.
15.15. Om Kunden inte önskar vara registrerad i de anslutna nätverkens adressregister, kontakta Visma via kontaktuppgifterna angivna i kapitel 7, Tillgänglighet och Support. Kunden ger sitt medgivande att Visma inte har någon kontroll över anslutna nätverk.
Xxxxx.xxx för redovisningsbyråer och klienter
15.16. En Byrå måste vara en officiellt registrerad redovisningsbyrå i enlighet med NACE Rev. 2 Class 69.20 (redovisning, bokföring, granskningsaktiviteter och skattekonsultationer), härefter refererad till ”Byrå- tjänster”. Andra typer av relaterade verksamheter, exempelvis shared service centre, kan beviljas denna licens efter, i varje enskilt fall, skriftligt godkännande från Visma.
15.17. En Byrå får använda Byrå-licenser (tjänster specifikt licensierade för detta ändamål) enkom för att förse Byrå-tjänster till dess Klienter. Detta skall inte utgöra en överträdelse av 2.2.
15.18. Byrå-kunden är beviljad en begränsad, uppsägningsbar, icke-exklusiv och ej överförbar licens att underlicensiera klientlicenser i enlighet med AV enkom för klientens egna interna verksamhetsändamål mot betalning av en prenumerationsavgift och/eller en återkommande avgift (prenumerationsavgifter), och enkom tillsammans med tjänsterna listade i punkt 15.16. Klientlicenser är till för nämnda klienter, och är ej överförbara mellan Klienter. För att förtydliga, kunden får inte distribuera någon Klientlicens utan att också tillhandahålla Byrå-tjänster, eller ge tillgång till mer än en Klient per Klientlicens, inklusive när en Klient sägs upp.
15.19. En Klient som önskar använda tjänsterna utan att också köpa Byrå-tjänster, måste bli en kund till Visma genom att beställa en icke-byrålicens från Visma eller en certifierad Partner. (Observera att Byrå:n också kan vara en certifierad Partner.)
15.20. En Klient som har köpt en icke-byrålicens, antingen om han har sagt upp sin licens med Byrå:n eller inte, och önskar använda datat från från sin Klientlicens i sin nya icke-klientlicens, måste tillhandahålla Visma ett skriftligt uttalande att han äger Datat och att Visma tillåts att kopiera datat från Byrå-licensen till den nya icke-byrålicensen. (För att förtydliga, en Klient är inte en kund till Visma, utan till Byrå:n. 1. Introduction
These Terms of Service (TOS) govern your use of the Xxxxx.xxx platform and all Services available through Xxxxx.xxx. The Services areoperated by Visma Software International AS, and provided to you by a distributor of Xxxxx.xxx (see Chapter 13); you purchase access to Xxxxx.xxx through such distributor, which in the following is referred to as “Visma”. The TOS apply between Visma and yourself, and detail Visma’s obligations towards you as a customer, and your obligations as a customer and end user of Xxxxx.xxx. The TOS use a number of capitalised terms, which are described in 14 or in the text.
The TOS apply for all access to the Xxxxx.xxx Services, regardless of interface or integration used, including individual Services integrated with other software products from Visma, such as Visma Business or Mamut One. Certain parts of this TOS which specifically relate to interface or integration may not apply, depending on the interface or integration of the integrated Service..
If you do not agree with the TOS or do not have the necessary authority from your company to order and/or use Xxxxx.xxx, do not use Xxxxx.xxx, submit an order form or accept the TOS when presented. Accepted TOS constitute a binding agreement between your company and Visma, and is effective from the date TOS are accepted (see 2.4) by your company’s Primary Contact (see 3.6).
The TOS and any additional terms are available from xxx.xxxxx.xxx/xx/xxxxxxx and will always include the date they were last changed.

1.1. NOTIFICATIONS
General notices and information about Xxxxx.xxx will be delivered inside Xxxxx.xxx, on the login screen or the relevant webpage on xxx.xxxxx.xxx, and shall be deemed notified when such posting has occurred. General notices are for example information about new features and planned maintenance. Visma may also send general information by email.
Notifications regarding changes to the TOS or prices, receipts of purchases and other information related to the Customer’s Accounts will be sent to the Customer’s Primary Contact user by email and deemed notified when sent by Visma.
Notifications are effective immediately unless specified otherwise in the notice.
Notifications from the Customer to Visma shall be sent as specified in 13.1.
2. Subscription Agreement
2.1. All Services in Xxxxx.xxx are provided as Software as a Service (SaaS), where the Customer does not purchase a copy of the software on a physical media or similar but a subscription to the Services as they are made available online. Upon purchasing a subscription the Customer is granted access to and a right to use the Services as set forth in the TOS. All services in Xxxxx.xxx are subject to the TOS, including Services, Modules or features added or purchased at a later time.
2.2. The Customer is granted a limited, terminable, non-exclusive and non-transferable license to use the Services in accordance with the TOS solely for the Customer’s own internal business purposes against payment of a subscription fee and/ or a recurring fee (Subscription fees). Payment of the Subscription fees and compliance with the TOS is a precondition for the right to use the Services. For clarification and without limiting the generality of the foregoing, “internal business purposes” means the Customer’s own business processing such as their own accounting and shall under no circumstance be interpreted as allowing any third party to use the Services or allow the Customer to use the Services in a service bureau or similar setting (unless specifically licensed for such purpose) or to provide services by the use of the Services to a third party or any entity in which Customer owns less than 50%.
2.3. The Services are provided on an “as is” basis as standard services; licenses are not contingent on or tied to any particular version or functionality at any particular point in time, but allow access to and use of the Services as they are provided at any given time. Licences are neither contingent on the delivery of any future versions or functionality nor dependent on any publications, materials or comments regarding same made by or on behalf of Visma.
2.4. The Customer’s initial activation of the Services must be confirmed by the Customer’s Primary Contact in order to be enabled as a Customer of Xxxxx.xxx and the Services to be made available to the Customer. The Primary Contact confirms the purchase and binds the Customer to the TOS by clicking “I accept” or similar on any presentation of the TOS either inside the Services or in an email sent from Xxxxx.xxx. By confirming the initial purchase of Xxxxx.xxx, the Primary Contact warrants that he or she is an owner or employee of the Customer or has a similar role with the authority to enter into the contract by accepting the TOS on behalf of the Customer. This constitutes a binding agreement between Customer and Visma, effective from the date of acceptance until terminated according to the provisions herein. Subsequent purchases of certain additional Services may similarly require the Primary Contact’s confirmation before becoming available to the Customer.
2.5. Visma reserves the right to make improvements, add, change or remove functionality, or correct any error or omission in any part of the Services at its sole discretion and without any obligation or liability accruing therefrom. In the unlikely event such a modification disables or removes functionality which forms a material part of the Service permanently for a period of more than 2 months, the Customer is entitled to terminate the subscription for the affected Service(s) or Module(s) and to receive a pro-rated refund for the remaining part of the subscription for any Subscription fees paid for the affected Service(s) or Module(s).
2.6. Visma reserves the right to make changes to the general conditions in the TOS on minimum 30 days prior notice according to 1.1 with at least 90 days between each change. Service specific provisions may be changed more frequently with the same 30 days prior notice. Acceptance of the TOS is a precondition for continuing using of the Services, and is done by the Customer’s Primary Contact by clicking “I accept” or similar on any presentation of the TOS either inside the Services or in an email sent from Xxxxx.xxx. Customer’s non-acceptance of the TOS constitutes a termination of the subscription. In such an event, the Customer is entitled to a pro-rated refund of any Subscription fees for the subscription period after the notified change(s) take effect.
2.7. Some parts of the Services may be subject to additional terms or restrictions (such as limitation on storage space or conditions for a free trial license) or require registration on websites (for
example for the use of an API or payment service). This is specified in the product- specific terms for the relevant Service.
2.8. The Customer does not have the right to transfer any license for the Services to any other entity whatsoever, in whole or in part, under any circumstance (including but not restricted to mergers and demergers, bankruptcy, change of ownership or control or to affiliates) without prior written authorisation from Visma.
2.9. The Customer accepts that Visma may refer to the Customer as a user of the Services for general marketing, unless the Customer in writing (e.g. per email) has reserved against this.
2.10. The TOS constitute the entire agreement between the Customer and Visma regarding use of the Services. The purchase of any additional products or services that may be related with to installation, implementation and support of Xxxxx.xxx Services is not covered by the TOS, and in no event shall a default in performance of such additional products or services have any effect on the agreement regarding Xxxxx.xxx Services.
3. Right of Use
3.1. Once the Customer has purchased a subscription to Services and accepted the TOS, he will be created as a Customer of Xxxxx.xxx by Visma, and granted a right to use the Services on the terms set forth herein. Customer will be able to create additional Users and assign roles to the Users.
3.2. The Customer shall ensure that each User agrees to adhere to the applicable provisions in the TOS, and that any use of the Services, placing an Order for the Services or clicking “I accept” or similar on any presentation of the TOS either inside the Service or in an email sent from Xxxxx.xxx constitutes the User’s acceptance of the provisions of the TOS which applies to the User. The Customer acknowledges that he has full responsibility for all User activity and Users’ compliance with the TOS. Visma is not liable for any consequence or damage which may arise from any unauthorised access to the Customer’s User accounts.
3.3. Only Users with a paid and valid license may use the Services. User licenses are issued for a single named user identified primarily by an e-mail address. A User must be a human being of legal age with the necessary rights and authorities to use the Services on behalf of the Customer. The Customer acknowledges that Users are authorised to grant Visma’s support personnel access to the Customer’s Accounts for the Services should this be required in support cases or otherwise requested by a User.
3.4. User accounts, including Administrators and additional Primary Contacts, are created and administered by Customer. User accounts may not be shared or used by more than one User, but may be freely reassigned by the Customer. Each User is responsible for the confidentiality and accuracy of login and other account information. The Customer and/or Users must inform Visma immediately of any unauthorised use of login details.
3.5. Users shall not transfer viruses, worms or harmful code of any kind to the Services or by using the Services. The Services may not be used for any illegal or unauthorised purpose. Users shall not violate any laws in the relevant jurisdiction(s), including but not limited to copyright laws or transfer any offensive, threatening, libellous, defamatory or otherwise objectionable data to the Services. Users are obligated to immediately report such Data to Visma by email.
3.6. Primary Contact: the Primary Contact is a User with full administrative and purchasing rights for the Customer, including any additional companies, and serves as the main Primary Contact towards Visma. The Primary Contact may appoint additional Primary Contact- and Customer Administrator Users. Customer acknowledges that the Users assigned Primary Contact roles have the necessary rights to make purchases and administrate the Customer’s Licenses.
The Primary Contact will be notified by email minimum 30 days in advance of any change in the TOS, and will be asked to accept the change on behalf of customer as described in 2.6. The Primary Contact will also be notified by email every time a new purchase is made, including individual Modules. (Please note that orders may be placed by your Partner.) Certain Services may not be made available to the Customer until the purchase has been confirmed by the Primary Contact according to 2.4. If the Customer creates more than one Primary
Contact Visma will direct its communication towards the first Primary Contact created by default or another selected Primary Contact if requested by the Customer.
3.7. Customer Administrator: the Customer Administrator is a User with full administrative rights for the Customer, including any additional companies. The Customer Administrator is created by a Primary Contact. The Customer may have more than one Customer Administrator.
4. Data Processing and Privacy
Data Processing of Customer’s Data
4.1. The Services involves the Processing of the Customer’s Data, hereunder storage on Visma’s servers. The Customer is the Data Controller and agrees and guarantees that:
- The Customer is the owner of or otherwise has the right to Transfer the Data to the Services for processing and that he has the responsibility for the accuracy, integrity, content, reliability and legality of such Data, including the Transfer and Instructions;
- the Data Processing or the appointment of a Personal Data Representative, where applicable has been notified to the relevant supervisory authorities and/ or Data Subject; and that the Data Processing does not violate relevant provisions of law;
- It is the Customer’s duty as Data Controller to, where applicable, notify the relevant supervisory authorities and/ or Data Subject in the event of any breach or unauthorised disclosure of special categories of data such as personal data;
- Visma has provided sufficient guarantees with respect to technical and organisational security measures;
4.2. Visma is the Data Processor and agrees:
- to process the Data only on behalf of the Customer and only for the purpose of and to the extent necessary to provide the Service*, in accordance with the TOS, instructions from the Customer and applicable law, and to abide by the advice and directives of the relevant supervisory authorities;
- that Visma has implemented the technical and organisational security measures described in the TOS to protect the data from loss, misuse and unauthorised alteration and that these measures represent a level of security appropriate to the risk presented by the processing and having regard to the cost of implementation, the level of sensitivity of the processed Data and the technical possibilities available;
- that Visma has no reason to believe that the legislation applicable to him prevents Visma from fulfilling the instructions received from the Customer;
- that Visma shall promptly notify the Customer of any request for the disclosure of data by governmental authorities or the police unless otherwise prohibited, such as a prohibition under criminal law to preserve the confidentiality of a law enforcement investigation, of any breach or unauthorised disclosure of the Customer’s data and any request received directly from a Data Subject without responding to that request unless he has been otherwise authorised to do so. Visma will disclose the Customer’s data to governmental authorities or police only to comply with legally binding requests, such as a court order, warrant or subpoena.
* Please refer to the applicable Service specific Provisions for details on individual Services and how Visma processes Customer’s Data in order to provide the Service. For example, banking services such as Visma AutoPay require that Visma sends certain information to the bank in order to provide the Service.
Collection of information
4.3. Visma collects and uses certain information supplied by the Customer and its Users using the Service. This information may include:
- Contact information such as name, email address and telephone number;
- Financial information such as credit card information;
- Other information such as User name, passwords, User preferences and billing and transaction information.
4.4. Visma may also collect and use information using automated data collection tools such as embedded web links and cookies on the Xxxxx.xxx web pages or in certain emails sent from
Xxxxx.xxx to the User. By accepting the TOS the Customer consents to such use described herein of embedded web links and cookies. Such information may include:
- Traffic information as provided by the User’s web browser to the website, such as browser type and language and the address of the website from which the User arrived, and other traffic information such as IP address;
- “Clickstream” behaviour, such as which links the User clicks and when. For example, Visma may log when a User clicks a “click to accept” link for the TOS in an email sent from the Service.
4.5. Visma may also use information from public or commercially available sources and combine with information Visma collects, such as comparing a collected IP address with a geographic map service to derive the Customer’s general location.
4.6. If a User makes a post, comment or similar on any public forum on any Xxxxx.xxx webpage, including social network pages, blog or similar, such information can be read and used by anyone with access to the Internet and used for purposes over which neither Visma nor the User has control. Visma is not responsible for any information submitted by Users on such forums.
Use of certain information
4.7. Visma collects the information described above for purposes of improving the Service and its web pages, such as:
- Usage- and traffic analysis for providing stable and fast Services by identifying for instance traffic peaks or allowing personal preference settings in the Services;
- Detect and prevent security threats and perform maintenance such as debugging;
- Provide support, conducting surveys;
- Improve the layout and content of our web pages and measure the performance of marketing efforts;
- Process the Customer’s orders;
- Marketing purposes and deciding which information to display to a User (for example not to show offers for Services already subscribed to);
- Allow for User personal preferences, such as language, to be stored between sessions.
Visma is allowed to share such information with its Partners or other companies in the Visma Group.
Visma will not post any comment, testimonial or similar made by an individual User without his or hers prior consent.
Credit card information is only used for processing payments and fraud prevention. Credit card information will not be retained for longer than necessary to provide the service unless authorised by the Customer for purposes of future purchases.
Security of information
4.8. Except as otherwise provided herein, Visma will not sell, rent, lease or otherwise make collected information or Data available to third parties except in the following or similar situations:
- to comply with any law, regulation or directive, or to respond to a legally binding request by governmental authorities or the police, such as a court order, warrant or subpoena;
- to investigate or prevent security threats or fraud;
- in the event of a reorganisation, merger, sale or purchase of Visma or part or whole of the Visma Group, personal information may be disclosed as part of the reorganisation or merger to other companies in the Visma Group, or to actual or prospective purchasers. Visma will in all such cases ensure that any such parties observe the obligations set forth herein, and obtain receipts for any disclosure.
5. Pricing and Invoicing
5.1. Subscription fees and invoice periods for the Services are according to the price list made available by Visma at xxx.xxxxx.xxx/xx/xxxxxx and/or inside Xxxxx.xxx. An invoice period consists of one or more calendar months. Unless otherwise specified all Subscription fees are for automatically renewable monthly subscriptions.
Visma will always invoice the Customer directly for the Services, including Services purchased via Partner.
5.2. Additional purchases
Additional Services or Modules are made available to the Customer immediately and are charged from the following month.
Certain Services may take up to 30 minutes to become available, or require that the Customer’s Primary Contact first confirms the purchase and agrees to additional terms for the Services, as applicable.
5.3. Terminating Services or Modules
Individual Services or Modules can be terminated at any time and the termination will be effective at the end of the current invoice period.
Subscription fees for terminated Services or Modules are removed from the invoice following the termination, provided that the termination was carried out at least 30 days before the next invoice period. Terminations carried out less than 30 days before the next invoice period will be invoiced for the next invoice period and removed from the following invoice period.
Please note that User accounts may be assigned to a different person rather than being terminated.
5.4. Visma reserves the right to change the Subscription fees on 3 months’ notice according to 1.1 no more than two times per year for any individual Service, and to increase the prices annually to account for general cost- and price increases without prior notification. Annual price changes have effect from January 1st.
5.5. Published prices are exclusive of all taxes, levies or duties. Certain taxes, e.g. value added tax (VAT), might be added when invoicing for the Services. Added taxes will be specified on the invoice.
5.6. No refunds are available in the event of no or partial use or activity of the Services by the Customer, or unused licenses such as transactions if subject to a recurring subscription fee, except in cases where the availability of the Services has been significantly restricted or reduced for reasons solely attributable to Visma. In such cases Visma at its discretion may offer a suitable refund to the Customer for Subscription fees accrued during the period of restriction or reduction in the Services.
6. Security
6.1. Visma is committed to providing secure and reliable services, and will at all times maintain administrative, physical and technical security measures as well as backup solutions as described on xxx.xxxxx.xxx/xx/xxxxxxxx.
7. Availability and Support
7.1. Visma’s availability guarantee for the Services, service windows and customer support options are described on xxx.xxxxx.xxx/xx/xxxxxxx. Visma will provide operational support free of charge.
7.2. In the event of unplanned downtime or unavailability of the Service, meaning that no User is able to access or use the Services normally and this is caused by circumstances which are
the responsibility of Visma, Visma may offer a refund in the form of a credit on the next invoice at its sole discretion, provided the Customer reports the issue to Visma and requests the compensation within 14 days of the Services becoming available after the unavailability. The credited amount shall as a general rule be proportionate to the time the Services was unavailable and be the Customer’s sole remedy for the unavailability.
7.3. Visma may from time to time, for instance for major releases, require additional service windows than stipulated in the TOS. These will be notified to the Customer in minimum 7 days in advance and are not part of any calculation of availability. Guaranteed availability excludes planned maintenance windows and customers participating in pilot testing or using free trial versions.
7.4. The Customer is responsible for having the necessary hardware, infrastructure (including high speed Internet connection) and web browser for accessing the Internet and using the Services. The Services are tested on the two latest major versions of the Mozilla Firefox, Microsoft Internet Explorer and Apple Safari web browsers.
8. Termination and Suspension
8.1. The Customer may terminate individual Services or Modules according to 5.3 and may terminate the entire subscription to Xxxxx.xxx (thereby ceasing to be a Customer) by written notification to Visma on with the same termination period as for individual Services or Modules.
8.2. Without waiving or prejudicing any other rights, if payment is not made within 30 days after the due date, Visma may suspend the Customer’s access to the Services until payment is made. Visma has a right to terminate the Customer’s Accounts for the Services if no payment is made within 14 days of the initial suspension. The Customer shall pay penalty interest in accordance with applicable law for all Subscription fees that are not paid by the due date. If the Customer cooperates in solving the payment dispute and/ or disputes the amounts in question reasonably Visma may choose not to charge penalty interest. Visma may condition renewal of the Customer’s licenses on shorter Invoicing periods following a case of non-payment.
8.3. Visma can terminate the Customer’s Accounts with immediate effect if the Customer breaches any of his obligations under the TOS, if it becomes clear that the Customer is going to materially breach the TOS. Visma can suspend the Customers’ Accounts if a breach of any of the Customer’s obligations under TOS is suspected on reasonable grounds until such time as matter is resolved upon prior notification to the Customer.
8.4. Visma reserves the right to wholly discontinue any Service, or its availability in a particular market, on 12 months prior notice or in the event of force majeure with as much notice as reasonably possible. The Customer shall be entitled to a pro-rated refund for any Subscription fees paid in advance for the period after the date of discontinuation for the relevant Service(s).
8.5. Visma is not liable for any direct, indirect or consequential losses or damages, including loss of data, production, revenue and profit or third party claims that may arise as a result of suspension or termination.
8.6. When the Services, including Users and Modules, are terminated, all Data and copies thereof will be deleted from Visma’s servers after 90 days. Upon full termination of the Customer’s subscription to Xxxxx.xxx, for whatever reason, Visma will provide Customer with a copy of the Data or an option to copy the Data in a format and time and method of delivery specified by Visma. Visma will have no further obligations towards the Customer for storing or maintaining the Data. If the Customer is not able to obtain the copy of the Data, Customer must contact Visma within 30 days of the date of termination. Except as expressly agreed otherwise, Data may not be recovered after more than 90 days after termination. Visma recommends that the Customer contacts Visma (or Customer’s Partner) in good time prior to termination in order to plan for and perform Data migration and backups. The Customer shall cover Visma’s costs for providing the Data copy based on Visma’s general rates for consulting assistance.
8.7. The Parties agree not to bring any claims arising out of in connection with the TOS when more than one year has passed after its termination.
9. Intellectual Property Rights
9.1. Visma Software International AS (org no 980858073) – or its licensors – is the sole owner of all intellectual property rights (“IPR”) to the Services. IPR includes but is not restricted to copyright, patents, trademarks, trade names, design and product design, source code, databases, business plans and know-how, whether registered or not. All documentation, including manuals, user guides and other written, electronic or non-electronic, accounts of how the Services are set up and used (“Documentation”) is considered part of the Services and is subject to the same restrictions. All copyright, trademarks, registered trademarks, product names, company names or logos mentioned in the Services or in connection with the Services are the property of their respective owners.
9.2. Visma claims no intellectual property rights or ownership of any kind for any Data owned by the Customer and transferred to the Services.
9.3. Where software from a third party is supplied by Visma as part of or in connection with the Services, the software is subject to the TOS unless separate or additional licensing conditions have been supplied with the software.
9.4. If the Customer infringes upon Visma’s or third party’s IPR or uses the Services in a manner not authorised by the TOS, the Customer shall as a default minimum pay a fee that is equivalent to the Subscription fees which Customer has paid for the Services during the past 5 years, or the equivalent of 5 year’s Subscription fees for his current licenses, whichever is greater. The Customer acknowledges that Visma may suffer irreparable harm if its IPR is impaired or infringed, and that Visma or its licensors shall have the right to take all reasonable steps to protect its proprietary and commercial interests, including any remedy as may be available at law. The same shall apply if the Customer has, or has attempted to, acquire information or data to which it is not entitled according to the TOS.
10. Indemnification
10.1. Visma shall defend Customer against any claim or litigation where a third party claims that the Customer’s use of the Services under the TOS is in conflict or infringement with the third party’s patent, copyright or other intellectual property rights. Customer shall immediately notify Visma of any such claim. Visma shall, to the extent that it is liable, indemnify the Customer for any cost, charge, damages, expense or loss imposed upon Customer under a court- approved settlement or court ruling, as well as lawyer fees, provided that Customer cooperates with Visma at Visma’s expense and gives Visma full control of the legal process and settlement, and that the settlement releases Customer from all liability. Visma may at its discretion (i) modify the Services so they no longer are in conflict, (ii) replace the Services with functionally equivalent Services, (iii) obtain a license for the Customer’s continued use of the Service or
(iv) terminate the Customer’s Accounts for the Services against a refund for any Subscription fees paid in advance for License periods that exceed the date of termination. The Customer may not make any other claims due to infringement of third party’s right.
10.2. The foregoing indemnity shall not apply if the Services have been used in breach of the TOS or if the claim arises out of any modification, integration or customisation of the Services not carried out by Visma.
10.3. Customer shall defend Visma against any claim or litigation where a third party claims that the Customer’s Data, or use of the Services in breach of the TOS, is in conflict or infringement with the third party’s patent, copyright or other intellectual property rights, or is in breach or violation of applicable law. Visma shall immediately notify Customer of any such claim. Customer shall indemnify Visma for any cost, charge, damages, expense or loss imposed upon Visma under a court- approved settlement or court ruling, as well as lawyer fees, provided that Visma cooperates with Customer at Customer’s expense and gives Customer full control of the legal process and settlement, and that the settlement releases Visma from all liability.
11. Limited Warranty
11.1. Visma guarantees that the Services will perform substantially as described, provided they are properly licensed and set up. The Customer and Visma agree that the Services and delivery thereof will not be completely free of errors and that improving the Services is a continuous process. The Customer acknowledges that the Services are delivered “as is” and used at the Customer’s own risk.
11.2. Visma does not warrant that the Services will meet the Customer’s requirements, operate correctly with the Customer’s choice of equipment, systems or settings, be uninterrupted, nor free of errors. Further, use of the Internet to access and use the Services has not been established nor is it maintained by Visma, and Visma has no control over the Internet. Visma is not liable for the discontinuance or disruption of operation of any portion of the Internet, nor possible regulation of the Internet. Visma shall make all commercially reasonable efforts deemed appropriate to remedy and avoid such events, however Visma shall not guarantee that interruption will not occur. Visma shall not be liable for the performance or non- performance of Internet services or providers.
11.3. If the Services do not function in accordance with the limited warranty specified in the TOS, Visma shall correct the verified errors or defects in the Services at its own expense. Visma may choose to replace the Services or functionality instead of performing a correction. If Visma does not correct the verified errors or defects or replace the Services within a reasonable period of time, the Customer may terminate subscription to the applicable Service. In such a case, the Customer has the right to a pro-rated refund for any Subscription fees for the remaining subscription period for the affected Services starting from the month following verification by Visma of the errors or defects. Apart from this, the Customer shall not be entitled to make any claims against Visma.
11.4. The Service is provided on an “as is” basis and neither Visma nor any of its licensors offer any warranty, express or implied, except as expressly set forth herein, including without limitation warranties of title, non-infringement, merchantability, fitness for a particular purpose or system integration capability. No claims other than those specifically contained in the TOS have been made with respect to the Services, and the Customer shall not rely on any claims not expressly set out in the TOS.
11.5. Links to websites not owned or controlled by Visma which appear in the Service or associated webpages or Documentation is provided for convenience only. Visma is not responsible for such websites.
11.6. A judicial determination that any provision of the TOS is invalid in whole or in part shall not affect the enforceability of other provisions. In the event of such a determination, the relevant provision is replaced with a provision which, as far as possible, accomplishes the purpose of the original provision.
12. Limited Liability
12.1. Visma is not in any way liable for the content or ownership of the Data.
12.2. Visma is not in any way liable for any Instructions for Data Processing or other activity by the Customer’s Users.
12.3. If Visma is held responsible for the payment of compensation to the Customer as a result of breach of any of the obligations specified in the TOS, such compensation shall not under any circumstances include compensation for indirect or consequential losses or damages of any kind that arise as a result of or in connection with such a breach, including but not limited to any loss of Data, production, revenue or profit or third party claims or governmental sanctions, even in the event the Customer has been advised as to the possibility of such damages. Visma’s liability under the TOS is limited to direct damages, except as provided otherwise by mandatory provisions of law, such as damages caused by gross negligence or wilful misconduct. Any refunds and compensations for direct losses and costs during any 12 month period shall in total not exceed an amount equalling 12 months’ Subscription fees for the Services during the same period.
12.4. Neither Visma nor the Customer shall be liable for any delay or failure in performance arising out of or in connection with force majeure, understood as earthquake, riot, labour dispute and other events similarly outside the control of Visma or the Customer.
12.5. In the event of legislation, directives or regulations pertaining to the Services or their delivery being changed, or new legislation or directives being passed after the Services have been made available in the market, which prevents Visma from fulfilling the instructions of the Customer or his obligations under the TOS, and/ or which requires the suspension of the Services, in whole or in part, for a time limited period or indefinitely, this shall be considered a force majeure event. Visma is not in any way liable for such force majeure. In such an event, the Customer will be reimbursed any Subscription fees paid in advance for the affected Services from the month following a suspension of the Services resulting from such force majeure. Apart from this, the Customer shall not be entitled to make any claims against Visma.
12.6. Although Visma will exercise due care in providing secure transmission of information between the Customer and the Services, the Customer acknowledges that the Internet is an open system and that Visma cannot and does not warrant or guarantee that third parties cannot or will not intercept or modify the Data or the Transfer. Visma accepts no liability for such unintentional misuse, disclosure or Data loss.
13. Contracting Parties and Governing Law
13.1. You the Customer is contracting with the company from which you purchased Xxxxx.xxx.

13.2. The rights and obligations of the Parties shall in their entirety be governed by Swedish law. If a dispute arises in connection with the interpretation of the TOS or use of the Services, the parties shall attempt to resolve the dispute through amicable negotiations. If the dispute cannot be resolved in this way, it shall be referred to the ordinary courts of law with the District Court of Stockholm as the exclusive venue.
13.3. In cases of doubt over interpretation between the TOS in English and Swedish, English shall take precedence.

15. Service specific Provisions

XXXXX.XXX AUTOPAY
15.2. Customer hereby authorises Visma to place and authenticate to the Customer’s bank(s) any banking payments made by the Customer using Xxxxx.xxx.
15.3. The Customer hereby authorises Visma to return bank statements and other payment information from the Customer’s bank(s) to the Customer.
15.4. The Customer is obligated to inform his bank(s) of the delegation of authority above if so required and if necessary to enter into separate agreements with his bank(s) to effect the delegation of authority. Should the Customer not be able to effect this delegation of authority, Visma AutoPay and related services may not work.
15.5. The Customer is responsible for any banking charges incurred from his bank(s) for processing a banking payment using the Services. In the event Visma is invoiced for any such banking charges in connection with providing the Service, Visma will invoice the Customer for said charges.
XXXXX.XXX AUTOINVOICE
15.6. AutoInvoice provides functionality for sending and receiving invoices and business documents in various formats to and from the AutoInvoice network and connected invoice networks, including invoices sent to the AutoInvoice OCR- email address (vat/xxx.xx@autoinvoice. se).
15.7. The Customer is assigned a unique ID for the AutoInvoice service, with username (email address) and password, used for identifying the Customer as the recipient in connection with the use of the Service. The Customer is also assigned a User API Key, which is used to access the AutoInvoice API and identify and authorise the use of the Customer’s AutoInvoice account in connection with transactions submitted to the AutoInvoice API.
15.8. The username, password and/ or User API Key are collectively referred to as the “Account Identifiers”, and a) identify the Customer’s AutoInvoice account, including any subaccounts, and b) allow the Customer to Transfer and send Instructions to the Service.
15.9. The Customer hereby authorises Visma to process the Data Transferred to the Service, hereunder;
- Identification data such as company name and contact information, field of operations, volume and international scope of invoicing and other profiling information such as products and services offered by the Customer, name and email address of the Customer’s contact person(s).
- Profile information such as position, title, and date of birth, salutation and country of residence of the Customer’s contact person.
- Banking and payment information such as credit card information, account number, SWIFT and IBAN codes and other codes used by the Customer when using the Service.
15.10. The Data shall be processed for the purpose of and to the extent necessary to provide the Service, such as including the Customer’s relevant banking and payment information to the Customer’s invoices disclose the banking and payment information, such as to recipients of payments and invoices within the Service.
15.11. For the purpose of providing the Service to the Customer either as recipient or sender of the invoices Visma needs to process the information on the submitted invoices needed to technically provide the Service, such as identification of the sender and recipient of the invoice and the details of the invoice and any binary or arbitrary files attached to the invoices and related technical information such as traffic data (data processed for the purpose of the conveyance of communications relating to the billing, such as the destination of the invoice, the origin of incoming invoices and any technical data in connection with any of incoming or outgoing invoices). The information registered about the Customer may be used by Visma to transmit invoices from the Customer and to the Customer.
15.12. The Customer hereby explicitly consents that Visma on behalf of the Customer may exchange invoices and business documents with connected invoivce networks, including PEPPOL, and display and transfer the Customer’s identification data and profile information to other subscribers to the AutoInvoice network and connected invoice networks,, including registration in the address registers of connected networks, hereunder PEPPOL SMP’s (Service Metadata Provider, e.g. ELMA)..
15.13. Visma Software International AS is a PEPPOL Access Point provider with Difi as the PEOPPOL Regional Authority (address: Grev Wedels plass 9, Xxxxxxxx 0000 Xxx., 0000 Xxxx, Xxxxxx.)
15.14. For some of the identification data and profile information the Customer may be given an option not to give such information. By providing the information the Customer agrees that such information may be used and disclosed in accordance with the terms hereof.
15.15. If the Customer does not want to be registered in the address registers of connected networks, contact Visma using the contact details in Chapter 7, Availability and Support. The Customer acknowledges that Visma has no control over connected networks.
Xxxxx.xxx for Accounting Offices and Clients
15.16. The AO Customer must be an officially registered accounting office according to NACE Rev. 2 Class 69.20 (Accounting, bookkeeping and auditing activities; tax consultancy), hereinafter referred to as “AO Services”. Other types of related businesses, e.g. a shared service centre, may be granted this license after, in each case, written approval from Visma.
15.17. The AO Customer may use AO Licenses (Services specifically licensed for this purpose) solely to provide AO Services to its Clients. This shall not constitute a breach of 2.2.
15.18. The AO Customer is granted a limited, terminable, non-exclusive and non-transferable license to sublicense Client Licenses in accordance with the TOS solely for the Client’s own internal business purposes against payment of a subscription fee and/ or a recurring fee (Subscription fees), and solely in conjunction with providing the services listed in 15.16. Client Licenses are for named Clients, and are non- transferable between Clients. For clarification, the Customer may not distribute any Client License without also providing AO Services, nor give access to more than one Client per Client License, including when a Client terminates.
15.19. A Client which wishes to use the Services without also purchasing AO Services must become a customer of Visma by Ordering a non- client license from Visma or a certified Partner. (Note that the AO may also be a certified Partner.)
15.20. A Client which has purchased a non-AO license, whether he has terminated his license with the AO or not, and wishes to use the Data from his Client License in his new non- client license, must provide Visma with a written statement that he is the Data Owner for the Data and that Visma is authorised to copy the data from the AO license to the new non-AO license. (For clarification, a Client is not a customer of Visma, but of the AO. For a Client to become a customer of Visma, he must enter into a new contract with Visma, including regarding his Data already in Xxxxx.xxx through the Client License. If the Customer fails to authorise Visma to copy the Data, Visma cannot copy it.
15.21. The AO Customer may not, without limitation, act or give the impression that it is a producer, owner, reseller, certified Partner or distributor of Xxxxx.xxx or Visma, nor enter into any warranty or representation on behalf of Visma or with regards to the Services except as expressly set forth in the TOS. The Customer may market the Client Licenses solely as part of combined offerings with AO Services.
