	АКЦІОНЕРНЕ ТОВАРИСТВО «КРЕДИТ ЄВРОПА БАНК», що є юридичною особою за законодавством України, місцезнаходження якого: 01024, м. Київ, вул. Xxxxxxxxxx, буд. 42-44, (далі - Банк), в особі ____________________________, ___________________________________________________________________________________________________________________діючи на підставі ___________________________________________ _____________________________________________________________, з другого боку, Клієнт та Банк надалі разом іменуються «Сторони», а кожен окремо – «Сторона», уклали цей договір банківського рахунка (надалі - «Договір») стосовно відкриття та ведення поточного(-их) рахунку(-ів) (надалі – «Рахунок» або «Рахунки») відповідно до наступних умов:	JOINT-STOCK COMPANY «CREDIT EUROPE BANK», a legal entity under the laws of Ukraine, having its legal address at: 00000, Xxxx, 00-00 Xxxxxxxxxxxx xxx., (hereinafter referred to as - the Bank), represented by ____________________________________________________________________________________________________________________________________________________acting on the basis of the ___________________________________________ ________________________________________________________________from the other side, The Client and the Bank hereinafter jointly referred to as «the Parties» and separately as «the Party», have entered into this banking account agreement (further «the Agreement») for the opening and operating of current account/s («the Account» or «Accounts») pursuant to the following terms and conditions:
	1. Загальні умови 1.1.Банк відкриває Рахунок на підставі належним чином підписаної Заяви на відкриття Рахунку, що надана Клієнтом до Банку. Довідка про відкриття Рахунку, що надається Банком, вважається остаточним підтвердженням відкриття Рахунку. Заява на відкриття Рахунку, надана Клієнтом та Довідка про відкриття Рахунку, що надається Банком, становлять невід”ємну частину Договору.	1. General Provisions 1.1.The Bank shall open the Account on the basis of duly signed Application for Account Opening, submitted by the Client. Account Opening Confirmation issued by the Bank shall serve as the latter's consent to open an Account. Application for Account Opening submitted by the Client and Confirmation of Account Opening issued by the Bank shall form an integral part of the Agreement.
	1.2.Банк відкриває та обслуговує Рахунок згідно цього Договору, Загальних Умов Надання Банківських Послуг, внутрішніх положень Банку, законодавства України та звичаїв ділового обороту.	1.2.The Bank shall open and service the Account in accordance with the present Agreement, General Terms and Conditions, internal procedures, Ukrainian legislation, usual and customary business practices unless otherwise is stipulated by this Agreement.
	2. Платіжні доручення та списання коштів з Рахунків 2.1. Клієнт для списання коштів із Рахунків використовує розрахункові та касові документи, види та форми яких передбачені нормативно-правовими актами Національного банку України з питань здійснення безготівкових розрахунків та касових операцій чеерз банки України в національній та іноземній валютах. Розпорядження про списання коштів із Рахунків Клієнт подає протягом операційного часу, діючого у Банку у письмовому вигляді. Розпорядження про списання коштів з Рахунків можуть також надаватися в електронному вигляді за допомогою систем дистанційного обслуговування Банку відповідно до окремої угоди.	Payment Orders and Debiting the Accounts 2.1. For debiting the Accounts the Client shall use settlement and cash documents envisaged in the legislative acts of the National Bank of Ukraine on carrying out cashless settlements and cash operations through the banks of Ukraine in UAH and foreign currencies. The instructions on debiting the Accounts shall be submitted by the Client during the opening hours, operating in the in written form. The instruction on debiting the Accounts could be also presented in electronic form by means of Bank distance servicing system in compliance with the separate agreement.
	2.2. Банк видає готівку з каси в день надання касового документа протягом касового операційного часу згідно законодавства України та списує кошти з Рахунку з датою валютування того ж дня.	2.2.The Bank shall execute cash withdrawal on the day of the cash document submission during regular opening hours of the cash desk in compliance with Ukrainian laws and debit the Account with the same value date.
	2.3. При виконанні платіжних доручень Xxxx списує кошти з Xxxxxxx:	While executing the payment orders the Bank shall debit the Account:
	2.3.1. в національній валюті (i) в день подання платіжного доручення в Банк з датою валютування того ж дня, за умови, якщо таке доручення отримано Банком до закінчення операційного часу;	2.3.1. in local currency (i) on the day when the payment order is communicated to the Bank with the same value date provided that such order is received before the cut-off time for transfers;
	(ii) та наступного банківського дня з датою валютування того ж дня, якщо платіжне доручення отримано Банком після закінчення операційного часу;	(ii) if received by the Bank thereafter, the Bank shall debit the Account on the next banking day with same value date;
	2.3.2. в іноземній валюті в день подання платіжного доручення в Банк, за умови, що таке доручення отримано Банком до закінчення операційного часу, та наступного банківського дня, якщо платіжне доручення отримано після закінчення зазначеного часу. Дата валютування визначається в Додатку 2 до цього Договору.	2.3.2. in foreign currency on the day when the payment order is received by the Bank provided that such order is received before the cut-off operating time for transfers and on the following banking day if the payment order was received by the Bank thereafter. The value date is determined according the Annex 2.
	2.4. При виконанні платежів між рахунками Банку Xxxx списує кошти з Xxxxxxx в день подання платіжного доручення в Банк з датою валютування того ж дня, за умови, що таке доручення отримано Банком протягом операційного часу.	2.4. While executing internal payment orders, the Bank shall debit the Account on the day the payment order is submitted to the Bank with the same value-date, provided that such order is received during regular opening hours for acceptance of payments.
	2.5. Банк здійснює списання за дорученням Клієнта за таких умов:	2.5. The conditions for Bank’s debiting the Client’s account upon the order of the Client are following:
	2.5.1. достатнього залишку коштів на рахунку на момент надходження розрахункового або касового документа, або достатнього ліміту овердрафту по Рахунку для здійснення платежу та утримання відповідних комісій та інших сум, зазначених у п.4.2 цього Договору; та	2.5.1. at the moment of receipt of payment/cash document the credit balance on the account or, in respect of an overdraft facility, the overdraft limit established for the Account is sufficient to effect the payment and deduct the related fees and other amounts due; and
	2.5.2. розрахунковий або касовий документ отримано Банком у встановленій Банком формі, згідно законодавства України, а також належним чином підписано Уповноваженою(-ими) Особою(-ами) та платіжне доручення містить всю необхідну інформацію для здійснення платежу.	2.5.2. the payment/cash document is received by the Bank in the form established by the Bank as prescribed by the Ukrainian laws, duly signed by authorised signatories, and the payment order contains all relevant information which is necessary for the Bank at the Bank’s discretion.
	2.6. Купівля та/ або перерахування іноземної валюти за дорученням Клієнта здійснюється за умови подання Клієнтом документів, які є підставою для купівлі та/або перерахування іноземної валюти, не пізніше ніж за два банківські дні до дня здійснення купівлі та/або перерахування іноземної валюти.	2.6. The foreign currency purchase and/ or transfer under the Client’s instructions shall be carried out provided that the Client submits the documents confirming the foreign currency purchase and/ or transfer not later than two banking days before the day of carrying out the mentioned operation.
	3. Зарахування коштів на Pахунок 3.1. Банк зараховує на Рахунок всі кошти, що вносяться до Банку готівкою протягом касового операційного дня з датою валютування того ж банківського дня.	3. Crediting the Accounts 3.1. The Bank shall credit all amounts paid in cash to the Bank during regular business hours of the cash desk with value date within the same banking day.
	3.2. Одержані перекази у національній валюті Банк зараховує на Рахунок в день одержання коштів з датою валютування того ж дня.	3.2. With regard to local currency transfers to a local currency account, the Bank shall credit the Account with amount on the same banking day with same value date.
	3.3. Одержані перекази в іноземній валюті Банк зараховує на Pахунок Клієнта, якщо Xxxxxx було отримано остаточне підтвердження того, що така сума була отримана на користь Клієнта, та, за наявності вказаної суми на кореспондентському рахунку Банку. У випадку, коли валютним законодавством передбачено обов’язковий продаж іноземної валюти, Банк після продажу валюти кредитує гривневий поточний рахунок Клієнта.	3.3. The Bank shall credit foreign currency incoming transfers to the Account provided that the Bank has received conclusive evidence of such transfer receipt in favour of the Client and the transferred amount availability at the correspondent account of the Bank. Should the foreign currency control regulations require the foreign currency obligatory sale the Bank shall credit the UAH current account of the Client after such conversion.
	3.4. У випадку помилкового зарахування коштів на Рахунок, Клієнт повинен негайно повідомити про це Банк і у 5-денний термін з дня надходження коштів на Рахунок подати Банку платіжне доручення на перерахування коштів власнику.	3.4. If the Account is mistakenly credited with an amount, the Client shall notify the Bank immediately and to submit a payment order to the Bank for transferring such funds to their owner within 5 days upon their receipt on the Account.
	3.5. Клієнт цим уповноважує Xxxx та доручає йому у будь-який час виправляти будь-які помилки у дебетуванні або кредитуванні Рахунку.	3.5. The Client hereby authorizes and empowers the Bank to correct any errors in debiting or crediting the Client’s Account at any time.
	4. Проценти, плата за послуги та комісії 4.1. Банк щомісячно, в перший банківський день місяця, наступного за звітним, сплачує Клієнту проценти за користування залишками коштів на Рахунках відповідно до чинних Тарифів, розміщених на на вебсторінці Банку в мережі інтернет xxx.xxxxxxxxxxxx.xxx.xx.	4. Interest, fees and commissions 4.1. The Bank shall pay to the Client interest on the Accounts’ balances according to Xxxxxxx posted on the Bank's website xxx.xxxxxxxxxxxx.xxx.xx.
	4.2. Клієнт сплачує Банку комісії та плату за послуги, визначені у Тарифах Банку, а також інші суми що належать до сплати, включаючи та не обмежуючись цим, плату за послуги третіх сторін, а також комісії та плату за послуги та інші суми що належать до сплати Банку згідно інших договорів між Банком та Клієнтом.	4.2. The Client shall pay to the Bank the commissions and fees as set forth in Bank‘s Тariffs, constituting an integral part hereof, and any other amounts due, including but not limited to third party fees, as well as fees, commissions and any other amounts due to the Bank under other agreements between the Bank and the Client.
	4.3. Клієнт цим уповноважує Xxxx та доручає йому дебетувати Рахунок на суму комісій та плати за послуги та інших сум, що зазначені у статті 4.2 цього Договору.	4.3. The Client hereby unconditionally authorises and empowers the Bank to debit Account for an amount of commissions and fees and other amounts referred to in para 4.2 hereof.
	4.4. Банк списує зазначені комісії та плату за послуги та інші суми, зазначені у статті 4.2 цього Договору: (а) з Рахунку в гривнях за 5 (п’ять) робочих днів до кінця періоду, якщо комісії та/або плата за послуги сплачуються за період (місяць, квартал), (b) з Рахунку в іноземній валюті у випадках, визначених законодавством України, в момент здійснення відповідної операції, (с) з Рахунку в гривнях в момент здійснення будь-якої іншої операції.	4.4. The Bank shall debit the said fees and commissions and other amounts referred to in para 4.2 hereof: (a) from an Account in UAH 5 (five) business days prior to a period end, if commissions and/or fees are charged on a period basis (monthly, quarterly); (b) from an Account in foreign currency in cases envisaged by the legislation of Ukraine at the moment of a respective bank's operation; (c ) from an Account in UAH at the moment of any other bank's operation.
	4.5. Для забезпечення вчасної сплати комісії та/або плати за послуги що сплачуються за період, включаючи та не обмежуючись цим, плату за послуги третіх осіб, згідно статті 4.2 та пункту (a) статті 4.4 цього Договору Клієнт повинен забезпечити достатній залишок коштів на Рахунку в гривнях за 5 (п’ять) робочих днів до кінця періоду .	4.5. The Client shall provide for a sufficient balance on UAH account 5 (five) day prior to a period end to ensure timely settlement pursuant to para 4.2 and subpara (а) of para 4.4 hereof of the commissions and/or fee, including but not limited to the third party fees charged on period basis.
	4.6. Для забезпечення вчасної сплати комісії та/або плати за послуги, включаючи та не обмежуючись цим, плату за послуги третіх осіб, згідно статті 4.2 та пункту (b) та (с) статті 4.4 цього Договору Клієнт повинен забезпечити достатній залишок коштів на Рахунку, з якого списуються комісії, станом на момент здійснення відповідної операції.	4.6. The Client shall provide for a sufficient balance on the Account chargeable at the moment of the respective transaction to ensure timely settlement pursuant to para 4.2 and subpara (b) and (c) of para 4.4 hereof of the commissions and/or fees due, including but not limited to the third party fees.
	4.7. У випадку несплати комісії, зазначеної в пункту (a) статті 4.4 цього Договору, та якщо на Рахунку(ках) Клієнта немає достатньої суми коштів для сплати комісії, Клієнт цим доручає Банку: (і) або списати частину суми комісії у розмірі залишку з відповідного Рахунку та решту – по мірі надходження на Рахунок необхідної суми коштів, (іі) або списати всю суму належної комісії після акумулювання на Рахунку суми, достатньої для цього. У разі, якщо Клієнту відкрито декілька Рахунків в Банку, цим Клієнт доручає Банку списувати суми комісії щодо операцій за всіма Рахунками з того Рахунку, на якому є кошти. У разі, якщо валюта Рахунку та валюта комісійної винагороди не співпадають, Клієнт цим уповноважує Банк списати з іншого Рахунку суму в іншій валюті, необхідну для сплати комісійної винагороди, та здійснити конвертацію за комерційним курсом Банку на день списання, після чого зарахувати еквівалент проданої іноземної валюти на Рахунок у гривнях, з якого утримати суму комісійної винагороди.	4.7. In case the Client fails to pay the commission pursuant to subpara (a) of para 4.4 hereof and the amount of funds on the Client's account(s) is insufficient to cover the amount of such commission, the Client hereby authorizes the Bank to: partially drawdown the commission by debiting the available balance from the account(s) with consequent deduction of the balance from the incoming funds; or to debit the account(s) by the full amount of the commission following the accumulation of such sufficient amount. In case, if the currency of the Account differs from the currency of the commission fee, the Client authorizes the Bank to debit the other Account with the amount in other currency, necessary for commission fee payment, and to make conversion at the Bank commercial rate on the date of debiting, and after that to credit the Account in UAH with the UAH equivalent of the sold foreign currency and debit the Account in UAH with the commission fee amount.
	4.8.Клієнт погоджується з Xxxxxx, що Банк може, на свій власний розсуд, змінити у будь-який час процентні ставки, передбачені у Статті 4.1 та Тарифи на послуги, передбачені у Статті 4.2 та визначені у Тарифах Банку. Зміна Тарифів Банку відбувається за одностороннім рішеням Банку. Банк зобов’язується розміщати актуальні Тарифи на вебсторінці Банку в мережі інтернет xxx.xxxxxxxxxxxx.xxx.xx Клієнт зобов’язується відслідковувати актуальні тарифи на вебсторінці Банку в мережі інтернет xxx.xxxxxxxxxxxx.xxx.xx. У разі відсутності згоди Клієнта із новим розміром Тарифів послуги Банку за Договором, без попередньої їх сплати, не надаються.	4.8. The Client agrees with the Bank that the Bank may, at its sole discretion, change at any time the interest rates provided for in Article 4.1 and the Тariffs for services provided for in Article 4.2 and set out in Тariffs. Changing Tariffs of the Bank is carried out by unilateral decision of the Bank. The Bank undertakes to place actual Тariffs on webpage of the Bank in the internet xxx.xxxxxxxxxxxx.xxx.xx. The Client undertakes to truck actual Тariffs on webpage of the Bank in the internet xxx.xxxxxxxxxxxx.xxx.xx. In the absence of the Client's consent to the new amount of tariffs, the Bank's services under the Agreement, without their prior payment, shall not be provided. In the absence of the Client's consent to the new amount of Тariffs, the Bank's services under the Agreement, without their prior payment, shall not be provided.
	5. Підтвердження операцій	Transactions confirmation
	5.1.Банк підтверджує здіснення операцій на Рахунках шляхом видачі виписок з Рахунків на паперових носіях уповноваженому представнику Клієнта або шляхом розміщення цих виписок у файлах, визначених розділом 6 цього Договору, наступного робочого дня після здійснення операції. До виписок по Рахунках додаються інші документи, що підтверджують операції за Рахунками. На прохання Клієнта виписки також можуть надаватися за допомогою електронних засобів зв’язку. При цьому ризик втрати інформації та несанкціоновоного доступу третіх осіб до неї несе Клієнт.	5.1.The Bank shall provide confirmations of the transactions on the Accounts by providing the Client with the Account statements in written on the next working day by handing the Account statements to the Client’s authorized person or by placing these statements in the Hold Mail files, determined in the article 6 hereof. The other documents confirming transactions on the Accounts shall be attached to the Account statements. On the Client’s request the Account statements could be also sent per e-mail or by fax. In this case the Client undertakes the risk of the information loss or the unauthorized access of third persons to it.
	5.2. За бажанням клієнта виписки з Рахунків можуть видаватися щоденно незалежно від здійснення операцій, а також щомісячно та щоквартально.	5.2. At the Clients’ request the Account statements can be provided daily irrespective of movements on the Accounts, as well as monthly or quarterly.
	5.3. Клієнт зобов’язаний регулярно перевіряти виписки щодо правильності проведення банківських операцій та повідомляти Банк про розбіжності. В разі неподання зауважень, виписка вважається підтвердженою.	5.3. The Client is obliged regularly check the account statements for accuracy of banking transactions and inform the Bank about any discrepancies. In case no inaccuracies or errors are informed, the statement is considered to be confirmed.
	5.4. Щорічно, у перший робочий день року Банк надає Клієнту виписку-підтвердження залишків на Рахунках станом на 1 січня по Рахунках, на яких такі залишки обліковуються. Клієнт повинен перевірити правильність інформації та підтвердити залишки по Рахункам або повідомити Банк про розбіжності шляхом надіслання до Банку листа відповідного змісту за формою, встановленою Банком. Якщо до 31 січня кожного року Банк не отримав від Клієнта підтвердження залишків на Рахункках в письмовому вигляді, залишки на Рахунках Клієнта вважаються підтвердженими. 5.5. У випадку втрати Клієнтом виписки за його Рахунком Банк за усним проханням клієнта на платній основі надає йому дублікат виписки у порядку, передбаченому п.5.1 цього Договору, не пізніше наступного банківського дня після звернення Клієнта.	5.4 On the first working day of each year the Bank provides the Client with the Statements of Outstanding confirming the account balances as of January 1 for the accounts with non-zero balance. The Client shall reconcile the information with its own records and shall confirm the correctness or notify the Bank of the discrepancies, if any, by sending to the Bank the respective letter in the form fixed by the Bank. If the Client does not submit any written notification to the Bank on or prior to January 31, the Bank shall consider the account balances confirmed by the Client. 5.5.If the Client looses his Account statement the Bank, at the Client’s verbal request, on contractual basis, issues to the Client the statement copy in the procedure described in para 5.1 hereof not later than on the following banking day after the Client’s application.
	6. Одержання кореспонденції у Банку 6.1. Клієнт надає Банку повноваження зберігати від його імені та в інтересах Клієнта всі виписки з Рахунку, повідомлення, довідки та іншу кореспонденцію, яку Банк надає Клієнту або може отримати від будь-якої третьої особи стосовно Рахунку Клієнта.	Hold Mail 6.1. The Client hereby authorises the Bank to retain on the Client’s behalf and for the Client’s benefit and risk all such statements, advises, notices and other mail which the Bank may ordinary provide, or may receive from third party in respect of the Account relationship.
	6.2. Банк відкриває та підтримує файл на ім’я Клієнта для одержання кореспонденції у Банку, що містить усю кореспонденцію Банку, яка надається Клієнту у процесі обслуговування, або іншу кореспонденцію, отриману Банком від будь-якої третьої особи стосовно Рахунку.	6.2. The Bank shall open and maintain the Hold Mail file in the Client’s name to contain all such items mailed by the Bank to the Client in the ordinary course of business or such mail as received by the Bank from third party relating directly to the Account.
	6.3. Кореспонденція, що надається Банком Клієнту, вважається відправленою та доставленою на дату, що проставлена на кореспонденції.	6.3. Items ordinarily sent by the Bank to its Client by mail shall be considered sent and delivered to the Client as of each item’s date mark.
	6.4. Банк не зобов’язаний повідомляти Клієнта щодо надходження такої кореспонденції у файл або інших обставин, що стосуються Рахунку.	6.4. The Bank has no obligation whatsoever to seek to contact the Client to advise the Client as to correspondence incoming to the Hold Mail file or other events affecting the Account.
	6.5. Клієнт підтверджує, що він розуміє та приймає за свій власний рахунок усі ризики, відповідальність та усі фінансові збитки та втрати, а також інші претензії, що можуть виникнути у зв’язку з тим, що Клієнт не був ознайомлений зі станом Рахунку в зв’язку з несвоєчасним отриманням кореспонденції у Банку.	6.5. Client confirms that the Client understands and accepts for the Client’s sole and full risk and liability and all financial loss, damage, harm and claim for legal responsibility that may result from the Client being unaware of the position in the Account as a consequence of the untimely correspondence receipt at the Bank by the Client..
	6.6. Клієнт приймає те що, Xxxx не несе ніякої відповідальності за будь-які та усі претензії третіх осіб стосовно відшкодування збитків, втрат або іншої відповідальності у зв”язку з несвоєчасним отриманням кореспонденції у Банку стосовно Рахунку Клієнта.	6.6. The Client will hold the Bank harmless and will indemnify the Bank against any and all claims from third parties for financial compensation, damage, harm or legal liability as a result of the untimely receipt of the correspondence regarding the Accounts.
	6.7. Банк надає кореспонденцію Клієнту згідно його інструкцій. Банк не надає кореспонденцію будь-якій іншій особі, якщо на це не має письмових повноважень Клієнта, відмінних від повноважень зазначених у статті 9 “Загальних Умов Надання Банківських Послуг”. Кореспонденція надається тільки в приміщенні Банку.	6.7. The Bank will release the Hold Mail to the Client, upon instruction from the Client. The Bank will not present the Hold Mail to any other person, unless upon the Client’s specific written authorisation different from the authorisation mentioned in the Article 9 of the Bank’s General Conditions. Delivery shall occur only on the Bank’s premises.
	6.8. Клієнт бере на себе зобов’язання отримувати усю наявну кореспонденцію регулярно, щонайменше один раз на рік. Банк зберігає кореспонденцію протягом п’яти років, після чого вона знищується. Клієнт несе повну відповідальність та ризик, за знищення кореспонденції за умови, якщо він не надав письмової вимоги надіслати кореспонденцію за заданою адресою та за його рахунок.	6.8. The Client undertakes to collect and to receive all available Hold Mail regularly, at least once a year. The Bank shall not retain Hold Mail beyond a Five year period, whereupon it shall destroy it, at the Client full risk and responsibility, unless requested in written by the Client to mail it to a specified address at the Client’s cost.
	6.9. Після розірвання Договору Банк знищує всю кореспонденцію, що знаходиться у файлі Клієнта, якщо інше не обумовлено письмовою інструкцією Клієнта.	6.9. Upon termination of the Agreement the Bank shall destroy the contents of the Hold Mail file, unless instructed otherwise in writing by the Client.
	6.10. Якщо Клієнт не бажає отримувати кореспонденцію в Банку, він повинен письмово повідомити про бажання отримувати кореспонденцію поштою та повідомити Банк про свою поштову адресу.	6.10. If the Client is not willing to receive Hold Mail in the Bank’s premises, the Client shall inform the Bank in writing of his willingness to receive Hold Mail by mail and inform the Bank of his mail address.
	7. Різне 7.1. Клієнт та Банк мають статус платників податку ______________.	7. Miscellaneous 7.1. The Client and the Bank are payers of corporate tax on ___________
	7.2 Клієнт повинен надавати до Банку статистичну та іншу інформацію що необхідна Банку для надання звітності до Національного Банку України, або до будь-яких інших органів. У випадку коли неподання такої інформації є причиною сплати Банком штрафів Національному Банку України, або будь-яким іншим органам, Клієнт уповноважує Банк та доручає йому компенсувати суму понесених збитків у вигляді сплаченого штрафу шляхом списання відповідної суми з Рахунку в гривнях.	7.2 The Client shall submit to the Bank statistical and other information required by the Bank for reporting to the National Bank of Ukraine (NBU) or any other authorities. If the Client fails to submit the above mentioned information which causes penalising of the Bank by NBU or any other authority the Client authorizes and empowers the Bank to charge the amount of penalty charged off from the Bank by the NBU or any other authorities through debiting the said amount from the UAH Account.
	7.3. Загальні Умови Надання Банківських Послуг, які були підписані Клієнтом, включаються до Договору та є невід’ємною частиною цього Договору. У разі будь-яких розбіжностей між Договором та Загальними Умовами, Договір матиме переважну силу.	7.3. The Bank's General Terms and Conditions, a copy of which has been signed by the Client, are incorporated herein by reference and made part of the Agreement. In the event of any discrepancy between the Agreement and the General Terms and Conditions the Agreement shall prevail.
	7.4. Цей Договір регулюється законодавством України та всі спори між Банком та Клієнтом підлягають розгляду судом компетентної юрисдикції. 7.5. Банк по телефону або засобами електронного зв’язку повідомляє Клієнта про накладення арешту на Рахунки у день отримання Банком відповідного документа. 7.6. Відповідальність за відповідність інформації, зазначеної в розрахунковому документі, суті операції, за якою здійснюється переказ коштів, несе Клієнт, який у разі її невідповідності має відшкодувати Банку завдану внаслідок цього шкоду. 7.7. Банк за дорученням та за рахунок Клієнта здійснює операції з купівлі, продажу та обміну іноземної валюти. 7.8. Клієнт при наданні заяв на продаж іноземної валюти має право зазначати дату валютування «сьогодні», «завтра», «спот». 7.9. Клієнт при наданні заяв на купівлю іноземної валюти уповноважує Банк списувати з його Рахунку у гривнях суму авансу, необхідного для купівлі іноземної валюти, до якого включаються суми комісійної винагороди та інших обов’язкових зборів передбачених законами України за операціями з купівлі іноземної валюти. 7.10. Банк за дорученням і за кошти Клієнта може здійснювати операції з обміну іноземної валюти, у тому числі без наявності зобов'язань в іноземній валюті, що придбавається в результаті такого обміну. 7.11. Клієнт погоджується з тим, що Банк, виконуючи заяви Клієнта на купівлю іноземної валюти, може здійснювати за кошти Клієнта в національній валюті купівлю іншої іноземної валюти, яка надалі використовуватиметься для обміну на потрібну Клієнту іноземну валюту на міжнародному валютному ринку, у разі наявності в Клієнта зобов'язань в іноземній валюті за зовнішньоекономічними договорами або за кредитними договорами, укладеними з Банком із метою здійснення оплати за зовнішньоекономічними договорами. 7.12. Клієнт погоджується з тим, що Банк, виконуючи заяви Клієнта на продаж іноземної валюти, може здійснювати обмін цієї іноземної валюти на міжнародному валютному ринку з подальшим продажем обміняної іноземної валюти. 7.13. Клієнт погоджується на надання Xxxxxx повідомлень до відповідного контролюючого органув про відкриття/ закриття Рахунків. 7.14. У випадку надходження на користь Клієнта коштів із датою валютування, відмінною від дати їх надходження, Банк не пізніше наступного банківського дня після дати зарахування коштів на відповідний внутрішньобанківський рахунок повідомляє Клієнта про зазначене надходження і дату валютування по телефону або з використанням електронних засобів зв’язку.	7.4. The Agreement shall be governed by the laws of Ukraine and all disputes between the parties shall be submitted to the court of competent jurisdiction. 7.5. The Bank informs the Client by telephone or e-mail about arrests of Accounts on the day of receipt of respective document. 7.6. The Client is responsible for the correspondence of the information contained in the payment order to the essence of transaction, otherwise the Client must compensate to the Bank material damage caused as result of such discrepancy. 7.7. The Bank carries out foreign currency purchase/ sale/ exchange operations under the Client’s instructions and at the Client’s expense. 7.8. The Client has the right to specify the value date “today”, “tomorrow”, “spot” in the applications on foreign currency sale. 7.9. The Client submitting the applications on foreign currency purchase authorizes the Bank to debit his UAH Account with the advance amount necessary for the foreign currency purchase including commissions and the Lawsduty amount from the mentioned operations. 7.10. The Bank, under the Client’s instructions and at the Client’s expense, could carry out foreign currency exchange operations including those without liabilities in foreign currency which is purchased as a result of such an exchange. 7.11. The client accepts that the Bank executing the Client’s applications on foreign currency purchase could, at the Client’s UAH cost, purchase another foreign currency which will be used further for the exchange on the international currency market into the foreign currency required by the Client provided that the Client has liabilities in foreign currency according to foreign economic agreements or loan agreements concluded with the Bank for the purpose of executing liabilities of foreign economic agreements. 7.12. The client accepts that the Bank executing the Client’s applications on foreign currency sale could exchange this foreign currency on the international currency market with the further sale of the foreign currency which is result of such an exchange. 7.13. The client accepts that the Bank informs the State tax authorities of Ukraine on opening/ closing Accounts. 7.14. If the funds are received in Client’s favor with value date different from the date of funds incoming the Bank shall inform the Client per e-mail or per telephone about the mentioned funds receipt and the value date not later than on the following banking day after the date of crediting the respective intrabank account with these funds.
	7.15. Клієнт цим засвідчує, що Xxxx надав йому інформацію стосовно режиму використання Рахунків.	7.15 Hereby the Client confirms that it was informed by the Bank with respect to the functioning regime of Accounts.
	8. Відповідальність Xxxxxx.	8. Liabilities of the Parties.
	8.1.За порушення умов цього Договору Xxxxxxx несуть відповідальність згідно чинного законодавства України.	8.1.The Parties will be liable for violation of terms and conditions of this Agreement in accordance with current legislation of Ukraine.
	8.2.Сторони звільняються від відповідальності за невиконання або неналежне виконання умов цього Договору якщо таке невиконання сталося внаслідок обставин або випадків непереборної сили поза межами контролю Сторін, включаючи, але не обмежуючись наступним: війна, військові дії, громадські заворушення, страйки, пожежі, повені та інші стихійні лиха, аварії, протиправні дії третіх осіб, вступ у силу нормативних актів, якщо такі обставини роблять об’єктивно неможливим або неправомірним виконання Сторонами своїх зобов’язань за цим Договором («Форс-мажор»). Період звільнення від відповідальності починається з моменту оголошення невиконуючою Xxxxxxxx Xxxx-мажору і закінчується чи закінчився б, якщо невиконуюча Xxxxxxx вжила б заходів, які вона і справді могла вжити для виходу з Форс-мажору.Форс-мажор автоматично продовжує термін виконання зобов'язань на весь період його дії та ліквідації наслідків. Про настання форс-мажорних обставин Сторони мають інформувати одна одну невідкладно. Якщо ці обставини триватимуть більше ніж 6 місяців, то кожна із Сторін матиме право відмовитися від подальшого виконання зобов'язань за Договором, і в такому разі жодна із Сторін не матиме права на відшкодування другою Стороною можливих збитків. 8.3.Клієнт зобов’язується забезпечувати схоронність грошових цінностей, отриманих в Банку, при транспортуванні їх від Банка до місця призначення. 8.4. В разі внесення змін до документів, що стосуються ідентифікації Клієнта, Клієнт зобов’язується надавати Банку належним чином засвідчені їх копії протягом одного місяця.	8.2.The Parties will not be liable for any delays in the fulfilment or for any failure to fulfil their obligations under this Agreement, where the delay or failure is due to circumstances or causes that are beyond the reasonable control of the Parties, including, but not limited to, the following: war, riots, strikes, sabotage, fires, floods and other acts of nature, explosions, illegal acts of third parties, operation of normative acts, which make performance of Parties’ obligations illegal or impossible («Force Majeure Event»). The period of such release shall begin upon declaration of force-major by the defaulting Party and shall cease or would cease if the defaulting Party takes or took such steps as it actually could take in order to get out of force-major. Force-major shall automatically extend the term of fulfillment of the Parties’ obligations for the whole period of its duration and liquidation of its consequences. The Parties shall inform each other about the beginning of force-major circumstances without delay. Should such circumstances remain in force for more than 6 months, each of the Parties shall have the right to waive further fulfillment of its obligations hereunder, and in such case neither of the Parties shall be entitled to claim reimbursement of its possible losses by the other Party. 8.3.The Client shall undertake to ensure the safekeeping cash valuables received in the Bank when transporting them from the Bank to their destination point. 8.4. In case of modification in the documents related to the Client’s identification the client is obliged during one month to give the Bank copies of these documents. Copies should be certified properly.
	9. Інші умови	9. Other Provisions
	9.1. Договір набуває чинності з моменту належного підписання вповноваженими представниками сторін.	9.1. The Agreement shall enter into force on the date of signing by duly authorised representatives of the parties hereto.
	9.2. Договір припиняє дію при закритті усіх Рахунків у Банку.	9.2. The Agreement shall terminate upon closure of all Accounts with the Bank.
	9.3. Клієнт може припинити дію Договору з будь-якої підстави шляхом закриття усіх Рахунків у Банку, попередньо повідомивши письмово Банк про закриття Рахунків у Банку. Клієнт не може припинити дію Договору, якщо Банк має будь-яку претензію до Клієнта стосовно цього або іншого договору.	9.3. The Client can terminate the Agreement at any time and by any reason by closing all the Accounts opened with the Bank, prior written notice to the Bank. The Client may not terminate the Agreement if the Bank has any claims against the Client according to this or other agreements with the Client.
	9.4. Банк може відмовитися від Договору та закрити Рахунок Клієнта у разі: 9.4.1. Відсутності операцій за Рахунком Клієнта протягом трьох років підряд та відсутності залишку грошових коштів на цьому Рахунку. 9.4.2. Якщо сума грошових коштів, що зберігаються на Рахунку Клієнта, залишалася меншою від мінімального розміру, передбаченого цим Договором, якщо така сума не буде відновлена протягом місяця від дня попередження Банком про це. 9.4.3.Банк має право закриття рахунків Клієнта Банку на вимогу Банку у випадках, передбачених у статті 15 Закону України «Про запобігання та протидію легалізації (відмиванню) доходів, одержаних злочинним шляхом, фінансуванню тероризму та фінансуванню розповсюдження зброї масового знищення». 9.4.4.У інших випадках, встановлених законом. 9.5. Банк має право вимагати розірвання цього Договору у разі: 9.5.1. Відсутності операцій за Рахунком Клієнта протягом одного року. 9.5.2. У випадках, встановлених законом. 9.5.3. З будь-якої іншої підстави за ініціативою Банку.	9.4. The Bank is refusing from the Agreement and is closing An Account of the Client in case of: 9.4.1. Absence of transactions on the Account of the Client within three years in a row and no Account balance. 9.4.2. If the amount of funds stored in the Client's Account remained less than the minimum amount stipulated by this Agreement, if such amount is not restored within one month from the date of the Bank's warning. 9.4.3.The Bank has the right to close the accounts of the Bank's Client at the request of the Bank in the cases provided for in Article 15 of the Law of Ukraine «On Prevention and Counteraction to Legalization (Laundering) of Proceeds from Crime, Terrorist Financing and Proliferation of Weapons of Mass Destruction». 9.4.4. In any cases indicated in laws. 9.5. The Bank has the right to demand termination of this Agreement in case of: 9.5.1 Absence of transactions on the Account of the Client within one year. 9.5.2 In case indicated by laws. 9.5.3 At any other reason upon initiative of the Bank.
	9.6. Будь-які зміни або доповнення до умов цього Договору є чинними, якщо вони укладені в письмовій формі та підписані уповноваженими представниками Xxxxxx, окрім зміни Xxxxxxx Xxxxx. Зміна Тарифів Банку відбувається за одностороннім рішеням Банку. Банк зобов’язується розміщати актуальні Тарифи на вебсторінці Банку в мережі інтернет xxx.xxxxxxxxxxxx.xxx.xx. Клієнт зобов’язується відслідковувати актуальні Тарифи на вебсторінці Банку в мережі інтернет xxx.xxxxxxxxxxxx.xxx.xx.	9.6. Any amendment of or addition to the terms of this Agreement shall only be valid if made in writing and signed by authorized representatives of the Parties, excerpt of changing Tariffs of the Bank. Changing Tariffs of the Bank is carried out by unilateral decision of the Bank. The Bank undertakes to place actual ta Identification riffs on webpage of the Bank in the internet www.crediteurope.com.ua.The Client undertakes to truck actual Тariffs on webpage of the Bank in the internet xxx.xxxxxxxxxxxx.xxx.xx.
	9.7.Цей Договір укладено в двох (2) оригінальних примірниках українською та англійською мовою, по одному для кожної із Сторін. У випадку розбіжностей між текстами англійською та українською мовою переважну силу має текст українською мовою. 9.8.Письмове повідомлення про відмову від Договору та закриття рахунку Xxxx направляє Клієнтові за місцезнаходженням зазначеним у Єдиному державному реєстрі юридичних осіб, фізичних осіб-підприємців та громадських формувань. Достатнім доказом направлення Клієнтові повідомлення є відбиток штампу чи інші відмітки установи зв’язку. 9.9 .Банк має право відмовитися від встановлення (підтримання) договірних відносин (у тому числі шляхом розірвання договірних відносин) чи проведення фінансової операції у разі встановлення Клієнту неприйнятно високого ризику за результатами оцінки чи переоцінки ризику. 9.10. Підпис Xxxxxxx на цьому примірнику Договору є письмовим підтвердженням того, що Xxxxxx в день укладання цього Договору отримав свій примірник Договору. 10. Відносини щодо персональних даних, конфіденційної інформації та банківської таємниці. 10.1.Клієнт своїм власним підписом під цим Договором надає письмову згоду суб'єкта персональних даних на розкриття, знеособлення, обробку, передачу, зміну або знищення, використання та на доступ до моїх персональних даних, що містяться у відповідній базі персональних даних Банку й згоду на розкриття/розголошення банківської таємниці, персональних даних та конфіденційної інформації для мети виконання Банком функцій банківської установи, подання звітності та за вимогами контролюючих органів, третіх осіб, заявлених у обсягах, порядку та на умовах, визначених законодавством, захисту інтересів Банку у судовому та позасудовому порядку, розгляду можливості та/або здійснення відступлення прав вимоги на користь третіх осіб, факторингу за договорами, укладеними між Сторонами.	9.7 This Agreement has been executed in two (2) original copies in English and Ukrainian, one copy for each Party. In case of a discrepancy between the texts in English and Ukrainian, the text in Ukrainian will prevail. 9.8.The Bank has the right to close the accounts of the Bank's Client at the request of the Bank in the cases provided for in Article 15 of the Law of Ukraine «On Prevention and Counteraction to Legalization (Laundering) of Proceeds from Crime, Terrorist Financing and Proliferation of Weapons of Mass Destruction». 9.9.The Bank shall send a written notice of cancellation of the Agreement and closing the account to the Client at the location indicated in the Unified State Register of legal entities, individual persons-entrepreneurs and public entities. Sufficient proof of referral to the Client shall be the stamp or other marks of the telecommunication institution. 9.10. The signature of the depositor on this copy of the Agreement is a written confirmation that the depositor received his copy of the Agreement on the day of concluding this agreement. 10.Relationship between personal data, confidential information and bank secrecy. 10.1.The Client, by its own signature under this Agreement, gives written consent of the subject of personal data to the disclosure, impersonation, processing, transfer, change or destruction, use and access to my personal data contained in the relevant database of personal data of the Bank and consent to the disclosure / disclosure of bank secrecy, personal data and confidential information for the purpose of performing the Bank's functions as a banking institution, submission of reports and, upon the requirements of the controlling bodies, third parties, declared in volumes, in accordance with the procedure and under the terms established by law, protection of the Bank's interests in the court and out-of-court procedure, consideration of the possibility and / or deferral of claim rights in favor of third parties, factoring under contracts entered into.
	10.2.Фактом підписання цього Договору Xxxxxx та Банк погоджують, що Банк зобов`язаний додержуватися вимог чинного закодавства щодо збереження/розкриття/розголошення банківської таємниці. 10.3.Особи, винні в порушенні порядку розкриття та використання банківської таємниці, несуть відповідальність згідно із законами України. 10.4.Банк як суб'єкт первинного фінансового моніторингу під час здійснення ідентифікації Клієнта фактом підписання цього Договору інформує його про покладені на такого суб'єкта первинного фінансового моніторингу зобов'язання щодо обробки персональних даних для цілей запобігання та протидії легалізації (відмиванню) доходів, одержаних злочинним шляхом, фінансуванню тероризму та фінансуванню розповсюдження зброї масового знищення.	10.2. The fact of signing the Transaction Agreement hereof the Client and the Bank agreed that the Bank undertakes to hold legislative demands regarding keeping/disclosing bank’s secrecy. 10.3. Persons, who are guilty in unlawful disclosing of bank’s secrecy, are responsible in accordance with laws of Ukraine. 10.4.The Bank as a subject of primary financial monitoring during the identification of the Client by signing this Agreement informs him about the obligations imposed on such subject of primary financial monitoring to process personal data for the purposes of preventing and combating legalization (laundering) of proceeds from crime. , terrorist financing and the financing of the proliferation of weapons of mass destruction.
	11.Умови Фонду гарантування вкладів фізичних осіб 11.1.Банк до моменту укладання Договору ознайомлює фізичну особу (Вкладника) зі змістом Довідки про систему гарантування вкладів фізичних осіб, яка надається фізичній особі (Вкладникові): -до укладання договору банківського вкладу, банківського рахунку, якщо фізична особа не має поточних та/або вкладних (депозитних) рахунків у Банку, в паперовій формі у відділенні Банку або за допомогою засобів інформаційних, інформаційно-телекомунікаційних систем в електронній формі; -після укладання Договору – не рідше ніж один раз на рік у такі способи: надання Довідки Вкладнику при їх особистому зверненні до установи Банку для здійснення операцій (наприклад, отримання процентів за вкладом, отримання грошової допомоги, здійснення переказу коштів тощо), направлення Довідки на електронні адреси Вкладників, що вказані в укладених Договорах; надсилання смс-повідомленя на мобільні телефони щодо необхідності звернення до Банку для отримання Довідки, тощо. 11.2. Відшкодування коштів за вкладом в іноземній валюті відбувається у національній валюті України після перерахування суми вкладу за офіційним курсом гривні до іноземних валют, встановленим Національним банком України на кінець дня, що передує дню початку процедури виведення Фондом гарантування вкладів фізичних осіб (далі-Фонд) неплатоспроможного банку з ринку та здійснення тимчасової адміністрації відповідно до статті 36 Закону України «Про систему гарантування вкладів фізичних осіб». 11.3. У разі прийняття Національним банком України рішення про відкликання банківської ліцензії та ліквідацію банку з підстав, визначених частиною другою статті 77 Закону України «Про банки і банківську діяльність», відшкодування коштів за вкладом в іноземній валюті здійснюється в національній валюті України після перерахування суми вкладу за офіційним курсом гривні до іноземної валюти, встановленим Національним банком України станом на кінець дня, що передує дню початку процедури ліквідації банку. 11.4.Сума граничного розміру відшкодування коштів за вкладами, розміщена на офіційній сторінці Фонду гарантування вкладів фізичних осіб та Банку в мережі Інтернет. 11.5. Нарахування відсотків за вкладами припиняється у день початку процедури виведення Фондом неплатоспроможного банку з ринку або у день прийняття рішення про відкликання банківської ліцензії та ліквідацію банку – у разі прийняття Національним банком України рішення про відкликання банківської ліцензії та ліквідацію банку з підстав, визначених частиною другою статті 77 Закону України «Про банки і банківську діяльність». 11.6. Перелік умов, за яких Фонд не відшкодовує кошти за вкладами, визначені ч.4 статті 26 Закону України «Про систему гарантування вкладів фізичних осіб», а також розміщені на офіційній сторінці Фонду гарантування вкладів фізичних осіб в мережі Інтернет. 11.7.Клієнт приєднується шляхом підписання цього Договору до Правил відкриття, використання і закриття Рахунків у національній та іноземних валютах. 12 НА СВІДЧЕННЯ ЧОГО Cторони за Договором надали належної чинності Договору.	11. Terms of the Deposit Guarantee Fund 11.1.The Bank shall, prior to the conclusion of the Agreement, acquaint the individual (the Client) with the contents of the Certificate on the Deposit Insurance system, which is provided to the individual (the Client): - prior to entering into a bank deposit, bank account agreeement, if the individual does not have current and / or deposit (deposit) accounts with the Bank, the Certificate must be kept in the case of legal registration of the Account. If the Bank has provided the Certificate through the means of information, information and telecommunication systems in electronic form, the Bank shall have a notice to the Client on its receipt; -after the conclusion of the Agreement - at least once a year in the following ways: providing the Client with their personal request to the Bank institution for transactions (for example, receiving interest on deposit, receiving financial assistance, transferring funds, etc.), sending the Certificate to electronic the addresses of the contributors specified in the concluded Agreements; sending a text message to mobile phones regarding the need to contact the Bank for help, etc. 11.2.Refunds on Deposits in foreign currency is equivalent to the national currency of Ukraine after the transfer of the Deposit amount at the official exchange rate to foreign currencies set by the National Bank of Ukraine on the day of starting the procedure for removing the bank from the market and the implementation of an interim administration in accordance with Article 36 of the Law of Ukraine “On the system of the Deposit Insurance“ 11.3. If the National Bank of Ukraine decides to revoke the banking license and liquidate the bank on the grounds specified in part two of Article 77 of the Law of Ukraine "On Banks and Banking", each depositor is guaranteed a refund of deposits (including interest) at the end of the day the day of the beginning of the liquidation procedure of the bank, but not more than the amount of the maximum amount of reimbursement of deposits, set on the date of such a decision, regardless of the number of deposits in one bank. 11.4. Amount of maximal reimbursment for deposits is posted on the official website of the Guarantee Fund and Bank on the Internet. 11.5. Accrual of interest on deposits is terminated on the day of the Deposit Guarantee Fund's withdrawal from the market or on the day of the decision to revoke the banking license and liquidate the bank on the grounds specified in part two of Article 77 of the Law of Ukraine "On Banks and Banking. 11.6. The list of conditions under which the Deposit Insurance Fund (hereinafter referred to as the Fund) shall not reimburse the funds for Deposit are determined by item 4 Article 26 the Law of Ukraine “On the system of the Deposit Insurance“ and posted on the official website of the Guarantee Fund. 11.7.The Client joins by signing this Agreement to the Rules for opening, using and closing Accounts in national and foreign currencies. 12. IN WITNESS WHEREOF the Parties to the Agreement have caused this Agreement to be duly executed.

1. Загальні Умови Надання Банківських Послуг

Загальні Умови Надання Банківських Послуг (надалі - "ЗУ") регулюють ділові відносини між АКЦІОНЕРНИМ ТОВАРИСТВОМ “КРЕДИТ ЄВРОПА БАНК” (надалі - "Банк"), зареєстрованим згідно з законодавством України, та його клієнтами (надалі - "Клієнт" або "Клієнти"). Якщо Xxxxxx чи Клієнтом не буде чітко в письмовій формі передбачено інше, або якщо інше не застосовуватиметься за своїм характером, кожна та будь-яка умова ЗУ вважається та кваліфікується як така, що належить до відповідного договору або договірних відносин між Банком та Клієнтом. ЗУ застосовуються до кожної та будь-якої банківської послуги або пов‘язаної з нею послуги, які пропонуються або надаються Банком.

INTRODUCTORY PROVISIONS

1. The General Terms and Conditions

These General Terms and Conditions hereunder (hereinafter referred to as the "GTC") shall govern the business relations between JOINT-STOCK COMPANY “CREDIT EUROPE BANK” (hereinafter referred to as the "Bank"), a bank registered under the laws of Ukraine, and its clients (hereinafter referred to as "Client" or "Clients"). Unless expressly stipulated otherwise in writing by the Bank and the Client or non applicable as per nature, each and any term of the GTC shall be deemed and qualified as inherent to the relevant contract or contractual relationship between the Bank and the Client. Each and any banking or related service offered or provided by the Bank shall be implied to be governed by and construed in accordance with the GTC.

2. Прийняття ЗУ Клієнтом

При встановленні вперше ділових відносин з Банком, підписанні договору про здійснення банківських операцій (тут і далі узагальнено, як “Операційний Договір”) з банком, Клієнт підтверджує прийняття ЗУ стосовно таких перших ділових відносин та усіх майбутніх ділових відносин шляхом підписання примірника ЗУ. За винятком, якщо до моменту здійснення Банком будь-якої подальшої операції, Клієнт в письмовій формі повідомить Банк про інші умови, вважатиметься, що Банк та Клієнт мають у володінні, повністю обізнані та погоджуються прийняти кожну та будь-яку умову ЗУ стосовно кожної такої операції та Банк може сумлінно покладатися на таку згоду Клієнта.

2. Acceptance of GTC by the Client

When entering into the first business relation, contract, transaction or executing any instrument constituting banking business (hereinafter collectively "Transaction Agreement") with the Bank, the Client will acknowledge acceptance of the GTC for such first business relation and all future business relations by signing a copy of the GTC. Unless the Bank is notified otherwise in writing by the Client before the execution of any further transaction by the Bank, it shall be deemed by the Bank that the Client is in possession, has full knowledge of and has agreed to the application of each and any term of the GTC to each of such transactions and the Bank may faithfully rely upon such agreement of the Client.

3. Зміни ЗУ

Банк може змінювати ЗУ у будь-який час. Банк повідомлятиме Клієнта про кожну окрему зміну поштою. Клієнт зобов’язується підтвердити Банку в письмовій формі свою згоду на таку зміну протягом 15 календарних днів з моменту отримання повідомлення від Банку.

4. Мова

ЗУ та кожний окремий Операційний Договір надаються Клієнтові по одному примірнику, складеному українською та англійською мовами. В разі розбіжностей чи суперечностей між ними, примірник українською мовою має переважну силу якщо Клієнт є резидентом

3. Modification of GTC

The Bank may at any time modify the GTC. The Bank will inform the particular modification to the Client by mail. The Client undertakes to confirm to the Bank in writing the Client’s agreement to such modification within 15 calendar days of receipt thereof.

4. Language

The GTC and each individual agreement between the Bank and the Client are furnished to the Client in both the Ukrainian and English language versions. If there were to be any inconsistency or contradiction between the two, the Ukrainian language version shall prevail for

5. Міжнародні правила

Банк та Клієнт зобов’язуються при укладенні і виконанні будь-якого контракту, здійсненні будь-якої банківської операції (надалі разом - "Операційний Договір") дотримуватися певних міжнародних договорів та конвенцій стосовно банківських операцій. До них входять Уніфіковані правила та звичаї для документарних акредитивів, Міжнародні правила по інкасо, Уніфіковані правила по договірним гарантіям та Уніфіковані правила Міжнародної Торгової Палати для гарантій за першою вимогою, які були випущені та періодично змінюються Міжнародною Торговою Палатою (надалі разом - "Правила МТП"). Такі Правила МТП включаються до ЗУ шляхом посилання та є невід’ємною частиною ЗУ. При існуванні будь-якої невідповідності або будь-якой суперечності між ЗУ та Правилами МТП, переважну силу мають Правила МТП.

5. International Customs

The Bank and the Client undertake by and upon entering into a contract, any transaction or executing any instrument constituting banking business (hereinafter collectively "Transaction Agreement"), the application of certain international agreements and conventions on banking operations. These include the Uniform Customs and Practice for Documentary Credits, the Uniform Rules for Collections, the Uniform Rules for Contract Guarantees and the Uniform Rules for Demand Guarantees, issued and as modified from time to time by the International Chamber of Commerce (hereinafter collectively referred to as "ICC Usages"). Such ICC Usages are incorporated herein by reference and constitute a part of the GTC. If there were to be any inconsistency or contradiction between the GTC and any of the ICC Usages, the ICC Usages shall prevail.

6. Невідповідності між ЗУ та іншими документами

За наявності будь-яких невідповідностей або суперечностей між ЗУ та укладеним між Банком та Клієнтом Операційним Договором, переважну силу має такий Операційний Договір, якщо інше прямо не передбачене в Операційному Договорі.

6. Inconsistencies between GTC and Other Instruments

If there were to be any inconsistency or contradiction between the GTC and a Transaction Agreement entered into by and between the Bank and the Client, such Transaction Agreement shall prevail, unless expressly stipulated otherwise in the Transaction Agreement.

7. Відповідальність Банку та Форс-Мажор

7.1. Не обмежуючи інші положення ЗУ та будь-якого Операційного Договору, укладеного між Клієнтом та Банком, Банк несе відповідальність перед Клієнтом лише за порушення або невиконання зобов’язань Банком, ЗУ та будь-яким іншим Операційним Договором, укладеним з Клієнтом, що спричинені грубою недбалістю або навмисно шкідливими діями Банка. Якщо Клієнт був причетним до виникнення будь-якого збитку або втрати через власну вину, міра, у якій Клієнт та Банк покриватимуть збитки або втрати, визначається згідно чинного законодавства.

7.2. Ані Банк, ані будь-яка інша дочірня компанія, філія, або споріднена чи материнська компанія Банку, не несуть відповідальності за будь-яку втрату або відсутність коштів або іншого майна, що

7. Liability of the Bank and Force Majeure

7.1. Without prejudice to the other provisions of the GTC and any Transaction Agreement between the Client and the Bank, the Bank shall only be liable towards the Client for willful misconduct, grossly negligent breach or non-performance of the Bank’s obligations, GTCs and any Transaction Agreement with the Client. If the Client has contributed to the occurrence of any damage or loss through its own fault, the principles of applicable law shall determine to what extent the Bank and the Client shall bear the damage or loss.

7.2. Neither the Bank nor any other subsidiary, branch, or affiliate of the Bank or the Bank's parent company shall be held liable for any loss or unavailability of funds or other assets deposited with the Bank, resulting from actions

вкладені до Банку, які спричинені діями будь-якого національного, іноземного або міжнародного урядового або іншого контролюючого органу, або, якщо виконання Банком його зобов’язань за Операційним Договором або ЗУ затримується через будь-яку подію, що знаходиться поза контролем Банку, та є непередбачуваною, або, у разі її передбачуваності, - неминучою, включаючи, без обмеження, війну (оголошену або не оголошену), окупацію, громадські заворушення, стихійні лиха, такі як, пожежа, вибух, повінь, землетрус, заходи, що вживаються будь-яким урядом або Національним банком України (надалі - "НБУ") або іншим повноважним органом, валютні обмеження, відключення або переривання у постачанні електроенергії, передачі даних або зв’язку з Банком або третіми особами, послуги яких Банк використовує, падіння чи спад будь-якого відповідного ринку або трудові конфлікти третіх осіб, послуги яких використовуються Банком (надалі разом - "Форс Мажор"). При виникненні випадків Форс Мажор Банк вживає таких заходів, які можуть прийнятним чином вимагатися від нього, для зменшення їх негативного впливу на Клієнта.

taken by any domestic, foreign or international governmental or other supervisory authority, or if the Bank's performance of its obligations under a Transaction Agreement or the GTC is delayed by any event beyond the control of the Bank that is unforeseeable or, if foreseeable, unavoidable, including, but not limited to, war (declared or undeclared), occupation, civil war, civil disturbances, natural disasters such as fire, explosion, flood, earthquake, currency restrictions, measures taken by any government or by the National Bank of Ukraine (NBU) or any supervisory authority, breakdown or failure of power, transmission or communications of the Bank or of third parties whose services are used by the Bank, failure or disruption of any relevant market, or labour dispute of third parties whose services are used by the Bank (collectively "Force Major"). In case of Force Major, the Bank shall take such measures as may reasonably be required from it in order to reduce the resulting adverse effects for the Client.

7.3. Будь-які та всі суми, належні до сплати Банком Клієнту по будь-якому рахунку, будь-яким цінних паперам або іншому майну, депонованому у Банку, або через будь-яку іншу причину будь-якого характеру є належними до сплати, сплачуються та отримуються лише в офісах Банку на території України та Клієнт не має жодних прав та жодних вимог щодо вищенаведеного стосовно головного офісу та будь-якого офісу, філії, дочірньої або спорідненої компанії Банку, що перебувають під будь-якою іншою юрисдикцією, аніж українська.

8. Відповідальність стосовно дотримання законодавства

Банк та Клієнт дотримуються законодавства України (у т.ч. законів України, нормативно-правових актів Національного банку України й інших органів державної влади України) та інших відповідних законів, що застосовуються по відношенню до України. У будь-який момент та за будь-яких обставин Банк має дотримуватися всіх чинних положень законів України, що стосуються банків та банківської діяльності, зі змінами та доповненнями, які вносяться час від часу, та має права та повноваження наполягати на тому, щоб Клієнт діяв аналогічним чином. Цими ЗУ Xxxxxx уповноважує Xxxx здійснювати або не

7.3. Any and all sums due or owing by the Bank to the Client in connection with any account, any securities or other assets deposited with the Bank or for any other reason whatsoever shall only be payable at and recoverable from the offices of the Bank in Ukraine and the Client shall have no rights and claims in respect of any of the foregoing against the Bank's parent company or any other office, branch, subsidiary or affiliate of the Bank in any jurisdiction other than Ukraine.

8. Responsibility for Complying with Law

Both the Client and the Bank are subject to and shall comply with the legislation of Ukraine (including laws of Ukraine, normative legal acts of the National bank of Ukraine as well as other State bodies of Ukraine) and any other relevant laws applicable to it. The Bank shall, at all times and under all circumstances, be entitled to comply with all applicable provisions of Ukrainian law affecting banks and banking practices, as amended from time to time, and shall be entitled to insist that the Client do likewise. The Bank is entitled and authorized herewith by the Client to take or fail to take any and all action as it may be required

9. Визначення та представництво

Клієнт повинен надати Xxxxxxx достатню інформацію для ідентифікації Клієнта, як це вимагається законодавством, та Банк не несе відповідальності перед Клієнтом за те, що він покладався на такі посвідчення та/або не перевірив ідентифікаційні дані щодо особи, надані Клієнтом або будь-яким представником чи агентом Клієнта. У випадку невиконання Клієнтом цього зобов'язання Банк вправі відмовитися від надання Клієнту послуг та припинити з ним відносини. Клієнт повинен також негайно повідомляти Банк про будь-які зміни в інформації щодо його ідентифікації.

GENERAL TERMS OF BANKING

9. Identification and Representation

9.1.The Client shall provide the Bank with sufficient information regarding Client’s identity as required by law and the Bank shall not be responsible or liable to the Client for relying on and/or not investigating such identification furnished by the Client or any of the Client’s representatives or agents. In case if the Client fails to fulfil this obligation, the Bank is entitled to refuse in providing services to the Client and can terminate relations. The Client is obliged to notify the Bank immediately on any changes in the information related to his identification.

9.2. При відкритті поточного рахунку в Банку, Клієнт надає Банку зразок своєї печатки, якщо це необхідно згідно відповідного нормативного акту, зразок свого підпису та підписів осіб, уповноважених підписувати документи від імені Xxxxxxx та іншим чином представляти Клієнта. Підписи повинні засвідчуватись нотаріально або відповідним державним органом згідно чинного українського законодавства.

9.2. When opening a current account with the Bank, the Client shall provide the Bank with a specimen of its seal, if applicable according to relevant normative act, its signature and the signatures of the individuals authorized to sign on behalf of, and otherwise represent the Client. The signatures should be certified by a notary or appropriate state organ according to applicable Ukrainian legislation. Such authorization involves and covers authorizations to operate the current account only.

9.3. Клієнт несе відповідальність за надання Xxxxxxx письмових повідомлень у належній формі, а також за надання карток зі зразками нових підписів у разі будь-яких змін у зв’язку або стосовно зміни повноважень Клієнта або його представників чи агентів, та зобов’язаний відшкодувати будь-які збитки або втрати Банку, що виникли внаслідок неповідомлення Банку та неподання карток зі зразками підписів, як це вимагається цими ЗУ.

9.3. The Client shall be responsible for notifying the Bank, in proper written form, and submitting a new signature specimen card, in the event of any changes in connection with or with regard to changes in the powers of the Client or of its representatives or agents and shall indemnify the Bank for any damage or losses resulting from or as a consequence of failing to notify the Bank and resubmitting of the signature specimen card as stipulated herein.

9.4. Банк має право здійснювати виконання кожного та будь-якого наказу, заяви або повідомлення, які, за його сумлінним переконанням, є дійсними, та Клієнт бере на себе повну відповідальність за таке виконання, за винятком, коли Клієнтом буде встановлено факт грубої недбалості чи навмисно шкідливої дії з боку Банку.

9.4. The Bank shall be entitled to give effect to each and every order, statement or communication which it believes in good faith to be genuine and the Client shall assume full responsibility therefore, except when the Client establishes that the Bank has been grossly negligent or acted with xxxxxx misconduct.

9.5. Банк може відмовитися від виконання кожного та будь-якого наказу, заяви або повідомлення, якщо підпис(-и) на такому наказі або інструкції належним чином не відповідають зразкку(-ам) підпису(-ів), що зареєстрований(-і) в Банку, або якщо Банк на підставі будь-якої причини вважає, що такий наказ, заява або повідомлення не є дійсними. Банк не несе відповідальності перед Клієнтом або перед будь-якою іншою особою стосовно наслідків такої відмови. Проте Банк не відповідає за наслідки виконання будь-яких фальшивих або фальсифікованих наказів або інструкцій, якщо не встановлено що Банк діючи з грубою недбалістю чи навмисно припустився помилки в перевірці такої інструкції, яка може спричинити негативний вплив на Клієнта.

9.5. The Bank may refuse to give effect to each and every order, statement or communication if the signature(s) on such order or instruction does not properly match the specimen signature(s) on file with the Bank or if the Bank for any reason believes that the order, statement or communication is not genuine. The Bank shall have no liability to the Client or any other person in respect of any consequence of such refusal. However, the Bank shall not be responsible for the consequences of any false or falsified orders or instructions, unless the Bank, acting grossly negligent or with xxxxxx misconduct, makes an error in examining such instruction, which has a material adverse effect on the Client.

10. Розпорядження, що мають виконуватися Банком

10.1. Клієнт повинен слідкувати за тим, щоб розпорядження, заяви та повідомлення, що надаються Банку, були зрозумілими та щоб у них містилася достовірна інформація. Форми повинні повністю заповнюватися Клієнтом. Інші затверджені Банком носії або засоби передачі інформації мають використовуватися Клієнтом відповідно до інструкцій Банку.

10. Orders to be Executed by the Bank

10.1. The Client must see to it that orders, statements and communications to the Bank are clear and that they convey the correct data. Forms must be fully completed by the Client. Other data carriers or means of communication approved by the Bank must be used by the Client in accordance with the directions of the Bank.

10.2. У будь-якому розпорядженні стосовно банківського рахунку (такому як платіжне доручення або інкасове доручення) має зазначатися повне ім’я Xxxxxxx та номер рахунку, а також одержувач за таким розпорядженням. Банк не несе відповідальності за підтвердження правильності імені, номера та будь-якої іншої інформації, що міститься у розпорядженні.

10.2. An order with respect to a bank account (such as a payment order or a collection order) shall contain the full description of the Client's name and account number and the identity of the beneficiary of the order. The Bank shall not be responsible for confirming the correctness of the name, number or any other information entered in the order.

10.3. Якщо у розпорядженні містяться помилкові дані, Xxxx не несе відповідальності за будь-який збиток або втрату, спричинених такою помилкою. Якщо помилка виявляється під час звичайної перевірки, Xxxx повертає розпорядження Клієнтові та вимагає від Клієнта надання правильної інформації.

10.4. Якщо інше не визначено у розпорядженні, датою виконання розпорядження вважається дата, на яку Банк отримує розпорядження, за умови, що на рахунку Клієнта знаходиться достатня сума коштів, та за умови, що таке розпорядження буде отримано Банком напротязі операційного часу, як це визначається в Операційному Договорі. 10.3. If an order contains erroneous data, the Bank shall not be responsible for any damage or loss resulting therefrom. If the error is discovered during a routine check, the Bank shall return the order to the Client and call on the Client to furnish the correct data.

10.4. Unless stipulated otherwise in the order, the date of execution of an order shall be deemed to be the date on which the Bank receives the order, provided there are sufficient funds on the Client’s account and provided such order is received on a business day and at a time not later than the Bank's cut off time as specified in the Transaction Agreement. If received after such cut off time, the order will be executed on the following business day. The

виконується на наступний робочий день. Банк підтверджує отримання всіх документів від Клієнта проставленням Банківського штампу на документах, як це може в деяких випадках вимагатися законодавством України, та проставленням відповідної дати.

Bank will acknowledge receipt of all documents from the Client by applying a stamp as may be required in certain cases by Ukrainian legislation and by marking the respective date.

10.5. Стосовно платіжних доручень, будь-яка спеціальна інструкція або призначення платежу, що вказуються в платіжному дорученні, вважаються інформацією, призначеною лише для бенефіціара, а не для Банку. Той факт, що Банк може прийняти та оплатити таке платіжне доручення не призводить до виникнення будь-яких вимог або прав будь-яких третіх осіб проти Банку.

10.5. With respect to payment orders, any special instruction or reference as to the purpose of the funds that are the subject of a payment order, is deemed to be information for the payee only, and not for the Bank. The fact that the Bank may accept and pay such an order, shall not give rise to any claims or rights of any third party against the Bank.

10.6. Якщо Xxxx отримує різні платіжні доручення стосовно одного рахунку, а на цьому рахунку не вистачає коштів для виконання всіх платіжних доручень, Банк має право на свій власний розсуд та відповідно до вимог чинного законодавства України визначити, які платіжні доручення виконувати. Банк повертає невиконані платіжні доручення Клієнтові. Банк не несе відповідальності за невиконання платіжного доручення через нестачу коштів на рахунку.

10.6. If the Bank receives various payment orders regarding a particular account and there are insufficient funds on that account to cover all the payment orders, the Bank shall be entitled to determine at its own discretion, which payment orders should be executed, subject to applicable requirements of Ukrainian law. The Bank will return to the Client unexecuted payment orders. The Bank shall not be held liable for failing to execute an order due to insufficient funds on the account.

10.7. Банк виконує розпорядження та платежі стосовно валютних операцій за умови надання Клієнтом Банкові всіх відповідних ліцензій, дозволів та інших необхідних документів згідно чинного законодавства України та за умови, що на підставі цих документів Банк буде переконаний в тому, що Клієнт згідно з законодавством має право здійснювати валютні або зовнішньоторгівельні операції у спосіб, що передбачається такою операцією. При перевірці таких ліцензій та дозволів Xxxx несе відповідальність лише у разі навмисних дій чи грубої недбалості з його боку.

10.7. The Bank shall execute orders and payments regarding foreign exchange transactions, provided the Client has presented to the Bank all appropriate licenses, permits and other necessary documents as required by applicable legislation of Ukraine and provided the Bank is convinced from these documents that the Client is legally permitted to engage in foreign exchange or foreign trade activities in the manner contemplated in such transaction. In checking such licenses and permits, the Bank is liable only for xxxxxx misconduct and gross negligence on its part.

10.8. При виконанні розпоряджень стосовно придбання або продажу товарів та документів, що посвідчують право власності, включаючи іноземну валюту, але не обмежуючись цим, Банк, на свій вибір, має право продавати або купувати такі товари та документи, що посвідчують право власності, від свого імені, або діяти з третіми особами як сторона договору комісії. Банк не зобов’язаний розголошувати Клієнтам умови таких договорів.

10.9. Банк має право отримувати за свої послуги від Клієнта комісійну винагороду та іншу плату. Якщо сума такої комісійної винагороди та іншої плати за послуги

10.8. In executing orders for the purchase and sale of goods and documents of title, including, but not limited to, foreign currency, the Bank shall be entitled at its option, to sell or purchase such goods and documents of title in its own name and to deal with third parties as the other party on a commission basis. The Bank is not obliged to disclose the terms of such agreements to the Client.

10.9. The Bank is entitled to charge commissions and fees to the Client for its services. If the amount of these commissions and fees has not been previously agreed upon

between the Client and the Bank, the Bank shall charge its standard commissions and fees. The Bank may change its commissions and fees at any time.

10.10. Крім комісійної винагороди та плати за послуги, Клієнт відшкодовує Банку будь-які прийнятні витрати та будь-які мито, податки та інші збори, сплачені Банком безпосередньо у зв’язку із послугами, наданими Клієнту.

10.10. In addition to commissions and fees, the Client shall reimburse the Bank for any other reasonable expenses and any duties, taxes and other charges incurred by the Bank directly in connection with the services provided to the Client.

10.11. Банк не несе відповідальності за будь-який ризик, що виникає в результаті коливання курсів валют, під час виконання міжнародних платежів та валютних операцій, такий ризик покладається виключно на Клієнта.

10.11. The Bank shall not be held liable for any risk arising from the fluctuation of exchange rates in the course of executing international payments and foreign currency transactions, which risk is solely for the Client.

10.12. Якщо НБУ або Українська Міжбанківська Валютна Біржа не визначають офіційних обмінних курсів на конкретний день, або Банк на свій власний розсуд визначає, що не існує відповідних та справедливих засобів для визначення такого обмінного курсу, або, якщо за інших обставин, виконання валютної операції в певний день не виправдано практично, в такому разі Банк може затримати виконання такого розпорядження до такого часу, коли будуть опубліковані офіційні обмінні курси або за наявності інших засобів для визначення обмінного курсу. Банк не зобов’язаний повідомляти Клієнта про таку затримку.

11. Призначення розпоряджень; доставка документів

11.1. Якщо Xxxx вважає за необхідне або таким, що відповідає інтересам Клієнта або іншим чином відповідає порядку здійснення комерційної діяльності, Банк може використовувати послуги третьої особи для виконання розпоряджень Клієнта. Третьою особою можуть виступати без обмежень: компанії та установи що надають наступні послуги - обслуговування кореспондентських рахунків, кур’єрські послуги, поштові послуги, послуги служби збройного супроводу, послуги зв’язку, послуги пов’язані з проведенням розрахунків, послуги стосовно купівлі/продажу цінних паперів, іноземної валюти а також послуги по реєстрації цінних паперів. Клієнт погоджуються з та приймає вибір такої третьої особи Xxxxxx, за умови, що Банк виявив належну сумлінність у виборі, консультуванні та контролі такої третьої особт. Банк не несе відповідальності за будь-які дії, недоліки або помилки з боку третьої

10.12. If the NBU or the Ukrainian Interbank Currency Exchange fails to issue its official rates on a particular day or the Bank determines in its sole discretion, that adequate and fair means do not exist for determining this rate of exchange, or that it is otherwise not practical to execute a foreign exchange transaction on a particular day, then the Bank may postpone execution of such an order until such time as the official rates are published, or means exist for determining the rate of exchange. The Bank is not obliged to notify the Client of such postponement.

11. Assignment of Orders; Delivery of Documents

11.1. If the Bank considers it necessary or being in the interest of the Client or otherwise in the due course of business, the Bank may engage the services of a third party to carry out orders of the Client. Third parties include, but are not limited to, companies and institutions providing the services of the following: correspondent banking, courier, postal, armoured transport, telecommunication, payment clearing, securities exchanges, currency exchanges and securities registrars. The Client hereby agrees to and accepts the Bank’s choice of such third parties, provided the Bank has exercised due care in selecting such third party. The Bank shall not be liable for any actions, defaults or omissions by such third party. Charges to the Bank by such third parties, unless otherwise agreed, shall be reimbursed by the Client. If a third party is appointed at the direction of the Client, the Bank shall not be held responsible for the

11.2. За відсутністю прямої вказівки Клієнта про інше, Банк сумлінно доставляє та вручає застраховані або незастраховані платежі, документи, векселі, чеки, банкноти та інші цінності, діючи на свій власний розсуд, виявляючи належну дбайливість та обережність, які очікуються від Банку. Будь-які доставки та вручення здійснюються за рахунок Клієнта.

11.2. Unless directly instructed by the Client, the Bank will deliver in good faith, insured or not insured, payments, documents, bills of exchange, cheques, banknote and other valuables using its sole discretion utilising the reasonable care and prudence expected of a bank. Any delivery shall be made for the account of the Client.

11.3. Банк несе відповідальність за збитки, заподіяні через відсутність або помилки під час передачі інформації або документів по телефону, факсимільного зв’язку, телексу або телеграфу між Клієнтом, третьою особою та/або Банком лише, якщо такі збитки безпосередньо спричинені навмисними діями або грубою недбалістю Банку.

11.3. The Bank shall bear responsibility for losses due to failures or mistakes in the transmission of information or documents by telephone, fax, telex or cable between the Client, a third party and/or the Bank, only if such losses are directly attributable to the xxxxxx misconduct or gross negligence of the Bank.

12. Спеціальні методи зв’язку

12.1. Банк не несе відповідальності за будь-яку шкоду або збитки, заподіяні в результаті затримок, дефектів передачі, непорозумінь або будь-яких помилок, зокрема, стосовно передачі ідентифікаційного коду Клієнта, що виникають внаслідок використання поштових, телефонних послуг, послуг телеграфу, телексу, факсимільного зв’язку, або будь-яких інших засобів передачі, транспортування або зв’язку.

12. Special Methods of Communication

12.1. The Bank shall not be held liable for any loss or damage resulting from delays, transmission defects, misunderstandings or any other errors, in particular regarding the transmission of the identification code of the Client, arising from the use of postal, telephone, telegraph, telex, facsimile services or of any other means of transmission, transport or telecommunication.

12.2. Бланки, носії даних, тестові ключі та засоби зв’язку, які Банк надав у розпорядження Клієнта, Клієнт повинен дбайливо утримувати та використовувати. Банк не несе відповідальності або зобов’язань перед Клієнтом або перед будь-якою третьою особою за будь-яку шкоду або збитки, заподіяні через порушення інструкцій Банку стосовно застережних заходів зберігання та/або втрату бланків, носіїв даних, перевірочних ключів та засобів зв’язку, які Банк надав у розпорядження Клієнта, або за недозволений доступ до таких бланків, носіїв даних, перевірочних ключів та засобів зв’язку.

12.3. Якщо Клієнту стає відомо про будь-які надзвичайні події, такі як: втрата, крадіжка або зловживання стосовно таких бланків, носіїв даних, тестових ключів або засобів зв’язку,

12.2. The forms, data carriers, test keys and means of communication which the Bank has put at the disposal of the Client, must be kept and handled by the Client with care. The Bank shall not be held responsible or liable by the Client or any third party for any damage and loss resulting from violation of the Bank's safeguard instructions and/or loss of or unauthorized access to the forms, data carriers, test keys and means of communication which the Bank has put at the disposal of the Client.

12.3. If the Client becomes aware of any irregularity such as loss, theft or misuse with respect to these forms, data carriers, test keys or means of communication, the Client shall

12.4. In the event notice of termination of the relationship between the Client and the Bank has been given, the Client shall return to the Bank unused forms as well as the other data carriers, test keys and means of communication put at his disposal by the Bank.

УМОВИ КОНКРЕТНИХ ОПЕРАЦІЙ

13. Банківські рахунки

13.1. Банк відкриває банківський рахунок для Клієнта після одержання заяви в належній формі та інших документів, які вимагаються чинним законодавством та інших додаткових документів, що можуть вимагатися Банком, та за умови, що Банк задовольняють умови такої заяви, документів та посвідчень. Клієнт погоджується надати Xxxxxxx додаткову документацію, яка може в майбутньому вимагатися банківським законодавством. Кожен банківський рахунок матиме в якості реквізитів найменування та адресу Клієнта та ідентифікаційний номер.

CONDITIONS OF SPECIFIC TRANSACTIONS

13. Bank Accounts

13.1. The Bank will open a bank account for the Client after receipt of a formal application and other documents required by applicable legislation and such additional documents as the Bank may request and provided the Bank is satisfied with the terms of such application, documents and evidence. The Client agrees to furnish the Bank with additional documentation that may be required by future banking legislation. Each bank account shall bear the name and address of the Client and shall have an identification number.

13.2. Лише Клієнт, який є власником банківського рахунку, вважається Банком розпорядником такого банківського рахунку або відповідальним за такий банківський рахунок навіть, якщо залишок такого банківського рахунку повністю або частково повинен або може сплачуватися на користь будь-якої іншої третьої особи.

13.2. Only the Client holding a bank account shall be considered by the Bank to be the beneficiary of, or to be liable for such bank account, even if the balance, whole or part, of such bank account shall or may be payable to any other third person.

13.3. Клієнт зобов’язаний перевіряти підтвердження, виписки з рахунку, повідомлення або інші виписки, які надсилаються Клієнту Банком, одразу після їх одержання. Крім цього, Xxxxxx повинен перевірити що розпорядження, які надаються ним або від його імені, виконуються Банком правильно. У разі виявлення будь-якої неточності або відсутності повної інформації, Клієнт зобов’язаний без затримки повідомити про це Банк.

13.3. The Client is obliged to examine the confirmations, statements of account, notes or other statements sent to the Client by the Bank immediately upon receipt. In addition, the Client must check whether orders given by him or on his behalf have been executed correctly by the Bank. When finding any inaccuracy or incompleteness, the Client is obliged to notify the Bank without delay

13.4. Якщо протягом 15 днів після дати підтвердження, виписки з рахунку, повідомлення або інших виписок, Клієнт не подає письмових заперечень стосовно змісту такого підтвердження, виписки з рахунку, підтверджень або інших виписок Банку для Клієнта, зміст таких документів вважається таким, що є затвердженим Клієнтом.

13.4. If the Client has not contested in writing the contents of confirmation, statements of account, notes or other statements of the Bank to the Client within 15 days from the date of such statement, the contents of such documents shall be deemed to have been approved by the Client.

13.5. Якщо інше не передбачено чинним законодавством або Операційним Договором, Банк має право в будь-який час змінювати процентні ставки, розміри комісійних винагород, плати за послуги та тарифи, за умови існування обґрунтованих підстав, які включають, але не обмежуються наступними: будь-які зміни процентних ставок на українському грошовому ринку або ринку капіталу, будь-які зміни вимог стосовно резервів капіталу, вимог достатності або ліквідності капіталу, або зміни положень, що поширюються на Банк, або будь-які зміни законодавства, нормативів або положень, внутрішніх або міжнародних, або зміни у їх застосуванні або тлумаченні стосовно банківської діяльності, які впливають на будь-які процентні ставки або спричиняють збільшення витрат Банку.

13.5. Unless otherwise is provided by the current legislation or Transaction Agreement, the Bank has the right to modify the interest rates, commissions, fees and charges at any time upon reasonable grounds, which shall include, but are not limited to, any change in any Ukrainian money or capital market rate or in any other applicable rate on any national or international money or capital market, any change in any reserve, capital adequacy or liquidity requirement or regulation applicable to the Bank, or any change in law, directive or regulation, national or foreign, or in the implementation or interpretation thereof, in respect of the banking business and affecting any interest rate or increasing the cost for the Bank.

13.6. Кожне зарахування на рахунок Клієнта здійснюється за умови, що коли Банк ще не одержав відповідну суму або її еквівалент у фактичне володіння (на кореспондентський рахунок) Банку, така сума сума або її еквівалент вчасно, в повному обсязі і належним чином надійде у фактичне володіння Банку; якщо такого надходження не відбудеться Банк матиме право відмовити у зарахуванні відповідної суми на рахунок клієнта (сторнувати зарахування такої суми). Клієнт цим надає згоду на таку відмову (сторнування).

13.6. Each credit entry is made subject to the condition that, if the Bank has not yet received the amount or counter-value for such entry, such amount or counter-value will timely and duly come into the effective possession of the Bank, failing which the Bank shall be entitled to reverse the credit entry. The Client hereby agrees to any such reversal.

13.7. Клієнт не може проводити зустрічного зарахування своїх вимог до Банку проти будь-яких зобов‘язань, які він може мати перед Xxxxxx, якщо інше не передбачено Операційним Договором.

13.7. The Client will not set-off claims he may have against the Bank against any liabilities he owes to the Bank, unless otherwise is foreseen by the Transaction Agreement.

14. Право Банку на взаємозалік

Шляхом підписання Операційного Договору або шляхом встановлення ділових стосунків з Банком іншим чином, Клієнт безвідклично уповноважує Банк на погашення будь-якої вимоги Банку до Клієнта, зарахуванням будь-яких зобов’язань Банку перед Клієнтом, включаючи зобов’язання, представлені банківськими рахунками Клієнта.

15. Припинення

15.1. Якщо сторони не погодяться про інше, в будь-який час як Клієнт, так і Банк, на свій власний розсуд можуть припинити дію будь-якої окремої операції або припинити всі

14. Bank's Right to Set-off

The Client, by signing a Transaction Agreement or otherwise entering into a business relationship with the Bank, irrevocably authorises the Bank the right to set-off any claim the Bank may have against the Client against any liabilities owed by the Bank to the Client, including liabilities represented by the Client's bank accounts.

15. Termination

15.1. Unless otherwise agreed upon by the parties, either the Client or the Bank, at its sole discretion, may terminate any individual transaction or the entire relationship between

15.2. ЗУ та будь-які умови відшкодування за припиненим договором є чинними протягом періоду від дати припинення договору та/або ділових відносин до дати завершення остаточних розрахунків та остаточного вирішення спорів між сторонами.

15.2. The GTC and any terms of indemnification under the terminated Transaction Agreement shall be applicable during the period from the termination of an agreement and/or business relationship until the date of the final settlement of all accounts and disputes between the parties.

15.3. Від правонаступників, опікунів, ліквідаторів або інших законних представників, якщо такі є, вимагається повідомляти Банк про будь-яку цивільну неправоздатність або смерть Клієнта. Банк не несе відповідальності за будь-яку дію або бездіяльність, якщо про це не повідомлялося в письмовій формі.

15.3. The Client’s successors, bankruptcy trustee, liquidators or other legal representatives, if applicable, are required to notify the Bank of any civil legal incapacity or the demise of the Client. The Bank shall not be held liable for any action or failure to act if not notified in writing.

РІЗНЕ

16. Конфіденційність

Клієнт цим уповноважує Банк на розкриття інформації про банківські операції, фінансові послуги та іншу інформацію стосовно Клієнта членам Fiba Group, а також зовнішнім аудиторам Банку в межах, необхідних для належного виконання зобов’язань зовнішніх аудиторів перед Банком стосовно проведення аудиту фінаносвої звітності Банку.

Інформація може розкриваться без письмової згоди Клієнта іншим третім особам тільки у разі, якщо це вимагається судовими органами або в інших, встановлених законом випадках.

MISCELLANEOUS

16. Confidentiality

The Client hereby authorizes the Bank to disclose information on banking transactions, financial services, and other information regarding the Client to members of Fiba Group as well as to Bank’s external auditors within the limits necessary for the duly execution of external auditors’ liabilities before the Bank related to auditing the Bank’s financial statements.

The said information shall be disclosed without Client’s written permit to other third persons, if required to do so by court order or in other cases, prescribed by applicable law.

17. Повідомлення

17.1. Банк та Клієнт зобов”язані невідкладно повідомляти один одного про будь-які події, факти, упущення або помилки, які є істотними для відносин між ними, та невідкладно надавати відповідь на будь-які запити, що вони надсилають одне одному стосовно таких подій, фактів, упущень або помилок.

17. Notices

17.1. The Bank and the Client shall notify each other promptly of any development, fact, omission or mistake that is material to the relationship between them and shall respond promptly to any queries addressed to one another regarding the same.

17.2. Клієнт надає Банку адресу та номери телефону, телефаксу та/або телексу, на які можуть надсилатися повідомлення, та Клієнт негайно інформує Банк про будь-яку зміну у будь-яких таких даних.

17.3. Будь-яке повідомлення або документ, який Банк надсилає Клієнту може надсилатися кур’єром, простим або рекомендованим

17.2. The Client shall provide the Bank with an address and telephone, facsimile and/or telex numbers to which notices shall be sent, and the Client shall immediately inform the Bank of any change in any such data.

17.3. Any notice or document sent by the Bank to the Client may be sent by courier, simple or registered postal letter, as required by the

поштовим листом, як це вимагається положеннями, виданими НБУ та Міністерством зв’язку України або іншими відповідними державними органами України. Якщо такі повідомлення або документи надсилаються поштою, вони вважаються одержаними Клієнтом протягом звичайного часу, необхідного для доставки такого листа поштою (за винятком випадків, коли кореспонденція надсилається з повідомленням про вручення), та за умови, що повідомлення надсилається на адресу Клієнта, надану ним Банку (яка може бути адресою, що належить третій особі, уповноваженій Клієнтом одержувати поштові відправлення, адресовані Клієнту). Будь-яке повідомлення Банку Клієнту, надіслане факсимільним зв’язком або телексом, вважається одержаним Клієнтом в день передачі, за умови одержання належного зворотнього підтвердження про прийом, якщо повідомлення надсилається на номер телефаксу або телексу Клієнта, наданого Клієнтом Банку (в залежності від випадку).

regulations issued from time to time by the NBU and the Ministry of Communications of Ukraine, or other appropriate Ukrainian governmental authorities. Such notices or documents when sent by mail shall be deemed to have been received by the Client in the usual time needed for the Post Office to deliver a letter (except for cases when the documents are sent with the receipt notification), if the notice is mailed to the address of the Client provided by the Client to the Bank (which may be an address belonging to a third party authorized by the Client to receive mail addressed to the Client). Any notice by the Bank to the Client sent by facsimile or telex shall be deemed to have been received by the Client on the date of transmission provided the proper answerback is received, if the notice is sent to the facsimile or telex number of the Client, as the case may be, provided by the Client to the Bank.

17.4. Клієнт відшкодовує Банку будь-які збитки або шкоду, заподіяні Банку прямо або опосередковано в результаті дій Банку, які він здійснював відповідно до будь-якого повідомлення, наданого Банку Клієнтом або від його імені (або наданого начебто Клієнтом або від його імені).

Клієнт не має права подавати позов або вживати будь-яких заходів або розпочинати будь-який судовий процес проти Банку або його працівників стосовно будь-яких збитків або шкоди, заподіяних Клієнтові прямо або опосередковано в результаті дій Xxxxx, які він здійснював відповідно до будь-якого повідомлення, наданого Банку Клієнтом або від його імені (або наданого начебто Клієнтом або від його імені).

17.4. The Client shall indemnify the Bank for any damage or loss suffered by the Bank as a consequence, direct or indirect, of the Bank acting on any notice given to the Bank by or on behalf of (or purportedly by or on behalf of) the Client.

The Client shall not be entitled to, and shall not, make any claim or take any action or proceeding against the Bank or its employees in respect of any damage or loss the Client may suffer as a consequence of the Bank acting upon any notice received by the Bank by or on behalf of (or purportedly by or on behalf of) the Client.

17.5. Якщо повідомлення від Банку, що очікується Клієнтом (зокрема, повідомлення про обробку платіжного доручення або кредитне авізо) не надходить вчасно, Клієнт негайно повідомляє Банк про такий факт. Якщо Клієнт не надає такого повідомлення, Xxxx не несе відповідальності за будь-які збитки, понесені Клієнтом.

18. Витрати на юридичні послуги

Якщо Клієнт не виконує будь-яких своїх договорів з Xxxxxx або зобов’язань перед Банком та, якщо в результаті цього, Банк вирішить вжити заходи, щоб примусити Xxxxxxx виконати такі договори або зобов’язання або, щоб реалізувати права Банку

17.5. If a notice from the Bank that is expected by the Client (particularly a notice for processing a payment order or a credit advice) fails to arrive on time, the Client shall promptly inform the Bank of such fact. If the Client fails to do so, the Bank shall not be responsible for any resultant loss.

18. Legal Expenses

If the Client fails to perform any of its agreements with or obligations to the Bank and the Bank therefore finds it necessary to take action to compel the Client to honour such agreements or obligations or to enforce the Bank's rights with respect thereto (whether by

19. Юрисдикція; право, що застосовується

Якщо не погоджено про інше, всі спори між Банком та Клієнтом підлягають розгляду в судах України компетентної юрисдикції. ЗУ та будь-який Операційний Договір та його реалізація та виконання розповсюджуються на кожну сторону, їхніх правонаступників та осіб, яким передаються права та зобов’язання, є обов’язковими для всіх їхніх представників, поширюються на всі такі рахунки, відкриті або повторно відкриті на момент підписання цих ЗУ та після такого підписання, та, за відсутності іншої угоди, регулюються та тлумачаться відповідно до законодавства України та підлягають дії всіх чинних законів та нормативно-правових актів України.

19. Jurisdiction; Governing Law

Unless otherwise agreed upon, all disputes between the Bank and the Client shall be submitted to Ukrainian court of competent jurisdiction. The GTC and any Transaction Agreement and its enforcement and performance shall extend to each Party, their successors and assignees, shall be binding upon all of their representatives, shall apply to all such accounts now or hereafter opened or reopened, and, unless otherwise agreed, shall be governed by, interpreted and construed in accordance with, the laws of Ukraine, and shall be subject to all applicable statutes and regulations thereunder.

20. Наслідки незаконності

Якщо будь-яке положення ЗУ або будь-якого Операційного Договору визнається будь-яким судом компетентної юрисдикції незаконним, нечинним або таким, що не підлягає примусовому застосуванню, це не впливає на всі інші положення ЗУ та Операційного Договору, та вони залишаються в повній силі та дії, за умови, однак, що визнання незаконною, нечинною та незастосовною умови, яка є суттєвою для будь-якої сторони,

спричинятиме припинення дії такого Операційного Договору.

21. Повне порузуміння

Будь-який Операційний Договір разом із ЗУ становить повне порозуміння та домовленість Сторін стосовно предмету такого Операційного Договору. Якщо в письмовій формі не погоджено про інше, жодна усна домовленість або порозуміння не є обов’язковими для Сторін. Кожен та будь-який Операційний Договір разом з ЗУ вважається таким, що виражає всі умови, узгоджені Сторонами, таким чином, що не визнаються жодні письмові чи усні заяви, зауваження, угоди або домовленості стосовно предмету Операційного Договору, що не містяться у такому Операційному Договорі разом з ЗУ.

20. Effect of Illegality

If any provision of the GTC or any Transaction Agreement shall be declared by any court of competent jurisdiction to be illegal, void or unenforceable, all other provisions thereof shall not be affected and shall remain in full force and effect provided, however, that the severance of a term which constitutes material consideration on either part shall result in the termination of such Transaction Agreement.

21. Entire Understanding

Any Transaction Agreement together with the GTC contains the entire understanding and agreement of the Parties upon the subject matter thereof. Unless otherwise agreed in writing, no oral agreement or understanding shall be binding. Each and any Transaction Agreement together with the GTC shall be deemed to express all the terms and conditions of the Parties, so no statement, remark, agreement, or understanding oral or written on the Transaction Agreement subject matter, not contained in that Transaction Agreement together with the GTC, shall be recognized.

The Client acknowledges and accepts the GTC contained herein.

22. Застереження щодо збереження банківської таємниці та відповідальності за її незаконне розголошення або використання

22.1. Фактом підписання цього Операційного Договору Xxxxxx та Банк погоджують, що Банк зобов`язаний додержуватися вимог чинного закодавства щодо збереження/розкриття/розголошення банківської таємниці.

22.2.Особи, винні в порушенні порядку розкриття та використання банківської таємниці, несуть відповідальність згідно із законами України.

22.Keeping bank’s secrecy and responsibility

for unlawful disclosing or using warnings.

22.1. The fact of signing the Transaction Agreement hereof the Client and the Bank agreed that the Bank undertakes to hold legislative demands regarding keeping/disclosing bank’s secrecy.

22.2. Persons, who are guilty in unlawful disclosing of bank’s

secrecy, are responsible in accordance with laws of Ukraine.
