(Seller and Buyer hereinafter referred to as “Parties”) have entered into this Framework Agreement for the sale and purchase of natural gas (the “Agreement”) as follows: |
ОСКІЛЬКИ |

Сторони мають намір здійснювати транзакції купівлі-продажу природного газу, за якими будь-яка із Сторін може діяти як Продавець або ж Покупець, відповідно до загальних умов та положень цього Договору та спеціальних умов та положень, визначених у Додаткових угодах до нього, з приводу кожної такої конкретної транзакції. |
The Parties intend to enter into sale and purchase transactions with respect to the natural gas, whereby either Party may act as a Seller or a Buyer, based on the general terms and conditions specified in this Agreement and also specific terms and conditions set out in Additional Agreements hereto with respect to each such particular transaction. |
Сторони цим домовились про наступне: |

DEFINITIONS: |
Наступні терміни мають відповідні значення, які зазначені нижче:
“Додаткова Угода” індивідуальна угода до Договору; |
The following terms shall have the respective meanings ascribed below:
“Additional Agreement” shall mean the individual deal to the Agreement; |
“Газ” природний газ, який постачається згідно та у відповідності до умов цього Договору; |
"Gas” shall mean natural gas that is delivered under terms and conditions of this Agreement; |
“Договірна Ціна” ціна Газу, що визначається цим Договором. |
“Contract Price” shall mean the price of Gas as defined in this Agreement. |
“Пункт Поставки” матиме значення, наведене в пункті 1.2; |
“Delivery Point” shall have the meaning given in Clause 1.2; |
“Газотранспортна Система (ГТС)” означає транспортні трубопровідні системи Газу в Україні, не включаючи місцеві розподільчі трубопровідні системи, які у даний час перебувають у власності і експлуатуються ПАТ “Укртрансгаз” (або будь-якими його правонаступниками), а також будь-які сховища для зберігання Газу; |
“Gas Transportation System (GTS)” shall mean the Gas transmission pipeline systems in Ukraine (excluding local distribution pipeline systems) currently owned and operated by PJSC “Ukrtransgas” (or any successor or assignee thereof) and any Gas storage facilities; |
ПАТ “Укртрансгаз” означає Публічне Акціонерне Товариство “Укртрансгаз”, яке на разі виконує функції Оператора ГТС; |
PJSC “Ukrtransgas” shall mean the Public Joint-Stock Company “Ukrtransgas”, which at the moment performs the functions of the GTS Operator; |
“Банківський День” означатиме будь-який день, у який Національний банк України відкритий для здійснення звичайної діяльності в м. Києві, Україна; |
“Banking Day” shall mean any day on which the National Bank of Ukraine is open for the transaction of regular business in Kiev, Ukraine; |
“Місяць поставки” – календарний місяць року, в якому Продавець здійснює поставку Газу Покупцю. |
“Delivery Month” shall mean a calendar month of the year in which the Seller delivers gas to the Buyer. |
“Період поставки” – період, протягом якого Продавець здійснює поставку Газу Покупцю. |
“Delivery Period” shall mean a period during which the Seller delivers Gas to the Buyer. |
“Договірний обсяг” – обсяг Газу, який постачається згідно Договору протягом Періоду поставки. |
“Contract Quantity” shall mean a quantity of Gas supplied under the Agreement during the Delivery Period. |
“Договірна вартість” – вартість Договірного обсягу Газу, яка визначається на підставі Договірної Ціни згідно з умовами Договору. |
“Contract Value” shall mean the value of the Contract Quantity of Gas determined on the basis of the Contract Price according to the terms of the Agreement. |
“EIC-код” – унікальний код енергетичної ідентифікації суб'єкта ринку природного газу та/або точки комерційного обліку, що використовуються на ринку природного газу. |
“EIC-code” shall mean a unique code of energy identification of a subject of the natural gas market and/or a metering point that are used on the natural gas market. |
1. ПРЕДМЕТ ДОГОВОРУ |
1. SUBJECT OF AGREEMENT |
1.1 Продавець зобов’язується поставити Покупцю Договірний обсяг Газу, узгоджений Сторонами, а Покупець зобов’язується прийняти Газ у Продавця і сплатити вартість такого Газу (Договірну вартість), як визначено цим Договором. |
1.1 The Seller shall deliver to the Buyer the Contract Quantity of Gas, agreed upon by the Parties, and the Buyer shall accept the Gas from the Seller and shall pay the price of the Gas (the Contract Value) in accordance with this Agreement. |
1.2. Приймання-передача Газу відбувається у Пункті Поставки. Пункт Поставки визначається Сторонами у Додаткових угодах, які Сторони укладають для визначення детальних умов поставки Газу. При цьому поставка Газу може відбуватися як у Газотранспортній Системі, так і поза нею, відповідно Пункт Поставки може розташовуватись як у ГТС, так і поза її межами – згідно з умовами відповідних Додаткових Угод. |
1.2. Delivery and acceptance of Gas takes place at the Delivery Point. The Delivery Point shall be determined by the Parties in Additional Agreements that Parties enter into to determine specific details of the Gas delivery. The Gas delivery may be carried out either within or outside GTS, and the Delivery Point may be located respectively – within or outside GTS, as may be set out in the Additional Agreements.

2. ЗОБОВ‘ЯЗАННЯ СТОРІН |
2. OBLIGATIONS OF THE PARTIES |
2.1 Продавець приймає на себе зобов’язання здійснювати поставку Газу, як визначено Договором, за умови виконання Покупцем зобов’язань щодо оплати, як визначено в пункті 5.1 цього Договору. |
2.1 The Seller undertakes to supply the Gas hereunder, subject to the Buyer meeting the payment obligations set out in Clause 5.1 of this Agreement. |
2.2 Сторони приймають на себе зобов’язання щодо своєчасного оформлення та підписання актів приймання-передачі газу фактично прийнятого Газу (“Акт Поставки Газу”), але не пізніше 8 (восьмого ) числа місяця наступного за Місяцем Поставки. Окремі питання порядку підписання Актів Поставки Газу (зокрема – кількість примірників, надання Акту Оператору ГТС, тощо) можуть бути визначені Додатковими угодами. |
2.2 The Parties undertake to timely formalize and sign the delivery-acceptance acts on natural gas for the actually accepted ("Gas Delivery Act") as within 8 (eight) days of the month following the Delivery Month. Certain matters of the procedure for signing the Gas Delivery Acts (in particular the number of counterparts, provision of the Act to the GTS Operator, etc.) may be set out in Additional Agreements. |
2.3 Покупець приймає на себе зобов‘язання купувати та приймати Газ в Пункті Поставки та повністю розраховуватись з Продавцем за обсяги Газу, що постачаються у строки та на умовах, визначених цим Рамковим Договором. Призупинення дій: Продавець має право, без шкоди для будь-яких інших засобів, доступних для нього, негайно призупинити поставки та / або відмовитись від оплати, яку він має здійснити на користь іншої Сторони відповідно до цієї Угоди, якщо Покупець не здійснив належних платежів Продавцю у відповідний термін платежу, як зазначено в Додаткових угодах, в кожному разі до тих пір, поки така Сторона не отримує повної оплати всіх належних сум. |
2.3 The Buyer undertakes to purchase and accept the Gas at the Delivery Point and to pay the Seller in full for the supplied quantities of Gas within the time limits and on the terms set out in this Framework Agreement.
Suspension: Seller shall be entitled, without prejudice to any other remedies available to it, to suspend immediately the deliveries and/or withhold payments owed by it to the other Party under the Agreement hereunder if the Buyer fails to make any payment due to the Seller on the respective due date as regulated in the Additional Agreements, in each case until such time as such Party has received full payment of all outstanding amounts

3. КІЛЬКІСТЬ, ЯКІСТЬ ТА ЦІНА |
3. VOLUME, QUALITY AND PRICE |
3.1 Продавець постачає Покупцю Газ протягом дії цього Договору. |
3.1 The Seller delivers to the Buyer the Gas during the term of this Agreement. |
3.2 Договірний обсяг поставки Газу визначається Додатковими угодами, які Сторони можуть час від часу укладати для визначення детальних умов купівлі-продажу Газу. |
3.2 The Contract Quantity of Gas shall be set out in Additional Agreements that the Parties may from time to time enter into for the purpose of detailing the terms of the sale and purchase of Gas. |
3.3 Кількість Газу, що постачається згідно Договору, засвідчується в Актах Поставки Газу, що підписуються Сторонами Договору та Оператором ГТС. |
3.3 The quantity of the Gas supplied hereunder shall be evidenced in Gas Delivery Act signed by the Parties hereto and duly executed by the GTS Operator. |
3.4
Якість Газу, що постачається згідно
Договору, має відповідати ГОСТу 5542-87
«Газы горючие природные для
промышленного и коммунально-бытового
назначения. Технические условия». |
3.4
The quality of the Gas delivered under this Agreement shall comply
with GOST 5542-87 “Burning natural gases for industrial and
domestic purpose. Technical specification”. |
3.5 Параметри Газу, який постачається, мають відповідати параметрам газу, що знаходиться в системі газопроводів України. |
3.5 The parameters of the Gas shall comply with the parameters of the main flow in the gas pipeline system of Ukraine. |
3.6 За розрахункову одиницю переданого газу приймається один кубічний метр (куб.м), приведений до стандартних умов (Т-20 град. С., Р = 101,325 Кпа /760 мм.рт.ст./). |
3.6 The measurement unit for the transferred Gas shall be one cubic meter (cu.m.), reduced to standard conditions (T-20 degrees C., P=101.325 Kpa/760 mmHg). |
3.7 Якщо інше не передбачено Додатковими угодами, Акт Поставки Газу складається і підписується Продавцем, Покупцем та Оператором ГТС на підставі даних щодо протранспортованих обсягів Газу Оператором ГТС. Продавець, Покупець та Оператор ГТС підписують Акт Поставки Газу в 3 (трьох) примірниках, який датується останнім днем Місяця поставки. |
3.7 Unless otherwise provided for in Additional Agreements, the Gas Delivery Act shall be issued and countersigned by the Seller, Buyer and GTS Operator on the basis of information on the quantities of Gas transported by the GTS Operator. The Seller, Buyer and GTS Operator shall countersign the Gas Delivery Act in 3 (three) copies, dated with the last day of the Delivery Month. |
3.8 Договірна Ціна визначається у Додаткових угодах, які Сторони можуть час від часу укладати для визначення детальних умов купівлі-продажу Газу. |
3.8 The Contract Price shall be determined in Additional Agreements that the Parties may from time to time enter into for the purpose of detailing the terms of the sale and purchase of Gas. |
Розмір Податків, в тому числі ПДВ, нараховується та виставляється в рахунках Продавцем на підставі відповідного законодавства України, чинного у відповідний час, та сплачується Покупцем. |
The amount of Taxes, including VAT, shall be assessed and invoiced by the Seller on the basis of relevant Ukrainian law in effect at the relevant point in time and paid by the Buyer. |
Сторони погоджуються, що якщо виникають будь-які додаткові податки або обов’язкові платежі за такий Газ, то Договірна ціна має бути збільшена, включаючи ці додаткові податки. Сторони погоджуються укласти відповідну Додаткову угоду щодо такого збільшення впродовж 3 робочих днів з моменту, коли відповідний акт законодавства набрав чинності або до того. |
The Parties agree that if any additional taxes or duties are levied on such Gas, the Contract Price quoted shall be increased to be inclusive of these additional taxes. The Parties agree to enter into a relevant Additional Agreement with respect to such increase within 3 business days of the time when the relevant act of legislation takes effect or before that. |
3.9 Якщо тільки інше не встановлено в Додатковій угоді, Газ вважається належним чином поставленим Продавцем і прийнятим Покупцем після оформлення Оператором ГТС Акта Поставки Газу, підписаного обома Сторонами, належним чином. |
3.9 Unless otherwise provided for in the Additional Agreement, the Gas shall be deemed to have been duly delivered by the Seller and accepted by the Buyer after the Gas Delivery Act signed by both Parties is duly executed by the GTS Operator. |
4. ПРАВО ВЛАСНОСТІ ТА РИЗИК |
4. TITLE AND RISK OF LOSS |
4.1 Право власності та ризик втрати чи псування природного газу переходить від Продавця Покупцеві в Пункті поставки після надходження природного газу. Для уникнення сумнівів Продавець несе витрати з транспортування газу на дільниці до Пункту поставки, а Покупець несе витрати з транспортування газу після виходу з Пункту поставки. |
4.1 Ownership title and risk of loss or damage to the Natural Gas shall pass from Seller to Buyer at the Delivery Point upon delivery of Natural Gas. For the avoidance of doubt, the Seller shall bear the costs of gas transmission upstream of the Delivery Point, the Buyer shall bear the costs of gas transmission downstream of the Delivery Point. |
4.2 Якщо інше не передбачено Додатковою угодою, Поставка Газу Продавцем і його прийняття Покупцем, а також факт переходу права власності на Газ від Продавця до Покупця буде підтверджений, коли Сторони підпишуть Акт Поставки Газу, оформлений Оператором ГТС, належним чином. |
4.2 Unless otherwise provided for in the Additional Agreement, the Gas shall be confirmed as delivered by the Seller and accepted by the Buyer, and the title to Gas shall be confirmed as having passed from the Seller to the Buyer, when the Gas Delivery Act has been signed by the Parties and duly executed by the GTS Operator. |
5. ПОРЯДОК РОЗРАХУНКІВ |
5. PAYMENT PROCEDURE |
5.1 Покупець здійснює оплату за Договірний обсяг Газу, що поставляється в Місяці поставки на умовах та в порядку узгоджених Сторонами у Додаткових угодах, що можуть час від часу укладатися Сторонами.
Умовами Додаткових угодах передбачається виставлення та сплата попередніх і додаткових попередніх (у відповідних випадках) рахунків-фактур. |
5.1 The Buyer shall make payment for the Contract Quantity of Gas delivered in the Delivery Month on the terms and conditions agreed by the parties in Additional Agreements that the Parties may from time to time enter into.
Preliminary and Additional Preliminary (if applicable) Invoices shall be issued and paid as regulated in the Additional Agreements. |
5.2 Всі платежі за цим Договором здійснюються Покупцем в національній грошовій одиниці України на розрахунковий банківський рахунок Продавця, вказаний у пункті 11 цього Договору, або на будь-який інший розрахунковий рахунок в Україні, про реквізити якого Продавець зобов’язаний своєчасно повідомити Покупця, з описом платежу у рахунку-фактурі на оплату за газ: “Оплата за газ, що поставляється у X місяці XXXX р. згідно Договору від XX.XX.XXXX року і рахунку-фактури № XX від XX.XX.XXXX”. Покупець зобов’язаний сплатити суми, виставлені у рахунках-фактурах, у повному обсязі на розрахунковий банківський рахунок Продавця. Платіж вважається виконаним при зарахуванні належної суми на банківський рахунок отримувача не пізніше, ніж 15:00 українського часу на відповідний день. |
5.2
All payments hereunder shall be made by the Buyer in the national
currency of Ukraine to the Seller's bank current account as
indicated in Clause 11 hereof or to any other current account in
Ukraine which the Seller shall be bound to timely notify the
Buyer, with the payment description: “Payment for gas delivered
in X month of year XXXX under Agreement dated XX.XX.XXXX and
Invoice No. XX dated XX.XX.XXXX”. |
5.3 Якщо інше не передбачено Додатковими угодами, обсяг Газу, що зазначений в Акті Поставки Газу, за умови що такий обсяг є затвердженим ПАТ “Укртрансгаз”, навіть у випадку, коли одна із Сторін свідомо відмовляється підписувати Акт Поставки Газу, є підставою для проведення розрахунків та підписання всіх необхідних документів за цим Договором. |
5.3 Unless otherwise provided for in Additional Agreements, the quantity of the Gas stated in the Gas Delivery Act, provided that such quantity is approved by PJSC “Ukrtransgas”, even if one party wilfully refuses to sign the Gas Delivery Act, shall be the basis for settling payments and signing all necessary documents under this Agreement. |
6. ВІДПОВІДАЛЬНІСТЬ СТОРІН |
6. LIABILITY OF THE PARTIES |
6.1 Сторони несуть відповідальність за невиконання чи неналежне виконання своїх зобов‘язань за Договором згідно з чинним законодавством України. У жодному випадку Сторона не буде нести відповідальність за непрямі збитки (включаючи без обмежень - упущену вигоду) понесені іншою Стороною. |
6.1 The Parties shall be liable for the non-fulfilment or improper execution of their obligations hereunder in accordance with applicable Ukrainian law. Under no circumstances a Party shall be held liable for indirect losses (including without limitation – the lost profit) incurred by the other Party. |
6.2 У випадку невиконання обов’язків Продавцем відмови від поставки або прострочення поставки газу на умовах цього Договору (за винятком тимчасового призупинення Продавцем згідно з Розділом 2.3) Продавець сплачує Покупцеві штраф в розмірі 15 (п’ятнадцяти) % від ціни недопоставки за звітний місяць. Виплата штрафу Продавцем здійснюється переказом грошових коштів на банківський рахунок Покупця протягом 2 Банківських днів з моменту одержання вимоги про оплату від Покупця. |
6.2 In the event of Seller’s default, refusal to deliver or delay of delivery of the Gas hereunder, (except for suspension by the Seller according to Section 2.3), the Seller shall pay to Buyer a penalty at the rate of 15 (fifteen) % of the price of under-delivery for the accounting month. The Seller's payment of the penalty shall be through the remittance of the monies to the Buyer's bank account within 2 Banking Days starting from receipt of the Buyer's payment claim. |
6.3 У разі невиконання обов’язків, відмови Покупцем прийняти Газ згідно Договору (у тому числі через тимчасове припинення Продавцем згідно з Розділом 2.3), Покупець сплачує Продавцю штраф у розмірі 100 (ста) % від ціни за недоприйнятий Газ. Виплата штрафу Покупцем здійснюється переказом грошових коштів на банківський рахунок Продавця протягом 2 Банківських днів з моменту одержання вимоги про оплату від Продавця. |
6.3 In the event of the Buyer's default, refusal to accept the Gas hereunder (including suspension by the Seller according to Section 2.3) the Buyer shall pay to Seller a penalty at the rate of 100 (one hundred) % of the price of under-accepted Gas. The Buyer's payment of the penalty shall be through the remittance of the monies to the Seller's bank account within 2 Banking Days starting from receipt of the Seller's payment claim. |
6.4 У випадку невиконання Покупцем умов оплати згідно з пунктом 5.1 цього Договору, то Продавець звільняється від виконання зобов’язань з постачання Газу Покупцю за цим Договором та матиме повне право на тимчасове припинення згідно з Розділом 2.3. |
6.4 In the event of the Buyer’s failure to comply with payment terms set out in Clause 5.1 hereof, the Seller shall be released from its obligations to deliver the Gas to the Buyer hereunder and have the full right to suspension according to Section 2.3. |
7. ФОРС-МАЖОР |
7. FORCE MAJEURE |
7.1 “Форс-Мажор” означає будь-яку подію або обставину, яка
Форс-Мажор включає наступні події та обставини, якщо вони відповідають критеріям Форс-мажору, встановленим в цьому пункті: |
7.1 “Force Majeure” shall mean any event or circumstance which
Force Majeure shall include the following events and circumstances that meet the aforementioned Force Majeure criteria set out in this Clause: |
(і) страйки, локаути та інші виробничі конфлікти; |
(i) strikes, lockouts or other industrial action; |
(іі) законодавчі акти, закони, підзаконні акти, правила, постанови та/або накази уряду або урядових органів або їх представників, або інших суб’єктів, що перебувають під контролем або у власності уряду, або дотримання таких законодавчих актів, законів, правил, постанов та/або наказів, які безпосередньо стосуються Сторони, в тому числі такі, які роблять незаконним виконання будь-якою із Сторін її зобов’язань за цим Договором; |
(ii) acts, laws, bylaws, rules, regulations and/or orders of the government or governmental authorities or representatives thereof or other bodies controlled or owned by the government or compliance with such acts, laws, rules, regulations and/or orders that directly affect the Party including those which render unlawful performance of a Party's obligations hereunder; |
(ііі) дії неприятельських держав, війни, громадянські та військові заворушення, блокади, повстання, заколоти, епідемії, карантинні обмеження; |
(iii) acts of the public enemy, wars, civil and military disturbance, blockades, insurrections, riots, epidemics, quarantine restrictions; |
(iv) стихійні лиха, в тому числі блискавки, землетруси, пожежі, буревії, штормове попередження, сейсмічні хвилі, повені та інші природні катаклізми та несприятливі погодні умови; та |
(iv) аcts of God including lightning, earth-quakes, fires, storms, storm warnings, tidal waves, floods and other natural calamities and adverse weather conditions; |
(v) вибухи, пожежі, аварії, поломки або відмови механізмів або переробного обладнання на Газотранспортній Системі або у Видобувній Системі. |
(v) explosions, fires, breakages of or accident to or failure or breakdown of machinery or processing equipment, of the Gas Transportation System or the Upstream System; and |
(vi) подія форс мажору, належним чином оголошена за договірними домовленостями будь-якої із Сторін з ПАТ “Укртрансгаз” відносно доступу до Газотранспортної системи, що стосується поставки і прийняття газу за цим Договором. |
(vi) a force majeure event validly declared under either Party's contractual arrangements with PJSC “Ukrtransgas” in respect of the access to the Gas Transportation System affecting the delivery and acceptance of gas pursuant to this Agreement. |
(vii) будь-яке невиконання та/або виконання неналежним чином зобов’язань та функцій Оператора ГТС, передбачених Кодексом ГТС щодо транспортування Газу (включаючи замовлення розподілу потужності, замовлення транспортування природного газу та балансування, проте за умови, що у будь-якому випадку така затримка та/або невиконання з боку Оператора не було спричинено недотриманням відповідною Стороною правил та процедур встановлених законодавством), необхідних Стороні цього Договору для належного виконання зобов’язань за цим Договором, з причин, що не залежать від такої Сторони та/або не з її вини; |
(vii) any failure to perform and/or undue performance by the GTS Operator of its functions and obligations established by the GTS Code with respect to gas transportation (including capacity allocation booking, physical transportation and gas balancing, provided however in any case that the Operator’s delay and/or failure has not been caused by the relevant Party’s non-compliance with the rules and procedures established by the applicable legislation), required by the Party hereto for proper and due performance of its obligations under this Agreement, for the reasons outside of such Party’s control and/or not due to its fault;

(viii) відмова систем зв’язку або комп’ютерних систем Оператора ГТС та/чи ненадання відповіді Оператором ГТС на всі спроби Сторони зв’язатись з Оператором ГТС у встановлені строки до початку або під час здійснення Поставки, що не дозволяє Стороні виконувати свої обов’язки за цим Договором. |
(viii) failure of communications or computer systems of the GTS Operator and/or failure of the GTS Operator to respond to all efforts by the Party to communicate with the GTS Operator within the established timeframes prior to commencement of or during performance of the Delivery which prevents the claiming Party from performing its obligations under this Agreement. |
7.2 Сторона не буде вважатись такою, що порушує будь-яке із своїх зобов’язань за цим Договором, і не буде нести відповідальність за будь-яку затримку у виконанні або за невиконання будь-яких своїх зобов’язань за цим Договором, якщо таке виконання стає неможливим, зазнає перешкод або затримок внаслідок обставин Форс-Мажор. Ніяка неспроможність третьої сторони, не вважатиметься форс-мажорними обставинами за цією Угодою, за винятком випадків, коли (i) впливає на роботу та / або пов'язаних з ними послугами, угорською та / або міжнародні системи передачі і розподілу або впливає на прийняття чи поставку Газу та (ii) така неспроможність є прямим результатом заходу чи обставини, що звільняли би третю сторону від зобов’язань в результаті дії форс-мажору в рамках поняття, зазначеного у цьому Розділі 10.2 (тлумачиться, як ніби така третя сторона є стороною Угоди). |
7.2
A Party shall not be deemed in breach of any of its obligations
under this Agreement or liable for any delay or failure in
performance of any of its obligations under this Agreement to the
extent that its performance is prevented, impeded or delayed by
Force Majeure.
No failure by a third party shall constitute Force Majeure hereunder, unless such failure results directly from an event or circumstance which (i) affects the operation, and/or related services, of the Hungarian and/or the international transmission systems and distribution system or affects the taking or delivery of Gas and (ii) which would entitle such third party to Force Majeure relief within the notion as described in Article 10.2 (construed as though such third party had been a party hereto).

7.3 Сторона, стосовно якої мають місце обставини, які перешкоджають їй виконувати свої зобов‘язання за цим Договором, повинна негайно (але, в будь-якому випадку, не пізніше ніж через 3 (три) дні після того, як вона дізналась про виникнення таких обставин) повідомити іншу Сторону про початок або припинення таких обставин. Повідомлення Сторони, що зазнала впливу Форс-Мажору, має містити посилання на конкретну обставину Форс-Мажору, яка настала, її тривалість та зобов’язання Сторони за цим Договором, які зазнали впливу. Сторона, що зазнала впливу Форс-Мажору має надати відповідні документальні докази, включаючи, але не обмежуючись, довідку Торгово-промислової палати України (або ТПП у відповідному регіоні), що підтверджує такий Форс-Мажор та його вплив на Сторону, або будь-які інші достатні та належні докази. |
7.3 The Party which finds itself in circumstances which prevent it from fulfilling its obligations hereunder shall immediately (and in any event not later than three (3) days after becoming aware of such circumstances) inform the other Party of the beginning or the cessation of such circumstances. Notification of the affected Party shall refer to a particular Force Majeure that has occurred, duration thereof and the affected Party’s obligations under this Agreement that have been affected. The affected Party shall also provide corresponding documentary evidence, including, but not limited to the Chamber of Trade and Commerce of Ukraine (or in the respective region of Ukraine) certificate confirming such Force Majeure and its impact on the Party, or any other relevant and proper evidence. |
7.4 Якщо обставини Форс-Мажор, що перешкоджають будь-якій Стороні виконувати свої зобов’язання за цим Договором, тривають, або, за обґрунтованими розрахунками, триватимуть більше ніж сорок п'ять (45) послідовних Днів, кожна Сторона може припинити дію цього Договору, повідомивши про це в письмовій формі. |
7.4 If a Force Majeure event that prevents the performance by either Party of its obligations hereunder continues or if it is reasonably foreseeable that it will continue for more than forty five (45) consecutive Days, each Party may terminate this Agreement by written notice. |
7.5 Незалежно від будь-якого іншого положення цієї Статті 7, Сторона не буде звільнятись від свого зобов’язання здійснити платежі, термін сплати по яких настав за цим Договором. |
7.5 Notwithstanding any other provision of this Clause 7, a Party shall not be released from its obligation to make payments that have become due and payable under this Agreement. |
8. ІНФОРМАЦІЯ І КОНФЕДЕНЦІЙНІСТЬ |
8. INFORMATION AND CONFIDENTIALITY |
8.1 Продавець і Покупець зобов’язуються під час строку дії Договору співробітничати і надавати один одному таку інформацію, яка об’єктивно може бути необхідною Покупцеві і Продавцеві для виконання ними своїх відповідних обов'язків за цим Договором. За умови що така інформація надається добросовісно, ані Продавець, ані Покупець не мають жодних обов'язків стосовно точності будь-якої такої наданої інформації. |
8.1 The Seller and the Buyer shall, throughout the term of this Agreement, co-operate and make available to each other such information as may reasonably be required to enable the Buyer and the Seller to perform their respective obligations under this Agreement. Provided that to the extent that such information is given in good faith, neither the Seller nor the Buyer shall have any obligation whatsoever as regards the accuracy of any information so given. |
8.2 Умови і положення цього Договору і будь-яка конфіденційна або власна інформація в письмовій, усній або електронній формі, яку Сторона одержує від іншої Сторони за цим Договором вважаються конфіденційними ще протягом трирічного строку після закінчення строку або припинення цього Договору. Інформація не підлягає розкриттю жодній Особі, ані повністю, ані частково, Стороною, що одержує її відповідно до цього Договору (“Одержуюча Сторона”), без попередньої письмової згоди Сторони, що розкриває її відповідно до цього Договору (“Розкриваюча Сторона”). |
8.2 The terms and conditions of this Agreement and any confidential or proprietary information in written, oral or electronic form which a Party obtains from the other Party pursuant to this Agreement shall be treated as confidential until three (3) years after this Agreement has expired or terminated. The information shall not be disclosed to any Person, in whole or in part, by a Party receiving it under this Agreement (the “Receiving Party”), without prior written consent of the Party disclosing it under the terms of this Agreement (the “Disclosing Party”). |
8.3 Одержуюча Сторона не зобов'язана отримувати попередню згоду від Розкриваючої Сторони для розкриття Інформації, яка: |
8.3 The Receiving Party shall not be required to obtain prior consent of the Disclosing Party in respect of the disclosure of Information which: |
(1) на час її розкриття за цим Договором або згодом стає загальнодоступною, крім випадків порушення цього Договору; |
(1) at the time of its disclosure hereunder is generally available to the public other than by reason of a breach of this Agreement; |
(2) уже відома Одержуючій Стороні на час її одержання або придбання у Розкриваючої Сторони, або згодом самостійно розроблена Одержуючою Стороною; або |
(2) is already known to the Receiving Party at the time of its receipt or acquisition from the Disclosing Party or is subsequently independently developed by the Receiving Party; or |
(3) законно придбана в майбутньому Одержуючою Стороною, без обов'язку збереження таємниці, у Особи, яка не є стороною цього Договору. |
(3) is subsequently lawfully acquired by the Receiving Party without binder of secrecy from a Person who is not a party to this Agreement. |
8.4 Одержуюча Сторона не зобов'язана отримувати попередню згоду Розкриваючої Сторони для розкриття Інформації: |
8.4 The Receiving Party shall not be required to obtain prior consent of the Disclosing Party in respect of the disclosure of Information: |
(1) директорам, посадовим особам і працівникам Одержуючої Сторони; |
(1) to directors, officers and employees of the Receiving Party; |
(2) власникові такої Одержуючої Сторони; |
(2) to the owner of such Receiving Party; |
(3) особам, які надають професійні послуги такій Одержуючій Стороні; |
(3) to persons providing professional services to such Receiving Party; |
(4) (за умови що будь-який потенційний кредитор, інвестор або правонаступник спочатку погоджується в письмовій формі перед такою Стороною взяти на себе зобов’язання із збереження конфіденційності, що є не менш суворими, ніж передбачені в цій Статті 8, та за умови, що Одержуюча Сторона докладає розумних зусиль для забезпечення виконання таких умов) відповідно до або у зв'язку із: |
(4) (subject to any proposed lender, investor or assignee first agreeing in writing with such Party to be bound by confidentiality provisions that are no less stringent than those contained in this Clause 8 and provided that the Receiving Party shall use reasonable efforts to secure compliance with such provisions) pursuant to or in connection with: |
(а) фінансуванням діяльності такої Сторони, передбаченої в цьому Договорі; і |
(a) the financing of such Party's operations contemplated herein; and |
(б) будь-якою потенційною добросовісною уступкою всіх або частини прав або зобов'язань Сторони за цим Договором; |
(b) any potential bona fide assignment of all or part of a Party's rights or obligations under this Agreement; |
(5) розкриття якої необхідно або вимагається відповідно до будь-якого законодавчого, адміністративного, судового або іншого юридичного процесу, обов'язкового для Одержуючої Сторони; або |
(5) which is required or requested to be disclosed pursuant to any legislative, administrative, judicial or other legal process binding upon the Receiving Party; or |
(6) розкриття якої вимагається за правилами та положеннями будь-якої фондової біржі, на якій зареєстровані акції Одержуючої Сторони або акції будь-якої з її Афілійованих Осіб, за умови що до здійснення розкриття такої Інформації Одержуюча Сторона узгодить з іншою Стороною і надасть такій Стороні проект розкриття інформації і причини розкриття такої інформації; |
(6) which is required to be disclosed by the rules and regulations of any stock exchange on which the Receiving Party's shares or the shares of any of its Affiliates are listed provided that prior to making such disclosure the Receiving Party shall agree with the other Party and supply that Party with a copy of the draft disclosure and the reasons why it is required to be so disclosed; |

(ii) in the case of Clauses 8.4 (1), (2) and (3) the Receiving Party shall use reasonable efforts to limit such disclosure, and |
(iii) від Осіб, згаданих у Статті 8.4(3), така Сторона повинна вимагати дати зобов'язання в письмовій формі щодо збереження конфіденційності такої Інформації та за умови, що така Сторона докладе розумних зусиль для забезпечення дотримання таких зобов'язань. |
(iii) Persons referred to in Clause 8.4(3) shall be required by such Party to undertake in writing to keep such Information confidential and provided further that such Party shall use reasonable efforts to secure compliance with such undertaking. |
8.5 Сторони зобов’язуються проявляти увагу та ретельність з метою недопущення жодної прямої або непрямої пропозиції, сплати, підбурювання або згоди на отримання хабарів у будь-якій формі у зв’язку із цим Договором. Це зобов’язання поширюється на стосунки працівників та представників однієї Сторони із працівниками та представниками іншої Сторони або третіх осіб у зв’язку із цим Договором. Всі звіти, підготовлені відповідно до або на підставі цього Договору, в тому числі рахунки-фактури, документи, що стосуються виставлення рахунків, повідомлення, звіти та фінансові розрахунки, повинні правдиво відображати факти стосовно діяльності та операцій, яких вони стосуються. |
8.5 The Parties undertake to exercise care and diligence in preventing any direct or indirect offer, payment, soliciting or acceptance of bribes in any form in connection with this Agreement. This obligation shall apply to the activities of the employees and agents of a Party with the employees and agents of the other Party, and of third parties in connection with this Agreement. All statements made under or pursuant to this Agreement including invoices, billings, notices, reports and financial settlements shall truly reflect the facts about the activities and transactions to which they pertain.

9. ПОРЯДОК ВИРІШЕННЯ СПОРІВ |
9. DISPUTE RESOLUTION PROCEDURE |
9.1 Цей Договір регулюється і тлумачиться виключно відповідно до законів та підзаконних актів України. |
9.1 This Agreement shall be exclusively governed by and construed in accordance with the laws and bylaws of Ukraine. |
9.2 Сторонами погоджено, що всі суперечності будуть вирішуватись шляхом переговорів. Якщо Сторони не можуть вирішити суперечку шляхом переговорів, таку суперечку буде передано на розгляд господарського суду, який має відповідну юрисдикцію згідно законодавства України. |
9.2 The Parties agree that all disputes shall be settled by negotiation. If the Parties fail to resolve the dispute by negotiation, such dispute shall be referred to and settled by the Ukrainian economic court having adequate jurisdiction under Ukrainian law. |
9.3 Даний Договір складений у двох примірниках, англійською та українською мовами, - по одному примірнику для кожної із Сторін. У випадку будь-яких розбіжностей англійська версія договору матиме переважну силу. |
9.3 This Agreement shall be executed in two copies in the Ukrainian and English languages - one copy for each Party. In case of any discrepancies the English version shall prevail. |
10. Дострокове припинення дії Договору
10.1 Дію всього Договору може бути негайно припинено: 10.1.1. Стороною, що ініціює припинення дії, у випадку, коли контролюючий орган відзиває ліцензію іншої Сторони на ведення робіт, і таку ситуацію не виправлено протягом 10 днів; чи 10.1.2. Стороною, що ініціює припинення дії, у випадку, коли інша Сторона серйозно порушує Договір (включаючи оплату, постачання та приймання природного газу), та якщо у разі можливості виправити ситуації, ситуація залишається невиправленою іншою Стороною: у випадку прострочення платежу - в той же самий день, у будь-якому іншому випадку – протягом десяти (10) календарних днів після отримання письмового повідомлення від Сторони, що ініціює припинення дії; чи 10.1.3. Стороною, що ініціює припинення дії, у випадку, коли інша Сторона (i) визнана компетентним органом неплатоспроможною; (ii) розпочинає чи розпочала розгляд з метою отримання рішення щодо її неплатоспроможності чи банкрутства / будь-якого іншого звільнення від сплати за законом про банкрутство чи неплатоспроможність чи подібний закон, що впливає на права кредиторів, або якщо надана петиція щодо припинення її діяльності чи ліквідації, і така Сторона, постачальник підтримуючого кредиту чи контролююча сторона, в залежності від ситуації, не може сплатити відповідні борги, які підлягають сплаті, чи має іншу ситуацію, яка виправдовує такі процедури з неплатоспроможності; або 10.1.4. Продавцем (у цьому випадку Стороною, що ініціює припинення дії), якщо Покупець не може надати забезпечення чи гарантію, що є виправдано прийнятною для Продавця, через 5 календарних днів після виправданого запиту Продавця. Продавець може запитати у Покупця гарантію чи забезпечення, якщо на виправдану та сумлінну думку Продавця здатність Покупця виконувати свої зобов’язання за Договором значно послабилась. 10.2 У випадку виникнення будь-якої з причин припинення дії чи закінчення терміну, наведеної в цьому Розділі, Сторона, що не є постраждалою, має право негайно припинити дію Договору, якщо вона, відповідно, без зволікання спрямує письмове повідомлення іншій стороні та зазначить причину припинення дії. Починаючи з дати припинення дії, Сторони звільняються (а не просто отримують відстрочення) від всіх подальших платежів і зобов'язань з виконання стосовно всіх Додаткових Угод, а існуючі функції та обов'язки Сторін замінюються зобов'язанням однієї Сторони виплатити іншій Стороні суму, що підлягає сплаті у зв’язку з припиненням дії, розраховану відповідно до Розділу 10.3 нижче. 10.3 Якщо Стороною – ініціатором припинення дії є Продавець та дострокове припинення відбувається з причин, не вказаних у Розділі 7.4, Покупець сплачує суму, розраховану відповідно до Розділу 6.3 так, якби впродовж Періоду поставки, що залишився, починаючи з дати, наступною за датою припинення дії, через порушення Покупцем своїх боргових зобов’язань мало би місце 0 (нульове) постачання. Ця сума має бути сплачена Покупцем Продавцю впродовж 5 робочих днів з дати припинення дії |
10. Early Termination of Agreement
10.1 The entire Agreement may be terminated with immediate effect: 10.1.1 by the terminating party in case the supervisory authority withdraws the operating license of the other and the event is not cured within 10 days; or
10.1.2 by the terminating party if the other Party commits a material breach of the Agreement (including payment, delivery and acceptance of Gas), if capable of remedy, remains un-remedied by the other Party in case of default in any payment within the same day, in any other case ten (10) calendar days after receipt of a written notice of the terminating party; or
10.1.3 by the terminating party if the other Party (i) is declared insolvent by the competent authority; or (ii) institutes or has instituted against it a proceeding seeking a judgment of insolvency or bankruptcy or any other relief under any bankruptcy or insolvency law or other similar law affecting creditors‘ rights, or a petition is presented for its winding-up or liquidation and such Party or its credit support provider or controlling party, as the case may be, is unable to pay its respective debts as they fall due, or is otherwise in a position which justifies the institution of such insolvency proceedings; or
10.1.4 by the Seller (in this case the terminating party) if the Buyer fails to provide any collateral or guarantee reasonably acceptable for the Seller in 5 calendar days following the reasonable request of the Seller. Seller may request a guarantee or collateral from the Buyer, if in the reasonable and good faith opinion of the Seller, the ability of the Buyer to perform its obligation under the Agreement is materially impaired.
10.2 In case any of the termination or expiration causes listed under the present Section occurs, the non-affected party is entitled to terminate the Agreement with immediate effect, respectively, shall without delay deliver a written notice to the other party on the cause of termination. With effect from the termination date all further payments and performance obligations in respect of all Additional Agreements shall be released (and not merely suspended) and existing duties and obligations of the Parties shall be replaced by the obligation of one Party to pay the termination amount to the other Party as calculated in accordance with Section 10.3 below.
10.3 If the terminating party is the Seller, and early termination is not due to Section 7.4 the Buyer shall pay an amount calculated according to Section 6.3, as if the 0 (zero) delivery would arise by the Buyer’s default for the remaining Delivery Period starting on the day immediately following the date of termination and shall be payable by Buyer to the Seller within 5 business days of the effect of termination |
11. ТЕРМІН ДІЇ ДОГОВОРУ ТА ІНШІ УМОВИ
11.1 Договір набирає чинності з моменту підписання та діє допоки не буде припинений за згодою обох сторін.
11.2 Зміни чи доповнення до цього Договору є невід'ємною частиною цього Договору, за умов, що в разі виникнення суперечності з попередніми положеннями Договору, превалюватимуть нові зміни та доповнення. Вищевказані зміни та доповнення набувають чинності, якщо вони виконані в письмовій формі, мають реєстраційний номер, дату та підписи повноважних представників Сторін, які завірені печатками. |
11. TERM OF THE AGREEMENT AND OTHER CONDITIONS
11.1 This Agreement shall have effect from the time of its countersigning and shall remain in force until terminated by agreement of both Parties.
11.2 Amendments or additions to this Agreement shall be considered an integral part of this Agreement provided that in the event of any conflict with the prior terms of the Agreement, the new amendments or additions shall prevail. The above mentioned amendments and additions shall come into force if executed in written form and have a number, effective date and the signatures of authorized representatives of the Parties verified by stamps. |
11.3 Сторони можуть в будь-який час розірвати Договір, якщо на те є письмова згода обох Сторін. |
11.3 The Parties may terminate this Agreement at any time if there is a written agreement between the Parties to do so. |
11.4 Ціна, що викладена у Статті 3.8, може бути змінена за спільною домовленістю Сторін, виконання якої є обов’язковим. |
11.4 The price as per Clause 3.8 may be changed by mutual agreement of the Parties, which agreement shall be binding. |
11.5 Кожна із Сторін має право припинити цей Договір у випадку недосягнення згоди щодо Договірної Ціни відповідно до Статті 3.8 цього Договору. |
11.5 Each Party may terminate this Agreement in the case of failure to reach agreement with respect to the Contract Price under Clause 3.8 hereof. |
11.6. Якщо будь-яке положення цього Договору повністю або частково є та/або стає недійсним, непрактичним або неможливим до виконання, зокрема через будь-які зміни в законодавстві, це не зачіпатиме дійсність інших положень. У такому разі, таке недійсне, непрактичне та/або неможливе до виконання положення буде замінено положенням, яке найкращим чином відповідає меті положення, яке є недійсним, непрактичним та/або таким, що не може бути виконано, та Сторони проведуть добросовісно домовляться про внесення відповідних змін до цього Договору. |
11.6. Should any provision of this Agreement in whole or in part be and/or become invalid, impracticable or unenforceable, including due to any changes in legislation, the validity of the other provisions shall not be affected thereby. In such a case the invalid, impracticable or unenforceable provision shall be deemed to be replaced by a provision which, to the extent admissible according to the applicable laws, comes closest to the purpose of the invalid, impracticable and/or unenforceable provision and the Parties shall negotiate in good faith to introduce appropriate amendments to this Agreement. |
11.7 Жодні обов‘язки або права, крім права отримання платежів, що виникають в силу даного Договору, не можуть бути переуступлені або передані. Переуступлення права на отримання платежів може відбутися лише за взаємною згодою Сторін, що засвідчена письмово. |
11.7 No obligations or rights hereunder, other than the right to receive payments accruing by virtue of this Agreement, may be assigned or delegated. Assignment or delegation of the right to receive payments by one Party shall only be done subject to a prior written approval from the other Party. |
11.8 Сторони підтверджують, що вони є Платниками податку на прибуток згідно Розділу III Податкового Кодексу України. |
11.8 The Parties confirm that they are profit tax payers under Chapter III of the Tax Code of Ukraine. |
11.9 Додаткові угоди до цього Договору, які час від часу належним чином укладаються між Сторонами, становлять його невід’ємну частину. У випадку будь-яких розбіжностей між положеннями цього Договору та Додатковими угодами, положення останніх матимуть переважну силу. |
11.9 Additional Agreements to this Agreement that from time to time are duly entered into between the Parties shall be its integral part. In the event of any discrepancies between the provisions of this Agreement and Additional Agreements, provisions of the latter shall prevail. |
