(далі - Сторони), керуючись Законом України «Про ринок природного газу» та Кодексом газосховищ (далі – Кодекс), затвердженим постановою Національної комісії, що здійснює державне регулювання у сферах енергетики та комунальних послуг (далі – Регулятор), від 30 вересня 2015 року за № 2495, уклали цей договір зберігання (закачування, відбору) природного газу (далі – Договір) про таке.

(hereinafter referred to as “Parties”), being guided by the Law of Ukraine “On Natural Gas Market” and the Gas Storage Facility Code (hereinafter referred to as the “Code”) approved by the National Energy and Utilities Regulatory Commission (hereinafter referred to as the “Regulator”), of September 30, 2015 No 2495, have entered into this Natural Gas Storage (Injection, Withdrawal) Agreement (hereinafter referred to as “Agreement”) as follows.

І. ТЕРМІНИ І ВИЗНАЧЕННЯ

I. DEFINITIONS

Терміни і визначення, що наведені в Договорі, використовуються у значеннях, наведених у Законі України «Про ринок природного газу» та Кодексі.

Терміни "іноземні товари", "митне оформлення", "митний режим", "митний статус товарів" та "митний склад" використовуються у значеннях, наведених у Митному кодексі України.

У рамках цього Договору терміни «доба» та «місяць» трактуються як «газова доба» та «газовий місяць» згідно з діючим Кодексом.

Definitions used in the Agreement shall have meanings provided in the Law of Ukraine “On the Natural Gas Market” and the Code.

The terms "foreign commodities", "customs clearance", "customs regime", "customs status of goods" and "customs warehouse" are used as defined in the Customs Code of Ukraine.

In the framework of this Agreement the terms “day” and “month” shall mean “gas day” and “gas month” in accordance with the Code.

ІІ. ПРЕДМЕТ ДОГОВОРУ

II. SUBJECT MATTER OF THE AGREEMENT

За Договором Оператор надає Замовнику послуги зберігання (закачування, відбору) природного газу, у тому числі поміщеного в митний режим митного складу (далі – Послуги) шляхом надання йому доступу до потужності газосховища (газосховищ) на умовах, визначених у Договорі, а Замовник зобов’язується оплатити Оператору вартість Послуг на умовах, визначених Договором.

Under this Agreement, the Operator shall provide the Client with natural gas storage (injection, withdrawal) services including gas placed in the customs regime of the customs warehouse (hereinafter referred to as the “Services”) by providing access to the capacities of its gas storage facility (facilities) under the terms of this Agreement, and the Client shall pay to the Operator the cost of such Services defined in the Agreement.

ІІІ. УМОВИ НАДАННЯ ПОСЛУГ І ПОРЯДОК ПРИЙМАННЯ -ПЕРЕДАЧІ ГАЗУ

III. TERMS OF SERVICES PROVISION AND PROCEDURE OF GAS ACCEPTANCE – DELIVERY

3.1. Оператор надає такі види Послуг (згідно з розділом IV Кодексу):

3.1.1. річна потужність;

3.1.2. індивідуальні послуги на місяць:

індивідуальний робочий обсяг на місяць;

індивідуальна потужність закачування на місяць;

індивідуальна потужність відбору на місяць;

3.1.3. індивідуальні послуги на добу наперед:

індивідуальна потужність закачування на добу наперед;

індивідуальна потужність відбору на добу наперед.

3.1. The Operator shall provide the following Services (according to Section IV of the Code):

3.1.1. Annual capacity;

3.1.2. Individual monthly service:

Individual working volume for month;

Individual monthly injection capacity;

Individual monthly withdrawal capacity;

3.1.3. Individual day-ahead service:

Individual day-ahead injection capacity;

Individual day-ahead withdrawal capacity

3.2. Види Послуг (крім послуг, зазначених у підпункті 3.1.3), їх обсяг та строки їх надання за цим Договором визначаються у додатку 1 (Заявка на розподіл потужності) до Договору. Розподілений обсяг Послуг зазначається Оператором у графі «Розподілений обсяг» додатку 1 до Договору за результатами процедури розподілу потужності. Заявка на розподіл потужності, надана Оператору Xxxxxxxxxx, є безвідкличною пропозицією з часу закінчення передбаченого Кодексом строку її подання.

3.2. The types of Services (except those referred to in the subparagraph 3.1.3) their volume and period of provision under this Agreement shall be determined in Annex 1 (Application for capacity allocation) to the Agreement. Volume of allocated Services shall be stated by the Operator in column “Allocated volume” of Annex 1 to the Agreement as a result of capacity allocation. Capacity allocation application submitted to the Operator by the Client is an irrevocable proposal after the end of its submission period specified by the Code.

3.3. Зобов’язання щодо оплати річної потужності та/або індивідуальних послуг на місяць виникають у момент надходження на адресу Замовника підписаної Оператором Заявки на розподіл потужності (Додаток 1 до цього Договору) з урахуванням строків оплати визначених у пункті 6.4 цього Договору.

3.3. The obligation to pay for annual capacity and/or individual monthly services are created at the moment of receipt of Application for capacity allocation (Annex 1 to this Agreement) signed by the Operator on the Client’s address, taking into consideration the payment period specified by paragraph 6.4 of this Agreement.

3.4. Якщо Замовник здійснює замовлення індивідуального робочого обсягу на місяць після строку розподілу такої Послуги згідно з умовами Кодексу, Замовник надсилає підписану Заявку на розподіл потужності. Оператор газосховища протягом двох годин після отримання заявки перевіряє наявність вільного робочого обсягу та підписує таку заявку або відмовляє у розподілі додаткового робочого обсягу, про що одночасно повідомляє Замовника. Оплата додаткового робочого обсягу на місяць здійснюється відповідно до строків оплати визначених у підпункті 6.6. цього Договору.

3.4. In case the Client orders the individual monthly working volume after the period of allocation of the Service in accordance with the provisions of the Code, the Client shall send the signed Application for capacity allocation. The storage Operator checks the available working volume within 2 hours after its receipt and signs respective application or refuses to perform additional working volume allocation, on which is to be informed the Client at once. The payment for additional monthly working volume shall be performed in accordance with payment period referred to in subparagraph 6.6 of this Agreement.

3.5. Потужність закачування та відбору, що може використовуватися Замовником протягом певної газової доби, визначається:

при замовленні річної потужності – відповідно до розподіленого обсягу річної потужності, що зазначається у додатку 1 та додатку 2 (Криві закачування та відбору) до Договору;

при замовленні індивідуальних послуг на місяць – відповідно до розподіленого обсягу, що зазначається у додатку 1 до цього Договору;

при замовленні індивідуальних послуг на добу наперед – відповідно до підтвердженої номінації/реномінації.

Додаток 1 та додаток 2 до Договору після їх підписання є невід’ємною частиною Договору.

3.5. The capacity of injection and withdrawal that may be used by the Client during a particular gas day shall be determined:

in case of annual capacity booking - in accordance with the allocated volume of working capacity, referred to in annex 1 and annex 2 (Injection and Withdrawal Curves);

in case of monthly individual services booking – in accordance with the allocated volume referred to in annex 1 to this Agreement;

in case of day-ahead individual services booking – in accordance with the confirmed nomination/renomination.

Annex 1 and annex 2 to the Agreement are integral part of the Agreement after their signing.

3.6. Замовник може одночасно використовувати як гарантовану, так і переривчасту потужність газосховища. У першу чергу Замовник зобов'язаний використовувати розподілену йому гарантовану потужність.

3.6. The Client may at the same time use both firm and interruptible capacity of the gas storage facility. Primarily, the Client shall use firm allocated capacity of injection and withdrawal.

3.7. При прийнятті газу Замовника на зберігання відповідно до умов Договору Оператор не набуває права власності на прийнятий газ Замовника.

Надання Послуг за Договором щодо природного газу, який має митний статус іноземного товару, здійснюється з дотриманням вимог митного законодавства в частині поміщення природного газу в митний режим митного складу та експлуатації митних складів утримувачем митного складу.

3.7. When the Operator accepts gas from the Client for storage under this Agreement, it shall not acquire ownership rights over such accepted gas from the Client.

Services provision under the Agreement on natural gas that has the status of a foreign commodity is carried out in compliance with the requirements of the customs legislation regarding the placement of natural gas into the customs regime of the customs warehouse and the operation of the customs warehouses by the holder of the customs warehouse.

3.8. Гарантоване закачування природного газу до газосховища здійснюється в базовий сезон закачування згідно з Кодексом.

Природний газ Замовника, що закачується до газосховища та має митний статус іноземного товару, поміщується в митний режим митного складу та декларується Оператором.

3.8. The guaranteed natural gas injection into storage facilities shall be conducted in the base season of injection under the Code.

The natural gas of the Client which is injected into the gas storage and has the customs status of the foreign commodity is placed in the customs regime of the customs warehouse and declared by the Operator.

3.9. Гарантований відбір природного газу з газосховища здійснюється в базовий сезон відбору згідно з Кодексом.

Відбір природного газу Замовника, що зберігається на митному складі в митному режимі митного складу, здійснюється за умови поміщення Замовником такого природного газу в інший митний режим та надання Оператору копії оформленої митної декларації, засвідченої митницею у встановленому порядку.

3.9. The guaranteed natural gas withdrawal from storage facilities shall be conducted in the base season of withdrawal under the Code.

Withdrawal of Client’s natural gas stored in the customs warehouse in the customs regime of the customs warehouse is carried out subject to placing of such natural gas in another customs regime by Client and providing the Operator with a copy of the customs declaration drawn up, certified by the customs in the established manner.

3.10. Строк надання Послуг за Договором визначається додатком 1 (крім послуг, зазначених у підпункті 3.1.3, строк по яких визначається відповідно до підтверджених номінацій).

При цьому строк надання Послуг за Договором щодо природного газу, який має митний статус іноземного товару, не може перевищувати строк зберігання товарів у митному режимі митного складу, встановлений Митним кодексом України.

3.10. The period of service provision under the Agreement shall be determined by Annex 1 (with the exception of services, referred to in subsection 3.1.3., which provision period shall be determined in accordance with confirmed nominations).

Herewith, the term for the Services provision under the Agreement on natural gas that has the status of a foreign commodity cannot exceed the term of commodities storage in the customs regime of the customs warehouse, established by the Customs Code of Ukraine.

3.11. Порядок обліку природного газу, приймання-передача природного газу та документальне оформлення зазначених операцій здійснюються відповідно до вимог Кодексу.

3.11. Natural gas accounting, acceptance and transfer and documenting of mentioned operations shall be carried out according to the requirements of the Code.

3.12. Адміністрування передачі природного газу, що зберігається в газосховищах, здійснюється Оператором згідно з Кодексом.

Адміністрування передачі розподіленої потужності здійснюється Оператором згідно з Кодексом.

3.12. Administration of transfer of natural gas stored in storage facilities shall be conducted by the Operator in accordance with the Code.

Administration of transfer of allocated capacity shall be conducted by the Operator in accordance with the Code.

3.13. Оператор звільняється від своїх обов’язків перед Замовником щодо надання Послуг у випадку неможливості здійснення відповідної діяльності через проведення ремонтних робіт або робіт з планового технічного обслуговування газосховища (газосховищ) або пов’язаних об’єктів.

За період призупинення або обмеження надання Послуг унаслідок робіт, що виконуються Оператором, оплата за потужності підлягає зниженню в обсязі вартості послуг зберігання (закачування, відбору) природного газу, які не були надані Замовнику внаслідок виконання робіт Оператором.

3.13. The Operator shall be exempt from its obligations to the Client regarding provision of the Services in case it is impossible to conduct respective activity due to repair works or scheduled maintenance of the gas storage facility (facilities) or related objects.

For the period of suspension or restriction of Services provision as a result of the works conducted by the Operator, payment for capacity shall be reduced by the cost of natural gas storage services (injection, withdrawal), which were not provided to the Client as a result of such conduction of works by the Operator.

3.14. У разі неоплати або несвоєчасної оплати Замовником Послуг у строки, що встановлені Договором, Оператор:

3.14.1. до моменту виконання Замовником зобов'язань за цим Договором залишає за собою право притримання газу, що включає право не здійснювати відбір із газосховища природного газу та/або не погоджувати передачу природного газу Замовника в газосховищі третій особі та/або не погоджувати передачу права використання розподіленої потужності газосховища третій особі, про що письмово повідомляє Xxxxxxxxx;

3.14.2. до дати виконання Замовником зобов’язань за Договором відмовляє Xxxxxxxxx у прийнятті номінацій/реномінацій, про що повідомляє Xxxxxxxxx та Оператора газотранспортної системи.

3.14. In case of non-payment or delay in payment by the Client within the time period, determined by the Agreement, the Operator shall:

3.14.1. reserve the right of keeping volume of gas, including, in particular, the right not to withdraw the gas from the UGSF and/or not to confirm the transfer of gas of the Client in the UGSF to a third party and/or not to approve the transfer of right to use allocated storage capacity to the third party until the Client performs its obligations under this Agreement, the Operator shall notify the Client thereof;

3.14.2. refuse to receive nominations/renominations until the date the Client performs its obligations under this Agreement the Operator shall notify the Client thereof.

3.15. Мінімальний обсяг потужності газосховища, яка може бути надана Замовнику за Договором, визначається Кодексом.

3.15. The minimum volume of storage capacity, which can be provided to the Client by the Agreement, shall be determined by the Code.

IV. ПРАВА І ОБОВ’ЯЗКИ ОПЕРАТОРА

IV. RIGHTS AND OBLIGATIONS OF THE OPERATOR

4.1. Оператор зобов’язаний:

своєчасно надавати Послуги належної якості;

розміщувати на своєму веб-сайті чинні тарифи та коефіцієнти встановлені Регулятором;

приймати заявки на розподіл потужності від Замовника відповідно до умов, установлених Кодексом;

забезпечувати доступ до потужності газосховища згідно з розподілом потужності;

забезпечити виконання диспетчерських функцій;

оприлюднювати інформацію, що передбачена Кодексом та Законом України «Про ринок природного газу»;

здійснювати перерахунок вартості Послуг у випадках, передбачених Договором та Кодексом;

виконувати інші обов’язки, передбачені Договором та Кодексом.

4.1. The Operator shall:

provide Services of appropriate quality in a timely manner;

post on its web-site current tariffs and coefficients determined by the Regulator;

accept applications for capacity allocation from the Client according to the terms established by the Code;

provide the access to capacity in accordance with capacity allocation;

ensure due dispatcher functioning;

publish information prescribed by the Code and the Law of Ukraine “On natural gas market”;

recalculate the services cost in cases, prescribed under the Agreement and the Code;

perform other obligations provided for by the Agreement and the Code.

4.2. Оператор має право:

отримувати від Замовника своєчасну плату за надані Послуги;

обмежувати або припиняти надання Послуг у випадках, передбачених Договором та Кодексом;

притримати газ Замовника у разі наявності в нього простроченої заборгованості перед Оператором;

відмовити в розподілі потужності у випадках, передбачених Кодексом;

отримувати оперативну інформацію від Замовника на запит своєї диспетчерської служби;

користуватися іншими правами, що передбачені чинним законодавством.

4.2. The Operator shall have the right to:

receive timely payment from the Client for the Services provided;

introduce restrictions or terminate provision of the Services in cases provided for by the Agreement and Code;

keep the Client’s gas in case such Client has overdue debt to the Operator;

refuse to allocate capacity in cases provided by the Code;

receive operational information from the Client upon the request of its dispatcher service;

exercise other rights provided by the current legislation.

V. ПРАВА І ОБОВ’ЯЗКИ ЗАМОВНИКА

V. RIGHTS AND OBLIGATIONS OF THE CLIENT

5.1. Замовник зобов’язаний:

у першу чергу використовувати розподілену йому гарантовану потужність закачування та відбору;

своєчасно та в повному обсязі оплачувати вартість Послуг відповідно до умов Договору;

дотримуватися вимог, установлених цим Договором та Xxxxxxxx;

негайно виконувати розпорядження диспетчерської служби Оператора;

надавати Оператору номінації у порядку, встановленому Кодексом;

забезпечити можливість цілодобового зв’язку Оператора з представниками Замовника, зазначеними в Договорі;

при наданні торгового сповіщення про прийом природного газу, який був поданий на точку виходу до газосховища чи групи газосховищ на умовах користування потужністю з обмеженнями, прийняти на себе безумовний обов'язок здійснити оплату за зміну умов (обмежень) потужності з обмеженнями в разі здійснення таких змін;

виконувати інші обов’язки, передбачені Договором та Xxxxxxxx.

5.1. The Client shall:

primarily use firm injection/withdrawal capacity allocated to it;

timely and fully pay the cost of provided Services under the Agreement;

comply with the requirements established by this Agreement and Code;

immediately perform instructions of the Operator’s dispatcher service;

submit the nominations in a manner specified by the Code;

ensure the possibility of twenty-four hours communication between the Operator and the representatives of the Client indicated in this Agreement;

when providing trade notification on acquiring of natural gas, that was delivered to exit point to storage or group of storages on conditions of using capacities with limitations, to irrevocably undertake to pay for change of the conditions (limitations) of capacities with limitations in case such changes have been made;

perform other obligations provided for by the Agreement and the Code.

5.2. Замовник має право:

отримувати від Оператора Послуги відповідно до умов цього Договору та Кодексу;

одночасно використовувати розподілену як гарантовану, так і переривчасту потужність газосховища;

вчиняти правочини щодо розподіленої йому потужності газосховища та/або щодо належного йому природного газу з дотриманням вимог Кодексу та чинного законодавства України;

отримувати від Оператора інформацію, передбачену Договором та Кодексом;

користуватися іншими правами, що передбачені чинним законодавством.

5.2. The Client has the right to:

receive Services from the Operator in accordance with the terms established by this Agreement and the Code;

use simultaneously firm and interruptible capacity of the storage;

perform transactions regarding the allocated capacity of the storage and/or regarding the natural gas of the Client in accordance with the requirements of the Code and current Ukrainian legislation;

receive from the Operator information, prescribed by the Agreement and the Code;

exercise other rights provided for by the legislation in force.

VI. ТАРИФИ, КОЕФІЦІЄНТИ ТА ПОРЯДОК РОЗРАХУНКІВ

VI. TARIFFS, COEFFICIENTS AND PAYMENT PROCEDURE

6.1. Вартість Послуг розраховується відповідно до тарифів та коефіцієнтів, що встановлюються Регулятором.

6.1. The Service cost shall be calculated under the tariffs and coefficients established by the Regulator.

6.2. Оператор розміщує інформацію про чинні тарифи та коефіцієнти на своєму веб-сайті.

6.2. The Operator shall post information about the current tariffs and coefficients on its official web-site.

6.3. Тарифи та коефіцієнти є обов’язковими для Сторін з дати набрання чинності рішенням Регулятора про їх встановлення і додаткового письмового погодження Сторін не потребують. Визначена на їх основі вартість Послуг застосовується Сторонами при розрахунках за Послуги згідно з умовами Договору.

6.3. Tariffs and coefficients shall be mandatory for the Parties from the effective date of the Regulator Decision establishing them and do not require additional written consent of the Parties. The cost of the Services based thereon shall be used by the Parties while making payments for the Services under the Agreement.

6.4. Оплата вартості Послуг при замовленні річної потужності та/або індивідуальної послуги на місяць здійснюється Замовником шляхом перерахування грошових коштів у сумі вартості послуг за газовий місяць на рахунок Оператора на умовах 100-відсоткової попередньої оплати за п’ять банківських днів до початку місяця, у якому будуть надаватися Послуги.

Для індивідуальних послуг на добу наперед оплата в розмірі вартості замовлених індивідуальних послуг на добу наперед має бути зарахована на рахунок Оператора не пізніше закінчення банківського дня, що передує дню подання номінації/реномінації відповідно до розділу ІХ Кодексу.

Замовник сплачує Оператору вартість Послуг незалежно від фактичного використання розподіленої потужності.

6.4. The cost of the Services, in case of annual capacity booking and/or individual monthly service, shall be made by the Client by transferring the cost equal to the monthly service amount to the account of the Operator on 100-percent prepaid basis five banking days before the beginning of the month of Service provision.

For individual day-ahead service the payment in the amount equal to the cost of booked individual day-ahead services shall be transferred to the account of the Operator not later than the end of banking day prior to day of nomination/renomination submission in accordance with Section IX of the Code.

The Client shall pay to the Operator the cost of the Services regardless of actual use of allocated capacity.

6.5. При замовленні річної потужності вартість Послуг за місяць визначається за формулою

де:

T_зак – тариф на закачування природного газу, встановлений Регулятором;

T_відб – тариф на відбір природного газу, встановлений Регулятором;

T_зб – тариф на зберігання природного газу, встановлений Регулятором;

P_річна – розмір розподіленого обсягу річної потужності, визначеного в додатку 1 до Договору, тис.м³;

n - кількість днів місяця надання Послуг.

6.5. In case of booking annual capacity the cost of monthly Services shall be determined in accordance with the formula:

where:

T_injection – tariff for injection of natural gas, established by the Regulator;

T_withdrawal – tariff for withdawal of natural gas, established by the Regulator;

T_storage – tariff for storage of natural gas, established by the Regulator;

P_annual – volume of allocated annual capacity, specified in Annex 1 to the Agreement, tcm;

n - number of days of month of Service provision.

6.6. При замовленні індивідуальних послуг на місяць вартість Послуг за місяць визначається за формулами:

S _{м зб} = P _{м зб} x T_зб x n x K_{м зб} ;

де:

P _{м зак}, P _{м відб} , P _{м зб} – розмір розподілених обсягів індивідуальних послуг на місяць, зазначених в додатку 1 до Договору;

K_{м зак} , K_{м відб} , K_{м зб} – коефіцієнти, встановлені Регулятором для індивідуальних послуг на місяць;

n – кількість днів у місяці надання Послуг.

У разі замовлення індивідуальної послуги робочого обсягу на період менше місяця розрахунок вартості послуг здійснюється відповідно до даного пункту Договору як для індивідуальної послуги робочого обсягу на місяць. При цьому оплата в розмірі вартості індивідуальної послуги на місяць має бути зарахована на рахунок Оператора не пізніше закінчення банківського дня, що передує дню початку надання такої послуги.

6.6. In case of booking individual monthly Services the cost of monthly Services shall be determined in accordance with the formulas:

where:

P _{m injection}, P _{m withdrawal}, P _{m storage} – allocated volume of individual monthly service, specified in Annex 1 to the Agreement;

K _{m injection}, K _{m withdrawal}, K _{m storage} – coefficients, established by the Regulator for individual monthly services;

n – number of days of month of Service provision.

In case of booking the individual working volume service for a period less than one month the calculation of the Services cost shall be done in accordance with this paragraph of the Agreement as for individual working volume for a month. In this case, the payment in the amount of individual monthly service shall be transferred to the account of the Operator not later than the end of banking day prior to the day of such service provision.

6.7. При замовленні індивідуальних послуг на добу наперед вартість Послуг за добу визначаються за формулами:

6.7. In case of booking individual day-ahead Services the cost of daily Services shall be determined in accordance with the formulas:

P_{d injection}, P_{d withdrawal} – volume of individual day-ahead service;

K_{d injection}, K_{d withdrawal} – coefficients, established by the Regulator for individual day-ahead services;

6.8. Якщо на початок базового сезону закачування та/або якщо на кінець строку надання послуг за Договором у газосховищах Оператора залишається природний газ Замовника і Замовник не здійснив замовлення Послуг, які враховують зберігання зазначених обсягів, розрахунок вартості Послуг здійснюється як для індивідуального робочого обсягу на місяць відповідно до пункту 6.6 Договору. Оплата вартості Послуг здійснюється Замовником відповідно до пункту 6.4 Договору.

6.8. If at the beginning of base injection season and/or at the end of period of service provision, determined in the Agreement, the natural gas of the Client remains in the storage facilities of the Operator and the Client has not booked the Services, which include storage of mentioned volumes, the cost of the Service shall be calculated as for individual working monthly volume in accordance with paragraph 6.6 of the Agreement. The payment for the Services cost shall be made by the Client in accordance with paragraph 6.4 of the Agreement.

6.9. У разі переривання Оператором Послуг, що надаються на переривчастій основі, Оператор здійснює перерахунок вартості Послуг.

Перерахунок вартості Послуг здійснюється за формулами, вказаними у пунктах 6.5, 6.6, 6.7 Договору, із застосуванням знижувального коефіцієнту:

де: Р₁ – розмір розподіленої Замовнику переривчастої потужності, що була перервана;

Р₂ – розмір розподіленої Замовнику потужності на переривчастій основі.

Перерахунок вартості Послуг, що надаються на переривчастій основі, здійснюється щомісяця окремо по кожній із Послуг, що надається на переривчастій основі, до 12 числа місяця, наступного за місяцем надання Послуг.

6.9. In case of interruption by the Operator of the interruptible Services, the Operator shall recalculate the cost of the Services. The recalculation of the cost of the Services shall be made by the formulas referred to in paragraphs 6.5, 6.6, 6.7 of the Agreement with discount coefficient:

where: Р₁ – the volume of allocated to the Client interruptible capacity, that was interrupted;

Р₂ – the volume of allocated to the Client interruptible capacity.

Recalculation of the cost of interruptible services shall be done monthly separately for each interruptible Service, before the 12^th calendar day of the month following the month of Service provision.

6.10. Оплата послуг за цим Договором Замовником, що не є резидентом України, здійснюється у гривнях, доларах США або євро. Кошти, що надійшли від Замовника у доларах США або євро в оплату послуг із закачування, зберігання та відбору газу, зараховуються як оплата у гривнях, відповідно до офіційного курсу Національного банку України гривні до долару США або гривні до євро на день здійснення платежу. Днем здійснення платежу вважається день, в який сума, що підлягає оплаті, зарахована на розрахунковий рахунок Оператора. У платіжних дорученнях Замовник повинен обов'язково вказувати номер Договору/ дату його підписання, звітний період (місяць, рік) та вид Послуг, за які здійснюється оплата. У разі якщо у платіжних дорученнях Замовника не зазначено номер Договору/ дата його підписання/ звітний період (місяць, рік)/ вид Послуг, за які здійснюється оплата, Оператор зараховує кошти, що надійшли від Замовника, у першу чергу як погашення заборгованості за надані Послуги, що виникла у попередніх періодах. Усі банківські витрати з перерахування коштів несе Замовник.

6.10. The payment for the services under this Agreement by the Client non-resident of Ukraine shall be made in UAH, USD (US dollars) or EUR (euro). The funds received from the Client in USD or EUR as payment for injection, storage and withdrawal of natural gas shall be accounted as payment in UAH in accordance with official exchange rate UAH – USD or UAH - EUR of the National Bank of Ukraine in the day of payment. The day of payment is the day on which the amount to be paid is credited to the Operator’s account.

In the payment documents the Client shall specify Agreement reference number, date of its signing, reporting period (month, year) and the type of the Services, for which the payment is made. In case the Client fails to specify in the payment documents either the Agreement reference number/date of its signing/ reporting period (month, year)/the type of the Services for which the payment is made, the Operator shall account the payment received from the Client primarily as payment of debt for provided Services, which occurred in previous periods. All bank transfer costs shall be paid by the Client.

6.11 Послуги, що надаються за цим Договором у звітному місяці, оформлюються двосторонніми актами наданих послуг між Оператором і Замовником до 12 числа місяця, наступного за звітним.

6.11. Services provided under this Agreement in the reporting month shall be recorded by bilateral acts of the provided services between the Operator and the Client by the 12 day of the month following the reporting period.

6.12. Оператор і Замовник зобов’язуються здійснювати звірку розрахунків щоквартально, або на вимогу однієї зі Сторін. Звірка розрахунків здійснюється шляхом складання Сторонами актів звірки, які надсилаються Оператором на адресу Замовника.

6.12. The Operator and the Client are obliged to reconcile the settlements on quarter basis or on the request of one of the Parties. The reconciliation of settlements shall be done by conclusion of the reconciliation protocols by the Parties, which shall be send by the Operator to the Client.

VII. ВІДПОВІДАЛЬНІСТЬ СТОРІН

VII. LIABILITY OF THE PARTIES

7.1. У випадку невиконання або неналежного виконання своїх зобов’язань за Договором Xxxxxxx несуть відповідальність, передбачену чинним законодавством та Договором.

7.1. In case of non-performance or improper performance of its obligations under this Agreement, the Parties shall be liable according to the legislation in force and the Agreement.

7.2. Сторона, що не виконує умови Договору, зобов’язана в повному обсязі відшкодувати збитки, спричинені іншій Стороні.

7.2. The Party that violates the terms of the Agreement shall fully refund the damage caused to the other Party.

7.3. Оператор відповідає за втрату газу Замовника в газосховищі під час його зберігання (закачування, відбору) у розмірі фактичних втрат, якщо не доведе, що втрата сталася не з його вини.

7.3. The Operator shall be liable for loss of Client’s gas in the gas storage facility during its storage (injection, withdrawal) in the amount of actual losses unless it proves that the loss occurred without any default on its part.

7.4. Оператор несе відповідальність за природний газ Замовника лише з моменту отримання цього газу у фізичній точці виходу з газотранспортної системи до газосховища та до моменту передачі природного газу у фізичній точці входу до газотранспортної системи з газосховища.

7.4. The Operator shall be liable for natural gas of the Client only upon receipt of that gas at the physical exit point from the gas transmission system to the gas storage facility and until the transfer of natural gas at the physical entry point to the gas transmission system from the gas storage facility.

7.5. У разі порушення Замовником строків оплати, передбачених Договором, Замовник додатково сплачує Оператору пеню в розмірі подвійної облікової ставки Національного банку України, що діяла в період, за який сплачується пеня, від суми простроченого платежу за кожен день прострочення платежу.

7.5. If the Client violates the payment terms provided for by this Agreement, the Client shall additionally pay the fine in the amount of double interest rate of the National Bank of Ukraine, effective during the period for which the fine is paid from the amount of overdue payment for each day of delay in payment.

7.6. Сторони добросовісно співпрацюють з метою забезпечення ефективної та безпечної експлуатації і використання газотранспортної системи та газосховища. Сторони зобов’язуються вживати всіх можливих заходів для уникнення або зменшення збитків.

7.7. У разі накладення на Оператора, у тому числі на його посадових осіб, органом доходів і зборів або іншим уповноваженим органом України будь-яких стягнень, пені, штрафів або санкцій унаслідок невиконання, неналежного або неповного виконання Замовником своїх зобов'язань за цим Договором та/або у разі порушення Замовником вимог митного законодавства Замовник зобов'язаний відшкодувати Оператору всі нанесені у зв'язку з цим збитки у повному обсязі.

7.6. The Parties shall faithfully cooperate with the aim of ensuring efficient and secure operation and use of the gas transmission system. The Parties shall take all possible measures to prevent or mitigate the damages.

7.7 In case of imposing any penalties, fines or sanctions on the Operator including its officials by the body of incomes and fees or other authorized body of Ukraine due to non-fulfilment, improper or incomplete fulfilment by the Client of its obligations under this Agreement and/or in case of breach by the Client of the requirements of the customs legislation, the Client is obliged to compensate the Operator for all losses incurred in this regard in full.

VIII. ФОРС-МАЖОР

VIII. FORCE MAJEURE

8.1. Сторони звільняються від відповідальності за часткове або повне невиконання зобов'язань за Кодексом та Договором, якщо це невиконання є наслідком непереборної сили (форс-мажорних обставин).

8.1. The Party shall be released from the liability for partial or complete non-performance of its obligations under the Code and this Agreement, if such non-performance is the result of circumstances beyond its control (the event of force majeure).

8.2. Під форс-мажорними обставинами розуміють надзвичайні та невідворотні обставини, що об'єктивно унеможливлюють виконання зобов'язань, передбачених умовами Договору.

Строк виконання зобов'язань відкладається на строк дії форс-мажорних обставин.

8.2. The event of force majeure means extreme and unpreventable circumstances that objectively make it impossible to perform obligations provided for by the Agreement.

The term for performing obligations shall be postponed for the period of force majeure.

8.3. Сторони зобов'язані негайно повідомити про обставини форс-мажору та протягом 14 (чотирнадцяти) днів з дня їх виникнення надати підтверджуючі документи щодо їх настання відповідно до чинного законодавства.

8.3. The Parties shall immediately inform about the force majeure and provide supporting documents for its occurrence within 14 (fourteen) days upon its occurrence in accordance with the current legislation.

8.4. Засвідчення форс-мажорних обставин здійснюється у встановленому чинним законодавством порядку.

8.4. The force majeure shall be confirmed according to the procedure established by the current legislation.

8.5. Виникнення форс-мажорних обставин не є підставою для відмови Замовника від сплати Оператору за Послуги, які були надані до їх виникнення.

8.5. The occurrence of the force majeure circumstances shall not be the ground for Client’s refusal to make payment to the Operator for the Services, which were provided before its occurrence.

8.6. Після припинення дії форс-мажорних обставин Xxxxxxx, що потрапила під їх дію, має негайно повідомити про це іншу Сторону та негайно виконати зобов’язання, які не були нею виконані в результаті настання форс-мажорних обставин.

8.6. After the end of force majeure, the Party affected thereby shall immediately inform the other Party thereof and immediately perform obligations, which were not performed due to the force majeure.

IX. ПОРЯДОК ВИРІШЕННЯ СПОРІВ

IX. DISPUTE RESOLUTION PROCEDURE

9.1. Спірні питання та розбіжності щодо виконання умов Договору вирішуються у порядку, встановленому чинним законодавством.

9.2. Усі спори, розбіжності або вимоги, що виникають за Договором або в зв'язку з ним, у тому числі що стосуються його тлумачення, виконання, порушення, припинення або недійсності, підлягають вирішенню в Міжнародному комерційному арбітражному суді при Торгово-промисловій палаті України (далі – Арбітражний суд) у відповідності до його Регламенту.

Правом, яке регулює Договір, є матеріальне право України.

Арбітражний суд складається із одноосібного арбітра.

Місце проведення засідання Арбітражного суду - місто Київ, Україна.

Мова арбітражного провадження - українська.

Рішення Арбітражного суду є остаточним з дати його винесення та є обов’язковим до виконання Сторонами.

9.1. Controversial issues and disputes concerning the performance of the Agreement shall be resolved according to the procedure established by the legislation.

9.2. Any dispute, conflict or claim, arising from or in relation to this Agreement, including those on interpretation, execution, violation, termination or invalidity of this Agreement, shall be solved in International commercial arbitration court of Chamber of Commerce and Industry of Ukraine (hereinafter – the “Arbitration court”) in accordance with its Statute.

The law of the Agreement shall be material law of Ukraine.

Arbitration court shall consist of one sole arbitrator.

The place of Arbitration court sitting shall be Kyiv, Ukraine.

Arbitration shall be conducted in Ukrainian language.

Decision of Arbitration court shall be final, shall not be subject to any appeal and shall be legally binding for the Parties.

X. СТРОК ДІЇ ДОГОВОРУ ТА ІНШІ УМОВИ

X. AGREEMENT DURATION AND OTHER TERMS

10.1. Договір набирає чинності з дня його підписання та укладається на строк до __________.

Договір вважається продовженим на один рік, якщо за місяць до закінчення строку дії Договору жодною із Сторін не буде заявлено про припинення його дії або перегляд його умов.

10.1. This Agreement shall enter into force upon its signing and shall remain valid till ____________.

(date)

The Agreement shall be deemed extended for one year if within a month prior to expiry of the Agreement either Party fails to notify of its expiry or the review of its terms and conditions.

10.2. Усі зміни та доповнення до Договору оформлюються письмово та підписуються уповноваженими особами Xxxxxx, за винятком Додатка 2 до цього Договору, який підписується уповноваженою особою Оператора та змінюється виключно у випадку зміни розподіленої потужності.

Сторона зобов'язується письмово повідомити іншу Сторону про зміну реквізитів (місцезнаходження, найменування, організаційно-правової форми, банківських реквізитів тощо) не пізніше ніж через 10 (десять) днів після настання таких змін.

10.2. All amendments and changes to this Agreement shall be executed in writing and signed by the authorized persons of the Parties, except the annex 2 to this Agreement, which shall be signed and changed by the authorized person of the Operator in case of any changes in allocated capacity.

The Party shall inform in writing the other Party about any changes in details (location, name, legal structure, bank details, etc.) no later than 10 (ten) days upon the occurrence of such changes.

10.3. У разі внесення та затвердження Регулятором змін до Типового договору зберігання (закачування, відбору) природного газу Сторони зобов’язані протягом місяця внести відповідні зміни до Договору.

10.3. In case of introduction and approval the respective changes in the Standard Agreement on Natural Gas Storage (Injection, Withdrawal) by the Regulator, the Parties shall introduce the respective changes to this Agreement within one month.

10.4. Цей Договір може бути розірваний:

за згодою Сторін Договору;

в інших випадках, передбачених чинним законодавством.

10.4. This Agreement may be terminated:

upon consent of the Parties to the Agreement;

in other cases provided for by the effective legislation of Ukraine.

10.5. Розірвання Договору не звільняє Xxxxxxx від виконання своїх фінансових зобов’язань за Договором.

10.6. У разі зміни митного режиму всього або частини обсягу природного газу, який був поданий на точку виходу до газосховища чи групи газосховищ на умовах користування потужністю з обмеженнями, на митний режим, за яким природний газ набуває статусу українського товару у визначенні статті 4 Митного кодексу України, до моменту отримання Оператором повідомлення про намір змінити умови (обмеження) потужності з обмеженнями від Замовника та повідомлення про зарахування повної оплати зі зміни умов (обмежень) потужності з обмеженнями від оператора газотранспортної системи Оператор має право притримати такий обсяг газу, що включає право не здійснювати відбір із газосховища природного газу та/або не погоджувати передачу природного газу Замовника в газосховищі третій особі, про що письмово повідомляє Замовника.

10.7. У разі передачі/прийому у газосховищі Замовником будь-якої частини обсягу природного газу, який був поданий на точку виходу до газосховища чи групи газосховищ на умовах користування потужністю з обмеженнями у визначенні Кодексу газотранспортної системи, Замовник зобов'язується зазначити в торговому сповіщенні, що природний газ, який підлягає передачі, був поданий на точку виходу до газосховища чи групи газосховищ на умовах користування потужністю з обмеженнями.

10.5. Termination of the Agreement shall not exempt the Parties from the performance of their financial obligations under this Agreement.

10.6. In case of change of customs regime of the whole or part of natural gas that was delivered to exit point to storage or group of storages on conditions of using capacities with limitations for customs regime, under which the natural gas acquires the status of Ukrainian commodity in accordance with article 4 of Customs Code of Ukraine before the Operator receives the notification on the intention to change the conditions (limitations) of capacity with limitations from the Client and notification on accepting the full payment for changing the conditions (limitations) of capacity with limitations from the Operator of Gas Transmission System, the Operator is entitled to keep this volume of natural gas, which means the right not to withdraw natural gas from the storage and/or not to agree the transfer of natural gas of the Client in the storage to the third party, which shall be informed to the Client.

10.7. In case of transfer/acceptance in the storage by the Client of any part of natural gas, which was delivered to exit point to storage or group of storages on conditions of using capacities with limitations under the Code of the Gas Transmission System, the Client is obliged to specify in the trade notification, that natural gas, which shall be transferred, was delivered to exit point to storage or group of storages on conditions of using capacities with limitations.

XI. КОНФІДЕНЦІЙНІСТЬ

XI. CONFIDENTIALITY

11.1. Уся інформація, що стосується Договору, виконання зобов’язань, прийнятих Сторонами, їх діяльності та інша інформація і дані щодо відносин між Сторонами є конфіденційними і не можуть у будь-який спосіб передаватися чи розголошуватися будь-якій третій особі, за винятком випадків, передбачених чинним законодавством, або за письмової згоди іншої Сторони.

11.1. All information related to this Agreement, performance of obligations assumed by the Parties, its activity and other information and data concerning the relations between the Parties shall be confidential and shall not be in any way transferred or disclosed to any third party except the cases provided for by the current legislation and upon the written consent of the Party.

11.2. Сторона не вважається такою, що порушує зобов’язання конфіденційності відповідно до пункту 11.1 Договору, якщо конфіденційна інформація розголошується відповідно до умов та в порядку, визначених у Кодексі та (або) Договорі, а також компетентним органам влади відповідно до порядку та в частині, визначених чинними законодавчими актами, акціонерам однієї зі Сторін, членам регулюючих органів, співробітникам, для яких така інформація є необхідною для виконання обов’язків відповідно до їх функцій, юридичним і фінансовим радникам та аудиторам Сторін, а також учасникам ринку природного газу відповідно до порядку та в частині, передбачених нормативно-правовими актами.

11.2. The Party shall not be deemed as such that violates the confidentiality obligations according to Sub-clause 11.1 of the Agreement if confidential information is disclosed according to the terms and procedure established by the Code and (or) Agreement, as well as by the competent authorities according to the procedure and in the part established by the current regulatory acts, to the shareholders of one of the Parties, members of regulatory authorities, employees for which this information is necessary to perform tasks according to their functions, legal and financial advisers and Parties’ auditors, as well as participants of the natural gas market according to the procedure established by the regulatory acts.

11.3. Сторона, яка передає конфіденційну інформацію третім особам, у випадках, зазначених у Договорі, повинна вжити всіх можливих заходів для дотримання конфіденційності такими особами відносно інформації, що їм передається.

11.3. The Party that transfers confidential information to the third parties in cases indicated in the Agreement shall perform all possible measures to ensure maintenance of confidentiality by such Parties in relation to the information transferred to them.

11.4. Зобов’язання Сторін щодо збереження конфіденційності є дійсними протягом двох років після припинення дії Договору.

11.4. The Parties’ obligations concerning maintenance of confidentiality shall be valid during two years upon expiry of the Agreement.

XII. ОБМІН ІНФОРМАЦІЄЮ

XII. INFORMATION EXCHANGE

12.1. Сторони обмінюються інформацією, що стосується надання Послуг, відповідно до порядку і у строки, що передбачені Кодексом. У разі поміщення природного газу Замовника, що зберігається на митному складі в митному режимі митного складу, в інший митний режим Замовник зобов’язаний протягом трьох робочих днів з дати митного оформлення такого природного газу надати Оператору копію оформленої митної декларації, засвідчену митницею у встановленому порядку.

12.1. The Parties shall exchange information related to the Service provision according to the procedure and the terms provided for by the Code. In case of placing Client’s natural gas that is stored in the customs warehouse in the customs regime of the customs warehouse into another customs regime, the Client is obliged within three working days from the date of customs clearance of such natural gas to provide the Operator with a copy of the customs declaration, certified by the customs in the established procedure.

12.2. Будь-яке повідомлення, вимога, звіт або інша інформація, що має бути надана за Договором, має бути письмово оформлена і вважається наданою, якщо вона надіслана на адреси, вказані в Договорі, кур’єром, рекомендованим листом зі сплаченим поштовим збором, вручена особисто уповноваженій особі Сторони або у погоджених Сторонами випадках – в електронному вигляді.

12.2. Any notice, request, report or other information, which shall be provided under the Agreement shall be in writing and shall be deemed provided if it was send to the addresses specified in the Agreement, by courier, prepaid postage registered mail, delivered by hand to the authorized person of the Party or by electronic mail in cases agreed by the Parties.

12.3. Повідомлення, вимоги, звіти або інша інформація, надіслана або передана за допомогою засобів, зазначених у пункті 12.2 Договору, вважається отриманою адресатом на дату її отримання.

12.3. Notices, requests, reports and other information sent or transferred by means specified in Sub-clause 12.2 of the Agreement shall be deemed received by the addressee at the date of its receipt.

12.6. Сторони зобов’язані письмово інформувати одна одну про будь-які зміни в їх контактній інформації протягом 5 (п’яти) робочих днів. У випадку неповідомлення про зміни контактної інформації вся інформація, вимоги, рахунки та інша інформація, що надається відповідно до Договору, вважаються наданими, якщо вони повідомляються, використовуючи останню відому Стороні контактну інформацію.

12.6. The Parties shall inform each other in writing about any changes in their contact information within 5 (five) working days. In case of failure to inform about contact information changes, all information, requests, invoices and other information provided according to this Agreement shall be deemed provided if it is informed with use of contact information last known to the Party.

XIII. FINAL PROVISIONS

13.1. Договір укладено українською та англійською мовами у двох примірниках, які мають однакову юридичну силу, один із них зберігається в Оператора, другий – у Замовника. У разі виникнення розбіжностей щодо тлумачення положень цього Договору переважну силу має текст Договору українською мовою.

13.1. The Agreement is executed in Ukrainian and English in two copies of equal legal force, with one of which shall be kept by the Operator, and the other by the Client. In case of any discrepancies in interpretation of any provision of this Agreement the Ukrainian text shall prevail.
