We, China Machine-Building International Corporation (hereafter called "the Principal"), registered under the laws of People's Republic of China, with address: , constituted and appointed . Operated under the Laws of (country), with address: . to be our Agent for the following purpose：
1. To defend the interests of the Principal for the purpose of carrying out exploratory missions together with the requisite preparatory work on (project), in which the Principal has an interest to participate.
2. Company should be, for every major action taken within the present MANDATE, present to the Principal a financial and technical proposal, including a description of the actions to be taken as well as an estimate of the related fees and charges. The actions can only be taken after formal approval of the Principal.
3. This granted mandate does not permit the above named herein to make any warranty, promises, contract, agreement or entry into any other act that could be deemed binding on the Principal without first prior written consent from the Principal to do so. We, the Principal shall not be held responsible for any acts or failures to act on the part of ( company) or (name) in excess of, or contrary to this granted mandate.
