总则
x保险单中部分条款是对承保范围进行限制的条款,请仔细阅读整套保险单以明确权利、义务及可保和除外范围。
本保险单中“您/您们”和“您的/您们的”是指声明事项中所列的指定被保险人。“我们”和“我们的”是指提供此保险的本公司。
“被保险人”指第二节——“谁是被保险人”中限定的个人或组织。其他标有引号的词具有特殊含义。请参照第五节——定义。
第一节 承保范围承保范围A项——“人身伤害”及“财产损失”之责任
1. 承 保 协 议
(1) 被保险人因任何适用于本保险单之事故,致使第三者受到“人身伤害”或“财产损失”,依法应由被保险人负赔偿责任时,本公司对被保险人负赔偿之责。除非在附加赔付——承保范围A项和B项中明确列明外,本公司对其他支付款项、采取行动或提供服务的义务和责任不予承保。“人身伤害”或“财产损失”必须由一“意外事故”引起。该“意外事故”必须于保险单期限内、并在“承保区域”内发生。
本公司有权利和义务对寻求该损害赔偿的“诉讼”进行抗辩,但:
① 本公司对损失的赔付金额以保险单第三节——“保险赔偿限额"中列明的金额为限;
② 本公司可以自行决定就”意外事故”进行调查,解决求偿或“诉讼”;
③ 当对承保范围A项和B项中列明的裁决或协商结案金额的支付,或对承保范围C项中医疗费用的支付达到适用的赔偿限额时,本公司就进行抗辩之权利及义务则终止。
(2) 对“人身伤害”所提出的索赔,包括个人或组织在任何时候对由于“人身伤害”引起的照管、服务的丧失或死亡的损害索赔。
(3) 因有形财产、产品未发生物质上的损失但已丧失使用功能而导致的“财产损失”,本保险视为在“意外事故”导致其丧失功能时已发生损失。
2. 除 外 责 任
x保险对下列事项不负赔偿责任:
(1) 从被保险人方面所能预期的或其有意造成的“人身伤害”或“财产损失”。但因使用合理的强力措施保护他人或财产时所导致之“人身伤害”不在此限。
(2) 被保险人由于契约或协议的规定,对“人身伤害”或“财产损失”所应承担的赔偿责任。但以下两项不在此限:
① 契约或协议为第五节所列明之“可保契约”;
② 即使无该契约或协议的存在,亦应由被保险人负赔偿责任者
(3) 被保险人因以下原因造成的“人身伤害”或“财产损失”而应承担的赔偿责任:
① 导致或共同导致第三人酒精中毒;
② 向未成年人或受酒精影响者提供酒精饮品;
③ 有关销售、赠送、分发或饮用酒精饮品的法规、法令或条例。
本除外责任仅适用于当您从事酒精饮品之生产、分发、销售或供应之行业。
(4) 被保险人依劳工补偿法、残障福利法或失业救济或其他类似的法令应负之赔偿责任。
(5) 下列情形引起的“人身伤害”:
① 被保险人之受雇人员在受雇期间因执行职务所遭受的;或
② 被保险人受雇人员之配偶、子女、父母、兄弟、姐妹因上述第①条所遭受的。
此项除外责任适用于:
① 无论被保险人是作为雇主身份或任何其他身份;
② 被保险人因与该伤害的责任方分担或因共同责任偿还责任方已支付的赔偿金额而产生的相关责任。
此项除外责任不适用于“可保契约”中被保险人规定所承担的赔偿责任。
(6)
① 在以下情况下,由于实际的、被指称的或将要排出、散布、释放或泄漏污染物质造成的“人身伤害”或物质损失:
(a) 在/从被保险人所拥有、租借或占有的场所内;
(b) 在/从由您或其他人使用或为了您或其他人的利益而对废弃物进行处理、存放、处置、加工的场所或地址内;
(c) 在任何时候,由您或您对其负法律责任的其他个人或组织、或为了您或您对其负法律责任的其他个人或组织的利益,作为废物运输、处理、储存、处置或加工的污染物;
(d) 在/从您或任何直接或间接代表您的承包商或分包商从事工作的场所内:
(i) 如果污染物被带到与该工作有关的场所内;或
(ii) 该工作是为了监控、清理、转移、盛装、处理、去除或中和污染物。
② 任何由于政府指示或要求由您监控、清理、转移、盛装、处理、去除或中和污染物而引起的损失、费用或开支。
污染物指任何固体的、液体的、气体的或热的刺激物或沾染物,包括烟、蒸汽、雾、煤烟、气、酸、碱、化学制品和废物。废物指将被再循环、修整、回收的物质。
(7) 由任何被保险人拥有、操作、租借或借用的飞机、“汽车”或船舶因拥有、保养、使用或托管给他人所导致的“人身伤害”或“财产损失”。使用包括操作及装卸。
以下各项不在此项除外责任之列:
① 船舶在被保险人所拥有或租借的场地搁浅;
② 不是由被保险人所拥有的符合下列条件的船舶:
(a) 长度不超过 26 英尺;且
(b) 不作以收取费用为目的而运送人员或财产之用。
③ 在您拥有、租借的场所或其相邻道路上停放“汽车”,且该“汽车”不是由您或其他被保险人拥有、租借或借用;
④ 根据任何本保险单下的“可保契约”,由于拥有、保养或使用飞机或船舶而应承担的责任;
⑤ 由于操作本保险单第五节第八条“机动设备”定义中第(6)项第②、③条列明的任何设备而造成的“人身伤害”或“财产损失”。
(8) 由于下列原因引起的“人身伤害”或“财产损失”:
① 在任何被保险人所拥有、操作、租借或借用的“汽车”运送“机动设备”的过程中;或
② 将“机动设备”用于预定的竞赛、速度或撞车比赛或任何特技活动,包括事先练习或准备。
(9) 由于战争——无论宣战与否,或由于战争带来的任何行为或状况引起的“人身伤害”或“财产损失”。战争包括内战、暴动、叛乱或革命。此项除外责任仅适用于在契约或协议中规定的责任。
(10) 对以下各项造成的“财产损失”:
① 由您拥有、租借或占有的财产;
② 您所出售、出送或废弃的场所,且当该“财产损失”是由这些场所的任何部分造成的;
③ 借予您的财产;
④ 由您照管、保管或控制的个人财产;
⑤ 不动产的特定部分;对该不动产您直接、间接代表被保险人的承包商或分包商正对其从事操作,且“财产损失”由此类操作引发;或
⑥ 由于“您的工作”对其不正确地履行,导致必须修复、修理或重置的任何财产的特定部分。
如果该场所是“您的工作”对象,且从未被您占有、出租或为出租之用而被占据,则上述第②项并不在除外之列。
以上除外责任第③、④、⑤和⑥项不适用于铁路附属设施协议中规定的责任。
以上除外责任第⑥项不适用于“产品责任——完工操作风险”中包括的“财产损失”。
(11) 由于“您的产品”或其任何一部分引起产品本身之损失。
(12) 由“您的工作”或其任何一部分引起工作本身的损失,且该损失包含在“产品责任——完工操作风险”中。但由您的分包商代表您执行工作从而造成的相关损失不在此除外范围之列。
(13) 由于下列原因引起的“受损毁之财物”或未受有形损害之财产的损失:
① “您的产品”或“您的工作”中的缺陷、不足、不当或危险状况;或
② 您或代表您行事的其他人延迟或未履行契约或协议上的条款。
本除外责任对于由“您的产品”或已用于预期用途后的“您的工作”发生突发和偶然的物理损失而导致其他财产的不能使用者,并不适用。
(14) 因下列各项之不能使用、撤回、回收、检查、修理、置换、调整、移动或处理,而对由您或其他人遭受(发生)的损失、费用或开支提出的损失索赔:
① “您的产品”;
② “您的工作”;或
③ “受毁损之财产”。
且当此类产品、工作、财产由任何个人或组织从市场上或使用中撤回或回收是因为一项存在其中的已知或可疑之缺陷、不足、不当或危险状况。
除外责任第(3)条至(14)条不适用于因火灾对出租给您之场所造成的损失。依照本保险单第三节——保险赔偿限额,本项保障适用一单独的保险赔偿限额。
承保范围B项——“个人权利侵害”及“广告侵害”之责任
1. 承 保 协 议
(1) 被保险人因任何适用于本保险单之事故,致使第三者受到个人伤害或“广告侵害”,依法应由被保险人负赔偿责任时,本公司对被保险人负赔偿之责。除非在附加赔付 承保范围A项和B项中明确列明外,本公司对其他支付
款项、采取行动或提供服务的义务和责任不予承保。本公司有权利和义务对寻求该损害赔偿的“诉讼”进行抗辨,但:
① 本公司对损失的赔付金额以保险单第三节——“保险赔偿限额” 中列明的金额为限;
② 本公司可以自行决定,就“意外事故”进行调查,解决求偿或“诉讼”;
③ 当对承保范围A项和B项中列明的裁决或协商结案金额的支付,或对承保范围C项中医疗费用的支付达到适用的赔偿限额时,本公司就进行抗辩之权利及义务则终止。
(2) 本保险仅承保由符合下列条件的侵犯行为造成的“个人权利侵害”:
① 在保险单期间内并于承保地域实施;且
② 由您的经营行为所造成,但经营行为不包括由您或为您所做之广告、出版、广播及视播之行为。
(3) 本保险仅承保由符合下列条件的侵犯行为造成的“广告侵害”:
① 在保险单期间并于承保地域实施;且
② 在为您的商品、产品或服务做广告的过程中实施。
2. 除 外 责 任
x保险单对下列事项不负赔偿责任:
(1) 符合下列条件之“个人权利侵害”或“广告侵害”:
③ 由被保险人或在其指示下所作出的任何口头或书面的出版报道引起的,且被保险人明知这样做是错误的;
① 有关口头或书面之出版报道的首次报道是在本保险单生效之日前作出的;
② 被保险人作出或经被保险人同意而作出任何故意违反刑法或有关政府法令之行为;
③ 被保险人根据契约或协议之规定而应承担的责任,但即使无该契约或协议之存在,被保险人仍应对损害负赔偿责任者不在此限。
(2) 符合下列条件之“广告侵害”:
① 违约,但不包括默视合同下对广告创意之剽窃;
② 商品、产品或服务不能达到与广告宣传的品质与标准相一致;
③ 对商品、产品或服务之价格的错误描述;
④ 从事广告、广播、出版或视播的被保险人作出的侵犯行为。
承保范围C项——医疗费用
1. 承 保 协 议
(1) 本公司负责赔偿符合以下所述条件之事故造成“人身伤害”而产生的医疗费用:
① 在您拥有或租借的场所发生的;
② 在与您拥有或租借之场所相邻道路上发生的;或
③ 由于您的经营所引起的。
但本条款以下列各项条件为限:
① 该事故必须在保险单有效期及“承保区域”内发生;
② 医疗费用之支出及对本公司之事故报告应自事故发生当日起一年内做出;
③ 由本公司负担费用,受害人应在本公司指定的医生处按要求作一次或多次检查。
(2) 无论被保险人之行为有无过失,本公司将负责赔付其医疗费用。但该赔付金额不能超过所适用的保险赔偿限额。本公司将支付以下各项合理之费用:
① 事故发生当时之急救;
② 必要之医疗、外科、X光和牙科服务费用,包括修复性手术费;和
③ 必要之救护车、住院、专业护理和丧葬费用。
2. 除 外 责 任
x公司对以下各项之“人身伤害”产生的费用,不负责赔偿:
(1) 任何被保险人本人;
(2) 任何为被保险人工作之受雇人或代表、或任何被保险人之承租人;
(3) 在您拥有或租借的某一场所遭受伤害的人,且该场所通常由该人占有使用;
(4) 对第三人所受的“人身伤害” ——无论是否为任何被保险人之雇员,如果按劳工赔偿法、残障福利法或其他类似法律,对该“人身伤害”可提供或必须提供福利;
(5) 因体育运动而造成的“人身伤害”;
(6) 已包含于“产品责任——完工操作风险”中的责任;
(7) 为承保范围A项的除外责任;
(8) 由于战争——无论宣战与否,或由于战争带来的任何行为或状况。战争包括内战、暴动、叛乱或革命。
附加赔付——承保范围A项和B项
x公司将承担下列与索赔或“诉讼”抗辨有关之费用:
1. 所有本公司发生之费用;
2. 不超过 250 美元的保释金,该费用为使用“人身伤害”责任险负责赔偿的车辆造成的事故,或违反交通法规所发生的。但本公司并无义务提供该保证;
3. 归还被扣押财产的保证金,但以所适用的保险赔偿限额为限。但本公司并无义务提供该保证;
4. 应本公司要求,被保险人因协助调查或就索赔、“诉讼”抗辨而产生的一切合理费用,包括因离开工作而导致的收入损失,但以每日不超过 100 美元为限;
5. “诉讼”中被保险人应付的税务费用;
6. 判予被保险人就本公司根据判决支付的那部分金额的判决前利息。如果本公司提供支付所适用的保险赔偿限额,则本公司不再支付在提供支付以后一段时间的任何判决前利息;
7. 在判决以后,且在我们就所适用的保险赔偿限额以内的判决应予给付的全部金额已经支付、或承诺支付或已向法庭缴纳保证金前的一段时间,任何判决给付的总金额所孳生的利息。
第二节 谁是被保险人
1. 如您于保险单声明事项中被注明是:
(1) 个人,则您及您的配偶均为被保险人,但只限于从事您单独拥有的经营业务之行为;
(2) 合伙或合资,则您为被保险人。所有您的成员、合伙人及他们的配偶亦均为被保险人,但只限于从事您所经营业务之行为;
(3) 非上述所列之组织,则您为被保险人。您的执行官员、董事均为被保险人,但只限于他们以执行官员或董事身份履行职责。股东亦被视为被保险人,但只限于其作为股东所应负之责任。
2. 下列各项亦被视为被保险人:
(1) 所有雇员——不包括前述之执行官员;但仅限于被您雇佣范围内的行为。如有下列所述情形发生时,雇员则不能被视为被保险人:
① 当该雇员在受雇过程中导致您或其他雇员受到的“人身伤害”或“个人权利侵害”;
② 当该雇员提供或未能提供专业健康护理服务时所导致的“人身伤害”或“个人权利侵害”;
③ 当该雇员、其他雇员、您的任何合伙人或成员(属于合伙或合资企业的)所拥有、使用或租予或借予其的财产发生了“财产损失”。
(2) 任何充当您房地产管理经理的人(不包括您的雇员)。
(3) 在您去世时,任何临时保管您的财产的个人或组织,但:
① 仅限于由于维修、使用该财产引起的责任;
② 直至您的法定继承人被指定。
(4) 如您去世,您的法定继承人,但仅限于其该项职责时。该法定继承人在本保险项下享有所有您的权利并承担义务。
3. 对于依照任何机动车登记法于您名下登记之“机动设备”,任何经您许可在公共道路上操作此类设备的人均为被保险人。任何其他对该人士之行为负责的个人或组织也被视为被保险人,但仅限于由于操作该类设备而引起的责任,且没有其他任何保险对该个人或组织就此类之责任提供保障。但如有下列所述情况发生时,该个人或组织将不被视为被保险人:
(1) 对操作该类设备的其他雇员造成的“人身伤害”;或
(2) 对被保险人或本条款中被保险人的雇主所拥有、租予、保管或使用的财产造成的损失。
4. 任何您新收购或成立的组织(除了合伙与合资),均被视为指定被保险人,但仅限于您对该组织持有全资或大部分股权,且该组织并无其他类似之保险。同时:
(1) 本款所提供之有效期限为您收购或成立该组织之日起九十日或本保险单保险期满日,以两者最先发生者为准;
(2) 承保范围A项不适用于任何发生于您收购或成立该组织前的“人身伤害”或
“财产损失”;
(3) 承保范围B项不适用于任何发生于您收购或成立该组织前由于侵犯造成的
“个人权利侵害”或“广告侵害”。
任何人或组织就其现在或过去的合伙或合资企业将不被视为被保险人——如果该合伙或合资企业未在声明事项中被列为指定被保险人。
第三节 保险赔偿限额
1 本保险单声明事项中所列之保险赔偿限额及本节各项规定为本公司赔偿之最高限额,而不论不列各项之数目多少:
(1) 被 保 险 人 ;
(2) 提出的索赔或“诉讼”;或
(3) 提出该索赔或“诉讼”的人或组织。
2. 赔偿总限额为本公司对下列各项赔款之最高赔付金额:
(1) 承保范围C项中的医疗费用;
(2) 承保范围A项及B项之损失,但不包括由“产品责任——完工操作风险”导致之“人身伤害”或“财产损失”;
(3) 所 有 附 加 赔 付 。
3. 产品责任——完工操作之赔偿总限额为本公司根据承保范围A项,对于因包括在 “产品责任——完工操作风险”所导致的“人身伤害”或“财产损失”的最高赔付金额,并包括所有附加赔付。
4. 在不违反以上第 2 条规定的原则下,“个人权利侵害”及“广告侵害”之赔偿限额为本公司根据承保范围B项,对于任何个人或组织遭受的所有“个人权利侵害”和“广告侵害”造成的所有损失金额的最高赔付金额。
5. 在不违反以上第 2、3 条规定的原则下,每次事故赔偿限额为本公司对于任何同一次“意外事故”引起的所有“人身伤害”和“财产损失”而需支付下列各项之最高赔付金额:
(1) 承保范围 A 项下的损失;
(2) 承保范围 C 项下的医疗费用。
6. 在不违反以上第 5 条规定的原则下,火灾损失赔偿限额为本公司根据承保范围A项,对于任何同一次火灾引起的对租予您之场所的“财产损失”的最高赔付金额。
7. 在不违反以上第 5 条规定的原则下,医疗费用赔偿限额为本公司根据承保范围C项,对于任何个人遭受的“人身伤害”而发生的所有医疗费用的最高赔付金额。
本保险单的赔偿限额分别适用于自保险单声明事项中所列之保险期限开始之日起,各个连续年度及任何少于 12 个月的剩余期限,除非本保险单在出具后,保险期限延长少于 12 个月的附加期限。在这种情况下,附加期限与前一个保险期限将被视为为了决定保险赔偿限额的整个保险期限。
第四节 商业综合责任之共同基本条款
1. 破 产
被保险人或其财产之破产或无力偿付债务,不会免除本公司根据承保范围所应承保之责任。
2. 被保险人在发生“意外事故”、提出索赔或“诉讼”时之义务:
(1) 尽快以书面形式通知本公司可能引起索赔之“意外事故”的发生。书面通知须包括:
① “意外事故”发生的时间、地点和经过;和
② 受伤害人及见证人的姓名、地址;以及
③ 由“意外事故”引起的“人身伤害”或“财产损失”的性质和位置。
“意外事故”发生之书面通知不视为索赔通知。
(2) 如果任一被保险人收到索赔后,您必须:
① 立即记录该索赔的详细情况及收到该索赔之日期;并且
② 在收到索赔之日起 60 天内,尽快以书面形式通知本公司。
(3) 您和其他有关被保险人必须:
① 立即向本公司提供与该索赔或“诉讼”有关之要求、通知、传票或法律函件之复印件;
② 授权本公司获取记录及其他资料;
③ 协助本公司对该索赔或“诉讼”进行调查、解决或抗辨;
④ 在其他个人或组织对于因适用于本保险之“人身伤害”或“财产损失”而需对被保险人承担责任的情况下,被保险人应本公司要求,须协助本公司对该个人或组织行使权利。
(4) 除非由其自己承担费用,被保险人未经本公司事先同意,不得主动赔付、承担任何责任或发生任何费用(必要之急救费用除外)。
3. 对本公司之法律“诉讼”行为
在本保险下,任何个人或组织无权采取下列措施:
(1) 使本公司参与提出“诉讼”,向被保险人提出索赔要求或使本公司共同“诉讼”;或
(2) 除非完全遵守承保范围之条款,不得向本公司就本保险承保范围提出“诉讼”。
其他个人或组织可根据同意的赔偿金额或在实际审判后获得的对被保险人的最后判决,向本公司提出“诉讼”要求赔偿;但本公司对不在本保险单承保范围内之赔偿要求或已超出所适用之保险赔偿限额之赔偿要求,不负赔偿之责。同意的赔偿是指由
本公司、被保险人、索赔者或其法定继承人所签署的赔偿金额及责任之豁免。
4. 其 他 保 险
对于本公司根据承保范围A项及B项负责赔偿的损失,被保险人如有其他有效保险单存在时,本公司之责任范围限于下列情况:
(1) 基 层 保 险
除下列第(2)所列情况外,本保险单所提供的保险为基层保险。如果本保险为基层保险,本公司的责任范围将不受影响,除非其他保险亦为基层保险。此时,本公司将与其他保险按照第(3)条描述之方法共同负担赔偿金额。
(2) 超 额 保 险
x保险单仅对任何其他符合下列保险之赔偿金额的超额部分负赔偿之责
——无论该其他保险是基层保险、超额保险、或有保险或任何其他基础的保险:
① 该等保险单生效日期早于本保险单声明事项中列明的本保险的起始日期,并以非索赔发生制赔偿基础适用于“人身伤害”或“财产损失”,而且
(a) 本保险单声明事项中列明无追溯期;或
(b) 其他保险在本保险声明事项中列明的追溯日后仍然有效;
② 该等保险单乃对“您的工作”提供的火险、附加险、建筑商保险、安装险或其他类似保险;
③ 该等保险单乃对您租借之场所提供的火灾保险;或
④ 对因维修或使用飞机、“汽车”或船舶所导致之损失,但以其不受第一节承保范围A项内除外责任第 7 条之约束为限。
当本保险单为超额保险单时,本公司并无义务根据承保范围A项和B项,对任何索赔或“诉讼”进行任何其他保险人应进行的抗辨。如无其他保险人抗辨,则由本公司承担抗辨之责,但本公司应获得被保险人向其他保险人进行追偿之权利。
当本保险作为其他保险的超额保险时,本公司仅对超过以下各项金额之损失承担赔偿责任:
① 在无本保险情况下,所有其他保险所应付的赔偿损失总金额;和
② 在所有其他保险中的所有免赔额和自保金额之总和。
本公司将与任何其他保险分担剩余的损失。此类其他保险为在本超额保险条款中未提及的保险,且并未明确其为本保险声明事项中列明之赔偿限额之超额保险。
(3) 损 失 之 共 同 负 担
如果所有其他有效保险允许等额分摊基础,本公司亦按此方法办理。在此方
式下,每一保险人等额分担赔偿直至该被保险人之保险赔偿限额已赔尽或损失已全部获得赔偿,以最先发生者为准。
如果任一其他有效保险不允许等额分摊基础,本公司将根据保险赔偿限额进分摊。在此方式下,每一保险人应负之赔偿金额以该保险人之保险赔偿限额在所有保险赔偿限额之总金额中所占比例进行分摊。
5. 保险费审计
(1) 本公司将根据公司规则与x率计算本保险单之承保范围下所有之保险费。
(2) 保险单所列保险费仅为预付保险费。在每个审计期满时,本公司将计算审计期内应付之实际保险费。审计保险费在通知第一指定被保险人时支付。如预先支付的金额与所付的保险期的审计保险费之金额超过应付之实际保险费,本公司将退还给第一指定被保险人超额之部分。
(3) 第一指定被保险人须保留所有与本公司计算保险费有关的资料,并根据本公司要求,随时提供给本公司以复印件。
6. x x
xx接受本保险单,您同意:
(1) 声明事项中所作的叙述是准确的、完全的;
(2) 该叙述乃根据您对本公司所作的xx;并且
(3) 本公司之出具本保险单乃基于对您xx之信任。
7. 被保险人之区别对待
除了有关保险赔偿限额及对第一指定被保险人特别指定的权利或义务外,本保险单提供之保险:
(1) 视每一指定被保险人为本保险唯一之指定被保险人;
(2) 分别适用于任何一位被索赔、“诉讼”之被保险人。
8. 向本公司转移代位求偿权
如果被保险人有权追偿本公司根据此保险单已赔付的全部或部分金额,则此类追偿权应转移给本公司。被保险人不得在损失发生后作出任何有损该项权利之行为。应本公司要求,被保险人需提出“诉讼”或向本公司转移此类权利并协助本公司行使该权利。
9. 保险之撤消
您可撤消本保险单,但需向本公司或本公司授权之代理送回本保险单或邮寄书面撤消通知,并xx保险单撤消何时开始。本公司亦可撤消本保险单,但需于不晚于撤消生效前 30 日,依保险单列明之地址邮寄给您书面撤消通知。以上所述书面通知之邮寄,应有充分证明。保险单送回时间或书面撤消通知中列明的撤消时日应为保险单期限之终止。被保险人或本公司之送达书面通知相当于邮寄。
如您撤消保险单,应缴保险费应依照通用的短期费率表或程序进行计算。如本公司撤消保险单,应缴保险费应依比例计算。保险费之调整可在保险单撤消时进行,亦可在撤消生效后尽快进行。但支付或清偿未决保险费并不成为撤消保险单的条件。
第 五 节 定 义
1. “广告侵害”是指因下列一项或多项侵犯所致之伤害:
(1) 以口头或书面出版物的形式诽谤个人或组织,或抵毁其商品、产品或服务;
(2) 以口头或书面出版物的形式侵害他人隐私权;
(3) 剽窃广告创意或商业活动之方式;或
(4) 侵犯著作权、称谓或口号。
2. “汽车”是指用于在公共道路上行驶而设计的陆面机动工具、拖车或半拖车,包括任何有关的备件或设备。但“汽车”不包括“机动设备”。
3. “人身伤害”是指任何人所遭受的人身伤、疾病或病症,包括任何时间内因此引起的死亡。
4. “承保区域”指:
(1) 美利坚合众国(含其本土或属地)、波多黎各和加拿大。
(2) 国际水域或空间,但伤害或损失需发生在前往或离开上述(1)项中已包含之地域的旅途或运输过程中。
(3) 世界之任何地方,如果:
① 伤害或损失发生于:
a) 由您在上述(1)项中列明之国家制造或销售之商品或产品;或
b) 某个居住在上述(1)项列明之国家的人举行的活动,但该人正为您的经营业务短期离开该国家;而且
② 被保险人赔付损失之责任根据在上述(1)项列明之国家提起之“诉讼”或本公司同意之协商结果而决定。
5. “受损毁之财物”是指“您的产品”或“您的工作”以外的其他有形财产,由于下列原因不能使用或不能充分使用:
(1) 该有形财产构成“您的产品”或“您的工作”的一部分,而“您的产品”或“您的工作”已知或被认为是有缺陷、有不足、有不当或有危险状况;或
(2) 您未能履行契约或协议之条款;但该财产可通过以下方法可恢复使用:
(1) 对“您的产品”或“您的工作”进行修理、重置、调整或拆除;
(2) 您履行了契约或协议的条款。
6. “可保契约”是指:
(1) 场 所 租 约 ;
(2) 铁路附属设施协议;
(3) 与车辆或行人有关之私人铁路平面交叉口之通行权或许可协议;
(4) 任何其他的通行权协议,但在铁路 50 英尺范围内的建造或拆除作业除外;
(5) 根据法令对市政当局的赔偿要求,但应市政当局要求施工者除外;
(6) 电 梯 维 修 协 议 ; 或
(7) 与您经营业务有关的任何其他契约或协议的那一部分。根据该契约或协议您承担民事侵权责任对第三方的个人或组织之“人身伤害”或“财产损失”进行赔偿,且该契约或协议先于“人身伤害”或“财产损失”的发生而订立。民事侵权责任是指在不存在任何契约或协议情况下,依照法律规定所要承担的责任。
“可保契约”不包括下列之契约或协议:
(1) 由于下列各项,就相关伤害或损失对建筑师、工程师或勘查师的赔偿;
① 筹备、同意或未能筹备或同意地图、图样、意见、报告、勘查、顺序改动、设计或细节;或
② 指示、命令或未能指示、命令,且该行为为伤害或损失的近因;
(2) 如被保险人为建筑师、工程师或勘查师时,由于其提供或未能提供专业服务
(包括在以上(1)项中列明的内容和监督、检查或工程服务)造成伤害或损失被保险人根据该契约或协议而承担责任;或
(3) 根据该契约或协议,须对因火灾造成租予或借予您的场所损害而对任何个人或组织负责赔偿。
7. “财物装卸”指:
(1) 财物从验收之地被搬运上飞机、船舶或车辆后;
(2) 财物装载于飞机、船舶或车辆内之搬运;
(3) 财物从飞机、船舶或车辆上被搬运至最后目的地。
但“财物装卸”不包括使用非附于飞机、船舶或车辆上之机器设备(手推车除外)所作之搬运。
8. “机动设备”是指以下任何种类的陆上工具,包括其所有附属机件或设备:
(1) 主要在公共道路以外的地方使用的推土机、农业机械、铲车和其他车辆;
(2) 专为在您拥有或租借的场所或其相邻道路上使用而运营的车辆;
(3) 履 带 式 车 辆 ;
(4) 主要为以下各项永久性安置提供可移动性而运营的车辆,无论该车辆是否为自有动力;
① 动力起重机、铲车、装卸机、挖掘机或钻孔机;或
② 建造或铺设道路之设备,例如平路机、刮土机或压路机;
(5) 未列入以上(1)、(2)、(3)或(4)项内的非自有动力运输工具,并且是主要为以下各项永久性附属设备提供可移动性而运营的运输工具:
① 空气压缩机、泵和发电机,包括喷雾、焊接、建造、清理、地球物理勘测、照明和井下设备;或
② 用于升降工人之车载升降台和类似设备;
(6) 未列入以上(1)、(2)、(3)或(4)项内的、主要为客运或货运以外目的而运营的运输工具。
但是有以下所列各种永久性附属设备之自有动力运输工具不是“机动设备”,而被认为是“汽车”:
① 主要为以下目的而设计的设备;
(a) 清除积雪;
(b) 道路保养,但不用于建造或铺设道路;
(c) 道路清扫。
② 安置于“汽车”或卡车底盘,并用于升降工人的车载升降台和类似设备;
③ 空气压缩机、泵和发电机,包括喷雾、焊接、建造、清理、地球物理勘测、照明和井下设备。
9. “意外事故”是指一次事故,包括在连续或重复暴露于同一有害状况下之事故。
10. “个人权利侵害”指除“人身伤害”以外的、由于下列一项或多项侵犯引起的伤害;
(1) | 非法逮捕、拘押或监禁; | |
(2) | 恶意控告; | |
(3) | 非法进入他人所占有的房间、住宅或场所,或将他人驱逐出其所占有的房间、住宅或场所; | |
(4) | 以口头或书面出版物的形式诽谤个人或组织,或抵毁其商品、产品或服务; 或 | |
(5) | 以口头或书面出版物的形式侵害他人的隐私权。 | |
11. |
(1) “产品责任——完工操作风险”包括所有发生在您所拥有或租借之场所外,由于“您的产品”或“您的工作”所引起的“人身伤害”或“财产损失”。但以下情况不属于“产品责任——完工操作风险”:
① 产品仍由您实际占有;或
② “您的工作”尚未完成或受领。
(2) “您的工作”完成时间以下列最先发生者为准:
① 当您的契约规定的所有工作都完成时;
② 如您的契约规定有多处工作场所,则当涉案场所的所有工作都完成时;
③ 当在工作场所上的那部分工作已为任何个人或组织(不包括从事同一项目施工之其他承包商或分包商)用做其预定目的使用时。
某项工作虽需服务、维修、改正、修理或替换,但其他方面皆已完工,则视为该项工作完成。
(3) “产品责任——完工操作风险”不包括下列原因引起的“人身伤害”或“财产损失”:
① 财物之运输,除非该伤害或损失是由于装卸财物造成运输工具之特别状况引起的;
② 工具、未安装设备或丢弃或未使用材料之存在;
③ 根据本保险单规定或核保分级,已包含在非“产品责任——完工操作风险”类别下的产品或完工操作。
12. “财产损失”指:
(1) 对有形财物的物质损害,包括所引起的该财物之不能使用;
(2) 有形财物虽未受实质损坏但已丧失使用。
13. “诉讼”指本保险单所适用的“人身伤害”、“财产损失”、“个人权利侵害”或“广告侵害”发生时,对损失赔偿进行民事诉讼程序。“诉讼”包括必须由您提出或在本公司同意情况下由您提出的针对该损失赔偿主张的仲裁程序。
14. “您的产品”指:
(1) 任何由下列人等生产、销售、处理、分配或整理的商品、产品(不包括不动产):
① 您;
② 其他以您的名称进行贸易者;
③ 您已对其业务或资料进行兼并之个人或组织;以及
(2) 与此类商品或产品有关的容器(除了“汽车”)、材料、部件或设备。
“您的产品”包括在任何时候就以上第(1)、(2)项之所列内容的适用性、品质、耐用性或性能所做的有关担保或xx。
“您的产品”不包括自动售货机或出租于他人、设置他人处供其使用(但未卖于他人)的财物。
15. “您的工作”是指:
(1) 由您或代表您所实施的工作或操作;
(2) 与该工作或操作有关的材料、部件或设备。
“您的工作”包括在任何时候就以上第(1)、(2)项之所列内容的适用性、品质、耐用性或性能所做的有关担保或xx。
COMMERCIAL GENERAL LIABILITY INSURANCE CLAUSES
Various provisions in this policy restrict coverage. Read the entire policy carefully to determine rights, duties and what is and is not covered.
Throughout this policy the words 'you' and 'your' refer to the Named Insured shown in the Declaration. The words 'we' , 'us' and 'our' refer to the Company providing this insurance.
The word 'insured' means any person or organisation qualifying as such under SECTION II - WHO IS AN INSURED.
Other words and phrases that appear in quotation marks have special meaning. Refer to SECTION V - DEFINITIONS.
SECTION I - COVERAGES
Coverage A - Bodily Injury and Property Damage Liability
1. Insuring Agreement
a. We will pay those sums that the insured becomes legally obligated to pay as damages because of 'bodily injury' or 'property damage' to which this insurance applies. No other obligation or liability to pay sums or perform acts or services is covered unless explicitly provided for under SUPPLEMENTARY PAYMENTS - COVERAGES A AND B. The 'bodily injury' or 'property damage' must be caused by an 'occurrence'. The 'occurrence' must take place in the 'coverage territory' and during the Policy Period.
We will have the right and duty to defend any 'suit' seeking such damages; but:
(1) The amount we will pay for damages is limited as described in SECTION III - LIMITS OF INSURANCE;
(2) We may, at our discretion, investigate any 'occurrence' and settle
any claim or 'suit' that may result; and
(3) Our right and duty to defend ends when we have used up the applicable limit of insurance in the payment of judgements or settlements under Coverages A and B or medical expenses under Coverage C.
b. Damages because of 'bodily injury' include damages claimed by any person or organisation for care, loss of services or death resulting at any time from the 'bodily injury'.
c. 'Property damage' that is loss of use of tangible property that is not physically injured shall be deemed to occur at the time of the 'occurrence' that caused it.
2. Exclusions
This insurance does not apply to :
a. 'Bodily injury' or 'property damage' expected or intended from the standpoint to the insured. This exclusion does not apply to 'bodily injury' resulting from the use of reasonable force to protect persons or property.
b. 'Bodily injury' or 'property damage' for which the insured is obligated to pay damages by reason of the assumption of liability in a contract or agreement. This exclusion does not apply to liability for damages:
(1) Assumed in a contract or agreement that is an 'insured contract'; or
(2) That the insured would have in the absence of the contract or agreement.
c. 'Bodily injury' or 'property damage' for which any insured may be held liable by reason of :
(1) Causing or contributing to the intoxication of any person;
(2) The furnishing of alcoholic beverages to a person under the legal drinking age or under the influence of alcohol; or
(3) Any statute, ordinance or regulation relating to the sale, gift, distribution or use of alcoholic beverages.
This exclusion applies only if you are in the business of manufacturing, distributing, selling, serving of furnishing alcoholic beverages.
d. Any obligation of the insured under a workers compensation, disability benefits or unemployment compensation law or any similar law.
e. 'Bodily injury' to:
(1) An employee of the insured arising out of and in the course of employment by the insured; or
(2) The spouse, child, parent, brother or sister of that employee as a consequence of (1) above.
This exclusion applies:
(1) Whether the insured may be liable as an employer or in any other capacity; and
(2) To any obligation to share damages with or repay someone else who must pay damages because of the injury.
This exclusion does not apply to liability assumed by the insured under an 'insured contract'.
f. (1) 'Bodily injury' or 'property damage' arising out of the actual, alleged or threatened discharge, dispersal, release or escape of pollutants:
(a) At or from premises you own, rent or occupy;
(b) At or from any site or location used by or for you or others for the handling, storage, disposal, processing or treatment of waste;
(c) Which are at any time transported, handled, stored, treated, disposed of, or processed as waste by or for you or any person or organisation for whom you may be legally responsible; or
(d) At or from any site or location on which you or any contractors or subcontractors working directly or indirectly on your behalf are performing operations:
i. if the pollutants are brought on or to the site or location in connection with such operations; or
ii. if the operations are to test for, monitor, clean up, remove, contain, treat, detoxify or neutralise the pollutants.
(2) Any loss, cost, or expense arising out of any governmental direction or request that you test for, monitor, clean up, remove, contain, treat, detoxify or neutralise pollutants.
Pollutants means any solid, liquid, gaseous or thermal irritant or contaminant, including smoke, vapour, soot, fumes, acids, alkalis,
chemicals, and waste. Waste includes materials to be recycled, reconditioned or reclaimed.
g. 'Bodily injury' or 'property damage' arising out of the ownership, maintenance, use or entrustment to other of any aircraft, 'auto' or watercraft owned or operated by or rented or loaned to any insured. Use includes operation and 'loading or unloading'.
This exclusion does not apply to :
(1) A watercraft while ashore on premises you own or rent;
(2) A watercraft you do not own that is:
(a) less than 26 feet long; and
(b) not being used to carry persons or property for a charge;
(3) Parking an 'auto' on, or on the ways next to, premises you own or rent, provided the 'auto' is not owned by or rented or loaned to you or the insured;
(4) Liability assumed under any 'insured contract' for the ownership, maintenance or use of aircraft or watercraft; or
(5) 'Bodily injury' or 'property damage' arising out of the operation of any of the equipment listed in paragraph f.(2) or f.(3) of the definition of 'mobile equipment'.(Section V.8).
h. 'Bodily injury' or 'property damage' arising out of :
(1) The transportation of 'mobile equipment' by an 'auto' owned or operated by or rented or loaned to any insured; or
(2) The use of 'mobile equipment' in, or while in practice or preparation for, a prearranged racing, speed or demolition contest or in any stunting activity.
i. 'Bodily injury' or 'property damage' due to war, whether or not declared, or any act or condition incident to war. War includes civil war, insurrection, rebellion or revolution. This exclusion applies only to liability assumed under a contract or agreement.
j. 'Property damage' to:
(1) Property you own, rent, or occupy;
(2) Premises you sell, give away or abandon, if the 'property damage' arises out of any part of those premises;
(3) Property loaned to you;
(4) Personal Property in your care, custody or control;
(5) That particular part of real property on which you or any contractors or subcontractor working directly or indirectly on your behalf are performing operations, if the 'property damage' arise out of those operations; or
(6) That particular part of any property that must be restored, repaired or replaced because 'your work' was incorrectly performed on it.
Paragraph (2) of this exclusion does not apply if the premises are 'your work' and were never occupied, rented or held for rental by you.
Paragraph (3), (4), (5) and (6) of this exclusion do not apply to liability assumed under a sidetrack agreement.
Paragraph (6) of this exclusion does not apply to 'property damage' included in the 'products - completed operations hazard'.
k. 'Property damage' to 'your product' arising out of it or any part of it.
l. 'Property damage' to 'your work' arising out of it or any part of it and included in the 'products - completed operations hazard'.
This exclusion does not apply if the damaged work or the work out of which the damage arises was performed on your behalf by a subcontractor.
m. 'Property damage' to 'impaired property' or property that has not been physically injured, arising out of:
(1) A defect, deficiency, inadequacy or dangerous condition in 'your product' or 'your work'; or
(2) A delay or failure by you or anyone acting on your behalf to perform a contract or agreement in accordance with its terms.
This exclusion does not apply to the loss of use of other property arising out of sudden and accidental physical injury to 'your product' or 'your work' after it has been put to its intended use.
n. Damages claimed for any loss, cost or expense incurred by you or others for the loss of use, withdrawal, recall, inspection, repair, replacement, adjustment, removal or disposal of:
(1) 'Your product';
(2) 'Your work'; or
(3) 'Impaired property';
if such product, work, or property is withdrawn or recalled from the market or from use by any person or organisation because of a known or
suspected defect, deficiency, inadequacy or dangerous conditions in it.
Exclusions c. through n. do not apply to damage by fire to premises rented to you . A separate limit of insurance applies to this coverage as described in SECTION III
- LIMITS OF INSURANCE.
Coverage B - Personal And Advertising Injury Liability
1. Insuring Agreement
a. We will pay those sums that the insured becomes legally obligated to pay as damaged because of 'personal injury' or 'advertising injury' to which this insurance applies. No other obligation or liability to pay sums or perform acts or services is covered unless explicitly provided for under SUPPLEMENTARY PAYMENTS – COVERAGES A AND B. We will have the right and duty to defend any 'suit' seeking those damage. But:
(1) The amount we will pay for damages is limited as described in SECTION III - LIMITS OF INSURANCE.
(2) We may investigate and settle any claim or 'suit' at our discretion; and
(3) Our right and duty to defend end when we have used up the applicable limit of insurance in the payment of judgements or settlements under Coverages A or B or medical expenses under Coverage C.
b. This insurance applies to 'personal injury' only if caused by an offense:
(1) Committed in the 'coverage territory' during the policy period; and
(2) Arising out of the conduct of your business, excluding advertising, publishing, broadcasting or telecasting done by or for you.
c. This insurance applies to 'advertising injury' only if caused by an offense committed;
(1) In the 'coverage territory' during the policy period; and
(2) In the course of advertising your goods, products or services.
2. Exclusions
This insurance does not apply to:
a. 'Personal injury' or 'advertising injury;:
1) Arising out of oral or written publication of material, if done by or at the direction of the insured with knowledge of its falsity;
(2) Arising out of oral or written publication of material whose first publication took place before the beginning of the policy period;
(3) Arising out of the wilful violation of a penal statute or ordinance committed by or with the consent of the insured; or
(4) For which the insured has assumed liability in a contract or agreement. This exclusion does not apply to liability for damages that the insured would have in the absence of the contract or agreement.
b. 'Advertising injury' arising out of :
(1) Breach of contract, other than misappropriation of advertising ideas under an implied contract;
(2) The failure of goods, products or services to conform with advertised quality or performance;
(3) The wrong description of the price of goods, products or services; or
(4) An offense committed by an insured whose business is advertising, broadcasting, publishing or telecasting.
Coverage C - Medical Payments
1. Insuring Agreement
a. We will pay medical expenses as described below for 'bodily injury' caused by an accident:
(1) On premises you own or rent;
(2) On ways next to premises you own or rent; or
(3) Because of your operation;
provided that:
(1) The accident takes place in the "coverage territory' and during the period;
(2) The expenses are incurred and reported to us within one year of the date of the accident; and
(3) The injured person submits to examination, at our expenses, by physicians of our choice as often as we reasonably require.
b. We will make these payments regardless of fault. These payments will not exceed the applicable limit of insurance. We will pay reasonable expenses for:
(1) First aid at the time of an accident;
(2) Necessary medical, surgical, x-xxx and dental services, including prosthetic devices; and
(3) Necessary ambulance, hospital, professional nursing and funeral services.
2. Exclusions
We will not pay expenses for 'bodily injury':
a. To any insured.
b. To a person hired to do work for or on behalf of any insured or a tenant of any insured.
c. To a person injured on that part of premises you own or rent that the person normally occupies.
d. To a person , whether or not an employee of any insured, if benefits for the 'bodily injury' are payable or must be provided under a workers compensation or disability benefits law or a similar law.
e. To a person injured while taking part in athletics.
f.Included within the 'products - completed operation hazard'.
g. Excluded under Coverage A.
h. Due to war, whether or not declared, or any act or condition incident to war. War includes civil war, insurrection, rebellion or revolution.
Supplementary Payments - Coverages A and B
We will pay , with respect to any claim or 'suit' we defend:
1. All expenses we incur.
2. Up to US $250 for cost of bail bonds required because of accidents or traffic law violations arising out of the use of any vehicle to which the Bodily Injury Liability Coverage applies. We do not have to furnish these bonds.
3. The cost of bonds to release attachments, but only for bond amounts within the applicable limit of insurance. We do not have to furnish these bonds.
4. All reasonable expenses incurred by the insured at our request to assist us in the investigation or defense of the claim or 'suit', including actual loss of earnings up to US$100 a day because of time off from work.
5. All costs taxed against the insured in the 'suit'.
6. Pre-judgement interest awarded against the insured on that part of the judgement we pay. If we make an offer to pay the applicable limit of insurance, we will not pay any pre-judgement interest based on that period of time after the offer.
7. All interest on the full amount of any judgement that accrues after entry of the judgement and before we have paid, offered to pay , or deposited in court the part of the judgement that is within the applicable limit of insurance.
SECTION II - WHO IS AN INSURED
1. If you are designated in the Declarations as:
a. An individual, you and your spouse are insureds, but only with respect to the conduct of a business of which you are the sole owner.
b. A partnership or joint venture, you are an insured. Your members, your partners, and their spouses are also insureds, but only with respect to the conduct of your business.
c. An organisation other than a partnership or joint venture, you are an insured. Your executive officers and directors are insureds, but only with respect to their duties as your officers or directors. Your stockholders are also insureds, but only with respect to their liability as stockholders.
2. Each of the following is also an insured:
a. Your employees, other than your executive officers, but only for acts within the scope of their employment by you. However, none of these employees is an insured for:
(1) 'Bodily injury' or 'personal injury' to you or to a co-employee while in the course of his or her employment; or
(2) 'Bodily injury' or 'personal injury' arising out of his or her providing or failing to provide professional health care services; or
(3) 'Property Damage' to property owned or occupied by or rented or loaned to that employee, any of your other employees, or any of your partners or members (if you are a partnership or joint venture).
b. Any person (other than your employee), or any organisations while acting as your real estate manager.
c. Any person or organisation having proper temporary custody of your property if you die, but only:
(1) With respect to liability arising out of the maintenance or use of that property; and
(2) Until your legal representative has been appointed.
d. Your legal representative if you die, but only with respect to duties as such. That representative will have all your rights and duties under this Coverage Part.
3. With respect to 'mobile equipment' registered in your name under any motor vehicle registration law, any person is an insured while driving such equipment along a public highway with your permission. Any other person or organisation responsible for the conduct of such person is also an insured, but only with respect to liability arising out of the operation of the equipment, and only if no other insurance of any kind is available to that person or organisation for this liability. However, no person or organisation is an insured with respect to:
a. 'Bodily injury' to a co-employee of the person driving the equipment; or
b. 'Property damage' to property owned by, rented to, in the charge of or occupied by you or the employer of any person who is an insured under this provision.
4. Any organisation you newly acquire or form, other than a partnership or joint venture, and over which you maintain ownership or majority interest, will be deemed to be a Named Insured if there is no other similar insurance available to that organisation. However:
a. Coverage under this provision is afforded only until the 90th day after you acquire or form the organisation or, the end of the policy period, whichever
is earlier;
b. Coverage A does not apply to 'bodily injury' or 'property damage' that occurred before your acquired or formed the organisation; and
c. Coverage B does not apply to 'personal injury' or 'advertising injury' arising out of an offense committed before you acquired or formed the organisation.
No person or organisation is an insured with respect to the conduct of any current or past partnership or joint venture that is not shown as a Named Insured in the Declarations.
SECTION III-LIMITS OF INSURANCE
1. The Limits of Insurance shown in the Declarations and the rules below fix the most we will pay regardless of the number of :
a. Insureds;
b. Claims made or 'suits' brought; or
c. Persons or organisations making claims or bringing 'suits'.
2. The General Aggregate Limit is the most we will pay for the sum of:
a. Medical expenses under Coverage C; and
b. Damages under Coverage A and Coverage B, except damages because of injury and damage included in the 'products-completed operations hazard'; and
c. All Supplementary Payments.
3. The Products-Completed Operations Aggregate Limit is the most we will pay under Coverage A for damages because of injury and damage included in the 'products-completed operations hazard', including all Supplementary Payments.
4. Subject to 2. above, the Personal and Advertising Injury Limit is the most we will pay under Coverage B for the sum of all damages because of all 'personal injury' and all 'advertising injury' sustained by any one person or organisation.
5. Subject to 2. or 3. above, whichever applies, the Each Occurrence Limit is the most we will pay for the sum of :
a. Damages under Coverage A; and
b. Medical expenses under Coverage C
because of all 'bodily injury' and 'property damage' arising out of any one
'occurrence'.
6. Subject to 5. above, the Fire Damage Limit is the most we will pay under Coverage A for damages because of 'property damage' to premises rented to you arising out of any one fire.
7. Subject to 5. above, the Medical Expense Limit is the most we will pay under Coverage C for all medical expenses because of “bodily injury” sustained by any one person.
The Limits of this Coverage Part apply separately to each consecutive annual period and to any remaining period of less than 12 months, starting with the beginning of the policy period shown in the Declarations, unless the policy period is extended after issuance for an additional period of less than 12 months. In that case, the additional period will be deemed part of the last preceding period for purposes of determining the Limits of Insurance.
SECTION IV-COMMERCIAL GENERAL LIABILITY CONDITIONS
1. Bankruptcy
Bankruptcy or insolvency of the insured or of the insured's estate will not relieve us of our obligations under this Coverage Part.
2. Duties In The Event Of Occurrence, Claim Or Suit
a. You must see to it that we are notified in writing as soon as practicable of an 'occurrence' which may result in a claim. Notice should include:
(1) How, when and where the 'occurrence' took place; and
(2) The names and addresses of any injured persons and witnesses;
and
(3) The nature and location of any injury or damage arising of the
'occurrence'.
Notice of an 'occurrence' is not notice of claim.
b. If a claim is received by any insured you must:
(1) Immediately record the specifics of the claim and the date received; and
(2) Notify us in writing as soon as practicable and within 60 days of the date you received the claim.
c. You and any other involved insured must:
(1) Immediately send us copies of any demands, notices, summonses or legal papers received in connection with the claim or 'suit';
(2) Authorize us to obtain records and other information;
(3) Cooperate with us in the investigation, settlement or defense of the claim or 'suit'; and
(4) Assist us, upon our request, in the enforcement of any right against any person or organisation which may be liable to the insured because of injury or damage to which this insurance may also apply.
d. No insureds will, except at their own cost, voluntarily make a payment, assume any obligation, or incur any expenses, other than for first aid, without our consent.
3. Legal Action Against Us
No person or organisation has a right under this Coverage Part:
a. To join us a party or otherwise bring us into a 'suit' asking for damages from an insured; or
b. To sue us on this Coverage Part unless all of its terms have been fully complied with.
A person or organisation may sue us to recover on an agreed settlement or on a final judgement against on insured obtained after an actual trial; but we will not be liable for damages that are not payable under the terms of this Coverage Part or that are in excess of the applicable limit of insurance. An agreed settlement means a settlement and release of liability signed by us, the insured and the claimant or the claimant's legal representative.
4. Other insurance
If other valid and collectible insurance is available to the insured for a loss we cover under Coverages A or B of this Coverage Part, our obligations are limited as follows:
a. Primary Insurance
This insurance is primary except when b. below applies. If this insurance is primary, our obligations are not affected unless any of the other insurance is also primary. Then, we will share with all that other insurance by the method described in c. below.
b. Excess Insurance
This insurance is excess over any of the other insurance, whether primary, excess, contingent or on any other basis:
(1) That is effective prior to the beginning of the policy period shown in the Declarations of this insurance and applies to 'bodily injury' or 'property damage' on other than a claims-made basis, if:
(a) No Retroactive Date is shown in the Declarations of this insurance; or
(b) The other insurance has a policy period which continues after the Retroactive Date shown in the Declarations of this insurance;
(2) That is Fire, Extended Coverage, Builder's Risk, Installation Risk or similar coverage for 'your work';
(3) That is Fire insurance for premises rented to you; or
(4) If the loss arises out of the maintenance or use of aircraft, 'autos' or watercraft to the extent not subject to Exclusion g. of Coverage A(Section I).
When this insurance is excess, we will have no duty under Coverage A or B to defends any claim or 'suit' that any other insurer has a duty to defend. If no other insurer defends, we will undertake to do so, but we will be entitled to the insured's rights against all those other insurers.
When this insurance is excess over other insurance, we will pay only our share of the amount of the loss, if any, that exceeds the sum of:
(1) The total amount that all such other insurance would pay for the loss in the absence of this insurance; and
(2) The total of all deductible and self-insured amounts under all that other insurance.
We will share the remaining loss, if any, with any other insurance that is not described in this Excess Insurance provision and was not bought specifically to apply in excess of the Limits of Insurance shown in the Declarations of this Coverage Part.
c. Method of Sharing
If all of the other insurance permits contribution by equal shares, we will follow this method also. Under this approach each insurer contributes equal amounts until it has paid its applicable limit of insurance or none of the loss remains, whichever comes first.
If any of the other insurance does not permit contribution by equal shares, we will contribute by limits. Under this method, each insurer's share is based on the ratio of its applicable limit of insurance to the total applicable limits of insurance of all insurers.
5. Premium Audit
a. We will compute all premiums for this Coverage Part in accordance with our rules and rates.
b. Premium shown in this Coverage Part as advance premium is a deposit premium only. At the close of each audit period we will compute the earned premium for that period. Audit premiums are due and payable on notice to the first Named Insured. If the sum of the advance and audit premiums paid for the policy term is greater than the earned premium, we will return the excess to the first Named Insured.
c. The first Named Insured must keep records of the information we need for premium computation, and send us copies at such times as we may request.
6. Representations
By accepting this policy, you agree:
a. The statements in the Declarations are accurate and complete;
b. Those statements are based upon representations you made to us; and
c. We have issued this policy in reliance upon your representations.
7. Separation of Insureds
Except with respect to the Limits of Insurance, and any rights or duties specifically assigned to the first Named Insured, this Insurance applies:
a. As if each Named Insured were the only Named Insured; and
b. Separately to each insured against whom claim is made or 'suit' is brought.
8. Transfer Of Rights Of Recovery Against Others To Us
If the insured has rights to recover all or part of any payment we have made under this Coverage Part, those rights are transferred to us. The insured must do nothing after loss to impair them. At our request, the insured will bring 'suit' or transfer those rights to us and help us enforce them.
9. Cancellation
This policy may be cancelled by you by surrender to us or any of our authorised agents or by mailing to us written notice stating when thereafter the cancellation shall be effective. This policy may be cancelled by us by mailing to you at the address shown in this policy, written notice stating when not less than 30 days thereafter such cancellation shall be effective. The mailing of notice as aforesaid shall be sufficient proof of notice. The time of surrender or the effective date and hour of cancellation stated in the notice shall become the end of the policy period. Delivery of such written notice either by you or by us shall be equivalent to mailing.
If you cancel, earned premium shall be computed in accordance with the customary short rate table and procedure. If we cancel, earned premium shall be computed pro rata. Premium adjustment may be made either at the time cancellation is effected or as soon as practicable after cancellation becomes effective, but payment or tender of unearned premium is not a condition of cancellation.
SECTION V - DEFINITIONS
1. 'Advertising injury' means injury arising out of one or more of the following offenses:
a. Oral or written publication of material that slanders or libels a person or organisation or disparages a person's or organisation’s goods, products or services;
b. Oral or written publication of material that violates a person's right of privacy;
c. Misappropriation of advertising ideas or style of doing business; or
d. Infringement of copyright, title or slogan.
2. 'Auto' means a land motor vehicle, trailer or semitrailer designed for travel on public roads, including any attached machinery or equipment. But 'auto' does not include 'mobile equipment'.
3. 'Bodily injury' means bodily injury, sickness or disease sustained by a person, including death resulting from any of these at any time.
4. 'Coverage territory' means:
a. The United States of America (including its territories and possessions), Puerto Rico and Canada;
b. International waters or airspace, provided the injury or damage does not occur in the course of travel or transportation to or from any place not included in a. above; or
c. All parts of the world if:
(1) The injury or damage arises out of:
(a) Goods or products made or sold by you in the territory described in a. above; or
(b) The activities of a person whose home is in the territory described in a. above, but is away for a short time on your business; and
(2) The insured's responsibility to pay damages is determined in a 'suit' on the merits, in the territory described in a. above or in a settlement we agree to.
5. 'Impaired property' means tangible property, other than 'your product' or 'your work', that cannot be used or is less useful because:
a. It incorporates 'your product' or 'your work' that is known or thought to be defective, deficient, inadequate or dangerous; or
b. You have failed to fulfill the terms of a contract or agreement; if such property can be restored to use by:
a. The repair, replacement, adjustment or removal of 'your product' or 'your work', or
b. Your fulfilling the terms of the contract or agreement.
6. 'Insured contract' means:
a. A lease of premises;
b. A sidetrack agreement;
c. An easement or license agreement in connection with vehicle or pedestrian private railroad crossings at grade;
d. Any other easement agreement, except in connection with construction or demolition operations on or within 50 feet of a railroad;
e. An indemnification of a municipality as required by ordinance, except in connection with work for a municipality;
f.An elevator maintenance agreement; or
g. That part of any other contract or agreement pertaining to your business under which you assume the tort liability of another to pay damages because of 'bodily injury' or 'property damage' to a third person or organisation, if the contract or agreement is made prior to the 'bodily injury' or 'property damage'. Tort liability means a liability that would be imposed by law in the absence of any contract or agreement.
An 'insured contract' does not include that part of any contractor agreement:
a. That indemnifies an architect, engineer or surveyor for injury or damage arising out of:
(1) Preparing, approving or failing to prepare or approve maps, drawings, opinions, reports, surveys, change orders, designs or specifications; or
(2) Giving directions or instructions, or failing to give them, if that is
the primary cause of the injury or damage;
b. Under which the insured, if an architect, engineer or surveyor, assumes liability for injury or damage arising out of the insured's rendering or failing to render professional services, including those listed in a. above and supervisory, inspection or engineering services; or
c. That indemnifies any person or organisation for damage by fire to premises rented or loaned to you .
7. 'Loading or unloading' means the handling of property:
a. After it is moved from the place where it is accepted for movement into or onto an aircraft, watercraft or 'auto';
b. While it is in or on an aircraft, watercraft or 'auto'; or
c. While it is being moved from an aircraft, watercraft or 'auto' to the place where it is finally delivered;
but 'loading or unloading' does not include the movement of property by means of a mechanical device, other than a hand truck, that is not attached to the aircraft, watercraft or 'auto'.
8. 'Mobile equipment' means any of the following types of land vehicles, including any attached machinery or equipment:
a. Bulldozers, farm machinery, forklifts and other vehicles designed for use principally off public roads;
b. Vehicles maintained for use solely on or next to premises you own or rent;
c. Vehicles that travel on crawler treads;
d. Vehicles, whether self-propelled or not, maintained primarily to provide mobility to permanently mounted:
(1) Power cranes, shovels, loaders, diggers or drills; or
(2) Road construction or resurfacing equipment such as graders, scrapers or rollers;
e. Vehicles not described in a., b., c., or d. above that are not self-propelled and are maintained primarily to provide mobility to permanently attached equipment of the following types:
(1) Air compressors, pumps and generators, including spraying, welding, building cleaning, geophysical exploration, lighting and well servicing equipment; or
(2) Cherry pickers and similar devices used to raise or lower workers;
f. Vehicles not described in a., b., c., or d. above maintained primarily for purposes other than the transportation of persons or cargo.
However, self-propelled vehicles with the following types of permanently attached equipment are not 'mobile equipment' but will be considered 'autos':
(1) Equipment designed primarily for:
(a) Snow removal;
(b) Road maintenance, but not construction or resurfacing;
(c) Street cleaning;
(2) Cherry pickers and similar devices mounted on automobile or truck chassis and used to raise or lower workers; and
(3) Air compressors, pumps and generators, including spraying, welding, building cleaning, geophysical exploration, lighting and well servicing equipment.
9. 'Occurrence' means an accident, including continuous or repeated exposure to substantially the same general harmful conditions.
10. 'Personal injury' means injury, other than 'bodily injury', arising out of one or more of the following offenses:
a. False arrest, detention or imprisonment;
b. Malicious prosecution;
c. Wrongful entry into, or eviction of a person from, a room, dwelling or premises that the person occupies;
d. Oral or written publication of material that slanders or libels a person or organisation or disparages a person's or organisation’s goods, products or services; or
e. Oral or written publication of material that violates a person's right of privacy.
11. a. 'Products-completed operations hazard' includes all 'bodily injury' and 'property damage' occurring away from premises you own or rent and arising out of 'your product' or 'your work' except:
(1) Products that are still in your physical possession; or
(2) Work that has not yet been completed or abandoned.
b. 'Your work' will be deemed completed at the earliest of the following times:
(1) When all of the work called for in your contract has been
completed.
(2) When all of the work to be done at the site has been completed if your contract calls for work at more than one site.
(3) When that part of the work done at a job site has been put to its intended use by any person or organisation other than another contractor or subcontractor working on the same project.
Work that may need service, maintenance, correction, repair or replacement, but which is otherwise complete, will be treated as completed.
c. This hazard does not include 'bodily injury' or 'property damage' arising out of:
(1) The transportation of property, unless the injury or damage arises out of a condition in or on a vehicle created by the 'loading or unloading' of it;
(2) The existence of tools, uninstalled equipment or abandoned or unused materials;
(3) Products or operations for which the classification in this Coverage Part or in our manual of rules includes products or completed operations.
12. 'Property damage' means:
a. Physical injury to tangible property, including all resulting loss of use of that property; or
b. Loss of use of tangible property that is not physically injured.
13. 'Suit' means a civil proceeding in which damages because of 'bodily injury' , 'property damage' , 'personal injury' or 'advertising injury' to which this insurance applies are alleged. 'Suit' includes an arbitration proceeding alleging such damages to which you must submit or submit with our consent.
14. 'Your product' means:
a. Any goods or products, other than real property, manufactured, sold, handled, distributed or disposed of by:
(1) You;
(2) others trading under your name; or
(3) A person or organisation whose business or assets you have acquired; and
b. Containers (other than vehicles), materials, parts or equipment furnished in connection with such goods or products.
'Your product' includes warranties or representations made at any time with respect to the fitness, quality, durability or performance of any of the items included in a. and b. above.
'Your product' does not include vending machines or other property rented to or located for the use of others but not sold.
15. 'Your work' means:
a. Work or operations performed by you or on your behalf; and
b. Materials, parts or equipment furnished in connection with such work operations.
'Your work' includes warranties or representations made at any time with respect to the fitness, quality, durability or performance of any of the items included in a. or b. above.
