Vantive Japan Purchasing Terms and Conditions (1st Edition 2024/05/01)

株式会社ヴァンティブ（甲）とお取引先様（乙）の取引は、お取引先様と特段の合意をした場合を除き、当該取引が成立した日に公開されている、この「株式会社ヴァンティブ購買取引条件」（以下、「本取引条件」という。）に従うものとし、本取引条件に基づく両者の合意は法的拘束力を有します。本取引条件中の各用語は、第37条に定める意味を有します。なお、第 2 条の 2､第 10 条の 2､第 14 条の 2､第 16 条の 2 は、下請代金支払遅延等防止法が適用される取引についてのみ適用されます。

Unless otherwise agreed upon with a supplier, Vantive Japan (hereinafter referred to as “Vantive”) and the supplier (hereinafter referred to as “Supplier”) shall be pursuant to this “Purchasing Terms and Conditions of Vantive Japan,” (hereinafter referred to as these “Terms and Conditions”) which are published on the day when such transaction is effected, and agreement on these Terms and Conditions between the parties is legally binding. Defined words in these Terms and Conditions have meanings provided for in Article 37. Article 2-2, Article 10-2, Article 14-2 and Article 16-2 shall be applicable while Supplier falls under subcontractors subject to the Act against Delay in Payment of Subcontract Proceeds, Etc. to Subcontractors (hereinafter referred to as the “Subcontract Act”).

第 1 条（基本的合意）

Article 1 (Basic Agreement)

1. 乙は甲に対し、甲が乙に別途提出する仕様規格書（手順書、指示書等を含む。以下

「仕様規格書」という。）、本取引条件および第 2 条所定の個別契約に基づき本製品を売り渡すことを約し、甲はこれを買い受ける。また、甲は乙に対し、甲が乙に別途提出する仕様規格書（手順書、指示書等を含む。以下「仕様規格書」という。）、本取引条件および第 2 条所定の個別契約に基づき甲のために委託業務を遂行することを委託し、乙はこれを受託する。

1. Supplier undertakes to sell to Vantive, and Vantive shall purchase, the Products in accordance with the specifications (including procedures, instructions, etc.; hereinafter referred to as “Specifications”) to be separately submitted by Vantive to Supplier, these Terms and Conditions, and the Individual Agreements set forth in Article 2. In addition, Vantive shall consign the performance of the Consigned Services to Supplier for Vantive pursuant to the specifications (including procedures and instructions, etc.; hereinafter referred to as “Specifications”) to be separately submitted by Vantive to Supplier, these Terms and Conditions, and the Individual Agreements set forth in Article 2.

2. 乙は、本件取引について甲との窓口となる乙担当者の氏名および役職を第 3 条に定める個別契約の成立後速やかに甲に通知するものとする。乙担当者を変更する場合も同様とする。

2. Supplier shall promptly notify Vantive of the name and title of Supplier’s Personnel in Charge who will contact Vantive for the Transaction after the conclusion of the Individual Agreement as set forth in Article 3. The same shall apply when changing the Supplier’s Personnel in Charge.

第 2 条（個別契約の成立）

Article 2 (Establishment of Individual Agreement)

1. 本製品に関する甲乙間の売買契約または業務委託契約（以下「個別契約」という。）は、契約内容の具体的項目（注文する本製品の品名、数量、価格、引渡場所、引渡時期、委託業務および本件著作物等）を記載した甲所定の注文書 を甲が乙に交付し、乙が甲にこれを受諾する旨の書面による通知をしたとき、または注文書を受領した日の翌日を起算日とする 5 営業日以内に受諾を拒否する旨の書面による通知をしなかった場合には当該期間の満了時に、本取引条件および甲の注文書に従って成立する。

1. A sales or service agreement (hereinafter referred to as “Individual Agreement”) between Vantive and Supplier relating to the Products shall be established in accordance with these Terms and Conditions, if Vantive issues to Supplier its prescribed order form with specific items such as the name of the Products to be ordered, quantity, price, place of delivery, time of delivery, Consigned Services and the Work. and Supplier gives Vantive written notice of accepting such order or if not giving a written notice to reject acceptance within five business days starting from the day following the receipt date of the order, upon expiration of such period.

2. 前項に定める注文書を甲が乙に交付した後、乙が甲に、本取引条件と異なるまたは本取引条件に加えた別の取引条件（以下「乙の取引条件」という。）を通知した場合、個別契約は成立しないものとする。ただし、甲が乙に、明示的に、乙の取引条件を受諾する旨の書面による通知をした場合は、この限りではない。

2. No Individual Agreement shall be established if, after Vantive issues the order form set forth in the preceding paragraph to Supplier, Supplier notifies Vantive of any other terms and conditions (hereinafter referred to as “Supplier’s Terms and Conditions”) that differ from or are in addition to these Terms and Conditions. Provided, however, that this shall not apply in cases where Vantive expressly gives Supplier written notice of acceptance of the Supplier’s Terms and Conditions.

3. 本取引条件と個別契約の内容に矛盾・抵触が生じた場合には、個別契約で定めた内容が優先する。

3. In the event of any conflict between the provisions of these Terms and Conditions and Individual Agreement, the provisions of Individual Agreement shall prevail.

第 2 条の 2（第 2 条（売買契約または業務委託契約の成立）の特例）

Article 2-2 (Exception to Article 3 (Establishment of Sales Agreement or Services Agreement))乙が下請代金支払遅延等防止法（以下「下請法」という。）の適用対象となる下請事業者に該当する場合における本取引条件に基づく取引については、甲が発行する注文書に記載の内容は、下請法第 3 条の定めに従うものとする。

With regard to transactions under these Terms and Conditions while Supplier falls under subcontractors subject to the Subcontract Act, the content described in the order form issued by Vantive shall be in accordance with the provisions of Article 3 of the Subcontract Act.

第 3 条（価格）

Article 3 (Price)

別途特定されない限り、個別契約上に記載される価格は梱包、運搬、保管、引渡場所への配送に要する費用および税金の全てを含むものとする。控除されない消費税は乙の請求書の中で別途明示されるものとする。

Unless otherwise specified, the prices stated on the front of Individual Agreement include all charges for packing, hauling, storage, transportation to point of delivery, and taxes. Sales taxes not subject to exemption shall be stated separately in Supplier’s invoice.

第4条（費用の償還）

Article 4 (Reimbursement of Expenses)

乙が本製品の納入または委託業務の履行に際して負担した費用の返金を甲に求める場合、事前に甲の書面による同意を得なければならない。

Any reimbursement of Supplier’s expenses on delivery of Products or provision of Consigned Services must be agreed upon in advance in writing by Vantive.

第5条（個別契約／注文内容の変更）

Article 5 (Changes of Individual Agreement / Ordered Items)

甲はいつでも個別契約に定められる本製品または委託業務の範囲または数量を変更することができ、その場合には、適宜、価格、履行期および個別契約のその他の規定について適切な調整がなされるものとする。乙は、当該変更の通知を受けてから15日以内に調整を要求しなければならない。甲の事前の書面による承諾がなければ、乙は代用品の提供や数量

や仕様についての変更を行うことはできない。

Vantive may at any time make changes in the scope or quantity of the Products or Consigned Services covered by Individual Agreement, in which event an equitable adjustment will be made to any price, time of performance, and other provisions of Individual Agreement if appropriate. Claims for such an adjustment must be made within fifteen (15) days from the date of receipt by Supplier of notice of the change. Substitutions or changes in quantities or specifications by Supplier shall not be made without Vantive’s prior written approval.

第 6 条（法令の遵守等）

Article 6 (Compliance with Laws and Regulations)

1. 甲および乙は、本取引条件および個別契約の履行にあたっては、下請法、個人情報の保護に関する法律（以下「個人情報保護法」という。）、暴力団員による不当な行為の防止等に関する法律、その他の関連法令諸規則を遵守するものとする。

1. Vantive and Supplier shall comply with the Subcontract Act, the Act on the Protection of Personal Information (hereinafter referred to as the “Personal Information Protection Act”), the Act on Prevention of Unjust Acts by Organized Crime Group Members, and other relevant laws and regulations in the performance of these Terms and Conditions and the Individual Agreements.

2. 本取引条件および個別契約を遂行するにあたり、乙ならびに乙の役員および従業員は、甲の行動基準を遵守しなければならない。乙は、甲の行動基準を受け取り、読みかつ理解し、同意したことをここに確認する。

2. Supplier and its Officers and Employees must comply with Vantive’s Code of Conduct in performing these Terms and Conditions and the Individual Agreements. Supplier acknowledges hereby that it has received, read, understood and agreed to Vantive’s Code of Conduct.

3. 本取引条件および個別契約を遂行するにあたり、乙ならびに乙の役員および従業員は、反社会的勢力の排除に関する規程を遵守しなければならない。

3. In performing these Terms and Conditions and the Individual Agreements, Supplier and its Officers and Employees shall comply with the Rules for the Elimination of Anti-Social Forces.

第 7 条（監査権）

Article 7 (Audit)

甲は、乙による本取引条件および個別契約の遵守状況を確認するため必要と認める場合には、事前に乙に通知し、乙の営業時間内に本件取引に関連する(i)全ての乙の施設、リソースおよび手順、ならびに(ii)全ての帳簿および記録について監査することができる。

If Vantive deems it necessary to confirm Supplier’s compliance with these Terms and Conditions and the Individual Agreements, Vantive may notify Supplier in advance and (i) inspect all facilities, resources and procedures employed by Supplier and (ii) examine all books and records relating to the Transactions during Supplier’s business hours.

第 8 条（乙の立場および第三者への委託等の禁止）

Article 8 (Supplier’s Position and Prohibition of Subcontracting to Third Parties)

1. 甲および乙の関係は、独立した契約当事者である。甲および乙は、提携企業またはジョイントベンチャーとみなされることはなく、他方当事者の代理人や従業員とみなされることもない。本取引条件は、乙に対し甲を代理または代表する権利を付与するものではない。乙は、本取引条件または個別契約の履行に際して社内外で行った一切の行為につき自ら責任を負うものとし、甲は、乙または乙担当者の行為について一切責任を負わないものとする。

1. The relationship of the parties is that of independent contractors. The parties will not be deemed partners or joint ventures, nor will one party be deemed an agent or employee of the other party. These Terms and Conditions do not give Supplier the right to act on the behalf of or represent Vantive. Supplier shall itself be liable for all actions taken internally and externally in the performance of these Terms and Conditions or the Individual Agreements, and Vantive shall have no liability for the actions of Supplier or Supplier’s Personnel in Charge.

2. 明確に甲のためにのみ提供される本製品もしくは委託業務に明確に関連して生じるまたは甲を特定しもしくは特定し得る成果物を、甲の事前の書面による承諾なく紹介し、公表しまたは投稿してはならない。乙は、甲の名称を、いかなる広告、記事、プレスリリース、ソーシャルメディア、販促物またはウェブサイト上の広告に使用してはならず、また、本取引条件および個別契約の規定や乙が甲に対し本製品または委託業務を提供している事実を、甲の事前の書面による承諾（承諾するか否かは甲が単独の裁量により決定する）なくいかなる第三者に対しても開示してはならない。

2. Supplier shall not present nor publish, nor submit for publication, any work specifically resulting in relation to Products or Consigned Services supplied solely for Vantive or that identifies or may identify Vantive without Vantive’s prior written approval. Supplier shall not use Vantive’s name in any advertising, articles, press release, social media, promotional materials or website advertising, or disclose to any third party the terms of these Terms and Conditions or Individual Agreement or the fact that Supplier is supplying Products or Consigned Services to Vantive, without Vantive’s prior written consent (which is in its sole discretion to grant or withhold).

3. 乙は、甲の書面による事前の承諾を得た場合を除き、本製品の製造あるいは甲への販売行為、または委託業務の全部または一部を第三者に委託してはならない。ただし、個別契約締結前に甲に書面で届出済みの下請業者、運送業者等についてはこの限りでない。

3. Supplier shall not, except with the prior written consent of Vantive, subcontract to third party all or any part of the manufacture or marketing to Vantive of the Products, or the Consigned Services. Provided, however, that this shall not apply to subcontractors, carriers, etc. who have been notified to Vantive in writing prior to the execution of an Individual Agreement.

第 9 条（定期行為）

Article 9 (Time is of the Essence)

1. 一定の日時に本製品が納入されないと購入の目的を達せられない旨甲が明示して個別契約を締結したにもかかわらず、当該日時までに本製品が納入されない場合には、甲は対象となる個別契約を解約し、乙に対して、被った損害一切の賠償を求めることができる。この場合、甲は、以後の取引への影響が大きいと判断したときは、乙に対して何ら責任を負うことなく、その時点で未履行の他の個別契約の全部または一部を併せて解約することができる。

1. If the Products are not delivered by a certain date and time, despite the conclusion of an Individual Agreement where Vantive expressly states that the purpose of purchase cannot be achieved unless the Products are delivered at a certain date and time, Vantive may terminate the subject Individual Agreement and seek compensation from Supplier for all damages incurred. In such event, Vantive may terminate all or any part of the other Individual Agreements not yet performed at that time without any liability to Supplier if it determines that there will be a substantial impact on future transactions.

2. 一定の日時までに業務が完了しないと委託業務の目的を達せられない旨甲が明示して個別契約を締結したにもかかわらず、当該日時までに委託業務が完了しない場合には、甲は対象となる個別契約を解約し、乙に対して、被った損害一切の賠償を求めることができる。この場合、甲は、以後の取引への影響が大きいと判断したときは、乙に対して何ら責任を負うことなく、その時点で未履行の他の個別契約の全部または一部を併せて解約することができる。

2. If the Consigned Services are not completed by a certain date and time despite the conclusion of an Individual Agreement where Vantive expressly states that the purpose of the Consigned Services cannot be achieved unless the work is completed by a certain date and time, Vantive may terminate the subject Individual Agreement and seek compensation from Supplier for all damages incurred. In such event, Vantive may cancel all or any part of the

other Individual Agreements not yet performed at that time without any liability to Supplier if it determines that there will be a substantial impact on future transactions.

第 10 条（受入検査）

Article 10 (Acceptance Inspection)

1. 乙は、本取引条件および個別契約に従い、納品書を付して、本製品を甲に納入する。甲は、個別契約で定める引渡場所において、本製品の概観検査、数量の確認および可能な場合には仕様規格との合致性の確認を行う。納入日の翌日から起算し 10 日以内（以下「検査期間」という。）に甲から乙に対して不合格品または数量の過不足についての通知が発送されない場合には、甲は、検査期間が満了したときに本製品を異議なく受領したものとみなされる。

1. Supplier shall deliver the Products to Vantive with delivery slips in accordance with these Terms and Conditions and the Individual Agreements. Vantive shall conduct a visual inspection of the Products, check the quantities, and, where feasible, check the conformity with the Specifications at the delivery location stipulated in the Individual Agreement. If Vantive does not send the notice to Supplier of any nonconforming products or excess or shortage in quantity within ten days from the day following the Delivery Date (hereinafter referred to as the “Inspection Period”), Vantive shall be deemed to have received the Products without objection upon expiration of the Inspection Period.

2. 乙は、委託業務を完了した場合には、本取引条件および個別契約に従い、本件著作物を甲に提出し、甲に委託業務が完了した旨を文書（以下「業務報告書」という。）で報告すると共に、委託業務の結果につき甲の検査を受けなければならない。甲は、業務報告書受領後 10 日以内に委託業務の結果および本件著作物を検査し、必要に応じて乙に対して口頭または資料による説明を求めることができる。業務報告書提出日の翌日から起算し 10 日以内（以下「検査期間」という。）に甲から乙に対して異議の通知が発送されない場合には、検査期間が満了したときに委託業務が完了したものとみなす。

2. Upon completion of the Consigned Services, Supplier shall submit the Work to Vantive in accordance with these Terms and Conditions and the Individual Agreements and report to Vantive in writing to the effect that the Consigned Services have been completed (hereinafter referred to as the “Services Report”) and shall have the deliverables of the Consigned Services inspected by Vantive. Vantive may inspect the result of the Consigned Services and the Work no later than ten days after receipt of the Services Report and require Supplier to explain orally or with materials, as appropriate. If an objection notice is not sent by Vantive to Supplier within 10 days from the day following the submission date of the Services Report (hereinafter

referred to as the “Inspection Period”), the Consigned Services shall be deemed to have been completed upon expiration of the Inspection Period.

3. 検査期間内に甲から乙に対して、本製品に関する不合格品または数量の過不足の通知または委託業務の結果および本件著作物に関する異議の通知が発信された場合には、乙は自己の費用で、通知受領日の翌日から起算し 30 日以内に、甲の選択に従い、不合格品を良品と交換し、瑕疵を補修し、不足分を納入し、過納品を引き取り、本件著作物を再提出し、業務をやり直し、追加の役務を提供し、受領済みの代金を返還し、または代金を減額する等の措置を講じなければならない。上記期間内に乙が必要な措置をとらない場合には、甲は乙の費用で不合格品を乙に返送することができる。また、甲は乙に対し別途被った損害の賠償を求めることができる。

3. Within the Inspection Period, if notice of any nonconformity or shortage of the Products or any objection notice relating to any deliverables of the Consigned Services and the Work is sent to Supplier by Vantive within 30 days from the day following the receipt date of the notice, Supplier shall, at its own expense, replace the nonconforming products with conforming products, repair the defects, deliver the shortage, take the over-shipment, resubmit the Work, perform the work again, provide additional services, refund the purchase money received or reduce the purchase money at the option of Vantive. If Supplier does not take the required action within the time specified above, Vantive may return the non- conforming products to Supplier at Supplier’s expense. In addition, Vantive may seek compensation from Supplier for damages separately incurred.

4. 本製品は、甲から乙に対して受入検査合格通知を発した日、または、甲から乙に対して何らの通知のないまま検査期間が満了した日、のいずれか先に到来する日（以下「引渡日」という。）に、乙から甲に引き渡されたものとみなす。

4. The Products shall be deemed to have been delivered by Supplier to Vantive on the date on which Vantive sends the acceptance inspection pass notice to Supplier or the expiration date of the Inspection Period without any notice to Supplier from Vantive (hereinafter referred to as the “Delivery Date”) whichever comes first.

5. 委託業務は、甲から乙に対して受入検査合格通知を発した日、または、甲から乙に対して何らの通知のないまま検査期間が満了した日、のいずれか先に到来する日（以下「委託業務の完了日」という。）に、完了したものとみなす。

5. The Consigned Services shall be deemed completed on the date on which Vantive sends the acceptance inspection pass notice to Supplier or the date on which the Inspection Period expires without any notice from Vantive to Supplier (hereinafter referred to as the “Date of Completion of the Consigned Services”) whichever comes first.

第 10 条の 2（第 10 条（受入検査）の特例）

Article 10-2 (Exception to Article 10 (Acceptance Inspection))

1. 乙が下請法の適用対象となる下請事業者に該当する間における本取引条件下における取引については、第 10 条の規定は適用されず、代わりに、次項以下の規定が適用される。

1. The provisions of Article 10 shall not apply to transactions under these Terms and Conditions while Supplier is a subcontractor to whom the Subcontract Act applies, and the provisions of the following paragraph shall apply instead.

2. 乙は、本取引条件および個別契約に従い、納品書を付して、本製品を甲に納入する。甲は、個別契約で定める引渡場所において、本製品の概観検査、数量の確認および可能な場合には仕様規格との合致性の確認を行う。甲は、当該引渡しの際に、次の各号の一に定める事由があるときは、本製品の受領を拒否することができる。

2. Supplier shall deliver the Products to Vantive with delivery slips in accordance with these Terms and Conditions and the Individual Agreements. Vantive shall conduct a visual inspection of the Products, check the quantities, and, where feasible, check the conformity with the Specifications at the delivery location stipulated in the Individual Agreement. At the time of such delivery, Vantive may refuse to receive the Products upon the occurrence of any one of the following events:

(1) 注文と異なるもの、または、給付に瑕疵等があるものが納入された場合

If delivery of anything that is different from the order or there is a defect or the like in the delivery;

(2) 指定した納期までに納入されなかったため、そのものが不要となった場合

（ただし、無理な納期を指定した場合を除く。）

If the product is no longer required because it was not delivered by the designated delivery date (excluding cases where an unreasonable delivery date has been designated);

(3) 約束した納期前に納入された場合

If delivery is made before the promised delivery date; or

(4) 乙が、甲からの注文書に基づかずに見込みで製造し納入した場合

If Supplier has manufactured and delivered with expectations not based on the order form from Vantive.

3. 甲が、受領後に、次の各号の一に定める事由があるときは、次の各号に定める期間内に、不良品である本製品を乙に返品することができる。

3. In the event of any one of the following events after receipt, Vantive may return the nonconforming products to Supplier within the period limit stipulated in the following items:

(1) 通常の検査で直ちに発見できる瑕疵があった場合（注文と異なる物品が納入された場合および汚損・毀損等された物品が納入された場合を含む。）・・・発見後速やかに、かつ、遅くとも当該不良品に係る代金の支払時まで。

If a defect that can be immediately found during normal inspection (including the case where a product different from the one ordered is delivered or a defaced or damaged good is delivered): Immediately after discovery, and at the latest until the time of payment of purchase money for such nonconforming products.

(2) 通常の検査で発見できない乙の責めによる瑕疵があった場合・・・本製品が受領された日（以下「引渡日」という。）から 6 ヶ月以内で、かつ、瑕疵が発見された日から速やかに。

If there is a defect due to Supplier’s fault that cannot be found by ordinary inspection: Not later than six months from the receipt date of the Products (hereinafter referred to as the “Delivery Date”) and promptly from the discovery date of the defect.

4. 前項第 2 号に定める 6 ヶ月の期間は、甲が、本製品の一般消費者たる使用者に対して 6 ヶ月を超えて品質保証期間を定めている場合には、その保証期間に応じて最長 1 年以内とする。

4. If a quality warranty period which is longer than six months is provided by Vantive for the user who is the general consumer of the Products, the six-month period set forth in Item 2 of the preceding paragraph shall be no more than one year corresponding to such warranty period.

5. 第 2 項または第 3 項の規定に基づき本製品が受領拒否され、もしくは返品されたとき、または、引渡日以後速やかに甲から過納の通知を受けたときは、乙は自己の費用で、返品の通知を受領した日の翌日から起算し 30 日以内に、甲の選択に従い、不合格品を良品と交換し、不足分を納入し、過納品を引き取り、または受領済みの代金を返還する措置を講じなければならない。上記期間内に乙が必要な措置をとらない場合には、甲は乙の費用で不合格品を乙に返送することができる。

5. If the Products are refused or returned in accordance with the provisions of Paragraphs 2 or 3, or if Vantive notifies of overpayment promptly after the Delivery Date, Supplier shall, at its own expense, within 30 days from the day following the receipt date of the notice of return, replace the nonconforming products with conforming products, deliver the shortfall, take back the over-shipment, or return the purchase money already received, at the option of Vantive. If Supplier does not take the required action within the period specified above, Vantive may return the nonconforming products to Supplier at Supplier’s expense.

6. 乙は、委託業務を完了した場合には、本取引条件および個別契約に従い、本件著作物を甲に提出し、甲に委託業務が完了した旨を文書（以下「業務報告書」という。）で報告すると共に、委託業務の結果につき甲の検査を受けなければならない。甲は、

業務報告書受領後 10 日以内に委託業務の結果および本件著作物を検査し、必要に応じて乙に対して口頭または資料による説明を求めることができる。業務報告書提出日の翌日から起算し 10 日以内（以下「検査期間」という。）に甲から乙に対して異議の通知が発送されない場合には、検査期間が満了したときに委託業務が完了したものとみなす。

6. Upon completion of the Consigned Services, Supplier shall submit the Work to Vantive in accordance with these Terms and Conditions and the Individual Agreements and report to Vantive in writing to the effect that the Consigned Services have been completed (hereinafter referred to as the “Services Report”) and shall have the deliverables of the Consigned Services inspected by Vantive. Vantive may inspect the deliverables of the Consigned Services and the Work no later than ten days after receipt of the Services Report and require Supplier to explain orally or with material, as appropriate. If an objection notice is not sent by Vantive to Supplier within 10 days from the day following the submission date of the Services Report (hereinafter referred to as the “Inspection Period”), the Consigned Services shall be deemed to have been completed upon expiration of the Inspection Period.

7. 検査期間内に甲から乙に対して異議の通知が発信された場合には、乙は自己の費用で、通知受領日の翌日から起算し 30 日以内に、甲の選択に従い、本件著作物を再提出し、瑕疵を補修し、業務をやり直し、追加の役務を提供し、受領済みの代金を返還し、または代金を減額する等の措置を講じなければならない。上記期間内に乙が必要な措置をとらない場合には、甲は乙に対し別途被った損害の賠償を求めることができる。

7. If an objection notice is sent by Vantive to Supplier within the Inspection Period, Supplier shall, at its own expense, within 30 days counting from the day following the receipt date of the notice, at the option of Vantive, resubmit the Work, repair the defect, perform the work again, provide additional services, return the purchase money already received, or reduce the purchase money, etc. If Supplier does not take the required action within the above time, Vantive may seek compensation from Supplier for any damages separately suffered.

8. 委託業務は、甲から乙に対して受入検査合格通知を発した日、または、甲から乙に対して何らの通知のないまま検査期間が満了した日、のいずれか先に到来する日（以下「委託業務の完了日」という。）に、完了したものとみなす。

8. The Consigned Services shall be deemed completed on the date on which Vantive sends the acceptance inspection pass notice to Supplier or the date on which the Inspection Period expires without any notice from Vantive to Supplier (hereinafter referred to as the “Date of Completion of the Consigned Services”) whichever comes first.

第 11 条（所有権および危険負担の移転時期）

Article 11 (Timing of Transfer of Title and Risk of Loss)

1. 本製品の所有権および危険負担は、引渡日に乙から甲に移転する。

1. Title to and risk of loss of the Products will pass from Supplier to Vantive on the Delivery Date.

2. 本件著作物の所有権および危険負担は、委託業務の完了日に乙から甲に移転する。

2. Title to and risk of loss of the Work will pass from Supplier to Vantive on the Date of Completion of the Consigned Services.

第 12 条（期限に遅れた引渡し）

Article 12 (Shipment or Delivery Schedules)

本製品の配送および引渡しは、個別契約に定めるスケジュールに従い実施される。乙による配送および引渡しがスケジュールから遅れる場合またはその可能性がある場合、甲は、法または本取引条件もしくは個別契約で認められる権利または救済方法に加え、乙に対し、スケジュールに合うまたは遅れを取り戻す迅速な経路で本製品を配送するよう要求でき、これに要する配送費の差額は乙が負担するものとする。乙は、乙の遅配により甲が実際に被った商業的に合理的な、確認された費用（甲が顧客に支払うべき費用、手数料および違約金を含む。）を甲に返金する。乙が 30 日間に 3 回を上回る遅配を行う場合、甲は乙に、遅配の解消方法について書面による是正措置計画の提出を求めることができる。

Shipment or delivery of Products shall be in accordance with the schedule specified in Individual Agreement order. If Supplier does not, or it appears that Supplier will not, meet such schedule, Vantive may, in addition to any other rights or remedies provided by law, these Terms and Conditions or Individual Agreement, require that Supplier ship Products via expedited routing to meet the schedule or to recover the time lost and Supplier shall pay the difference in shipping costs. Supplier shall reimburse Vantive for all commercially reasonable, documented and actually incurred costs and expenses incurred by Vantive as a result of late delivery of goods, including the costs, fees and penalties payable by Vantive to a customer. At any such time that Supplier exceeds three (3) late deliveries in a thirty (30) day period, Vantive has the right to request a written action plan from the Supplier on how late deliveries are being resolved.

第 13 条（保証）

Article 13 (Warranties)

乙は、本取引条件に関して以下の各号に定める事項を保証する。

Supplier warrants the matters set forth in the following items with respect to these Terms and Conditions:

(1) 乙は、個別契約を締結する権利および権限を有すること、本取引条件に従い債務を履行する十分な能力を有すること、また、個別契約の締結および履行は、乙が既に締結している第三者との契約に抵触しないこと。

Supplier has the right and power to enter into the Individual Agreements and has full capacity to perform obligations in accordance with these Terms and Conditions, and the conclusion and performance of the Individual Agreements do not conflict with any agreements with third parties previously entered into by Supplier.

(2) 本製品、委託業務および本件著作物が、取引に適合し、個別契約、仕様規格書、設計図その他個別契約に言及される事項、および合格サンプル品に合致すること、原材料や施工に欠陥がないこと、設計に欠陥がないこと（甲が提供した設計である場合を除く。）、意図した目的に適合しかつ当該目的を踏まえた安全性が確保されていること、通常の用法に従う限り、個別契約で定める期間中品質を維持すること、ならびに乙が本製品について完全な所有権を有し、本製品、委託業務および本件著作物が担保や負担のない状態で甲に提供されること。

The Products, the Consigned Services and the Work are merchantable; shall conform to this order, to specifications, drawings ,and other descriptions referenced in Individual Agreement, and to any accepted samples; shall be free from defects in materials and workmanship; shall be free from defects in design unless the design was supplied by Vantive; shall be fit and safe for the intended purposes; and have quality for the period specified in the Individual Agreement to the extent in keeping with normal usage, and Seller has clear title to Products and that the Products, the Consigned Services and the Work shall be provided to Vantive free of liens or encumbrances.

(3) 本製品、委託業務の成果および本件著作物が、引渡時の業界基準において同種製品に一般的に期待される品質や安全性を具備すること。

The Products, the deliverables of the Consigned Services, and the Work meet the quality and safety generally expected of the same type of product in the industry standards at the time of delivery.

(4) 委託業務遂行の過程において、および本製品ならびに本件著作物が、第三者の特許権、商標権、著作権を含む知的財産権、その他第三者の財産的権利を一切侵害しないこと。

In the course of the performance of the Consigned Services, the Products and the Work do not infringe any intellectual property rights including patent rights, trademarks, and copyrights of any third party, or any other proprietary rights of any third party.

(5) xおよび乙担当者は、委託業務を効率的かつ効果的に、専門的な方法で遂行し、本件著作物を制作するために必要な専門知識、経験、能力および法的な資格を有すること。

Supplier and Supplier’s Personnel in Charge shall have the expertise, experience, competence and legal capacities required to efficiently and effectively perform the Consigned Services and to produce the Work in professional manner.

(6) 本取引条件、個別契約、甲の指示および別紙 1 ないし別紙 3 を含む甲のガイドライン（将来的な改正も含む。）、関連法令ならびに監督官庁および関連業界の指導･慣習を遵守し、誠実に委託業務を遂行すること。

Supplier complies with these Terms and Conditions, the Individual Agreements, Vantive’s instructions, Vantive’s guidelines including Exhibit 1 to 3 (and any future modifications thereto), relevant laws and regulations, and the instructions and practices of the competent authorities and related industries and performs faithfully the Consigned Services.

(7) 乙の役員、取締役、定型企業、所有者、支配者、従業員または代理人が、本取引条件によって期待される乙の行為または乙の行動決定に影響を与える地位にある政府機関の従業員ではないこと。

No officer, director, partner, owner, principal, employee or agent of Supplier is an employee of a governmental agency or instrumentality is in a position to influence the actions or decisions regarding the activities of Supplier contemplated by this order.

第 14 条（契約不適合責任）

Article 14 (Non-Conformity Liability)

1. 乙は、受入検査で容易に発見できない本取引条件、個別契約および仕様規格書に定める条件への本製品の不適合（以下「契約不適合」という。）については、引渡日の翌日から起算し 1 年間に限り担保責任を負うものとし、甲は乙に対し、自己の選択により、(i)合理的に可能な限り速やかな良品もしくは代替品との交換若しくは本製品の修補または(ii)甲が過去に(i)を要求していたか否かにかかわらず、本製品の受入れを拒絶し、本製品を乙の費用で返品するか、当該製品に関する個別契約が乙の契約違反により解除されたものとして、支払済みの代金の返還を求めることができる。また、甲は乙に対し、別途契約不適合の本製品を受領したことにより被った損害（乙への返品に要した費用、甲が顧客に支払うべき費用、手数料および違約金、甲が代替品を購入したことにより発生した費用、代替品のために増加したトレーニング費用、代替品に適するよう施設を改修・再設計するために要した費用、速達に要した費用、リコールおよび改修に要した費用、本製品の再テストに要した費用、顧客や

規制当局への通知に要した費用および廃棄費用を含む。事項において同じ。）の賠償を求めることができる。

1. Supplier shall be liable for any non-conformity to term and conditions provided for in these Terms and Conditions, Individual Agreement and Specifications in Products (“Non- conformity”) that cannot be readily detected by the acceptance inspection for a period of one year from the day following the Delivery Date, and Vantive may, at its option, require the Supplier (i) to replace them with good or substitute products or to repair the Products as quickly as reasonably possible or (ii) whether or not the Vantive has previously required the Supplier to follow (i), to reject and return such Products at Supplier’s expense or to treat Individua Agreement of such Product as terminated by Supplier’s breach and require refund of the purchase money already paid. In addition, Vantive may seek compensation from Supplier for damages incurred by Vantive as a result receiving Products with Non- conformity( including the cost of returning the Products to the Supplier, the costs, fees and penalties payable by Vantive to a customer, costs and expenses related to or arising from Vantive’s purchase of substitute products, incremental training costs for substitute products and costs to rework and redesign facilities to accommodate substitute products or services, expedited shipping costs, recall and field correction costs, product re-testing costs and customer and regulatory authority notification costs and costs of destruction, the same applies in the next paragraph.

2. 個々の委託業務の完了日から起算し 1 年以内に業務内容または本件著作物に契約不 適合が発見された場合には、甲は、乙に対し自己の選択により、(i)乙の負担におい て合理的に可能な限り速やかな業務のやり直しもしくは追加の役務提供を行うこと、または(ii)甲が過去に(i)を要求していたか否かにかかわらず、対価の返還を求めるこ とができる。ただし、本条の規定は、甲が別途乙に対して、甲が被った損害の賠償を 求めることを妨げない。

2. If any material Non-conformity is discovered in the content of the work or the Work within one year from the individual Date of Completion of the Consigned Services, Vantive may, at the its sole option, require the Supplier (i) to perform the work again or provide additional services at its own cost as quickly as reasonably possible or (ii) whether or not the Vantive has previously required to follow (i), to refund the purchase money. Provided, however, that the provisions of this Article shall not preclude Vantive from separately seeking damages incurred by Vantive from Supplier.

第 14 条の 2（第 14 条（契約不適合責任）の特例）

Article 14-2 (Exception to Article 10 (Non-Conformity Liability))

1. 乙が下請法の適用対象となる下請事業者に該当する間における本取引条件下における取引については、第 14 条の規定にかかわらず、甲が乙に対し本製品の代替品の納入もしくは修補または委託業務のやり直しもしくは追加の役務提供を請求できる期間は、本製品の受領または委託業務の完了後 1 年以内とする。但し、甲が乙から供給された本製品または業務内容もしくは本件著作物を使用した製品を第三者に販売した場合において、当該第三者と甲との間で定められた当該製品に関する契約不適合責任の保証期間が 1 年を超える場合には、当該保証期間内であれば、甲は乙に対し本製品の代替品の納入もしくは修補または委託業務のやり直しもしくは追加の役務提供を請求できるものとする。

1. As for the Transactions under these Terms and Conditions while Supplier is a subcontractor to whom the Subcontract Act applies, notwithstanding the Article 14, the period during which Vantive may require Supplier to provide substitute products, to repair the Products, perform the work again or provide additional services shall be one (1) year after the Delivery Date or Date of Completion of the Consigned Services. Provided, however that if Vantive sells goods where Products, Consigned Services or Work provided by Supplier is used to a third party, and the period during which Vantive shall be liable for non-conformity of such goods provided for in an agreement with such third party is more than one (1) year, Vantive may require Supplier to provide substitute products, to repair the Products, perform the work again or provide additional services within such period

2． 乙が下請法の適用対象となる下請事業者に該当する間における本取引条件下における取引については、第 14 条の規定にかかわらず、甲が本製品を返品できる期間は本製品の受領後 6 ヶ月以内とする。ただし、甲が乙から供給された本製品を使用した製品を一般消費者に販売した場合において、当該一般消費者と甲との間で定められた当該製品に関する契約不適合責任の保証期間が 1 年を超える場合、甲が本製品を返品できる期間は本製品の受領後 1 年以内とする。

2. As for the Transactions under these Terms and Conditions while Supplier is a subcontractor to whom the Subcontract Act applies, notwithstanding the Article 14, the period during which Vantive may return Products to shall be six (6) months after the Delivery Date. Provided, however that if Vantive sells goods where Products provided by Supplier is used to a third party, and the period during which Vantive shall be liable for non-conformity of such goods provided for in an agreement with such third party is more than one (1) year, Vantive may return Products to Supplier within one year after the Delivery Date.

第15条（リコール）

Article 15 (Recall)

本製品の欠陥、仕様規格書への不適合、適用法令の不遵守、その他乙の支配の及ぶ理由によ

り本製品のリコールが必要となった場合、乙は当該リコールに要する全ての費用（顧客への通知費用、顧客への返金、返品に要する費用、逸失利益および第三者に対する義務の履行に要するその他の費用を含むがこれに限られない。）を負担する。

In the event that a recall of the Products is necessitated by a defect, a failure to conform to the Specifications, applicable laws, or any other reason within the Supplier’s control, Supplier shall bear all costs and expenses of such recall, including without limitation, costs of notifying customers, customer refunds, costs of returning goods, lost profits, and other expenses incurred to meet obligations to third parties.

第 16 条（対価の支払い）

Article 16 (Payment of Price)

1. 乙は、本製品または委託業務の対価を、本製品の引渡日または委託業務の完了日を基準に毎月 20 日締めで甲に請求するものとし、甲は、請求された対価を支払基準日が属する月の 5 ヶ月後にあたる月の 2 日（当日が銀行の休業日の場合には翌銀行営業日）までに乙の指定する口座に振り込んで支払う。銀行手数料は乙の負担とする。ただし、xが誠実に異議を唱えている支払金額については、支払いを保留することができる。請求額の支払いは本製品の受入れを意味するものではなく、また、請求額は誤り、不足および不備に応じて調整されるものとする。請求に関し争いがあることをもって乙の本製品の引渡拒否や本委託業務の履行拒否が許容されることはない。甲が企業全体の取扱いとして支払期間を変更する場合、甲は乙に通知することで、かかる変更を行う権利を有する。

1. Supplier shall invoice Vantive for the price of the Products or the Consigned Services on the 20th day of each month with reference to the Delivery Date of the Products or the Date of Completion of Consigned Services, and Vantive shall pay the invoiced price by remittance to the account designated by Supplier no later than the second day of the month five months after the month to which the payment record date belongs (or, if the day falls on a bank holiday, the next bank business day). The bank charges shall be borne by Supplier. Vantive may withhold payment of any amounts that it disputes in good faith. Payment of an invoice shall not constitute acceptance of any Products, and the invoice will be adjusted for any errors, shortages and defects. Any billing dispute will not be cause for Supplier’s non-delivery of Products or non-performance of Consigned Services. Vantive shall have the right to update its payment terms upon notice to Supplier in the event Vantive makes such change at a corporate level.

2. 支払基準日は、甲が有効かつ正確な乙の請求書を受領した場合には、（1）請求書の日付が受領日前 7 日以内であれば、当該請求書の日付とし、（2）請求書の日付が受領日前 7 日以内でなければ、受領日とする。

2. If Vantive receives an effective and accurate Supplier invoice, the record date for payment shall be: (1) the invoice date, if the invoice date is within seven days prior to the receipt date; and (2) the receipt date, if the invoice date is not within seven days prior to receipt date.

3. 甲が支払いを遅延した場合には、甲は乙に対し、支払日の翌日から完済の日まで、年利 3％の割合（民法第 404 条 3 項に基づき法定利率が変更された場合には当該利率）による遅延損害金を支払わなければならない。

3. If Vantive delays payment, Vantive shall pay to Supplier late charges at the rate of 3% (if statutory interest rate is amended according to Article 404-3 of Civil Code, such amended statutory interest rate) per annum from the day following the payment date until the date of full payment.

4. 乙は、対価の請求が適正に行われていることを証するため、個々の本件取引毎に、取引があった年度の決算日の翌日から 7 年間が満了するまでは、関連業界で一般的に認められた会計原則および慣行に従い、本件取引に関する正確で完全な記録（帳簿を含む。）を保管しなければならない。甲は、乙に対して事前の通知を与えることにより、乙の通常業務時間内にこれらの記録を閲覧・監査し、必要部分の写しをとることができる。

4. Supplier shall keep accurate and complete records (including books) concerning the Transactions, in accordance with accounting principles and practices generally accepted in the relevant industries until the expiration of a seven year period from the day following the closing date of the year in which the Transaction was made for each individual Transaction to prove that the invoice of the price has been properly made. Vantive may, by giving prior notice to Supplier, inspect and audit these records during normal business hours of Supplier and take copies of the required parts.

第 16 条の 2（第 16 条（対価の支払い）の特例）

Article 16-2 (Exception to Article 11 (Payment of Price))

1. 乙が下請法の適用対象となる下請事業者に該当する間における本取引条件下における取引については、第 16 条の規定は適用されず、代わりに、次項以下の規定が適用される。

1. The provisions of Article 16 shall not apply to transactions under these Terms and Conditions while Supplier is a subcontractor to whom the Subcontract Act applies, and the following provisions shall apply instead.

2. 乙は、本製品の対価を、本製品の引渡日を基準に毎月 20 日締めで甲に請求するものとし、甲は、請求された対価を翌月 20 日（当日が銀行の休業日の場合には休業期間の開始日の前日）に、乙の指定する口座に振り込んで支払う。銀行手数料は乙の負担とする。

2. Supplier shall invoice Vantive for the price for the Products with the closing date of the 20th day of each month in reference to the Delivery Date of the Products, and Vantive shall pay the invoiced price by remitting it to the account designated by Supplier on the 20th day of the following month (or, if the day falls on a bank holiday, on the day before the commencement date of the holiday). The bank charges shall be borne by Supplier.

3. 甲が支払いを遅延した場合には、甲は乙に対し、注文書に記載の支払期日の翌日から完済の日まで、年利 14.6％の割合による遅延損害金を支払わなければならない。

3. If Vantive delays payment, Vantive shall pay to Supplier late charges at the rate of 14.6% per annum from the day following the due date specified in the order until the date of full payment.

4. 甲は、以下の各号の一に該当するときは、注文書に記載の代金を減額することができる。

4. In the event of any of the following, Vantive may reduce the purchase money stated in the order.

(1) 乙の責任に帰すべき事由（瑕疵の存在、納期遅れ等）があるとして、受領拒否、返品した場合に、その給付に係る代金を減じるとき。

In cases where Xxxxxxx refuses to receive or returns goods for reasons which are the fault of Supplier (defects, delay in delivery, etc.), reduce by the purchase money for such benefits.

(2) 乙の責任に帰すべき事由があるとして、受領拒否、返品できる場合において、甲が自ら手直しをした場合に、手直しに要した費用を減じるとき。

In cases where Xxxxxxx refuses to receive or returns goods for reasons which are the fault of Supplier, and Vantive has carried out a rework by itself, reduce by the expenses required for the rework.

(3) 瑕疵等の存在または納期遅れによる商品価値の低下が明らかな場合に、客観的に相当と認められる額を減じるとき。

In cases where it is evident that the value of the goods has declined due to the existence of defects, etc. or delay in delivery, reduce by the amount deemed objectively reasonable.

5. 乙は、対価の請求が適正に行われていることを証するため、個々の本件取引毎に、取引があった年度の決算日の翌日から 7 年間が満了するまでは、関連業界で一般的に認められた会計原則および慣行に従い、本件取引に関する正確で完全な記録（帳簿を含む。）を保管しなければならない。甲は、乙に対して事前の通知を与えることにより、乙の通常業務時間内にこれらの記録を閲覧・監査し、必要部分の写しをとることができる。

5. Supplier shall keep accurate and complete records (including books) concerning the Transactions, in accordance with accounting principles and practices generally accepted in the relevant industries until the expiration of a seven year period from the day following the closing date of the year in which the Transaction was made for each individual Transaction to prove that the invoice of the price has been properly made. Vantive may, by giving prior notice to Supplier, inspect and audit these records during normal business hours of Supplier and take copies of the required parts.

6. 本件取引に関して甲が乙に原材料等を有償支給する場合、当該原材料等の代金は、当該原材料等が用いられた本製品の対価支払時に相殺する。なお、有償支給する原材料等の品名、数量、金額、引渡期日は、有償支給原材料明細書によるものとする。

6. If Vantive supplies raw materials to Supplier for value in connection with the Transactions, the purchase money such raw materials shall be set off at the time of payment of the price for the Products in which such raw materials are to be used. In addition, the name, quantity, money amount, and delivery date of the raw materials to be supplied for value shall be in accordance with the detailed statement of raw materials to be supplied for value.

第 17 条（補償）

Article 17 (Indemnification)

乙は、以下に関連して発生または起因する請求、責任、損害、損失、費用（弁護士費用を含む。）について、甲、甲の地位を承継した者、甲から権利義務を譲り受けた者、甲の従業員、顧客、本製品または委託業務の利用者を防御し、補償し、無害に保つものとする。 Supplier shall defend, indemnify and hold Vantive, its successors, assigns, employees, customers, and users of the Products or Consigned Services harmless with respect to all claims, liability, damage, loss, and expenses, including attorney’s fees, incurred relating to or caused by:

(1) 個別契約に基づく本製品または委託業務の購入、販売、もしくは使用に起因する、特許権、著作権、もしくは商標権侵害もしくは他の財産権侵害またはその疑い

actual or alleged patent, copyright, or trademark infringement or violation of other proprietary right, arising out of the purchase, sale, or use of the Products or Consigned Services covered by Individual Agreement;

(2) 委託業務または本製品の設計、製造もしくは配送における不備またはその疑い

actual or alleged defect in Consigned Services or in the design, manufacture, or shipment of the Products;

(3) 保証違反またはその疑い

actual or alleged breach of warranty;

(4) 乙による本製品の引渡しまたは委託業務の履行が適時に行われなかったこと

failure of Supplier to deliver the Products or Consigned Services on a timely basis; or

(5) 本製品または委託業務の適用法令の不遵守

failure of the Products or Consigned Services to meet the requirements of any applicable law.

本規定に基づく請求が行われた場合、かかる場合に取りうる全ての他の権利および救済方法に加えて、甲は自己の裁量により個別契約を解除し、または当該請求が解決されるまで、残りの本製品または委託業務の受入れを保留することができる。甲が本製品の使用を禁止された場合、乙は、甲の裁量により、甲に当該本製品の使用を継続するための権利を付与する、実質的に同等の製品を本製品に代えて提供する、甲が使用できるよう本製品に変更を加える、または個別契約に定められる金額で本製品を買い戻すものとする。本条は、甲の設計、仕様規格書または過失に起因する損害について甲を補償しなければならないと解釈されるものではない。

In the event of a claim under this paragraph, and in addition to any and all other rights and remedies available to it, Vantive may at its option terminate this order or defer acceptance of the balance of the Products or Consigned Services ordered until the claim is resolved. If Vantive is enjoined from use of the Products, Supplier shall at Vantive’s option, either procure for Vantive the right to continue using the Products, replace the Products with substantially equivalent products, modify the Products so as to be usable by Vantive, or repurchase the Products at the price set forth in Individual Agreement. This Paragraph 17 shall not be construed to indemnify Vantive for any loss to the extent it is attributable to Vantive’s design, specification, or negligence.

第 18 条（免責補償）

Article 18 (Exemption of Liability)

1. 乙は、本製品、委託業務または本件著作物に関連して第三者からxxxx（訴え等を含む。以下「第三者からのクレーム」という。）が提起された場合には、乙の費用および責任において対処するものとし、当該クレームによって甲、甲の役員、従業員、代理人、顧客、取引先、関連会社等（以下、甲以外の者を総称して「甲関係者」という。）に発生した損害一切を賠償しなければならない。損害には、弁護士費用および第 13 条の保証に違反したことによって生じた損害を含むがこれらに限定されない。

1. If a claim is instituted by any third party in connection with the Products, the Consigned Services or the Work (including, without limitation, lawsuits; hereinafter referred to as “Claims from Third Parties”), Supplier shall, at its expense and responsibility, handle such

claim and shall compensate for all damages caused to Vantive, its Officers, Employees, agents, customers, business partners, affiliates, and others (hereinafter collectively referred to as the “Vantive Related Parties”) arising out of such claim. Damages include, but are not limited to, attorneys’ fees and damages caused by breach of the warranties in Article 13.

2. 甲が要請したにもかかわらず、第三者からのクレームに対し乙が適切に対応しない場合には、甲は、乙に代わって必要な対応を行うことができる。この場合、甲に生じた費用は全て乙の負担とする。

2. If Supplier does not handle Claims from Third Parties appropriately despite a request from Vantive, Vantive may take the required action on behalf of Supplier. In such event, all expenses incurred by Vantive shall be borne by Supplier.

3. 本条第 1 項および第 2 項の規定は、甲または甲関係者の故意または過失により生じた第三者からのクレームおよび損害については適用しない。

3. The provisions of Paragraphs 1 and 2 of this Article shall not apply to Claims from Third Parties arising from the willful misconduct or negligence of Vantive or any Vantive Related Party.

第 19 条（責任の制限）

Article 19 (Limitation of Liability)

甲は、本取引条件の下で行われたいかなる取引から生じる間接、特別、付随的、結果的または懲罰的損害（損失した時間、逸失利益、売上の逸失を含む。）についても責任を負わない。 Vantive will not be liable to supplier or any third party for any indirect, special, incidental, consequential or punitive damages (including lost time, lost profits or lost sales) arising from any transactions under these Terms and Conditions.

第 20 条（秘密保持）

Article 20 (Confidentiality)

1. 乙は、個別契約の締結および履行過程で取得した甲の秘密情報を厳に秘密として保持するものとし、甲の書面による事前の承諾なく第三者に開示･漏洩してはならない。甲の秘密情報には、本製品および本件著作物の用途や購入状況、委託業務の詳細および目的、甲の事業計画、研究開発プロジェクトの内容、各種データ、何らかの個人情報、ノウハウ、戦略、プログラム、プロセス、プラクティス（営業行為その他の実務に関する情報）、製品・顧客・サプライヤー・価格・コスト等に関する情報、および甲が第三者（甲関係者を含む。）から受領した当該第三者の（または当該第三者に関する）秘密情報等が含まれる。また、甲の秘密情報には、上記情報を含む文書の他、口頭、視察、磁気媒体・電子媒体等により開示された情報も含まれる。個別契約締結の事実および本取引条件の内容も甲の秘密情報に含まれるものとし、

乙は、広告、記事、プレスリリース、販促物、ウェブ上等で、一切甲または甲関係者の名称を使用しないものとする。なお、甲の秘密情報には、以下の各号のいずれかに該当する情報であることを乙が証明できるものは含まれない。

1. Supplier shall keep strictly confidential Vantive’s Confidential Information obtained in the course of execution and performance of the Individual Agreements and shall not disclose or divulge such information to any third party without the prior written consent of Vantive. “Vantive’s Confidential Information” includes, but is not limited to, the uses and purchases of the Products and the Work, details and objectives of the Consigned Services, Vantive’s business plans, the content of the R&D projects, various kinds of data, any personal information, know-how, strategy, programs, processes, practices (information on business practices and other practices), information on products, customers, suppliers, prices, costs and the like, and confidential information of (or about) any third party (including Vantive Related Parties) received by Vantive from (or about) any such third party. Vantive’s Confidential Information includes documents containing the above information, as well as information disclosed orally, through inspections, on magnetic or electronic media, etc. The fact of the execution of the Individual Agreement sand the content of these Terms and Conditions shall also be included in Vantive’s Confidential Information, and Supplier shall not use the name of any Vantive or Vantive Related Party in any advertising, article, press release, promotional material, website, or otherwise. Vantive’s Confidential Information shall not include information that Supplier can prove falls under any of the following items:

(1) 開示された時点で既に乙が入手していた情報

Information previously obtained Supplier at the time of disclosure;

(2) 開示された時点で公知の情報または乙（第 5 条第 2 項により甲の承諾を受けた委託先を含む。）の責によらずして公知となった情報

Information that was publicly known at the time of disclosure or information becomes publicly known through no fault of Supplier (including subcontractors approved by Vantive pursuant to Article 5, Paragraph 2);

(3) 正当な権限を有する第三者より、乙が秘密保持義務を負うことなく受領した情報

Information received by Supplier from a duly authorized third party without any obligation of confidentiality; or

(4) 司法当局または行政当局その他公的機関により開示を求められ、事前に甲と協議のうえ、甲が認めた範囲で当該機関に開示する情報

Information that is required to be disclosed by judicial, administrative or other public authorities and disclosed to such authorities to the extent permitted by Vantive after prior consultation with Vantive.

2. 乙は、甲の秘密情報を、個別契約の期間中、契約の履行に直接携わる乙担当者および第8 条第2 項により甲の承諾を受けた委託先に対してのみ開示することができる。

2. Supplier may disclose Vantive’s Confidential Information only to Supplier’s Personnel in Charge directly involved in the performance of the agreements and to subcontractors approved by Vantive in accordance with Article 8, Paragraph 2 during the term of the Individual Agreements.

3. 乙は、甲の秘密情報を本取引条件および個別契約の履行のためにのみ使用するものとし、その他の目的に使用してはならない。

3. Supplier shall use Vantive’s Confidential Information only for the performance of these Terms and Conditions and the Individual Agreements and shall not use it for any other purpose.

4. 甲の秘密情報に個人情報が含まれる場合には、乙は、本条の他、個人情報保護法および個人情報取扱規程を併せて遵守しなければならない。

4. When personal information is included in Vantive’s Confidential Information, Supplier shall comply with the Personal Information Protection Act and the Personal Information Handling Regulations in addition to this Article.

5. 個別契約終了後、または甲の書面による要請があった場合には、乙は、当該要請があった日から 30 日以内に、甲より提供された全ての資料（書面の他、磁気媒体･電子媒体等に含まれる情報を含む。）およびその複製を、甲に返却しなければならない。ただし、本条の守秘義務の範囲を特定するため、乙は、1 部に限り、乙の安全管理措置（秘密漏洩の防止策）が講じられた場所において当該資料を保管することができる。

5. After termination of the Individual Agreements or upon Vantive’s written request, Supplier shall return to Vantive all materials (including written and other information contained in magnetic and electronic media) and copies thereof provided by Vantive no later than 30 days after the date of such request. Provided, however, to specify the scope of the confidentiality obligations set forth in this Article, Supplier may retain only one copy of such materials at the location where Supplier’s security measures (measures to prevent the leakage of confidential information) have been taken.

6. 乙は、乙担当者および第 8 条第 2 項により甲の承諾を得た委託先に対して、個別の秘密保持契約を締結する等、本条の秘密保持義務（目的外の使用をしない義務を含む。以下、本条において同じ。）を遵守させるための適切な措置を講ずると共に、実際に当該秘密保持契約を遵守させなければならない。乙は、乙担当者および委託先の行為についても一切の責任を負うものとする。

6. Supplier shall take appropriate measures to ensure that Supplier’s Personnel in Charge and the subcontractors approved Vantive in accordance with Article 8, Paragraph 2 comply with

the obligation of confidentiality (including the obligation not to use for any purpose other than the intended purpose; hereinafter the same shall apply in this Article) set forth in this Article, such as by concluding an individual confidentiality agreement, and shall have them actually comply with such confidentiality agreement. Supplier shall also be responsible for all actions of Supplier’s Personnel in Charges and the subcontractors.

7. 乙が、第 21 条第 3 項所定の乙独自の開発物に関する情報を、個別契約の期間中に乙の秘密情報と明示して甲に開示した場合には、甲は、当該乙の秘密情報につき本条に準じた秘密保持義務を負う。甲は、当該乙の秘密情報を、開示された目的のためにのみ使用することができる。なお、乙は、上記の情報その他両者を必要と認めて書面で明確に乙の秘密情報と特定のうえ授受した情報を除き、甲または甲関係者に対し、乙または第三者の秘密情報を一切開示しないものとする。

7. If Supplier discloses to Vantive information relating to Supplier’s Own Developed Product as set forth in Article 21, Paragraph 3 expressly as Supplier’s confidential information during the term of the Individual Agreements, Vantive shall be obliged to maintain the confidentiality of such Supplier’s confidential information pursuant to this Article. Vantive may use such confidential information of Supplier only for the purpose for which it is disclosed. In addition, Supplier shall not disclose any confidential information of Supplier or any third party to Vantive or a Vantive Related Party except for such information as described above and such other information provided and received upon being specified clearly in writing as being recognized as necessary by both parties.

8. 甲が乙に対して甲の秘密情報を開示することは、乙に対して、甲の特許権、営業秘密その他の知的財産xxをライセンスし、またはその他これらに関して何らかの権利もしくは権限を付与したものとはみなされない。

8. Vantive’s disclosure of Vantive’s Confidential Information to Supplier shall not be deemed to have licensed to Supplier any Vantive patent rights, trade secrets or other intellectual property rights, or otherwise granted any rights or powers with respect thereto.

第 21 条（知的財産権の帰属）

Article 21 (Attribution of Intellectual Property Rights)

1. 個別契約の期間中に、甲の委託に基づき乙または乙担当者が本製品の開発もしくは改良等を行った場合、または本製品もしくは委託業務に関連して新たに著作物を作成し、何らかの発明、発見、考案等を行った場合（以下、これらを総称して「開発物」という。）には、当該開発物に関する一切の権利（著作xx第 27 条（翻訳権、翻案xx）および同法第 28 条（二次的著作物の利用に関する原著作者の権利）に規定する権利を含む。）およびこれについて特許その他の知的財産権を受ける権利は、全て甲に帰属する。個別契約終了後 90 日間以内に、乙または乙担当者が開発物を得

た場合も同様とする。また、乙は、開発物に関する著作者人格権を甲、甲関係者またはこれらの顧客に対して行使しないこと、また乙担当者にも行使させないことを約束する。

1. During the term of the Individual Agreements, if Supplier or Supplier’s Personnel in Charge develops or improves the Products based on the consignment from Vantive, or creates a new work or makes any invention, discovery, device, etc. in connection with the Products or the Consigned Services (hereinafter collectively referred to as the “Developed Product”), all rights (including the rights stipulated in Article 27 of the Copyright Act (translation rights, adaptation rights, etc.) and in Article 28 of the Copyright Act (the rights of the original author with respect to the exploitation of derivative works). ) relating to such Developed Product and rights obtain to patents and other intellectual property rights thereto belong to Vantive. The same shall apply to the case where Supplier’s Personnel in Charge or Supplier obtains the Developed Product within 90 days after termination of the Individual Agreement. Supplier also undertakes not to exercise moral rights in the Developed Product against Vantive, Vantive Related Parties or their customers and not to allow Supplier’s Personnel in Charge to exercise the moral rights in the Developed Work.

2. 乙は、開発物に関する一切の情報を第 20 条に従い厳に秘密として保持するものとし、甲の指示がない限り、いかなる第三者に対しても開示してはならない。

2. Supplier shall keep all information relating to the Developed Products strictly confidential in accordance with Article 20 and shall not disclose any information to any third party unless so instructed by Vantive.

3. 本条第 1 項の規定にかかわらず、甲の委託に基づく開発または改良行為を開始する前に生じていた（または甲のための開発または改良行為と無関係に生じた）乙の開発物で、乙がそのことを書面により証明できるもの（以下「乙独自の開発物」という。）については、本取引条件上の開発物とはみなさない。

3. Notwithstanding the provisions of Paragraph 1 of this article, any Supplier’s Developed Product that have occurred prior to the commencement of any development or improvement activities consigned by Vantive (or that have occurred independent of any development or improvement activities for Vantive) where Supplier can demonstrate such in writing (hereinafter referred to as “Supplier’s Own Developed Product”) shall not be deemed to be Developed Products under these Terms and Conditions

4. 甲は、個別契約の有効期間中であると否とを問わず、乙から購入した本製品または委託業務の成果を使用するために必要な範囲で、乙が保有し、または乙が実施許諾権もしくは使用許諾権を有する知的財産権を無償で実施することができる。また、乙独自の開発物や乙の知的財産権を使用すると否とを問わず、甲は、自己の判断において自由に本製品および開発物を複製し、改変することができる。

4. Vantive may exercise any intellectual property rights owned by Supplier or for which Supplier has a license to exercise or use free of charge, whether during the term of the Individual Agreement or not, to the extent required to use the Products purchased from Supplier or the deliverables of the Consigned Services. In addition, Vantive may at its discretion freely reproduce and modify the Products and Developed Products, whether through the use of Supplier’s Own Developed Product or Supplier’s intellectual property rights.

5. 本件著作物およびこれに関する著作権（著作xx第 27 条（翻訳権、翻案xx）および同法第 28 条（二次的著作物の利用に関する原著作者の権利）に規定する権利を含む。）その他一切の権利は業務委託者である甲に帰属し、xは自己の判断において自由に本件著作物を引用し、利用し、合理的に改変し、公表することができる。乙は、本件著作物に関する著作者人格権を甲、甲関係者またはこれらの顧客に対して行使しないこと、また乙担当者にも行使させないことを約束する。

5. The Work and all other copyrights therein (including the rights stipulated in Article 27 of the Copyright Act (translation rights, adaptation rights, etc.), and Article 28 of the Copyright Act (the rights of the original author with respect to the exploitation of derivative works) and all other rights therein belong to Vantive as consignor, and Vantive may, at its discretion, freely quote, use, reasonably alter and publish the Work. Supplier undertakes not to exercise moral rights in the Work against Vantive, Vantive Related Parties or their customers and not to allow Supplier’s Personnel in Charges to exercise the same.

6. 本件著作物その他開発物に関する所有権、知的財産権その他の権利が法律上当然に甲に帰属しない場合には、乙は本取引条件により当該権利一切（本件著作物その他開発物に対して将来生じるあらゆる利用方法に係る権利を含む。）を甲に譲渡する。

6. If property rights, intellectual property rights, or other rights related to the Work or Developed Product do not automatically belong to Vantive by law, Supplier shall assign all such rights (including the right related to any future use of the Work or Developed Product) to Vantive under the These Terms and Conditions.

第 22 条（特許xxの取得手続）

Article 22 (Procedures for Obtaining Patent Rights, etc.)

1. 乙は、前条の開発物（個別契約期間中または個別契約終了後 90 日以内に取得した乙独自の開発物を含む。）については、直ちにその詳細を甲に報告しなければならない。

1. Supplier shall promptly report to Vantive the details of the Developed Product under the preceding Article (including Supplier’s Own Developed Product acquired during the term of an Individual Agreement or within 90 days after the termination of an Individual Agreement).

2. 乙は、甲または甲が指定する者が開発物について特許権・実用新案xxを取得する為に必要な手続について甲から協力を求められた場合には、これに応ずるものとする。なお、これらの権利を当初から甲または甲が指定する者に取得させることが不可能で、乙（乙担当者を含む。）から甲への譲渡手続が必要な場合には、乙は甲の要請に従い、譲渡に必要な手続一切を行うものとする。

2. Supplier shall accept to requests from Vantive for co-operation in procedures required by Vantive or a person designated by Vantive to obtain patent rights, utility model rights, etc. for the Developed Product. If such rights cannot be obtained from the beginning by Vantive or by a person designated by Vantive and procedures for assignment from Supplier (including Supplier’s Personnel in Charge) to Vantive are required, Supplier shall, at the request of Vantive, take all necessary procedures for assignment.

3. 前項の手続に要する費用のうち妥当な額の外部費用（乙が乙担当者以外の第三者に支払う費用であって、関連証票等によりその支出を証明できるものをいう。）は、全て甲の負担とする。

3. Among the expenditures required for the procedures set forth in the preceding paragraph, all reasonable outsourcing costs (meaning expenses paid by Supplier to a third party other than for Supplier’s Personnel in Charge which can be proven by means of a related vouchers, etc.) shall be borne by Vantive.

第 23 条（不可抗力）

Article 23 (Force Majeure)

1. いずれの当事者も、天災地変、戦争、暴動、法令の制定または改廃その他自己が合理的に制御できない事由に起因する債務不履行については責めを負わない。ただし、当該事由発見後直ちに相手方に通知し善後策を協議すると共に、債務不履行状態の解消に最大限努力しなければならない。

1. Neither party shall be liable for failure to perform any obligation arising from acts of God; war; riot; enactment, amendment or abolition of laws; or any other cause beyond its reasonable control. Provided, however, that the non-performing party shall immediately notify the other party after the discovery of such event and consult with the other party on any subsequent measures and shall make utmost efforts to resolve the status of nonperformance.

2. 前項の事由に基づく債務不履行が 3 ヶ月以上継続する場合には、履行の提供を受けられない当事者は、相手方に書面で通知し、個別契約を解約することができる。

2. In the event of a non-performance of obligations for three months or longer based on the event set forth in the preceding paragraph, the party who is unable to receive the provision of performance may cancel the Individual Agreements by giving written notice to the other party.

第 24 条（保険）

Article 24 (Insurance)

1. 甲が要求した場合には、乙は、個別契約期間中および契約期間終了後 3 年間、本製品または委託業務に関し、1 回の対人・対物事故に対する補填限度額 1 億円（個別契約において甲が規定する金額）以上であり、かつ下記を補償範囲とする特約条項を有する企業総合賠償責任保険または別途甲が要求する内容の保険に加入するものとする。

1. If requested by Vantive, Supplier shall, during the term of the Individual Agreements and for a period of three (3) year after the termination thereof, obtain and keep in force commercial general liability insurance covering each occurrence of bodily injury and property damage in the amount of not less than JPY100 Million (or any other amount Vantive may indicate in Individual Agreement) combined single limit with special endorsements providing coverage for following items or insurance separately required by Vantive.

(1) 製造物および完成作業責任

Products and Completed Operations Liability;

(2) 包括的かつ総合的な供給業者責任

Blanket Broad Form Vendor’s Liability;

(3) 包括的契約引き受け賠償責任

Blanket Contractual Liability;

(4) 製造専門事業者賠償責任

Manufacturer’s Errors and Omissions; and

(5) プロダクトリコール／試験／再調達補償

Product Recall/Testing/Replacement Coverage.

2. 委託業務が甲の施設内で履行される場合には、独立請負人責任の特約を付し、さらに、甲が認める金額をxxする労災補償、雇用者賠償、自動車賠償責任保険に加入する。また、乙が甲の財産、コンピューターシステムおよび／またはデータにアクセスする場合には、乙は、第三者身元信用／犯罪被害補償保険に加入する。甲から要求があった場合、乙は甲に対し、必要な保険に加入していることを示す証明書を提供する。

2. If Consigned Services are performed under this order on Vantive’s premises, Supplier shall also obtain Premises-Operations, Personal Injury, and Independent Contractors Protective Liability endorsements, and shall further obtain Workers’ Compensation, Employer’s Liability and Automobile Liability Insurance coverage in amounts acceptable to Vantive, and if Supplier will have access to Vantive property, computer systems and/or data, Third Party

Fidelity/Crime Coverage. If requested, Supplier shall furnish Vantive with a certificate evidencing the required insurance.

第 25 条（存続条項）

Article 25 (Surviving Provisions)

1. 個別契約が履行完了または解除等により終了した場合といえども、第 9 条中の損害賠償に関する規定、第 10 条第 3 項中の損害賠償に関する規定、第 13 条、第 14 条、第 15 条、第 16 条第 3 項、第 17 条、第 18 条、第 19 条、第 20 条、第 21 条、第 22条、第 24 条、第 25 条第 2 項、第 26 条第 1 項、第 3 項、第 4 項および第 5 項、第 28条、第 31 条、第 32 条、ならびに第 33 条の各規定は、なお有効に存続する。

1. Despite the fact that the Individual Agreements have been terminated upon completion or cancellation, the provisions for compensation of damages in Article 9; and the provisions for compensation of damages in Article 10, Paragraph 3 relating to damages; and the provisions of Article 13; Article 14; Article 15; Article 16, Paragraph 3; Article 17; Article 18; Article 19; Article 20; Article 21; Article 22; Article 23; Article 24; Article 25 Paragraphs 2; Article 26, Paragraphs 1, 3, 4 and 5; Article 28; Article 31; Article 32; and Article 33 shall remain in full force and effect.

2. 理由の如何を問わず、個別契約が履行完了または解除等により終了した場合には、甲および乙は本件取引に関して相手方から受領した有形の秘密情報（写しを含む。）、資料、物品等一切（既に自己に所有権が移転しているものを除く。）を速やかに相手方に返還し、または相手方の指示に従い廃棄処分しなければならない。

2. Upon termination of an Individual Agreement due to completion of performance or cancellation or otherwise due to any reason, Vantive and Supplier shall promptly return to the other party or destroy in accordance with the instructions of the other party all tangible confidential information (including copies), materials, and articles received from the other party in connection with the Transactions (excluding those whose ownership has already been transferred to the other party).

第 26 条（契約の解除・解約）

Article 26 (Cancellation or Termination)

1. 甲および乙は、相手方が個別契約のいずれかの条項に違反した場合には、30 日の期間をもって相手方に催告し、当該期間内に違反が治癒されないときは、未履行の個別契約の全部または一部を解除し、相手方に対し損害賠償を求めることができる。なお、民法第 541 条但書きおよび第 543 条は適用されないものとする。

1. Vantive or Supplier may cancel all or a part of unperformed Individual Agreements and seek compensation of damages from the other party, if the other party breaches any of the provisions of the Individual Agreements and Vantive or Supplier gives a formal demand to

the other party specifying a period of 30 days and the breach is not cured within such period. The proviso of Article 541 and Article 543 of Civil Code shall not be applicable.

2. 前項の場合の他、甲および乙は、相手方に以下の各号の一に該当する事由が発生した場合には、何ら催告を要さず直ちに未履行の個別契約の全部または一部を解除することができる。

2. In addition to the cases set forth in the preceding paragraph, Vantive and Supplier may immediately cancel the unperformed Individual Agreements, in whole or in part, in the event of the occurrence of any of the following events on the part of the other party without requiring any formal demand.

(1) 手形不渡りの事実があったとき

If there is a fact of a dishonored bill or note;

(2) 滞納処分を受け、または第三者から強制執行の申し立てを受けたとき

If subject to a disposition for failure to pay taxes or a petition for compulsory execution filed by a third party;

(3) 破産手続開始、民事再生手続開始、会社更生手続開始その他これに準ずる手続が開始されたとき

If bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, or other similar proceedings have been commenced; or

(4) その他信用が悪化した（または信頼関係が破綻した）と認める相当の事由があるとき

When there is any other reasonable ground to find that the credit has deteriorated (or the relationship of trust has been destroyed).

3. 本条第 1 項または第 2 項により個別契約が解除された場合には、相手方は解約者に対する債務一切につき期限の利益を失い、直ちに債務全額を弁済しなければならない。

3. If an Individual Agreement is terminated pursuant to Paragraphs 1 or 2 of this Article, the all obligations of the other party to the terminating party shall become immediately due and payable and the other party shall immediately pay the full amount of the obligations.

4. 甲は、乙が甲の行動基準、個人情報取扱規程または本件取引に関連する甲関係者との約定に違反した場合には、30 日の期間をもって乙に催告し、当該期間内に違反が治癒されないときは、未履行の個別契約の全部または一部を解除し、乙に対し損害賠償を求めることができる。前項の規定（期限の利益の喪失）は本項に基づく解約の場合にも準用する。

4. In the case that Supplier violates Vantive’s Code of Conduct, Personal Information Handling Regulations, or agreements with Vantive Related Parties related to the Transactions, if Vantive gives a formal demand to Supplier with 30-day period and such violation is not

cured within the period, Vantive may cancel all or a part of the unperformed Individual Agreements and seek compensation for damage from Supplier. The provisions of the preceding paragraph (acceleration) shall apply mutatis mutandis to the case of termination under this paragraph.

5. 甲は、乙が反社会的勢力の排除に関する規程に違反した場合には、何ら催告を要さず直ちに未履行の個別契約の全部または一部を解除し、乙に対し損害賠償を求めることができる。この場合、甲は、当該解除によって乙に生じた損害につき賠償する責を負わない。本条第 3 項の規定（期限の利益の喪失）は本項に基づく解約の場合にも準用する。

5. If Supplier violates the Rules for the Elimination of Anti-Social Forces, Vantive may immediately cancel all or part of the unperformed Individual Agreements without requiring any formal demand and seek compensation of damages from Supplier. In such cases, Vantive shall not be liable for any damages suffered by Supplier as a result of such termination. The provisions of Paragraph 3 of this Article (acceleration) shall apply mutatis mutandis to the termination under this paragraph.

6. 乙は、商号、本店所在地、代表者、本件取引の責任者、支配株主、またはその他甲が指定する事項に変更がある場合には、可能な限り速やかにかつ事前に甲に書面で通知しなければならない。甲は、乙の新たな支配株主が甲の競業者である等正当な理由がある場合には、乙に書面で通知し、乙に対して何らの責任を負うことなく未履行の個別契約を解約することができる。

6. Supplier must notify Vantive in writing as soon as practicable in advance of any change in its trade name, address of head office, representative, person responsible for the Transactions, controlling shareholders, or other matter specified by Xxxxxxx. Vantive may notify Supplier in writing and cancel any unperformed Individual Agreement without any liability to Supplier if there are justifiable reasons such as that the new controlling shareholder of Supplier being a competitor of Vantive.

第 27 条（分離可能性）

Article 27 (Severability)

1. 乙による何らかの本取引条件または個別契約違反について甲が権利を放棄したことをもって、引き続き起こる同規定への違反またはその他の規定への違反について甲が権利を放棄したとみなされることはない。本取引条件または個別契約の条件への違反から生じるいかなる請求や権利も、これを放棄または断念したことによりその全部または一部が失われるものではない（ただし、当該放棄または断念について約因が提供され、かつ権利を侵害された当事者が書面に署名した場合を除く。）。

1. No waiver by Vantive of any breach of these Terms and Conditions or Individual Agreement by Supplier shall be considered as a waiver of any subsequent breach of the same or any other provision. No claim or right arising out of a breach of the terms and conditions of these Terms and Conditions or Individual Agreement can be discharged in whole or in part by a waiver or renunciation of the claim or right unless such waiver or renunciation is supported by consideration and is in writing signed by the aggrieved party.

2. 万一個別契約の条項の一部が強行法規または罰則を伴う取締法規に抵触する場合には、当該条項は法律上認められる範囲で最大限当事者の意向を反映する内容に修正されるものとし、甲および乙は誠実に協議のうえ、速やかに変更内容を書面で確認するものとする。

2. Should any part of the provisions of the Individual Agreements violate any mandatory laws or regulatory laws with penalties, such provisions shall be amended to reflect the intention of the parties to the fullest extent permitted by law and Vantive and Supplier shall consult with each other in good faith and promptly confirm the amendment details in writing.

3. 本取引条件または個別契約の条項の一部が法令または判決により無効、違法または執行不能と判断された場合でも、他の条項の効力に影響を及ぼさない。

3. Even if any part of the provisions of these Terms and Conditions or Individual Agreements are determined to be invalid, illegal or unenforceable in any respect under any law, rule, regulation or ruling, such determination shall not affect the validity of any other provisions

4. 本取引条件で定められる甲の権利および救済方法は、累積的なものであって排他的ではなく、かつ、法律に基づき認められる他の権利および救済方法に追加して認められるものである。

4. The rights and remedies of Vantive provided under these Terms and Conditions are cumulative and not exclusive and are in addition to any other rights and remedies provided at law.

第 28 条（契約上の地位の譲渡）

Article 28 (Assignment of Contractual Status)

乙は甲の書面による事前の同意（甲は単独の裁量により同意しないことができる。）なくして、個別契約上の地位または権利義務を他に譲渡してはならない。甲の同意なく行われた譲渡の試みは無効となる。甲の承諾を受けた譲受人は、個別契約上乙が負う全ての義務を承継するが、第一次的には乙が当該義務を負い続けるものとする。甲は、乙の承諾なく個別契約上の地位または権利義務を譲渡できる。個別契約は、各当事者の許可された譲渡の利益のために効力を生じ、拘束力を有する。

Supplier shall not assign its status or rights and obligations under Individual Agreement without Vantive’s prior written consent, which Vantive may withhold in its sole discretion, and any attempted

assignment without Vantive’s consent will be void. Any permitted assignee shall assume in writing all obligations of Supplier under Individual Agreement; provided, however, that Supplier shall remain primarily liable for such obligations. Vantive may assign its status or rights and obligations under Individual Agreement without the consent of Supplier. Individual Agreement will be binding upon and inure to the benefit of the permitted assigns of each party.

第 29 条（契約の完全性）

Article 29 (Entire Agreement)

本取引条件（別紙を含む。）および個別契約は、本件取引に関する当事者間の合意の全てであり、本取引条件以前に当事者間で交わした全ての口頭または書面での合意に置き換わるものとする。甲が書面で明確に合意した場合を除き、乙の注文請書またはその他乙が甲へ交付する書面に記載されているいかなる条件も、本件取引には適用されないものとする。 These Terms and Conditions (including the Exhibits) and the Individual Agreements are the entire agreement between the parties with respect to the Transactions and shall supersede all oral or written agreements made between the parties prior to these Terms and Conditions. Except as expressly agreed in writing by Vantive, no conditions contained in any purchase order acknowledgment of Supplier or otherwise in any writing issued by Supplier to Vantive shall apply to the Transactions.

第 30 条（本取引条件の変更）

Article 30 (Changes of these Terms and Conditions)

甲は、甲が必要と判断する場合、いつでも本取引条件を改定することができるものとし、甲が改定後の本取引条件を甲所定のウェブサイトへ掲載したとき（甲が改定後の本取引条件の発効日を別途設定した場合はその日）に効力を生じます。

Vantive may at any time amend these Terms and Conditions if considers such amendment necessary, and the amendment becomes effective when Vantive posts the amended Terms and Conditions on its website (or if Vantive separately decides the effective date of the amended Terms and Conditions, on such date).

第 31 条（準拠法および裁判管轄）

Article 31 (Governing Law and Jurisdiction)

本取引条件および個別契約の準拠法は日本法とし、本取引条件および個別契約に関する紛争については、東京地方裁判所を第xxの専属管轄裁判所とする。

These Terms and Conditions and the Individual Agreements shall be governed by the laws of Japan, and any dispute concerning these Terms and Conditions and the Individual Agreements shall be settled in the Tokyo District Court as the exclusive jurisdictional court of the first instance.

第32条（紛争解決方法）

Article 32 (Dispute Resolution)

1. 本取引条件および個別契約に起因または関連するいかなる紛争、請求または議論

（本取引条件および個別契約の有効性、履行、違反または終了に関するものを含むがこれに限られない。以下「紛争」という。）も以下の手順に従い解決される。

1. Any and all disputes, claims or controversies (“Disputes”) arising out of or relating to these Terms and Conditions and Individual Agreement, including without limitation, any dispute as to the existence, validity, performance, breach or termination of these Terms and Conditions and Individual Agreement, shall be resolved in the following manner.

一方当事者は、まず、紛争解決権限を有する各当事者の幹部間での交渉による解決を試みるための書面による通知を相手方当事者に対し行う。当該交渉はかかる通知の受領後14日以内（本条における「日」は全て暦日をいう。）

（以下「交渉期間」という。）に行われなければならない。両当事者が交渉期間内に接触することができず、または同期間内に問題が解決しなかった場合、一方当事者は交渉の議題となった問題について、管轄権を有する裁判所に訴状を提出することにより、裁判を開始することができる。前記の規定にかかわらず、一方当事者は、差し止めによる救済を求める範囲において、当該事項について管轄権を有する裁判所において仮処分の手続きを実施することができ、当該救済は両当事者が紛争の解決に至るまで有効である。

A party must first send written notice of the Dispute to the other party for attempted resolution by negotiation between executives of each party who have authority to settle the controversy. Such negotiations must be conducted within 14 days (all references to “days” in this provision are to calendar days) after such notice is received (the “Negotiation Period”). If the parties fail to meet or if the matter has not been resolved within such Negotiation Period, either party may initiate litigation with respect to the matters submitted to negotiation by filing a complaint to a court having jurisdiction. Notwithstanding the foregoing, to the extent a party is seeking injunctive relief either party may immediately bring a proceeding seeking preliminary injunctive relief in a court having jurisdiction over such matter, and this relief shall remain in effect until the parties reach a resolution.

2. 法により要求される場合を除き、両当事者は裁判の存在、両当事者による提出資料

（証拠資料、証言および準備書面を含む。）ならびに裁判所による判決（和解により解決した場合には当該和解）について秘密として取り扱うものとする。

2. Except as required by law, the parties agree to keep confidential the existence of the litigation, the submissions made by the parties (including evidentiary materials, testimony

and briefs) and the decisions made by the court (or, if such matter is resolved by court settlement, such settlement).

第 33 条（仮処分）

Article 33 (Injunctive Relief)

前条の紛争解決方法規定にかかわらず、甲は管轄権を有する裁判所による仮処分の申立てを行うことができる。

Notwithstanding the Dispute Resolution section above, Vantive may seek injunctive relief by a court of competent jurisdiction.

第34条（通知）

Article 34 (Notices)

本取引条件または個別契約に基づく通知は、いずれも書面により行われ、本取引条件または個別契約に明確に言及し、広く認められた国内外の翌日配達便または郵便料金前払い、配達証明付きの書留郵便により送付されるか、本取引条件または個別契約に定める住所に直接手渡しで届けられるものとする。本取引条件または個別契約に基づく通知は(a)手渡しで届けられたとき、(b)広く認められた国内外の郵便業者に預けられてから2日後、または(c)書留郵便の配達証明に記載された配達日に行われたものとみなされる。甲および乙は、本項に従って書面により相手方に通知後直ちに自身の連絡先情報を変更することができる。

Any notices required or permitted under these Terms or Conditions and the Individual Agreements will be in writing, will refer specifically to these Terms and Conditions or the Individual Agreements, and will be sent by recognized national or international overnight courier or registered mail, postage prepaid, return receipt requested, or delivered by hand to the address set forth in these Terms or Conditions and the Individual Agreements. Notices under the order will be deemed to be duly given:

(a) when delivered by hand; (b) two days after deposit with a recognized national or international courier; or (c) on the delivery date indicated in the return receipt for registered mail. A party may change its contact information immediately upon written notice to the other party in accordance with this section.

第35条（本取引条件と個別契約の変更）

Article 35 (Amendment of these Terms and Conditions and Individual Agreement)

本取引条件および個別契約の変更は、両者において、法的な代表権または代理権を有する者が署名した、書面の合意によらなければ効力を有しない。

Any modification to these Terms and Conditions and the Individual Agreements shall not be effective unless such changes are made in writing and signed by an authorized representative of each party.

第 36 条（言語）

Article 36 (Language)

本契約は英語と日本語で作成されるものとする。2 つの言語に矛盾がある場合は、日本語版が優先する。

These Terms and Conditions is made in English and Japanese. If there is any conflict between these two texts, the Japanese text shall prevail.

第 37 条（定義）

Article 37 (Definitions)

本取引条件において下記の用語は以下の各号に定める意味を有する。

In these Terms and Conditions, the following terms shall have the meanings set forth in each of the following items:

1. 「本製品」とは、乙が甲に売り渡し甲が乙から買い受ける物品をいう。

“Products” means goods which Supplier sells to Vantive and which Vantive buys from Supplier.

2. 「委託業務」とは甲が乙に委託し乙が甲から受託する業務をいい、本条第 10 号に定める本件著作物の提出を含む。

“Consigned Services” means the services consigned by Vantive to Supplier and accepted by Supplier from Vantive and include the submission of the Work as defined in Item 10 of this Article.

3. 「甲の行動基準」とは、別紙 1 として本取引条件に添付する「ヴァンティブ供給業者に適用される「倫理・コンプライアンス規範」」をいう。

“Vantive’s Code of Conduct” means the “‘Code of Ethics and Compliance’ Applicable to Suppliers of Vantive” attached to these Terms and Conditions as Exhibit 1.

4. 「個人情報取扱規程」とは、別紙 2 として本取引条件に添付する、甲の「個人情報取扱規程」をいう。

“Personal Information Handling Regulations” means Vantive’s “Personal Information Handling Regulations” attached to these Terms and Conditions as Exhibit 2.

5. 「反社会的勢力の排除に関する規程」とは、別紙 3 として本取引条件に添付する、

「反社会的勢力の排除に関する規程」をいう。

“Rules for the Elimination of Anti-Social Forces” means the “Rules for the Elimination of Anti-Social Forces” attached to these Terms and Conditions as Exhibit 3.

6. 「役員」とは、各当事者の取締役、執行役その他会社法上役員と認められる者をいう。

“Officers" means the directors, executive officers and other persons recognized as officers under the Companies Act of each party.

7. 「従業員」とは、各当事者の執行役員その他の従業員で、役員以外の者をいう。 “Employees” shall mean the executive officers and other employees of each party who are not Officers.

8. 「乙担当者」とは、本件取引に従事する乙の役員および従業員をいう。 “Supplier’s Personnel in Charge” means Supplier’s Officers and Employees engaged in the Transactions.

9. 「本件取引」とは本製品および委託業務に関する甲乙間の取引一切をいい、乙が、第 21 条第 1 項に定める、甲の委託に基づく本製品の開発または改良等を行う場合には、当該開発または改良行為を含む。

“Transaction(s)” means any transaction between the parties with respect to the Products and the Consigned Services, including such development or improvement activities when Supplier develops or improves the Products under the consignment of Vantive as specified in Article 14, Paragraph 1.

10. 「本件著作物」とは、本取引条件または第 2 条所定の個別契約に基づき乙から甲に対して提出される、第 10 条第 1 項に定める業務報告書その他一切の文書および情報をいい、フィルム・磁気テープ・磁気ディスク・電子メール等で提出される場合にはこれらの磁気媒体・電子媒体等を含む。

“Work” means the Services Reports as set forth in Article 7, Paragraph 1 and any other documents and information provided by Supplier to Vantive pursuant to these Terms and Conditions or the Individual Agreements prescribed in Article 3 and if submitted by film, magnetic tapes, magnetic disks, or e-mail, including such magnetic media or electronic media.

“Ethics and compliance standards” applicable to suppliers of Vantive

誠実さをもって業務を遂行するというヴァンティブのコミットメントは、当社の全ての供給業者に共有していただく必要があります。

IT IS CRITICAL THAT ALL VANTIVE SUPPLIERS SHARE OUR COMMITMENT TO

BUSINESS WITH INTEGRITY

本規範はヴァンティブにサービス、原材料、活性材料、部品、完成品、その他の製品を提供する個人または組織（以下「供給業者」という。）に適用されます。

These standards apply to individuals / organizations that provide services, raw material, active

ingredients, components, finished goods, or other products (“Suppliers”).

関係法令の順守

ADHERENCE TO APPLICABLE LAWS & REGULATIONS

供給業者は、各自が事業を行っている当該国の適用される法律、規則、規制および倫理規範、適用される米国の法律、および本規範を順守しなければなりません。

Suppliers must comply with the applicable laws, rules, regulations, and ethical standards of the country in which they operate, applicable U.S. laws, as well as these standards.

賄賂、xxxx、不法な支払い、その他の買収行為の禁止

PROHIBITION OF BRIBES, KICKBACKS, UNLAWFUL PAYMENTS, AND OTHER CORRUPT PRACTICES

• 供給業者が以下の目的で、公務員に対して何らかの価値のある支払いを行い、提示し、約束し、または許可することは、直接的・間接的を問わず禁止されています。

• Suppliers are prohibited from directly or indirectly making, offering, promising or authorizing payment of anything valuable to a government official in order to:

- 取引または取引上の優位性を獲得または保持するため、もしくは公務員、政党、公職の候補者、公的国際団体の行為や意思決定に不適切な影響を与えるため

Win or retain business or business advantage, or to improperly influence the act or decision of any government official, political party, candidate for political office, or official of a public international organization;

- 不正な優位を得るため

Gain an improper advantage; or

- 個人、顧客、企業、会社代表者の行動に不法に影響を与えるため

Illegally influence the action of any individual, customer, company, or company representative.

• 供給業者は、実際の取引や支払いを示す記録の正確性と透明性を保つことが義務付けられます。

• Suppliers are required to keep accurate and transparent records that reflect actual transactions and payments.

• ヴァンティブは現地のビジネス慣行や市場慣行に従いますが、ヴァンティブまたは供給業者が買収行為、非倫理的行為、違法行為に関与することは許されません。

• While Vantive observes local business customs and market practices, neither Vantive nor any Supplier shall participate in any corrupt, unethical or illegal practices.

• 供給業者は、ヴァンティブのポリシーによって禁止されるいかなる行為も行ってはなりません。

• Suppliers shall not do anything Vantive policies prohibit.

業務記録の正確性

ACCURACY OF BUSINESS RECORDS

• 財務関連の全ての帳簿および記録は、適正な会計原則に準拠している必要があります。

• All financial books and records must conform to generally accepted accounting principles.

• 供給業者の記録は、全ての重要な点において正確でなければなりません。

• Supplier records must be accurate in all material respects:

- 記録は読みやすく、透明性があり、実際の取引と支払いを反映していること。

Records must be legible, transparent, and reflect actual transactions and payments.

- 隠蔽、記録漏れ、虚偽の記載がないこと。

Do not hide, fail to record, or make false entries.

医療界との交流

INTERACTIONS WITH THE MEDICAL COMMUNITY

• ヴァンティブに代わって医療界（医療従事者、医療組織、患者、患者団体、公務員、支払者など）と交流する供給業者、ディーラー、販売店、代理店その他の第三者は全て、それぞれに該当する業界の行動規範（AdvaMedやEFPIAの行動規範など）を順守しなければなりません。

• When engaged with the medical community (including healthcare professionals, healthcare organizations, patients, patient organizations, government officials and payors) on behalf of Vantive,

all suppliers, dealers, distributors, agents and other third parties must adhere to any industry standard of conduct that applies to them (such as AdvaMed and EFPIA Code of Practice).

• ヴァンティブに代わって医療界のメンバーへの支払いや便益の提供は、当該メンバーが居住および／または医療に従事している当該国の法的要件および業界行動規範に準拠するものでなければなりません。賄賂、報酬、誘引、販売奨励金としての支払いは決して認められません。

• Any payment or benefit provided to a member of the medical community on behalf of Vantive must comply with all applicable legal and industry code requirements in the country in which the member of the medical community resides and/or practices medicine. Payments may never be used as a bribe, reward, inducement or incentive for sales.

xx競争と独占禁止法

FAIR COMPETITION AND ANTITRUST

供給業者は、xxな競争と独占禁止法に関して適用される全ての法令を順守しなければなりません。

Suppliers must comply with all applicable laws and regulations regarding fair competition and antitrust.

知的財産と秘密情報

INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION

• ヴァンティブとの間で秘密情報の交換を行う必要のある供給業者は全て、事前にヴァンティブとの秘密保持契約を結ぶ必要があります。

• All Suppliers requiring the exchange of confidential information with Vantive are required to execute a confidentiality agreement with Vantive in advance.

• 秘密情報の交換は、受託業務の要件を満たす上で必要な範囲に限定されます。

• Exchange of confidential information is limited to that required to fulfill contracted performance requirements.

• 供給業者は、ヴァンティブの知的財産や秘密情報、またはヴァンティブの事業に関して得たその他の秘密情報（供給業者が生成した情報や、製品、顧客、供給業者、価格設定、コスト、ノウハウ、戦略、プログラム、プロセス、慣行に関する情報を含む。）を開示してはなりません。

• Suppliers shall not share Vantive’s intellectual property or confidential information or any other information that they acquire with respect to Vantive’s business (including information developed by Suppliers and information relating to products, customers, suppliers, pricing, costs, know how, strategies, programs, processes, and practices).

• ヴァンティブの秘密情報を不正に開示した供給業者は、それが不注意によるものか否かを問わず、そのことを速やかに倫理・コンプライアンスのヘルプライン（Ethics & Compliance Helpline、xxx.xxxxxx.xxx）に報告しなければなりません。

• Suppliers must immediately report unauthorized disclosure of Vantive’s confidential information, whether inadvertent or not, through the Ethics & Compliance Helpline at xxx.xxxxxx.xxx.

データのプライバシー

DATA PRIVACY

• 供給業者は、個人情報の取扱いに際し、データのプライバシーに関して適用される法令を順守しなければなりません。

• Supplier must abide by applicable data privacy laws and regulations when handling personal information.

• ヴァンティブ関連の個人情報を不正に使用、開示、または紛失した供給業者は、そのことを速やかに倫理・コンプライアンスのヘルプライン（Ethics & Compliance Helpline、 xxx.xxxxxx.xxx）に報告しなければなりません。

• Suppliers must immediately report unauthorized use, disclosure, or loss of Vantive related personal information through the Ethics & Compliance Helpline at xxx.xxxxxx.xxx.

雇用慣行に関するガイドライン

EMPLOYMENT PRACTICES GUIDELINES

• 供給業者は、ヴァンティブの従業員を尊厳と敬意をもって扱わなければなりません。

• Suppliers must treat Vantive employees with dignity and respect.

• 供給業者は、適用される全ての雇用法令（職場での差別を禁止する法規を含む。）を順守しなければなりません。

• Suppliers must comply with all applicable employment laws and regulations including statutes prohibiting discrimination in the workplace.

• 供給業者は、ヴァンティブの敷地内で違法薬物を所有、使用、販売したり、飲酒または違法薬物の影響下で業務を行ったりしてはなりません。

• Suppliers shall not possess, use or sell illegal drugs on Vantive property or perform their work under the influence of alcohol or illegal drugs.

• 供給業者は、労働者の人権（人身売買や強制労働を含む。）に関して規定する法律に違反して製品やサービスを生産・製造（または、かかる法律に違反して生産・製造された材料を使用）してはなりません。正社員の最少年齢は満18歳とし、18歳未満の個人がパートタイムの仕事、夏期のアルバイト、実習プログラムなどに従事する場合は、そのことをヴァンティブの管理部門に開示しなければなりません。

• Suppliers shall not produce or manufacture products or services (or incorporate any materials therein that have been produced or manufactured) in violation of laws governing workers’ human rights, including human trafficking and slavery. Regular full-time employees are to be at least 18 years of age. Suppliers must disclose the existence of part-time work, summer jobs, or apprenticeship programs for individuals under the age of 18 to Vantive’s management.

• ヴァンティブは威嚇や敵対行為を許しません。また、供給業者によるハラスメントや、他者の仕事の能力を阻害・妨害する行為も許しません。

• Vantive does not permit intimidation or hostility and will not tolerate any behavior from a supplier that might harass, disrupt or interfere with another person’s ability to work.

利益相反

CONFLICTS OF INTEREST

• 利益相反は、個人的な利害関係や活動が、ヴァンティブの最善の利益のために行動する能力に影響する（またはそのように見られる）場合に生じます。利益相反の原因となる状況には以下のようなものがあります。

• A conflict of interest arises when personal interests or activities influence, or appear to influence, the ability to act in the best interests of Vantive. Some situations that could cause a conflict of interest include:

- ヴァンティブのライバル企業、取引先、またはヴァンティブとの取引を求める会社に相当の金銭的投資を行っている場合。「相当の金銭的利害関係」には、支配的議決権、事業の発行済み資本の 1％以上の所有権、当該投資家の総資産の 5％超に相当する投資が含まれます。

Having a significant financial investment in any company that competes, does business, or seeks to do business with Vantive. A significant financial interest includes voting control, or an ownership of more than 1% of the outstanding capital of a business, or an investment that represents more than 5% of the investor’s total assets.

- ヴァンティブに提供しているものと同様のサービスをヴァンティブの直接的なライバル企業に提供しており、秘密情報や競争関連情報へのアクセスが可能である場合。 Providing similar services for direct competitors of Vantive, with access to confidential or competitive information.

- 家族（またはドメスティックパートナーかその他の近しい間柄にある人）がヴァンティブ、ヴァンティブの他の供給業者、ヴァンティブの顧客、ヴァンティブのライバル企業のいずれかに勤務している場合。

When family members (or domestic partners, or those personally close to you) work for Vantive, another Vantive supplier, Vantive customer or Vantive competitor.

• 見かけ上または実際の利益相反が存在する場合、供給業者はそのことをヴァンティブの管理部門に開示しなければなりません。ヴァンティブの管理部門が見かけ上または実際の利益相反を承認する場合は、かかる承認の決定を文書化する必要があります。

• Suppliers must disclose any apparent or actual conflicts of interest to Vantive’s management. If Vantive management approves an apparent or actual conflict, the approval decision must be documented.

モバイルデバイス、電子メディア、インターネット、電子メールの使用

MOBILE DEVICES, ELECTRONIC MEDIA, INTERNET AND E-MAIL USE

ヴァンティブの電子環境（イントラネット、電子メール、ボイスメール、その他）にアクセスできる供給業者は、以下を実施するものとします。

In those circumstances where Suppliers have access to Vantive’s electronic environment (Intranet, e- mail, voicemail or other), Suppliers shall:

• ヴァンティブの秘密情報および電子メディアを保護する。

• Protect Vantive’s confidential information and electronic media;

• データを暗号化またはパスワードで保護する。

• Encrypt or password protect data;

• 移動中はモバイルデバイスを常に身に着けておくか、ロックしておく。

• Keep mobile devices with you or locked while traveling;

• 現地のデータ保護法を順守する。

• Comply with local data protection laws;

• 上記のツールはヴァンティブの業務目的のみに使用する。

• Use these tools for Vantive business purposes only; and

• 上記のツールは、以下を含むヴァンティブの「情報とテクノロジーの正しい使用に関するグローバルポリシー」に従って使用する。

• Use these tools consistent with Vantive’s Global Acceptable Use of Information and Technology Policy including:

- 差別、ハラスメント、脅迫、性的、ポルノ、人種差別、性差別、中傷・名誉毀損、またはその他の侮辱的な性質を持つマテリアルを、故意にダウンロード、表示、転送してはならない。電子メディアは主に業務目的で使用すること。

Do not knowingly download, view or forward materials of a discriminatory, harassing, threatening, sexual, pornographic, racist, sexist, defamatory or otherwise offensive nature. Electronic media must be primarily used for business purposes.

Do communicate protected information (personal or trade secret) in a way that recognizes the sensitivity of the information, possibility of unauthorized access, and compliance to local data protection laws. Suppliers will be responsible for keeping Vantive-given password(s) secret.

- 文書、ソフトウエア、電子メール、その他のウェブページを介して有害なコンピューターウイルスがヴァンティブのネットワークに侵入する危険性を認識すること。ヴァンティブのシステム上で、有害なコンピューターウイルスを含むファイルやプログラムを故意に分離、圧縮解除、実行・起動、インストールしたり、そうしたウイルスを含む添付ファイルを開いたりしてはならない。また、インターネット上のいかなるマテリアルも、版権所有者の同意なしにダウンロードしたり、配布したりしてはならない。

Realize that documents, software, e-mails and other web pages could bring damaging computer viruses into Vantive’s network. Do not knowingly detach, decompress, run/launch or install any files or programs on Vantive’s systems or open attachments that have damaging computer viruses. Do not download or disseminate any material from the Internet unless the copyright owner has provided consent.

- 電子メディアに保存されたヴァンティブの企業データの保持期間、削除時期、およびそれらの方法に関する規定を順守すること。

Adhere to the timing and methods for retention and elimination of Vantive company data stored on electronic media.

貿易コンプライアンス

TRADE COMPLIANCE

供給業者は、適用される米国の輸出入規制、制裁措置、その他の貿易コンプライアンス関連法、および、取引が発生する当該国の法律の精神と条文を順守しなければなりません。 Suppliers must comply with the letter and spirit of all applicable import and export controls, sanctions, and other trade compliance laws of the United States and the laws of the applicable country(ies) where the transaction(s) occur(s).

環境・健康・安全

ENVIRONMENT, HEALTH & SAFETY

• 供給業者は、環境・健康・安全（EHS)に関して適用される全ての法令を順守しなければなりません。

• Suppliers are expected to comply with all applicable laws and regulations regarding environment, health and safety.

• ヴァンティブと共同で、またはヴァンティブの敷地内で作業を行う供給業者は、自身と他者の安全を確保し、ヴァンティブおよび政府のEHS要件に従って業務を遂行しなければなりません。ヴァンティブに影響を及ぼし得る緊急事態は速やかに報告しなければなりません。

• Suppliers working with Vantive or onsite at a Vantive location must work in a way that assures their own safety and the safety of others and in compliance with applicable Vantive and governmental environmental, health and safety requirements. Any emergencies that may impact Vantive must be reported promptly.

贈答と接待

GIFTS & ENTERTAINMENT

贈答や接待はヴァンティブとの取引に必要なものではなく、極力控えるべきです。

Gifts and entertainment are not needed in order to conduct business with Vantive and are highly discouraged.

• 以下のような状況はいかなる場合も不適切であり、明示的に禁止されています。

• The following situations are always inappropriate and are expressly prohibited:

- ヴァンティブ従業員の客観的な意思決定に影響を及ぼそうとする目的で、贈答品や接待を提供したり、優遇したりすること。

Giving a gift, entertainment, or preferred treatment with the intention of trying to influence the decision-making objectivity of a Vantive employee.

- 購入または契約に関する決定過程（RFI、RFQ、RFP）の進行中に、贈答品や接待を提供したり、優遇したりすること。

Offering any gift, entertainment, or preferred treatment while involved in a current purchasing or contracting decision process (RFI, RFQ, RFP).

- ギフトカード（商品券）を含む金銭の贈与。

Any gift of currency including “gift cards.”

- 供給業者またはその代理人が出席しない接待（スポーツ観戦やイベントのチケットなど）の提供。

Offering entertainment where the Supplier will not be present/represented (e.g., sports/event tickets).

- 供給業者主催のイベントにおける贅沢な行楽、旅行、宿泊の提供。

Offering extravagant recreational outings, travel, or lodgings at supplier sponsored events.

• ごく控えめな贈答品や接待、その他のビジネス上の儀礼は、それらが頻繁でなく、取引関係の向上に役立ち、かつ等価の返礼が可能な場合に限り、ヴァンティブの従業員による受領が認められます。

• On a rare and infrequent basis Vantive employees may accept very modest gifts, entertainment, or other business courtesies if it helps improve the business relationship and they would be able to reciprocate in equal value.

• ヴァンティブの従業員が供給業者に贈答品の提供を求めることは、たとえそれが慈善運動の支援のためであっても許されません。

• Vantive employees are not permitted to solicit suppliers for gifts including gifts to support charitable causes.

• 供給業者はヴァンティブのいかなる従業員に対しても、ヴァンティブの特定の従業員にしか与えられないという条件下で、製品またはサービスの購入機会や金銭的利害を提供してはなりません。

• Suppliers shall not offer an opportunity to purchase products, services, or a financial interest to any Vantive employees under terms not available to all Vantive employees.

個人情報取扱規程

Personal Information Handling Regulations

（個人情報を取り扱う際の基本的事項）

Article 1 (Basic Matters in Handling Personal Information)

第1 乙は、個人情報の保護の重要性を認識し、本取引条件および個別契約による事務を処理するに当たって、個人情報を取り扱う際には、個人のプライバシーを侵害することのないように努めなければならない。

Supplier acknowledges the importance of protecting personal information and shall endeavor not to infringe the privacy of individuals when handling personal information in the course of handling the work under these Terms and Conditions and the Individual Agreements.

（秘密の保持）

Article 2 (Confidentiality)

第2 乙は、本取引条件および個別契約による事務を処理するに当たって知り得た個人情報を正当な理由なく他人に知らせ、または不当な目的に使用してはならない。 Supplier shall not, without good reason, inform any other person or use for any improper purpose any personal information obtained in the course of handling work under these Terms and Conditions and the Individual Agreements.

2． 乙は、その使用する者が在職中および退職後においても、前項の規定を遵守するように必要な措置を講じなければならない。

Supplier shall take necessary measures to ensure the persons employed comply with the regulations set forth in the preceding paragraph during their tenure and even after retirement.

3． 前二項の規定は、個別契約が終了し、または解除された後においても同様とする。 The provisions of the preceding two paragraphs shall also apply after the ending or termination of an Individual Agreement.

（適正な管理）

Article 3 (Proper Management)

第3 乙は、本取引条件および個別契約に係る個人情報の機密漏洩、逸失または改ざんの

防止その他の個人情報の適正な管理のために必要な措置を講じなければならない。 Supplier shall implement measures necessary for the proper management of personal information to prevent the leakage, loss, or falsification of personal information pertaining to these Terms and Conditions and the Individual Agreements.

（再委託等の禁止または制限）

Article 4 (Prohibition or Restriction on Subcontracting, etc.)

第4 乙は、本取引条件および個別契約による事務の処理を第三者に委託し、または請け負わせてはならない。ただし、予め、甲が書面により承諾した場合にはこの限りではない。

Supplier shall not delegate or subcontract to any third party the handling of work relating to personal information under these Terms and Conditions and the Individual Agreements. Provided, however, that this provision shall not apply where prior written approval has been given by Xxxxxxx.

（複写､複製の禁止）

Article 5 (No Copying and Reproduction)

第5 乙は、本取引条件および個別契約による事務を処理するに当たって甲から貸与された個人情報が記録された資料等を､甲の承諾を得ることなく複写し、または複製をしてはならない。

Supplier shall not copy or reproduce without the consent of Vantive any materials containing personal information lent by Vantive in connection with the handling of the work under these Terms and Conditions and the Individual Agreements.

（事故発生時の報告事務）

Article 6 (Report Services in Case of Accident)

第6 乙は、この個人情報取扱規程に違反する事態が生じ、または生ずるおそれがあることを知ったときは、速やかに甲に連絡し、甲の指示に従うものとする。個別契約が終了し、解除された後においても同様とする。

If any event that violates the Personal Information Handling Regulations occurs or is likely to occur, Supplier shall promptly notify Vantive thereof and follow the instructions of Vantive. The same shall apply after the termination or cancellation of the Individual Agreement.

（個人情報管理状況についての監査）

Article 7 (Implementation of Inspection, etc.)

第7 甲は、乙が本取引条件および個別契約による事務を処理するに当たって取り扱っている個人情報の管理状況および取扱状況について、必要があると認めるときは、乙に対し報告を求め、または監査することができるものとする。

When deemed necessary, Vantive may request Supplier to submit a report or may inspect the situation of control and handling of personal information handled by Supplier in the course of the handling of the work under these Terms and Conditions and the Individual Agreements.

2． 乙は、甲から前項の指示があったときは、速やかにこれに従わなければならない。 Supplier shall promptly comply with the instructions of Vantive as set forth in the preceding paragraph.

（資料等の返還）

Article 8 (Return of Materials, etc.)

第8 乙は、本取引条件および個別契約による事務を処理するに当たって甲から貸与さ れ､または収集し、もしくは作成した個人情報が記録された資料等を､事務完了後 または甲の求めに応じて速やかに甲に返還し、または引き渡すものとする。ただし、甲が別に指示したときは、その方法によるものとする。

Supplier shall return or deliver to Vantive materials, etc., in which personal information has been recorded that have been lent, collected, or prepared by Vantive in the course of handling work under these Terms and Conditions and the Individual Agreements. Provided, however, that if Vantive otherwise directs, such procedures shall be followed.

（契約の解除および損害賠償）

Article 9 (Termination of Agreements and Compensation for Damages)

第9 甲は、乙がこの個人情報取扱規程に違反していると認めたときは、契約の解除および損害賠償の請求をすることができる。

Vantive may terminate agreements and claim compensation for damages if it determines that Supplier has breached the Personal Information Handling Regulations.

Rules for the Elimination of Anti-Social Forces

（反社会的勢力の定義）

(Definitions of Anti-Social Forces)

第1条 本規程において「反社会的勢力」とは、次の各号の一に該当する者をいう。

Article 1 For the purpose of these regulations, “Anti-Social Forces” shall mean any person who falls under any one of the following:

(1) 「暴力団員による不当な行為の防止等に関する法律」第 2 条に規定する暴力団、およびその関係団体

Organized crime group and related organizations stipulated in Article 2 of the Act on Prevention of Unjust Acts by Organized Crime Group Members;

(2) 前号記載の暴力団およびその関係団体の構成員

Members of organized crime group and related organizations described in the preceding item;

(3) 「総会屋」、「社会運動標ぼうゴロ」、「政治活動標ぼうゴロ」、「特殊知能暴力集団」などの団体または個人

Organizations or individuals including “corporate extortionist (sokai-ya)” “crime group pretending to be a social activist and the like (xxxxxx-xxxx xxxxxx xxxx)” and “a racketeer acting in the name of political activity (seiji-katsudo hyoubo goro)” and “special intellectual violent organizations” (tokushu chino xxxxxxx xxxxxx); and

(4) その他前各号に準ずる者

Any other person equivalent to any of the preceding items.

（表明・保証）

(Representations/Warranties)

第2条 乙は、現在および将来において、次の各号のとおりであることを表明し、これらを保証する。

Article 2 Supplier represents and warrants that the following items are correct presently and in the future:

(1) 自らが反社会的勢力ではないこと

It is not an Anti-Social Force;

(2) 反社会的勢力を利用しないこと

It does not use Anti-Social Forces;

(3) 役員等が反社会的勢力ではなく、反社会的勢力との交際がなく、かつ反社会的勢力を利用しないこと

Officers, etc. are not Anti-Social Forces, do not associate with Anti-Social Forces, and do not use Anti-Social Forces; and

(4) 自らまたは第三者を利用して次の行為を行わないこと

It does not engage in any of the following acts on its own or through the use of a third party:

① 暴力的な要求行為

claims made with forceful behavior and acts of violence

② 法的な責任を超えた不当な要求行為

unjust claims exceeding legal responsibilities

③ 取引に関して、詐欺的手法を用いあるいは脅迫的な言動をし、または暴力を用いる行為

use of threatening action or statements claims made with forceful behavior and acts of violence, or violent acts and behaviors in connection with any transaction

④ 風説を流布し、偽計を用いまたは威力を用いて相手方の信用を毀損し、または相手方の業務を妨害する行為

acts and behaviors which may damage the credit or obstruct the business of another person by spreading false rumors or the use of fraudulent means or by force

⑤ その他本号①から④に準ずる行為

other acts and behavior equivalent to the above ① through ④

（報告義務）

(Duty to Report)

第3x xは、xxに対する自己の違反を発見した場合、直ちに甲にその事実を報告するものとする。

Article 3 If Supplier discovers any breach of the preceding article, it shall immediately report such fact to Vantive.
