以下是德服务条款(以下简称为本“条款”)连同相应的服务描述(“服务附件”)及报价单中所载明的条款,适用于是德科技(中 国)有限公司、是德科技(中国)有限公司上海分公司、是德科技(中国)有限公司成都分公司、是德科技(中国)有限公司深 圳分公司、是德科技(中国)有限公司广州分公司与是德科技(中国)有限公司沈阳分公司(单独称为“是德”或统称为“是德”) 的产品服务与软件更新授权。进行销售的“是德”法律主体记载于所附之报价单或销售订单确认书。如上述文件之间存在任何冲突, 以服务附件中的规定为准。“产品” 是指依据任何可适用的服务附件所记载的,由是德提供支持服务的是德产品或其他第三人硬件设备。“服务”是指任何对于产品的标准服务。
1. 双方的责任
a) 是德应采用专业、熟练的方式提供服务。是德应做出合理的努力,以按照报价单或适用服务附件的要求提供服务。并且,是德可以选择合格的、信誉良好的分包商提供服务。
b) 产品应为当时指定的修正版本且可能需要客户自费获得是德证明其处于良好之操作状况。
c) 搬移产品可能会导致额外的服务费用及更改服务响应时间。产品搬移至另一个地方时,其服务须视当地有否提供而定。
d) 客户必须将不符合服务条件的产品去除以使是德得以提供服务。如因此增加工作量,则可能产生额外费用。
e) 服务不涵盖下列因素所致之损毁或缺失:
1) 使用非是德之媒介,供应品及其它产品;
2) 场地状况不符合是德之规格;
3) 客户之疏忽,不当使用,火损或水损,电器干扰, 搬运,非是德员工或分包商之工作或修改,或其它非是德控制之原因。
f) 客户应负责保存产品外部程序以重建丧失或改动之文件,资料或程序。是德于客户场地提供服务时,应有客户代 表在场。如产品于存在潜在健康危害的环境下使用时, 客户应告知是德;是德可要求客户于是德之监督下维护 此产品。

4. 价格与支付
a) 价目不包括由客户支付的任何营业税、增值税或其它类似税项。各方应承担根据适用法律规定应由该方承担的税收和税项,如在销售条款或定单存续期间,相关税收政策或税率发生变化,应依照最新的税收政策及税率执行。
b) 列于报价单或确认文件中的支付条款可基于客户之财政状况或付款纪录随时更改。服务协议的发票应于服务起始日时开出。如果客户未支付该付款项或未履行此协议或任何是德其它协议,并且在是德作出书面通知 10 天后仍无改正的情况下,是德可停止提供服务。
5. 保修
a) 自维修服务提供之日起 90 天内,是德负责免费更换维修产品中有瑕疵部件。
b) 是德保证是德软件更新如安装妥当且使用于是德指定之设施时,不致因材料或制造之瑕疵而无法执行其程序, 并保证是德之标准软件与规范具体上相符。是德不保证软件更新可于客户自行配搭之软、硬件上运作,或符合客户之特定要求。是德不保证软件更新不中断或无错误。
c) 是德服务可以使用效能等同于新制品之重新整理过的再造组件。
d) 上列保修不适用于客户或非是德授权之第三方之不当使

3. 装运、丢失风险及验收
a) 客户应自付所有费用负责将产品运送至是德服务中心。是德应按照是德的标准运输方法自付费用将产品返送给客户。
b) 有形交付物的丢失和损坏风险应在报价单中或订单确认书中所规定的地点转移至客户。
c) 服务履行完毕即视为验收合格。
6. 授权
除非软件更新中已含有授权条款,根据本条款所授权的任何软件更新均适用于最新的主要授权规定。

a) 是德对客户就依本条款交付物,于使用或销售之国家内有侵害他人知识产权时,加以辩护或协议和解争议,但客户须立即书面通知是德;且在法律容许下就其辩护或协议和解与是德合作并授权是德全权处理。
b) 若有 7a)项的侵权行为争议出现,是德将支付辩护费用,
和解款项及法院判定之损害赔偿。如侵权指控可能成立时
,是德得依其意向修改相关的交付物、或取得所有必要之授权,或替换之。如认为无法合理解决时,是德将退还全部货款。
c) 对下列侵权指控是德不负责:
1) 是德配合或使用客户之设计、规范、指示或技朮资料;
2) 经由客户或第三者修改;
3) 软件更新之使用为是德规范或相关规定所禁止;或
4) 交付物与非是德提供的产品联合使用;
d) 本条款为是德对知识产权侵害之所有责任。
8. 责任限制范围与补救方式
a) 是德、其分包商或供货商无论在任何情形下不为特种、附 附附 、间接性或相随产生的损失赔偿负责(包括未能运作成本、资料灭失、修复成本或利润损失),不论这些争议是基于合同、民事侵权、保证或者任何其它法理原则,即使该等赔偿的机会率已清楚。本条责任限制适用于本条款所定的任何补偿, 即使其责任限制未能符合双方交易的主要目的。
b) 上列于第 8(a)条的限制不适用于第 7 条的侵害他人知识产权争议或者是人命伤亡的赔偿。
c) 本条款所列之补救方式为客户之唯一与全部补救方式。
9. 期限与终止
a) 在下列有书面通知的情况下,订单或服务协议可立即终止:(a)如果一方违约,另一方在发出书面通知后可立即终止订单或服务协议,除非另一方在接到违约书面通知书后 30 日内改正了违约行为;(b)如果客户未能按照全额付清以上第 4(b)条下的金额,是德在发出书面通知后可立即终止订单或服务协议。
b) 如果一方正在自愿申请破产或被要求提出破产申请、已经破产、无力偿还到期债务、停止当前业务、为了债权人的利益进行财产让与或达成其它和解,正常业务活动出现明显停止或者被指定了财产接管人或信托管理人, 则任何订单或服务协议将自动终止。
c) 订单或协议根据 9 a) 或 9 b)中的规定终止之后,客户应向是德支付截止到终止之日是德已完成的所有服务的费用以及相应的花费。如果此类金额低于是德所收到的预付款,是德应在接到客户发票之日起 30 日内向客户退还多余款项。客户应接收其已支付的、尚未全面完成的所有工作。
d) 任何条款如依其性质于服务终止后仍应维持有效者,将于履行完成前继续有效。
10.通则
a) 未经是德事先书面同意,客户不得将服务协议转让或转移,该转移或转让可能会有相应的费用及适用的条款。在通知客户后,是德可以将其在本条款及适用的服务附件下的权利或义务转让或转移。
b) 是德将根据是德隐私准则储存和使用客户的个人信息, 该 隐 私 准 则 的 具 体 内 容 可 见 网 址 xxxx://xxx.xxxxxxxx.xxx/xx/xxxxxxx。是德不能出卖、出租和租用客户个人信息。
c) 双方同意遵守有关法律法规,如客户违反有关法律法规, 是德可中止履行其义务。
d) 客户明示同意负责从所有适当的政府部门取得在产品、技术或技术资料出口,再出口或转移之前的任何及所有必要的出口授权,并且遵守任何有关此类转让或交易所有适用法律法规。客户不得出售或转让产品、技术或技术资料予任何由美国政府指定或限制的主体,或是包含在任何美国政府持有的人员名单限制,包括但不限于(i)特别指定国家(Specially Designated Nationals)及禁止销售对象名单(Blocked Persons List)中所列的公司或个人,(ii)外国制裁逃税者名单 (Foreign Sanctions Evaders List), (iii)部门制裁指定名单 (Sectoral Sanctions Identification List), (iv)实体名单 (Entity List), (v)拒绝銷售的当事人名单 (Denied Persons List), (vi) 未经核实的名单 (Unverified List) (统称为“美国限制列表”)。有关这些和其他适用名单的进一步信息可从以下网址获得: xxx.xxxxxxxx.xxx 或 xxx.xxx.xxx.xxx。如果客户不遵从本款的规定,是德可全权决定,暂停履行或取消全部或部分的订单, 并且, 如果这些活动涉及以任何方式,任何美国限制列表的实体, 是德可全权决定拒绝执行任何的产品售后服务
(包括但不限于在保修期内的任何维修或更换)。
e) 在任何超出一方合理控制且非一方过失或疏忽的情况下, 包括但不限于天灾 (如火灾,水灾,风灾,地震,飓风或其他自然灾害)、公敌行为(如内战,叛乱,革命 或恐怖主义活动)、政府因主权或缔约能力制定的法规、法案或限制、流行病、检疫限制、罢工、停工、中断或 公共设施失序、共同运货人的作为或不作,任何一方将 免于履行其在本销售条款项下的义务并不承担责任。
f) 美国政府使用、发布成披露产品时,应遵守 DFARS 227.7202-3 (《商用计算机软件的权利》)、DFARS 252.227-7015 (《商用品的技术数据》),以及 FAR 52.227-19(《商用计算机软件的保留权利》)等的规定。
g) 同服务条款相关的争议应受中华人民共和国的法律管辖。各方之争议无法协商解决时,任何一方得向中国国际经 济贸易仲裁委员会提出仲裁,仲裁地:北京。仲裁将依
据当时有效的中国国际经济贸易仲裁委员会仲裁规例进行,而该裁决为最终裁决对双方均有约束力。
h) 若本条款有任何部份被判定为不合法或无法执行,本条款的其它部份仍保持有效。
i) 本条款与所附的所有服务附件构成全部是德与客户之协议,取代先前双方任何有关之口头或书面通讯,意思表示或协议。客户追加或与此不同之条件均不适用。
These Keysight Service Terms (“Terms”) along with the applicable description of Service (“Service Exhibit”) and the terms indicated on the quotation govern the Service of Products and the license of software updates by Keysight Technologies (China) Co., Ltd, Keysight Technologies (China) Co., Ltd. Shanghai Branch, Keysight Technologies (China) Co., Ltd. Chengdu Branch, Keysight Technologies (China) Co., Ltd. Shenzhen Branch, Keysight Technologies (China) Co., Ltd. Guangzhou Branch and Keysight Technologies (China) Co., Ltd. Shenyang Branch (referred to individually or collectively as “Keysight”) and, where designated, means the Keysight legal entity or branch which is stated in the attached quotation or order acknowledgment documentation. In the event of a conflict herewith, the Service Exhibit will prevail. "Product" means Keysight or third party hardware that is supported by Keysight as described, if applicable, in any Service Exhibits. "Service" means any standard service to support Products."
1. PARTIES RESPONSIBILITIES
a) Keysight will perform Service in a professional and workmanlike manner. Keysight will make reasonable efforts to deliver Service in accordance with the quotation or the applicable Service Exhibit and may select qualified and reputable subcontractors to perform Service.
b) Product must be at current specified revision levels and may require Keysight’s certification, at Customer’s expense, that Product is in good operating condition.
c) Product relocation may result in additional Service charges, modified service response times and if moved subject to availability.
d) Customer must remove products not eligible for Service to enable Keysight to perform Service and may incur additional charges for any extra work caused.
e) Service does not cover damage, defects or failures caused by: use of non-Keysight media, supplies and other products; site conditions that do not conform to Keysight's specifications; neglect, improper use, fire or water damage, electrical disturbances, transportation, work, or modification by non-Keysight employees or subcontractors, or causes beyond Keysight'scontrol.
f) Customer is responsible for maintaining a procedure external to the Product to reconstruct lost or altered Customer files, data or programs, and for having a representative present when Keysight provides Service at Customer's site. Customer will notify Keysight if Product is being used in an environment that poses a potential health hazard. Keysight may require Customer to maintain such Product under Keysightsupervision.
2. ORDERS AND CANCELLATIONS
a) All orders are subject to acceptance by Xxxxxxxx.
b) Unless stated otherwise in the Service Exhibit, cancellation is subject to Keysight’s prior consent and any applicable fees, details of which are available onrequest.
3. SHIPMENT, RISK OF LOSS ANDACCEPTANCE
a) Customer will pay all expenses for return of Product to the Keysight service center. Keysight will pay expenses for return of Product to Customer via Keysight’s standard shippingmethods.
b) Risk of loss and damage for tangible deliverables will pass to Customer at the location specified in the quotation or order acknowledgment.
c) Acceptance of Service will occur uponperformance.
4. PRICE AND PAYMENT
a) Prices exclude any applicable sales, value added or similar tax payable by Customer. Each party shall bear and be responsible for any and all tax which shall be borne by such party according the applicable law and regulations under these Terms and subject to any change or update to the applicable laws and regulations.
b) Payment terms are per the quotation or order acknowledgement and are subject to change if Customer’s financial condition or payment records so warrants. Invoices for Service agreements will be issued on the service start date of the Service period. Keysight may stop performance if Customer fails to pay any sum due, or fails to perform under this or any other Keysight agreement if, after ten
(10) days written notice, the failure has not been cured.
5. WARRANTY
a) Keysight will replace, at no charge, defective parts used in Keysight’s repair of Product for ninety (90) days from the date of Service.
b) Keysight warrants that software updates will not fail to execute programming instructions due to defects in materials and workmanship when properly installed and used on hardware designated by Keysight. Keysight warrants that Keysight owned standard software updates substantially conform to specifications. Keysight does not warrant that software updates will operate in hardware and software combinations selected by Customer, or meet requirements specified by Customer. Keysight does not warrant that software updates will be uninterrupted or error free.
c) Keysight Service may use remanufactured parts that are equivalent to new inperformance.
d) The above warranties do not cover defects resulting from improper or inadequate maintenance, installation, repair or calibration performed by Customer or an unauthorized third party; Customer or third party supplied hardware or software, interfacing or supplies; unauthorized modification; improper use or operation outside of the specifications for the Product; abuse, negligence, accident, loss or damage in transit; or improper sitepreparation.
e) THE WARRANTIES IN THESE TERMS ARE EXCLUSIVE AND NO OTHER WARRANTY, WHETHER WRITTEN OR ORAL, IS EXPRESSED OR IMPLIED. KEYSIGHT SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE ANDNON-INFRINGEMENT.

7. INTELLECTUAL PROPERTY CLAIMS
a) Xxxxxxxx will defend or settle any claim against Customer that any deliverable provided under these Terms infringes an intellectual property right provided Customer promptly notifies Keysight in writing and provides control of the defense or settlement, and assistance to Keysight.
b) In defending or settling an infringement claim under Section 7(a), Keysight will pay infringement claim defense costs, settlement amounts and court-awarded damages. If such a claim appears likely, Keysight may, at its option, modify or replace the affected deliverable, or procure any necessary license. If Keysight determines that none of these alternatives is reasonably available, Keysight will refund Customer's purchaseprice.
8. LIMITATION OF LIABILITY ANDREMEDIES
a) In no event will Keysight, its subcontractors or suppliers be liable for special, incidental, indirect or consequential damages (including downtime costs, loss of data, restoration costs, or lost profits) regardless of whether such claims are based on contract, tort, warranty or any other legal theory, even if advised of the possibility of such damages. This exclusion shall apply even if any remedy set forth in these Terms fails its essentialpurpose..
b) The limitations set forth in Section 8 (a) above will not apply to infringement claims under Section 7 above, or to damages for bodily injury or death.
c) The remedies in these Terms are Customer’s sole and exclusive remedies.
9. TERM AND TERMINATION
a) An order or a Service agreement may be terminated immediately upon notice in writing (a) by either party, for cause, unless the other party cures the breach within thirty (30) days of written notice of such breach or (b) by Keysight if Customer fails to pay any sums due as specified in Section 4(b) above.
b) Any order or Service agreement will terminate automatically if either party is subject to a voluntary or involuntary bankruptcy petition, becomes insolvent, is unable to pay its debts as they become due, ceases to do business as a going concern, makes an offer or assignment or compromise for the benefit of creditors, or there is a substantial cessation of its regular course of business, or a receiver or trustee is appointed for such party’sassets.
c) Upon termination in accordance with 9a) or b) Customer will pay Keysight for all Service performed and charges and expenses incurred by Keysight up to the date of termination. If the sum of such amounts is less than any advance payment received by Keysight, Keysight will refund the difference within thirty (30) days of receipt of an invoice from Customer. Customer will receive all work in progress for which Customer has paid.
10. GENERAL
a) Customer may not assign or transfer a Service agreement without Xxxxxxxx’x prior written consent, which may be subject to applicable charges and terms. Keysight may assign or transfer any of its rights or obligations under these Terms and applicable Service Exhibits uponnotice.
b) Keysight will store and use Customer's personal data in accordance with Xxxxxxxx'x Privacy Statement available at – xxx.xxxxxxxx.xxx/xx/xxxxxxx. Keysight will not sell, rent or lease Customer's personal data toothers.
c) The parties agree to comply with applicable laws and regulations. Keysight may suspend performance if Customer is in violation of applicable laws orregulations.
d) Customer expressly agrees that it assumes full responsibility for obtaining any and all required export authorizations from all applicable government authorities prior to exporting, re-exporting or transferring Products, technology or technical data and for complying with all applicable laws and regulations relating to any such transfer or transaction. Customer shall not sell or transfer Products, technology or technical data to any entity designated or identified by the U.S. Government as a restricted person or included on any U.S. Government-maintained restricted person list, including, but not limited to, (i) the Specially Designated Nationals and Blocked Persons List, (ii) the Foreign Sanctions Evaders List,
(iii) the Sectoral Sanctions Identification List, (iv) the Entity List, (v) the Denied Persons List, and (vi) the Unverified List (collectively, “US Restricted Lists”). Further information on these and other applicable lists can be found at xxx.xxxxxxxx.xxx or xxx.xxx.xxx.xxx. Keysight may, in its sole discretion, suspend performance or cancel all or part of the order if Customer is designated on US Restricted Lists or does not comply with the provisions of this section and may, in its sole discretion, refuse to perform any post-sale services with respect to the Product (including, but not limited to, any repair or replacement under warranty) if such activities would involve in any way, an entity on any US Restricted Lists.
e) A party is excused from and not liable for performance of its obligations under these Terms for any occurrence beyond its reasonable control and without its fault or negligence including, but not limited to, acts of God (such as fires, floods, storms, earthquakes, hurricanes or other natural disasters), acts of the public enemy (such as civil war, rebellion, revolution or terrorist activities), regulations, acts or restraints of a government in either its sovereign or contractual capacity, epidemics, quarantine restrictions, strikes, lockouts, interruption or failure of utilities, or acts or omissions of commoncarriers.
f) Use, distribution or disclosure of Products by the U.S Government is subject to DFARS 227.7202-3 (Rights in Commercial Computer Software), DFARS 252.227-7015 (Technical Data – Commercial Items), and FAR 52.227-19 (Commercial Computer Software- RestrictedRights).
g) Disputes arising in connection with these Terms will be governed by the laws of the People’s Republic of China. Any dispute not settled through negotiation or conciliation, shall be submitted to China International Economic and Trade Arbitration Commission in Beijing for arbitration. The arbitration shall be conducted under The Commission’s arbitration rules in effect at the time being of applying for arbitration. The award of the Commission is final and binding upon bothparties.
h) To the extent that any provision or a portion of any provision of these Terms is determined to be illegal or unenforceable, the remainder of these Terms will remain in full force and effect.
i) These Terms and any Service Exhibits attached hereto constitute the entire agreement between Keysight and Customer, and supersede any previous communications, representations or agreements between the parties, whether oral or written, regarding transactions hereunder. Customer's additional or different terms and conditions will notapply.
