經修訂及重訂之條款及細則將於 2021 年 1 月 1 日生效
x條款及細則適用於周生生之友計劃(以下稱為「本計劃」)。本計劃的會員將被稱為「周生生之友」或「會
員」。 於本條款及細則中,「集團」指xxx集團國際有限公司及其附屬公司,而「周生生」則指xxx珠寶金行有限公司,集團之附屬公司。
現時集團持有自家品牌「周生生」、「點睛品」、「MINTYGREEN」、「PROMESSA」及代理品牌「MARCO BICEGO」、「ROLEX」、「TUDOR」等分店品牌(以下統稱爲「集團旗下品牌」),均以周生生之友系統支援客戶關係管理。
1. 一般條款及細則
(a) 本計劃由周生生提供及管理。
(b) 顧客登記及獲認可為會員後,將有資格按本條款及細則享有某些福利。該等福利除列於本條款及細則外,部份亦詳列於以下網址:xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxxxxxxxxxx/ (其有關周生生之友福利之內容透過被引用而納入為本條款及細則的一部份),網址內容可由周生生不時更改而無需會員同意。
(c) 周生生之友會籍只可用於個人購物,而除非得到周生生的書面同意,周生生之友會籍並不能用作商業或宣傳用途或其他用途。
(d) 周生生保留一切權利於任何時候就本計劃及其相關計劃(包括但不限於悦享錢獎賞計劃)的結構、規則、權利、福利及其他特點做出修改,及於任何時候終止本計劃及/或其相關的計劃;在不影響前述條文的一般性的原則下,周生生有權不時修改本條款及細則而無需會員同意,惟周生生將事先通知會員有關本計 劃、其相關計劃及/或本條款及細則的修改。本條款及細則作修改後,會員繼續使用本計劃或其相關計劃將被視為接受該等修改。周生生並不會就任何因修改本計劃及其相關計劃,或更改本條款及細則而招致或相關的一切損失或損害負上任何責任。
1.1. 周生生之友申請資格
(a) 除受第 1.1(c)條及第 1.3 條限制外,不論是否曾經於周生生購物都可進行周生生之友登記,只須填寫周生生提供之登記表格上要求之資料、同意本條款及細則及驗證手機號碼或電郵地址即可成為周生生之友。會籍登記不設任何入會費。登記途徑包括:
⑴ 集團旗下品牌的分店;
⑵ 集團旗下的官方網上珠寶店(包括官方網站之網上珠寶店及官方微信商城);
⑶ 集團指定電子商業平台(以下稱為「指定電商」)之網上珠寶店(如天貓、京東);
⑷ 周生生官方網上會員專頁;
⑸ 周生生官方社交媒體專頁(包括微信會員專頁);及
⑹ 周生生之友官方流動裝置應用程式。
成為周生生之友後,申請人便能開始透過於任何集團旗下品牌分店及官方網上珠寶店,以及指定電商之網上珠寶店累積消費(以下稱為「合資格消費額」)以符合不同會員層級資格並享有該層級會員福利。
(b) 每位本計劃的會籍申請人保證並聲明其向周生生提供的資料為真實、完整及準確。
(c) 周生生享有獨有及最終的權利接受或拒絕任何本計劃的會籍申請,並無須就其決定提供任何理由。
1.2. 會員識別
(a) 除非於集團旗下的官方網上珠寶店或指定電商之網上珠寶店購物,會員購物或使用服務前必須出示其有效身份證明(定義請見第 1.2(b)條)方可享本計劃會員福利(包括但不限於會員累積合資格消費額、購物折扣、賺取及使用「悦享錢」(如適用)、會員服務及優惠)。對未能提供有效證明之顧客,周生生有權拒絕給予會員本計劃之福利。
(b) 有效身份證明指周生生之友網上會員專頁及/或微信會員專頁及/或周生生之友流動裝置應用程式內的電子會員卡。
(c) 如會員於集團旗下的官方網上珠寶店或指定電商之網上珠寶店購物,則須在相關購物前於網上珠寶店平台登入周生生之友會員戶口以識別會員身份,方可享會員福利。
1.3. 會員體系
x計劃之會員體系將會根據以下三種會籍層級設置:

^合資格消費額之有效累積期為會員會籍層級之有效期。如會員延續會籍層級,合資格消費額會於下一個會籍層級
有效期期間重新計算。
# 港幣/人民幣/澳門幣以 1 對 1 換算,台幣/港幣以 1 對 0.25 換算。
1.3.1. 合資格消費額計算方法
(a) 會員成功登記周生生之友會籍並在相關購物前出示有效的電子會員卡或於官方或指定電商之網上珠寶店平台登入會員戶口以識別會員身份後,方可即時累積合資格消費額(不可在相關購物完成要求補回會員消費及累積合資格消費額)。
(b) 合資格消費額之有效累積期為會員會籍層級之有效期,最長為 24 個月。第一期的累積期由會員註冊後的第一宗交易開始計算,並於會籍到期日結束。如會員成功根據第 1.3 條延續會籍層級,新一期合資格消費額累積期由延續會籍層級的第一天開始計算,至新會籍到期日結束。於新一期合資格消費額累積期開始之日,前一期合資格消費額累積期內的合資格消費額將被清零。
(c) 受限於本第 1.3.1(c)條之下文,合資格消費額可透過於任何集團旗下品牌分店及官方網上珠寶店,以及指定電商之網上珠寶店購物累積。會員於指定電商之網上珠寶店購物,必須於當次購物或之前先綁定其周生生之友會籍,方可自動累積合資格消費額。以上渠道之合資格消費額均可一併累積計算。港幣/人民幣/澳門幣以 1 對 1 換算,台幣/港幣以 1 對 0.25 換算。
(d) 合資格消費額以淨價計算 (即扣除折扣及以「悦享錢」(如適用)抵銷之金額後會員實際所付之最後金額)。
(e) 為免除疑問,合資格消費額並不包括企業禮品、配件(定義由周生生不時指定及/或修訂) 、附件(如金屬
(磁石)扣繩等)、購買集團旗下品牌之禮券(如適用)、服務的消費及退回之貨品。
1.3.2. 會員升級
(a) 會籍層級根據第 1.3 條自動實時升級。升級後,後續購物即享本條款及細則規定之相關會籍層級之折扣優惠及福利。
(b) 升級後會籍層級的有效期為會籍升級後的翌年 12 月 31 日止,除非升級會籍根據第 1.3 條延續。
(c) 基本會員有任何合資格消費額,將即時升級為高級會員。
(d) 基本會員/高級會員於相關會籍有效期內(如適用)合資格消費額總金額淨價累積達到港幣/人民幣/澳門幣 10,000 元或台幣 40,000 元(港幣/人民幣/澳門幣以 1 對 1 換算,台幣/港幣以 1 對 0.25 換算),將即時升級為尊尚會員;惟如會員延續會籍層級,合資格消費額會於下一個會籍有效期由零開始重新計算,即延續會籍層級的第一天開始計算,至延續會籍層級後的新會籍到期日結束,之前的合資格消費額將不被計算。
1.3.3. 會員降級
(a) 高級會員/尊尚會員如於會籍有效期間之最後一年度內的 1-12 月並沒有任何合資格消費額,該會員於再下年度 1 月 1 日將自動降級為基本會員,後續只能享基本會員福利。
(b) 基本會員不設降級,亦不設會籍有效期。
1.3.4. 會員級別調整
如會員退回從集團旗下品牌購買之貨品,累積合資格消費額會扣除退回貨品的消費金額,累積合資格消費額將不包括退回貨品的消費金額。在不影響前述內容的一般性下,周生生可即時取消退回貨品的消費金額引致的會籍層級升級,並把會員的會籍調整到相應的層級。
1.4. 服務及優惠
(a) 受制於第 1.2 條,周生生之友可按其會籍層級享有以下服務及優惠:
⑴ 珠寶售後服務
⑵ 禮賓服務**
⑶ 購物折扣優惠 (只限尊尚會員)
⑷ 自動加入「悦享錢」計劃(如適用)
⑸ 會員推薦計劃 (只限尊尚會員)
⑹ 獲邀參與尊貴活動**
⑺ 特選顧客生日優惠**
⑻ 最新珠寶首飾資訊
**只限周生生不時指定之會籍層級之會員
(b) 各個會籍層級之會員可享有之相關之福利詳情及條件,可參閱網址:

1.4.1. 購物折扣優惠
(a) 尊尚會員於集團旗下品牌分店及官方網上珠寶店購物,可享周生生不時書面指定之常規尊尚會員折扣,或於周生生指定之優惠活動可享額外折扣。詳情可參閱網址: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxxxxxxxxxx/,網址內容可由周生生不時更改而無需會員同意。
(b) 尊尚會員折扣不適用於指定電商之網上珠寶店。
(c) 已使用尊尚會員折扣之交易不可使用「悦享錢」(如有)。
(d) 如會員因退貨而導致會籍根據第 1.3.4 條降級,其不會被要求退回因退回之貨品而已享用的購物折扣。
1.4.2. 會員推薦計劃
由尊尚會員(「推薦人」)推薦之新會員(「被推薦人」)可根據本第 1.4.2 條享有額外優惠。
(a) 被推薦人
被推薦人登記成為會員及其後在集團旗下品牌分店及官方網上珠寶店首次購物,可就該次購物享常規尊尚會員折扣一次。
(b) 推薦流程
被推薦人於第 1.1(a)條所訂之任何登記途徑登記成為會員後,在集團旗下品牌分店及官方網上珠寶店首次購物時,提供推薦人的會員登記電話及會員編號即能成功被推薦。(注意: 推薦福利並不適用於指定電商之網上珠寶店。)
1.5.「悦享錢」計劃
以下只適用於 2020 年 12 月 31 日前已參與「悦享錢」計劃之會員。
為了帶來更好的客戶體驗,會員積分計劃將進行調整。由 2021 年 1 月 1 日起,「悦享錢」暫停派發。 會員現時持
有的「悦享錢」則不受影響,仍可於 2021 年 9 月 30 日或之前照常使用。
(a) 「悦享錢」計劃只適用於集團旗下品牌分店。
(b) 會員於使用「悦享錢」前必須出示有效的電子會員卡或登入其會員帳戶以識別會員身份。
(c) 使用「悦享錢」:
(i) 受限於本第 1.5(c)條之下文,會員可於第 1.5(c)(viii)條所訂之有效期內於第 1.5(a)條所指定之地點購買以下貨品時以「悦享錢」抵扣其售價。詳情如下:

(ii) 周生生指定之附件(包括但不限於金屬(磁石)扣繩等),不論任何淨售價,可以最高 100%
換購。
(iii) 每件合資格貨品之淨價必須滿港幣/人民幣/澳門幣 1,000 元或台幣 4,000 元方可使用「悦享錢」(周生生指定之附件除外,包括但不限於金屬(磁石)扣繩等)。
(iv) 使用「悦享錢」可抵扣之金額有上限,所有會籍級別上限一致,抵扣之金額必須為整數之「悦享錢」,及不可高於 1.5(c)(i)條所列出之每件合資格貨品淨售價之適用百分比。
(v) 「悦享錢」不可與周生生其他折扣優惠共同使用。
(vi) 會員不可選擇每件貨品扣減指定金額「悦享錢」;會員一經選擇就某合資格貨品使用「悦享錢」,周生生將按本第 1.5(c)條從合資格貨品售價扣減最大額的「悦享錢」。
(vii) 以「悦享錢」抵扣合資格貨品售價,抵扣金額將以使用購物地點當地之貨幣按以下換算方法計算:
1 「悦享錢」 =港幣 1 元/人民幣 1 元/澳門幣 1 元/臺幣 4 元
(viii) 於 2020 年 10 月 1 日至 2020 年 12 月 31 日所賺取之「悦享錢」可使用之有效期直至
2021 年 9 月 30 日,逾期自動失效。
(d) 貨品更換或退回
以下條款只適用於集團之商品退換政策下可更換或退回的貨品。商品退換政策載於以下網
址: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxx-xxxxxxx-xxxxxxxxx, 網址內容可由周生生不時更改而無需會員同意。
(i) 假如已賺取「悦享錢」的貨品其後被從集團(或其任何成員)購買該等貨品的會員(下稱「原購 會員」)退回,周生生有權在原購會員之帳戶扣減該會員因該貨品所獲贈的「悦享錢」;若該會員的
「悦享錢」已被全部或部分使用,不足退回該會員因該貨品所獲贈的「悦享錢」,該會員退回已賺取之「悦享錢」貨品前, 須以現金補回「悦享錢」不足之差額。原購會員同意周生生有權於退回貨品金額時直接扣減該會員須補回「悦享錢」不足之差額。每「悦享錢」等於港幣/人民幣/澳門幣 1 元或台幣 4 元。
(ii) 假如同宗交易包括多於 1 件貨品,而原購會員只退回其中部分貨品,該會員所應扣減之「悦悦享錢」為其因被退回貨品所賺取的「悦享錢」。
(iii) 假如以「悦享錢」換購或抵扣售價的貨品其後根據集團之商品退換政策被原購會員更換或退回,該已使用的「悦享錢」將退還予原購會員; 但如當時所使用之「悦享錢」在更換或退回貨品之日已過使用有效期限,則相關「悦享錢」退還後於原購會員帳戶內立即失效。
(iv) 如原購會員根據集團之商品退換政策要求換貨,則被視為退回原貨品再銷售新貨品處理,原購會員可按第 1.5(c)條因上述銷售使用「悦享錢」,及按第 1.5(d)(i)-(iii)條因上述退貨而扣減或退還「悦享錢」。
(e) 如會員要求易貨並須就此補付差額,則會員可按第 1.5(c)條使用「悦享錢」,惟在此等情況下第 1.5(c)條項下對消費金額及/或售價的要求須當作對補付差額的要求。易貨即根據集團相關的服務細則,以從周生生購買的舊貨品換購新貨品。
(f) 在任何情況下,「悦享錢」不能兌換現金,以及不可轉贈或轉讓。
(g) 如周生生發現任何會員就使用「悦享錢」涉及舞弊或欺詐行為,在不限制周生生其他之權利下,該會員所有已獲得的「悦享錢」均可被取消或凍結。
2. 終止及暫停會籍
xxx享有獨有酌情決定權,可在下列情況下,即時暫停或終止任何會員之會籍,惟周生生應給予該會員通知並作出說明:-
(a) 周生生認為該會員違反本條款及細則;
(b) 周生生認為該會員於使用本計劃的過程從事任何非法活動;或
(c) 適用法律或政府機構要求周生生採取該措施。
於終止一位周生生之友的會籍後,所有該會籍下累積的合資格消費額、「悦享錢」(如適用)、福利及優惠將被取消及變為無效。會員不可向集團追究就此引致的任何損失或損害,但適用的強制性法律另有規定的除外。
3. 個人資料
(a) 有關進入及使用周生生的網頁及相關服務的資料,請細閱服務條款。
(b) 如欲瞭解周生生如何處理客戶的個人資料,請細閱周生生的私 隱政策。
(c) 顧客能於網上或於周生生任何店鋪更新周生生持有關於該顧客的個人資料。顧客的要求將按照《個人資料
(私隱)條例》處理。
4 其他事項資料
(a) 除會員及周生生以外,並無其他人士有權按《合約 (第三者權利) 條例》強制執行本條款及細則的任何條文,或享有本條款及細則的任何條文下的利益。
(b) 未經周生生事先書面同意,會員不得轉讓、讓與或以其他方式處置其在本條款及細則下的全部或任何權利或義務。周生生可轉讓或以其他方式讓與其在本條款及細則下的全部利益、權利及權益。
(c) 如本條款及細則的英文及中文版本之間有任何差異,概以中文版本為準(本條不適用於中國大陸的周生生之友計劃)。
(d) 周生生延期、未能或延遲行使任何權利、權力或補救,不應視爲對該等權利、權力或補救的放棄,而對本條款及細則下的權利、權力或補救的任何單項或部分行使,不得排除對其進一步的行使。周生生的每項權利、權力或補救應持續有效,直至該等權利、權力或補救通過周生生簽署的書面文件予以特別放棄。
(e) 周生生向會員發出的通知、要求、文件或其他通訊 (各自及統稱為「通知」)可以郵遞或其他電子傳送方式或周生生認為合適的其他方式,發送往周生生紀錄所載的會員最後已知地址、電郵或其他相關聯絡方式。
(f) 通知須被視為已獲會員於以下時間收妥(不論會員是否實際收妥)﹕ (a)若以郵寄方式發送,則為自投寄之日起算之後 3 天; 及
(b)若以電郵或其他電子傳送方式發送,則為周生生的發送時間。
(g) 本條款及細則的任何條文若在任何司法管轄區爲非法、無效、受禁止或不可執行,應僅在該非法、無效、受禁止或不可執行的範圍內失效,及不應影響剩餘條款的有效性或此等條文在其他司法管轄區的有效性。
5. 司法管轄權
x條款及細則受香港特別行政區法律管轄,並應根據香港特別行政區法律詮釋。

1.3.1. 合资格消费额计算方法
(a) 会员成功登记周生生之友会籍并在相关购物前出示有效的电子会员卡或于官方或指定电商之网上珠宝店平台登入会员户口以识别会员身份后,方可实时累积合资格消费额(不可在相关购物完成要求补回会员消费及累积合资格消费额)。
(b) 合资格消费额之有效累积期为会员会籍层级之有效期,最长为 24 个月。第一期的累积期由会员注册后的第一宗交易开始计算,并于会籍到期日结束。如会员成功根据第 1.3 条延续会籍层级,新一期合资格消费额累积期由延续会籍层级的第一天开始计算,至新会籍到期日结束。于新一期合资格消费额累积期开始之日,前一期合资格消费额累积期内的合资格消费额将被清零。
(c) 受限于本第 1.3.1(c)条之下文,合资格消费额可透过于任何集团旗下品牌分店及官方网上珠宝店,以及指定电商之网上珠宝店购物累积。会员于指定电商之网上珠宝店购物,必须于当次购物或之前先绑定其周生生之友会籍,方可自动累积合资格消费额。以上渠道之合资格消费额均可一并累积计算。港币/人民币/澳门币以 1 对 1 换算,台币/港币以 1 对 0.25 换算。
(d) 合资格消费额以净价计算 (即扣除折扣及以「悦享钱」(如适用)抵销之金额后会员实际所付之最后金额)。
(e) 为免除疑问,合资格消费额并不包括企业礼品、配件(定义由周生生不时指定及/或修订) 、附件(如金属
(磁石)扣绳等)、购买集团旗下品牌之礼券(如适用)、服务的消费及退回之货品。
1.3.2. 会员升级
(a) 会籍层级根据第 1.3 条自动实时升级。升级后,后续购物即享本条款及细则规定之相关会籍层级之折扣优惠及福利。
(b) 升级后会籍层级的有效期为会籍升级后的翌年 12 月 31 日止,除非升级会籍根据第 1.3 条延续。
(c) 基本会员有任何合资格消费额,将实时升级为高级会员。
(d) 基本会员/高级会员于相关会籍有效期内(如适用)合资格消费额总金额净价累积达到港币/人民币/澳门币 10,000 元或台币 40,000 元(港币/人民币/澳门币以 1 对 1 换算,台币/港币以 1 对 0.25 换算),将实时升级为尊尚会员;惟如会员延续会籍层级,合资格消费额会于下一个会籍有效期由零开始重新计算,即延续会籍层级的第一天开始计算,至延续会籍层级后的新会籍到期日结束,之前的合资格消费额将不被计
算。
1.3.3. 会员降级
(a) 高级会员/尊尚会员如于会籍有效期间之最后一年度内的 1-12 月并没有任何合资格消费额,该会员于再下年度 1 月 1 日将自动降级为基本会员,后续只能享基本会员福利。
(b) 基本会员不设降级,亦不设会籍有效期。
1.3.4. 会员级别调整
如会员退回从集团旗下品牌购买之货品,累积合资格消费额会扣除退回货品的消费金额,累积合资格消费额将不包括退回货品的消费金额。在不影响前述内容的一般性下,周生生可实时取消退回货品的消费金额引致的会籍层级升级,并把会员的会籍调整到相应的层级。

1.4.1. 购物折扣优惠
(a) 尊尚会员于集团旗下品牌分店及官方网上珠宝店购物,可享周生生不时书面指定之常规尊尚会员折扣,或于周生生指定之优惠活动可享额外折扣。详情可参阅网址: xxxx://xx.xxxxxxxxxxxx.xxx/xxxxxxxxxxx/,网址内容可由周生生不时更改而无需会员同意。
(b) 尊尚会员折扣不适用于指定电商之网上珠宝店。

(d) 如会员因退货而导致会籍根据第 1.3.4 条降级,其不会被要求退回因退回之货品而已享用的购物折扣。
1.4.2. 会员推荐计划
由尊尚会员(「推荐人」)推荐之新会员(「被推荐人」)可根据本第 1.4.2 条享有额外优惠。
(a) 被推荐人
被推荐人登记成为会员及其后在集团旗下品牌分店及官方网上珠宝店首次购物,可就该次购物享常规尊尚会员折扣一次。
(b) 推荐流程
被推荐人于第 1.1(a)条所订之任何登记途径登记成为会员后,在集团旗下品牌分店及官方网上珠宝店首次购物时,提供推荐人的会员登记电话及会员编号即能成功被推荐。(注意: 推荐福利并不适用于指定电商之网上珠宝店。)
1.5.「悦享钱」计划
以下只适用于 2020 年 12 月 31 日前已参与「悦享钱」计划之会员。
为了带来更好的客户体验,会员积分计划将进行调整。由 2021 年 1 月 1 日起,「悦享钱」将暂停派发。 会员现时
持有的「悦享钱」则不受影响,仍可于 2021 年 9 月 30 日或之前照常使用。
(a) 「悦享钱」计划只适用于集团旗下品牌分店。

(vi) 会员不可选择每件货品扣减指定金额「悦享钱」;会员一经选择就某合资格货品使用「悦享钱」,周生生将按本第 1.5(c)条从合资格货品售价扣减最大额的「悦享钱」。
(vii) 以「悦享钱」抵扣合资格货品售价,抵扣金额将以使用购物地点当地之货币按以下换算方法计算:

(viii) 于 2020 年 10 月 1 日至 2020 年 12 月 31 日所赚取之「悦享钱」可使用之有效期直至
2021 年 9 月 30 日,逾期自动失效。
(d) 货品更换或退回
以下条款只适用于集团之商品退换政策下可更换或退回的货品。商品退换政策载于以下网

(i) 假如已赚取「悦享钱」的货品其后被从集团(或其任何成员)购买该等货品的会员(下称「原购 会员」)退回,周生生有权在原购会员之账户扣减该会员因该货品所获赠的「悦享钱」;若该会员的
「悦享钱」已被全部或部分使用,不足退回该会员因该货品所获赠的「悦享钱」,该会员退回已赚取之「悦享钱」货品前, 须以现金补回「悦享钱」不足之差额。原购会员同意周生生有权于退回货品金额时直接扣减该会员须补回「悦享钱」不足之差额。每「悦享钱」等于港币/人民币/澳门币 1 元或台币 4 元。
(ii) 假如同宗交易包括多于 1 件货品,而原购会员只退回其中部分货品,该会员所应扣减之「悦享钱」为其因被退回货品所赚取的「悦享钱」。
(iii) 假如以「悦享钱」换购或抵扣售价的货品其后根据集团之商品退换政策被原购会员更换或退回,该已使用的「悦享钱」将退还予原购会员; 但如当时所使用之「悦享钱」在更换或退回货品之日已过使用有效期限,则相关「悦享钱」退还后于原购会员账户内立即失效。
(iv) 如原购会员根据集团之商品退换政策要求换货,则被视为退回原货品再销售新货品处理,原购会员可按第 1.5(c)条因上述销售使用「悦享钱」,及按第 1.5(d)(i)-(iii)条因上述退货而扣减或退还「悦享钱」。
(e) 如会员要求易货并须就此补付差额,则会员可按第 1.5(c)条使用「悦享钱」,惟在此等情况下第 1.5(c)条项下对消费金额及/或售价的要求须当作对补付差额的要求。易货即根据集团相关的服务细则,以从周生生购买的旧货品换购新货品。
(f) 在任何情况下,「悦享钱」不能兑换现金,以及不可转赠或转让。
(g) 如周生生发现任何会员就使用「悦享钱」涉及舞弊或欺诈行为,在不限制周生生其他之权利下,该会员所有已获得的「悦享钱」均可被取消或冻结。
2. 终止及暂停会籍
xxx享有独有酌情决定权,可在下列情况下,实时暂停或终止任何会员之会籍,惟周生生应给予该会员通知并作出说明:-
(a) 周生生认为该会员违反本条款及细则;
(b) 周生生认为该会员于使用本计划的过程从事任何非法活动;或
(c) 适用法律或政府机构要求周生生采取该措施。
于终止一位周生生之友的会籍后,所有该会籍下累积的合资格消费额、「悦享钱」(如适用)、福利及优惠将被取消及变为无效。会员不可向集团追究就此引致的任何损失或损害,但适用的强制性法律另有规定的除外。
3. 个人资料
(a) 有关进入及使用周生生的网页及相关服务的数据,请细阅服务条款。
(b) 如欲了解周生生如何处理客户的个人资料,请细阅周生生的私 隐政策。
(c) 顾客能于网上或于周生生任何店铺更新周生生持有关于该顾客的个人资料。顾客的要求将按照《个人资料
(私隐)条例》处理。
4 其他事项数据
(a) 除会员及周生生以外,并无其他人士有权按《合约 (第三者权利) 条例》强制执行本条款及细则的任何条文,或享有本条款及细则的任何条文下的利益。
(b) 未经周生生事先书面同意,会员不得转让、让与或以其他方式处置其在本条款及细则下的全部或任何权利或义务。周生生可转让或以其他方式让与其在本条款及细则下的全部利益、权利及权益。
(c) 如本条款及细则的英文及中文版本之间有任何差异,概以中文版本为准(本条不适用于中国大陆的周生生之友计划)。
(d) 周生生延期、未能或延迟行使任何权利、权力或补救,不应视为对该等权利、权力或补救的放弃,而对本条款及细则下的权利、权力或补救的任何单项或部分行使,不得排除对其进一步的行使。周生生的每项权利、权力或补救应持续有效,直至该等权利、权力或补救通过周生生签署的书面文件予以特别放弃。
(e) 周生生向会员发出的通知、要求、文件或其他通讯 (各自及统称为「通知」)可以邮递或其他电子传送方式或周生生认为合适的其他方式,发送往周生生纪錄所载的会员最后已知地址、电邮或其他相关联络方式。
(f) 通知须被视为已获会员于以下时间收妥(不论会员是否实际收妥)﹕
(a)若以邮寄方式发送,则为自投寄之日起算之后 3 天; 及
(b)若以电邮或其他电子传送方式发送,则为周生生的发送时间。
(g) 本条款及细则的任何条文若在任何司法管辖区为非法、无效、受禁止或不可执行,应仅在该非法、无效、受禁止或不可执行的范围内失效,及不应影响剩余条款的有效性或此等条文在其他司法管辖区的有效性。
5. 司法管辖权
x条款及细则受香港特别行政区法律管辖,并应根据香港特别行政区法律诠释。

These amended and restated terms and conditions shall take effect as from 1 January 2021
These terms and conditions apply to the Star Shopper Programme (“the Programme”) in all stores under the banner of Chow Sang Sang Group. Member(s) of the Programme shall be referred to hereinafter as “Star Shopper(s)” or “Member(s)”. In these terms and conditions, references to “the Group” shall mean Chow Sang Sang Holdings International Limited and its subsidiaries, whereas references to “Chow Sang Sang” shall mean the relevant company within the Group that offers and manages the Programme in which Members participate.
The Group currently has its own brands “Chow Sang Sang”, “點睛品”, “MINTYGREEN”, “PROMESSA”, and distributed brands “MARCO BICEGO” , “ROLEX” , “TUDOR” as the store brands (collectively “ the Group’s Brand”), which use the Star Shopper Programme for customer relationship management.
1. General Terms and Conditions
(a) The Programme is offered and managed by Chow Sang Sang.
(b) Customers are eligible for certain benefits in accordance with these terms and conditions after registration as a Member and approval by us. Such benefits are, apart from listed in these terms and conditions, also listed in part at the following
webpage: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxxxxxxxxxx (the contents therein regarding benefits to Star Shoppers being incorporated by reference as part of these terms and conditions). The contents of the said webpage may be amended by Chow Sang Sang from time to time without consent from Members.
(c) The Star Shopper membership may only be used for personal purchases and cannot be used for any commercial, promotional or other purposes whatsoever without the written consent of Chow Sang Sang.
(d) Chow Sang Sang reserves the right to modify the structure, rules, entitlements, benefits and other features of the Programme and its related programme(s) (including but not limited to the Star Dollars rewards programme), and to terminate the Programme and/or its related programme(s) at any time. Without prejudice to the generality of the foregoing, Chow Sang Sang shall be entitled to amend these terms and conditions from time to time without consent from Members, provided that Chow Sang Sang will notify Members in advance of amendments to the Programme, its related programme(s) and/or to these terms and conditions. Any use of the Programme or its related programme(s) by a
member after an amendment to these terms and conditions shall be deemed as an acceptance of such amendment. Chow Sang Sang shall not be liable for any loss or damage resulting from or in connection with any amendment to the Programme and its related programmes or to these terms and conditions.
1.1. Eligibility for Star Shopper application
(a) Subject to Clause 1.1(c) and Clause 1.3, a person may apply for registration as a Star Shopper irrespective of whether he/she has made a prior purchase with Chow Sang Sang and he/she can become a Star Shopper upon filling in the required information on the registration form provided by Chow Sang Sang, agreeing to these terms and conditions and completing the verification of his/her mobile phone number or email address. No membership fee is required for membership registration. Registration can be made via:
1. the Group’s Brand stores;
2. the Group’s official eshops including eshop on the official website and official Wechat eshops;
3. the eshops operated by e-commerce platforms designated by the Group (“Designated e-Commerce Platforms”), such as Xxxxx.xxx, XX.xxx;
4. official online membership page of Chow Sang Sang;
5. official social media page of Chow Sang Sang (including WeChat member page); and
6. official Star Shopper mobile application.
After becoming a Star Shopper, an applicant can then start accumulating spending (“Qualified Spending”) at all stores under the Group’s Brand, the official eshops and the eshops operated by the Designated e-Commerce Platforms, so as to qualify for different membership classes and enjoy the relevant benefits of that membership class.
(b) Every applicant for membership under the Programme warrants, represents and undertakes that the personal information provided by him/her to Chow Sang Sang is and shall be true, complete and accurate.
(c) Chow Sang Sang has the sole and final discretion to approve or reject any application for membership under the Programme without providing reason.
1.2. Member Identification
(a) Save for purchases from , the Group’s official eshops or eshops operated by the Designated e-Commerce Platforms, a Member cannot enjoy Members’ benefits of the Programme (including but not limited to the accumulation of Qualified Spending by that Member, purchase discounts, earning and using Star Dollars (if applicable), Member services and privileges)
unless he/she presents valid proof of identity (as defined in Clause 1.2(b)) before making purchases or using the services. Chow Sang Sang shall be entitled to refuse to provide benefits under the Programme to Members who fail to present valid proof of identity.
(b) Valid proof of identity means the e-membership card on the online Star Shopper membership page and/or Wechat Star Shopper membership page and/or Star Shopper mobile application.
(c) If a Member makes purchase(s) from the Group’s official eshops or the eshops operated by the Designated e-Commerce Platforms, he/she cannot enjoy any Member’s benefit unless he/she logs into his/her Star Shopper account on the relevant eshop platform for identification prior to the purchase(s).

1.3.1. Method of calculation for Qualified Spending
(a) Qualified Spending can be accumulated by a Member immediately only upon his/her successful registration as a Star Shopper and his/her valid e-membership card is presented at the store or his/her Star Shopper account is logged into on the relevant eshop platform at time of purchase (Qualified Spending cannot be accumulated upon relevant purchase recorded without providing Star Shopper account information).
(b) The valid accumulation period for Qualified Spending shall be the relevant membership class period, up to a maximum of 24 months. The first accumulation period starts from the first transaction made by the Member after his/her registration as Star Shopper and ends on
the day of expiry of his/her relevant membership class. If a Member duly extends his/her membership class in accordance with Clause 1.3, there shall be a new accumulation period for Qualified Spending, starting from the first day of the membership class period as renewed and ending on the day of expiry of the new membership class period. When the new accumulation period for Qualified Spending begins, the Qualified Spending accumulated in the previous accumulation period shall become zero.
(c) Subject to the provisions of this Clause 1.3.1(c), Qualified Spending can be accumulated through purchases at all stores under the Group’s Brand, the Group’s official eshops and the eshops operated by the Designated e-Commerce Platforms. To accumulate Qualified Spending for a purchase from a eshop operated by the Designated e-Commerce Platforms, a Member must first bind his/her Star Shopper membership to such eshop at the time of or prior to such purchase. Qualified Spending at the above channels can be aggregated together. HKD/RMB/MOP shall be converted at the rate of HKD 1 = RMB 1 = MOP 1, while TWD/HKD shall be converted at the rate of TWD 1 = HKD 0.25.
(d) Qualified Spending shall be calculated on the net price (that is, the final price actually paid by a Member after deduction of discounts and use of Star Dollars).
(e) For the avoidance of doubt, Qualified Spending shall not include spending on corporate gifts, parts(definition of which may be specified and/or amended by Chow Sang Sang from time to time) and accessories (e.g. metal (magnetic) clasp cord, etc. ), purchases of gift certificates (if applicable), spending on services and returned goods.
1.3.2. Membership class upgrade
(a) Membership class will be upgraded real-time automatically in accordance with Clause 1.3. After upgrade of a Member’s membership class, the Member can enjoy discount privileges and benefits of the relevant membership class provided under these terms and conditions in relation to his/her subsequent purchases.
(b) The validity period of the upgraded membership class shall last until 31 December of the year immediately following the year the membership class is upgraded, subject only to renewal in accordance with Clause 1.3.
(c) A Fan will be immediately upgraded to Classic Member if he/she accumulates any Qualified Spending.
(d) If a Fan/Classic Member accumulates Qualified Spending during the relevant membership class period (if applicable) of not less than HKD/RMB/MOP 10,000 or TWD 40,000 (HKD/RMB/MOP shall be converted at the rate of HKD 1 = RMB 1 = MOP 1, while TWD/HKD shall be converted at the rate of TWD 1 = HKD 0.25) in net price, his/her membership class will be immediately upgraded to Prestige Member, provided that if a Member renews his/her
membership class, the calculation of Qualified Spending during the next membership class period will restart from zero, that is, Qualified Spending will be calculated from the first day of the membership class period as renewed up to and ending on the day of expiry of the new membership class period as renewed, and prior Qualified Spending will not be counted.
1.3.3. Membership class downgrade
(a) If a Classic Member/Prestige Member does not make any Qualified Spending between January and December of the last year of his/her membership class period, such Member will be downgraded to Fan on 1st January of the following year and thereafter can only enjoy the benefits available to Fan.
(b) Fan is the lowest membership class and is not subject to any downgrade or membership class period.
1.3.4. Membership class adjustment
If a Member returns goods purchased from any of the Group’s Brand, the spending in relation to the returned goods will be deducted from the accumulated Qualified Spending, and the accumulated Qualified Spending shall no longer include the spending in relation to the returned goods. Without prejudice to the generality of the foregoing, Xxxx Xxxx Xxxx has the right to immediately cancel any upgrade of membership class resulting from spending in relation to returned goods and to adjust the relevant Member’s membership class accordingly.
1.4. Services and Privileges
(a) Subject to Clause 1.2, a Star Shopper may enjoy the following services and privileges in accordance with his/her membership class:
1. after-sales service in relation to jewellery;
2. concierge services**;
3. purchase discounts (only applicable to Prestige Members);
4. automatic enrolment in Star Dollars Programme (if applicable);
5. Member referral scheme (only applicable to Prestige Members);
6. invitation to participate in special events**;
7. selected birthday privileges for customers**; and
8. updated information on jewellery.
**Only applicable to the class(es) of Members as may be specified by Xxxx Xxxx Xxxx from time to time
(b) Details and conditions of the relevant benefits of each class of Members can be found on the following webpage: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxxxxxxxxxx. Chow Sang Sang shall be entitled to amend the content of the said webpage from time to time without consent from Members.
1.4.1. Purchase discounts
(a) A Prestige Member can enjoy regular Prestige Member discounts as may be specified by Xxxx Xxxx Xxxx from time to time in writing in relation to purchases at all stores under the Group’s Brand and the Official eshops. Further details thereof can be found on the following webpage: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxxxxxxxxxx, the contents of which may be amended by Chow Sang Sang from time to time without consent from Members.
(b) Prestige Member discounts does not apply to the eshops operated by the Designated e- Commerce Platforms.
(c) Star Dollars, if any, cannot be used in transactions to which Prestige Member discounts have been applied.
(d) If a Member is downgraded in accordance with Clause 1.3.4 as a result of his/her return of goods, he/she will not be required to return the purchase discounts (if any) already enjoyed in relation to the returned goods.
1.4.2. Member referral scheme
A new Member (“the Referred”) referred by a Prestige Member (“the Referrer”) may enjoy additional privileges in accordance with this Clause 1.4.2.
(a) Referred
When the Referred is registered as a Member and makes his/her first purchase thereafter at the Group’s Brand stores or the Official eshops, the Referred can enjoy a one-time regular Prestige Member discount.
(b) Referral Process
The Referred can complete the referral by providing the telephone number of the Referrer as registered with Chow Sang Sang and the Referrer’s membership number when the Referred, after his/her registration as a Member via any channels specified in Clause 1.1(a), makes his/her first purchase at a Group’s Brand store/the Official eshops. (Note: Referral benefits do not apply to eshops operated by the Designated e-Commerce Platforms.)
1.5. Star Dollars Programme
The following is only applicable to members who have enrolled in the Star Dollars programme before 31 December 2020.
To provide our customers with better experience, we are revamping our existing
loyalty point programme soon. We stop issuing Star Dollars starting from 1 January 2021. Star Dollars currently held are not affected and can be used as usual on or before 30 September 2021.
(a) The Star Dollars Programme is only applicable to all stores under the Group’s Brand.
(b) A Member must present valid e-membership card or log into his/her Member account before he/she can earn or use Star Dollars.
(c) Use of Star Dollars
(i) Subject to the other provisions in this Clause 1.5(c), a Member may use Star Dollars during their validity period specified in Clause 1.5(c)(viii) to set-off against the selling price of goods when making purchases at the locations specified in Clause 1.5(a). (ii) Selected accessories specified by Chow Sang Sang (including but not limited to metal (magnetic) clasp cord etc.), any net price of purchase can redeem up to 100% discount.
(iii) Star Dollars can be used only in relation to a Qualified Goods the net price of which is not less than HKD/RMB/ MOP 1,000 or TWD 4,000 (Except selected accessories including but not limited to metal (magnetic) clasp cord etc.).
(iv) The amount that can be set off using Star Dollars is subject to limits: the amount deducted must be based on an integer of Star Dollars, and cannot exceed the applicable percentage specified in Clause 1.5(c)(i) of the net selling price of each Qualified Goods. The same limits apply to all membership classes.
(v) Star Dollars cannot be used with other Chow Sang Sang discounts privileges at the same time.
(vi) A Member cannot choose to deduct a certain amount of Star Dollars designated by him/her against each goods; once a Member chooses to use Star Dollars in relation to a Qualified Goods, Chow Sang Sang will set off the maximum amount of Star Dollars against the price of the relevant Qualified Goods in accordance with this Clause 1.5(c).
(vii) The amount to be set off against the selling price of goods using Star Dollars shall be calculated using the following conversion method based on the currency of the location of purchase:
1 Star Dollar =HKD 1 Dollar /RMB 1 Dollar/ MOP 1 Dollar /TWD 4 Dollars
(viii) Star Dollars must be used within their specified validity period, and will automatically be of no further force and effect upon their expiry. Star Dollars earned from 1 October to 31 December 2020 are valid until 30 September 2021.
(d) Exchange or return of goods
The following terms are only applicable to goods exchangeable or returnable under the Policy of Return and Exchange of Merchandise of the Group. The Policy of Return and Exchange of Merchandise is set out on the following
webpage: xxxx://xxx.xxxxxxxxxxxx.xxx/xx/xxx-xxxxxxx-xxxxxxxxx. Chow Sang Sang shall be entitled to amend the contents of the said webpage from time to time without consent from Members.
(i) If any goods in relation to which Star Dollars have been earned are returned by the Member (“the Purchasing Member”) who purchased them from the Group (or any of its members), Chow Sang Sang shall be entitled to deduct the Star Dollars earned in relation to such goods from the account of that Member; if the Star Dollars of that Member has been fully or partly used such that there is
insufficient Star Dollars in his/her account to return the Star Dollars earned in relation to such goods, that Member shall repay the shortfall in cash before returning the goods in relation to which Star Dollars have been earned. The Purchasing Member agrees that Chow Sang Sang shall be entitled to directly deduct and set off such shortfall from and against the amount (if any) to be refunded in relation to returned goods. For such purpose, every Star Dollar equates HKD/RMB/ MOP 1 or TWD 4.
(ii) If there is more than one goods in the same transaction and the Purchasing Member only returns part of the goods, the Star Dollars to be deducted from the account of the Purchasing Member will be the Star Dollars earned in relation to the returned goods.
(iii) If any goods which were redeemed using Star Dollars or which the selling price was set off against Star Dollars are subsequently exchanged or returned by the Purchasing Member in accordance with the Policy of Return and Exchange of Merchandise of the Group, the Star Dollars so used will be returned to that Member. However, if the validity period of any Star Dollars so used has expired as at the date that the relevant goods are exchanged or returned, then such Star Dollars shall be immediately invalid and be of no further effect if they are returned to the Purchasing Member’s account.
(iv) If a Purchasing Member requests for exchange of goods in accordance with the Policy of Return and Exchange of Merchandise of the Group, this will be treated as return of the original goods and sale of the new goods. The Purchasing Member can use Star Dollars for the aforesaid sale in accordance with Clause 1.5(c) respectively, and Star Dollars may be deducted from or return to that member’s account for the aforesaid return in accordance with Clauses 1.5(d)(i)- (iii).
(e) If a Member requests for trade-in of his/her goods and is required to pay the price differences arising therefrom, the Member can use Star Dollars in accordance with Clause 1.5(c) in relation to such price differences, provided that in such circumstances the requirements on spending and/or price under Clauses 1.5(c) shall be read as if they are requirements on such price differences to be paid. Trade-in means the redemption of new goods by trading in old goods purchased from Chow Sang Sang in accordance with the relevant terms of services of the Group.
(f) Under all circumstances, Star Dollars cannot be exchanged for cash and cannot be disposed of as gift or transferred.
(g) If Chow Sang Sang is of the view that a Member is, in the course of using of Star Dollars, involved in any cheating or fraudulent conduct, without limiting other rights of Chow Sang
Sang may have, Chow Sang Sang may cancel or withhold all Star Dollars obtained by that Member.
2. Termination and suspension of membership
Chow Sang Sang may, at its sole discretion, immediately suspend or terminate the membership of any Member under the following circumstances, provided that Xxxx Xxxx Xxxx shall give the Member notice and reason of such suspension or termination (as the case may be):
(a) Xxxx Xxxx Xxxx considers that the Member is in breach of these terms and conditions;
(b) Xxxx Xxxx Xxxx considers that the Member has engaged in unlawful activities in the course of using the Programme; or
(c) Chow Sang Sang is required to do so by applicable laws or governmental agencies.
Upon termination of the membership of a Star Shopper, all Qualified Spending, Star Dollars (if applicable), benefits and privileges accrued under such membership shall be cancelled and be null and void. Subject to applicable mandatory laws, the Member shall not be entitled to claim any loss or damage resulted therefrom against the Group.
3. Personal Data
(a) For information about accessing and using the website and related services of Chow Sang Sang, please refer to the Terms of Use.
(b) To learn more about how Chow Sang Sang handle customers’ personal data, please read Chow Sang Sang’s Privacy Policy .
(c) A customer’s personal data in Chow Sang Sang’s possession can be updated online or at any of Chow Sang Sang shops. Such requests will be dealt with in accordance with the Personal Data (Privacy) Ordinance.
4. Miscellaneous
(a) Except a Member and Chow Sang Sang, no other person is entitled to enforce (or enjoy any benefits under) any provisions of these terms and conditions pursuant to the Contracts (Rights of Third Parties) Ordinance.
(b) A Member shall not be entitled to assign, transfer or in any other way deal with all and any of his/her rights or obligations under these terms and conditions without the prior written consent of Chow Sang Sang. Chow Sang Sang shall be entitled to assign or in any other way transfer all its interests, benefits and rights under these terms and conditions.
(c) Where any discrepancy arises between the Chinese and English versions of these terms and conditions, the Chinese version shall prevail (save that this Clause shall not apply to the Star Shopper Programme in Mainland China).
(d) Any forbearance, failure or delay by Chow Sang Sang in exercising any right, power or remedy shall not be deemed to be a waiver of such right, power or remedy, and any single or partial exercise of any right, power or remedy under these terms and conditions shall not preclude the further exercise thereof. Every right, power or remedy of Chow Sang Sang shall continue to be in full force and effect unless such right, power or remedy is expressly waived by way of a written instrument signed by Xxxx Xxxx Xxxx.
(e) Notices, requests, documents or other communication (each a “Notice” and collectively the “Notices”) from Chow Sang Sang to Members may be sent by mail or other electronic communication means or such other method Chow Sang Sang considers appropriate, to the last known address, email or other relevant means of communication as stated in the records of Chow Sang Sang.
(f) A Notice shall be deemed to have been received by a Member (regardless of whether it is actually received by the Member):
(a) if given by mail, 3 days after posting; and
(b) if given by email or other electronic communication means, the time of transmission by Xxxx Xxxx Xxxx.
(g) Any provision in these terms and conditions which is illegal, void, prohibited or unenforceable in any jurisdiction shall be ineffective only to the extent of such illegality, voidness, prohibition or unenforceability, and shall not affect the validity of the remaining provisions hereof or the validity of such provision in any other jurisdiction.
5. Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the Laws of the HKSAR.
