本合同甲方委托乙方就

第三条：为保证乙方有效进行技术服务工作，甲方应当向乙方提供下列工作条件和协作事项： 。甲方应确保技术服务的合法性，并对任何与技术服务有关的实际的或潜在的风险提前告知，以使技术服务可以合法、安全地进行。如因甲方隐瞒信息而造成技术服务人员或设备等出现问题，则一切后果由甲方负责。为配合履行服务协议，甲方公司职员前往乙方校园或实验室的，作为外联人员应自觉遵守乙方现行的规章制度和安全要求，甲方对其外联人员违反乙方制度的要求承担法律责任。

第五条：双方确定因履行本合同应遵守的保密义务如下：

甲乙双方均对对方提供的信息和资料承担保密义务，包括但不限于产品、技术、服务、原料、设备、工艺、工程、财务、商业、客户及其他方面的资料、要求和信息等。资料接受方可仅为本合同目的向其确有知悉必要的雇员披露对方提供的保密资料，但同时须指示其雇员遵守本条规定的保密及不披露义务。资料接受方未经信息披露方书面事先同意，不得向本协议以外的任何第三方披露。双方应仅为本合同目的而复制和使用保密资料。如果由于一方泄密，导致另一方受到经济损失，一方有权追究另一方责任，并要求赔偿损失。不论本合同是否变更、解除、终止，本保密条款在合同期内机器之后的5年内有效。

第七条：双方确定：遵循《中华人民共和国专利法实施细则》第十一条“发明人是对发明创造的实质性特点作出创造性贡献的人”的法律规定，科研成果或知识产权实际贡献比例是指各方对创造性内容的智力贡献比例。

1．本服务过程中产生的科研成果或知识产权，依照上述法律按实际贡献比例原则归发明者所有。

2. 甲方拟就乙方要公开的信息申请专利，乙方可以延迟公开不超过3个月，在此期间甲方提出申请。如果甲方在新技术成果完成后6个月内不申请专利，则乙方有权根据自己的情况申请专利。

3．如需，双方各自的背景知识产权可作为合同附件另行列出。

4. 对于检测服务，项目测试结果归甲方所有。

5．为履行乙方作为国家高等院校研究机构的义务，乙方有权发表有关该项目的科学论文，但须事先得到甲方的批准。甲方如拒绝发表则需提供合理解释。

第八条：如有与履行本合同有关的、由甲方提供的下列技术文件，经双方确认后，视为为本合同的组成部分：

第九条：双方约定本合同其他相关事项为：

1. 双方在宣传刊物、研究报告等其他宣传和说明资料中，涉及对方的内容均需取得对方书面同意。

2. 乙方在优先保障学校教学和科研的情况下，积极与甲方制定时间进度，满足甲方项目的进度要求。

3. 对于检测服务，乙方仅对所检样品负责，检测结果仅反映对所检样品的评价，对检测结果的使用及其产生的后果不承担任何责任。

第十条：双方确定执行合同中如遇不可抗力和技术风险等因素导致协议不能继续履行时，双方应及时通知对方并共同协商变更或者解除本协议。双方因履行本合同而发生的争议，应协商、调解解决。协商、调解不成的，提交汕头仲裁委员会仲裁。

第十一条：本合同如以中英文书就，有异议之处以中文为准。本合同一式 份，具有同等法律效力。经双方签字盖章后生效，有效期为： 。到期后根据合作情况再评估续签事宜。

Party A should guarantee the legitimacy of the technical service, and inform in advance of any actual or potential risks relevant to the technical service, for performing the technical service legally and safely. If there are problems with technical service personnel, equipment, etc. due to Party A’s concealment of information, Party A shall be responsible for all consequences. In order to cooperate with the fulfillment of the service agreement, Party A’s employees who visit Party B’s campus or laboratory as outreach personnel should consciously comply with Party B’s current regulations and safety requirements. Party A is legally responsible for its outreach personnel’s violation of the regulations and requirements of Party B.

Article 5 Both parties confirm to undertake the obligations of maintaining the confidentiality as follows for the performance of the contract:

Both Party A and Party B are obliged to keep confidential the information and data provided by the other party, including but not limited to data, requirements and information on products, technologies, services, raw materials, equipment, processes, engineering, finance, commerce, customers and other aspects. The information receiving party may disclose the confidential information provided by the other party to its employees who are necessary to know for the purpose of this contract only; however, at the same time, it must instruct its employees to comply with the confidentiality and non-disclosure obligations stipulated in this article. The information receiving party shall not disclose it to any third party without a prior written consent of the information disclosing party. Both parties shall duplicate and use the confidential information only for the purpose of this contract. If one party suffers economic losses due to the disclosure of secrets by the other party, the party is entitled to seek legal actions against the other party and claim compensation for losses. Regardless of whether this contract is changed, rescinded, or terminated, this confidentiality clause is valid for an additional 5 years after contract termination.

Article 7 Both parties determined that:

Follow Article 11 of the Regulations for the Implementation of the Patent Law of the People's Republic of China, "an inventor is a person who makes creative contributions to substantive features of an invention-creation", the proportion of the actual contribution of scientific research results or intellectual property rights refers to the proportion of the intellectual contribution of each party to the inventive content.

1. The intellectual property rights generated in the process of this service, will be owned by the inventor(s) according to the principle of actual contribution ratio based on above law.

2. In case Party A intends to apply for a patent on information that Party B wants to publish, A delay of the publication of no more than 3 months will be allowed, during which Party A can file the application. If Party A decided not to apply for a patent within 6 months of the completion of the new technological achievement, Party B has the right to apply for a patent and assign it to itself or any other party.

3. If necessary, the respective background intellectual property rights of both parties can be listed separately as an annex to the contract.

4. For testing services, the test results of the project belong to Party A.

5. To fulfill Party B's obligations as a research institute, Party B has the right to publish scientific papers on the project with the approval from Party A. Rejection of publication by Party A must have reasonable explanation.

Article 9 Other relevant items agreed by both parties of the contract are as follows:

1. Both parties shall obtain each other's written consent for any content in promotional publications, research reports and other promotional and explanatory materials involving the other party.

2. Party B will actively work out the time schedule with Party A to meet the progress requirements of Party A's project, while giving priority to protecting the teaching and research of the university.

3. Regarding testing services, Party B is only responsible for the test result of the samples provided by Party A; the test results only reflect the evaluation of the samples tested; Party B does not assume any responsibility for the use of test results and its consequences.

Article 10 Both parties agreed that if the failure of execution of the contract is caused by factors such as force majeure and technical risk that the agreement cannot continue to be performed, both parties shall promptly notify the other party and jointly negotiate to change or terminate this agreement.

Disputes arising from the performance of this contract shall be settled through consultation and mediation. If negotiation or mediation fails, the dispute shall be submitted to Shantou Arbitration Commission for arbitration.

Article 11 This contract is written in both Chinese and English. In case of any objection, the Chinese version shall prevail. This contract shall be held by each party in ____ copies of the same form with the same legal effect.
