贸易术语：本合同使用的FOB、CFR、CIF术语系根据国际商会《2020年国际贸易术语解释通则》。

11. 数量/品质异议：如买方提出数量或品质不符的索赔，凡属数量异议须于货到目的港之日起15天内提出，凡属品质异议须于货到目的港之日起30天内提出。
其中，品质索赔买方需提供国际公证机构或其他代表性或代理签发的检验证书，检验费及证书费由买方承担。
因保险公司、航运公司、其他运输机构或邮局负责的原因造成的货物不符，卖方不承担任何责任。
Quantity/Quality Discrepancy: In case of quantity discrepancy, claim should be filed by the Buyer within 15 days after the arrival of the goods at the port of destination, while for quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at the port of destination.
In case of quality discrepancy, an inspection certificate issued by an international surveyor or its agent (or representative) is requested. All charges and costs of the inspection and certificate shall be borne by the Buyer.
It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other Transportation Organization /or Post Office are liable.
12. 不可抗力：如果遭遇无法控制的事件或情况应视为不可抗力，包括但不限于火灾、风灾、水灾、地震、爆炸、叛乱、瘟疫、隔离。如受不可抗力影响的一方不能履行合同规定下义务，另一方应将履行合同的时间延长，所延长的时间应与不可抗力时间的时间相等。
在发生上述情况时，受影响的一方应立即通知另一方，并在15天内提供相应证明。
Force Majeure: For the purpose of this contract, Force Majeure means events or circumstances beyond a non-performing party’s control, including but not restricted to fire, wind, flood, earthquake, explosion, rebellion, epidemic, and quarantine. Performance of contractual obligations impeded by Force Majeure shall be suspended during the period of delay caused by Force Majeure and shall be automatically extended, without penalty, for a period equal to the suspension. Either party to a contract that is unable to perform the contract due to Force Majeure shall notify the other party immediately after the impediment occurs and shall provide corresponding proof within 15 days.
13. 适用法律：双方同意本合同管辖法律是中华人民共和国法律。
Applicable Law: Both parties agree that the governing law of this Contract is the law of the People's Republic of China.
通知：所有通知用______文写成，并按照如下地址用传真/邮件/快件送达给各方。如果地址有变更，一方应在变更后_______日内书面通知另一方。
Notices: All notice shall be written in _____ and served to both parties by fax/e-mail/courier according to the following addresses. If any changes of the addresses occur, one party shall inform the other party of the change of address within ____ days after the change.
15. 争议解决：凡因本合同引起的或与本合同有关的任何争议，双方同意提交 （示例：浙江省国际商事法律服务中心）进行调解。一方当事人不愿意调解或调解不成的，提交中国国际经济贸易仲裁委员会浙江分会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
Dispute Resolution: Any dispute arising from or in connection with this Contract shall be submitted to (e.g. Zhejiang International Commercial Legal Service Center) for mediation. If one party is unwilling to mediate or mediation fails, the dispute shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) Zhejiang Sub-Commission for arbitration which shall be conducted in accordance with the CIETAC's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
16. 本合同由中、英文写成，两种文本具有同等效力。
This Contract is written in Chinese and English. Both versions shall be equally authentic.
