(OCCURRENCE FORM)
OPERATIVE CLAUSE
The Insurers shall indemnify the Insured for all sums (including costs, fees and expenses as stated herein) which the Insured shall become legally liable to pay (except where specifically stated herein to the contrary) as damages in accordance with the law of any country.
This indemnity applies only to such liability as defined by each Section of the Policy arising out of the Business outlined in the Schedule within the Geographical Limits of this Policy, subject always to the terms, Conditions and Exclusions of such Section and the Articles, Memoranda and General Conditions and General Exclusions of this Policy.
ARTICLE 1 – DEFINITIONS
The following definitions shall apply to this Policy:
1. "the Insurers"
"the Insurers" shall mean Fubon Insurance Co. Ltd.
2. "Insured"
As set forth in the Schedule under "The Insured".
3. "Employee"
"Employee" shall mean:
(a) any person under a contract of service or apprenticeship with the Insured
(b) any person provided by a Local Authority in the terms of a Work Experience Programme Agreement or under a scheme operated by a Manpower Services Commission or on temporary secondment from a university or other educational establishment.
0. "Xxxxxxxx"
"Products" shall mean any property after it has ceased to be the property of or it has left the custody of or the legal control of the Insured which has been designed, specified, formulated, manufactured, constructed, installed, packaged, labelled, sold, supplied, distributed, treated, serviced, altered or repaired, delivered, erected, despatched, processed, tested, hired out, worked upon, cleaned, stored, handled, transported, disposed of, financed by or on behalf of the Insured.
5. "Personal Injury"
The term "Personal Injury" shall include but not be limited to:
(a) bodily injury, sickness, disease, disability, shock, fright, mental anguish and mental injury, including death at any time resulting therefrom;
(b) false arrest, false imprisonment, wrongful eviction, discrimination, wrongful detention, malicious prosecution and humiliation;
(c) libel or slander or other defamatory or disparaging material, or a publication or utterance in violation of an individual’s right of privacy, except that which arises out of any advertising activities;
(d) assault and battery not committed by or at the direction of the Insured unless committed for the purpose of preventing or eliminating danger to persons or property;
(e) direct consequential loss incurred by a third party as a result of Personal Injury.
6. "Property Damage"
The term "Property Damage" shall mean accidental loss of, damage to or destruction of tangible property, including any direct consequential loss and/or any consequential loss of use of tangible property.
ARTICLE 1 – 2 INDEMNITY TO OTHERS
The indemnity granted extends to:
(a) any party who enters into an agreement with the Insured for any purpose of the Business, but only to the extent required by such agreement to grant such indemnity
(b) officials of the Insured in their business capacity arising out of the performance of the Business and/or in their private capacity arising out of their temporary engagement of the Insured’s employees and/or any employee of the Insured whether or not the employee is a managing employee or supervising employee but only whilst acting within the scope of their duties for the Insured
(c) any person or firm arising out of the performance of a contract with the Insured constituting the provision of labour only
(d) the officers, committee and members of the Insured’s canteen, social, sports, child care, medical, ambulance, first aid, fire fighting, security and welfare organizations in their respective capacity as such
(e) private work undertaken with the consent of the Insured by an employee of the Insured
(f) the personal representatives of any person indemnified by reason of this Article 1 in respect of liability incurred by such person
provided always that all such persons or parties shall observe, fulfil and be subject to the terms, Conditions and Limitations of this Policy as though they were the Insured. However, the Insurers hereby agree to waive rights of recourse against the employees for losses caused by the said employees’ negligence.
ARTICLE 2 – BUSINESS OF THE INSURED
"The Business of the Insured" shall also include:
(a) the staging of exhibitions or trade stands and the like;
(b) the supply of food and drink;
(c) the provision of sports, social and welfare organizations and fire, first aid and medical facilities by the Insured;
(d) private work undertaken by the Insured’s Employees for any director, partner or senior executive of the Insured;
(e) the ownership or operation of lifts, elevators, escalators or hoists but only so far as this liability is not otherwise insured;
(f) ownership or operation of car parking facilities at or in relation to the Insured’s premises or Business.
ARTICLE 3 – DEFENCE COSTS
The Insurers will, in addition to the Limits of Indemnity stated in the Schedule pay all costs, fees and expenses incurred with the written consent of the Insurers, unless this Policy is specifically endorsed to the contrary:
(a) in the defense or settlement of any claim;
(b) incurred by or awarded against the Insured arising out of any prosecution of the Insured for breach or alleged breach of any Health and Safety at Work or similar legislation, provided that the Insurers shall not be liable for any fines or penalties imposed as a consequence of such prosecution;
(c) arising out of representation at any Coroner’s Inquest or Fatal Accident Inquiry (or local equivalent);
(d) arising out of the defense of any proceedings in a Court of Summary Jurisdiction (or local equivalent) or Criminal Procedure in respect of matters which may form the subject of indemnity by this Policy.
ARTICLE 4 – DEDUCTIBLE
The Insured shall bear the first amounts in respect of any one occurrence or series of occurrences arising out of the one originating cause as set forth under "Deductibles" is the Schedule. If any Products from one prepared or acquired batch causes Personal Injury or Property Damage then such Personal Injury or Property Damage of all
persons resulting from that common cause shall be considered as arising out of one originating cause.
ARTICLE 5 – CROSS LIABILITIES
Each person or party specified as the Insured in the Schedule is separately indemnified in respect of claims made against any of them by any other, subject to Insurers’ total liability not exceeding the Limits of Indemnity. However, this Article does not cover liability for any loss of or damage to any of the named Insured’s property, or death or bodily injury to any named Insured’s employees.
ARTICLE 6 – NEW ACQUISITIONS
It is understood and agreed that:
(a) where a new sales or manufacturing company or venture is formed, acquired or for which the Insured have management control, then indemnity hereunder will, subject to the terms, Conditions and Exceptions of this Policy, automatically apply to such company or venture subject to advice to the Insurers of such company or venture within one month of the formation, acquisition or of the date from which the Insured has management control
Further such automatic cover will only apply if the turnover of such company or venture does not exceed 10% of the anticipated revenue of the Insured declared at the inception of this Policy to the Insurers
(b) notwithstanding (a) above where a new company or venture is formed, acquired, or for which the Insured have management control and which has similar operations as the Insured, the Insurers agrees without additional premium to automatically cover the difference in terms, conditions and limits of any existing insurance until a decision is made by the Insured as to whether the new acquisition is to be insured under this Policy.
Notwithstanding the foregoing, this Article shall not apply to new acquisitions or new companies formed or new companies which the Insured have management control domiciled in the United States of America, its territories or possessions or Canada.
ARTICLE 7 – INDEMNITY
Insurers’ total liability to pay damages, claimants’ costs, fees and expenses shall not exceed the Limits of Indemnity stated in the Schedule in respect of any one occurrence or series of occurrences arising out of any one originating cause but in respect of Products Liability, the limit represents the total amount of Insurers’ liability during each annual period for the currency of this Policy.
ARTICLE 8 – NORTH AMERICAN JURISDICTION CONDITIONS
It is understood and agreed that notwithstanding anything that may be contained herein to the contrary, in respect of any judgement, award or settlement made under the jurisdiction of courts in the United States of America, its territories or possessions and/or Canada, the following additional terms, Conditions and Exclusions will apply:
(a) The Limits of Indemnity stated in the Schedule to this Policy shall be inclusive of all costs, fees, expenses, including Defense Costs and legal expenses for which the Insurers would be liable.
(b) This Policy will not indemnify the Insured in respect of punitive, multiple or exemplary damages.
(c) Personal Injury or loss of, damage to or loss of use of property directly or indirectly caused by seepage, pollution or contamination.
(d) the cost or removing, nullifying or cleaning up, seeping, polluting or contaminating substances.
SECTION A – PUBLIC LIABILITY
SECTION A – INDEMNITY
The Insured is indemnified by this Section of this Policy in accordance with the Operative Clause against claims arising out of Personal Injury and/or Property Damage occurring during the Period of Insurance.
SECTION A – EXCLUSIONS
This Section of this Policy does not cover:
1. liability for which compulsory insurance is required by legislation governing the use of any Motor Vehicle or trailer
2. liability arising out of:
(i) the ownership or use by or on behalf of the Insured of any mechanically propelled watercraft
(a) exceeding seventeen metres in length, or
(b) outside territorial waters
(ii) any aircraft,
however, this Exclusion shall not apply to:
(a) the loading or unloading of any aircraft or watercraft
(b) the use of packaging containers transported by aircraft or mechanically propelled watercraft
(c) any watercraft not the property of the Insured being used by the Insured for entertainment purposes only
3. liability for damage to property owned, leased or hired by or under hire purchase or on loan to the Insured or otherwise in the Insured’s care, custody or control other than:
(a) premises (or the contents thereof) temporarily occupied by the Insured for work therein, or other property temporarily in the Insured’s possession for work thereon (but no indemnity is granted for damage to that part of the property on which the Insured is working and which arises out of such work)
(b) employees’ and visitors’ clothing and personal effects
(c) premises tenanted by the Insured to the extent that the Insured would be held liable in the absence of any specific agreement
4. liability for which indemnity is afforded by any other Section of this Policy.
SECTION B – PRODUCTS LIABILITY
SECTION B – INDEMNITY
The Insured is indemnified by this Section of this Policy in accordance with the Operative Clause against claims arising out of Personal Injury and/or Property Damage occurring during the Period of Insurance caused by Products.
SECTION B – EXCLUSIONS
This Section of this Policy does not cover:
1. the costs of repairing, reconditioning, recalling or replacing any Product or the defective part of any Product supplied by the Insured
2. liability for arising out of any Products used with the Insured’s knowledge in the construction of aircraft, where such Products have been directly designed for the navigation, propulsion or safety of such aircraft
3. liability for which indemnity is afforded by any other Section of this Policy
4. liability arising out of the failure of the Product (or any part thereof) to fulfil the purpose for which it was designed, or to perform as specified, warranted or guaranteed but this Exclusion shall not apply to claims arising out of consequent Personal Injury or consequent loss or damage to or destruction of any tangible property other than the Product itself.
SECTION B – EXTENSION
Limited Vendors
It is agreed that the following is an Insured under this Policy to the extent set forth below:
Any person or organization (herein referred to as "Vendor"), but only in respect of Personal Injury or Property Damage arising out of the distribution or sale in the regular course of the Vendor’s business of the Named Insured’s products, and subject to the following additional provisions:
The insurance in respect of Vendors does not apply to:
A. Any warranty expressed or implied, unauthorized by the Named Insured or the Named Operating Company
B. Personal Injury or Property Damage arising out of:
1. any physical or chemical change in the form of the product made intentionally by the Vendor
2. repacking, unless unpacked solely for the purpose of inspection, demonstration, testing or substitution or parts under instruction from the manufacturer and then repacked in the original container
3. demonstration, installation, servicing or repair operations, except such operations performed at the Vendor’s premises in connection with the sale of the product
4. products which after distribution or sale by the Named Insured have been labelled or re-labelled or used as a container, part or ingredient or any other thing or substance by or for the Vendor, or
5. negligent or intentional conduct of anyone other than the Named Insured or its operating company.
GENERAL EXCLUSIONS APPLICABLE TO ALL SECTIONS OF THIS POLICY
1 WAR
The indemnity provided under this Policy shall not apply to liability of the directly or indirectly occasioned by, happening through or in consequence of war, invasion, act of foreign enemy, hostilities (whether war be declared or not), civil war, rebellion, revolution, insurrection or military or usurped power.
2 RADIOACTIVE CONTAMINATION
The indemnity provided hereunder shall not apply to nor include liability of the Insured for claims for damage resulting from ionizing radiation (such as beta and gamma rays emitted by radioactive substances and neutrons or rays produced in particle accelerators) to the extent of special mandatory insurance.
3 DELIBERATE ACTS
This Policy does not cover liability for Personal Injury or Property Damage arising out of the deliberate, conscious or intentional disregard by the Insured’s technical or administrative management of the need to take all reasonable steps to prevent Personal Injury or Property Damage or other such liabilities as may be insured hereunder.
4 LIQUIDATED DAMAGES
This Policy does not cover damages arising out of liquidated damages, clauses, penalty clauses or performance warranties unless proven that liability would have attached in the absence of such claims or warranties.
5 POLLUTION (WORLDWIDE EXCLUDING THE UNITED STATES OF AMERICA, ITS TERRITORIES AND POSSESSIONS AND/OR CANADA)
5.1 Personal Injury or loss of, damage to or loss of use of property directly or indirectly caused by seepage, pollution or contamination, provided always that this Exclusion shall not apply to liability for Personal Injury or Property Damage where such seepage, pollution or contamination is caused by a sudden, unintended and unexpected happening during the Period of Insurance
5.2 the cost of removing, nullifying or cleaning-up seeping, polluting or contaminating substances unless the seepage, pollution or contamination is caused by a sudden, unintended and unexpected happening during the Period of Insurance.
6 EMPLOYERS’ LIABILITY
This Policy does not cover liability for and/or arising out of Injury to any person under a contract of employment or apprenticeship with or the provision of labour only services to the Insured where such Injury arises out of the execution of contract.
(Conditions 1., 2., 4. and 5. are precedent to the Insurers’ liability to provide indemnity under this Policy)
1. CLAIMS NOTIFICATION
The Insured shall give written notice to Insurers as soon as reasonably practicable of any claim or any occurrence or circumstance that may give rise to a claim under this Policy and shall give all such additional information as the Insurers may require. Every claim, writ, summons or process and all documents relating thereto shall be forwarded to the Insurers immediately they are received.
2. ADMISSION AND SUBROGATION
No admission, offer, promise or payment shall be made or given by or on behalf or the Insured without the written consent of the Insurers which shall be entitled to take over and conduct in the name of the Insured the defense or settlement of any claim or to prosecute in the name of the Insured for its own benefit any claim for indemnity or damages or otherwise and shall have full discretion in the conduct of any proceedings and in the settlement of any claim and the Insured shall give all such information and assistance as the Insurers may reasonably require.
3. CLAIMS NOT EXCEEDING EXCESS
At the option of the Insured, the Insurers agree to take over and conduct the defense or settlement of any claim that does not exceed the applicable excess. In consideration of the foregoing the Insured agrees to:
(i) comply with the provisions of General Conditions 1. and 2. insofar as such may be applicable
(ii) pay the agreed amounts of any claim and associated costs, charges and expenses to the Insurers immediately on request.
4. MATERIAL FACTS
The Insured shall give notice as soon as reasonably practicable of any fact or event which materially affects the risks insured by this Policy.
5. PAYMENT OF FULL LIMIT
The Insurers may at any time pay to the Insured in connection with any claim or series of claims under this Policy to which a Limit of Indemnity applies the amount of such Limit (after deduction of any sums already paid) or any lesser amount for which such claims can be settled and upon such payment being made the Insurers shall relinquish the conduct and control of and be under no further liability in connection with such claims except for the payment of Defense Costs incurred prior to the date of such payment.
Provided that if the Insurers exercises the above option and the amount required to dispose of any claim or series of claims exceeds the Limit of Indemnity and such excess amount is insured either in whole or in part, with Defense Costs payable in addition to the Limit of Indemnity under this Policy then the Insurers will also contribute its proportion of subsequent Defense Costs incurred with its consent.
6. FRAUDULENT CLAIMS
If the Insured shall make any claim knowing the same to be false or fraudulent as regards amount or otherwise this Policy may, at the Insurers’ option, be declared void and in such event all claims hereunder may be forfeited.
7. RIGHTS OF RECOVERY
It is understood and agreed that in case of any payment hereunder, the Insurers will act in concert with all other interests (including the Insured) concerned, in the exercise of such rights of recovery. The apportioning of any amounts which may be so recovered shall follow the principle that any interests (including the Insured) that shall have paid an amount over and above any payment hereunder, shall first be reimbursed up to the amount paid by them; the Insurers is then to be reimbursed out of any balance then remaining up to the amount paid hereunder; lastly, the interests (including the Insured) of whom this coverage is in excess are entitled to claim the residue, if any. Expenses necessary to the recovery of any such amounts shall be apportioned between the interests (including the Insured concerned), in the ratio of their respective recoveries as finally settled.
8. NON-CONTRIBUTION
If any claim covered by this Policy is also covered in whole or in part by any other insurance, the liability of the Insurers shall apply as excess of, and not as contributory with, such other insurance.
9. PLACE OF JURISDICTION AND APPLICABLE LAW
Any dispute concerning the interpretation of this Policy and/or the Schedule will be subject to jurisdiction stated in the Schedule.
10. CANCELLATION
The Insurers may cancel this Policy by giving sixty days’ notice in writing of such cancellation to the Insured’s last known address.
11. DUE OBSERVANCE
The due observance and fulfillment of the terms, conditions and endorsements of this Policy in so far as they relate to anything to be done or complied with by the Insured shall be conditions precedent to any liability of the Insurers to make payment under this Policy.
12. TITLES OF PARAGRAPHS
The titles of paragraphs of this Policy and of any endorsements attached hereto are solely for convenience of reference and shall not be deemed in any way to limit or affect the provisions to which they relate.

Co-insurance Clause
The insurance Companies named herein, each for itself, severally but not jointly, do obligate themselves under the terms of this policy to the extent of the percentage set opposite their names.
Companies Percentage Assumed
Fubon Insurance Co., Ltd. as leading Company shall attend to all matters connected with this co-insurance including settlement of claims, and any agreement or decision which may be made between the Insured and Fubon Insurance Co., Ltd. shall be final and binding upon all other co-insurers.
Any notice which may be given by the Insured to Fubon Insurance Co., Ltd. in writing or otherwise shall be deemed as given to all the co-insurers as well.

It is hereby agreed and understood that the following subsidiaries or branches or affiliates of the Named Insured are included as the Co-Insured under this policy.
Waiver of Subrogation Clause
The company hereby waives its rights of subrogation against the designated contractor in connect with its business with the insured except that such waiver shall not extend to cover losses caused by acts of such contractor which is not connected with the operations being conducted by the named insured and covered by this policy.
Tenant's & Landlord Liability Endorsement
In consideration of the premium charged, it is hereby understood and agreed that this policy is extended to indemnify the Insured against liability arising out of the sections of the Insured’s leases for tenancy / or ownership of the Insured premises as specifically indicated provided that the limit of indemnity shall inclusive of this clause.
Independent Contractors Clause
It is hereby understood and agreed to provide third party bodily injury or property damage coverage arising from repair or maintenance job or new project performed by any independent contractor provided the job meets all of the following conditions.:
1) The job is of contract value not more than USD 300,000.- for any one job.
2) The independent contractors are hired by the named insured(s).
3) The job is performed at the premises of the named insured(s).
4) The job is performed on the building or temporary or permanent fixtures of the building or new projects. Subject otherwise to the terms, exceptions and conditions of this policy.
Contractual Liability Extension
The Company will pay on behalf of the Named Insured all sums which the Named Insured shall become obligated to pay as damages by reason of liability to which this insurance applies, imposed by law or assumed by the Named Insured under any written contract, for personal injury, property damage caused by an accident and the Company shall have the right and duty to defend any suit against the Named Insured seeking damage on account of such bodily injury, property damage, even if any of the allegations of the suit are groundless, false or fraudulent, any may make such investigation and settlement of any claim or suit as it deems expedient.
Excess Automobile Liability Endorsement
Excess Auto Liability with the sublimit of.

Punitive And Exemplary Damages Exclusion Clause

War And Civil War Exclusion Clause
Notwithstanding anything to the contrary contained herein this Policy does not cover Loss or Damage directly or indirectly occasioned by, happening through or in consequence of war, invasion, acts of foreign enemies, hostilities (whether war be declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation or nationalisation or requisition or destruction, of or damage to property by or under the order of any government or public or local authority.

Terrorism Exclusion Endorsement
Notwithstanding any provision to the contrary within this insurance or any endorsement thereto it is agreed that this insurance excludes liability for loss, injury, damage, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with any act of terrorism regardless of any other cause or event contributing concurrently or in any other sequence to the loss.
For the purpose of this endorsement an act of terrorism means an act, including but not limited to the use of force or violence and/or the threat thereof, of any person or group(s) or persons, whether acting alone or on behalf of or in connection with any organisation(s) or government(s), committed for political, religious, ideological or similar purposes including the intention to influence any government and/or to put the public, or any section of the public, in fear.
This endorsement also excludes loss, injury, damage, cost or expense of whatsoever nature directly or indirectly caused by, resulting from or in connection with any action taken in controlling, preventing, suppressing or in any way relating to any act of terrorism.
If the insurers allege that by reason of this exclusion, any loss, injury, damage, cost or expense is not covered by this insurance the burden of proving the contrary shall be upon the Insured.
In the event any portion of this endorsement is found to be invalid or unenforceable, the remainder shall remain in full force and effect.

Dac Asbestos Exclusion 2003
It is agreed that this Policy shall not apply to
(1) liability directly or indirectly caused by or alleged to be caused by or contributed to in whole or in part by or arising from the existence of or exposure to asbestos and/or any asbestos containing materials
(2) any obligation to defend any claim or suit against the Insured alleging liability resulting from (1) above nor to the Insurers’ liabilities for Defence Costs arising therefrom.
Subject otherwise to the Terms Conditions Limitations and Exclusions of the Policy.
Occupational Disease Exclusion
It is agreed that this Policy shall not apply to
1 any liability of or claims made against the Insured for any sickness or disease or death resulting therefrom to any employee of the Insured arising out of and in the course of the employee’s employment by the Insured or to any obligation of the Insured to indemnify another because of liability arising out of such sickness disease or death resulting therefrom
2 2any obligation to defend any claim or suit against the Insured alleging liability as detailed in 1 above nor to the Insurers’ liabilities for Defence Costs arising therefrom
WCA Exclusion
The Insurers shall not be liable to indemnify the Insured for :
a) Liability arising out of Injury for which the Insured is entitled to seek indemnity under any policy of insurance required to be taken out pursuant to any legislation relating to Workers’ Compensation whether or not the Insured is a party to such contracts of insurance
b) Claims made against the Insured under the provisions of any Workers’ Compensation legislation or any industrial award agreement or determination

Sanction Limitation and Exclusion Clause
No insurer shall be deemed to provide cover and no insurer shall be liable to pay any claim or provide any benefit hereunder to the extent that the provision of such cover, payment of such claim or provision of such benefit would expose that insurer to any sanction, prohibition or restriction under United Nations resolutions or the trade or economic sanctions, laws or regulations of the European Union, United Kingdom or United States of America.

第一條 保險契約之構成
x保險單條款、附加條款、批單、批註、要保書及相關文件均係本保險契約之構成部份。
本保險契約之解釋,應探求契約當事人之真意,不得拘泥於所用之文字;如有疑義,以作有利於被保險人之解釋為原則。
第二條 承保範圍
x公司就被保險人於保險期間內,因製造、使用、貯存或運送毒性化學物質(以下簡稱毒化物),於保險單所載之運作場所或運送過程中,因下列事故,致使第三人傷亡或受有財損,被保險人依法應負賠償責任且於保險期間內或延長索賠期間內受賠償請求時,本公司對超過「自負額」部分,於保險金額範圍內,依本保險契約之約定,對被保險人負賠償之責。
一、因意外事故導致釋放毒化物。
二、因前款意外事故,被保險人於防救過程為減輕或避免人員傷亡而釋放毒化物。
第三條 賠償之先決條件
於發生承保範圍內之事故,需符合下列條件,本公司始負賠償之責。一、毒化物釋放之始期係始於保險期間內者。
二、毒化物釋放之期間不逾十四日者。惟因第二條第一項第二款所需者,不在此限。三、被保險人應於該項毒化物釋放始期起七日內即已知悉。
四、被保險人應自毒化物釋放之始期起四十日內,將釋放之時、地、質、量、知悉情況及本保險契約所約定應提供之資料以書面提供予本公司。
五、被保險人於知悉因該毒化物之釋放可能導致應負責任時,已儘速採取合理步驟以抑制、控制、終止或清除之。第四條 不保事項
x保險契約對於下列事由所致者,不負理賠責任:
一、毒化物通常性或漸進式進入不動產、大氣層、水域等環境所致人員之傷亡、財損。
二、被保險人監測、測試、清除、移去、抑制、處理、降低或中和毒性,或以任何方式評估毒化物之影響所生之任何費用。
三、直接或間接由於被保險人地面下之運作所致之財損,或對地面下油、氣、土壤之毀損、滅失或移除。四、於海上、空中運作毒化物所致者。但於陸上運作所致之意外事故而延伸至海上者,不在此限。
五、全部或部分供或曾供處理、儲存、棄置、傾倒廢棄物之任何場所所致之任何賠償責任。六、因戰爭或類似戰爭行為(不論宣戰與否)、叛亂、內亂、強力霸占所致者。
七、因恐怖主義者之破壞行為所致者。
八、罷工、暴動、民眾騷擾或惡意行為所致者。
九、因天災所致者。但對因而引發本保險契約所承保之危險事故所致者,不在此限。
十、任何直接或間接由於核廢料、核燃料、放射性物質,或任何具爆炸性核子裝置之危險性財物或核子組件引起之燃燒、爆炸、輻射或污染所致者。
十一、被保險人或其受僱人之故意行為或違反政府環保機構之規定、法令、通知、執行命令或指示所致者。惟因第二條第二款所致者,不在此限。
十二、被保險人經營非本保險契約所載之業務,或其業務未經主管機關許可者。十三、任何性質之附帶損失。
所稱附帶損失,係指危險事故直接致財產損失之結果所造成之間接損失。
十四、被保險人以契約或協議所承受之賠償責任。但縱無該項契約或協議存在,亦應由被保險人負賠償責任者,不在此限。
十五、被保險人所有、管理、控制或代人保管或租借之財產受有損失之賠償責任。十六、清除污染物之費用。
十七、被保險人未依法令規定進行運作設備之維修、檢查所致者。十八、被保險人已棄置之財產所致者。
十九、石綿或含石綿物質或含鉛漆料裝置或使用於任何建築物或其他結構中所致者。
二十、於起保時被保險人出廠已逾三十年之毒化物運作設備所致者。但經本公司同意承保者不在此限。
二十一、任何罰鍰、罰金或懲罰性賠款。
第五條 名詞定義
x保險契約所使用之名詞,其定義如下:
一、「毒性化學物質」:係指中央主管機關依「毒性化學物質管理法」公告之人為產製或於產製過程中所衍生之化學物質。
二、「運作」:係指對化學物質進行製造、輸入、輸出、販賣、運送、使用、貯存或廢棄等行為。
三、「運送」:係指被保險人之毒化物自開始裝載於載運工具起,至該載運工具抵達目的地,並完成卸離載運工具止。惟以航空器、船舶載運,或逾承保區域者,應先經本公司之同意。其運送責任之開始及終止,亦以上述「運送」為限。四、「第三人」:係指下列以外之人:
(一)被保險人及其受僱人。所謂被保險人之受僱人,係指受僱於被保險人,受有人事管理約束並領受薪資之人,或與被保險人訂有服務契約關係之人。
(二)為被保險人執行承包業務之承包商及其受僱人。
五、「傷亡」:係指因承保範圍內之事故所致第三人之身體受有傷害、殘廢或死亡。
六、「財損」:係指因承保範圍內之事故所致第三人財產之毀損或滅失,以及救災設備使用費。但不包括清除費用、其他施救費用、不能使用之損失、附帶損失及預期收益之損失。
七、「救災設備使用費」:係指因意外事故,第三人為防阻損害擴大或減輕損害,以其設備參與救災所消耗物材之成本或酌給之設備使用費。
八、「清除費用」:係指發生意外事故,致第三人財物已受有損害,為使恢復原狀,所採取之清除毒化物之費用。包括調查、清除、運送、儲存、滅除等費用,或重置土壤、水、地下水,或污染物之隔離費用。
九、「污染物」:係指任何可能造成或被認為影響環境、財產、人畜之固體、液體、氣體或刺激物、污穢物、毒性物或危險物質,包括但不限於煙狀、氣狀、氣味、酸、鹼、化學物、油、石油及其衍生物。
十、「其他施救費用」:係指因發生本保險契約承保範圍內之事故,基於被保險人之立場,如未採取避免面臨損害之措施,將可能導致本保險契約之賠償責任時,其採取避免損害之措施所生之防阻性費用。
十一、「自負額」:係指對於每一意外事故所生之損失,被保險人必須先行負擔之額度。本公司僅對超過自負額部分負賠償之責。惟有關民事賠償請求、訴訟、抗辯或和解之費用,被保險人毋須負擔自負額。
十二、「意外事故」:係指外來非因被保險人之故意行為,或因被保險人於未能警覺其行為或不行為,所導致於瞬間發生非可預期、非可預料且不可抗力之有害結果。
陸續或重複暴露於同一原因所致之有害情況下者,視為一次事故。且以其首度發生之時點視為該事故之始期;以其完全不再發生之時點視為該事故之終期。
十三、「釋放」:係指物質以排放、散佈、放出、逸出之情況。相同物質自同一來源一連串之陸續釋放,視為一次釋放。
十四、「地面下之運作」:係指任何埋設於地面下、水面下,或原埋於地面下、水面下而後暴露於地面之任何儲槽,包括其唧筒、活塞或管線。「埋設」:係指 10%以上在地面下或水面下。
十五、「廢棄物」:係指包括但不限於重複使用、修用、回收物、廢棄或暫存待最後處理之物質。 十六、「天災」:係指颱風、暴風、洪水、地震、火山爆發、海嘯、土崩、岩崩、地陷等天然災變。
第六條 賠償責任之限制
x公司依本保險契約應負賠償責任時,其賠償金額悉以保險單所載之保險金額為限,其「保險金額」說明如下: 一、「每一個人傷亡責任」之保險金額:係指在任何一次意外事故內,對每一個人傷亡個別所負之最高賠償責任。
二、「每一意外事故傷亡責任」之保險金額:係指在任何一次意外事故內傷亡人數超過一人時,本公司對所有傷亡人數所負之最高賠償責任,但仍受前款之限制。
三、「每一意外事故財損責任」之保險金額:係指在任何一次意外事故內,對第三人之財損以及救災設備使用費所負之最高賠償責任。
四、「保險期間內之最高賠償金額」之保險金額:係指在本保險契約有效期間內,賠償請求次數超過一次時,本公司所負之累積最高賠償責任,且仍受前述兩款之限制。
本公司依本保險契約而為賠償者,該賠償金額應自本款保險金額中逐案扣減之;如若再有保險事故發生,本公司就本款保險金額扣除已賠付金額後之餘額負賠償責任。要保人得經本公司之書面同意,加
繳約定之保險費以恢復本款保險金額。
本保險契約於被保險人之人數超過一人時,本公司之賠償責任,仍以上述金額為限。
為處理民事賠償請求、訴訟、抗辯或和解之費用,不計入保險金額內,由本公司另行賠付之。
第七條 保險費
保險費應於本保險契約生效前交付,交付保險費時,本公司應給予收據,收費時以本公司掣發之收據為憑,對於保險費交付前所發生之事故,本公司不負賠償之責。
第八條 保險期間
x保險契約之保險期間以壹年為限。
第九條 保險契約之終止
x保險契約於下列情況終止之:
一、要保人符合「運作毒性化學物質強制投保第三人責任保險實施要點」有關終止保險契約之約定者,得終止本保險契約。本公司當依承保辦法短期費率之約定,返還未滿期間之保險費。
二、賠付之金額累積達「保險期間內之最高賠償金額」時,本保險契約自然終止。
三、因發生本保險契約第十二條危險增加之情形而致終止保險契約者,本公司應於終止日前十五日以書面通知要保人,並按日數比例返還未滿期間之保險費。
第十條 告知義務
要保人於訂立本保險契約時,對所填交之要保書及本公司之書面詢問,均應據實說明,如有故意隱匿或因過失遺漏,或為不實之說明,足以變更或減少本公司對於危險之估計者,本公司得解除契約並副知毒化物之主管機關,其危險發生後亦同。但要保人證明危險之發生未基於其說明或未說明之事實時,不在此限。
前項解除契約權,自本公司知有解除之原因後經過一個月不行使而消滅。
本公司依第一項規定解除保險契約時,已收之保險費不予退還;倘已經理賠者,得請求被保險人返還之。第十一條 契約變更或移轉
x保險契約權益之轉讓或任何變更,不得違反毒性化學物質管理法有關投保第三人責任保險之相關規定,要保人應於事前通知本公司,並經本公司同意及簽批,始生效力。
第十二條 危險增加之通知
要保人所提交本公司之要保書及所附資料有異動時,應依下列時限通知本公司:
一、倘有危險增加之情形,且係由於要保人或被保險人之行為所致者,要保人或被保險人應事先通知本公司。二、危險增加不由於要保人或被保險人之行為所致者,要保人或被保險人應於知悉後十日內通知本公司。
第十三條 危險變更之效力
前條危險增加經通知本公司者,其效力如下:
一、對於危險增加之情形,本公司得提議另定保險費,要保人未於接獲本公司之通知時起十日內為同意之表示者,本公司得終止本保險契約。
二、因前條第一款而終止契約時,本公司如受有損失並得請求賠償;惟本公司知危險增加仍繼續收受保險費,或給付賠償金額,或為其他維持契約之表示者,喪失本項權利。
要保人或被保險人對於危險增加未依前條約定通知者,除不可抗力之事故外,不問是否故意,本公司得解除契約。危險減少時,要保人或被保險人得請求本公司重新核定保險費。
第十四條 善良管理人
被保險人應盡善良管理人之注意,對受僱人員應選任適任者,對營業、作業場所之建築、設施、相關工作物應定期維修檢查,對作業流程之管控及各項事故之防範、應變、善後各項標準作業之訓練及應變之設備器材,應依相關法令之規定辦理。於發生承保之意外事故時,應立即採取必要之應變及善後標準作業程序,並發布災害訊息以減輕損害。 被保險人違反本條義務時,本公司對因而擴大之損失,不負賠償之責。
第十五條 查勘權
x公司於承保前、保險期間或發生承保範圍內之事故後,得查勘被保險人之運作場所或全程監測,被保險人應提供相關資料並採必要合作措施。
第十六條 保險事故之通知與處置
被保險人於本保險契約有效期間,因發生本保險契約約定承保之賠償責任時,應按下列規定辦理:一、應於被保險人受賠償請求後五日內通知本公司。
二、立即採取必要合理措施以減少損失;必要時應先進行法律程序,以保護其應有權益。
三、於知悉有被起訴或被請求賠償時,應將收到之賠償請求書、法院令文、傳票或訴狀等影本送交本公司。
四、本公司認為必要時得要求被保險人提供有關資料及文書證件,或出庭作證、協助鑑定、勘驗、或為其他必要的調查或行為。
第十七條 賠償請求應遵守之約定
被保險人對於本保險契約承保範圍內之賠償責任,應遵守下列之約定:
一、除必須之急救費用外,被保險人對第三人就其責任所為之承諾、和解或賠償,須經本公司參與或事先同意。但經要保人或被保險人通知本公司參與,而無正當理由拒絕或藉故遲延者,不在此限。
二、被保險人於取得和解或法院確定判決書或仲裁判斷書及有關單據後,得向本公司請求賠償。本公司得經被保險人通知,直接對第三人給付賠償金額。
三、被保險人依法得行使抗辯權或其他權利以免除或減輕責任,若因過失而未行使前述權利所產生或增加之責任,本公司不予賠償。
第十八條 抗辯與訴訟
被保險人因發生本保險契約承保之意外事故,致被起訴或受賠償請求時:
一、本公司得經被保險人之委託,得就民事部份協助被保險人進行抗辯或和解,所生費用由本公司負擔,但應賠償金額超過保險金額者,若非因本公司之故意或過失所致,本公司僅按保險金額與應賠償金額之比例分攤之;被保險人經本公司之要求,有到法院應訊並協助覓取有關證據及證人之義務。
二、本公司經被保險人之委託進行抗辯或和解,就訴訟上之捨棄、承諾、撤回或和解,非經被保險人書面同意不得為之。
三、被保險人因處理民事賠償請求所生之費用及民事訴訟所生之費用,事前經本公司同意者,由本公司償還之。但應賠償之金額超過保險金額者,本公司僅按保險金額與賠償金額之比例分擔之。
四、被保險人因刑事責任所生之一切費用,由被保險人自行負擔,本公司不負償還之責。
第十九條 延長索賠期間
因發生承保範圍內之事故,經被保險人依本保險契約第十六條之約定處理後,本公司對於被保險人於保險期間屆滿後六個月內所提出之賠償請求,仍負理賠之責。
第二十條 其他保險
被保險人如就本保險契約所承保之賠償責任另有其他保險契約存在時,本公司對於該項賠償責任以本保險契約應賠付之金額對於全部保險契約應賠付之金額比例賠付之。
第二十一條 代位
被保險人因本保險契約承保範圍內之損失而對於第三人有損失賠償請求權者,本公司得於履行理賠責任後,於理賠金額範圍內代位行使被保險人對於第三人之請求權。被保險人應協助本公司進行對第三人之請求,但其費用由本公司負擔。
被保險人不得免除或減輕對第三人之請求權利或為任何不利本公司行使該項權利之行為,否則理賠金額雖已給付,本公司仍得於受妨害而未能請求之範圍內請求被保險人返還之。
第二十二條 請求權時效
因本保險契約所生之權利,自得為請求之日起,經過二年不行使而消滅。被保險人對於本公司之請求係由於第三人之請求而生者,自被保險人受請求之日起算之。
第二十三條 調解或仲裁
x公司與被保險人對於理賠發生爭議時,被保險人得提出申訴,或提交調解或仲裁,其程序及費用等,依相關法令或
仲裁法規定辦理。
第二十四條 承保區域
被保險人毒化物之運作以中華民國台灣地區(含金門、馬祖以及政府統治權所及之其他地區)為限;本保險對前述地區以外所發生之賠償請求,不負賠償之責。
第二十五條 管轄法院
x保險契約之訴訟,以被保險人住所所在地之地方法院為管轄法院。但被保險人住所在前條所述中華民國台灣地區以外者,則以台灣台北地方法院為管轄法院。
第二十六條 法令之適用
x保險契約未約定事項,悉依照中華民國保險法及相關法令之規定辦理。
