為培育專業人才,共同推展實習合作教學與實務訓練之互惠原則,協議訂定下列事項,共同遵循。
第一條 實習合作職掌:
(一)乙方負責學生實習工作單位分配、報到、訓練及輔導實習學生。
(乙方請填妥附件一「東海大學實習機構基本資料表」)
(二)丙方承辦學生實習有關業務及聯繫,並擔負輔導學生之責。
第二條 實習課程與學分:
(一)丙方同意規劃具 學分之實習課程,以鼓勵學生參與。

第九條 實習環境:
(一)乙方應提供不影響甲方健康及安全之工作環境。
(二)乙方負責甲方於實習場所之安全防護,確保各項設備及措施之安全性。
(三)甲方利用乙方所提供之場所實習,須遵守乙方之管理規則。
第十條 工作項目:
(一)實習期間之具體工作項目,應由乙丙雙方依據學習目標共同研擬之。
(二)乙方安排各種專業知識及技能之訓練,工作項目不得危害甲方之健康與安全,亦不得要求甲方從事各種違法行為,如有違反,甲方得逕行終止本合約。

第十xx xx輔導:
(一)實習期間乙方應對實習學生進行必要之訓練,應指派具相關專長之指導人員指導實習生,提供學生專業指導、訓練與生活輔導,並定期對實習生的工作表現、服務態度、出勤狀況進行考核。
(二)實習期間丙方須安排實習輔導人員赴乙方訪視實習學生,擔負輔導、評估與溝通聯繫之責。
(三)實習期間甲方應由丙方輔導人員及乙方指導人員共同督導之。
第十二條 協力義務:
(一)乙方在甲方實習期間不得有下列行為:要求實習生繳納保證金、排除實習生請求損害賠償之權利或限制其金額、超時訓練實習生、要求實習生提前終止契約應賠償違約金、限制實習生契約終止後之就業自由及其他不當損及實習生權益之行為。
(二)在甲方實習期間,乙方不得因其國籍、種族、階級、語言、思想、宗教、黨派、籍貫、出生地、年齡、婚姻、容貌、五官、身心違常、性別或性傾向之因素,給予不利之差別待遇,影響學習權益。
(三)在甲方實習期間,乙方知悉甲方遭遇性騷擾時,須通知丙方,並應立即採取有效之糾正及補救措施。
第十三條 實習考核:
(一)實習期間由乙方指導人員及丙方輔導人員共同考核實習學習成效,乙方應於實習結束前將實習考核成績表擲交丙方,俾利核算課程學習成績。
(二)甲方表現或適應欠佳,應由乙方知會丙方並共同輔導之,但經輔導未改善者,乙方得終止實習。
(三)乙、丙雙方得不定期協調檢討實習各項措施,期使實習合作更完善。
第十四條 請假規定:
甲方於實習期間的請假,應依乙方及實習地勞動相關法令規定辦理,若乙方無明確規定,則依丙方請假規定辦理。
第十五條 不適應之轉介:
甲方於實習期間若有不適應之情事,應由丙方輔導人員和乙方指導人員加強輔導。若不適應情形仍未獲改善,丙方輔導人員應協助甲方申請轉換實習機構或終止實習。
第十六條 爭議處理:
(一)實習期間,甲方若與乙方產生爭議,應由丙方輔導人員與xx共同商議爭議改善方案,如未獲改善,丙方須召開校外實習委員會針對爭議進行協商與處理。
(二)甲方及乙方應確實依據校外實習委員會之決議進行調整及改善,如有任一方不同意決議結果,則由丙方輔導人員協助甲方申請轉換實習機構或終止實習。
(三)若爭議事件為乙方明確違反合約書或相關法令規定,由丙方法律顧問提供甲方法律諮詢,協助甲方向主管機關提請協調或申訴,並依法採取相關法律途徑。
(四)乙方不得因甲方提出申訴或請求爭議處理,而給予差別對待或其他不利之處分。
第十七條 保密協定:
為顧及乙方之業務機密,甲方因參加本實習合作而得知乙方之業務機密、專業技術等,應負保密義務,均不得洩漏予任何第三人,但其已為公眾或獲乙方同意者不在此限。
第十八條 附則:
(一)附件:「實習機構基本資料表」及「學生校外實習家長同意須知」。
(二)本合約所有相關附件均視為本合約之一部分,具合約條款完全相同之效力。
(三)本合約書以中華民國法律為準據法,合約書未盡周詳之處,均以中華民國法令為準則。
(四)甲、乙、丙三方因本合約內容涉訟時,三方同意以臺灣台中地方法院為第一審管轄法院。
第十九條 本合約自簽署完成之日起生效,至實習期滿或終止合約後失其效力。如有未盡事宜,甲乙丙三方得視需要協議後,另訂之。
第二十條 本合約書以中文及英文(或其他與語言)簽訂各一式三份,甲、乙、丙三方各執乙份存照。

Student Off-campus Internship Contract
(Overseas version- Party A, B, C)
This Contract is made by and among the three following parties
(Student name) (hereinafter referred to as Party A)
(the internship institution) (hereinafter referred to as Party B);
Tunghai University (hereinafter referred to as Party C)
The three parties hereby enter into an agreement to abide by the following matters in order to cultivate professional talents and jointly promote cooperative internship education out of reciprocity.
Article 1 Internship Cooperation Responsibility:
(1) Party B shall provide and be in charge of the assignment, registration, training and counseling of intern students.
(Party B needs to complete Attachment 1 “Basic Information Form of Tunghai University’s Internship Institution”)
(2) Party C shall undertake the internship-related affairs and contact, and be responsible for counseling students.
Article 2 Internship Courses and Credits:
(1) Party C agrees to plan the internship course with credits to encourage students to participate in.

Article 7 Visa and Insurance:
(1) Party B shall issue relevant supporting documents to Party A to apply for a visa in accordance with the laws and regulations of the location of internship.
(2) Party C is responsible for handling student safety insurance and overseas accident insurance.

Article 9 Internship Environment:
(1) Party B shall provide a working environment that does not affect the health and safety of Party A.
(2) Party B is responsible for the safety of the student at the internship site in using various equipment and measures.
(3) Party A shall comply with Party B’s management rules when using the premises provided by Party B for internship.
Article 10 Job Description:
(1) The specific work content during the internship period shall be jointly determined by both Party B and Party C according to the learning objectives.
(2) Party B shall arrange for the training of various professional knowledge and skills. The work content shall not endanger the health and safety of Party A, nor shall Party A be required to engage in any illegal acts. If there is any violation, Party A may directly terminate this Contract.

Article 11 Internship Counseling:
(1) Party B shall provide necessary training for the intern students during the internship period, and assign instructors with relevant expertise to provide professional guidance, training and life counseling for the students, and regularly assess their performance, attitude and attendance.
(2) During the internship period, Party C shall arrange for the internship supervisor to visit the intern student at Party B’s site and take the responsibility for counseling, assessment and communication.
(3) During the internship period, Party A shall be jointly supervised by Party C’s supervisor and Party B’s instructors.
Article 12: Cooperation Obligations:
(1) Party B shall not engage in the following acts during the internship period of Party A: requiring the intern student to pay any security deposit, excluding the intern student’s right to claim damages or limiting the compensation amount, training the intern student overtime, requiring the intern student to pay liquidated damages if the contract is terminated in advance, limiting the intern student's employment freedom after the termination of the intern contract, and other acts that improperly damage the rights of the intern student.
(2) During the internship period, Party B shall not give unfavorable differential treatment to the intern student and affect the student’s learning rights based on factors such as the student’s nationality, race, social class, language, ideology, religion, partisanship, hometown, place of birth, age, marriage, appearance, facial features, physical or mental abnormalities, gender and sexual orientation.
(3) During the internship period, Party B shall notify Party C when it becomes aware of any sexual harassment to Party A, and take effective corrective and remedial measures immediately.
Article 13 Internship Performance Assessment:
(1) During the internship period, Party B's instructor and Party C's supervisor shall jointly assess the effectiveness of the internship. Party B shall, before the end of the internship period, send the internship assessment results sheet to Party C to facilitate the assessment of the course learning performance.
(2) If Party A 's performance or adaptation is not good, Party B shall inform Party C and jointly counsel the student. However, if there is no improvement after the counseling, Party B may terminate the internship.
(3) Both Party B and Party C may review the details of internship from time to time to facilitate the internship cooperation.
Article 14 Leave Regulation:
The leave of Party A during the internship period shall be handled in accordance with the requirements of Party B and the relevant labor laws and regulations of the internship location. If Party B does not have specific requirements, Party C’s leave requirements shall be applied.
Article 15 Transfer Due to Inadaptation:
Party C’s supervisor and Party B’s instructor shall enhance the counseling service if Party A is unsuitable for the internship during the internship period. If the situation is not improved, Party C’s supervisor shall assist Party A in applying for and transferring to another internship institution or terminating the internship.
Article 16 Dispute Settlement:
(1) During the internship period, if Party A has a dispute with Party B, Party C's supervisor shall discuss the dispute improvement plan with Party B. If there is no improvement, Party C shall convene an off-campus internship committee meeting to negotiate and handle the dispute.
(2) Party A and Party B shall make adjustments and improvements according to the resolution of the off-campus internship committee. If either party disagrees with the resolution, Party C's supervisor shall assist Party A in applying for a transfer to another internship institution or terminating the internship.
(3) If the dispute represents a clear violation of the contract or violation of related laws and regulations by Party B, the legal counsel of Party C shall provide legal counseling to assist Party A in submitting a coordination request or complaint to the competent authority, and resort to relevant legal channels according to laws.
(4) Party B shall not give discriminatory or unfavorable treatment to Party A due to the student's complaint or request for dispute settlement.
Article 17 Confidentiality Agreement:
To protect Party A's business secrets, Party A who are aware of Party B's business secrets or professional skills due to participation in this internship cooperation shall be subject to confidentiality obligations, and shall not disclose such information to any third party. The restriction above does not apply to information which is already public or the disclosure of which is approved by Party B.
Article 18 Supplementary Provisions:
(1) Attachments: "Basic Information Form of Internship Institution" and “Parental Consent Form for Student Off-campus Internship”.
(2) All attachments to this Contract are considered to be part of this Contract and have the same effect as the contract terms.
(3) This Contract is governed by the laws of the Republic of China. For matters not covered in the contract, the laws of the Republic of China shall be applied for governance.
(4) When three parties are involved in a lawsuit due to the content of the Contract, the three parties agree to use the Taichung District Court of Taiwan as the jurisdiction court of first instance.
Article 19 This Contract shall come into force on the date of signing, and shall lose its validity upon the expiration of the internship period or its termination. If there are any matters uncovered, three parties may enter into separate agreements as required.
Article 20 This Contract is signed in both Chinese and English (or other languages) in duplicate, and each party holds a copy as evidence.
