Assignment Postoupení. 15.1.1 The Institution/Investigator may not assign its/his or her rights and/or delegate its/his or her obligations under this Agreement without the prior written consent of ICON, which consent shall not be unreasonably withheld. ICON shall have the power to assign this Agreement to the Sponsor without the Institution/Investigator’s consent. Zdravotnické zařízení/Zkoušející nesmí postoupit svá práva a/nebo převést své povinnosti vyplývající z této Smlouvy bez předchozího písemného souhlasu společnosti ICON, přičemž jeho udělení nebude bezdůvodně zamítnuto. Společnost ICON je oprávněna převést tuto Smlouvu na Zadavatele bez souhlasu Zdravotnického zařízení/Zkoušejícího.

Assignment Postoupení. Each of CRO and Janssen shall have the right to assign this Agreement among each other or to any of its respective affiliates and, in addition, Janssen may assign this Agreement to any third party. In the event of such an assignment, CRO or Janssen, as the case may be, shall use reasonable efforts to provide prior written notice to Institution. Neither Institution nor Principal Investigator shall assign its rights or duties under this Agreement to another without prior written consent of CRO and Janssen. Any assignment in violation of this Section 16 will be null and void. Subject to the foregoing, this Agreement shall bind and inure to the benefit of the respective parties and their successors and assigns. CRO i společnost Janssen jsou oprávněny postupovat si tuto Smlouvu navzájem nebo ji postupovat svým dceřiným a sesterským společnostem. Společnost Janssen je navíc oprávněna postoupit tuto Smlouvu kterékoli třetí osobě. CRO, resp. společnost Janssen se bude snažit informovat o takovém postoupení Zdravotnické zařízení písemně předem. Zdravotnické zařízení ani Hlavní zkoušející nejsou oprávněni postupovat svá práva a povinnosti z této Smlouvy na jiné osoby bez předchozího písemného souhlasu CRO a společnosti Janssen. Postoupení v rozporu s ustanoveními článku 00 xxxx xxxxxxxxxx xx neplatné od samého počátku. S přihlédnutím k předchozím ustanovením bude tato Smlouva závazná nejen pro smluvní strany, ale také pro jejich právní nástupce a postupníky a je uzavírána v jejich prospěch.

  • Assignment Policy The University agrees to assign space only after the applicant has submitted the University Deposit and housing application. Priority of assignment for all students is based on the date the signed Residence Hall Occupancy Contract is received. Requests for specific roommates will be honored based on priority date and availability of space.

  • Assignment of Space a. This Contract is for an assigned space in a residence hall and not for a specific room or bed. This Contract is not a lease agreement.

  • Shift Assignment Should the University elect to establish a shift on any other schedule than the regular day shift (Monday through Friday) or to assign employees to work on any such shift, the employee(s) with the most seniority in the classification affected or to be assigned on such shift shall have preference in moving to such shift. If an insufficient number of employees in the classification elect to move to such shift, then the employee(s) with the least seniority in the classification shall be assigned to such shift. If positions or shifts are reduced or eliminated or movement of personnel to other shifts is required, then the seniority of the affected employee will prevail in the selection of shift, provided the affected employee can do the required work. Such shift preference is only applicable within the employee's classification.

  • Assignment of Lease 10.01. The Tenant may not assign the Lease or sublet all or any part of the Premises or otherwise grant possession of the Premises or any portion thereof to any other person without first obtaining the prior written consent of the Landlord, such consent not to be unreasonably withheld. In no event shall the Tenant be released or discharged from the full performance of this Lease and the payment of all rents and monies and the observance of all covenants, agreements, terms and conditions herein contained and any such consent granted by the Landlord shall not be deemed or implied as consent to any further or subsequent assignment or subletting. Notwithstanding the foregoing provisions of this Section 10.01 or anything else contained herein, so long as Tenant is not then in default under this Lease beyond any applicable curative period provided for in this Lease, Tenant shall have the right, without the consent of Landlord, but otherwise in accordance with the requirements of this Lease, including without limitation, the obligation of any transferee to enter into an agreement directly with the Landlord covenanting to be bound by all of the Tenant’s obligations hereunder to the extent applicable, to assign this Lease and/or sublease the whole or part of the Premises to:

  • Collateral Assignment The Owner may assign this contract as collateral security. The Company is not responsible for the validity or effect of a collateral assignment. The Company will not be responsible to an assignee for any payment or other action taken by the Company before receipt of the assignment in writing at its Home Office. The interest of any beneficiary will be subject to any collateral assignment made either before or after the beneficiary is named. A collateral assignee is not an Owner. A collateral assignment is not a transfer of ownership. Ownership can be transferred only by complying with Section 8.2.
