Certified Copies of Charter Documents. Each of the Banks shall have received from each Borrower a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (i) its charter or other incorporation documents as in effect on such date of certification, and (ii) its by-laws or operating agreement as in effect on such date.
Certified Copies of Charter Documents. Each of the Banks shall have received from the Borrower and each of its Subsidiaries a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws as in effect on such date.

The Agent shall have received from the Borrowers a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents (including certificates of merger and name changes) as in effect on such date of certification, and (b) its by-laws as in effect on such date.

The Agent shall have received from the Borrower and each of the Guarantors a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws as in effect on such date.

The Administrative Agent shall have received from each of the Borrower and the other members of the Borrower Affiliated Group a copy, certified by a duly authorized officer of each of the Borrower and such other members of the Borrower Affiliated Group to be true and complete on the Closing Date, of (i) its charter or other formation documents, as in effect on such date of certification, certified as of a recent date by the Secretary of State of its jurisdiction of incorporation or formation, and (ii) where applicable, its by-laws or limited liability company agreement as in effect on such date.
Certified Copies of Charter Documents. Lender shall have received from Borrower a copy, certified by a duly authorized officer of Borrower to be true and complete on and as of the Closing Date, of the charter or other organization documents and by-laws of Borrower as in effect on the Closing Date (together with all, if any, amendments thereto); and (ii) the charter or other organization documents of Borrower certified by the applicable Secretary of State;
Certified Copies of Charter Documents. Each of the Banks and the Administrative Agent shall have received from the Company, the General Partner and Xxxxxxx Xxxxxxxxx (a) a copy of its certificate of limited partnership, certificate of incorporation, certificate of formation or other charter document duly certified as of a recent date by the Secretary of State of Delaware, (b) a copy, certified by a duly authorized officer of such Entity to be true and complete on the Closing Date, of its agreement of limited partnership, by-laws, limited liability company agreement or equivalent document as in effect on such date, and (c) a certificate of the Secretary of State of Delaware as to the due organization, legal existence, and good standing of such Entity. The certificate of incorporation, partnership agreement and by-laws, certificate of limited partnership or certificate of formation of limited liability company agreement, as the case may be, of the Company, the General Partner and Xxxxxxx Xxxxxxxxx shall be in all respects satisfactory in form and substance to the Banks and the Administrative Agent.

The Lender shall have received from the Borrower and each of its Subsidiaries, a copy, certified by a duly authorized officer of such Person to be true and complete on the Closing Date, of each of (a) its charter or other incorporation documents as in effect on such date of certification, and (b) its by-laws (or other similar document) as in effect on such date.
Certified Copies of Charter Documents. Each Lender shall have received (i) the Charter and Good Standing Documents, all in form and substance reasonably acceptable to Lenders, and (ii) a certificate of the corporate secretary or assistant secretary of Borrower, dated the Closing Date, as to the incumbency and signature of the Persons executing the Loan Documents, in form and substance reasonably acceptable to Lenders.
Certified Copies of Charter Documents. Each Bank or the Agent (in sufficient copies for each Bank) shall have received from each of the Hasbro Companies a copy, each of which shall have been certified by a duly authorized officer of such respective Hasbro Company to be true and complete on and as of the Effective Date, of each of (a) the charter or other incorporation documents of each of the Hasbro Companies in effect on such date of certification, and (b) the by-laws of each of the Hasbro Companies as in effect on such date.
