Common use of Salaries Clause in Contracts

Salaries. The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the salary, bonus, commissions, consultant fees or other compensation of any director, officer or consultant, or any member of their families, by more than 10% in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

Salaries. The Borrower Borrowers will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or or, in any year in which the Borrowers were not profitable on a consolidated basis, increase the salary, bonus, commissions, consultant fees or other compensation of any directorDirector, officer Officer or consultant, or any member of their families, by more than ten percent (10% %) in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

The Neither Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the salary, bonus, commissions, consultant fees or other compensation of any director, officer or consultant, or any member of their families, by more than 10% in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the salary, bonus, commissions, consultant fees or other compensation of any director, officer director or consultantofficer, or any member of their families, by more than 10% fifteen percent (15%) in any one year (using the salary, bonus and commission structure in place immediately after the Merger as the basis for comparison in the first year), either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the salary, bonussalary or bonus (except to the extent resulting from enhanced or increased performance), commissions, consultant fees or other compensation of any directorDirector, officer or consultantOfficer, or any member of their families, by more than ten percent (10% %) in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the aggregate salary, bonus, commissions, consultant fees or other compensation of any directorDirector, officer or consultant, Owner Officer or any member of their families, families by more than 1015% in any one year, either individually or year for all such persons in any individual unless approved by the aggregate, or pay any such increase from any source other than profits earned in the year Borrower's Board of paymentDirectors.

Salaries. The Borrower will not pay excessive or -------- unreasonable salaries, bonuses, commissions, consultant fees or other compensation; compensation or excessively increase the salary, bonus, commissions, consultant fees or other compensation of any director, officer or consultant, or any member of their families, by more than 10% in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment.

The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or without the prior approval of the Compensation Committee (i) increase the salary, bonus, commissions, consultant fees or other compensation of any directorDirector, officer or consultant, Officer or any member of their families, by more than 10% 10 percent in any one year, either individually or for all such persons in the aggregate, or (ii) pay any such increase from any source other than profits earned in the year of payment.

Salaries. The Borrower will not pay excessive or unreasonable salaries, bonuses, commissions, consultant fees or other compensation; or increase the salary, bonus, commissions, consultant fees or other compensation of any directorDirector, officer Officer or consultant, or any member of their families, by more than 10% in any one year, either individually or for all such persons in the aggregate, or pay any such increase from any source other than profits earned in the year of payment; provided, however, the Borrower may increase Officer salaries by 30% in 2003 if the Offering Proceeds are at least $7,500,000.
